RECOMMENDATION
Adopt Resolution Number 26-4398 approving an amendment to the existing Maintenance Agreement (MA) with Lystek International Limited, increasing the agreement's maximum amount from $45,000 to $68,000 and authorizing the Town Manager to execute the amendment.
DISCUSSION/BACKGROUND
In October of 2024, the Town entered into a Maintenance Agreement (MA) with Lystek International Limited for biosolids management solution. The Town of Yountville operates and maintains a joint wastewater treatment plant that produces recycled water. The treatment plant reclaims water from a variety of sources then treats and reuses it for beneficial purposes such as agriculture and irrigation. The primary goal of the wastewater division is to treat the wastewater generated by the Town of Yountville including the California Veterans Home to high quality that can be beneficially reused for irrigation purposes. As a result of the treatment process, biosolids residuals are generated that require safe and secure management offsite. California implemented mandate SB 1383 to divert 75% of organic waste, including biosolids, from landfills by 2025 for methane reduction, requiring compliance with federal EPA Part 503 standards and state water board permits for quality, treatment, and monitoring, promoting nutrient recovery over disposal.
Biosolids are the organic solids produced during the treatment of wastewater. Through processes such as digestion, de-watering, and sometimes heating, these solids are treated to significantly reduce pathogens and decrease their volume, transforming them into a material safe for beneficial use or disposal. If not reused, they may be incinerated or sent to landfills. Lystek was contracted to not only collect the biosolids from the Town of Yountville wastewater treatment plant but to meet the SB1383 mandate and use the biosolids for nutrient rich land practices.
The contract specified an estimated cost for biosolids removal and set an hourly rate for any additional work beyond that estimate. Because the actual weight of biosolids was higher than anticipated, costs increased. To address this variability, staff will refine future estimates to better reflect potential changes in biosolids weights.
Total change order amount for this increase in cost is $23,000. This brings the revised contract amount to $68,000. The multi-year contract was executed in FY 24/25 operating budget Wastewater Treatment Contract Services (62-4515-4210) for sludge removal with a budget of $45,000. The current available budget in 62-4515-4210 contains sufficient funds to cover the $23,000 for this amendment. Staff are requesting the Council approve amendment number 1.
