RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE AUTHORIZING
THE TOWN MANAGER TO EXECUTE AN AGREEMENT FOR AS-NEEDED ON-CALL PROFESSIONAL SERVICES WITH BAE URBAN ECONOMICS, INC. IN THE MAXIMUM AMOUNT OF $250,000 FOR A THREE-YEAR PERIOD WITH NO OBLIGATION FOR THE
TOWN TO AWARD A WORK ORDER AND ENCUMBER FUNDS WITHIN THE TERM OF THE CONTRACT.

A. The Town Manager and Town Departments are responsible for delivering the Town Council’s vision using forward thinking, open-minded strategies that are committed to the Town’s success in the form unified and sustainable results. As the Town advances the fiscally responsible redevelopment of the Yountville Commons property, continued support from urban economics and real estate consultants is needed to provide data for informed decision-making.
B. In December 2025, the Town contracted with BAE Urban Economics for financial and real estate analysis of the Yountville Commons project. Following the February 17 Council meeting and community feedback, the Town now needs to expand BAE’s scope beyond the original agreement.
C. Town Council is being asked to authorize an on-call agreement with BAE Urban Economics Inc., who have played a key role in developing the pro-forma financial feasibility model for the Yountville Commons project. Under this agreement, BAE may provide market research to refine the development program, conduct financial feasibility modeling for alternative development strategies and phasing, support creation of a household preference program, assist with staff reports and public meetings, coordinate with Town staff and project team members, and carry out additional research and analysis as directed by the Town Manager.
D. Each on-call contract contains a “scope of services” and rate sheet for that design consultant and the on-call contract itself does not obligate nor encumber the dollar amounts shown in each contract. With the on-call contract in place the town manager may enlist a specific consultant for a specific “scope of work” to be performed at an agreed upon dollar amount and executed via a task order.
E. This resolution will authorize the Town Manager to execute the on-call agreement/scope attached to this resolution for the work up to $250,000 for a three-year term with general scopes of services for each consultant listed on Exhibit A of the contract attached to this resolution.
F. Adoption of this Resolution is exempt from CEQA per Section 15061(b)(3).
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Authorizing Town Manager to execute an agreement for as-needed On-Call Professional Design Services with BAE Urban Economics Inc. in the maximum amount of $250,000 for a three-year period with no obligation for the Town to award a work order and encumber funds within the term of the contract.
2. The Town standard Professional Services Agreement for Design Professionals Agreement for BAE Urban Economics Inc. is included in this resolution.
