RECOMMENDATION
Approve Resolution Number 26-4404 authorizing the Town Manager to execute an agreement for as-needed On-Call Professional Services with BAE Urban Economics, Inc. in the maximum amount of $250,000 for a threeyear period with no obligation for the Town to award a work order and encumber funds within the term of the contract.

DISCUSSION/BACKGROUND
The Town Manager and Town Departments are responsible for delivering the Town Council’s vision using forward thinking, open-minded strategies that are committed to the Town’ success in the form of unified and sustainable results. A current example is the Yountville Commons project. As the Town focuses its efforts on the fiscally responsible redevelopment of that important site, there is a need to continue to enlist urban economics and real estate advisory consultants to provide data for informed decision making.

In December 2025, the Town entered into Agreement No. 2025-1030 under the Town Manager’s approval authority with BAE Urban Economics Inc. to provide real estate and financial feasibility support for the Yountville Commons project. That initial agreement included a review of the project, preparation of a preliminary pro-forma analysis, working with Town staff on pro-forma alternatives and presenting those results at the February 17th Town Council meeting. Based on the results of that February 17th meeting coupled with input from the community, BAE’s role in the project needs to expand beyond the limits of the original agreement.

As Town Council is aware, Matt Kowta of BAE Urban Economics and real estate advisory consultants has been instrumental in the Town’s development of a pro-forma financial feasibility model for the Yountville Commons project. As such, staff is requesting authorization for the Town to enter into an on-call agreement with BAE Urban Economics Inc. to allow them to further their role in the economic development of the Yountville Commons project.

BAE's scope of work under this on-call agreement may include, but shall not be limited to: a) complete market research to support refinement of the development program for Yountville Commons, including the number of housing units by type/size and targeted rent levels based on direction from Town Council; b) conduct pro-forma modeling and other research and analysis to explore the financial feasibility of alternative development programs, phasing approaches, and development strategies for Yountville Commons; c) support analysis and development of a household preference program for Yountville Commons; d) assist with preparation of staff reports, and participate in public meetings; e) participate in meetings and coordinate with Town staff and other project team members as necessary to support the Yountville Commons project; f) conduct other research and analysis to support the Yountville Commons project, based on direction from the Town Manager.

Attached to this Staff Report is the Professional Services Agreement for Design Professional contracts template populated with BAE Urban Economics specifics. Town staff respectfully requests Town Council approve Resolution Number 26-4404 authorizing Town Manager to execute an agreement for as-needed On-Call Professional Design Services with BAE Urban Economics in the maximum amount of $250,000 for a three-year period with no obligation for the Town to award a work order and encumber funds within the term of the contract.
