A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE APPROVING
AN AMENDMENT TOTHE EXISTING PROFESSIONAL SERVICES AGREEMENT (PSA) WITH PRUNUSKE CHATHAM, INC., INCREASING THE AGREEMENT’S MAXIMUM AMOUNT FROM $60,000 T0 $78,000 AND AUTHORIZING THE TOWN MANAGER TO
EXECUTE THE AMENDMENT AND FOLLOWING AMENDMENTS FOR THIS CONTRACT UP TO THE BUDGETED AMOUNT.

A. On April 13, 2023, the Town entered into a Professional Services Agreement (PSA) with Prunuske Chatham, Inc. for environmental permitting services as part of the Recycled Water Transmission Main Repair.
B. The initial contract was approved by the Town Manager for $44,900. As the project design progressed and a final design was chosen, the environmental permit process required additional services to secure the approval of the regulatory agencies such as the Department of Fish and Wilidlife and the State Water Resources Control Board and Amendment Number 2 was approved to increase the project to $60,000.
C. The regulatory agencies will issue final permits with conditions the Town must follow including the pre-construction environmental biological survey work.
D. The Town recommends increasing the contract from $60,000 to a new total of $78,000. This will cover the additional services during design and services required for the pre-construction and construction environmental biological survey.
E. Town Council approves the increase in the contract amount and authorizes the Town Manager to sign the contract amendment, increasing the maximum amount from $60,000 to a new maximum amount of $78,000 and authorizes the Town Manager to execute and following amendments for this contract up to the budgeted amount.
F. The amendment is fully funded by the Capital Improvement Program (CIP) project WW-0042.
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Authorize an Amendment to Professional Services Agreement Number 2023-802 Prunuske Chatham, Inc., increasing the maximum amount to $78,000.
2. Authorize the Town Manager to execute the amendment and following amendments for this contract up to the budgeted amount.
3. The Resolution is hereby adopted and becomes effective and in full force immediately upon adoption.
