ASSIGNMENT OF WORKFORCE HOUSING AGREEMENT
For Ten and No/100 Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, ASHFORD YOUNTVILLE II LP, a Delaware limited partnership (“Assignor”), hereby assigns and delegates to [YNTV PROPERTY, LLC], a Delaware limited liability company (“Assignee”), all of its respective right, title and interest in and to the Workforce Housing Agreement dated as of March 31, 2006 between the Town of Yountville and Gateway Mobilehome Park, LLC, filed on May 3, 2006 under Instrument Number 2006-0015542 of the Official Records of Napa County, California, as assigned by that certain Assignment of Workforce Housing Agreement dated as of May 11, 2017 between Hotel Yountville Holdings, LLC, Altamura Family, LLC and George Alatamura, Jr. LLC and Assignor, filed on May 17, 2017 under Instrument Number 2017-0011400 of the Official Records of Napa County, California (as otherwise amended and assigned, the “Agreement”).
Assignee hereby assumes and agrees to perform all of the obligations of Assignor under the Agreement to the extent any such obligations accrue and are applicable to periods from and after the date hereof.
Assignor hereby agrees to indemnify, defend and hold harmless Assignee and its affiliates from and against any and all liabilities, claims, costs and expenses, including, without limitation, reasonable attorneys’ fees, relating to acts or omissions accruing under the Agreement prior to the date hereof. Assignee hereby agrees to indemnify, defend and hold harmless Assignor and its affiliates from and against any and all liabilities, claims, costs and expenses, including, without limitation, reasonable attorneys’ fees, relating to acts or omissions accruing under the Agreement from and after the date hereof.
If any litigation between Assignor and Assignee arises out of the obligations of the parties under this Assignment of Workforce Housing Agreement or concerning the meaning or interpretation of any provision contained herein, the losing party shall pay the prevailing party’s costs and expenses of such litigation including, without limitation, reasonable attorneys’ fees.

This Assignment of Workforce Housing Agreement may be executed and delivered in any number of counterparts, each of which so executed and delivered shall be deemed to be an original and all of which shall constitute once and the same instrument. [Intentionally blank]
