TO: Mayor and Town Council
FROM: Aaron Hecock, Planning & Building Director
PREPARED BY: Mackenzie Anderson, Assistant Town Attorney

RECOMMENDATION
Adopt Resolution Number 26-4413 consenting to and approving assignment of the Hotel Yountville Workforce Housing Agreement by and between the Town and Ashford Yountville II LP to YNTV Property, LLC and authorizing the Interim Town Manager to execute Estoppel Certificate and Town Consent Form for same.

DISCUSSION/BACKGROUND
In April of 2006, the Town entered into a Development Agreement with Gateway Mobilehome Park, LLC, the then owner of the Yountville Inn. This 2006 Development Agreement required the Town and Gateway Mobilehome Park, LLC to enter into a Workforce Housing Agreement prior to the Town’s approval of the Final Parcel Map for the Yountville Inn expansion project. This Workforce Housing Agreement between the Town and Gateway Mobilehome Park, LLC was approved by the Town Council on March 28, 2006, and took effect on March 31, 2006.

The Workforce Housing Agreement requires that 25 workforce housing units (including 3 studios, 15 onebedroom units, 6 two-bedroom units, and 1 three-bedroom unit) be reserved at affordable rates in perpetuity. At least eight (8) units must be rented at levels affordable to very low income households (households with incomes up to 50% median income); at least eight (8) units must be rented at levels affordable to low income households (households with incomes up to 80% AMI); and not more than nine (9) units may be rented at levels affordable to moderate income households (households with incomes up to 120% AMI). The Workforce Housing Agreement requires certification of tenant eligibility, annual monitoring and reporting, and use of a Townapproved Management Agent and lease agreement.

In May 2017, Gateway Mobilehome Park, LLC sold its interest in the Hotel Yountville property (rebranded from the Yountville Inn) to Ashford Yountville II LP. At this time, the Town consented to the assignment of the Workforce Housing Agreement to, and entered into a new Development Agreement with, Ashford Yountville II LP. This 2017 Development Agreement is currently in effect and may be assigned by Ashford Yountville II LP to any buyer or successor without the Town’s consent.

Unlike the 2017 Development Agreement, Section 19 of the Workforce Housing Agreement requires the Town’s prior written approval before Ashford Yountville II LP can assign its interest in the Workforce Housing Agreement.

A request for consent to assignment may “not be unreasonably denied” by the Town.

Ashford Yountville II LP has requested the Town consent to its proposed assignment to YNTV Property, LLC, an affiliate of KSL Capital Partners, LLC, in connection with its anticipated sale of the Hotel Yountville which is expected to close on or about May 27, 2026.

Ashford Yountville II LP has also requested the Town execute an Estoppel Certificate confirming the status of the Workforce Housing Agreement and Ashford Yountville II LP’s standing under the Agreement. With the execution of the Estoppel Certificate, the Town will warrant that there are no unresolved or uncured breaches or defaults under the Agreement at the time of approval and that the affordable units are being occupied in compliance with the Agreement.

Staff recommends the Town Council approve and authorize the Interim Town Manager to execute the attached Town Consent and Estoppel Certificate as requested by Ashford Yountville II LP.
