Town of Yountville
Resolution Number 26-4417

A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE REJECTING

ALL PROPOSALS FOR THE YOUNTVILLE COMMONS PROJECT DUE TO CHANGED MARKET CONDITIONS.

Recitals

1. In June 2025, the Town Council adopted Resolution Number 25-4371, establishing a policy governing design-build procurement and conflicts of interest for eligible public projects, consistent with Public Contract Code section 22160 et seq. and Government Code sections 1090 and 1097.6, thereby creating the framework for use of the design-build delivery method for the Yountville Commons Project located at 6554 Yount Street (the “Project”); and

2. In August 2025, the Town Council adopted Resolution Number 25-4382, authorizing release of a Request for Qualifications (RFQ) for the Project which defined project expectations, scope, budget, design excellence goals, and evaluation criteria including technical expertise, team organization, past performance, financial capacity, and order of magnitude cost and schedule assessments; and

3. Those prior Council actions were intended to position the Town to proceed with a design-build delivery model for the Project and to establish a competitive and transparent process for selecting a design-build entity; and

4. In December 2025, the Town issued a Request for Proposals (RFP) from short-listed design-build entities; and

5. Since adoption of those actions and the receipt of proposals from interested design-build entities, substantial time has passed and market conditions have materially changed, affecting assumptions related to pricing, contractor interest, schedule feasibility, and overall Project viability; and

6. Proceeding under the previously authorized RFP and/or relying on proposals submitted in January of this year will not yield the most accurate, responsive, competitive, or cost effective outcome under current conditions as market and pricing assumptions underlying the RFP and submitted proposals have become outdated; and

7. Town staff recommend rejecting all submitted proposals in light of changed market conditions and cost assumptions.

Now, therefore, the Town Council of the Town of Yountville does resolve as follows:

SECTION 1. RECITALS: The foregoing recitals are true and correct and are incorporated herein.

SECTION 2. CEQA FINDINGS: The rejection of all proposals submitted for the Project is not a “project” subject to the California Environmental Quality Act (Pub. Res. Code, § 21000, et seq.) (CEQA) pursuant to section 15378(b)(2) of Title 14 of the California Code of Regulations.

SECTION 3. AUTHORIZATION: The Town Council hereby rejects all proposals submitted for the Project in light of changed cost assumptions and market conditions.

SECTION 4. EFFECTIVE DATE: This Resolution shall take effect immediately upon its adoption.

SECTION 5. CERTIFICATION: The Town Clerk shall certify to the adoption of this Resolution.
