RECOMMENDATION
Adopt Resolution Number 26-4425 authorizing a Maintenance Agreement with Jenfitch, Inc. in an amount not to exceed $160,000 and a Maintenance Agreement with Univar Solutions USA, Inc. in an amount not to exceed $70,000 for the purchase and delivery of chemicals to the Wastewater Reclamation Facility, and authorizing the Interim Town Manager to execute the agreements and any amendments within the approved budget.

DISCUSSION/BACKGROUND
The Town of Yountville Wastewater Reclamation Facility uses several chemicals to adequately treat the wastewater generated by businesses and residents to meet the requirements of the National Pollutant Discharge Elimination System (NPDES) Permit.

Due to the nature and chemistry of the influent to the Wastewater Reclamation Facility, it was determined that a coagulant would need to be developed for the Town. The Town has been reliant of Jenfitch, Inc. as the exclusive supplier of JC 1679, a coagulant used in the treatment process. This chemical plays a vital role in aiding the treatment process, and Jenfitch, Inc. has been supplying it to the Town for many years. Staff have evaluated alternative products; however, to date, a suitable alternative has not been identified.

This purchase qualifies as a sole source procurement in accordance with Town Municipal Code Section

3.32.190, which allows for the procurement of goods from a single supplier when no reasonable alternative exists and exempts such purchases from competitive bidding requirements.

In addition to the coagulant, the facility also uses Sodium Hypochlorite and Sodium Bisulfite for disinfection and dichlorination. Staff recommends purchasing these chemicals from Univar Solutions USA, Inc. through a cooperative purchasing program. This approach allows the Town to obtain competitive pricing and maintain a reliable supply of necessary treatment chemicals. This procurement method is authorized under Town Municipal Code Section 3.32.200, which permits the use of cooperative purchasing agreements to obtain competitively procured pricing through other public agencies and streamline procurement without conducting a separate formal bid process.

Maintaining a consistent supply of these chemicals is critical to ensuring the facility continues to operate effectively and in compliance with regulatory requirements.

Staff recommends adoption of Resolution Number 26-4425 authorizing a Maintenance Agreement with Jenfitch, Inc. in an amount not to exceed $160,000 and a Maintenance Agreement and Univar Solutions USA, Inc. in an amount not to exceed $70,000 for the purchase and delivery of chemicals to the Wastewater Reclamation Facility and authorizing the Interim Town Manager to execute the agreements and any amendments within the approved budget.
