STORMWATER MANAGEMENT MAINTENANCE AGREEMENT
This Stormwater Management Maintenance Agreement (“Agreement”) is entered into by and between the Town of Yountville (“Town”) and Crossroads Circle, LLC, a California Limited Liability Corporation, the owner of real property described in Exhibit A of this Agreement (“Property Owner”).
RECITALS
A. On May 11, 2022, the Regional Water Quality Control Board, San Francisco Bay Region (“RWQCB”), adopted Order R2-2022-0018, CAS612008 issuing the Municipal Regional Stormwater NPDES permit (“MRP”) for the San Francisco Bay Region; and B. The Town is a permittee of the MRP; and
C. Provision C.3.h of the MRP requires the Town to implement an Operation and Maintenance Verification Program (“Program”) for stormwater treatment systems, which are defined as “any engineered system designed to remove pollutants from stormwater runoff by settling, filtration, biological degradation, plant uptake, media absorption/adsorption or other physical, biological or chemical process,” and “includes landscape-based systems such as grassy swales and bioretention units as well as proprietary systems” (MRP glossary, pg. 256). As part of the Program, the Town is required to ensure that all installed stormwater treatment systems or measures are adequately operated and maintained by entities responsible for such stormwater treatment systems or measures, such as the Property Owner; and D. The Property Owner is the fee simple owner of real property commonly known as the “Oak + Vine Subdivision”, located at 1980 Yountville Cross Road, Yountville, CA 94599 (APN: 031-260-026-0000), (the “Property”), which is more particularly described in Exhibit A, attached hereto and incorporated herein by reference. The Town, by its approval of Resolution No. 24-4292 on July 16, 2024, approved the Major Subdivision Tentative Map, Preliminary and Final Master Development Plan, Density Bonus 1 of 18
55008.0005 445516.5
Concession and Waivers, Design Review, Tree Removal and Fence Extension for the Oak + Vine Subdivision development (the “Project”). The Project approval is conditioned upon the Property Owner’s implementation of a stormwater control plan to “address how drainage will be treated” and show how drainage overflow is to be “directed in a manner acceptable to the Town” through the design and construction of stormwater treatment measure(s), flow duration controls, and/or full trash capture device(s) (collectively referred to as “Stormwater Controls”) (it being acknowledged that this Agreement relates solely to the stormwater control plan and the portion of the Project affected thereby, and does not otherwise modify the foregoing Resolution or the rights or obligations of Property Owner thereunder); and
E. The Stormwater Controls are more particularly described in the Stormwater Management Site Plan, attached hereto as Exhibit B and incorporated herein by reference. Full scale Project plans and any approved revisions thereto as well as the Hydrology Report submitted by Madrone Engineering and dated October 25, 2023, are on file with the Public Works Department of the Town; and
F. The Town is the permittee public agency with jurisdiction over the Property; and G. The Property Owner, its administrators, co-owners, executors, administrators, transferees, successors, heirs, assigns or any other persons, including any homeowners association (collectively hereinafter referred to as “Property Owner”) recognizes that the Stormwater Controls must be installed and maintained on the Property as indicated in this Agreement and as required by the MRP; and
H. The Town and the Property Owner agree that the health, safety, and welfare of the citizens of the Town, together with the provisions of Yountville Municipal Code and other applicable Town guidelines, require that the Stormwater Controls detailed in Exhibit B are to be constructed, operated and maintained on the Property by the Property Owner; and I. The Property Owner accepts the responsibility for properly constructing, operating, and maintaining the Stormwater Controls on the Property.
NOW, THEREFORE, with reference to the above recitals and in consideration of the mutual promises, obligations, and covenants herein, the parties hereto agree as follows:
SECTION 1: CONSTRUCTION OF STORMWATER CONTROLS
The on-site Stormwater Controls described in Exhibit B shall be constructed by a licensed contractor engaged by the Property Owner in strict accordance with the Town-approved plans and specifications identified for the Project and any other requirements thereto which have been approved by the Town in conformance with appropriate Town ordinances, resolutions, regulations, guidelines, criteria, or other written direction.
SECTION 2: OPERATION AND MAINTENANCE RESPONSIBILITY
Property Owner shall diligently and adequately maintain in perpetuity the Stormwater Controls in good working order at all times, and shall make such changes or modifications, subject to Town’s prior approval, as may be reasonably necessary for the Stormwater 2 of 18
55008.0005 445516.5
Controls to continue to operate as designed and approved, in good repair at all times, in compliance with all applicable Federal, State, County and local laws and regulations, including, but not limited to, the Project conditions of approvals, the MRP, the Town’s Stormwater Management Program, and Stormwater Management Site Plan (as may be amended from time to time), in a manner which will accomplish the intended purpose of the Stormwater Controls. The Property Owner shall be responsible for all costs incurred in designing, constructing, installing, and maintaining the Stormwater Controls and all Town fees relating thereto.
SECTION 3: MAINTENANCE OF TREATMENT MEASURES
The Property Owner shall not destroy or remove the Stormwater Controls from the Property nor modify the Stormwater Controls without the prior written consent of the Town Engineer, and shall, at its sole expense, adequately maintain the Stormwater Controls in good working order acceptable to the Town Engineer and in accordance with the Maintenance Plan attached as Exhibit C and incorporated herein by reference. This includes all pumps, pipes, channels, appurtenances, or other conveyances built to convey stormwater to the Stormwater Controls, as well as all structures, improvements, and vegetation provided to control the quantity and quality of the stormwater. Adequate maintenance is herein defined as maintaining the Stormwater Controls in good working condition so that these facilities continue to operate as originally designed and approved. The Maintenance Plan shall include a detailed description of and schedule for long-term maintenance activities.
In the event the Stormwater Controls are destroyed, damaged, removed, or modified in a manner that lessens their effectiveness, the Property Owner, at its sole expense, shall restore them such that they perform as intended and are in good working order acceptable to the Town.
SECTION 4: SEDIMENT MANAGEMENT
The Property Owner shall manage sediment accumulation resulting from the normal operation of the Stormwater Controls appropriately. The Property Owner shall provide for the removal and disposal of accumulated sediments. Disposal of accumulated sediments shall not occur on the Property, unless provided for in the Maintenance Plan. Any disposal or removal of accumulated sediments or debris shall be in compliance with all Federal, State, and local law and regulations.
SECTION 5: ANNUAL INSPECTION AND REPORT
The Property Owner shall conduct a minimum of one annual inspection of the Stormwater Controls between August 1st and October 1st each year. The results of the inspection shall be recorded on the Inspection and Maintenance Checklists, attached to this Agreement as Exhibit D and incorporated herein by reference. The Property Owner shall, on an annual basis, complete the Stormwater Controls Operation and Maintenance Inspection Report (the “Annual Inspection Report”), attached to this Agreement as Exhibit E and incorporated herein by reference. The Annual Inspection Report shall include all completed Inspection and Maintenance Checklists for the reporting period. The Annual Inspection Report shall 3 of 18
55008.0005 445516.5
also include a record of the volume of all accumulated sediment removed from the Stormwater Controls.
The Property Owner shall retain each Annual Inspection Report for a period of at least five (5) years. The Town may request the Property Owner to provide copies of any or all Annual Inspection Reports prepared during the prior five years in order to verify that inspection and maintenance of all applicable Stormwater Controls have been conducted in accordance with this Agreement. The Property Owner shall comply with any subject request within five (5) working days of receipt thereof.
SECTION 6: NECESSARY CHANGES AND MODIFICATIONS
At its sole expense, the Property Owner shall make any changes or modifications to the Stormwater Controls and/or the Maintenance Plans, Exhibit C, as the Town Engineer may, in his or her reasonable discretion, determine to be reasonably necessary to ensure that the Stormwater Controls are properly maintained and continue to operate as originally designed and approved. The Town Engineer, in his or her reasonable discretion, may approve alternative plans for the maintenance of the Stormwater Controls and may also, in his or her reasonable discretion, revoke the approval of a previously approved alternative plan for the maintenance of the Stormwater Controls.
At least thirty (30) days prior to requiring the Property Owner to make any such changes or modifications to the Stormwater Controls and/or the Maintenance Plans or revoking the approval of a previously approved alternative plan for the maintenance of the Stormwater Controls, the Town Engineer shall provide the Property Owner with notice of the Town Engineer’s intent to do so. During that 30-day period, the Property Owner shall have the opportunity to take any action and provide any information to demonstrate to the Town Engineer that such changes, modifications, or revocation is not necessary. If such action or information satisfies the Town Engineer, in his or her reasonable discretion, then the Town Engineer shall withdraw the request regarding such changes, modifications, or revocation.
SECTION 7: ACCESS TO THE PROPERTY
In addition the rights provided by law, the Property Owner, its successors and assigns, hereby grants permission to the Town; the RWQCB; the Napa County Mosquito Abatement District ; and their authorized agents and employees (hereinafter “Agencies”) to enter upon the Property at reasonable times and in a reasonable manner to inspect, assess or observe the Stormwater Controls in order to ensure that Stormwater Controls are being properly operated and maintained and are continuing to perform in an adequate manner to protect water quality and the public health and safety. This includes the right to enter upon the Property when the Agency or Agencies has/have a reasonable basis to believe that a violation of this Agreement, the Town’s Stormwater Management Program, guidelines, criteria, or the MRP, or any amendments or re-issuances of this permit, is occurring, has occurred or threatens to occur. The above listed Agencies also have a right to enter the Property when necessary for abatement of a public nuisance or correction of a violation of the Annual Inspection Report criteria. Whenever possible, Agencies shall provide reasonable notice, delivered pursuant to Section 9 of this Agreement, to the Property Owner before entering the Property.

SECTION 8: FAILURE TO MAINTAIN STORMWATER CONTROLS
In the event the Property Owner fails to comply with the terms of this Agreement; maintain the Stormwater Controls as shown on the approved Stormwater Management Site Plan in good working order acceptable to the Town and in accordance with applicable law and the Maintenance Plan incorporated in the Agreement; or if the actions or inactions of the Property Owner has created the potential for adverse impacts, as determined in the Town’s sole discretion, to water quality, public health and safety, and/or the Town’s drainage system, the Town, and its authorized agents and employees may notify the Property Owner of this failure with notice, delivered pursuant to Section 9 of this Agreement.
If the Town, in its sole discretion, determines that the failure poses an emergency or imminent threat to water quality, public health and safety, or the Town’s drainage system, then the Town shall have the right to enter the Property without prior notice to the Property Owner. The Property Owner hereby grants the Town the right to enter upon the Property to access the Stormwater Controls and perform whatever work is necessary to correct the emergency or threatening situation.
If the Town determines that the failure does not pose an emergency situation or imminent threat, then the Property Owner shall have a reasonable period of time, as determined by the Town, to cure the failure. Should the Property Owner fail to cure the failure within said period, then the Town shall have the right to enter the Property to access the Stormwater Controls and perform the necessary work to cure the failure.
In either such case, the Town may bill the Property Owner for the entire cost and expense of such repair, cure, and/or maintenance, including but not limited to related administrative costs.
This section shall not be construed to allow the Town to erect any structure of a permanent nature on the Property. It is expressly understood and agreed that the Town is under no obligation to maintain or repair the stormwater controls and in no event shall this Agreement be construed to impose any such obligation on the Town. It is the express intent of the Property Owner that the terms and provisions of this Agreement shall be enforceable as an equitable servitude. To the extent necessary to do so, the Property Owner and its successors and assigns hereby confer and assign rights to enforce the terms and conditions of this Agreement to the Town.

SECTION 11: INDEMNIFICATION
To the fullest extent permitted by law, the Property Owner shall indemnify, hold harmless and defend the Town and its authorized agents, officers, officials, volunteers, and employees from and against any and all claims, demands, suits, damages, liabilities, losses, accidents, casualties, occurrences, costs (including attorney’s fees), and payments, including, but not limited to, claims for property damage, personal injury or death, arising out of, or in any way connected with, the design, construction, presence, existence, location, operation, or maintenance of the Stormwater Controls described herein by Property Owner, any contractor, subcontractor, officer, director, member, employee, agent, guest or invitee of the Property Owner, anyone directly or indirectly employed by any of them, or anyone for whose acts any of them may be liable, including those that may result from the Town or other public entities entering the Property and/or performing work required to be performed by the Property Owner as set forth herein, except where caused solely by the active negligence, sole negligence, or willful misconduct of the Town.
In the event a claim is asserted against the Town, its authorized agents, officers, officials or employees, the Town shall promptly notify the Property Owner, and the Property Owner shall defend, at its own expense and with counsel approved by Town, against any suit based on such claim. If any judgment or claims against the Town, its authorized agents, officers, officials, volunteers, or employees shall be allowed, the Property Owner shall pay for all costs and expenses in connection herewith. This section shall not apply to any claims, demands, suits, damages, liabilities, losses, accidents, casualties, occurrences, claims, and payments, including attorney’s fees claimed which arise due solely to the active negligence, sole negligence, or willful misconduct of the Town.
This obligation to indemnify, hold harmless and defend Town as set forth herein is binding on the successors, assigns, or heirs of Property Owner and shall survive the termination of this Agreement or this section. By execution of this Agreement, Property Owner acknowledges and agrees that it has read and understands the provisions hereof and that this section is a material element of consideration. The parties agree that if any part of this section is found to conflict with applicable laws, such part shall be unenforceable only insofar as it conflicts with said laws, and that this indemnification shall be judicially interpreted and rewritten to provide the broadest possible indemnification legally allowed and shall be legally binding upon the Property Owner.
SECTION 12: NO ADDITIONAL LIABILITY
It is the intent of this Agreement to ensure the proper maintenance of the Stormwater Controls by the Property Owner; provided, however, that this Agreement shall not be deemed to create or effect any additional liability not otherwise provided by law of any party for damage alleged to result from or caused by stormwater runoff. 7 of 18

Routine Maintenance Activities
Some portions of this site provide “self-treatment” or are “self-retaining” as long as they remain properly designed and drained. These areas are considered self-treating or self-retaining because infiltration and natural processes that occur in these areas remove pollutants from stormwater. Pollutant removal efficiency of these areas is maintained by ensuring a dense, healthy vegetated cover, and by keeping the area pervious. Routine maintenance activities, and the frequency at which they will be conducted, are shown in the table below.
Routine Maintenance Activities for Self-Treating/Self-Retaining Areas No. Maintenance Task Frequency of Task
1 Do not alter self-treating/self-retaining area; keep
the areas landscaped and pervious.
In perpetuity.
2 Do not alter drainage. Drainage from impervious
areas, if any, must remain connected to the
pervious area.
In perpetuity.
3 Mow turf grass, if any, according to Bay Friendly
guidelines
As necessary.
4 Irrigate during dry weather. Treat vegetation using
preventative and low-toxic methods.
As necessary.
5 Remove obstructions and trash from
self-treating/self-retaining area and dispose of
properly.
Monthly, or as needed.
6 Inspect self-treating/self-retaining area to check for erosion and sediment and debris accumulation.
Dispose of sediment and debris properly.
Twice a year: 1) one inspection
at the end of the wet season in
order to plan and schedule
summer maintenance, 2) the
other inspection after periods
of heavy runoff (1” or greater).
7 Remove sediment accumulating near culverts and
in channels when it builds up to 75 millimeters (3
inches) at any spot, or if it covers vegetation.
Dispose of sediment properly.
As needed.
8 Inspect self-treating/self-retaining area using the
inspection checklist provided in Exhibit D.
Monthly, or as needed.
Inspections
The Self-Treating/Self-Retaining Area Inspection and Maintenance Checklist provided in the attachments to Exhibit D shall be used to conduct inspections monthly (or as needed), identify needed maintenance, and record maintenance that is conducted.
Mosquito Abatement
Standing water shall not remain in the treatment measures for more than five days, to prevent mosquito generation. Should any mosquito issues arise, contact the Napa County Mosquito Abatement District, as needed for assistance.
