Item No. 5.

STAFF REPORT
DATE: September 14, 2026
TO: Honorable Mayor and City Council
FROM: Dr. Sean M. Moore, City Manager
PREPARED Fermin Preciado, Director of Public Works/City Engineer BY: Scott Washburn, Deputy Director of Public Works
Todd Gutjahr, Senior Public Works Analyst
SUBJECT: Contract Amendment -Allison Mechanical, Inc., HVAC Operations and Maintenance Services at Various Public Facilities
RECOMMENDATION:

That the City Council:

1. Approve and authorize the City Manager to execute Contract Amendment No. 9 with Allison Mechanical, Inc. for HVAC Operations and Maintenance Services at Various City -Owned Public Facilities resulting in a revised five-year contract total of $1,151,743; or

2. Provide further direction to staff.

BACKGROUNDIDISCUSSION:

On June 22, 2026, the City Council approved Contract Amendment No. 7 (Scherer Senior Center HVAC Upgrades) and Contract Amendment No. 8 (Fourth Annual Contract Extension) with Allison Mechanical, Inc. Following those approvals, staff identified clerical errors in the revised contract totals identified in the City Council report. While the City's procurement system, financial records, and contract documents attached to that report reflect the correct amounts, staff is recommending approval of proposed Contract Amendment No. 9 to clarify the correct contract amendment amounts and the total five-year contract amount.

This proposed action serves only to correct the clerical errors allowing the five-year contract with Allison Mechanical Inc. to accurately reflect the amounts in the City's financial records consistent with the City Council's previous approvals for this contract. No fiscal or budget adjustments are required for the proposed amendment.

FISCAL IMPACT:

The recommendations do not result in a fiscal impact.

BY AND BETWEEN

THE CITY OF YUCAIPA,

A CALIFORNIA MUNICIPAL CORPORATION
AND

DATED: SEPTEMBER 14, 2026

NINTH AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR HVAC

OPERATIONS AND MAINTENANCE SERVICES BETWEEN THE CITY OF YUCAIPA AND ALLISON MECHANICAL, INC.

This Ninth Amendment to the Professional Services Agreement for HVAC Operations and Maintenance Services is made and entered into as of this 14t1i day of September, 2026, by and between the City of Yucaipa ("City"), a California municipal corporation, and Allison Mechanical, Inc., a California Corporation ("Consultant"). City and Consultant are sometimes hereinafter referred to as "Party" and hereinafter collectively referred to as the "Parties."

RECITALS
A. C. The Parties have previously entered into Amendment No. 2 dated October 23, 2023 ("Amendment No. 2"). Amendment No. 2 increased the total not to exceed amount to One Hundred Fifteen Thousand Five Hundred Thiry-One Dollars ($115,531) per year for HVAC operations and maintenance services.

D. The Parties have previously entered into Amendment No. 3 dated June 24, 2024 ("Amendment No. 3"). Amendment No. 3 increased the total not to exceed amount to One Hundred Fifteen Thousand Seven Hundred Thiry-One Dollars ($117,531) per year for HVAC operations and maintenance services.

G. The Parties have previously entered into Amendment No. 6 dated November 1, 2025 ("Amendment No. 6"). Amendment No. 6 increased the total not to exceed amount to Three Hundred Twenty -Eight Thousand Nine Hundred Dollars ($328,900) per year for the replacement of the chiller at City Hall.

H. The Parties have previously entered into Amendment No. 7 dated June 22, 2026 ("Amendment No. 7"). Amendment No. 7 increased the total not to exceed amount to Four Hundred Ninety -Three Thousand Dollars ($493,000) per year for the Scherer Senior Center HVAC Upgrades — CDBG Project No: YUCA-CV19-1-03A.

I. The Parties have previously entered into Amendment No. 8 dated June 22, 2026 ("Amendment No. 8"). Amendment No, 8 increased the total not to exceed amount to One Hundred Fifty -Five Thousand Eight Hundred Two Dollars ($155,802) for FY27 and includes a CPI increase for FY27 of 3.1 % for HVAC operations and maintenance services, for a contract total of Six Hundred Forty -Eight Thousand Eight Hundred and Two Dollars ($648,802). Additionally, the Parties agreed to another one-year extension of the Agreement, ending on June 30, 2027.

J. Following approval, staff identified a clerical error in the revised contract totals listed in the agenda report for Amendment No. 7 and in the narrative sections of both Amendment No. 7 and Amendment No. 8. These incorrect totals appeared only in the published report text; the City's procurement system, financial records, and fully executed contract documents all reflected the correct amounts.

The incorrect figures ($493,000 and $648,802) did not impact the adopted FY27 Budget, previously approved project funding allocations, nor any executed contract documents or amendments.

K. All official contract and fiscal records correctly show the five-year contract total as $1,151,743. The Parties intend to make a similar correction to the Agreement through this Ninth Amendment.

L. The Extension of Contract of the Special Provisions allows the Agreement to be extended beyond the initial term for an additional four (4) one-year terms with mutual agreement by the City and Contractor and allows for an adjustment equal to the Consumer Price Index for the final three terms. The Contract will expire on June 30, 2027.

OPERATIVE PROVISIONS
