1.1 Purpose
The City of Yucaipa ("City") is seeking qualifications and proposals from experienced firms, organizations, operators, or business entities ("Proposer") for the operation, management, activation, and potential adaptive reuse of the Yucaipa Performing Arts Center ("YPAC"). The City is inviting a broad range of operating concepts and business models that maximize the economic and revenue potential of this City -owned asset while eliminating the need for ongoing General Fund operating subsidy.

The YPAC is an approximately 18,850-square-foot multi -purpose facility featuring a 2,000- square-foot outdoor stage and an indoor flexible space with retractable seating for approximately 287. Although the facility was originally developed as a performing arts center, the City will consider financially sustainable proposals for performing arts, live entertainment, food and beverage, restaurant, music, dance, private events, community uses, hospitality, mixed -use concepts, or other lawful commercial or entertainment uses compatible with the facility, surrounding area, applicable land -use requirements, and City objectives.

The City's primary objectives are to: (1) achieve General Fund neutrality for ongoing YPAC operations; (2) maximize guaranteed and/or performance -based revenue to the City; (3) transfer appropriate operating and financial risk to the selected Proposer; (4) encourage private investment in and activation of the facility; and (5) contribute to the economic vitality and activation of the Historic Uptown District.

The selected Proposer will be responsible for managing, staffing, promoting, operating, maintaining as negotiated, and overseeing the facility in accordance with the final agreement.

2.2 Proposal Examination
Before submitting a proposal, the Proposer shall carefully examine the scope of services and all other solicitation documents to ensure a clear understanding of the requirements for performance of the work.

By submitting a proposal, the Proposer represents that it has thoroughly examined and become familiar with the contents of this RFQ/P and the City's standard contract documents, and that it is capable of performing quality work that achieves the City's objectives.

2.3 Proposal Submission
To be considered, all proposals must be submitted in the manner set forth in this RFQ/P. It is the Proposer's sole responsibility to ensure its proposal arrives on or before the date and time specified in Section 5.2.

2.4 Notice to Operators
Selection of the Proposer will be based on the best overall qualified respondent. The City shall decide, in its sole and absolute discretion, whether to enter into a contract at all, even if one or more qualified Proposers submit proposals. City staff may, but is not obligated to, conduct interviews with Proposers. The City may disqualify any proposal that fails to meet the terms and conditions of this RFQ/P.

2.5 Final Authority
Final authority to award a contract rests solely with the Yucaipa City Council.

2.6 Modifications
The City reserves the right to issue addenda or amendments to this RFQ/P at any time prior to the Submittal Deadline. Any addenda or amendments will be posted on the City's designated procurement website and provided electronically to known prospective proposers. It is the responsibility of each proposer to review all issued addenda and incorporate any changes into its proposal.

2.7 Non -Collusion Declaration
By submitting a proposal, the Propser declares that the only persons or parties interested in the proposal as principals are those named in it; that no officer, agent, or employee of the City of Yucaipa has a direct or indirect personal interest in the proposal; that the proposal is submitted without collusion with any other individual, firm, or corporation submitting a proposal for the same work; and that the proposal is, in all respects, fair and made without fraud. 5 1 P a g e

2.8 Proprietary Information
The Propser shall identify any portions of its proposal it considers confidential, proprietary, or trade secret, and provide justification for why the City should not disclose those materials.

Confidential pages shall be clearly stamped "Confidential" at the top and bottom. The City will review all such requests, and any decision not to honor a confidentiality request will be communicated to the Operator in writing. Confidential materials submitted by unsuccessful Operators will be returned upon request.

2.9 Competency of Proposer
The City will evaluate each Proposer's qualifications as part of the RFQ/P review process. To be considered for contract award, an Operator must demonstrate that it possesses all licenses required to perform the services and has the qualifications, experience, ability, and financial capacity necessary to successfully perform the Scope of Services.

The Proposer shall provide sufficient information within its proposal to demonstrate experience performing work of similar character and scope, including its organizational history, relevant experience, qualifications, and references.

The City reserves the right to verify information provided in a proposal, contact references, request additional information or clarification, and conduct any investigation it deems necessary to evaluate an Proposer's qualifications and ability to perform the required services.

The Proposer shall provide any additional information reasonably requested by the City for this purpose.

The City will not award a contract to a Proposer that, in the City's determination, has not demonstrated the qualifications, experience, capacity, or ability necessary to successfully perform the required services.

2.10 Questions and Comments
All questions, requests for clarification, and comments regarding this RFQ/P must be submitted electronically through the BidNet Q&A function no later than the deadline specified in the RFQ/P schedule. Questions submitted by email, telephone, or other means will not be accepted.

Proposers are responsible for monitoring BidNet for responses to questions, addenda, and other updates related to this solicitation.

2.11 Term of Contract
The City is not prescribing a fixed two-year operating term. Proposers shall identify the initial term, renewal options, and overall deal structure necessary to support their proposed operating model and any private capital investment. The City is interested in a term that appropriately balances financial return, private investment, operating stability, performance accountability, and preservation of City control.
6 1 P a g e

Proposals involving substantial private capital investment, tenant improvements, adaptive reuse, or other significant financial commitments should explain the proposed investment, anticipated useful life or amortization period, and why the requested contract or lease term is necessary.

The final term, extension options, performance standards, termination rights, and other contractual protections will be subject to negotiation and approval by the Yucaipa City Council.

The City is not obligated to accept a Proposer's requested term or deal structure.

3. General Requirements

3.1 Background
The City of Yucaipa was incorporated in 1989 and is located approximately 75 miles east of Los Angeles, nestled in the foothills of the San Bernardino Mountains. The City encompasses approximately 26 square miles and has a population of approximately 53,000.

The YPAC is located in the Historic Uptown District at 12062 California Street, at the northwest corner of Yucaipa Boulevard and California Street. Its construction reflects a significant City investment in the revitalization of Uptown Yucaipa, which also features public art and streetscape improvements — including benches, lighting, and ambient music — designed to welcome shoppers, diners, and pedestrians.

The City seeks to maximize the public and economic value of the YPAC as a City -owned asset and to strengthen activity in the Historic Uptown District. The City welcomes creative, financially sustainable concepts that activate the facility, attract residents and visitors, generate economic activity, and provide a positive long-term financial outcome for the City. Performing arts and community programming may be included in a proposal, but they are not required to be the primary operating model.

3.2 Scope of Services
The City is seeking proposals for a financially sustainable, turn -key operating concept for the YPAC. The following requirements establish the City's minimum expectations while intentionally allowing Proposers flexibility to recommend the use, programming mix, operating model, and commercial structure that best achieves the City's objectives.

1. Financial Sustainability and General Fund Neutrality. The proposed operating model must not require an ongoing General Fund operating subsidy from the City. The proposal shall clearly identify all costs proposed to remain the responsibility of the City, all reimbursements to the City, guaranteed payments, revenue -sharing arrangements, and any other financial obligations or benefits.

2. Facility Operation and Activation. Manage, staff, promote, operate, and activate the YPAC under the proposed business model. Permitted concepts may include, but are not limited to, performing arts, concerts and live music, food -and -beverage operations, dance or entertainment venues, private events and rentals, community programming, hospitality uses, mixed -use concepts, or other lawful uses compatible with the facility and applicable City requirements.
7 1 P a g e

3. Operating Risk. Identify the operating, staffing, programming, revenue, maintenance, capital, and other risks the Proposer proposes to assume. The City prefers proposals that materially eliminate the City's exposure to variable operating costs.

4. Revenue to the City. Propose a financial structure that provides the greatest reasonable net financial benefit to the City. Proposals may include guaranteed annual payments, base rent, percentage rent, revenue sharing, reimbursement of City costs, concession revenue, or another structure.

5. Private Capital Investment and Improvements. Identify any private capital investment, tenant improvements, equipment purchases, renovations, adaptive reuse, or other improvements proposed for the facility, including estimated value, funding source, ownership, requested City participation, schedule, and contract term necessary to support the investment.

6. Existing City Rentals. Upon commencement of the final agreement, the selected Proposer shall assume responsibility for existing YPAC rentals previously booked and contracted by the City. The Proposer shall describe how it will honor those commitments.

7. Existing In -House Theater Company Agreement. The selected Proposer shall identify how it proposes to accommodate, administer the City's existing agreement with the YPAC in-house theater company. Final treatment of that agreement and associated revenues will be subject to negotiation and the existing agreement.

8. City Use. The City desires to retain limited use of the facility for City -sponsored events and activities. Proposers shall describe how City use would be accommodated and identify any proposed number of no -cost or reduced -cost City use days.

9. Uptown Economic Activation. Describe how the proposed concept will increase visitation, foot traffic, business activity, dining, entertainment, tourism, or other economic activity within the Historic Uptown District and surrounding community.

10. Staffing and Operations. Provide all staffing, management, operational systems, security, custodial services, food service, ticketing, marketing, technology, and other resources necessary for the proposed concept, except for City -provided resources specifically identified in the Exhibit C and approved in the final agreement.

12. Compliance. Obtain and maintain all licenses, permits, insurance, approvals, and regulatory authorizations required for the proposed use and comply with all applicable laws and City requirements.

3.3 Proposed Use and Programming
Proposers shall describe the proposed primary and secondary uses of the facility, anticipated operating schedule, programming or event mix (if applicable), and any limitations associated with the concept. The City will consider a broad range of lawful uses and does not require a minimum number of theatrical productions or performing -arts events.

3.4 Use Compatibility and Community Standards
All proposed uses must comply with applicable laws, permits, land -use requirements, and the terms of the final agreement. Proposers should identify any age -restricted, alcohol -related, late - night, or other operational components that may require additional City or regulatory approval.

3.5 Rentals and Third -Party Events
8 1 P a g e

The selected Proposer may incorporate private rentals, third -party events, concessions, catering, or similar activities into its business model and shall ensure compliance with applicable insurance, indemnification, licensing, permitting, and regulatory requirements.

3.6 City Use
The City desires to retain limited access to the facility for City -sponsored events (Autumfest, Winterfest, and Music and Arts Festival). Proposers shall identify the number of City -use days, scheduling procedures, costs (if any), and other conditions proposed. Final City -use rights will be negotiated as part of the agreement.

3.7 Pricing and Revenue Model
Proposers shall identify their proposed pricing authority and revenue model, including admissions, food and beverage, concessions, memberships, rentals, sponsorships, or other revenue sources applicable to the proposed concept. The proposal shall clearly identify all payments, reimbursements, revenue shares, or other financial benefits proposed for the City.

3.8 Authority of Operator
Subject to contract negotiation, the Operator may subcontract with vendors, contractors, and consultants to support day-to-day facility management including food service/catering, ticketing, security, advertising, and accounting services. All such subcontracts are the sole responsibility of the Operator; no personnel, staff, or subcontractors engaged by the Operator will be considered employees or contractors of the City.

3.9 Hours of Operation
The Operator will staff events based on the negotiated schedule and event type.

3.10 Utilities
Proposers shall identify responsibility for all utilities, including water, electricity, gas, phone, and internet service. The City's preference is that the selected Proposer bear or reimburse the City for operating utility costs. Current utility costs are estimated at approximately $80,000 annually and are provided for informational purposes only.

3.11 Onsite Equipment and Materials
The Proposer shall identify any City information technology systems or equipment it proposes to use and the proposed responsibility for associated costs. Current City information technology costs attributable to the facility are approximately $35,000 per year and are provided for informational purposes only.

3.12 Maintenance and Alterations
Proposers shall identify the proposed allocation of responsibility for routine maintenance, custodial services, equipment maintenance, repairs, capital maintenance, and building systems. 9 1 P a g e

The City prefers a structure that minimizes ongoing General Fund operating costs while appropriately preserving the City's long-term ownership interest in the facility.

The Operator may not make permanent alterations, improvements, additions, or changes to the facility without the City's prior written consent. Approved alterations become City property and must conform to all applicable laws, building permits, and construction requirements imposed by the City.

3.13 Required Permits
The Operator represents and warrants that it will, at its sole cost, obtain and maintain all required permits and insurance at all times, and will not perform any activity or provide any services or goods at the YPAC before obtaining all required local, state, or federal licenses and permits. This may include, without limitation, permits from the Health Department, the California Department of Tax and Fee Administration (Seller's Permit), the California Department of Alcoholic Beverage Control, and theatrical and/or music performance rights.

3.14 Notice of Cancellation
The City reserves the right to disqualify the Operator or cancel a professional services contract with thirty (30) days' written notice if the Operator fails to perform services satisfactorily. The Operator will be paid for all work satisfactorily completed or in progress at the time of termination, on a pro-rata basis reflecting the percentage of work actually completed.

4. Insurance Requirements

4.1 Insurance Requirements
Before commencing any services described in this RFQ/P, the Operator shall provide the City with a certificate of insurance naming the City as additional insured. Policies are subject to City approval and must require thirty (30) days' notice to the City before cancellation. Failure to furnish evidence of insurance may be considered a default by the Operator.

Operator's coverage shall be at least as broad as the following:

Coverage Type Minimum Requirement

The Operator's insurance shall apply separately to each insured against whom a claim is made, except with respect to the insurer's limits of liability.

Both parties shall provide at least thirty (30) days' prior written notice of any material change or cancellation, and notice within three (3) business days of receiving notice of any amendment or cancellation. Both parties shall also give thirty (30) days' written notice before policy expiration.

4.2 Indemnification
The Operator shall indemnify, defend, and hold harmless the City and its officers, directors, employees, and agents from and against any claims including attorneys' fees and reasonable litigation or settlement expenses for loss, damages, bodily injury, or property loss caused by the negligent acts, omissions, or willful misconduct of the Operator or its subcontractors arising from performance of this RFQ/P.
