Attachment: 06.17.24 Prelim Budget Book 2024-2025 (Public Hearing: Adopt FY 2024-2025 Budget) California Gann Limit Analysis for the City of Arvin - Budget Year 2017-2018 In November 1979, voters of the State of California approved Proposition 4, commonly known as the “Gann Initiative”. The Proposition created Article XIIIB of the State Constitution placing limits on the amount of revenue that can be spent by all entities of government. Proposition 4 became effective for the 1980-81 fiscal year, but the formula for calculating the limit was based on the 1978-79 “base year” revenues.

The limit specifies the maximum appropriations that may be funded by proceeds of taxes. Adopted limits are to be adjusted each year by a “change factor” that is tied to growth indicators specified by the State. By applying the change factor to the prior year’s appropriation limit, a new limit is calculated for the next fiscal year. If a city receives more revenue than the appropriation limit, the revenue must be returned to the taxpayers through a tax reduction or refund.

Currently, the City is estimated to be at 63.5% of its Gann spending limit of $3,391,290 and a total appropriation limit of $2,151,901. This is only an estimate based on the proposed budget but indicates that the City is in a positive appropriation position and in compliance with the law.

Currently, the City is estimated to be at 89.5% of its Gann spending limit of $4,952,844 and a total appropriation limit of $4,434,000. This is only an estimate based on the proposed budget but indicates that the City is in a positive appropriation position and in compliance with the law.

SUCCESSOR AGENCY TO THE ARVIN COMMUNITY

REDEVELOPMENT AGENCY
Staff Report
Meeting Date: June 25, 2024
TO: Board of Directors
FROM: Jeff Jones, Executive Director
SUBJECT: ASSIGNMENT AND ASSUMPTION AGREEMENT RE: 816 SYCAMORE

STREET PURCHASE AND SALE AGREEMENT
BACKGROUND:

On or about September 09, 2024, the Successor Agency and Larry Joseph Walker (“Buyer”) entered into a Purchase and Sale Agreement related to the purchase and sale of the real property located at 816 Sycamore Road, Arvin, CA, which is legally described in the Office of the County Recorder of Kern County as APN 192-110-16 (“PSA”). Thereafter, Buyer requested that he be allowed to assign the PSA to AJ Luxury Goods, LLC, a California limited liability company, which is an entity Buyer is a member of.

Section 7.16 of the PSA provides that Buyer’s interest in the PSA may be assigned with the written consent of the Successor Agency, which consent shall not be unreasonably withheld.

Among the factors that the Successor Agency may consider when determining whether to consent to the requested assignment are (1) the creditworthiness of the proposed Assignee, (2) the character and reputation of the proposed Assignee, and (3) the Successor Agency’s past dealings with the proposed Assignee.

Notwithstanding the above factors, the PSA also states “any partnership, corporation or limited liability company which is managed, owned and/or controlled by the Buyer will be a permitted assignee.” As stated above, because Buyer is a member of the proposed limited liability company Assignee, AJ Luxury Goods, LLC, is a permitted assignee.

As a permitted assignee, AJ Luxury Goods, LLC, must assume in writing Buyer’s obligations under the PSA. Additionally, although the obligations are assumed, because this is a permitted assignment, the Buyer is not released from his obligations under the PSA even if the Successor Agency consents to the requested assignment.

STAFF RECOMMENDATION: It is recommended that the Board approve the Assignment and Assumption Agreement and provide direction and give authority to the Executive Director of the Successor Agency to execute all documents necessary to effectuate the assignment of the PSA from Larry Joseph Walker to AJ Luxury Goods, LLC.
