17 B. Describe system functionalities that your product provides that the Town of Atherton has not listed but should be a consideration.

Value Add Professional Services (Not included in Current Scope) Facility Condition Assessment
Our facility condition assessment ("FCA") is a visual assessment evaluating the facility systems. This FCA service will collect data on major facility assets, as well as provide narratives that summarize assessment observations and comments. An inventory of Equipment Items, as well as a forecast model of upcoming System/Subsystem replacements, will be imported into [Client Name]’s work & asset management, capital forecasting, and capital prediction software solutions.

By partnering with us, you not only gain the engineering expertise of Brightly’s Service Providers; you also are provided with assurance that the data collected from the facility condition assessment is integrated correctly into your software applications.

Having the Brightly team conduct a Facility Condition Assessment (FCA) and integrate the results into Brightly's asset management software delivers a comprehensive, turnkey program. This eliminates the limitations of Excel by centralizing all asset data into a dynamic, scalable system. The unified naming convention and field tagging of assets ensure consistency, while the turnkey Planned Maintenance (PM) program enables efficient work planning and proactive maintenance.

By transitioning to Brightly’s software, user adoption increases as staff benefit from intuitive access to real-time asset data, barcode scanning for quick updates, and improved visibility into maintenance needs. We have successfully completed over 800 projects ranging from Facility Condition Assessments, Asset Inventory Collection (including barcoding), and preventive maintenance schedule creation. Our methodology provides you with the confidence to make better data driven decision-making on both the short-term and long-term capital investment needs of your organization, reduces downtime and optimizes resources.

PM Schedule Creation
Preventive Maintenance (PM) Schedule creation is a service offering provided in conjunction with an "Equipment Inventory" (Data Gathering) service or Facility Condition Assessment (FCA). PM Schedules will be generated from the equipment inventory the Company Service Provider collects during either the Data Gathering or FCA service. This service intends to identify necessary procedures and inspections to maintain facility systems in safe, reliable, and efficient condition.

ATTACHMENT 2

Revisions, updates, and patches are included with the Town's annual software subscription and immediately available upon release with the cloud-based, SaaS model of delivery. Brightly Software leverages Agile Development methodologies. Our approach includes client-driven feature development, constant end-to-end testing throughout the development process, fully supported enhancement deployments, and rapid bug-fix and defect response times. As such, new products—and any patches, upgrades or enhancements— are released/applied only after completing full functional testing in our development and test environments to ensure that we have not created bugs in our applications and that our products are of the highest quality. When we provide customizations, it will be in the base code; we do not fork our code. In addition, regular system maintenance is performed weekly during non-business hours.

D. Is your product scalable (i.e. if you have multiple modules/components, can they be used independently)?
Yes. Asset Essentials is built for scalability and long-term adaptability. As a cloud-based Software-as-a-Service (SaaS) solution hosted on AWS, the system supports high volumes of data and users with no service interruptions. New features and updates are automatically applied, ensuring the Town benefits from ongoing innovation without requiring manual upgrades.

The platform includes modules for facilities, utilities, streets, parks, fleet, stormwater, and more, allowing departments to manage diverse asset types within a unified system. Role-based access controls support independent operations across departments while maintaining centralized oversight. Brightly’s unlimited user licensing model promotes broad adoption, enabling staff to join, leave, or shift roles without impacting cost or access.

ATTACHMENT 2

Page 190 of 274 ends

20 E. Does your solution provide a map interface with the capabilities to view assets, search, pan, zoom etc., and access asset attributes? Other capabilities?
Yes. In Asset Essentials, you can use the Esri map feature to view and create work orders, as well as view your GIS layers. The data displayed on the map is based on what you have set up in the GIS Settings section under Configurations.

GIS is able to integrate with Asset Essentials by taking your GIS data and turning it into assets that you can start to develop a work history on. GIS data within Asset Essentials allows users to manage and maintain spatial assets. Users have the ability to associate work orders to these assets on the web portal or the mobile app. This allows completed work to be tracked, reported, and analyzed.

F. Describe how data backup is provided and describe availability of backup data for download.

Database backups are automated for all production databases and include, at a minimum, full weekly backups, daily incremental backups and transaction log backups. Backup processes are actively monitored for failures and regularly tested for integrity. The Product Operations team is notified of failures and steps are taken to resolve them. Stored backups are electronically transmitted over secure encrypted channels to AWS S3 storage daily. After a set time period, Amazon S3 storage backups are moved to Amazon Glacier storage for long-term archiving. Archived backups are maintained for a minimum of one year. All backups stored in AWS are AES-256 encrypted. Access to database backups and backup processes are limited to Brightly's database administration team.

G. Why does your system best meet the Town’s needs?
Asset Essentials is uniquely positioned to address the Town of Atherton's asset management requirements, offering a comprehensive solution that aligns well with your transition from paper-based and spreadsheet systems to a modern, integrated platform. To date, Brightly has:
 Served 1,800+ government clients in state and local agencies and municipalities.  Implemented over 4,000 software products for government agencies.  Positively impacted the lives of 250,000,000 citizens  Addressed 400,000,000 work orders
 Supported $321 billion of clients' asset value
Below are reasons Brightly's Asset Essentials is the best solution to meet the Town's needs.  Seamless Transition from Current Systems - The Town currently manages assets using a combination of paper forms, spreadsheets, and GIS mapping. Asset Essentials provides a smooth migration path from these fragmented systems to a unified platform without requiring extensive data manipulation. Our implementation team specializes in converting historical data from various formats, preserving your valuable institutional knowledge while enhancing accessibility and usability.
 Complete Coverage of Town Assets - Asset Essentials excels at managing the diverse asset portfolio outlined in your RFP.

From the Town Center facilities with complex mechanical systems to the 22-acre Holbrook-Palmer Park with multiple amenities, our platform can track all asset types under a single system. This capability extends asset lifespans, reduces emergency repairs, and optimizes resource allocation.  Intuitive User Experience - Asset Essentials was designed with user experience as a priority, making it accessible to staff with varying levels of technical expertise. The intuitive interface requires minimal training and encourages adoption across departments. This user-friendly design addresses your requirement for "easy access to data for report and query generation without the need for a programming specialist."
 More than just Software – Brightly’s Asset Essentials a comprehensive asset management platform that will grow with the Town of Atherton, supporting your current needs while providing the flexibility to adapt to future requirements. Further, by partnering with Brightly, the Town is not only choosing a CMMS provider. The Town is choosing a long term partner with over 25 years of experience helping municipalities manage assets, plan for capital investment, and prepare for the future.

H. Cost model for your software services.

Brightly Software only provides cloud-based licensing.

As part of our SaaS-based model, we provide our software products via an annual subscription fee. This subscription fee includes access to the software, as well as system maintenance, enhancements and upgrades, and technical support. Subscription fees are determined by Brightly Software’ applications licensed, as well as the users and departments within your organization utilizing the solutions.

By subscribing to the proposed Brightly products, you will be set up with your desired license types. Your annual software subscription fee covers the cost of all licenses and users. There is no difference in cost among the various user licenses or types. User Roles can be thought of as "permission groups" that define the access that certain users have in our applications. As new users are added, you can assign them a role based on what you want them to see or access in the system.

Also included in your annual fee is:
 Ongoing software maintenance, updates and product enhancements  Client support, including our help desk
 A dedicated Client Success Representative (CSR)

Acceptance is expressly limited to the terms of the Agreement. No other terms and conditions will apply.

The terms of any purchase order or other document from Customer are excluded and such terms will not apply to the Order and will not supplement or modify the Agreement irrespective of any language to the contrary in such document.

G. Where the Customer is a state, local, or public education entity created by the laws of the applicable state, Siemens and Customer agree that the provisions of the State, Local Government, and Higher Education Addendum ("SLED Addendum") found at http://brightlysoftware.com/terms (http://brightlysoftware.com/terms) take precedence over any conflicting terms in the Agreement to the extent the deviations set forth therein are required by applicable law.

H. Siemens shall invoice Customer and Customer agrees to pay Siemens the amount specified on this Order.

Quantities purchased may not be decreased during the relevant Subscription Term. Customer is responsible for providing complete and accurate billing and contact information to Siemens and notifying Siemens promptly of any changes to such information.

I. If Customer is paying by credit card or Automated Clearing House ("ACH"), Customer shall establish and maintain valid and updated credit card information or a valid ACH auto debit account (in each case, the "Automatic Payment Method"). Upon establishment of such Automatic Payment Method, Siemens is hereby authorized to charge any applicable fees, including any processing fees, using such Automatic Payment Method.

J. Customer is responsible for paying all taxes associated with its purchases hereunder. Siemens shall invoice Customer and Customer shall pay that amount unless Customer provides Siemens with a valid tax exemption certificate, direct pay permit, or other government-approved documentation. Notwithstanding the foregoing, Customer is responsible for, and, to the extent permitted by law, will indemnify Siemens for: 1) any encumbrance, fine, penalty or other expense which Siemens may incur as a result of Customer's failure to pay any taxes 14 ATTACHMENT 2

Page 209 of 274 ends

required hereunder, and 2) any taxes, including withholding taxes, resulting from making an Offering available to Users in geographic locations outside the country in which Customer is located as per the Order. For clarity, Siemens is solely responsible for taxes assessable against Siemens based on its income, property and employees.

K. Siemens maintains the right to increase fees within the Subscription Term for Recurring Fee Offerings by an amount not to exceed the greater of prices shown in the investment table or the applicable CPI and other applicable fees and charges every 12 months. Any additional or renewal Subscription Terms will be charged at the then-current rate.

L. In the event Customer purchases the Cloud Services (including any renewals thereof) through an authorized reseller of Siemens, the terms and conditions of this Agreement shall apply and supersede any other agreement except for any terms and conditions related to fees, payment or taxes. Such terms and conditions shall be negotiated solely by and between Customer and such authorized reseller. In the event Customer ceases to pay the reseller, or terminates its agreement with the reseller, Siemens shall have the right to terminate Customer's access to the Cloud Services at any time upon thirty (30) days' notice to Customer unless Customer and Siemens have agreed otherwise in writing.

Cloud Services
A. Billing frequency: Annual
B. Cloud Services Offerings will be subject to the terms and conditions of the General Software and Cloud Supplemental Terms found at http://brightlysoftware.com/terms (http://brightlysoftware.com/terms) .

C. Any Offerings identified as Cloud Services on this Order shall automatically renew for additional periods equal to the expiring Subscription Term or one year, whichever is longer, unless either party has provided written notice of its intent to terminate the Cloud Service subscription not less than forty-five (45) days prior to the expiration of the then-current Subscription Term.

D. During the Term, Siemens shall, as part of Customer's Subscription Fees provide telephone and email support ("Support Services") 24 hours/day, 7 days/week.

E. Siemens shall use commercially reasonable efforts to make its Software or Cloud Service available 99.9% of the time for each full calendar month during the Subscription Term, determined on twenty-four (24) hours a day, seven (7) days a week basis (the "Service Standard"). The Service Standard availability for access and use by Customer(s) excludes unavailability when due to: (a) any access to or use of the Cloud Service by Customer or any Account User that does not strictly comply with the terms of the Agreement or the Documentation; (b) any failure of performance caused in whole or in part by Customer's delay in performing, or failure to perform, any of its obligations under the Agreement; (c) Customer's or its Account User's Internet connectivity; (d) any Force Majeure Event; (e) any failure, interruption, outage, or other problem with internet service or non-Cloud Service; (f) Scheduled Downtime; or (g) any disabling, suspension, or termination of the Cloud Service by Siemens pursuant to the terms of the Agreement. "Scheduled Downtime" means, with respect to any applicable Cloud Service, the total amount of time (measured in minutes) during an applicable calendar month when such Cloud Service is unavailable for the majority of Customer's Account Users due to planned Cloud Service maintenance. To the extent reasonably practicable, Siemens shall use reasonable efforts to provide eight (8) hours prior notice of Cloud Service maintenance events and schedule such Cloud Service maintenance events outside the applicable business hours.

F. USE OF APIS. Customer is authorized to use any Application Programming Interface that is either: i) identified as a Cloud Services Offering, or ii) identified as published in the Documentation (collectively the "APIs") as part of any Offering for Customer's internal business purposes only. Customer may not use the APIs to enable unauthorized use of the Cloud Services. Customer may purchase a separate license to use certain published APIs to develop 15 ATTACHMENT 2

Page 210 of 274 ends

software for use solely in conjunction with the Cloud Services. Customer is prohibited from reselling any software developed through the use of the APIs unless (a) Customer is separately authorized to do so as a member of a Siemens partner program, or (b) Customer has purchased an Offering which include APIs that explicitly allows Customer to develop software for Customer's internal use or for resale under terms and conditions at least as protective as this Agreement. Customer may not otherwise modify, adapt, or merge the Offerings. Siemens has no obligations or liability for software developed by Customer using the APIs. Customer is prohibited from using unpublished APIs under any circumstances.

G. Siemens reserves the right to block IP addresses originating from a Denial of Service (DoS) attack. Siemens shall notify Customer should this condition exist and inform Customer of its action. Once blocked, an IP address shall not be able to access the Cloud Service and the block may be removed once Customer is satisfied corrective action has taken place to resolve the issue. Siemens also reserves the right to suspend or terminate service if Customer: 1) performs load tests, network scans, penetration tests, ethical hacks or any other security auditing procedure on the Cloud Service, 2) interferes with or disrupts the integrity or performance of the Cloud Service or data contained therein, or 3) otherwise violates the use restrictions under this Agreement.

H. Customer is entitled to access and use the Offerings only as explicitly described in the Documentation. These Offerings are intended for Customer's internal business operations only. There are no additional Entitlements or rights to use the Offerings or their related APIs beyond what is specified. Any other access or use is strictly prohibited under the Terms.

I. At the time of this Order, the implementation of the requirements of the Cyber Resilience Act EU 2024/2847 ("CRA") is not yet mandatory in the European Union (EU) due to its transitional periods. Not all clarifications on measures that the Customer and contractor will take to implement the new requirements within the project implementation can currently be completed. Therefore, the parties agree that the project scope and contract price agreed upon at the time of Agreement conclusion do not yet include any necessary measures to implement the CRA requirements. Siemens will present the implementation of these measures together with an adjustment of the contract price and schedules considering any additional expenses of the contractor in the appropriate project phases through the Change Request procedure.

Professional Services:

A. Professional Services Offerings will be subject to the terms and conditions of the Services Supplemental Terms found at http://brightlysoftware.com/terms (http://brightlysoftware.com/terms).

B. Unless otherwise specified in an applicable Order: (i) Siemens will perform the Professional Services during workdays, Monday through Friday, up to 8 hours a day; (ii) any estimate of hours or costs are reasonable, good faith estimates only; and (iii) each task is performed as firm fixed price work or time and materials as described in this Order. Siemens is only obliged to supply Professional Services and/or Deliverables as expressly stated in this Order. Siemens shall not be obliged to supply any Professional Services and/or Deliverables without a valid Order.

C. Scheduling. Siemens requires at least 6 weeks advanced notice from the acceptance of an Order to schedule Professional Services delivery dates when travel is required. Onsite Professional Services shall be delivered consecutively in a single onsite visit unless the applicable Order includes the additional fees and incidental expenses associated with multiple visits.

D. Unused Professional Services. Unless otherwise specified in the Order, Siemens reserves the right to expire any unused Professional Services 6 months from the Effective Date set forth on the Order, and Customer will not be entitled to receive a refund for any fees prepaid for such expired Professional Services.

E. Customer Cooperation. Customer will cooperate reasonably and in good faith with Siemens in its performance of Professional Services by: (i) providing access to any necessary Customer Data, (ii) allocating sufficient resources 16 ATTACHMENT 2

Page 211 of 274 ends

and timely performing any tasks reasonably necessary to enable Siemens to perform its obligations under the Order, and (iii) actively participate in scheduled project meetings. Any delays in the performance of Professional Services or delivery of Deliverables caused by Customer may result in additional applicable charges for resource time.

F. Incidental Expenses. Customer will reimburse Siemens for travel and related business expenses incurred in connection with Professional Services. If an estimate of incidental expenses is included in the Order, Siemens will not exceed a 5% inflation of such estimate without the written consent of Customer.

Additional information
A. Prices shown above do not include any taxes that may apply. Any such taxes are the responsibility of Customer.

This is not an invoice. For customers based in the United States, any applicable taxes will be determined based on the laws and regulations of the taxing authority(ies) governing the "Ship To" location provided by Customer. Tax exemption certifications can be sent to [email protected] (mailto:[email protected]).

B. Billing frequency other than annual is subject to additional processing fees.

Equipment Inventory Barcoding Service
Purpose
The Equipment Inventory Barcoding Service works with your Brightly Work & Asset Management solution in conjunction with an "Equipment Inventory" (Data Gathering) or a Facility Condition Assessment (FCA) service offering.

Value
Barcoding identifies equipment by assigning a unique number to that equipment item which will then serve as an identifier in your Brightly Work & Asset Management system database allowing for easier identification and tracking of the item. The barcoding of equipment inventory occurs during the onsite equipment data gathering/ collection process.

Deliverables by Brightly to the Customer include the following:
• Commercially produced weather resistant barcodes will be applied to the major pieces of equipment covered in the scope of work provided in the Data Gathering or Facility Condition Assessment services. • Barcode numbers will be available for use at the time equipment inventory data is imported into your Brightly Work & Asset Management solution.

The Brightly Service Provider will make an effort to apply barcodes in a convenient location so the facility's maintenance staff can easily identify them. Based upon our professional expertise, we recommend the following –
• Application of the barcode shall be placed next to the Data Plate of an Asset. Placing barcodes in this location ensures that the barcode can be easily identified and associated to the asset in a CMMS software.
• If data plate is not present, or is inaccessible, the barcode will be placed in an accessible area that is easily seen by maintenance technicians, does not detract from the appearance of the equipment, isn't in danger of being tampered with, or will be otherwise destroyed through normal use and cleaning of the asset.

Assumptions
• Purchase of service is made prior to onsite activity. If onsite activity has been completed, custom pricing would be required as a revisit would be needed for the placement of the barcodes. • For Asset Essentials Customers, determination of 1D (Standard) vs 2D (QR Codes) is required prior to onsite activity. URL creation along with QR code purchase and encoding is needed prior to onsite activity. If determination is not provided prior to onsite activity, 1D (Standard) barcodes will be used.

Invoice Schedule
Invoicing for the Barcoding Service will be provided upon completion of onsite activity at 100%. 25

Preventive Maintenance Schedule Creation
Purpose
Preventive Maintenance (PM) Schedule creation is a service offering provided in conjunction with an "Equipment Inventory" (Data Gathering) service or Facility Condition Assessment (FCA). PM Schedules will be generated off the equipment inventory collected by the Company Service Provider during either the Data Gathering or FCA service. The intent of this service is to identify needed procedures and inspections required to maintain facilities systems in safe, reliable and efficient condition.

Value
By leveraging Company's PM Schedule Creation service, Company customers are able to leverage and incorporate regular preventive maintenance best practices of their equipment. By performing regular or routine maintenance best practices, you ensure that your equipment is operating under safe and optimal conditions thus preventing the potential for downtime and shorter life expectancy.

Deliverables
All Preventive Maintenance Schedule Creation services include the following deliverables:
• Creation of PM Schedules for populating your Brightly Work & Asset Management solution • Data population within Company Software. No report will be provided.

Methodology and Approach
Company Service Providers leverage multiple libraries of PM standards to create PM schedules. These standards are based upon prevailing national codes and standards such as ASTM, ASHRAE, NFPA and BOMA. Procedures related to performing the tasks within the schedule will include:
• Safety Points
• Tools Required
• Estimated Time to Complete Maintenance
• Step-by-step procedure to complete maintenance work order Prior to the import or population within the Company Software, the Company Service Provider will:
• Review of PM Task Check-off Lists with Customer
• Setup baseline PM schedules for the equipment inventory collected • Work with the Customer to determine PM Schedule assignment. Assignment includes setting up the appropriate Technician or contractor who will be performing the related PM tasks into the master import template to ensure that the routing of work flows accordingly in the Work & Asset Management Solution. Assignment will be made at the location or craft level. Anything above and beyond this level of assignment will be managed and maintained by the customer within the software or require a custom scope of work for the Company Service Provider to deliver. For assignment to occur, the customer must have the Technician or contractor created in the software prior to onsite activity. • Work with the Customer to determine the start date, frequency and load balancing based upon customer staffing. If start dates cannot be determined or agreed upon within a timely manner, the PM 26

Page 238 of 274 ends

Schedules will be loaded into the Customer's Work & Asset Management solution as "Inactive".

Assumptions
• Customer will provide feedback/review of PM Schedules within 15 business days of delivery from the Company Service Provider. If feedback/review of PM Schedules exceeds 30 business days, Company will provide a Deliveriable Acceptance Form to the customer to complete review within 30 days. If feedback is not provided during this time period, Company will assume delivery of the service and import the PM schedules as "inactive" in the system. Company will provide training on how updates can be made within the software or perform mass updates if needed for a fee. • Once PM Schedules are imported into the Company Work and Asset Management applications, any updates and/or alterations of those schedules need to be communicated to Company within 30 days. Company will only make updates related to the below items:
• Discontinuation of PM Schedules created with the service • Alteration of frequency on existing schedules created with the service • Alteration of start dates for the schedules created with the service Otherwise, any revisions beyond this 30 day period will be the responsibility of the customer to perform within the software or Company to perform at an additional fee. • Reconciliation of existing PM Schedules in the customer's account is subject to additional costs depending upon the number of active PM's and is not a part of the standard SOW.

Invoice Schedule
Invoicing for the PM Schedule Creation Service will be provided upon receipt of PM Schedule drafts at 100% Order terms

Town of Atherton
CITY COUNCIL STAFF REPORT – REGULAR AGENDA
TO: HONORABLE MAYOR AND CITY COUNCIL

GEORGE RODERICKS, CITY MANAGER
FROM: ROBERT OVADIA, PUBLIC WORKS DIRECTOR
DATE: MAY 20, 2026
SUBJECT: PROVIDE FEEDBACK AND DIRECTION REGARDING THE

SAMTRANS REIMAGINE DUMBARTON STUDY

RECOMMENDATION
It is recommended that the Council review and provide feedback to staff regarding the Reimagine Dumbarton Study being conducted by SamTrans and advise if a position letter should be prepared and sent by the Mayor.

BACKGROUND
The Dumbarton rail corridor extends across the San Francisco Bay and connects Redwood City and Union City for the purpose of freight transport. Prior to the completion of the Dumbarton rail bridge and extension in 1910, transcontinental freight destined for San Francisco was unloaded in Oakland and ferried across the Bay, or trains detoured through San Jose and Santa Clara, using the Peninsula Corridor to San Francisco. Freight use of the Dumbarton rail crossing stopped in 1982, and a suspected arson fire destroyed part of the western timber trestle approaching the Dumbarton Rail Bridge in January 1998. Dumbarton rail corridor has been studied multiple times, since rail use was discontinued, with efforts predominantly focused on regional transportation solutions, including the potential for reconstructing a bay crossing.

The current Reimagine Dumbarton project, which began in late 2025, is a new effort to study the Dumbarton Corridor. Per SamTrans’ Fact Sheet and public presentation materials (Attachments 1 and 2, respectively), SamTrans is reimagining the unused Dumbarton freight railroad line to bring fast, reliable, zero emission bus service and improvements for people biking and walking to the communities of East Palo Alto, Belle Haven (Menlo Park), Redwood City, Atherton, and North Fair Oaks. Reimagine Dumbarton will also identify opportunities to use the Dumbarton Corridor to provide access to community destinations, local and regional job centers, and the regional transportation network.

The study effort completed its initial data collection phase, including identification of needs and

Page 245 of 274 ends

Page 2 of 4 ends

is currently in the process of developing potential project alternative designs. Following community engagement, SamTrans plans to select a preferred alternative by Fall 2026, at which point, they will continue their public engagement efforts and develop a potential implementation plan.

Samtrans made a presentation to the Transportation, Bicycle and Pedestrian Committee regarding the current efforts to reimagine the Dumbarton Corridor and encouraged public input through their survey efforts.

ANALYSIS
The Dumbarton corridor is underutilized and poses an opportunity to create a community asset that can benefit area residents and visitors if developed through a thoughtful process including an evaluation of access, services and land uses that may benefit or impact local communities.

Potential benefits include: connectivity with Downtown Redwood City and the Redwood City Transit Center; opportunities for community green spaces, gardens, bio-treatment, tree canopy areas, or other similar enhancements. Limited use as an Emergency Services access route and transit connector can be integrated and associated benefits and impacts reviewed thoroughly.

However, the corridor could also result in unintended land use changes based on current state laws, such as Senate Bill 79, which increases state-mandated densities based on proximity to public transit facilities. Depending on the frequency of transit service, the corridor could eventually become a Bus Rapid Transit Route, due to its dedicated right-of-way. Such a designation could change property development rights and patterns converting current single family zoning areas into high-density, multi-family and mixed-use development areas.

Though valuable to link high-density housing to quality active transportation routes and reliable transit, making sure that it is done in a thoughtful, context sensitive manner is important. The corridor also crosses major roadways and must include appropriate safety measures to facilitate active transportation uses and crossings, as well as the management of vehicular crossings and impacts to the existing roadway network.

As shown on the fact sheet, the current proposal appears to include access points and transit stops near University Avenue, Chilco Street, Highway 101, Willow Road, Marsh Road, Fifth Avenue, Middlefield Road, and Woodside Road, with a connector to the Redwood City Transit Hub.

Though close in proximity to the Town of Atherton, the proposed access point and transit stops at Marsh Road, would be virtually inaccessible to Atherton residents. The Lindenwood neighborhood predominantly does not have direct access to either Bay Road or Marsh Road. The street right-ofway along Bay Road and along Marsh Road (from Fair Oaks Avenue to Bay Road) are outside of the Town’s jurisdiction. Both Bay Road and March Road lack requisite infrastructure to support and encourage pedestrians and cyclists in Atherton to access the corridor. Therefore, to maximize the connectivity benefits to the Town, public works improvements would be required that are beyond the Town’s jurisdictional limits and control.

Additionally, State land use policies and regulations encourage high-density housing near transit routes regardless of accessibility and further restrict the ability of jurisdictions to manage such

Page 246 of 274 ends

Reimagine Dumbarton Study

Page 3 of 4 ends

development and to require implementation and/or funding of public improvements to provide such access. With these limitations, should development of the corridor move forward, it would be important that it include requisite infrastructure improvements to provide reliable access to all served by and impacted by such repurposing of the corridor. Under the state’s density bonus law, developers may also waive required infrastructure improvements. Therefore, there is not certainty these improvements will be made if not included in the program.

The City Council has the opportunity to discuss the benefits and impacts of the repurposing of the Dumbarton Corridor and can discuss the level of support for the project and if they desire to send a letter to SamTrans, the Transportation Authority, and/or other elected officials regarding the study.

FISCAL IMPACT
None at this time.

Item No. 9
Town of Atherton
CITY COUNCIL STAFF REPORT – REGULAR AGENDA
TO: HONORABLE MAYOR AND CITY COUNCIL

GEORGE RODERICKS, CITY MANAGER
FROM: BRITTANY BENDIX, CONSULTING TOWN PLANNER
DATE: MAY 20 , 2026
SUBJECT: GILMORE HOUSING DEVELOPMENT SITE DISCUSSION

RECOMMENDATION
It is recommended that the Council review and discuss Housing Element Program 3.846(A) relating to the development of housing at the Gilmore House site and provide direction to staff on next steps.

BACKGROUND
On May 5, 2025, the Town received certification of its 2023-2031 Housing Element from the state Department of Housing and Community Development. Since that time the Town has initiated many of the new housing programs included in the 2023-2031 Housing Element in an effort to progress towards achieving its Regional Housing Needs Allocation (RHNA) and to pursue affirmatively furthering fair housing (AFFH).

The purpose of this report is to discuss and receive direction on the following program that would provide housing affordable to lower incomes at the Gilmore House site in Holbrook Palmer Park:

Program 3.846(A): The Town will promote housing development on the Gilmore House site in the Town-owned Holbrook-Palmer Park. Procedures to develop housing shall be consistent with the Surplus Land Act to provide affordable housing developers a right of first refusal (AB 1846). The process will include the following milestones:
▪ Solicit proposals and conduct a feasibility study to assess site. (End of December 2024) ▪ Issue RFP (Request for Proposal) for affordable (moderate or lower income) on Gilmore House site (end of July 2025)
▪ Seek to complete development of up to four units of housing (end of December 2028) The AFFH metric identified in the program is to develop up to four units of multifamily housing.

However, the site is within the RM-10 zoning overlay district and allows for a density of 10 (ten) dwelling units per acre.

Page 267 of 274 ends

May 20, 2026, City Council Staff Report
Gilmore House Development

Page 2 of 3 ends

ANALYSIS
The most recent discussions on this topic with the City Council occurred during October 2024 when the Council considered the adoption of the 2023-2031 Housing Element and Zoning Ordinance update. Upon certification of the housing element in 2025, the Town then shifted focus to adopting its Inclusionary Housing Ordinance, pursuing housing development on campus sites, and addressing the immediate implications of Senate Bill 79.

The timing identified in Program 3.846(A) anticipated earlier certification of the Housing Element and a completion of development that would correspond to the Town’s 2028 mid-cycle check-in.

The benefit of aligning the development of the Gilmore House site with the mid-cycle check-in is that its advancement may help the Town determine if additional multi-family rezoning is necessary to meet its RHNA requirements or to fulfill its AFFH goals.

Based on the information in the Town’s 2025 Annual Progress Report, the total remaining RHNA requirement by income level is:
▪ 57 units at Very Low
▪ 39 units at Low
▪ 48 units at Moderate
▪ 33 units at Above Moderate
The Town must have building permits issued for this amount of housing by December 31, 2031.

Additionally, the 2023-2031 Housing Element asserts that if during the Mid-Cycle Check-In occurring in March 2028, there are fewer than three of the RM-10 sites with developments or active development proposals, the Town will modify its zoning mid-cycle to allow for additional multifamily development. At present the Town has one application for housing filed on RM-10 sites approved by the Planning Department and currently under Building Permit review. The Planning Department has also received four Preliminary Applications for multifamily developments on other RM-10 properties and anticipates a formal submittal for each site before December 2026.

The Town is currently on pace to meet both its RHNA and AFFH objectives. Therefore, the Council may choose to further defer staff initiation of the program until a later date, or to table the discussion to a later time, such as the Mid-Cycle Check-In. If the Council directs staff to initiate this process, staff would draft a general project scope for use in a call for proposals effort. This scope would be shared and discussed at a City Council meeting prior to its release. After receiving proposals, staff would return to Council with a selection recommendation.

Item No. 10
Town of Atherton
CITY COUNCIL STAFF REPORT – REGULAR AGENDA
TO: HONORABLE MAYOR AND CITY COUNCIL
FROM: GEORGE RODERICKS, CITY MANAGER
DATE: MAY 20, 2026
SUBJECT: CONSIDERATION AND DIRECTION REGARDING FORMATION

OF A CITY CHARTER

RECOMMENDATION
It is recommended that the Council review, discuss and provide direction regarding the formation of a City Charter for the Town.

BACKGROUND
Following the recommendation of the Town’s Charter City Subcommittee, the City Council directed that staff initiate a series of Town Workshops to discuss the possibility of placing a Charter City Measure on the November 2026 ballot.

Staff hosted three workshops at City Hall and one workshop in the Selby/Stockbridge Neighborhood. Staff also created a series of print and electronic publications hosted on the Town’s website and distributed by mail to Atherton residents. In addition, there were articles in the Athertonian Newsletter and various social media publications.

The January 2026 Workshop was attended by approximately 15-17 residents. The February Workshop was more sparesely attended with about 5 residents. March was set aside for neighborhood outreach meetings and staff reached out to all known neighborhood groups and asked for time at their next neighborhood gathering to speak on the topic. Only one neighborhood group asked to host a workshop – the Selby/Stockbridge Neighbhorood. Staff attended the meeting and provided information on the topic. Approximately 12 individuals were in attendance.

The final Wrap Up Workshop was hosted in April. This meeting had one attendee.

ANALYSIS
Staff hosted three (3) public workshops and one (1) neighborhood meeting. The feedback from these meetings was mixed and provided limited support for formation of a city charter.

Page 270 of 274 ends

Discussion of City Charter
MAY 20, 2026

Page 2 of 3 ends

The Workshops were educational and explanatory in nature. The presentations focused on local control in the context of increasing state preemption. Staff explained that charter authority is limited to "municipal affairs" and does not override state housing laws, including the Regional Housing Needs Analysis, Density Bonus Law, or other state mandates. Staff clarified that many of the Town’s public works projects would remain subject to state prevailing wage laws, regardless of charter status.

Taxation generated significant discussion. Staff explained that charter status does not create new taxing authority or eliminate voter approval requirements, but a charter could allow different voter thresholds for municipal taxes if explicitly included and approved by voters. Staff acknowledged concerns raised by attendees and emphasized that any such provision would be a transparent policy choice subject to voter approval.

The presentations also outlined the typical charter consideration process, including legal drafting, public input, and voter consideration at an election. Staff emphasized that the Town’s workshops were educational and not advocacy-based. Attendees were engaged and focused on the practical implications of charter authority, particularly taxation and voter protections, and expressed a clear expectation that voters remain the ultimate decision makers.

Overall, feedback from attendees ranged from no support to limited support provided that the charter was explicit and prevented the Council from being able to raise taxes more easily. Most attendees felt that pursuit of a charter was not warranted at this time.

Staff recommends that the Council discuss the community feedback and provide direction regarding next steps.

We, the people of the Town of Atherton, under the constitution and laws of the state of California, in order to secure the benefits inherent in the doctrine of home rule, declare our intent to restore to our community the historic principles of self-governance.

In adopting this Charter, the people of Atherton delegate authority for governance to its local officials who must faithfully serve the residents of the Town. By doing so, the people assert their desire for local control over municipal affairs, their freedom to decide their own destiny, and their rejection of efforts by agencies outside of the Town’s jurisdiction seeking to impose policies, regulations, rules or laws upon the Town’s residents without their approval.

ARTICLE I – Acceptance of Home Rule
Except as restricted by this Charter, the Town shall have all powers allowable under the Constitution of the State of California to adopt ordinances, establish rules, grant franchises, structure Town government, and in every way to govern the municipal affairs of the Town.

Municipal affairs encompass all matters of local concern as determined by the City Council consistent with the meaning of "municipal affairs" under the constitutional, statutory, and judicially defined law of the State of California. Such powers are in addition to those granted or prescribed by any applicable law for municipal corporations within the state of California.

Expressly, the Town retains all powers allowable for “municipal affairs” including but not limited to: public employment, public finance, public contracting, revenue and taxation, land use and planning, prevailing wage, and governance. Each of the responsibilities of governance set forth and described in this Charter, and as established by the Constitutional, statutory and judicially defined law of the State of California, is declared to be a municipal affair or concern, the performance of which is unique to the benefit of the residents of the Town of Atherton.

Enumeration by this Charter of any particular power does not constitute a limitation upon the Town’s general grant of powers under applicable law.

Nothing in this Charter is intended to restrict the Town in exercising any right, power or authority granted under the general laws of the State of California. However, the provisions of this Charter shall prevail in the event of any conflict with general law.

ARTICLE II – Structure of City Government
The Town shall continue to be governed by a City Council of five members elected at large. The City Council shall adopt and regularly affirm all policies applicable to the role of members of the City Council. The City Council shall appoint a City Manager and a City Attorney. The City

Manager, as the chief administrative officer of the Town, shall appoint all department heads other than the City Attorney. The form of municipal government established by this Charter shall be in the form of “Council-Manager” form of government. The City Council shall establish policies of the Town and the City Manager shall carry out such policies. Involvement in administrative matters by the Council or by any individual Councilmember shall occur only by direction of the City Manager.

City Council compensation will be in those limits as set forth in the Government Code, as may be amended from time to time.

ARTICLE III – Selection of Mayor and Vice Mayor
The Mayor and Vice Mayor shall be elected from among the Councilmembers by a majority vote of the members of the Council. Terms of these offices may be set by Ordinance.

ARTICLE IV – Continuation of Existing Law
All ordinances, resolutions, rules, policies and regulations of the Town in effect as of the effective date of this Charter shall continue in effect until repealed or amended.

ARTICLE V – Interpretation & Severability
The provisions of this Charter shall be interpreted broadly to favor the exercise of home rule.

If any provision of this Charter is found by a court to be invalid, void or otherwise unenforceable, such invalidity will not affect the effectiveness of the remaining provisions or applications and, to this end, the provisions of this Charter are severable and remain in full force and effect.
