Joint City Council & Successor Agency to the
Calimesa Redevelopment Agency Meeting
Agenda Report
Joint Meeting Agenda Item No. 1
SUBJECT: FOURTH AMENDMENT TO THE AMENDED AND RESTATED
AGREEMENT FOR LEGAL SERVICES
MEETING DATE: June 17, 2024
PREPARED BY: Will Kolbow, City Manager
RECOMMENDATION: That the City Council and Agency Board of Directors approve the Fourth Amendment to the Amended and Restated Agreement for Legal Services with Richards, Watson & Gershon.
BACKGROUND: The City’s and Successor Agency’s legal services agreement with the law firm of Richards, Watson & Gershon (RWG) was entered into in October 2004. In June 2017, an Amended and Restated Agreement was approved. Pursuant to the latter agreement, RWG is able to provide the City and the Successor Agency with a wide range of legal services.
The proposed Fourth Amendment adjusts the rates for compensation by the change in CPI in accordance with Section 5B of the Amended and Restated Agreement which reads as follows:
Section 5B:
Adjustment in Rates by Change in CPI. Commencing July 1, 2019, and annually thereafter, the hourly rates set forth on Exhibit A, shall be reviewed annually in relation to the percentage change in the Consumer Price Index (All Urban Consumers; Los Angeles-Riverside-Orange County). The calculation shall be made using the month of April over the month of April in the prior year. Any such annual adjustment and any other adjustments in the rates, shall require prior written approval of the City Council.
If the adjustment is approved, Exhibit A to Section 5A of the Amended and Restated Agreement – Compensation Rate Schedule, will be revised accordingly. A revised Exhibit A is attached to the proposed Fourth Amendment. The new rates will go into effect July 1, 2024.
The CPI change calculated in accordance with Section 5B of the Amended and Restated Agreement is 3.9% for 2024-25. The calculation is attached to the staff report as Attachment A.
FISCAL IMPACT: The Adopted 2024-25 General Fund budget contains an allocation for City Attorney services of $190,000. No adjustment is being recommended at this time. Staff is currently monitoring costs and believes that much, if not all, of the increase can be absorbed in the new budget.
In addition, a significant portion of current services are charged to development related services which
are offset by deposits or fees from development applications which further lessens the direct impact to the General Fund. Any costs for the Successor Agency, other than costs directly associated with the outstanding bonds, will likely also be paid by the General Fund due to reduced funding from the State. These costs are expected to be minimal.

Re: Proposed Annual CPI Adjustment in City Attorney Contract Rates Effective July 1, 2024
Dear Will,
The Amended and Restated Legal Services Agreement between the City of Calimesa, the Successor Agency to the Calimesa Redevelopment Agency and Richards, Watson & Gershon dated June 12, 2017 (“Agreement”) provides for annual rate increases beginning July 1, 2019.
The Agreement provides that the rates shall be reviewed with respect to the percentage change in the Consumer Price Index, subject to review and approval by the City Council. Please place this item on the June 17 City Council agenda. Last year, I believed you prepared the staff report (See July 17, 2023 Council agenda).
Section 5A and 5B of the Agreement provides as follows:
5A. Compensation Rates. RWG shall be compensated for the performance of legal services in accordance with the Compensation Rate Schedule for the City (“Compensation Rate Schedule”), attached to this Agreement as Exhibit A and incorporated herein as though set forth in full. The terms of this Agreement and the Compensation Rate Schedule shall apply to legal services performed for entities affiliated with the City that may be established, including, but not limited to the Successor Agency. Except as provided in paragraph B of this Section, the Compensation Rate Schedule, attached as Exhibit A, shall remain in effect until amended by mutual agreement of the parties. 5B. Council Approval of Adjustment in Rates by Change in CPI.
Commencing July 1, 2019, and annually thereafter, the hourly rates set forth on Exhibit A, shall be reviewed with respect to the percentage change in the Consumer Price Index (All Urban Consumers; Los Angeles-Riverside-Orange Attachment JM1A
Will Kolbow
June 6, 2024 Page | 2
County). The calculation shall be made using the month of April over the month of April in the prior year. Upon such review, any annual adjustment shall require approval by the City Council.
As you probably know, in 2018 the United States Bureau of Labor Statistics eliminated the Los Angeles-Anaheim-Riverside Consumer Price Index and replaced it with the RiversideSan Bernardino-Ontario Index. However, for this year’s proposed adjustment, we have used the successor index to the Los Angeles-Riverside-Orange County Index which is the Los AngelesLong Beach-Anaheim Index for purposes of the proposed rate adjustment. Future adjustments will be reviewed with respect to the percentage change in the Consumer Price Index for Riverside-San Bernardino, Ontario.
Based on the foregoing, our office prepared a spreadsheet to determine the change in the Consumer Price Index (All Urban consumers for the Los Angeles-Long Beach-Anaheim region) over the applicable time period (April 2022 to April 2023). A copy of the spreadsheet is attached as Attachment A. That spreadsheet shows the CPI changes from the past year is 3.9% applicable to all rates.
Also attached as Attachment B, is a revised version of Exhibit A to the Agreement showing the changes in rates effective July 1, 2024.
As noted in our Legal Services Agreement, any adjustment in our firm’s rates will require the approval of the City Council.
Please let me know if you need any clarification or assistance from me in my private capacity in preparing or presenting this to the City Council. If you have any questions, please do not hesitate to contact me.
Very truly yours,
Quinn M. Barrow
