Calistoga, CA 94515
To Whom it May Concern:

I am writing to express my interest in and quali?cations for appointment to the Calistoga Fairgrounds Advisory Board. I am a long—timeresident of Calistoga, having lived, worked and sent all my children through school here over the past 35 years. For most of those years the Fairgrounds was a focal point across many aspects of our lives, from social and charitable events, to County Fairs, emergency services, and many entertainment events. I am invested in seeing the Fairgrounds once again becoming a valuable self-supporting community resource.

My varied work history in a variety of categories has given me valuable experience that I believe can help me guide the Fairgrounds to success. I have considerable experience in construction, and facility and equipment repair and maintenance. I also spent many years in hospitality including restaurants, food and beverage, wine, and event management,‘ generally in a management or ownership role. My business experience has taught me the importance of ?scal responsibility, and perhaps most importantly, marketing.

My primary outside interest these days is RV'ing and restoring vintage RV’s - which is also relevant to the development and operation of the Fairgrounds. (I don’t.however, play golf, but both my parents were dedicated golfers, as are my sons...) I am an effective communicator, both orally and in writing. I am willing and able to work independently or in a group. My technical skillsetis current and broad I indicated on my application that I would decline to make my personal email and phone number public. (Allour email inboxes are already cluttered to exoess...) I would, however, create a dedicated email address to make me accessible to interested persons.

I have the interest, time, and energy to devote to this committee. I believe my knowledge and experience would be an asset to the Fairgrounds and the city in pursuit of returning this incrediblepiece of property to its pivotal and productive role inthe lives of the citizens of Calistoga and beyond. Thank you for your consideration.

Respectfully Submitted,
7 .7 4/57"

Attachment to Application of Tim Reilly to serve on the calistoga Fairgrounds Committee
Query: Why do you wish to serve?
Response: Ispent a good part of my consulting career assembling and collaborating with multidisciplinary tea ms of citizens, designers, and analysts to cultivate public support and secure regulatory approvals for projects throughout northern California. Our clients were private entities as well as local, state, and federal agencies. These projects varied in scale and were primarily situated in rural areas. Through this experience, I have come to value informed public participation in government decision-making processes. My commitment to advocating for robust public involvement in the planning and revitalization of the Fairgrounds stems from a desire to make a meaningful and enduring contribution to my community.

As a member of the Advisory Committee. Iwould assist the City Council in implementing an effective public participation program. This program would facilitate an exchange of information between our local community and knowledgeable designers and analysts. it is my belief that such an exchange of information and ideas would stimulate active engagement by diverse stakeholders and facilitate their reasoned participation in incremental decision-making as a range of alternative plans for the revitalization take shape and evolve.

We are fortunate to have a community that is rich with experienced individuals who may volunteer their technical expertise pro bonc. However, it is likely that at some point input from paid professionals will be necessary, particularly for aspects such as preparing drawings that are adequately detailed to support meaningful estimates of capital and operational costs. to assess constructability and financial feasibility, and to enable applesto~apples comparisons of alternatives.

The program I envision for public participation has two overarching goals. Firstly, to develop, describe, and circulate multipleconceptual strategic plans for comparison by our community members. ultimately leadingto a single strategic plan to guide site development and resource allocation over time. Secondly, to foster a general sense among stakeholders that, regardless of the revitalization strategy ultimately selected, the decisions made by the City Council have been reached transparently and inclusively; stakeholder input has been duly considered; a range of reasonable alternative strategies has been even-handedly explored; and stakeholders have been provided with the information they need to make and express informed choices amid trade~offs.

Item #8.1.

Page 212 of 354 ends

Query: Why do you believe you are qualified for the position? Response: My professional experience well-positions me to advocate for open and frank community-wide discussions regarding a range of revitalization alternatives. | neither favor nor oppose any specific revitalizationstrategy or action.

Iperceive the role of this committee to be one of providing ongoing advice, research, and recommendations to the City Council. If appointed, [would continue to champion inclusive participation across our diverse community. Iwould promote the even-handed formulation, assessment, and comparison of alternatives. Each alternative would respond - to varying degrees - to well-articulated descriptions of the need for action and the potential objectives for the re-vitalization.

Formulation of the alternatives would follow interpretation of the results of the recently awarded survey of community needsand desires. Iview the survey to be a foundational step in developing alternatives, focusing on capturing public sentiment about the broad need for action, and on compiling preliminary input about potential re-vitalization components and associated public benefits. Ideally, results of the survey would be crafted to support early development of conceptual alternatives, and to be applied as metrics for comparing more fully developed strategies later in the decision-making process. i believe committee members should refrain from using the committee as a platform to advocate for specific development outcomes, especiallyinthese early planning stages.

Other venues and associations are well-suited for advocacy of specific outcomes. But advocacy for specific outcomes under the committee's auspices could undermine its credibility as an impartial advisor to the City Council.

Query: What may you contribute to the group?
Response: I have already contributed to the development of a draft "6-step" plan for public participation, which has been sharedwith the City Council through written and oral comments at various meetings and via community outreach efforts. This plan is modeled after protocols commonly used by local, state, and federal agencies to support decisionmaking for significant opportunities like the Fairgrounds revitalization.

I recently reviewed the draft workplan for the Fairgrounds committee presented in the Staff Reportfor the March 11 Council meeting. The plain text of the Staff Report generally aligns with the previously circulated "6-step" plan. My strongest contribution would be to focus the committee on common interests among engaged stakeholders, to actively seek input from knowledgeable practitioners about alternative plan configurations and potential Item #8.1.

Reasons IWish to Serve, Qualifications and Potential Contributions:

I am a long—timeresident ofthe Calistoga area since the mid-19705. When i moved back to California from Maui, Hawaii in 1974 with my partner (now husband), we began to search for a place to settle in Northern CA that was quiet and community-oriented, yet also unique and hopefully close to the Bay Area. We both fell in total love with Calistoga, which had a wonderful, old-fashioned look, feel and strong character, combined with a new, exciting potential of positive innovation in so many ways. The people were such a varied and interesting group (and although it took about 20 years for some of the "locals" to accept newcomers like us) we persisted in our appreciation, support and many kinds of investments into this unique place and made it our permanent home. We found a place nearby to live that we renovated and ever since have been active Calistogans, with businesses in town and residences In the Immediate area. We raised our son here and our many generations of dogs and cats and sometimes chickens, and have had numerous friends and associates here throughout the decades.

There is so much more to say about what I have loved, observed or participated in since those days and up until now, but Calistoga is my home, even with careers and projects and travel that often has taken me to places further a?eld. Calistoga still retains that charming mix of new, old , cutting-edge and well»honed traditions, beauty, history and so much else that first drew me to it and i am absolutely thrilled with the opportunity that has been preserved to have the Calistoga Fairgrounds back and alive in town, as well as being excited about other potential good developments and ideas for our town! I believe deeply in the idea that we must be stewards of our place and time and that somehow we have to figure out what we can contribute to that goal. [think my creative yet practical ability to envision is a strength that I can give to this 516 and ongoing project, along with many other skillsI have developed, both small and large, including specifics such as public relations, idea and concept development, writing skills, organizational strategies, memory and knowledge of past Calistoga ways, history and issues, in-depth experience working and collaborating with a wide-span of people, including children, teens, families, the business community, educators and of course, cultural creatives of all kinds! What Iwould hope to imbue within the challenges of both resurrecting and re-imagining the beautiful community asset of the Calistoga Fairgrounds is this overarching idea that l have about this place:

KEEPCALISTOGAREAL!
By this I mean simply, keep the best and wonderfulhistorical manifestationsand uses ofthis resource and provide ongoing ways to constantly assess and consider what is valuable for many groups ofthe greater community and visitors in the present too, constanly asking what else can live there in harmony as well? I also see the mission and vision as finding ways to cultivate, communicate, innovate and collaborate with the community about what is needed, imagined and what could work to strengthen and enliven the community even furtherand make it ever—more wonderful. In other words, be bold and courageous but never, never, never throw the baby out with the bath water!
I am a very hard worker and very committed to something I believe is good. Our family was very involved in the Fairfor many years. Our son's memoires ofgoing to the fairforliterally days on end, especially when he was old enough to be dropped off(or later even ride his bike!) are just epic! He knows that he experienced something very hard to findin 2025, as he raises his own three and five-year olds. Our family worked on various parade floatsforthe Community Pool committee, entered numerous floralsubmissions fromour garden just out oftown every year, and all ofus entered pieces in the Art Shows at our particular level. It was so important. It needs to be a part oflifeagain for many others in these ways and more.

Item #8.1.

Page 222 of 354 ends

Although I do currently have a business, i do not work full-time,so I could be a strong contributor to this committee. I am retired frommy long career in the educational ?eld as of2020, and my other main task right now isfinishing the renovation and repair ofdamages caused to our home and property fromthe Glass Fire, which are substantial but moving forwardthankfully. However, i am highly motivated to be a strong asset to this cause which is an opportunity for Calistoga that is irreplaceable.

Thankyou for your consideration and for all the work you are doing. I lookforwardto answering any other questions you may have and for any contribution you believe I can make. lan Sofie

As I have been watching the process from the purchase of the Fairgrounds to the beginnings of the revitalization, I realized that the City has a unique opportunity to bring something special to the citizens of Calistoga. We can show off our City as we see it and let others see why we live here and why we are really committed to its success. Can’t wait to see a thoughtful, well planned vision for what the whole City will contribute to.

I’ve been looking for a way to get involved with the community for some time. Earlier attempts to assist were limited since my schedule was quite impacted as l was still involved with the San Francisco board of NEWH and working more than fulltime at Gensler and then Avroko.

However, when Ifound out that there was a committee being formed for the fairgrounds itfelt like kismet as this position taps into my talents far more than any other public position in Calistoga
As a designer with a background in architecture I've worked in the industry in the Bay Area for about 20 years now. I’ve worked for teeny tiny ?rms where l was intimately involved with all stages of the process and responsible for all my projects permits to the largest architecture ?rm in the wortd, Gensler. My focus has been in F+B and Hospitality but I’ve had experience in a variety of typologies from single family and multi-family residential, to workplace, hybrid spaces, food halls and worked closely with developers on highrises to determine the right ‘mix’of businesses to make a project successful While the residential work was intimate and sensitive to personal relations the hospitality and developer work o?en had master planning and strategy at the forefront.

Since moving to Calistoga in 2019 this littletown has grown in my heart and I want to see it be successful and continue to evolve for the next generation of residents and visitors alike. How great would it be ifI could lend my expertise to Calistoga. There are some growing pains happening right now with our littletown as we have been thrown into a transitional period post-covid. Many of our neighboring cities and their residents have expressed similar sentiments. The fairgrounds is such a unique opportunity to create something that bene?ts not just our town but our community.

I’d love to be able to share some of my work with you. Most of my work is under an NBA (it seems de—rigueurthese days unfortunately) so it makes it dif?cult to send along but I'd be happy to share in person.

In addition I have a few friends/colleagues in the surrounding towns that I can consult with too.

Steven Milleris the chair of the YountvilleZoning and Design committee Erin Martin Designer and culture creator in St Helena
Kathyrn Daly of Nelson Daly in Healdsburg
And of course while I am no longer at Gensler I am still quite close with the entire San Francisco of?ce and they are always a great resource to tap.

I look fonlvard to speaking with you.

Kind Regards,
Kelly

Dear Mayor Williams & Council Members,
I wish to express my disappointment in finding that Council has taken advise to prohibit anyone living within 1000 feet of the fairgrounds from being selected to serve on the fairgrounds committee. I believe adopting this policy clearly discriminates against and restricts valuable candidates from serving on this committee & further narrows the field. I argue that proximity to the fairgrounds does not present a conflict in a non-voting committee that reports directly to City Council.

(Nominees: William Squire, Shane Pavitt, Karen Jensen, David Graves, and Hal Taylor.) Dear Calistoga City Council,
I urge you to approve the current slate of fairgrounds committees nominees. The council said it wanted a committee. Let's not delay the process further.

What I like about the current slate of nominees is that I don't know two of them. I have only had a brief email exchange with Shane Pavitt more than a year ago and have never met David Graves. That seems about right in a community of over 5,000 people.

Knowing our mayor well I am sure he was diligent in interviewing them and certain that they are highly qualified to serve our community.

However Bill Squire, Hal Taylor and Karen Jensen are people I've known through business, volunteering or our children's schools for many years. They are all long time successful professionals and have been involved in this community for decades.

I look forward to progress on the fairgrounds project.
(FYI While in Ace Hardware on an errand this morning a longtime resident stopped me to ask if the World of Outlaws races will resume. I told him I believed Tommy Hunt had contracts for some races this year and next. Another person from Petaluma overheard our exchange and and said he was really happy to know the races were coming back as he had been a frequent spectator in the past.)
Best regards,
Charlotte Williams

City of Calistoga | COMMITTEE REPORT
PAGE | 2
SUMMARY:

As development continues in Calistoga, diminishing suitable habitat for native species, our rich biodiversity and the very survival of native species, plants as well as both vertebrates and invertebrates, is at growing risk. To assure the benefits of a rich biodiversity as well as the health of the entire community, plant, animal and human, for future generations, it is essential that we prioritize the protection of native habitat, help increase year-round access to native plants and provide protection for plant, vertebrate, and invertebrate species from toxic pesticides and herbicides.

As a replacement for common pesticides, insecticides and herbicides, it is recommended that Calistoga adopt “Integrated Pest Management” as a means of managing pests, including a comprehensive ban on products containing the most harmful chemicals, “Glyphosates” and “Neonicotinoids.” Integrated Pest Management (IPM) is a long-term pest prevention strategy that uses ecological and biologically sustainable means of dealing with pests rather than resorting to harmful chemical controls, with their harmful unintended environmental impact. IPM minimizes the risks posed by pesticides and herbicides and maximizes ecosystemic sustainability by pest prevention, the application of scientific knowledge on the life cycles of pests and their interaction with the environment and other eco-friendly means. It also calls for ban on synthetic fertilizers, known to degrade soil, aggravate algae bloom and severely harm aquatic life, among other things.

Purpose
To maintain the rich biodiversity in northern Napa County, California, to increase native ecosystems within urban Calistoga, to increase viable host plants for pollinators including native butterfield, moths, and bees, and to protect the endangered species within Calistoga City limits.

ANALYSIS:

Chemical pesticides and herbicides are known to pose threats to ecosystems and human health. • Glyphosate-based products are known environmental health hazards. • Glyphosate-based products are carcinogenic and cause many other human health issues. • Neonicotinoids are among the most harmful pesticides ever created, not just causing harm to the “pest,” but to all wildlife.
• California’s recent ban on neonicotinoid pesticides (neonics), AB363, applies to non-agricultural use and limits sale and use for other purposes to licensed pest control dealers and certified applicators. Given that Calistoga is within the Napa Valley Ag preserve, this toxic class of pesticides should be banned for all use, both agricultural and non-agricultural, within Calistoga.

Ironically, reliance on glyphosate pesticides as a primary method for pest control is fundamentally inefficient and ultimately counterproductive. Rather than providing a lasting solution, these chemicals often fail to eradicate pest problems and inadvertently create new ecological imbalances.

A critical drawback of broad-spectrum insecticides is their indiscriminate nature. They kill not only targeted pests but also beneficial insects, birds, bats, snakes and other predators that feed on the pests and that play crucial roles in pollination, natural pest regulation, and overall ecosystem health.

The environmental consequences of glyphosate pesticide use are far-reaching as these chemicals do not remain confined to their intended application sites. Through uncontrolled runoff, aerial drift during spraying, accidental overexploitation, and even direct application to aquatic weeds, glyphosates Item #8.2.

contaminate both soil and water sources, permeating both surface water and underground aquifers.

Alarmingly, recent studies have found glyphosate in 60-100% of rainwater during spray season.

Soil: The impact of glyphosates extends to the very foundation of the ecosystem; the microbial communities. While killing some microorganisms, it can also lead to an increase in others, causing a massive alteration in the structure of the soil, the bedrock of terrestrial ecosystems.

The use of glyphosate inhibits and disrupts the fundamental functioning of soil by increasing certain harmful pathogens like staphylococcus aureus and aeromonas, while decreasing beneficial microorganisms crucial for soil health and nutrient cycling.

Water: In aquatic environments, glyphosate disrupts freshwater microbial communities, which serve as a vital food source for and integral component of the biological community, including the Federally endangered California Freshwater Shrimp (syncaris pacifica).

Plants: The direct effect of glyphosate on plants is also significant. It degrades chlorophyll, the pigment essential for photosynthesis, and disrupts nitrogen fixation, a foundational biochemical process crucial for all life as it forms the basis of amino acids and proteins. As a result, glyphosate decreases photosynthesis, the process by which plants convert light energy into chemical energy, and inhibits the uptake of carbon dioxide from the atmosphere.

Animals: In the animal kingdom, glyphosate disrupts beneficial intestinal bacteria and fungi, which play critical roles in digestion and overall health. Studies have shown it damages the DNA and chromosomes of fish and can lead to developmental defects in their forebrain, midbrain, and eyes. Further, glyphosate affects the morphology, behaviors, and reproduction of various beneficial arthropods and is toxic to aquatic species, causing damage to their blood, liver, cells, and mitochondria. Notably, it can kill up to 50% of certain species of beneficial insects, including parasitoid wasps and ladybugs, further disrupting natural pest control mechanisms.

Humans: The pervasive presence of glyphosate extends to the human population as it is found throughout our food chain, particularly in cereals. Worryingly high concentrations, ranging from

3.5 to 51 parts per billion, have been detected in 95% of tested beers and wines. It is also found in our drinking water and even in breastmilk, raising serious concerns about infant exposure.

Mounting scientific evidence correlates glyphosate exposure with a variety of human diseases, including cancers such as breast cancer (where it acts as a xenoestrogen), ADHD, Alzheimer’s disease, and Parkinson’s disease. At a cellular level, glyphosate kills cells by disrupting mitochondria, the powerhouses of the cell, and affects genomic regulation. In vitro studies have demonstrated its toxic effects, including the inhibition of antioxidants and damage to central nervous system receptors.

The classification of glyphosate pesticides as carcinogenic is a significant concern. The FDA has categorized them as a type 2A carcinogen, indicating that they are likely carcinogenic to humans.

Beyond its potential to cause cancer, glyphosate is also an endocrine and circulatory system disruptor.

It has been shown to decrease concentrations of Human Serum Albumin (HSA) proportionally to the levels of glyphosate found in the body. HSA is a vital protein responsible for transporting hormones, and even prescription drugs, throughout the body and is essential for numerous human physiological functions. Further, glyphosate pesticides are strongly associated with neurological disorders. A significant body of research links pre- and postnatal exposure to pesticides and heavy Item #8.2.

metals with an increased risk of many neurological disorders, including Alzheimer’s and Parkinson’s diseases. This association is partly attributed to the fact that pesticides can promote the formation of neurofibrillary tangles (NFTs) and plaques in the brain, which are pathological hallmarks of both Alzheimer’s and Parkinson’s diseases.

Synthetic Fertilizers, with their excessive levels of nitrogen and phosphorus are also known to harm the environment. Runoff from farms and landscapes using synthetic fertilizers (such as MiracleGro and comparable products) contribute to “algae bloom,” excessive bad algae growth, the impact of which is known, most famously in Lake Erie, to be disastrous to aquatic life. These chemicals artificially stimulate bacteria and microbes in soil, leading them to consume more organic matter than plants can put back into the soil. Among other things, they also cause plants to release excessive amounts of release of CO2 into the atmosphere.

The cocktail of potentially harmful ingredients in these products includes pesticides, urea and sometimes even arsenic. Pets who eat treated grass, soil or other plants treated with synthetic fertilizers may experience symptoms ranging from vomiting to seizures. Ingested directly, such fertilizers may prove fatal. Children playing on treated lawn and playing fields are also being exposed to chemicals.

INTEGRATED PEST MANAGEMENT (IPM)
IPM offers a strategy that effectively manages pests while actively supporting beneficial species. This ecosystem-based approach prioritizes the long-term prevention of pests and the damage they cause through a combination of methods including the fostering of landscape and ecosystem diversity, utilizing biological controls such as beneficial insects, and employing cultural controls like mulching, weeding, and tilling. Further, it offers simple and readily available eco-friendly pest control and fertilizer alternatives, rendering the continued general use of toxins such as glyphosates, neonicotinoids and synthetic fertilizers unnecessary.

This comprehensive approach is already championed by local organizations such as Napa Green and Napa Master Gardeners. Napa Green offers such resources as speakers, panels, workshops, mentors, and other experts, and serves as the certifying body for environmentally responsible wineries and vineyards. Napa Master Gardeners offers similar educational content, training, and certification in current best practices for agriculture and horticulture. The effectiveness and feasibility of IPM are further demonstrated by its successful implementation in similar-sized communities such as the City of Sonoma as well as numerous other communities, including Davis, Benicia, Berkeley, Woodland, San Francisco.

Crucially, IPM strongly supports the principles of soil health, recognizing that healthy soil is fundamental both to thriving ecosystems and to productive agriculture. These principles include minimizing soil disturbance, maximizing the presence of living roots, ensuring maximum soil cover, and promoting biodiversity within the soil ecosystem.
“[There is a straightforward prescription for keeping our skies filled with butterflies.] Butterflies need host plants on which to lay eggs, wildflowers on which to feed, a refuge from pesticides, and sites to overwinter. There is hope for these animals if we focus on providing habitat for butterflies across all landscapes, from cities and towns to agricultural lands to natural areas.” -Scott Black, Director of the Xerces Society

City of Calistoga

STAFF REPORT
To: Honorable Mayor and City Council
From: Greg Desmond, Planning & Building Director
Meeting: City Council - May 20 2025
Subject: City Funding for Lincoln Avenue Apartments
DESCRIPTION:

City Funding for Lincoln Avenue Apartments
RECOMMENDATION:

Consider approving a loan modification and a new, additional $1 million loan for Lincoln Avenue Apartments.

SUMMARY:

In March of 2022, the City entered into an agreement providing a $2 million, 55-year loan to the developer of Lincoln Avenue Apartments for connection and impact fees in exchange for a 100% affordable project with 55-year affordability covenants. The remaining amount of impact fees owed to the City is $1,044,551.78. As this is less than the amounts in the current documents, a loan modification is recommended (attached). Measure D funds will be the funding source for the loan.

Given the original intent to assist the project with a total of $2 million and a number of outstanding developer expenses, a new, additional loan of $1 million is recommended (also attached). A portion of the funds will address outstanding developer expenses, and any remaining funds will result in a direct payment to the developer up to the balance of the $1 million. It is recommended that Measure D housing funds be used for this loan.

In 2024, the City entered into a reimbursement agreement for multi-use pathway improvements.

Under the terms of that agreement, the City will reimburse the developer for $165,759. No new City Council action is necessary for this payment.

ANALYSIS:

Early History of the Development and Chronology of All Agreements In 2018, the City approved use permit and design review applications for the Lincoln Avenue Apartment project. At that time, the project was approved with 62 market-rate units and 16 regulated affordable units. Among others, the following off-site improvements were included as conditions of approval: (1) improvements to the City's sewer system and (2) construction of a multi-use pathway along Lincoln Avenue.

In 2020, the project was purchased by For the Future Housing, an affordable housing developer, who approached the City about providing financial assistance to convert the project to a 100% affordable housing project. A loan was contemplated at that time.

Item #8.3.

Page 264 of 354 ends

In March of 2022, a $2 million, 55-year loan agreement for connection and impact fees was made.

This is the loan that is proposed to be modified.

On June 28, 2023, the City and the developer entered into a separate Sewer Reimbursement Agreement. This provided the mechanism for the developer to obtain reimbursement for its costs to construct sewer improvements that were eligible for reimbursement against the project's water and wastewater impact fees, not to exceed $1,978,718. In addition to the not-to-exceed clause, the agreement included an integration clause that supersedes all negotiations or previous agreements with respect to these fees. The work has been completed and no additional funding is owed by or to either party under the terms of this agreement.

On November 12, 2024, a separate reimbursement agreement for a multi-use pathway was agreed to, including not-to-exceed and integration clauses. Under this agreement, the City owes the developer $165,759, which does not require additional City Council action.

Developer Request
On April 18, 2025, the Developer submitted the following:
 Amended connection and development impact fee loan documents, which reflect a reduction from $2 million to $1,044,551.78
 A new City loan request in the amount of $1 million
 Request for an amendment to the sewer improvement reimbursement agreement to increase the not-to-exceed amount by $1,416.800 to $3,395,518 to address project overages New Loan
The developer currently owes approximately $112,000 to the City in additional project fees, which are not associated with the existing loan or agreements. Those fees are as follows:
- Excise Tax - $9,750.00
- Solage Reimbursement Fee - $12,000.00*
- Developer Deposit Account Fees - $78,914.15*
- PG&E fees associated with the gas service line for 1856 Lincoln Avenue - $11,000.00 Fees followed by an asterisk (*) are subject to an escalator and therefore represent an estimation of actual fees.

The recommended new, additional $1 million loan would first be applied to all outstanding fees and expenses owed by the developer, and the remaining balance up to $1 million would be provided directly to the developer.

FINANCIAL IMPACT:

Measure D fund balance is recommended as the source of the funds for the loans. Councilapproved expenses for Measure D currently include the cost of acquisition for the Earl/Eddy Street parcels, the loan to Burbank Housing to assist in converting existing market rate units at 1405 Cedar to regulated affordable units, and expenses for the City of Napa Housing contract, the Fair Housing contract, and Housing Element implementation tasks. Charging the approximately $2.4 million in loans for the Lincoln Avenue Apartments will result in a current year-end fund balance of approximately $2.3 million if estimated revenue projections are met for the year.

24. Environmental Indemnity. Trustor agrees to indemnify, reimburse, defend, exonerate, pay and hold harmless (a) Beneficiary, its affiliates and their respective successors and assigns who acquire all or any portion of the loan secured by this Deed of Trust or the Real Property in any manner, including but not limited to, purchase at a foreclosure sale, acceptance of a deed in lieu thereof or otherwise through the exercise of the rights and remedies of Beneficiary under this Deed of Trust and (b) the directors, officers, shareholders, employees, successors, assigns, agents, contractors, subcontractors, experts, licensees, affiliates, lessees, mortgagees, trustees, and invitees of Beneficiary and such other persons or entities, from and against any and all Environmental Damages arising from the presence of Hazardous Materials upon, about or beneath the Real Property or migrating to or from the Real Property during Trustor’s use or ownership of the Real Property, or arising in any manner whatsoever out of the violation of any Environmental Requirements pertaining to the Real Property and the activities thereon after Trustor’s use or ownership, or the breach of any warranty or covenant unless and to the extent such Environmental Damages exist solely as a result of the gross negligence or willful misconduct of the otherwise indemnified person. This obligation shall include, but not be limited to, the burden and expense of defending all claims, suits and administrative proceedings (with counsel chosen by Trustor and reasonably approved by the indemnified parties), even if such claims, suits or proceedings are groundless, false or fraudulent, and conducting all negotiations of any description, and paying and discharging, when and as the same become due, any and all judgments, penalties or other sums due against such indemnified persons.

25. Environmental Remedies Cumulative. Notwithstanding anything to the contrary in this Deed of Trust, the rights of Beneficiary and the obligations of Trustor created under the foregoing Sections 22, 23, 24, and 25 shall be in addition to those other rights and obligations, respectively, created or imposed by statutory, common or case law.

26. Provisional Remedies on Default. Should Trustor fail or refuse to make any payment or do any act which it is obligated hereunder to make or do after expriation of all applicable cure periods, at the time and in the manner herein provided, or if any representation of Trustor in this Deed of Trust or other document referred to herein is incorrect, then Trustee and/or Beneficiary, each in its sole discretion, may, and without releasing Trustor from any obligation hereof:
(a) Make or do the same in such manner and to such extent as either may deem necessary to protect the security hereof, either Trustee or Beneficiary being authorized to enter upon and take possession of said Real Property for such purposes; (b) Commence, appear in and/or defend any action or proceedings purporting to affect the security hereof, and/or any additional or other security therefor, the interest, rights, powers and/or duties of Trustee and/or Beneficiary hereunder, whether brought by or against Trustor, Trustee or Beneficiary;
(c) Pay, purchase, contest or compromise any claim, debt, lien, charge or encumbrance which in the judgment of either may affect or appear to affect the security of this Deed of Trust, the interest of Beneficiary or the rights, powers and/or duties of Trustee and/or Beneficiary hereunder;

(d) Enter into and upon and take and hold possession of any or all property covered hereby and exclude the Trustor and all other persons therefrom; (e) Operate, and manage the said Real Property and rent and lease the same and collect any and all rents, issues, income and profits therefrom, the same being hereby assigned and transferred to Beneficiary, and from time to time apply same and/or accumulate same for application, in such order and manner as Beneficiary in its sole discretion shall consider advisable, to or upon the following: the necessary and proper costs of upkeep, maintenance, repair, and/or operation of said Real Property, the repayment of any sums theretofore or thereafter advanced pursuant to the terms of this Deed of Trust, the interest then due or next to become due upon said indebtedness, the taxes and assessments upon said Real Property then due or next to become due, and/or upon the unpaid principal of said indebtedness.

The collection and/or receipt of rents, issues, income and/or profits from said Real Property by Beneficiary after declaration of default and election to cause said Real Property to be sold under and pursuant to the terms of this Deed of Trust shall not affect or impair such default or declaration of default or election to cause said Real Property to be sold or any sale proceedings predicated thereon, but such proceedings may be conducted and sale effected notwithstanding the receipt and/or collection of any such rents, issues, income and/or profits.

Any such rents, issues, income and/or profits in the possession of said Beneficiary at the time of sale and not theretofore applied as herein provided, shall be applied in the same manner and for the same purposes as the proceeds of the sale.

Provided, that neither Trustee nor Beneficiary shall be under any obligation to make any of the payments or do any of the acts above mentioned, but, upon election of either or both so to do, employment of an attorney is authorized and payment of such reasonable attorney’s fees and of all other necessary expenditures is hereby secured.

27. Condemnation. All monies and awards payable as damages and/or compensation for the taking of title to or possession of, or for damage to, or on account of change of grade affecting, any portion of the Real Property subject to this Deed of Trust by reason of any condemnation, eminent domain, change of grade, or other proceeding shall, at the option of the Beneficiary and subject to the rights of any senior secured lender(s), be paid to the Beneficiary, and such moneys and awards are hereby assigned to Beneficiary, and judgment therefor shall be entered in favor of Beneficiary, and when paid may, at the option of the Beneficiary, (a) be applied, in whole or in part, by Beneficiary upon any indebtedness or obligation secured hereby, whether the same be matured or unmatured, and in such order as Beneficiary may determine, (b) be used in whole or in part to replace or restore the Real Property to a condition satisfactory to the Beneficiary, (c) be used in whole or in part to fulfill any of the covenants contained herein as the Beneficiary may determine, or (d) be released to the Trustor; and the Trustor hereby covenants and agrees, upon request by the Beneficiary, to make, execute and deliver any and all assignments and other instruments sufficient for the purpose of assigning the aforesaid moneys and awards to the Beneficiary free, clear and discharged of any and all encumbrances of any kind or nature whatsoever. Any condemnation proceeds will be applied to the reconstruction or restoration of the improvements so long as: (i) the Trustor is not then in default; (ii) sufficient funds are available from all sources to complete the reconstruction or restoration; and (iii) Beneficiary Item #8.3.

consents to such reconstruction or restoration, which consent shall not be unreasonably withheld or delayed.

28. Acceptance of Late Payments. By accepting payment of any sum secured hereby after its due date, Beneficiary does not waive its rights either to require prompt payment when due of all other sums so secured or to declare default as herein provided for failure so to pay.

29. Waivers and Authorizations. At any time, or from time to time, without liability therefor and without notice, upon written request of Beneficiary and presentation of this Deed of Trust and the note or notes secured hereby for endorsement, and without affecting the personal liability of any person for payment of the indebtedness secured hereby or the effect of this Deed of Trust upon the remainder of said Real Property, Trustee may reconvey any part of said Real Property; consent in writing to the making of any map or plat thereof; join in granting any easement thereon; or join in any extension agreement or any agreement subordinating the lien or charge hereof.

30. Release, Modification and Reconveyance, Waiver of Marshalling. Without affecting the liability of any other person liable for the payment of any obligation herein mentioned, and without affecting the lien or charge of this Deed of Trust upon any Real Property not then or theretofore released as security, for the full amount of all unpaid obligations, Beneficiary may from time to time, and without notice release any person so liable, extend the maturity or alter any of the terms of any such obligation, or grant other indulgences, release or reconvey, or cause to be released or reconveyed at any time at Beneficiary’s option any parcel or portion or all of the Real Property described herein, take or release any other or additional security for any obligation herein mentioned, and/or make composition or other arrangements with debtors in relation thereto. Trustor waives any right to object to the release or reconveyance of such Real Property and waives any right to require that the value of any Real Property so released or reconveyed be applied upon the debt secured hereby (other than the amount, if any, actually received by Beneficiary in connection with any such release). Trustor agrees that if the Beneficiary at any time holds any additional security for any obligations secured hereby, it may enforce the sale thereof or otherwise realize upon the same at its option, either before or concurrently therewith or after a sale is made hereunder.

31. Substitution of Trustee. Beneficiary hereunder may, from time to time, appoint another trustee or trustees to execute the trusts hereby created; and upon the recordation of such appointment in the office of the County Recorder of the County where such Real Property is situated, the new trustee or trustees shall be vested with all the title, interest, powers, duties, and trusts in the premises hereby vested in the Trustee first above named.

32. Reconveyance By Trustee. Upon written request of Beneficiary stating that all sums secured hereby have been paid and upon surrender to Trustee of this Deed of Trust and the note or notes secured hereby for cancellation and retention and upon payment of its fees, Trustee shall reconvey, without warranty, the Real Property then held hereunder. The recitals in such reconveyance of any matters or facts shall be conclusive proof of the truthfulness thereof. The grantee in such reconveyance may be described as “the person or persons legally entitled hereto.”

33. Right of Entry. The Beneficiary is authorized by itself, its agents or workmen, to enter at any time upon any part of said Real Property and the improvements thereon situated for the purpose of inspecting the same, and for the purpose of performing any of the acts it is authorized to perform under the terms of this Deed of Trust.

34. Default, Acceleration and Private Sale.
(a) Notice of Default. In the event of a default under this Deed of Trust after expiration of all applicable cure periods, Beneficiary may declare all sums secured hereby immediately due and payable, and in such case, shall execute and deliver to Trustee a written declaration of default and demand for sale and written notice of default and election to cause to be sold said Real Property, and shall surrender to Trustee this Deed of Trust, the note or notes secured hereby and all documents evidencing any expenditures hereunder. Thereafter such notice of default and election to cause said Real Property to be sold to satisfy the obligations hereof shall be duly filed for record. If a default under this Deed of Trust results from Trustors’s non-payment of monetary sums payable to Beneficiary, Trustor shall cure the default within ten (10) days following receipt of notice of default from Beneficiary. For any other curable default under this Agreement, Trustor shall default in, or breach, this Deed of Trust, Trustor shall cure such default or breach within thirty (30) days after receipt of written notice from Beneficiary of such default or breach. If a default is incapable of being cured within thirty (30) days, the Trustor shall have an additional ninety (90) days to cure such default provided that the Trustor has commenced to cure such default within thirty (30) days after receipt of notice, and is diligently proceeding to cure such default through the end of such period. Beneficiary agrees to accept any cure tendered by Trustor’s limited partners on the same basis as if such cure was tendered by Trustor.
(b) Right to Rescind. Beneficiary, from time to time before Trustee’s Sale, may rescind any such notice of breach or default and of election to cause to be sold said Real Property by executing and delivering to Trustee a written notice of such rescission, which notice, when recorded, shall also constitute a cancellation of any prior declaration of default and demand for sale. The exercise by Beneficiary of such right of rescission shall not constitute a waiver of any breach or default then existing or subsequently occurring, or impair the right of Beneficiary to execute and deliver to Trustee, as above provided, other declarations of default and demand for sale, and notices of breach or default, and of election to cause to be sold said Real Property to satisfy the obligations hereof, nor otherwise affect any provision, covenant or condition of said note or notes and/or of this Deed of Trust or any of the rights, obligations, or remedies of the parties thereunder.
(c) Private Sale. At least three months having elapsed after recordation of notice of default, without demand on Trustor, said Trustee, having first given notice of sale as then required by law, shall sell said Real Property at the time and place of sale fixed by it in the notice of sale at public auction to the highest bidder for cash, payable at time of sale. The whole of the trust estate shall be sold in a single lot or parcel and as an entirety unless the Beneficiary shall, in writing, direct the Trustee to sell said trust estate in separate parcels and shall direct the Trustee as to the parcels into which the trust estate shall be divided for purposes of sale and the order in which said parcels shall be offered for sale. Trustor, for itself and its successors and assigns (including without limitation any subsequent or other junior creditor of any part or all of the Real Item #8.3.

Property), waives any right to marshalling of assets or any right to require any part of the Real Property to be sold prior to any other part of the Real Property or any right to require the Real Property to be sold in parcels rather than as a whole. Trustee may postpone sale of all or any portion of said Real Property by public announcement at such time and place of sale, and from time to time thereafter may postpone such sale by public announcement at the time fixed by the preceding postponement. Without further notice Trustee may make such sale at the time to which same shall be so postponed. Trustee shall deliver to such purchaser its deed conveying the Real Property so sold, but without any covenant or warranty, express or implied, and the recitals in such deed or deeds of any matters or facts affecting the regularity or validity of said sale shall be conclusive (except as against the parties hereto) proof of the truthfulness thereof; also such deed or deeds shall be conclusive (except as against the parties hereto) against all persons as to all matters or facts therein recited. Any person, including Trustor, Trustee, or Beneficiary as hereinafter defined, may purchase at such sale.
(d) Application of Sale Proceeds. Trustee shall apply the proceeds of any such sale to payment of:
(1) All costs, fees, charges and expenses of Trustee and of these trusts, reasonable fees of any attorneys employed by Trustee and/or Beneficiary pursuant to the provisions hereof, Trustee’s fees in connection with sale, and all expenses of sale, including cost of procuring guarantee or evidence of title in connection with the sale proceedings and revenue stamps on Trustee’s Deed;
(2) All other sums then secured hereby, including indebtedness described herein, all sums advanced or expended under the terms hereof and not then repaid, the interest on each of the foregoing items, all in such manner and order of priority or preference as the Beneficiary may in its sole and absolute discretion determine; (3) The remainder, if any, to the person or persons legally entitled thereto, upon proof satisfactory to the Trustee of such right.

35. Successors and Assigns. This Deed of Trust applies to, inures to the benefit of, and binds all parties hereto, their heirs, legatees, devisees, administrators, executors, successors and assigns. The term “Beneficiary” shall mean the owner and holder of the note secured hereby, whether or not named as Beneficiary herein.

36. Severability. If any provision hereof should be held unenforceable or void, then such provision shall be deemed separable from the remaining provisions and shall in no way affect the validity of this Deed of Trust.

37. No Notice by Trustee. Trustee shall be under no obligation to notify any party hereto of any action or proceeding of any kind in which Trustor, Beneficiary and/or Trustee shall be a party, unless brought by Trustee, or of any pending sale under any other Deed of Trust.

38. Number and Gender. In this Deed of Trust, whenever the context so requires, the masculine gender includes the feminine and/or neuter, and the singular number includes the plural.

39. Waiver of Statute of Limitations. The right to plead any and all statutes of limitations as a defense to any demand secured by this Deed of Trust is hereby waived to the full extent permissible by law.

40. Trust Irrevocable. The trust created hereby is irrevocable by the Trustor.

41. Interpretation. The term “and/or” as used herein means one or the other or both, or any one or all, of the things or persons in connection with which the words are used. Paragraph headings are for reference only and shall not be considered in the interpretation of this Deed of Trust.

Beneficiary shall deliver copies of all notices sent to Trustor to Trustor’s limited partner set forth above.

43. Materiality. Each and every provision, covenant, term and condition, representation and warranty herein contained is agreed to be a material provision hereof, and any breach thereof shall constitute a sufficient ground for acceleration of the due date of the indebtedness secured hereby and a sufficient ground for foreclosure in the event of failure of Trustor either to cure said breach within the time periods, if any, herein provided or to pay in full the indebtedness hereby secured.

44. Limitations on Recourse. In any action brought to enforce the obligation of the makers of the note secured hereby to pay the indebtedness evidenced by such note or to enforce the obligation of the parties executing this instrument to pay any indebtedness or obligation created or arising under this instrument, the judgment or decree shall be enforceable against such parties and their partners only to the extent of its interests in the Real Property covered hereby or subject to any other security instrument securing said note, and any such judgment shall not be subject to execution on, nor be a lien on, assets of such parties or their partners other than its interests in the Real Property covered hereby or subject to any other security instrument securing said note.

This provision relating to limitation on liability shall not extend to (i) any waste, misrepresentation or fraud of the Trustor, or (ii) any liability of Trustor to Beneficiary (and its successors and assigns) described in Sections 22, 23, 24, and 25 relating to environmental matters, or (iii) any misapplication of casualty or condemnation proceeds, or (iv) any rent or other payments collected after recordation of a notice of default under this Deed of Trust, the note secured hereby, or the Assignment of Rents between the parties dated concurrently herewith, and any security deposits, advances or prepaid rent, or any similar sums paid to Trustor or held for the account of Trustor by any other person or entity in connection with the Real Property after a default under this Deed of Trust, the note secured hereby, or the Assignment of Rents between the parties dated concurrently herewith, and misapplied by Trustor.

Notwithstanding the foregoing, the Beneficiary may obtain any appropriate equitable relief against the Trustor, including but not limited to injunctions and the appointment of a receiver.

45. Extended Use Agreement. Notwithstanding anything contained in the Loan Documents, Beneficiary hereby acknowledges and agrees that the State of California, acting through the Tax Credit Allocation Committee, intends to enter into an extended use agreement, which constitutes the extended low-income housing commitment described in Section 42(h)(6)(B) of the Internal Revenue Code, as amended (the “Code”). As of the date hereof, Code Section 42(h)(6)(E)(ii) does not permit the eviction or termination of tenancy (other than for good cause) of an existing tenant of any low-income unit or any increase in the gross rent with respect to such unit not otherwise permitted under Code Section 42 for a period of three (3) years after the date the Property is acquired by foreclosure or by instrument in lieu of foreclosure, even though such foreclosure or instrument in lieu of foreclosure would cause the termination of any such extended use agreement required by the Tax Credit Allocation Committee. In the event the extended use agreement required by the Tax Credit Allocation Committee is recorded against the Property, Beneficiary agrees to comply with the provisions set forth in Code Section 42(h)(6)(E)(ii).

If a monetary default occurs under the terms of any of the Loan Documents, prior to exercising any remedies thereunder, Lender shall give Borrower and Limited Partner simultaneous written notice of such default. Limited Partner shall have a period of thirty (30) days after such notice is given within which to cure the default prior to exercise of remedies by Lender under the Loan Documents, or such longer period of time as may be specified in the Loan Documents. Limited Partner shall have the right, but not the obligation, to cure any default under the Loan Documents within the applicable cure periods provided to Borrower thereunder.

If Limited Partner cures such default within the cure period, Lender will accept such action as curing the respective default under the Loan Documents.

3. If a non-monetary default occurs under the terms of any of the Loan Documents, prior to exercising any remedies thereunder, Lender shall give Borrower and Limited Partner simultaneous written notice of such default. If the default is reasonably capable of being cured within thirty (30) days, Limited Partner shall have such period to effect a cure prior to exercise of remedies by Lender under the Loan Documents, or such longer period of time as may be specified in the Loan Documents. If the default is such that it is not reasonably capable of being cured within thirty (30) days or such longer period if so specified, and if Borrower or Limited Partner (a) initiates corrective action within said period, and (b) diligently and in good faith Item #8.3.

works to effect a cure, then Borrower and Limited Partner shall have such additional time as is reasonably necessary to cure the default prior to exercise of any remedies by Lender. If Borrower fails to take corrective action or to cure the default within a reasonable time, Lender shall give Limited Partner written notice thereof, whereupon the Limited Partner may remove and replace the general partner with a substitute general partner who shall effect a cure within a reasonable time thereafter in accordance with the foregoing provisions. If Limited Partner cures such default within the cure period, Lender will accept such action as curing the respective default under the Loan Documents.

4. Lender will give Limited Partner a copy of any written notice it gives to Borrower under the Loan Documents at the following address:

Raymond James California Housing Opportunities Fund 11 L.L.C. c/o Raymond James Affordable Housing Investments, Inc.
880 Carillon Parkway
St. Petersburg, Florida 33716
Attn: Steven J. Kropf, President
And:

Bocarsly Emden Cowan Esmail & Arndt LLP
633 West Fifth Street, 64th Floor
Los Angeles, California 90071
Attn: Rachel Rosner

5. The withdrawal, removal, and/or replacement of a general partner of the Borrower pursuant to the terms of the Partnership Agreement shall not constitute a default under any of the Loan Documents, and any such actions shall not accelerate the maturity of the Loan, provided that the Limited Partner provides the Lender with prior written notice of such removal and substitution of a general partner of Borrower. An affiliate of a Limited Partner is an acceptable substitute general partner.

6. Lender will permit insurance and condemnation proceeds to be used to rebuild the Project provided that sufficient funds are available from other sources to effectively rebuild the Project to a multifamily housing complex.

7. Lender has not and will not cross-default or cross-collateralize the Loan with any loan made with respect to another property.

8. The Loan is a non-recourse obligation of Borrower. None of Borrower, any of its partners, or any other party shall have any personal liability for repayment of the Loan. The sole recourse of Lender under the Loan Documents for repayment of the Loan shall be the exercise of its rights against the Project and related security thereunder.

9. There shall be no default for construction or rehabilitation delays beyond the reasonable control of Borrower, provided that such delays do not exceed one hundred eighty (180) days, or such longer period of time as may be specified in the Loan Documents.

Item #8.3.

10. The execution and delivery of the purchase option and right of first refusal agreement described in the Partnership Agreement and the exercise of such options shall not constitute a default under the Loan Documents or accelerate the maturity of the Loan thereunder.

If the purchase option and right of first refusal agreement described in the Partnership Agreement is not exercised and the Project is sold subject to low-income housing use restrictions as contained in an existing regulatory agreement or other recorded covenant, any requisite consent of Lender to said sale, and to the assumption without penalty of loan obligations by the purchaser and the release of Borrower from such obligations, shall not be unreasonably withheld.

11. In any approval, consent, or other determination by Lender required under any of the Loan Documents, Lender shall act reasonably and in good faith.

12. Lender acknowledges that Borrower and the California Tax Credit Allocation Committee intend to enter into, or concurrently with the execution and delivery of the Loan Documents are entering into, an extended use agreement, which constitutes the extended lowincome housing commitment described in Section 42(h)(6)(B) of the Internal Revenue Code, as amended. Lender agrees to subordinate the Loan and Lender’s rights under the Loan Documents executed in conjunction therewith to the relevant provisions of said extended use agreement.

This subordination is being made in consideration of the allocation of tax credits to the Project, absent which the development of the Project would not occur, and this mortgage loan would not be made. Additionally, Lender hereby consents to the refinancing of any senior mortgage financing in connection with the Project, subject only to the reasonable approval of the Lender to any documents executed in connection with the refinancing of such senior mortgage financing.

13. Notwithstanding the occurrence of any monetary or non-monetary default under the terms of any of the Loan Documents, during the Compliance Period (as defined in the Partnership Agreement), Lender shall not (i) commence foreclosure proceedings with respect to the Property under the Loan Documents or exercise any other rights or remedies it may have under the Loan Documents, including, but not limited to, accelerating sums due under the Loan Documents, collecting rents, appointing (or seeking the appointment of) a receiver or exercising any other rights or remedies hereunder or (ii) join with any other creditor in commencing any bankruptcy reorganization arrangement, insolvency or liquidation proceedings with respect to Borrower.

14. Limited Partner is intended to be a direct beneficiary of the covenants set forth in this Investor Rider and is entitled to bring an action to enforce the same independent of any rights of Borrower. Lender will not materially modify the Loan Documents without Limited Partner’s prior written consent.

15. This Investor Rider may be executed in multiple counterparts, each of which is deemed to be an original. Digitally transmitted signatures are as effective as originals. [Signatures follow]

without notice, at the option of the holder of this Note. Failure to exercise such option will not constitute a waiver of the right to exercise it in the event of any subsequent default. 5. Waivers by Borrower. Presentment, notice of dishonor, and protest are waived by all makers, sureties, guarantors, and endorsers of this Note.

6. Due on Sale. The Deed of Trust contains a section which provides in part as follows (pursuant to which Borrower is “Trustor” and Lender is “Beneficiary”):

Upon the occurrence of any such transaction with Beneficiary’s consent, or without Beneficiary’s consent if Beneficiary elects not to exercise its rights and remedies in the event of default (including, but not limited to, acceleration of the indebtedness secured hereby), Beneficiary: (i) may charge a loan fee (not to exceed one percent of the then outstanding principal balance) and a processing fee pursuant to paragraph 8 of the Deed of Trust in connection with the change, and (ii) shall not be obligated to release Trustor from any liability hereunder or under the Note or under any of the other documents evidencing or securing the Note secured hereby. Consent to any such transaction shall not be deemed to be consent, or a waiver of the requirement of consent to any other transaction.

6.2 Leasing in Ordinary Course. Notwithstanding subparagraph 6.1 above, however, it is agreed that Trustor may (subject to any other provision hereof and to any provision of the Note secured hereby, or of any assignment of rents or assignment of leases, or any other instrument evidencing security for the loan secured hereby) lease the Property in the ordinary course of business on such terms as Trustor deems fit and that such leasing of the Property shall not be deemed a sale, conveyance, alienation or encumbrance so as to violate this covenant.

6.3 Easements. Trustor may grant easements necessary or desirable for the construction and equipping of the Property.

6.4 Additional Permitted Transfers. Notwithstanding anything to the contrary set forth herein, and without limiting the generality of the preceding provisions, the following transfers are hereby permitted by the Lender and shall not require any additional approvals:

(3) The removal of a general partner by the tax credit limited partner or an affiliate thereof for a default under Borrower’s partnership agreement provided the replacement general partner is an affiliate of the tax credit limited partner; and provided further that any transfers of the general partner interest to a person that is not an affiliate of the limited partner, such unaffiliated proposed general partner shall be subject to the prior approval of the Lender, not to be unreasonably withheld; (4) the transfer of the general partner interest owned held by a nonprofit public benefit corporation to another affiliated nonprofit public benefit corporation or limited liability company whose sole members are nonprofit public benefit corporations; (5) the transfer of the limited partner’s interests to a general partner or an affiliate of a general partner;

(7) No Waiver. Failure of the Lender to exercise the option to accelerate the debt in the event of sale, assignment, or further encumbrance will not constitute waiver of the right to exercise this option in the event of subsequent sale, assignment, or further encumbrance.

7. Attorneys’ Fees. Borrower agree(s) to pay the following costs, expenses, and attorneys’ fees paid or incurred by the holder of this Note, or adjudged by a Court: (1) reasonable costs of collection, costs, expenses, and attorneys’ fees paid or incurred in connection with the collection or enforcement of this Note, whether or not suit is filed; and (2) costs of suit and such sum as the Court may adjudge as attorneys’ fees in an action to enforce payment of this Note or any part of it.

Neither Borrower nor any of its officers, directors or general and limited partners shall have any personal liability for repaying the principal or interest of the Loan. The sole recourse of Lender for repayment of the principal and interest shall be the exercise of Lender’s rights against the Project under the Deed of Trust. The foregoing limitation shall not apply to any loss, damage, liability, action, cause of action, cost or expense incurred by Lender as a result, and to the extent of, (i) fraud or material gross misrepresentation under the Loan Documents; (ii) intentional bad faith waste of the Property; (iii) losses resulting from Borrower’s failure to properly maintain insurance as required under the Deed of Trust; or (iv) gross misappropriation of any rents, security deposits, insurance proceeds, condemnation awards or any other proceeds derived from the collateral security. In the event of any of the foregoing events (i) through (iv) occurs, Lender shall have the right to proceed directly against Borrower to recover any loss, damage, liability, action, cause of action, cost or expense (including, without limitation, reasonable attorneys’ fees and expenses) incurred by Lender to the extent directly caused by events (i) through (iv).

LOAN AGREEMENT
THIS LOAN AGREEMENT (this “Agreement”) is entered into effective as of ____________, 2025 (“Effective Date”) by and between the City of Calistoga, a California municipal corporation (“City”) and Calistoga Apartments Investors, L.P., a California limited partnership (“Developer”). City and Developer may each be referred to as a “Party” or collectively as the “Parties.”

RECITALS
A. Developer is the owner of the real property located at 1855 Lincoln Avenue, Assessor’s Parcel Number 011-050-044 (the “Property”).

B. The City intends to loan to the Developer a loan in the original principal amount of $1,000,000 (“Loan”) in connection with the development of an affordable residential project on the Property known as Lincoln Avenue Apartments (the “Project”).

C. Developer has developed the Project as an affordable multifamily rental housing subject to a loan agreement with Pacific Western Bank, a California state-chartered bank (the “Senior Lender”) for funding in connection with California Tax Credit Allocation Committee requirements.
.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

1. Loan, Note and Regulatory Agreement. In order to support the affordability proposed for the Project, the City has agreed to make the Loan to Purchaser upon the terms and conditions set forth in this Agreement. Developer’s obligation to repay the Loan shall be evidenced by a Note which shall be executed by Developer in a form agreed to by the Parties.

The proceeds of the Loan shall be funded on the Effective Date. To ensure the continued affordability of the Project, the Developer and City have previously entered into a Regulatory Agreement and Declaration of Restrictive Covenants, dated March 24, 2022 and recorded in the Official Records on March 25, 2022 under Document No. 2022-0006234 (the “Regulatory Agreement”). The Term of the Regulatory Agreement ends fifty-five (55) years after the date of the issuance of the Certificate of Occupancy for the Project.

1.1 Interest Rate; Payment Dates; Maturity Date. The principal balance of the Note will bear interest at a rate equal to three percent (3%) simple annual interest commencing upon the Effective Date. Unless forgiven as provided herein, the entire outstanding principal balance under the Note together with accrued interest and all other sums due under the City Documents shall be payable in full on the fifty-fifth anniversary of the date of the Note (the “Maturity Date”). Notwithstanding the foregoing, the City shall have the right to accelerate the Maturity Date and declare all sums payable under the Note immediately due and payable upon the expiration of all applicable cure periods following the occurrence of an uncured Event of Developer Default.

Item #8.3.

Page 2 ends

1.2 Security. As security for repayment of the Note, Developer shall execute a Deed of Trust in favor of City (the “Deed of Trust”) as beneficiary pursuant to which City shall be provided a lien against the Property; provided, however the Deed of Trust shall be subordinate to the deed of trusts securing the Senior Loan. The Deed of Trust shall be in a form agreed to by the Parties, and shall be recorded in the Official Records of Napa on the date of closing.

1.3 Prepayment; Acceleration.

1.3.1 Prepayment. Developer shall have the right to prepay the amounts set forth in the Note at any time and from time to time, without penalty or premium, provided that any prepayment of principal must be accompanied by payment of the interest accrued but unpaid on such principal to the date of prepayment. Prepayments shall be applied first to accrued but unpaid interest and then to principal. Any such prepayment shall have no effect upon Developer’s obligations under the Regulatory Agreement which shall survive for the term of such agreement.

1.3.2 Due on Transfer or Encumbrance. Unless City agrees otherwise in writing, the entire unpaid principal balance and all interest and other sums accrued under the Note shall be due and payable upon a Transfer (defined below) absent the prior written consent of City of all or any part of, or interest in, the Property or the Project except as otherwise permitted pursuant to this Agreement.

1.3.3 Default. The City shall have the right to accelerate the maturity date and declare all sums payable under the Note immediately due and payable upon the expiration of all applicable cure periods following the occurrence of an Event of Developer Default.

2. Escrow. Developer shall or has opened escrow at First American Title Insurance Company (“Title Company” or “Escrow Agent”) in order to consummate the closing of the loan. Developer shall pay all recording fees, escrow fees and closing costs incurred in connection thereof. The closing date shall be a date determined by Developer, which shall be no later than _______________, 2025. Prior to the close of escrow, Developer shall deposit into escrow the Note and Deed of Trust (“City Documents”), executed and acknowledged as applicable, and all closing costs. Provided that all conditions precedent to close of escrow set forth herein have been satisfied or waived, City shall deposit into escrow executed copies of the City Documents to which City is a party. On the closing date, the Escrow Agent shall cause the Deed of Trust to be recorded in the Official Records of Napa County.

3. Conditions to Funding. City’s obligation to fund the Loan is conditioned upon the satisfaction of all of the requirements set forth in this section unless any such condition is waived in writing by City.

3.1 No Default. There shall exist no condition, event or act which would constitute a material breach or default by Developer under this Agreement or any other City agreement, or which, upon the giving of notice or the passage of time, or both, would constitute such a material breach or default.

Page 3 ends

3.2 Execution, Delivery and Recordation of Documents. Developer shall have executed, acknowledged as applicable, and delivered to City, or if so instructed, into escrow, the City Documents. Concurrently with the Closing, the Deed of Trust shall be recorded in the Official Records.

4. Prohibition on Transfer. Prior to the repayment of the principal and interest under the Note, Developer shall not, except as expressly permitted by the Deed of Trust, directly or indirectly, voluntarily, involuntarily or by operation of law make or attempt any total or partial sale, transfer, conveyance, assignment or lease (collectively, “Transfer”) of the whole or any part of the Property, the Project, the improvements, or this Agreement, without the prior written approval of City which approval shall not be unreasonably withheld.

5. Event of Developer Default. The following events shall constitute an event of default on the part of Developer hereunder (“Event of Developer Default”):

5.1 Developer fails to pay when due the principal and interest payable under the Note, and such failure continues for ten (10) business days after City notifies Developer and Senior Lender thereof in writing;

5.2 A Transfer occurs, either voluntarily or involuntarily, in violation of this Agreement;

5.3 A default arises under any loan secured by a mortgage, deed of trust or other security instrument recorded against the Property and remains uncured beyond any applicable cure period such that the holder of such security instrument has the right to accelerate repayment of such loan;

5.4 The Developer shall have voluntarily suspended its business or Developer shall have been dissolved or terminated; or

5.5 An event of default arises under any City Document or the Regulatory Agreement and remains uncured beyond any applicable cure period.

6. City’s Remedies and Rights upon an Event of Developer Default. Upon the occurrence of an Event of Developer Default and the expiration of any applicable notice and cure period, City shall have all remedies available to it under this Agreement or under law or equity, including, but not limited to the following, and City may, at its election, without notice to or demand upon Developer, except for notices or demands required by law or expressly required pursuant to the City Documents, exercise one or more of the following remedies:

6.1 Accelerate and declare the balance of the Note and interest accrued thereon immediately due and payable; or

6.2 Pursue any and all other remedies available under this Agreement or the other City Documents, or under law or equity to enforce the terms of the City Documents and City’s rights thereunder.

Page 4 ends

Notwithstanding anything to the contrary herein or in the City Documents, any cure tendered by the Senior Lender shall be accepted or rejected on the same basis as if tendered by Borrower.

7. Remedies Cumulative; No Consequential Damages. Except as otherwise expressly stated in this Agreement, the rights and remedies of the Parties are cumulative, and the exercise by either Party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different time, of any other rights or remedies for the same or any other default by the other Party. Notwithstanding any contrary provision of this Agreement, a Party’s right to recover damages in the event of a default shall be limited to actual damages and shall exclude consequential damages.

8. Inaction Not a Waiver of Default. No failure or delay by either Party in asserting any of its rights and remedies as to any default shall operate as a waiver of such default or of any such rights or remedies, nor deprive either Party of its rights to institute and maintain any action or proceeding which it may deem necessary to protect, assert or enforce any such rights or remedies in the same or any subsequent default.

9. Rights of Mortgagees. Any rights of the City under this Agreement shall not defeat, limit or render invalid any mortgage or deed of trust permitted by this Agreement (including the deed of trusts securing the Senior Loan) or any rights provided for in this Agreement for the protection of holders of such instrument.

10. Indemnity. To the greatest extent allowed by law, Developer shall indemnify, defend (with counsel reasonably approved by City) and hold the City and its officers, agents, employees, contractors and consultants (“City Indemnitees”) harmless from and against any and all claims, demands, judgements, payments, suits, penalties, losses or liabilities (“Claims”) (including without limitation, Claims arising from any injury, death, illness, property damage, or loss of property) arising directly or indirectly, in whole or in part, as a result of or in connection with the development, construction, improvement, operation, ownership or maintenance of the Property, or any part thereof or interest therein, by Developer or Developer’s contractors, subcontractors, agents, employees or any other party acting for or on behalf of Developer, or otherwise arising out of or in connection with this Agreement, including without limitation Developer’s performance or failure to perform under this Agreement.

Developer’s indemnification obligations under this section shall not extend to Claims to the extent resulting from the gross negligence or willful misconduct of City Indemnitees. The provisions of this section shall survive the expiration or earlier termination of this Agreement.

11. Insurance. Developer shall procure and maintain all insurance required by the Senior Lender and shall name the City as an additional insured under all liability policies.

12. Compliance with Laws. Developer shall comply with all applicable laws, including Public Contract Code requirements; City zoning and development standards; building, plumbing, mechanical and electrical codes; all other provisions of the City’s Municipal Code; and all applicable disabled and handicapped access requirements, including the Americans With Disabilities Act, 42 U.S.C. City of Calistoga

STAFF REPORT
To: Honorable Mayor and City Council
From: Lauren Clark, Assistant Planner
Meeting: City Council - May 20 2025
Subject: Adoption of Vehicle Miles Traveled (VMT) Guidelines and Thresholds DESCRIPTION:

The City Council consideration to adopt Vehicle Miles Traveled (VMT) Guidelines establishing thresholds of significance for evaluating transportation impacts of development projects in accordance with provision 15064.3 of the California Environmental Quality Act (CEQA).

RECOMMENDATION:

Consider Adopting the Resolution
SUMMARY:

Purpose:

In 2013, Senate Bill (SB) 743 established a major change to the California Environmental Quality Act (CEQA); replacing the level of service (LOS) metric with a vehicle-miles traveled (VMT) metric when assessing transportation-related environmental impacts for discretionary projects. VMT is defined in CEQA Guidelines as the amount and distance of automobile travel attributable to a project.

Objectives:

The proposed VMT Guidelines and Thresholds will allow the city to:
- Provide a guide to assess the potential Vehicle Miles Traveled (VMT) impacts of proposed developments.
- Set thresholds for projects that require analysis of VMT. - Outline specific project types that do or do not require VMT analysis. - Establish a consistent process to evaluate VMT impacts, including identified screening criteria, thresholds of significance, VMT generation rates, and feasible mitigation measures to reduce VMT.

ANALYSIS:

Background:

On August 3, 2021, the Calistoga City Council adopted Resolution No. 2021-063 declaring a climate emergency and committing the city to net-zero climate pollution by 2030. Pursuant to that resolution the City Council, committed to evaluating all planning and policy decisions to implement immediate and sustainable actions in support of net-zero climate pollution by or before 2030.

Resolution No. 2021-063 furthers the goals of the Climate Action Plan (“CAP”) adopted by City Council in 2014, which sought to reduce the city’s emissions by 15 percent from its 2005 baseline.

Item #8.4.

Page 321 of 354 ends

As noted in the CAP, the transportation sector was the largest source of emissions for Calistoga in 2005 and 2010, generating over half of the total emissions in 2010.

The City of Calistoga is currently working in partnership with the County of Napa and several other jurisdictions to prepare a Napa County Regional Climate Action and Adaptation Plan (RCAAP). The RCAAP includes strategies, measures, and actions to realize measurable greenhouse gas reductions. While the RCAAP is currently in process, the proposed VMT Guidelines are an immediate step Calistoga can take to advance the primary goal of the RCAAP, which is to reduce GHG emissions.

The proposed VMT Guidelines, attached as Exhibit 1, will address how the city analyzes transportation impacts under CEQA for discretionary projects. The SB 743 VMT Implementation Guidelines do not apply to existing vehicle miles traveled that are generated by established uses throughout the city. Rather, they apply exclusively to new discretionary projects undergoing environmental review in accordance with CEQA.

Discussion:

Adoption of local VMT Guidelines will establish a framework under which discretionary projects are reviewed and evaluated to assess impacts in accordance with CEQA. The VMT Guidelines are in alignment with the Napa Valley Transportation Authority’s (NVTA) approach for evaluating VMT impacts and contain the necessary information to bring the city into compliance with SB 743.

Climate Action Policy Consistency:

The City of Calistoga’s Climate Action Plan has a goal and two objectives specific to reducing VMT.

Staff finds that the proposed VMT Guidelines are consistent with the Climate Action Plan.

Goal: Minimize the number of vehicle miles traveled by residents and visitors.

Objective T-6: Reduce residents’ vehicle trips outside the community for goods and services.

Measure T-6 B “Support the provision of resident-serving retail and services. Approving land use entitlements for resident-serving uses would minimize the VMT associated with trips outside the community.”
Objective T-7: Promote opportunities to house local workers to minimize commuting.

Measure T-7 A: “Promote housing types that are desirable to local workers. Local workers residing in Calistoga avoid emissions associated with commuting. Developing multi-family housing for existing and anticipated workers in the hospitality and service industries will reduce these emissions.”
General Plan Consistency:

Staff finds the following general plan goals, policies and objectives to be consistent with the proposed VMT Guidelines.

Land Use Element Goal LU 1. Protect the small-town qualities of Calistoga, which include walkability, vineyards, orchards, natural habitats and open space.

Objective LU 1.3: Ensure that commercial and industrial development is designed, located and operated so as to not disturb Calistoga’s quality of life, and approved at a rate and scale that retains Calistoga’s small-town character.

Item #8.4.

Page 322 of 354 ends

P1.3-3 “Commercial & industrial land shall be developed in an environmentally sensitive manner and shall be compatible with any adjacent residential and commercial uses.” Land Use Element Goal LU 3. Ensure that new development mitigates significant environmental, design and infrastructure impacts.

Objective LU 3.2: Ensure that new development complements Calistoga’s small-town rural character and minimizes impacts on the environment.

Open Space and Conservation Element Goal OSC-6. Protect and improve Calistoga’s existing high standard of air quality.

Objective OSC-6.1: Minimize air pollution emissions.

Policy P6.1-1: “The City should support efforts to reduce vehicular emissions in the Calistoga Planning area by reducing congestion and dependence on automobile-related forms of transportation.”
Policy P6.1-2: “Growth and development types that can inhibit air quality goals should be monitored and controlled, and the approval of development should be conditional on the mitigation of significant adverse impacts to air quality.” Open Space and Conservation Element Goal OSC-7. Work to preserve the global environment.

Objective OSC-7.1: Minimize Calistoga’s contribution to impacts on the global environment such as dependence on fossil fuels, consumption of non-renewable resources and discharge of toxins and pollutants.

Policy P7.1-3: “The City shall promote decreased reliance on motor vehicle travel through effective land use policies, improved public transit and facilities to accommodate bicycle and pedestrian modes of travel.”
Policy P7.1-5: “The City shall encourage new development to minimize impacts on the local environment.”
Zoning Code Consistency:

The City’s Zoning Code is silent in regards to VMT. However, staff finds no inconsistencies with the zoning code and the proposed VMT Guidelines, and no amendments to the zoning code are required or proposed.

Findings:

To reduce repetition, the basis for making the required findings is presented above and contained in the attached Draft Resolution (Attachment 1).

FINANCIAL IMPACT:

The adoption of VMT thresholds has no financial impact on the city.

CEQA STATUS:

Item #8.4.

Page 323 of 354 ends

The action under consideration is adoption of the VMT Guidelines including establishing a VMT significance threshold for the use by the city in evaluating discretionary projects in accordance with CEQA, is not in and of itself subject to the provisions of CEQA in that it does not meet the definition of a “project” pursuant to CEQA Guidelines Section 15378(a). Similarly, nor does it constitute an activity covered by CEQA under Guidelines Section 15060(c)(2), because it does not result in an indirect or direct, reasonably foreseeable, physical impact on the environment. The action of adopting thresholds of significance for VMTs and establishing local VMT guidelines to meet the state’s legislative mandate under SB 743 is ministerial in that it is consistent with the process, requirements and actions that are applicable to the adoption of thresholds of significance related to transportation impacts, as set forth in CEQA Guidelines Sections 15064 (“Determining the Significance of the Environmental Effects Caused by a Project”), 15064.3 (“Determining the Significance of Transportation Impacts”), and 15064.7 (“Thresholds of Significance”). RESOLUTION NO. 2025-XX

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CALISTOGA, COUNTY

OF NAPA, STATE OF CALIFORNIA, ADOPTING VEHICAL MILES TRAVELED

GUIDELINES
WHEREAS, under the California Environmental Quality Act (CEQA), cities, counties and other public agencies must analyze discretionary projects to determine whether they may have significant impact on the environment; and WHEREAS, traditionally, transportation impacts have been evaluated using a Level of Service (LOS) analysis to determine whether discretionary projects are likely to cause automobile delay at intersections and congestion on nearby individual roadway segments; and
WHEREAS, Senate Bill 743 (Steinberg), initiated a reform that established CEQA Guidelines Section 15064.3 requiring that lead agencies analyze transportation impacts of discretionary projects using the vehicle miles traveled (VMT) metric instead of LOS, starting July 1, 2020; and WHEREAS, CEQA Guidelines Section 15064.3 defines vehicle miles traveled as the amount and distance of automobile travel attributable to a project; and WHEREAS, the Governor’s Office of Planning and Research (OPR) proposed, and the California Natural Resources Agency certified and adopted, new CEQA Guidelines Section 15064.3 that identified vehicle miles traveled as the most appropriate metric to evaluate a project’s transportation impacts; and WHEREAS, CEQA Guidelines Section 15064.7(a) defines a threshold of significance as “an identifiable quantitative, qualitative, or performance level of a particular environmental effect, noncompliance with which means the effect will normally be determined to be significant by the agency and compliance with which means the effect normally will be determined to be less than significant”; and WHEREAS, CEQA Guidelines Section 15064.7(b) encourages lead agencies to adopt their own thresholds of significance for the lead agency’s general use in its environmental review process and for local thresholds to be adopted by “ordinance, resolution, rule or regulation, and developed through a public review process and be supported by substantial evidence.”; and
WHEREAS, pursuant to CEQA Guidelines Section 15064.7(c), when adopting thresholds of significance, “a lead agency may consider thresholds of significance previously adopted or recommended by other public agencies provided the decision of the lead agency to adopt such thresholds is supported by substantial evidence”; and
WHEREAS, the City of Calistoga did not adopt VMT Guidelines on or before July 1, 2020, but has been evaluating each project’s environmental impact related to transportation using OPR’s Technical Advisory and recommendations therein including a VMT significance threshold of 15% below the per capita regional average, Item #8.4.

recommended screening criteria, and mitigation options; and WHEREAS, the City of Calistoga’s VMT Guidelines are based upon recommendations developed by TJKM (included as part of Exhibit 1 hereto) to support NVTA and the City of Calistoga with establishing local thresholds, screening, and identifying mitigation options; and
WHEREAS, in accordance with CEQA Guidelines Section 15064.7(a) the proposed VMT Guidelines identify VMT thresholds that are identifiable quantitative, qualitative or performance based for the proposes of conducting transportation analysis under CEQA; and
WHEREAS, in accordance with CEQA Guidelines Section 15064.7(b) the proposed VMT Guidelines are supported by substantial evidence; and WHEREAS, in accordance with CEQA Guidelines Section 15064.7(c) in developing the local VMT Guidelines the City considered thresholds of significance previously adopted or recommended by other public agencies or recommended by experts, and is supported by substantial evidence; and
WHEREAS, public notice of the May 20, 2025 City Council hearing was posted on the City’s website and published in the Calistoga Tribune on May 13, 2025; and WHEREAS, the City Council held a duly noticed public hearing on May 20, 2025, at which time all interested parties had the opportunity to be heard; and WHEREAS, at said hearing, the City Council considered the staff report, dated May 20, 2025, attachments thereto, and all public testimony provided prior to and at the public hearing; and
WHEREAS, adoption of the VMT Guidelines including establishing VMT thresholds of significance will bring the City into compliance with SB 743.

NOW, THEREFORE BE IT RESOLVED by the City Council of the City of Calistoga as follows:

A. The foregoing recitals are true and correct and incorporated herein by reference.

B. Based on its review of the entire record herein, adoption of the VMT Guidelines is not subject to CEQA based on the following findings:
a. Adoption of the VMT Guidelines including establishing VMT thresholds of significance, screening criteria, and mitigation options is not considered a “project” pursuant to CEQA Guidelines Section 15378(a). The action of adopting thresholds of significance is not a project because it does not constitute a direct physical impact on the environment, nor would it result in an indirect, reasonably foreseeable physical impact on the environment.

Item #8.4.

Resolution No. 2025-XX

Page 2 of 2 ends

b. The City is mandated to comply with SB 743. CEQA Guidelines Section 15002 (i)(1) states “where the law requires a government agency in a set way without allowing the agency to use its own judgement, the project is called ‘ministerial’ and CEQA does not apply.” The action of adopting VMT Guidelines is therefore considered ministerial and is not subject to CEQA review.

C. Based upon staff and consultant reports and research as well as testimony in the record, that the CEQA thresholds of significance under consideration went through a public review process, are consistent with State requirements as to how transportation impacts should be evaluated for purpose of CEQA review and are supported by substantial evidence. The significance thresholds for transportation are based upon the VMT metric consistent with CEQA Guidelines Section 15064.3. The City is setting the VMT thresholds at a level that meets the state’s guidance and consistent with the NVTA’s countywide approach.

D. The City Council hereby Approves Resolution 2025-xx, adopting local VMT Guidelines and establishing Vehicle Miles Traveled thresholds of significance for purposes of analyzing transportation impacts under CEQA, attached hereto as Exhibit A.

PASSED, APPROVED AND ADOPTED this 20th day of May 2025. I, YUDIANA GALVAN, CITY CLERK OF THE CITY OF CALISTOGA, HEREBY CERTIFY the foregoing resolution was introduced and passed at a regular meeting of the Calistoga City Council by the following roll call vote:

Vehicle Miles Traveled (VMT) Guidelines
City of Calistoga | 3

INTRODUCTION
Purpose
This document provides a guide to assessing the potential Vehicle Miles Travelled (VMT) impacts of proposed developments under the California Environmental Quality Act (CEQA) in the City of Calistoga. The Guidelines conform to Senate Bill (SB) 743, Section 15064.3 of the California Environmental Quality Act (CEQA), by providing a consistent and uniformly applied process to evaluate VMT impacts, including identified screening criteria, thresholds of significance, VMT generation rates, and feasible mitigation measures to reduce VMT.

Intent
The VMT criteria identified in this document will be applied when the City of Calistoga is conducting CEQA review for discretionary transportation, development, and planning projects to inform the Transportation Analysis. Project applicants shall rely on the City’s VMT Guidelines when preparing Transportation Analyses. City staff, engineers, planners, and consultants shall rely on the City’s VMT Guidelines when preparing and reviewing Transportation Analyses, preparing and reviewing CEQA documentation, and processing discretionary applications. Information presented in Transportation Analyses, informed by these VMT Guidelines, will be considered by decision makers and the public when evaluating individual projects. The City’s VMT Guidelines are intended to address the various elements required for preparing and reviewing transportation analyses in accordance with CEQA and providing consistency in reaching findings, conclusions, and recommendations required of a VMT transportation analyses.

The City of Calistoga recognizes that projects are unique and certain criteria described in the Guidelines may not be appropriate to apply to every project. Applicants are encouraged to engage early and maintain ongoing communication with the City’s Planning & Building Department and/or Public Works Department to confirm the appropriate criteria to apply and the type of analysis required on a project-by-project basis. Ultimate determination of the criteria and analysis required for a project shall be determined by the Director of the Planning & Building Department and/or the Director of Public Works Director or their designee(s).

Background
In 1970, the State of California enacted the California Environmental Quality Act – commonly known as CEQA. CEQA requires cities and counties to analyze and disclose the environmental impacts of proposed discretionary projects and plans. The CEQA Guidelines (Title 14, Division 6, Chapter 3 of the California Code of Regulations) are administrative regulations that govern implementation of the California Environmental Quality Act. The CEQA Guidelines reflect the requirements set forth in the Public Resources Code, as well as court decisions interpreting the statute and practical planning considerations. Among other things, the CEQA Guidelines explain how to determine whether an activity is subject to environmental review, what steps are involved in the environmental review process, and the required content of environmental documents. The CEQA Guidelines apply to public agencies throughout the state, including local governments, special districts, and State agencies.

Public Resources Code section 21083 requires the California Governor’s Office of Land Use and Climate Innovation, formerly the Office of Planning and Research (OPR) prior to July 1, 2024, and the Natural Resources Agency to periodically update the CEQA Guidelines.

An update to the CEQA Guidelines occurred in December 2018, to incorporate Senate Bill 743 (§ 15064.3), which went into full effect July 1, 2020. Senate Bill (SB) 743, updated the metric and methodology used to measure and evaluate transportation impacts under CEQA. The new Vehicle Miles Traveled (VMT) metric replaces the formerly relied upon Level of Service (LOS) metric to better achieve climate commitments, preserve the environment, Item #8.4.

improve public health and safety-particularly for vulnerable populations, and prioritizes co-location of jobs, services and housing. VMT looks at the number and length of car trips induced by development projects and transportation, as opposed to the delay experienced by individual drivers under the LOS metric. The shift in how transportation impacts are measures under CEQA is intended to create more equitable transportation systems, reduce commute times, prioritize infill development, and address regional congestion.

With the implementation of SB 743, all California cities are now required to measure transportation impacts using Vehicle Miles Traveled (VMT). The City of Calistoga has prepared these VMT Guidelines to establish uniformity in the preparation and review of VMT analyses as part of the CEQA review process.

CEQA SIGNIFICANCE CRITERIA FOR TRANSPORTATION IMPACTS
According to the CEQA Guidelines, potentially significant environmental impacts related to transportation would result if a project would:

1. Conflict with a program plan, ordinance or policy addressing the circulation system, including transit, roadway, bicycle and pedestrian facilities;

2. Conflict or be inconsistent with CEQA Guidelines section 15064.3, subdivision (b); which pertains to vehicle miles traveled (VMT)

3. Substantially increase hazards due to a geometric design feature (e.g., sharp curves or dangerous intersections) or incompatible use (e.g., farm equipment);

4. Result in inadequate emergency access
The above Significance Criteria makes up the Transportation section of the CEQA Environmental Checklist, also known as Appendix G.
• Criterion 1 requires that projects show consistency with applicable goals and policies of the City of Calistoga, the County of Napa, and the Napa County Transportation Authority as they relate to circulation. • Criterion 2 requires that projects assess the potential transportation impacts using Vehicle Miles Traveled (VMT). This document provides the Screening Criteria, Daily VMT Thresholds, and potential mitigation to determine whether projects show compliance to this criterion. • Criterion 3 requires that projects identify any potential design features that may result in inadequate emergency access.
• Criterion 4 requires that projects assess any potential design features that may result in an increase of hazards or lack of access to and from the project site.

Criterion 1: For a project to be determined as having "less than significant" impacts, a project will need to be found consistent with relevant adopted transportation plans, ordinances or policies including, but not limited to the following:
• Calistoga General Plan
• Calistoga Active Transportation Plan
• Napa Valley Countywide Transportation Plan
• Napa Countywide Active Transportation Plan (In process) • Napa Countywide Bicycle Plan
• Napa Countywide Pedestrian Plan
• Napa County Short Range Transit Plan
• Metropolitan Transportation Commission Regional Active Transportation Plan Criterion 2: Potential conflicts or inconsistency with CEQA Guidelines section 15064.3, subdivision (b); which pertains to vehicle miles traveled (VMT). To evaluate the project’s consistency with this criterion, the following shall be considered:
• VMT Screening
• VMT Thresholds
• VMT Mitigation

Criterion 3: Potential impacts regarding emergency access relate to the design and accessibility of the project access points by emergency vehicles. To evaluate the project’s consistency with this criterion, a discussion of project features including but not limited to the following may be required as part of the application review process:
• Adequate widths and lengths to accommodate emergency vehicle access at entrance and exit points • Dedicated emergency vehicle access and secondary emergency vehicle access points • Adequate width and infrastructure improvements to accommodate emergency vehicles on-site • Emergency vehicle circulation plan, turning radii, and turn around exhibit(s) • Site design to permit emergency vehicles to maneuver throughout the site This criterion is generally evaluated for permanent conditions during project operation, but may also require evaluation of temporary conditions, such as full or partial road closures, during project construction.

Criterion 4: Potential impacts regarding substantial increase of hazards due to geometric design features relate to the design of access points to and from the project site. Projects shall be assessed for any roadway or site design features that would result in hazards such as site line distance, driveway length, turning radii, vehicle queuing, and corner clearance.

In addition, projects shall be evaluated for hazards related to uses that are incompatible with project features.

Incompatible uses may relate to conflicts between vehicles, bicycles, and/or other vehicles or uses such as farm equipment. Project impacts may be analyzed either qualitatively or quantitatively and in conjunction with the review of internal site circulation and access.

VMT SCREENING CRITERIA
This section describes the VMT Screening Criteria for the City of Calistoga. VMT impacts may be considered less than significant if a project meets screening criteria. The City of Calistoga relies upon the Screening Criteria and Daily VMT Thresholds as outlined in Table 1.

Follow these steps to determine whether a proposed project meets the screening criteria or if further VMT analysis is required.

Step 1. Determine Type of Project
As shown in Table 1, different types of projects follow different criteria for screening.

Using Column 1, determine the type of project by its size, land use(s), or location.

For mixed-use projects, VMT can be considered for each use separately or can be evaluated for the project's dominant use, to account for internal capture. If the mixed-use project is comprised of any of the below lowVMT project types, then the project would be considered to have a less than significant impact on VMT.

Step 2. Identify Screening Criteria
Using Column 2, identify the Screening Criteria respective to the type of project. • If the project meets the Screening Criteria, consider the project screened out.

No further VMT Impact review is necessary.
• If the project fails to meet the Screening Criteria, continue to Step 3.

Step 3. VMT Threshold Exceedance
When a discretionary project does not meet at least one of the screening criteria identified in the previous steps, then a VMT Analysis that quantifies VMT generated by the project, discloses impacts, presents findings of significance, and identifies feasible mitigation measures would be required.

The VMT Analysis will document the potential impacts of the proposed project based on the City’s VMT Thresholds using industry standards and best practices, which may be informed by the Offices of Planning and Research’s (OPR’s) Technical Advisory on Evaluation of Transportation Impacts in CEQA, Caltrans’ Vehicle Miles TraveledFocused Transportation Impact Study Guide, the California Air Pollution Control Officers Association’s Handbook for Analyzing Greenhouse Gas Emission Reductions, Assessing Climate Vulnerabilities, and Advancing Health and Equity (Handbook), Final Draft dated October 2024, and/or another appropriate sources. The VMT Analysis methodology will utilize the latest available version of the Solano Napa Activity Based Model (SNABM).

A proposed project’s Traffic Analysis Zone (TAZ) number would be identified in the Solano Napa Activity Based Model (SNABM), and a project scenario model run with appropriate land use/transportation inputs will be conducted by a qualified transportation engineer or planner.
