STAFF REPORT - CITY COUNCIL/SUCCESSOR AGENCY/PUBLIC FINANCE
AUTHORITY
Subject: Authorize and Approve Contracts for CY 2022 Intergovernmental Transfer Program Participation
Meeting Date: Thursday, Novermber 2, 2023
From: Marissa Trejo, City Manager
Prepared by: Greg DuPuis, Fire Chief
I. RECOMMENDATION:
The Fire Chief and City Manager recommend authorizing the Fire Chief or the City Manager to sign contracts for participation in the CY 2022 Intergovernmental Transfer Programs. The Health Plan Provider Agreements for Anthem Blue Cross and CalViva Health will be sent to the City once the CY 2022 VRRP IGT Agreement is approved by Counciland signed by the City.
1. CY 2022 VRRP IGT Agreement
2. Health Plan Provider Agreement between the City of Coalinga and Anthem Blue Cross.
3. Health Plan Provider Agreement between the City of Coalinga and CalViva Health.
II. BACKGROUND:
Since 2006 the California Department of Health Care Services (DHCS) has offered local governments that provide health care the opportunity to secure additional Medi-Cal revenues by participating in a voluntary Intergovernmental Transfer (IGT) Program with their local Medi-Cal managed care plans. In Fresno County the two managed care plans are Anthem Blue Cross and CalViva. The Coalinga Fire Department provides EMS ambulance transport, a Medi-Calcovered service to Medi-Cal plan members, therefore is eligible to participate in the IGT program. In summary, the IGT process will result in the two Medi-Cal Managed Care Plans paying governmental providers of health care services additonal Medi-Cal revenues to offset previously unreimbursed charges for serving Medi-Cal plan members. The payment amounts are determined by the provider's unreimbursed charges, the number of other local government providers participating in the IGT's in the county or region, the Plan's recommendations, and the State's formulas. The Fire Department has participated in the Rate Range IGT's since 2015.
III. DISCUSSION:
A rate range IGT is implemented through three contracts: One with each of the two plans and one with the DHCS for the transfer of public funds. The contract templates have been approved by the State and Federal governments and have been accepted by many counties and large public health care systems. These documents spell out each entity's obligations regarding transfer of local funds, the use of the funds by the State to increase Plan rates, the payment from the Plan to the provider, and the treatment of the IGT-funded payments by the provider. Before any funds are transferred to the State by a local government, allcontracts are signed by the participants. Each IGT, including the contributing governmentalentity and the level the Plan rates are increased, are approved in advance by the Federal government. Because our city will do one IGT with Blue Cross and one with CalViva, we will have two sets of documents.
The contracts this year willencompass one fullcalendar year. Since our participation is based on unreimbursed charges from the Managed Care Medi-Cal plans, our participation will be slightly more since adding a third ambulance for part of this calendar year. Participation in this program has allowed us to create our Non-safety EMS division of the Fire Department.
We will be using proceeds from the previous year’s participation to fund this contribution.
IV. ALTERNATIVES:
1. Do not participate in the VRRP IGT program. (Not recommended) V. FISCAL IMPACT:
Our total to be transferred to DHCS for CY 2022 will be approximately $1,179,136 and will occur 1 st quarter
2024. The minimum we will be reimbursed will be $2,801,980, which will result in net new funds of approximately $1,622,844 to be spent on healthcare services.

INTERGOVERNMENTAL AGREEMENT REGARDING
TRANSFER OF PUBLIC FUNDS
This Agreement is entered into between the CALIFORNIA DEPARTMENT OF HEALTH CARE SERVICES (“DHCS”) and CITY OF COALINGA (“GOVERNMENTAL FUNDING ENTITY”) with respect to the matters set forth below.
The parties agree as follows:
AGREEMENT
1. Transfer of Public Funds
1.1 The GOVERNMENTAL FUNDING ENTITY agrees to make a transfer of funds to DHCS pursuant to sections 14164 and 14301.4 of the Welfare and Institutions Code.
The amount transferred shall be based on the sum of the applicable rate category per member per month (“PMPM”) contribution increments multiplied by member months, as reflected in Exhibit
1. The GOVERNMENTAL FUNDING ENTITY agrees to initially transfer amounts that are calculated using the Estimated Member Months in Exhibit 1, which will be reconciled to actual enrollment for the service period of January 1, 2022, through December 31, 2022 in accordance with Sub-Section 1.3 of this Agreement. The funds transferred shall be used as described in SubSection 2.2 of this Agreement. The funds shall be transferred in accordance with the terms and conditions, including schedule and amount, established by DHCS.
1.2 The GOVERNMENTAL FUNDING ENTITY shall certify that the funds transferred qualify for Federal Financial Participation pursuant to 42 C.F.R. part 433, subpart B, and are not derived from impermissible sources such as recycled Medicaid payments, Federal money excluded from use as State match, impermissible taxes, and non-bona fide provider- CONTRACT # IGT-22-0005

related donations. Impermissible sources do not include patient care or other revenue received from programs such as Medicare or Medicaid to the extent that the program revenue is not obligated to the State as the source of funding.
1.3 DHCS shall reconcile the “Estimated Member Months,” in Exhibit 1, to actual enrollment in HEALTH PLAN(S) for the service period of January 1, 2022, through December 31, 2022 using actual enrollment figures taken from DHCS records. Enrollment reconciliation will occur on an ongoing basis as updated enrollment figures become available.
Actual enrollment figures will be considered final two years after December 31, 2022. If reconciliation results in an increase to the total amount necessary to fund the nonfederal share of the payments described in Sub-Section 2.2, the GOVERNMENTAL FUNDING ENTITY agrees to transfer any additional funds necessary to cover the difference. If reconciliation results in a decrease to the total amount necessary to fund the nonfederal share of the payments described in Sub-Section 2.2, DHCS agrees to return the unexpended funds to the GOVERNMENTAL FUNDING ENTITY. If DHCS and the GOVERNMENTAL FUNDING ENTITY mutually agree, amounts due to or owed by the GOVERNMENTAL FUNDING ENTITY may be offset against future transfers.
2. Acceptance and Use of Transferred Funds
2.1 DHCS shall exercise its authority under section 14164 of the Welfare and Institutions Code to accept funds transferred by the GOVERNMENTAL FUNDING ENTITY pursuant to this Agreement as Intergovernmental Transfer (IGTs), to use for the purpose set forth in Sub-Section 2.2.
2.2 The funds transferred by the GOVERNMENTAL FUNDING ENTITY pursuant to Section 1 and Exhibit 1 of this Agreement shall be used to fund the non-federal share CONTRACT # IGT-22-0005

of Medi-Cal Managed Care actuarially sound capitation rates described in section 14301.4(b)(4) of the Welfare and Institutions Code as reflected in the contribution PMPM and rate categories reflected in Exhibit 1. The funds transferred shall be paid, together with the related Federal Financial Participation, by DHCS to HEALTH PLAN(S) as part of HEALTH PLAN(S)’ capitation rates for the service period of January 1, 2022, through December 31, 2022, in accordance with section 14301.4 of the Welfare and Institutions Code.
2.3 DHCS shall seek Federal Financial Participation for the capitation rates specified in Sub-Section 2.2 to the full extent permitted by federal law.
2.4 The parties acknowledge that DHCS will obtain any necessary approvals from the Centers for Medicare and Medicaid Services.
2.5 DHCS shall not direct HEALTH PLAN(S)’ expenditure of the payments received pursuant to Sub-Section 2.2.
3. Assessment Fee
3.1 DHCS shall exercise its authority under section 14301.4 of the Welfare and Institutions Code to assess a 20 percent fee related to the amounts transferred pursuant to Section 1 of this Agreement, except as provided in Sub-Section 3.2. GOVERNMENTAL FUNDING ENTITY agrees to pay the full amount of that assessment in addition to the funds transferred pursuant to Section 1 of this Agreement.
3.2 The 20-percent assessment fee shall not be applied to any portion of funds transferred pursuant to Section 1 that are exempt in accordance with sections 14301.4(d) or 14301.5(b)(4) of the Welfare and Institutions Code. DHCS shall have sole discretion to determine the amount of the funds transferred pursuant to Section 1 that will not be subject to a CONTRACT # IGT-22-0005

20 percent fee. DHCS has determined that $ 0.00 of the transfer amounts, as shown in the table below, will not be assessed a 20 percent fee, subject to Sub-Section 3.3.
3.3 The 20-percent assessment fee pursuant to this Agreement is nonrefundable and shall be wired to DHCS simultaneously with the transfer amounts made under Section 1 of this Agreement. If at the time of the reconciliation performed pursuant to SubSection 1.3 of this Agreement, there is a change in the amount transferred that is subject to the 20-percent assessment in accordance with Sub-Section 3.1, then a proportional adjustment to the assessment fee will be made.
4. Amendments
4.1 No amendment or modification to this Agreement shall be binding on either party unless made in writing and executed by both parties.
4.2 The parties shall negotiate in good faith to amend this Agreement as necessary and appropriate to implement the requirements set forth in Section 2 of this Agreement.
5. Notices. Any and all notices required, permitted, or desired to be given hereunder by one party to the other shall either be sent via secure email or submitted in writing to the other party personally or by United States First Class, Certified or Registered mail with postage prepaid, addressed to the other party at the address as set forth below:

STAFF REPORT - CITY COUNCIL/SUCCESSOR AGENCY/PUBLIC FINANCE
AUTHORITY
Subject: Consideration of Bid Award for Ramsey Park Splash Pad Project – Modular Restroom Supplier
Meeting Date: Thursday, November 2, 2023
From: Marissa Trejo, City Manager
Prepared by: Sean Brewer, Assistant City Manager
I. RECOMMENDATION:
It is recommended that the Coalinga City Council award a Contract in the amount of $382,527.43 to Green Flush, 1420 N Columbia Ridge Way, Washougal, WA, 98671 for the Ramsey Park Splash Pad Project – Modular Restroom. It is also recommended that a contingency of 10% ($38,252.74) be included in the Councilaction to cover any unforeseen incidentals for a totalauthorization amount of $420,780.17.
II. BACKGROUND:
April 21, 2022, the Coalinga City Council authorized funds for proposals for the Ramsey Park Splash Pad Project. The project includes hiring a subconsultant to prefabricate and deliver a CMU block modular restroom in Ramsey Park for the General Supplier to install. Elements of hiring a subconsultant and purchasing a restroom structure include: certified engineered drawing plans, specifications, installation instructions, and ordering & delivering of all structure elements and materials.
III. DISCUSSION:
City Staff received and opened three proposals for this project on October 9, 2023. In no particular order, the proposals are:
Company Proposal Total
Green Flush $378,758.90
Public Restroom Company $431,981.00
Structure Cast $218,915.00
Urban Blue Smart $551,000.00
The apparent responsive lowest bidder is Structure Cast with a total bid proposal of $218,915.00. However, they produced a proposal of a precast concrete building and not the requested CMU block building, creating a non-responsive bid.
The next apparent lowest bidder is Green Flush with a base bid proposal of $378,758.90, they proposed everything requested, creating a responsive bid.
The proposal summary is included as Attachment “A”. If the City Council decides to award the project to Green Flush, and the “Notice to Proceed” is issued, the supplier will start the work on Tuesday, November 21, 2023. The following is a tentative schedule:
Award of Contract: November 02, 2023
Start of Planning: November 21, 2023
Earliest Materials can be Delivered: August 06, 2024
IV. ALTERNATIVES:
Green Flush proposed an additive alternate (add alt) to add on an attached shower for an additional $3,458.00. The project currently has a proposed $7,000.00 (without tax and delivery) shower from an independent company on the budget and it is recommended to accept this add alt from Green Flush. The new total with the add alt is $382,527.43.
Coalinga City Council to award the contract and authorize the Mayor and City Clerk to execute the Public Works Agreement in the amount of $382,527.43 plus a contingency amount of $38,252.74 for a total authorized amount for this project of $420,780.17.
Another alternative to this councilaction would be to reject all bids. If all bids are rejected, the city would have to re-advertise or cancel the project. Staff believes that re-advertising the project will not result in lower bids.
V. FISCAL IMPACT:
Total authorization request for this contract is $382,527.43 with an additional 10% contingency of $38,252.74 for a total of $420,780.17. This project is funded with a combination of ARPA funds and Park Development Impact Fees which has the available funds to meet the needs of this project. The annual operation and maintenance costs of structure will be included in the overall park’s operation and maintenance plan.
This will have no impact on the general fund.

Presented to:
Tri City Engineering on Behalf
of City of Coalinga, CA
Prefabricated Restroom
for Ramsey Park
10/24/2023
Introductory Letter
Dan Jauregui
Tri City Engineering
4630 W. Jennifer Ave, Suite 101
Dear Dan,
Green Flush Restrooms is pleased to present our proposal to Tri City Engineering to provide a prefabricated restroom for the City of Coalinga's Ramsey Park. This proposal is for a match to the specifications listed in the RFP 22-008-03, minus the exceptions listed at the end of this proposal.
Green Flush Restrooms is especially qualified to provide the restroom for the City. Our projects number over 150 restroom buildings in 30 states and two Canadian provinces. Our factory partner for this project is Whitley Manufacturing, a company that has shipped almost 40,000 modular units since it was founded in 1945. Whitley Manufacturing provides modular buildings nationwide. Their design and engineering team as well as the Green Flush team is adept at designing structures to meet state and local codes.
Green Flush understands that timeline is very important for this project. While there is too much out of our control to guarantee a delivery date, we expect a lead time of seven months if the City of Coalinga reviews the plans and engineering in a reasonable amount of time. Our company and our supplier will make special efforts to move this project to the front of the queue at every stage of production.
Sincerely,
Kyle Earlywine

City Testimonial
City of Pacific Grove CA, Butterfly Sanctuary Restroom
"Green Flush provided the City of Pacific Grove with a restroom for our Monarch Sanctuary, a location where constructing a restroom would have been difficult. The restroom that we purchased suits our needs.
The restroom is constructed with precise carpentry, looks great and functions perfectly as designed. Their staff is pleasant to work with, they are very responsive to questions and providing assistance during installation. I highly recommend Green Flush and will use them again in the future for our prefabricated restroom needs." - Daniel Gho, City of Pacific Grove Public Works Director Bid Exceptions
This bid is conditional upon the following exceptions to RFP 22-008-03:

From: Marissa Trejo, City Manager
Prepared by: Sean Brewer, Assistant City Manager
I. RECOMMENDATION:
It is recommended that the Coalinga City Council award a Contract in the amount of $76,185.78 to Great Western Recreation, 975 S. State Hwy 89, Logan, Ut 84321 for the Ramsey Park Splash Pad Project – Shade Structure. It is also recommended that a contingency of 10% ($7,618.58) be included in the Council action to cover any unforeseen incidentals for a totalauthorization amount of $83,804.36.
II. BACKGROUND:
April 21, 2022, the Coalinga City Council authorized funds for proposals for the Ramsey Park Splash Pad Project. The project includes hiring a subconsultant to prefabricate and deliver a metal shade shelter in Ramsey Park for the General Supplier to install. Elements of hiring a subconsultant and purchasing a shade structure include: certified engineered drawing plans, specifications, installation instructions, and ordering & delivering of all structure elements and materials.
III. DISCUSSION:

Company Proposal Total
Great Western Recreation $76,185.78

Zoom Recreation $82,143.42
The apparent responsive lowest bidder is Great Western Recreation with a total bid proposal of $76,185.78.
The proposal summary is included as Attachment “A”. If the City Council decides to award the project to Great Western Recreation, and the “Notice to Proceed” is issued, the supplier will start the work on Tuesday, October 24, 2023. The following is a tentative schedule:

IV. ALTERNATIVES:
The alternative to this councilaction would be to reject all bids. If all bids are rejected, the City would have to re-advertise or cancel the project. V. FISCAL IMPACT:
Total authorization request for this contract is $76,185.78 with an additional 10% contingency of $7,618.58 for a total of $83,804.36. The annual operation and maintenance costs of the structure will be included in the overall park’s operation and maintenance plan.
There is no fiscal impact to the general fund.
