This addendum, effective on this date, addresses the following items:

The following SHALL be added to the Notice to Bidders, Proposal, Contract, and Special Provisions (i.e., bid project documents):
 Design plans from Southern California Edison (SCE) for all project locations. SCE design plans reflect power connections, conduit installations, hardware installations, etc.

The following SHALL be replaced in its complete entirety to the Notice to Bidders, Proposal, Contract, and Special Provisions (i.e., bid project documents):
 Clearer traffic signal and HAWK signal plans for all the project locations. No edits to the plans were made.  Revised Notice Inviting Bids (pages N-1 and N-2). Change made to Item No. 6: CONTRACTOR’S LICENSE. C-10 (Electrical) license added along with Class “A” (General Engineering Contractor) license.  Revised SECTION C (i.e., Bid Proposal Schedule) [pages P-1a and P-1b]. Concrete curb extensions (i.e., “bulb-outs”) are now line itemized instead of lump sum.  Revised SECTION E – SPECIAL PROVISIONS [pages SP-33 and SP-34]. The following are Question and Answer (Q&A) responses to bidder questions:

1. Question: Is a non-admitted surplus line carrier approved by the State of California Dept. of Insurance allowable to meet the City’s insurance requirement? If yes, please provide rating.

Answer: Please follow the instructions in Section “F” – Miscellaneous Contract Documents, in which there is a document titled “INSURANCE REQUIREMENT FOR CITY OF COSTA MESA.” Insurance company ratings must be at least B++, BBB, or Baa1.

2. Question: Refer to page “GP6” where the contractor is directed to Appendix “C” – Caltrans Encroachment Permit. Caltrans encroachment permit not found in appendix. Can you please provide and include fee for permit, double permit rider, etc. related to Caltrans? Answer: No Caltrans encroachment permit is necessary. Only City of Costa Mesa Public Works encroachment permit is necessary.

3. Question: Are there any SCE fees borne by the contractor? If yes, what are the fees? Answer: Only City-specific SCE fees will be borne by the City. All other SCE fees are considered project related and will be borne by the contractor. Actual fee amounts will be determined by SCE. Bidding proposers are advised to submit bids that reflect and cover these costs.

4. Question: Are there any specific SCE plans made available for this project? Answer: Yes, the SCE plans are attached to this bid addendum (see page 1 of this bid addendum).

The contents of this bid addendum shall have precedence over all related provisions within the contract documents. It is the intent of the City of Costa Mesa to clarify the above-referenced items to all bidders.

NOTICE INVITING BIDS
NOTICE IS HEREBY GIVEN that the City of Costa Mesa (“City”) invites sealed bids, to be submitted electronically only, for the following project:

CITYWIDE NEW TRAFFIC SIGNAL AND HAWK SIGNAL INSTALLATION PROJECT, CITY PROJECT NO. 22-07

1. BID SUBMISSION AND OPENING: Bids must be submitted electronically via the City of Costa Mesa’s PlanetBids portal before the deadline of 2:00 P.M., Wednesday, November 9, 2022, at which time or shortly thereafter the City Clerk will open bids electronically. The bid results will be posted online via PlanetBids. No paper bids or any other form of submittal will be accepted. Any bid received after the scheduled closing time for the receipt of bids will be rejected. The City is not responsible for and accepts no liability in the event a response is late due to any network, internet, or any other technical difficulty or interruption. It shall be the sole responsibility of the bidder to ensure that his/her/its bid is received by the deadline.

To access the bid documents and bid on this project, potential vendors and bidders must first register through the City’s PlanetBids portal at:

2. SCOPE OF WORK AND BID DOCUMENTS: The scope of work generally consists of mobilization, installation of a new traffic signal at the intersection of W. 19th Street & Wallace Avenue; installation of a new HAWK signal at W. 18th Street across from Lions Park; installation of a new HAWK signal at Wilson Street across from Wilson Park; concrete sidewalk and curb & gutter modifications; curb access ramp modifications; notifications to businesses and residents; traffic signing; striping and markings; installation of pavement markers; and implementing traffic control.

The plans, specifications, and bid documents for this project can be obtained via the City’s PlanetBids portal at: https://www.planetbids.com/portal/portal.cfm?CompanyID=45476.

It is the bidder’s responsibility to ensure that the most current version of the solicitation, including any addenda, has been downloaded. Bids received without the applicable addenda will be rejected as incomplete.

3. PRE-BID MEETING OR JOB WALK: None.

4. BID CONTENTS: All bids must be submitted on the proposal form included in the bid documents. No bid will be considered unless it is made on the proposal form furnished by the City and made in accordance with the provisions of the bid requirements.

5. BID SECURITY: Each bidder must submit a certified check, cashier’s check, or a bid bond, made payable to or in favor of the City of Costa Mesa, in an amount equal to at least ten percent (10%) of the total amount of the bid, to the Costa Mesa City Clerk PRIOR to the bid submission deadline. No bid will be considered unless such certified check, cashier's check, or bid bond is received by the City Clerk prior to the bid submission deadline.

6. CONTRACTOR’S LICENSE: A valid California Contractor's License Class “A” (General Engineering Contractor) OR “C-10” (Electrical) issued by the California Contractors State License Board is required at the time the contract is awarded pursuant to California Public Contract Code section 3300. Each bidder must also be qualified as required by law at the time of the bid opening. 939

7. REGISTRATION WITH THE DEPARTMENT OF INDUSTRIAL RELATIONS: Pursuant to Labor Code sections 1725.5 and 1771.1, no contractor or subcontractor shall be qualified to bid on, be listed in a bid proposal, subject to the requirements of Section 4104 of the Public Contract Code, or engage in the performance of any contract for public work unless registered and qualified pursuant to Labor Code section 1725.5.

8. PREVAILING WAGES: This project is a “public work” subject to prevailing wage requirements.

Pursuant to provisions of Sections 1770 et seq. of the California Labor Code, all works employed on the project shall be paid not less than the general prevailing rate of per diem wages, as determined by the Director of the Department of Industrial Relations (DIR) for work of a similar character in the locality in which the work is performed, and not less than the general prevailing rate of per diem wages for holiday and overtime work. Copies of the prevailing rate of per diem wages are on file with Costa Mesa Public Services Department and are available to any interested party upon request. The applicable State prevailing wages are also set forth on the Department of Industrial Relations’ website: http://www.dir.ca.gov; these rates are subject to predetermined increases. The prime contractor shall post a copy of the DIR’s determination of the prevailing rate of per diem wages at each job site. This project is subject to compliance monitoring and enforcement by the DIR.

9. PAYMENT BOND AND PERFORMANCE BOND: A Payment Bond and a Performance Bond, each in the amount of 100% of the contract amount, will be required of the successful bidder prior to award of the contract.

10. RETENTION: The City withholds five percent (5%) of each progress payment as retention. Pursuant to Public Contract Code section 22300, the successful bidder may substitute certain securities for money withheld by the City to ensure performance of the contract. At the request and expense of the contractor, securities equivalent to the amount withheld shall be deposited with the public agency, or with a state or federally chartered bank in this state as the escrow agent, who shall then pay those moneys to the contractor. Securities will be returned to the contractor upon satisfactory completion of the contract.

11. NON-DISCRIMINATION: The bidding process and contract are subject to State and Federal nondiscrimination requirements, including but not limited to the requirement that no person or business shall discriminate on the basis of race, color, national origin, ancestry, religious creed, physical disability, mental disability, medical condition, marital status, sex, gender, gender expression, gender identity, sexual orientation, age, or military or veteran status in its solicitation, selection, hiring, or treatment of individuals or businesses in connection with the bidding process or work performed for the City in connection with the project.

12. CITY’S RIGHT TO REJECT BIDS: The City of Costa Mesa reserves the right, in its sole discretion, to reject any or all bids, or to waive any minor irregularities or informalities in any bid.

13. ADDITIONAL REQUIREMENTS: This project is subject to local, State, and Federal regulations and requirements, as detailed in the bid documents.

1. Saw cutting, clearing and grubbing, unclassified excavation, furnishing, placement and compaction of 4” CMB, placement of concrete, removing tree roots encounter within the excavation limits, blocking out and/or widening existing tree wells.

2. Restoration of existing sprinkler systems including any reducers required for different pipe sizes, and from existing or new pipes to the sprinkler heads, connection points, all fittings, all tees and ells, backfill material for pipe trench, and all miscellaneous materials for proper installation and/or modification for construction of complete sprinkler system removed by sidewalk replacement operations.

3. Furnish and place Modified Class "A" Topsoil, landscaping, plants and new sod as disturbed by operations.

4. Re-grading the areas adjacent to the new sidewalk construction to transition to join new improvements.

5. Adjusting water meter boxes and water valves to grade within replacement area.

6. Replacement, or repair to the existing curb drains during construction operations.

7. At certain addresses, the Contractor will be directed to remove parkway concrete and/or other improvements in the right-of-way. Upon the completion of the removal of existing concrete improvements within the parkway, including the underlying aggregate base for which no replacement is required, the Contractor shall backfill the void with Modified Class "A" Topsoil for placing new sod or seed as directed in those respective bid items.

Payment shall be considered full compensation for furnishing all labor, materials, equipment, and disposal costs to complete the Work and no additional compensation will be allowed.

COUNCIL POLICY

BACKGROUND
Under the Federal Drug-Free Workplace Act of 1988, passed as part of omnibus drug legislation enacted November 18, 1988, contractors and grantees of Federal funds must certify that they will provide drug-free workplaces. At the present time, the City of Costa Mesa, as a sub-grantee of Federal funds under a variety of programs, is required to abide by this Act. The City Council has expressed its support of the national effort to eradicate drug abuse through the creation of a Substance Abuse Committee, institution of a City-wide D.A.R.E. program in all local schools and other activities in support of a drug-free community. This policy is intended to extend that effort to contractors and grantees of the City of Costa Mesa in the elimination of dangerous drugs in the workplace.

PURPOSE
It is the purpose of this Policy to:

1. Clearly state the City of Costa Mesa’s commitment to a drug-free society.

2. Set forth guidelines to ensure that public, private, and nonprofit organizations receiving funds from the City of Costa Mesa share the commitment to a drug-free workplace.

POLICY
The City Manager, under direction by the City Council, shall take the necessary steps to see that the following provisions are included in all contracts and agreements entered into by the City of Costa Mesa involving the disbursement of funds.

1. Contractor or Sub-grantee hereby certifies that it will provide a drug-free workplace by:

A. Publishing a statement notifying employees that the unlawful manufacture, distribution, dispensing, possession, or use of a controlled substance is prohibited in Contractor’s and/or sub-grantee’s workplace, specifically the job site or location included in this contract, and specifying the actions that will be taken against the employees for violation of such prohibition;
B. Establishing a Drug-Free Awareness Program to inform employees about:

1. The dangers of drug abuse in the workplace;

2. Contractor’s and/or sub-grantee’s policy of maintaining a drug-free workplace;

3. Any available drug counseling, rehabilitation and employee assistance programs; and

4. The penalties that may be imposed upon employees for drug abuse violations occurring in the workplace;
C. Making it a requirement that each employee to be engaged in the performance of the contract be given a copy of the statement required by subparagraph A; D. Notifying the employee in the statement required by subparagraph 1 A that, as a condition of employment under the contract, the employee will:

1. Abide by the terms of the statement; and

2. Notify the employer of any criminal drug statute conviction for a violation occurring in the workplace no later than five (5) days after such conviction; E. Notifying the City of Costa Mesa within ten (10) days after receiving notice under subparagraph 1 D 2 from an employee or otherwise receiving the actual notice of such conviction;
F. Taking one of the following actions within thirty (30) days of receiving notice under subparagraph 1 D 2 with respect to an employee who is so convicted:

1. Taking appropriate personnel action against such an employee, up to and including termination; or

2. Requiring such employee to participate satisfactorily in a drug abuse assistance or rehabilitation program approved for such purposes by a Federal, State, or local health agency, law enforcement, or other appropriate agency; 955

G. Making a good faith effort to maintain a drug-free workplace through implementation of subparagraphs 1 A through 1 F, inclusive.

2. Contractor and/or sub-grantee shall be deemed to be in violation of this Policy if the City of Costa Mesa determines that:
a. Contractor and/or sub-grantee has made a false certification under paragraph 1 above;
b. Contractor and/or sub-grantee has violated the certification by failing to carry out the requirements of subparagraphs 1 A through 1 G above; c. 3. Should any contractor and/or sub-grantee be deemed to be in violation of this Policy pursuant to the provisions of 2 A, B, and C, a suspension, termination or debarment proceeding subject to applicable Federal, State, and local laws shall be conducted. Upon issuance of any final decision under this section requiring debarment of a contractor and/or sub-grantee, the contractor and/or sub-grantee shall be ineligible for award of any contract, agreement or grant from the City of Costa Mesa for a period specified in the decision, not to exceed five (5) years. Upon issuance of any final decision recommending against debarment of the contractor and/or sub-grantee, the contractor and/or sub-grantee shall be eligible for compensation as provided by law.

Selection for the Arts Commission is at large, with a minimum of four Costa Mesa residents, and/or up to three non-residents involved with the Arts. The Arts Commission represents the Council’s desire for ongoing policy focus, along with responsible oversight of the City’s investments in the Arts.

To align with the motto of “City of the Arts”, the City acknowledges the vital role the Arts play in the community. The Arts Commission shall ensure that the City of Costa Mesa is a place where creativity can flourish; a place where imagination, inspiration, and innovation are held in high regard; a place where Arts Education is essential to all; and a place where Arts and Culture can promote civic pride and enrich the daily lives of the Costa Mesa community. I am also very interested in Planning Commission and how the city will grow and thrive. I've seen some project commence, and often times the outcome the opposite of what the city of Costa Mesa was headed for. #4

As a Commission member, what ideas or projects are of interest to you? The projects that are of interest to me:

Getting more residents out to our parks ad enjoying nature. I would like to see some kind of campaign for a community get together. I recently went to 2 Chili Cookoffs and thoroughly enjoyed meeting neighbors, but these are only 2 times a year. Concerts in the park is also only in the summer times. If we could get some kind of campaign to get more community events going, and increasing awareness, it would improve our community.

I was very pleased that Triangle Square was recently cleaned up and it is nice to visit regularly. I would like to see more areas change for the better to increase foot traffic. There are areas on Harbor Blvd that are dark and appear dilapidated. I would also like to brighten up those shopping areas. I am hoping by having a reduction of the price of permits, and other incentives will encourage building owners to spend money on their property which will increase our tax revenue.

I wish to serve on this commission because I believe that Parks and Community Services provide residents with necessary services for their wellbeing, and I want to be part of that. Aside from basic services provided by the city, parks and community services are often the only connection residents will have to local government. That makes this extremely important. When I wake up in the morning, I am comforted by the knowledge that I live in a developing city that provides ample green space, historical interest, and services that amplify the Costa Mesa living experience.

The focus of my career thus far has been in volunteer management, organizing, and nonprofit development. While my focus has mostly been in health and justice, I am eager to bring my skills to this planning commission and help continue to steer the Parks and Community Services Commission in a direction that best serves our community. I have a Master of Public Administration degree from American University, which has given me a firm grasp on the functions and management of government agencies. My greatest lesson from my education is that the role of public administration is to "provide society every day." It seems to me that some of the most important aspects of society that city government can provide are access to outdoor spaces, opportunities to be active, and opportunities to connect with the city, the earth, and each other.

I, as a relatively young person, am dedicated to the City of Costa Mesa and its continued excellence. I am hoping that this position is an opportunity to serve in a more involved way that allows me to be connected to this city and its residents for years to come. As a Commission member, what ideas or projects are of interest to you? I am interested in the function and maintenance of parks, community gardens, the country club, and adult sports. I frequent the parks of Costa Mesa (I love taking a nice stroll or visiting the Diego Sepulveda Adobe). I am currently waitlisted for a spot in one of the the community gardens. I think the golf course is excellent and I have lost more than one ball on the Par 5s.

I also want to help teens and young adults feel connected to parks and community services. I often feel that parks are utilized by children and their parents, as well as older adults, but the services are lost on people who are not in those phases of life. As the last few years have shown, connection to our outdoor spaces are vital to personal satisfaction and happiness, even in the face of uncertain times. I hope to help steward that connection.

It makes me so happy that Costa Mesa provides opportunities for adult sports programs, and I want to be a part of finding more ways to connect young adults to the city and its programs.

Maybe most importantly, I hope to learn the vision of the Parks and Community Services Commission (and Department), the City Council, and the residents of Costa Mesa. At the end of the day, we provide services for the people, and I want to be sure that I am a part of allowing residents to shape their own home while maintaining civic and historical integrity.

As a current PACS Commissioner, I've gotten to know my local parks and community services even better than I have over the 10 years I've lived in Costa Mesa. I am invested in many of the projects that are currently slated to be initiated, including the most recent review of the Open Space Master Plan. As a mother of a daughter who regularly uses the parks, including for soccer, I am interested and invested in helping Costa Mesa grow its parks, especially in areas like my neighborhood where we don't have as much green space as other parts of the city. I am also very interested in helping foster connections between Costa Mesa city government and other local entities, including the University of California, where I work. I have been working with Arlis Reynolds to help forge these connections, and would like to continue the work.

I truly believe that the open spaces provided by parks is truly invaluable for communities like ours. I am a father of two small boys that love Costa Mesa parks, and I especially care for preserving, maintaining, and improving open spaces for our future generations to use. My family has made Costa Mesa our home and I would like to share my time supporting this commission in order to give back to the community.

I am a working professional with 15 years of experience in business operations, with specific focus in the areas of engineering, accounting, human resources, quality assurance, information technology, and facilities/maintenance/security. Additionally, I am dedicated to a variety of volunteer efforts and activities. I believe that participating in community service helps improve the community for all of us. My experience is broad and covers a variety of disciplines that I think could be beneficial in serving the community.

I have been actively engaged in Costa Mesa for the past few years and am currently the second alternate committee member of the Fairview Park Steering Committee.

Driven by a conviction for public service, I strive to be an active and dedicated citizen in my hometown of Costa Mesa.

I have a deep community service, Project Management, and public relations background. Combined with my commitment to our city, I believe I am the best candidate to serve on the Parks and Community Services Commission.

In the 2022 Election, I ran for the Mesa Water Board. I garnered support from local grassroots organizations to county and statewide groups, but more importantly, I met over 2,000 Costa Mesa residents.

We discussed overlooked local issues like transparency, community awareness, and public services. From there, I implemented a multi-channel campaign through in-person events, digital campaigns, and print communications, which resonated with thousands of voters. It was an honor to run for office, and our residents compel me to build a diverse bench of Commissioners and elected officials.

As a Commissioner, I will continue working to increase community input for projects, advance issues important to residents, and diligently support our exceptional city staff.

In addition, I am a Technology Business Owner and Software Engineer.

As a Startup Entrepreneur, I have spent most of my career working to advance women in STEM. From working with Venture Capital firms to Fortune 500 companies, I have led training programs and boot camps for Female Founders. I have conducted research initiatives for empowering predominantly female portions of the workforce. I have led keynotes globally on how we can uplift underrepresented groups entrepreneurially and in private and public sectors, including government and politics.

These roles have well-prepared me to be a Commissioner, where I can deliver effectively on project management, oversee collaboration between staff and residents, and uphold our government to the highest standards of transparency and creative problemsolving.

As a Commission member, what ideas or projects are of interest to you? Costa Mesa has a state-of-the-art Parks and Community Services department. As a resident, I know how fortunate I am to live in a city that prioritizes our beautiful, safe public spaces and parks.

The proposition of joining this Commission is exciting, especially in light of our recent funding from the State and County, allowing us to deploy investments in new projects and renovations.

More than a specific project, I am focused on bettering our processes and systems within the Parks and Community Services department. In my career, I have worked with organizations of all sizes to streamline their processes and increase their digital access to their customers. For PACS, this includes optimizing our residents’ experience, from participating in community events to utilizing Park facilities and even requesting permits.

Another responsibility I would excel as a Commissioner in is overseeing Project Management and the financing of projects. No matter the project, ensuring plans are completed on time and within budget is a core duty with which I have extensive experience. I believe enacting a Master Plan with all ongoing, upcoming, and completed projects would benefit the public.

Finally, I would like to see an increase in community engagement and input. As I learned in my campaign, it is not that city staff are not doing enough for residents, but rather residents need to be made aware of all that is available to them. Commissioners should always look for innovative ways to improve the quality of life for our residents and ensure we include them in what we do. I am interested in implementing a multi-channel outreach initiative to hear from residents in person, online, and in public meetings.

If I had to choose a project I am most looking forward to, it would either be adding to the Skate Park at Tewinkle Park or establishing a highly requested dog park in Eastside Costa Mesa.

I have lived in Costa Mesa for more than 26 years and am very interested in promoting the Arts in Costa Mesa and especially interested in how the city can facilitate participation in the arts by it's residents, both young and old. I have been involved with the performing arts for over 50 years and am currently principal horn with the Southern California Philharmonic, a community orchestra that currently rehearses in Costa Mesa. I hold a BA in Music History/Theory from CSU Fullerton.

I have also held positions on the boards of non-profit organizations PFLAG South Orange County and the Community Youth Orchestra of Southern California.

One of the things that community performing arts organizations have struggled with have been both performance and rehearsal spaces. Many have turned to public schools for spaces, but these have become unavailable for various reasons, especially during COVID. I am especially interested in how Costa Mesa can partner with these organizations and help them secure both rehearsal and performance spaces and are within their budgets. While my expertise is performing arts, I am interested in learning more about community participation in the visual arts as well.

Arts Commission - Art has always had a special place in my heart. I've grown up drawing and oil painting and continue to do so today.

I've implemented digital drawing techniques at my previous architectural firm and participated in City wide chalk art festivals. As a proud resident of Costa Mesa, I wish to utilize my experience as the Executive Director of an international arts and culture nonprofit to serve our city on the Arts Commission and help realize its vision to be the premiere “City of the Arts” in Southern California. The organization I run is named after the world-renowned philosopher Sir Roger Scruton, the leading thinker on beauty and culture within the last 50 years. In carrying out our mission to further the legacy of Professor Scruton, my professional work in the arts and culture has been built upon cultivating an active network of some of the top musicians, composers, painters, sculptors, authors, and architects across the North and South America, Europe, and Asia. My experience includes the establishment of a $50,000 annual prize to recognize the lifetime achievement of individuals who have furthered culture and the humanities; partnerships with congressional offices in the U.S. House of Representatives and leading national arts organizations to build new coalitions around federal arts policy; and the worldwide premiere of a new opera at the historic Grange Hall venue in the U.K. this coming summer. As an Arts Commissioner for Costa Mesa, my aim would be to help realize the plans, projects, and goals outlined in our city’s recently published Arts & Culture Master Plan. While the work has already begun–evidenced by the creation of this commission and the hiring of the City’s Arts Specialist–I find the four goals that seek to expand our community’s engagement with the arts and opportunities to support artists and various creative organizations especially exciting and inspiring. The arts–and, thus, art education–have been extremely important to me throughout my life. Starting as a young child, music has had a central role in my life. I’ve studied piano, trombone, and bass guitar and have had the honor to perform in various venues around the country. While I was studying in New York City, I played in and directed a small jazz ensemble that led to multiple opportunities for professional performances. I then went on to study the philosophy of art under the leading philosopher in the subject, Sir Roger Scruton. My thesis, supervised by Professor Scruton, was one of four to receive marks of distinction. The thesis examined the role of art in our lives and what it means for us to be shaped, and enriched, by our interactions with art.

Being so moved and excited by my studies, I decided to continue my work with Professor Scruton by establishing the institution which was to carry forth his legacy. Since then, I have built out a network of artists, academics, writers, and leaders who share our same dedication and love for the arts and culture, and are committed to advancing beauty around the world. More specifically, one of our projects is working with congressional offices and other leading arts nonprofits to consider how we keep alive traditional crafts in art and encourage new regional schools to create meaningful art for Americans in the 21st century. This work, and the other projects listed throughout the application, naturally require great efforts to build coalitions and engage with affected communities–including artists, policymakers, funders, think tanks, and nonprofits, among others. 1016

The reason I am applying to be an Arts Commissioner for the City of Costa Mesa is to play a part in building our city into the premiere “City of the Arts” in Southern California. It is my belief that art and beauty have an unparalleled ability to speak to the human soul, ennobling the highest aspirations of people and bringing together communities around a shared sense of what they love. Costa Mesa should value public art and opportunities to display our best art publicly that elevates our community, bringing enjoyment and appreciation to the daily lives of residents throughout the city. We should seek to continue expanding opportunities to engage in art through partnerships with our impressive arts and culture institutions, coming up with new creative ways to reach more people–whether young students, families, adults, or the elderly. As previously stated, my work consists in the fundraising for, planning of, and hosting arts and cultural programming. I’ve submitted numerous grant applications and raised donations from individuals to fund various projects and programming that strategically leverage our resources to have outsized impact. I’ve planned numerous events and am currently in the process of planning: a concert to premiere original music in an historic venue, an international academic conference at the University of Cambridge on beauty, and various seminars around the world to educate different groups on the arts and culture. Finally, I’ve hosted multiple lectures and interviews, online programs, a gala dinner for an international prestigious award, and a number of roundtables to develop institutional strategies with high-level constituents. This experience, I believe, will be an invaluable contribution to the Arts Commission and be a great boon to our city’s efforts in the arts.

My name is Skeith DeWine. I have been an artist and arts activist my entire life. I have been art arts educator both in art history and teaching various disciplines of arts either at local museums, community outreach programs or in the Los Angeles Juvenile Detention Camps working with youth at risk. I created my own art startup company Called the Leonardo Da Vinci Institute of Discovery where I teach other the benefits of combining art,science and naturalistic observations from life in order to create new technologies. The process is called "biomimicry". I fought for artist affordable housing both at the regional and state levels for the City of Santa Ana. I am currently a real estate gent where one of my objectives is to help artists procure art space either for living, working or retail. I have done fund raising in various capacities for art exhibitions. I have exhibited at multiple museums and art galleries throughout California during my career. Additionally I have run one of the longest running operational art galleries in Orange County called T.S.A.G.I.C or “The Smallest Art Gallery In California. First is to Bring a museum and college of fashion to Costa Mesa.The city of Costa Mesa is the sports apparel capital of the world and I would like to spotlight that and bring the sports, apparel and art world into closer proximity utilizing a fashion museum or college as the catalyst to initiate a new direction for the city.

Second: In the past I have worked to create an affordable artist housing project for the city of Santa Ana. I have had great sucess in that city and been an advisor to the City of Santa Ana for artists housing for over 20 years.

Third - Art and technology - I have been over to OCC and met with the curator Tyler Stallings several times. They have a new digital art and technology learning center where people can learn about making computer games, documentary film making and 3-D Printing and the latest trending technologies with applications in the realm of the fine arts and design. I would like to see that exploited and more accessible to the City of Costa Mesa's youth so they can tap into future vocational opportunities.

Finally, a learning and naturalistic studies learning center at Banning Ranch where we have the capacity to teach our youth the benefits of combining the studies of art, nature and science. A place where our youth can imagine, envision and create new technological breakthroughs through their closer connections and understandings of nature. I want our youth to have the opportunity to learn new skill sets in order to handle issues like global warming or instilling the abilities to understand the natural world at a higher degree and develop new technologies from those naturalistic studies.

I have been an educator both in the science and art for the city of Los Angeles. In issues with Santa Ana I had to coordinate regularly with city council and media outlets in order to help establish the city as a major arts destination. The rigor of constant community outreach, event planning are a necessity in order to attract new artist to Orange County for the past 25 years. I was the first to identify the Peterson Museum of Auto History need an arts education program and went about it myself to start the ball rolling with close communications with the LA Times and KCRW in order to garner support for efforts. And make the board see that they had a larger responsibility to the community then displaying expensive automotive. I have a background in Italian Renaissance art history especially in the area of urban planning and design with coursework at Hard University and the Rhode Island School of Design. Over the years I have become adept at understanding and creating art cities or, the very least arts districts. Its a special skill where one needs to demonstrate to merchants that the arts are a vital tool to attract new commerce to a city and the privileges and hospitality requirements that brings. I come from a family of jazz musicians, screen writers and scenic and set designers. I have over 60 museum or gallery exhibitions under my belt. Additionally, I have been a regular curator of gallery owner with exhibitions with artist from varied cultures, social and economic demographics. I have participated in a great many panel discussions on the fine arts over the years. I have been a civil rights activist utilizing my skill and knowledge of arts as my main tool to bring about social changes and justices. I was employed at the Laguna Museum of art for over three years in the exhibition and display department.

Why are you applying to be an Arts Commissioner for the city of Costa Mesa? In the early 1990's I felt Costa Mesa did a very poor job supporting their arts community and spent the majority of it's time and financial efforts devoted to the development of it's Orange County Performing Arts Center. I felt left out in the cold and neglected as a visual artist in the city. When I lodged complaints with the city council of Costa Mesa it fell on deaf ears. So, I left and went onto to put all my efforts into the City of Santa Ana. The city was respectful and excited to have me. Years later the owner, of Juxtapose Art Magazine, Greg Escalante had seen my arts activism in Venice Beach, Ca and Santa Ana. He asked me to return to Costa Mesa and help bring fashion, sports and the fine arts into closer proximity of one an other in order to formulate a new vibrant unexpected art scene. Greg wasn't only an arts entrepreneur but, an avid surfer. He was aware of my past arts activism. And, I figured since I am in Costa Mesa I can be one of many people to guide the city in a positive direction for artists so others do not leave the city out of disappointment like I did in the past. It's an opportunity to come full circle, rewrite history and empower other artists with the knowledge I have learned to apply towards grassroots art city community planning and development.

I believe my vision of Costa Mesa falls into three categories. The first is to embrace, enhance and accelerate the overlooked fashion component of the city and spotlight it through the arts and upcoming Olympics the intersection that art can supply to support that. The second is to place Costa Mesa into a leadership role of environmental activism by utilizing the fine arts and Banning Ranch as a catalyst to initiate change or participation and heightened knowledge about our environment through fine art studies. Participant in Media Arts Santa Ana - (MASA)
Educator and volunteer for the Los Angeles Unified School System working in the "Pregnant Minor Program".

Helping create an underground organization called the "Lavender Mafia" where we smuggled censored or controversial artwork on the back of postage stamps to be enlarged at later date and connect insular art communities to the outside world. Later through our work we were given locations of safe houses and encoded their locations in drawings and paintings. This work helped save lives in both Russia and Iran. You learn a few tricks when you grow up in a Jewish household.

On multiple occasions showcased trans and LGBTQ individuals artwork out of my art gallery.

Exhibited artwork of artists dealing with addictions and gave them a space to tell their personal narratives though art and utilize it as a source of therapy.

Exhibitions with key Native American and Latino artists out of my art gallery like Richard Vargas and political cartoonist Lalo Alcaraz.

My own artwork deals with immigration and migration issues. Further themes in my art demonstrates missed opportunities when we neglect the natural environment.

My latest work in the sports world is garnering attention and upcoming gallery exhibitions to break down social and gender barriers in the world of sports.

As a Commission member, what ideas or projects are of interest to you? I am interested in assisting with the direction the city is taking or will take with regards to both building developments, business support, housing and recreational upkeep and expansion, which from my purview is overall planning. My first choice would be to join the planning committee, as a business owner and having grew up in the apparel sector (velcro valley) with business letters of recommendation from Quiksilver CEO and Performance Accolades from USMC I have experience in what small (and large) businesses need from their cities with regards to zoning and access needs (i.e., SBA HUB) while maintaining the residential integrity that the city was founded upon. I would prefer to be on the Planning Commission.

I am also interested in the Arts Commission. As an artist and supporter of the arts, i see ways to integrate and encourage arts and art activities for the residents with continuing projects such as the painted utility boxes, which add character to a kind city while maintaining the residential integrity of long time residents like myself. I believe in more social involvement and public reach outs, educating on the history of the city with more historical arts projects perhaps, giving attention to the indigenous people who lived here before us, and presenting the city in a way where its inhabitants, both native and new residents take pride in the upkeep, and overall community cooperation. Encouraging through the arts a cleaner, safer, cooperative, and cohesive community.

Landscape Architecture is art in itself and at my company I make sure to bring that into the forefront of every design.

With the passage of Proposition 28 in our recent election, the landscape for the arts in Costa Mesa will be profoundly impacted for the better as local students slowly gain access to the arts in their school environments. This means that students and their families will be better acquainted with basic arts standards and will begin to seek opportunities to either participate in or create their own neighborhood/local community through which to engage with world arts and arts processes. The City of Costa Mesa should see a huge increase in the numbers of people who would like to participate in city-wide arts programming in the 5-10 years ahead, and I would very much like to be part of the group that helps guide the city towards preparation for such an arts renaissance in our own community and across the entire state.

In this time, I have reviewed a variety of applications and items, from the Housing Element and the city’s new accessory dwelling unit (ADU) policies to the city’s first fourteen Measure Q retail cannabis applications, in addition to various business and residential conditional use permit (CUP) applications. My background in civil engineering has enabled me to apply an analytical approach to every planning commission item. I have performed my work with a balanced and holistic review method and have sought to consider every aspect of a proposed project in weighing the merits of each application I have reviewed. I have also sought to include the feedback of community members and other stakeholders who may be affected by proposed development projects. I have achieved this by visiting project sites and surrounding neighborhoods and businesses, as well as through having conversations with nearby residents and reaching out to neighboring businesses by phone, whether or not they have written in to give their public comments.

I am a young person who was raised in Costa Mesa, attended area schools during my K-12 schooling, and grew up in a working-class area of the city primarily inhabited by renters. As such, I understand the challenges faced by families, young adults, and others seeking to make Costa Mesa their home but encountering difficulties, such as rising rent prices caused by gentrification and inflation, and the difficulty of purchasing a home in Costa Mesa because of the lack of affordable homes on the market. My experiences have allowed me to bring a unique perspective to the Planning Commission that has informed the decisions of my peers on the Commission, and has brought the challenges faced by renters, people with disabilities, the Latino community, owners of small businesses, and other disadvantaged residents of Costa Mesa to the forefront.

Furthermore, my full-time role as a Transportation Engineering Associate for the Los Angeles Dept. of Transportation in the Planning and Development Review division has provided me with ample relevant experience to serve effectively on the Planning Commission.

Through this role, I have become very familiarized with the impact of planning decisions and policies on traffic circulation and on local communities. I am very knowledgeable with the latest design concepts that facilitate safer site circulation, as well as transportation demand management (TDM) measures that reduce vehicle dependency and encourage active transportation through project designs and programs. I understand the mechanisms behind the City of LA’s regulations and ordinances and how they facilitate mixed-use development and innovative approaches to land use and holistic community development.

As someone with a wealth of knowledge and skills developed through my fifteen months on the Planning Commission, a unique perspective gained through my life experiences, and an extensive professional background in planning and development review for a major U.S. city, I believe I am highly qualified to serve a full term on the Costa Mesa Planning Commission. I have demonstrated excellence in public service during my time on the Planning Commission and seek the opportunity to continue my work serving the residents, businesses, and families that have built up our city and call Costa Mesa their home. 1067

As a Commission member, what ideas or projects are of interest to you? I am passionate about finding ways to encourage and facilitate active transportation through site design. I enjoy finding ways to move towards development that is interconnected and provides safe travel routes for pedestrians, cyclists, and people with disabilities within a project site and to adjacent land uses, sidewalks, and bicycle paths within the public right of way. When feasible, project sites should include bicycle infrastructure, implement rideshare programs for workers who commute long distances, and employ other TDM strategies that encourage alternate modes of transportation to driving, helping the city to reduce emissions and traffic and to facilitate the sustainable development of new commercial and residential centers.

Because of the lack of affordable housing options and space to build enough family homes to meet demand in Costa Mesa, I am interested in our city exploring various forms of mixed-use development to make a wider variety of housing options available to residents of different income levels. I believe it is important to plan communities where residents can have access to grocery shopping and other essential retail and service businesses within a short walking distance of their homes, as well as to plan for safe routes of travel to and from residential, school, and retail land uses.

Finally, I am interested in finding ways to support existing and potential new small businesses in the city. As Planning Commissioner, I would like to steer our city towards responsible planning decisions that protect the welfare of small businesses against the effects of gentrification and to prevent displacement where possible, and to collaborate with the city council to one day ensure the compensation for small businesses that find themselves in a situation where they need to relocate. Many small businesses have built up our city and provide character to the communities that they are in, so it is only fair that we find ways to help those who contributed so much to our city’s economic growth and now find themselves facing challenges due to the pandemic, supply chain problems, staff shortages, and large and well-funded industries that are causing the displacement of long-standing small businesses in our city as part of their expansion projects.

I would like to be reappointed to the Planning Commission to continue working on housing policy and the related issue of making Costa Mesa a more pedestrian and bike friendly city. As we work to implement the Housing Element I want to make sure that affordable housing continues to be a part of the planning process. The majority of my professional experience is in housing and working with the homeless. There is much work to be done in re-zoning our corridors to be both housing and job friendly. Costa Mesa has the opportunity to become a community that has a better housing-job balance with fewer vehicle trips.

As we move forward in considering additional retail cannabis locations it is important to ensure that the locations that are approved are appropriate within the city policies. Having been on the commission while these first applications have come before us I think I have an understanding of the issues that will be useful on the commission.

My major interest is in expanding housing opportunities for people of all income levels, but especially those lower-income families that provide the backbone of our city. 2. Authorize a ten-percent (10%) contingency, if needed, for unforeseen costs.

3. Authorize an additional expense appropriation of $64,565 from the Park Development Impact Fees fund balance to cover the requested contract value for the Fairview Park Master Plan Update.

4. Authorize the City Manager and the City Clerk to execute the Professional Services Agreement (Attachment 1) and future amendments to the agreement within Council-authorized limits.

BACKGROUND:

Fairview Park is the City’s largest park, hosting 195 acres of natural open space area and 13 acres of passive parkland for a total of 208 acres. Within the 195 acres of open space, there are two Native American Nationally Registered Historic Sites, and five different habitat ecosystems, which are home to a wide array of sensitive, rare and endangered plant and animal species. These protected habitats and resident species entail local, state, and federal regulatory oversight related to environmental resource protection and preservation. The park also offers users multiple passive recreational opportunities and trails for walking, running, bicycling, and wildlife observation throughout the park’s various habitats. In addition, the City has partnerships with various local non-profit organizations that support activities and programming in Fairview Park.

Between 1996 and 1998, the City of Costa Mesa prepared and adopted the Fairview Park Master Plan (“Master Plan”) to provide a framework for existing and future park improvements, public uses, and restoration opportunities in the park. The City Council subsequently adopted revisions to the Master Plan in 2000 and 2002 to address specific changes in park features, and in 2008 to account for an updated biological survey of the park. Since that time, the City has initiated and completed a number of significant projects and restoration activities within the park, documented a variety of special-status plant and animal species, and introduced educational programs to engage and inform users about the park’s unique environmental features. However, since the adoption of the original Master Plan in 1998, the City has not completed a comprehensive update to the plan that holistically accounts for a quarter-century of the park’s evolution or of developments in the environmental and regulatory landscape surrounding Fairview Park’s protected resources. This period also spans the completion of multiple mitigation and restoration projects within the park, extensive biological observations of rare and endangered species, and significant land management actions that have taken place in contiguous open spaces along the lower Santa Ana River open space corridor. In addition, since the original Master Plan’s adoption, significant advancements have emerged in the realm of geospatial technology and asset management. By integrating these contemporary tools into the Master Plan update project, the final Fairview Park Master Plan will allow the City to effectively and adaptively manage Fairview Park’s diverse capital assets and environmental resources over time.

Fairview Park’s relative abundance of land and its connectivity within the lower Santa Ana River open space corridor has previously made the site a strong candidate for environmental mitigation and restoration. As one of the last remaining land parcels in the region to persist in a mostly natural and undeveloped state, Fairview Park is a critical environmental resource to a wide array of native flora and fauna that has been broadly displaced by urban development. Similarly, the site’s extensive archeological record and deep significance to the indigenous community highlight the importance of protecting and preserving Fairview Park’s rich historical legacy. Given the park’s situational geography within a highly urbanized and populated area along coastal Orange County, the park is also subjected to considerable impact from public use and anthropogenic activity. Throughout Fairview Park’s and the City’s history, residents of Costa Mesa have advocated for the protection of Fairview Park, repeatedly calling upon local officials to ensure that the park’s unique natural character and rich cultural heritage are preserved for future generations. To this end, the City’s land management of Fairview Park requires consistent and deliberate planning to achieve a sustainable balance between the unique environmental resources and public uses of the land.

ANALYSIS:

On August 11, 2022, a Request for Proposals (RFP) was issued for the Fairview Park Master Plan Update. In response to the RFP, staff received three (3) proposals from the following consulting firms:
· Moore, Iacofano, Goltsman, Inc.
· OLIN
· Endemic Environmental Services
A panel of subject matter experts reviewed and ranked the proposals and found them well qualified to perform the required professional services. Proposals were reviewed for compliance and responsiveness to the City’s Request for Proposals; qualifications of the firm; approach and

responsiveness to the City’s Request for Proposals; qualifications of the firm; approach and methodology; experience of project team; and cost. During the evaluation, Moore, Iacofano, Goltsman, Inc. (MIG) presented their firm as having a thorough understanding of the project and demonstrated extensive experience and technical ability to perform the outlined scope of work.

Due to the multitude of environmental features involved in Master Planning for Fairview Park, the RFP emphasized the need for consultants to present both depth and breadth of technical expertise in various fields: landscape architecture, environmental planning, community outreach, biological management, regulatory compliance, habitat restoration, cultural resources management, and environmental and geotechnical engineering. MIG’s proposal exhibited a strong interdisciplinary team of subject matter experts with capacity to work in an integrated fashion to successfully deliver on the project. In addition, the MIG team showed a strong track record of experience and successful performance in similar projects in Orange County and in leading other conservation and park planning efforts in Southern California.

The Scope of Work for the project will include the following primary tasks:

Task 1: Historical Summary / Review of Existing Documentation Task 2: Community Outreach
Task 3: Resource Assessment and Analysis of Existing Conditions Task 4: Master Plan Update Findings and Recommendations Task 5: Environmental Compliance Documentation
A detailed scope of work, project schedule, and list of sub-tasks are included in the consultant’s proposal, shown as Exhibit B in the Professional Services Agreement.

If awarded the contract, MIG will be responsible for performing a comprehensive update to the Fairview Park Master Plan that guides future restoration, improvements, operations, and activities for years to come. MIG will also be leading community outreach meetings and preparing applicable presentation materials to be shared with park advocates and the community during this planning process. In addition, as part of the Community Outreach task, the consultant team will create a Tribal Advisory Committee (TAC) made up of representatives of the tribes with affiliation to the Fairview Park cultural site. This important addition to the original project scope was included based on MIG’s proposal recognizing that the Plan area and immediate vicinity are sensitive to archeological and Tribal cultural resources. Given that the site has been identified as culturally important to the local Native American Tribes, staff recommends the inclusion of this sub-task to afford tribal representatives a dedicated venue to provide their input in meetings separate from the general public.

ALTERNATIVES:

The City Council may choose to reject all bids and provide staff with further direction. However, this alternative is not recommended, as it would further delay the Fairview Park Master Plan Update process.

FISCAL REVIEW:

Upon City Council approval, an additional expense appropriation of $64,565 from the Park Development Impact Fees fund balance will be established for the Fairview Park Master Plan Update. As of June 30, 2022 the Park Development Impact Fees Fund has a fund balance of $3.6 million.

LEGAL REVIEW:

The City Attorney has reviewed this report, and prepared and approved the Professional Services Agreement as to form.

CITY COUNCIL GOALS AND PRIORITIES:

This item supports the following City Council Goal:
· Advance Environmental Sustainability and Climate Resiliency Fairview Park contains an array of environmental resources and features that provide important habitats for endangered species, and support high biodiversity. Approving the proposed contract will support the City in planning for the restoration and preservation of Fairview Park and its rich environmental resources.

CONCLUSION:

1. Award a Professional Services Agreement to Moore, Iacofano, Goltsman, Inc., in the amount of $314,565.00 for professional consulting and environmental planning services for the Fairview Park Master Plan Update.

2. Authorize a five-percent (5%) contingency if needed, for unforeseen costs.

3. Appropriate the remaining Capital Improvement Project budget balance of $250,000, plus $64,565 from the available Park Development Impact Fees Fund balance to cover the requested contract value for the Fairview Park Master Plan Update.

This period also spans the completion of multiple mitigation and restoration projects within the park, extensive biological observations of rare and endangered species, and significant land management actions that have taken place in contiguous open spaces along the lower Santa Ana River open space corridor. In addition, since the original Master Plan’s adoption, significant advancements have emerged in the realm of geospatial technology and asset management. By integrating these contemporary tools into the Master Plan update project, the final Fairview Park Master Plan will allow the City to effectively and adaptively manage Fairview Park’s diverse capital assets and environmental resources over time.

PROFESSIONAL SERVICES AGREEMENT
WITH

MOORE, IACOFANO, GOLTSMAN, INCORPORATED
THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is made and entered into this 14th day of December, 2022 (“Effective Date”), by and between the CITY OF COSTA MESA, a municipal corporation (“City”), and MOORE, IACOFANO, GOLTSMAN, INCORPORATED, a California corporation (“Consultant”).

RECITALS
A. City proposes to utilize the services of Consultant as an independent contractor to provide consultant services for the Fairview Park Master Plan update, as more fully described herein; and
B. Consultant represents that it has that degree of specialized expertise contemplated within California Government Code section 37103, and holds all necessary licenses to practice and perform the services herein contemplated; and
C. City and Consultant desire to contract for the specific services described in Exhibit “A” and desire to set forth their rights, duties and liabilities in connection with the services to be performed; and
D. No official or employee of City has a financial interest, within the provisions of sections 1090-1092 of the California Government Code, in the subject matter of this Agreement.

NOW, THEREFORE, for and in consideration of the mutual covenants and conditions contained herein, the parties hereby agree as follows:

1.0. SERVICES PROVIDED BY CONSULTANT

1.1. Scope of Services. Consultant shall provide the professional services described in City’s Request for Proposals, attached hereto as Exhibit “A,” and Consultant’s Proposal, attached hereto as Exhibit “B,” both incorporated herein.

1.2. Professional Practices. All professional services to be provided by Consultant pursuant to this Agreement shall be provided by personnel experienced in their respective fields and in a manner consistent with the standards of care, diligence and skill ordinarily exercised by professional consultants in similar fields and circumstances in accordance with sound professional practices. Consultant also warrants that it is familiar with all laws that may affect its performance of this Agreement and shall advise City of any changes in any laws that may affect Consultant’s performance of this Agreement.

1.3. Performance to Satisfaction of City. Consultant agrees to perform all the work to the complete satisfaction of the City. Evaluations of the work will be done by the City Manager or his or her designee. If the quality of work is not satisfactory, City in its discretion has the right to:
(a) Meet with Consultant to review the quality of the work and resolve the 1085

matters of concern;
(b) Require Consultant to repeat the work at no additional fee until it is satisfactory; and/or
(c) Terminate the Agreement as hereinafter set forth.

1.4. Warranty. Consultant warrants that it shall perform the services required by this Agreement in compliance with all applicable Federal and California employment laws, including, but not limited to, those laws related to minimum hours and wages; occupational health and safety; fair employment and employment practices; workers’ compensation insurance and safety in employment; and all other Federal, State and local laws and ordinances applicable to the services required under this Agreement. Consultant shall indemnify and hold harmless City from and against all claims, demands, payments, suits, actions, proceedings, and judgments of every nature and description including attorneys’ fees and costs, presented, brought, or recovered against City for, or on account of any liability under any of the above-mentioned laws, which may be incurred by reason of Consultant’s performance under this Agreement.

1.5. Non-Discrimination. In performing this Agreement, Consultant shall not engage in, nor permit its agents to engage in, discrimination in employment of persons because of their race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, genetic information, marital status, sex, gender, gender identity, gender expression, age, sexual orientation, or military or veteran status, except as permitted pursuant to section 12940 of the Government Code.

1.6. Non-Exclusive Agreement. Consultant acknowledges that City may enter into agreements with other consultants for services similar to the services that are subject to this Agreement or may have its own employees perform services similar to those services contemplated by this Agreement.

1.7. Delegation and Assignment. This is a personal service contract, and the duties set forth herein shall not be delegated or assigned to any person or entity without the prior written consent of City. Consultant may engage a subcontractor(s) as permitted by law and may employ other personnel to perform services contemplated by this Agreement at Consultant’s sole cost and expense.

1.8. Confidentiality. Employees of Consultant in the course of their duties may have access to financial, accounting, statistical, and personnel data of private individuals and employees of City. Consultant covenants that all data, documents, discussion, or other information developed or received by Consultant or provided for performance of this Agreement are deemed confidential and shall not be disclosed by Consultant without written authorization by City. City shall grant such authorization if disclosure is required by law. All City data shall be returned to City upon the termination of this Agreement. Consultant’s covenant under this Section shall survive the termination of this Agreement.

2.0. COMPENSATION AND BILLING

2.1. Compensation. Consultant shall be paid in accordance with the fee schedule set forth in Exhibit “C,” attached hereto and made a part of this Agreement (the “Fee Schedule”).

Consultant’s total compensation shall not exceed Three Hundred and Fourteen Thousand Five 1086

Hundred and Sixty-Five Dollars ($314,565.00). In the event that there are unforeseen costs associated with the Consultant performing services within the scope of this Agreement, the total compensation may increase by ten (10%) percent of the total compensation.

2.2. Additional Services. Consultant shall not receive compensation for any services provided outside the scope of services specified in the Consultant’s Proposal unless the City Manager or designee, prior to Consultant performing the additional services, approves such additional services in writing. It is specifically understood that oral requests and/or approvals of such additional services or additional compensation shall be barred and are unenforceable.

2.3. Method of Billing. Consultant may submit invoices to the City for approval on a progress basis, but no more often than two times a month. Said invoice shall be based on the total of all Consultant’s services which have been completed to City’s sole satisfaction. City shall pay Consultant’s invoice within forty-five (45) days from the date City receives said invoice. Each invoice shall describe in detail, the services performed, the date of performance, and the associated time for completion. Any additional services approved and performed pursuant to this Agreement shall be designated as “Additional Services” and shall identify the number of the authorized change order, where applicable, on all invoices.

2.4. Records and Audits. Records of Consultant’s services relating to this Agreement shall be maintained in accordance with generally recognized accounting principles and shall be made available to City or its Project Manager for inspection and/or audit at mutually convenient times from the Effective Date until three (3) years after termination of this Agreement.

3.0. TIME OF PERFORMANCE

3.1. Commencement and Completion of Work. Unless otherwise agreed to in writing by the parties, the professional services to be performed pursuant to this Agreement shall commence within five (5) days from the Effective Date of this Agreement. Said services shall be performed in strict compliance with the Project Schedule approved by City as set forth in Exhibit B. The Project Schedule may be amended by mutual agreement of the parties. Failure to commence work in a timely manner and/or diligently pursue work to completion may be grounds for termination of this Agreement.

3.2. Excusable Delays. Neither party shall be responsible for delays or lack of performance resulting from acts beyond the reasonable control of the party or parties. Such acts shall include, but not be limited to, acts of God, fire, strikes, pandemics, material shortages, compliance with laws or regulations, riots, acts of war, or any other conditions beyond the reasonable control of a party (each, a “Force Majeure Event”). If a party experiences a Force Majeure Event, the party shall, within five (5) days of the occurrence of the Force Majeure Event, give written notice to the other party stating the nature of the Force Majeure Event, its anticipated duration and any action being taken to avoid or minimize its effect. Any suspension of performance shall be of no greater scope and of no longer duration than is reasonably required and the party experiencing the Force Majeure Event shall use best efforts without being obligated to incur any material expenditure to remedy its inability to perform; provided, however, if the suspension of performance continues for sixty (60) days after the date of the occurrence and such failure to perform would constitute a material breach of this Agreement in the absence of such Force Majeure Event, the parties shall meet and discuss in good faith any amendments to this Agreement to permit the other party to exercise its rights under this Agreement. If the parties are not able to agree on such amendments within thirty (30) days and if suspension of performance continues, such other party may terminate this Agreement immediately by written notice to the party experiencing the Force Majeure Event, in which case neither party shall have any liability to the other except for those rights and liabilities that accrued prior to the date of termination.

4.0. TERM AND TERMINATION

4.1. Term. This Agreement shall commence on the Effective Date and continue for a period of two (2) years, ending on December 13, 2024, unless previously terminated as provided herein or as otherwise agreed to in writing by the parties. This Agreement may be extended by three (3) additional one (1) year periods upon mutual written agreement of both parties.

4.2. Notice of Termination. The City reserves and has the right and privilege of canceling, suspending or abandoning the execution of all or any part of the work contemplated by this Agreement, with or without cause, at any time, by providing written notice to Consultant.

The termination of this Agreement shall be deemed effective upon receipt of the notice of termination. In the event of such termination, Consultant shall immediately stop rendering services under this Agreement unless directed otherwise by the City.

4.3. Compensation. In the event of termination, City shall pay Consultant for reasonable costs incurred and professional services satisfactorily performed up to and including the date of City’s written notice of termination. Compensation for work in progress shall be prorated based on the percentage of work completed as of the effective date of termination in accordance with the fees set forth herein. In ascertaining the professional services actually rendered hereunder up to the effective date of termination of this Agreement, consideration shall be given to both completed work and work in progress, to complete and incomplete drawings, and to other documents pertaining to the services contemplated herein whether delivered to the City or in the possession of the Consultant.

4.4. Documents. In the event of termination of this Agreement, all documents prepared by Consultant in its performance of this Agreement including, but not limited to, finished or unfinished design, development and construction documents, data studies, drawings, maps and reports, shall be delivered to the City within ten (10) days of delivery of termination notice to Consultant, at no cost to City. Any use of uncompleted documents without specific written authorization from Consultant shall be at City’s sole risk and without liability or legal expense to Consultant.

5.0. INSURANCE

5.1. Minimum Scope and Limits of Insurance. Consultant shall obtain, maintain, and keep in full force and effect during the life of this Agreement all of the following minimum scope of insurance coverages with an insurance company admitted to do business in California, rated “A,” Class X, or better in the most recent Best’s Key Insurance Rating Guide, and approved by City:
(a) Commercial general liability, including premises-operations, products/completed operations, broad form property damage, blanket contractual liability, independent contractors, personal injury or bodily injury with a policy limit of not less than One Million Dollars ($1,000,000.00) per occurrence, Two Million Dollars ($2,000,000.00) general aggregate. (b) Business automobile liability for owned vehicles, hired, and non-owned vehicles, with a policy limit of not less than One Million Dollars 1088

($1,000,000.00) combined single limit per accident for bodily injury and property damage.
(c) Workers’ compensation insurance as required by the State of California.

Consultant agrees to waive, and to obtain endorsements from its workers’ compensation insurer waiving subrogation rights under its workers’ compensation insurance policy against the City, its officers, agents, employees, and volunteers arising from work performed by Consultant for the City and to require each of its subcontractors, if any, to do likewise under their workers’ compensation insurance policies.
(d) Professional errors and omissions (“E&O”) liability insurance with policy limits of not less than One Million Dollars ($1,000,000.00), combined single limits, per occurrence and aggregate. Architects’ and engineers’ coverage shall be endorsed to include contractual liability. If the policy is written as a “claims made” policy, the retro date shall be prior to the start of the contract work. Consultant shall obtain and maintain, said E&O liability insurance during the life of this Agreement and for three years after completion of the work hereunder.

5.2. Endorsements. The commercial general liability insurance policy and business automobile liability policy shall contain or be endorsed to contain the following provisions:
(a) Additional insureds: “The City of Costa Mesa and its elected and appointed boards, officers, officials, agents, employees, and volunteers are additional insureds with respect to: liability arising out of activities performed by or on behalf of the Consultant pursuant to its contract with the City; products and completed operations of the Consultant; premises owned, occupied or used by the Consultant; automobiles owned, leased, hired, or borrowed by the Consultant.”
(b) Notice: “Said policy shall not terminate, be suspended, or voided, nor shall it be cancelled, nor the coverage or limits reduced, until thirty (30) days after written notice is given to City.”
(c) Other insurance: “The Consultant’s insurance coverage shall be primary insurance as respects the City of Costa Mesa, its officers, officials, agents, employees, and volunteers. Any other insurance maintained by the City of Costa Mesa shall be excess and not contributing with the insurance provided by this policy.”
(d) Any failure to comply with the reporting provisions of the policies shall not affect coverage provided to the City of Costa Mesa, its officers, officials, agents, employees, and volunteers.
(e) The Consultant’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer’s liability.

5.3. Deductible or Self Insured Retention. If any of such policies provide for a deductible or self-insured retention to provide such coverage, the amount of such deductible or self-insured retention shall be approved in advance by City. No policy of insurance issued as to which the City is an additional insured shall contain a provision which requires that no insured except the named insured can satisfy any such deductible or self-insured retention.

5.4. Certificates of Insurance. Consultant shall provide to City certificates of insurance showing the insurance coverages and required endorsements described above, in a form and content approved by City, prior to performing any services under this Agreement.

5.5. Non-Limiting. Nothing in this Section shall be construed as limiting in any way, the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property.

6.0. GENERAL PROVISIONS

6.1. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to any matter referenced herein and supersedes any and all other prior writings and oral negotiations. This Agreement may be modified only in writing, and signed by the parties in interest at the time of such modification. The terms of this Agreement shall prevail over any inconsistent provision in any other contract document appurtenant hereto, including exhibits to this Agreement.

6.2. Representatives. The City Manager or his or her designee shall be the representative of City for purposes of this Agreement and may issue all consents, approvals, directives and agreements on behalf of the City, called for by this Agreement, except as otherwise expressly provided in this Agreement.

Consultant shall designate a representative for purposes of this Agreement who shall be authorized to issue all consents, approvals, directives and agreements on behalf of Consultant called for by this Agreement, except as otherwise expressly provided in this Agreement.

6.3. Project Managers. City shall designate a Project Manager to work directly with Consultant in the performance of this Agreement.

Consultant shall designate a Project Manager who shall represent it and be its agent in all consultations with City during the term of this Agreement. Consultant or its Project Manager shall attend and assist in all coordination meetings called by City.

6.4. Notices. Any notices, documents, correspondence or other communications concerning this Agreement or the work hereunder may be provided by personal delivery or mail and shall be addressed as set forth below. Such communication shall be deemed served or delivered: (a) at the time of delivery if such communication is sent by personal delivery, and (b) 48 hours after deposit in the U.S. Mail as reflected by the official U.S. postmark if such communication is sent through regular United States mail.

6.5. Drug-Free Workplace Policy. Consultant shall provide a drug-free workplace by complying with all provisions set forth in City’s Council Policy 100-5, attached hereto as Exhibit “D” and incorporated herein. Consultant’s failure to conform to the requirements set forth in Council Policy 100-5 shall constitute a material breach of this Agreement and shall be cause for immediate termination of this Agreement by City.

6.6. Attorneys’ Fees. In the event that litigation is brought by any party in connection with this Agreement, the prevailing party shall be entitled to recover from the opposing party all costs and expenses, including reasonable attorneys’ fees, incurred by the prevailing party in the exercise of any of its rights or remedies hereunder or the enforcement of any of the terms, conditions, or provisions hereof.

6.7. Governing Law. This Agreement shall be governed by and construed under the laws of the State of California without giving effect to that body of laws pertaining to conflict of laws. In the event of any legal action to enforce or interpret this Agreement, the parties hereto agree that the sole and exclusive venue shall be a court of competent jurisdiction located in Orange County, California.

6.8. Assignment. Consultant shall not voluntarily or by operation of law assign, transfer, sublet or encumber all or any part of Consultant’s interest in this Agreement without City’s prior written consent. Any attempted assignment, transfer, subletting or encumbrance shall be void and shall constitute a breach of this Agreement and cause for termination of this Agreement. Regardless of City’s consent, no subletting or assignment shall release Consultant of Consultant’s obligation to perform all other obligations to be performed by Consultant hereunder for the term of this Agreement.

6.9. Indemnification and Hold Harmless. Consultant agrees to defend, indemnify, hold free and harmless the City, its elected officials, officers, agents and employees, at Consultant’s sole expense, from and against any and all claims, actions, suits or other legal proceedings brought against the City, its elected officials, officers, agents and employees arising out of the performance of the Consultant, its employees, and/or authorized subcontractors, of the work undertaken pursuant to this Agreement. The defense obligation provided for hereunder shall apply without any advance showing of negligence or wrongdoing by the Consultant, its employees, and/or authorized subcontractors, but shall be required whenever any claim, action, complaint, or suit asserts as its basis the negligence, errors, omissions or misconduct of the Consultant, its employees, and/or authorized subcontractors, and/or whenever any claim, action, complaint or suit asserts liability against the City, its elected officials, officers, agents and 1091

employees based upon the work performed by the Consultant, its employees, and/or authorized subcontractors under this Agreement, whether or not the Consultant, its employees, and/or authorized subcontractors are specifically named or otherwise asserted to be liable.

Notwithstanding the foregoing, the Consultant shall not be liable for the defense or indemnification of the City for claims, actions, complaints or suits arising out of the sole active negligence or willful misconduct of the City. This provision shall supersede and replace all other indemnity provisions contained either in the City’s specifications or Consultant’s Proposal, which shall be of no force and effect.

6.10. Independent Contractor. Consultant is and shall be acting at all times as an independent contractor and not as an employee of City. Consultant shall have no power to incur any debt, obligation, or liability on behalf of City or otherwise act on behalf of City as an agent.

Neither City nor any of its agents shall have control over the conduct of Consultant or any of Consultant’s employees, except as set forth in this Agreement. Consultant shall not, at any time, or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of City. Consultant shall secure, at its sole expense, and be responsible for any and all payment of Income Tax, Social Security, State Disability Insurance Compensation, Unemployment Compensation, and other payroll deductions for Consultant and its officers, agents, and employees, and all business licenses, if any are required, in connection with the services to be performed hereunder. Consultant shall indemnify and hold City harmless from any and all taxes, assessments, penalties, and interest asserted against City by reason of the independent contractor relationship created by this Agreement. Consultant further agrees to indemnify and hold City harmless from any failure of Consultant to comply with the applicable worker’s compensation laws. City shall have the right to offset against the amount of any fees due to Consultant under this Agreement any amount due to City from Consultant as a result of Consultant’s failure to promptly pay to City any reimbursement or indemnification arising under this paragraph.

6.11. PERS Eligibility Indemnification. In the event that Consultant or any employee, agent, or subcontractor of Consultant providing services under this Agreement claims or is determined by a court of competent jurisdiction or the California Public Employees Retirement System (PERS) to be eligible for enrollment in PERS as an employee of the City, Consultant shall indemnify, defend, and hold harmless City for the payment of any employee and/or employer contributions for PERS benefits on behalf of Consultant or its employees, agents, or subcontractors, as well as for the payment of any penalties and interest on such contributions, which would otherwise be the responsibility of City.

Notwithstanding any other agency, state or federal policy, rule, regulation, law or ordinance to the contrary, Consultant and any of its employees, agents, and subcontractors providing service under this Agreement shall not qualify for or become entitled to, and hereby agree to waive any claims to, any compensation, benefit, or any incident of employment by City, including but not limited to eligibility to enroll in PERS as an employee of City and entitlement to any contribution to be paid by City for employer contribution and/or employee contributions for PERS benefits.

6.12. Cooperation. In the event any claim or action is brought against City relating to Consultant’s performance or services rendered under this Agreement, Consultant shall render any reasonable assistance and cooperation which City might require. 1092

6.13. Ownership of Documents. All findings, reports, documents, information and data including, but not limited to, computer tapes or discs, files and tapes furnished or prepared by Consultant or any of its subcontractors in the course of performance of this Agreement, shall be and remain the sole property of City. Consultant agrees that any such documents or information shall not be made available to any individual or organization without the prior consent of City. Any use of such documents for other projects not contemplated by this Agreement, and any use of incomplete documents, shall be at the sole risk of City and without liability or legal exposure to Consultant. City shall indemnify and hold harmless Consultant from all claims, damages, losses, and expenses, including attorneys’ fees, arising out of or resulting from City’s use of such documents for other projects not contemplated by this Agreement or use of incomplete documents furnished by Consultant. Consultant shall deliver to City any findings, reports, documents, information, data, in any form, including but not limited to, computer tapes, discs, files audio tapes or any other Project related items as requested by City or its authorized representative, at no additional cost to the City.

6.14. Public Records Act Disclosure. Consultant has been advised and is aware that this Agreement and all reports, documents, information and data, including, but not limited to, computer tapes, discs or files furnished or prepared by Consultant, or any of its subcontractors, pursuant to this Agreement and provided to City may be subject to public disclosure as required by the California Public Records Act (California Government Code section 6250 et seq.).

Exceptions to public disclosure may be those documents or information that qualify as trade secrets, as that term is defined in the California Government Code section 6254.7, and of which Consultant informs City of such trade secret. The City will endeavor to maintain as confidential all information obtained by it that is designated as a trade secret. The City shall not, in any way, be liable or responsible for the disclosure of any trade secret including, without limitation, those records so marked if disclosure is deemed to be required by law or by order of the Court.

6.15. Conflict of Interest. Consultant and its officers, employees, associates and subconsultants, if any, will comply with all conflict of interest statutes of the State of California applicable to Consultant's services under this agreement, including, but not limited to, the Political Reform Act (Government Code sections 81000, et seq.) and Government Code section 1090.

During the term of this Agreement, Consultant and its officers, employees, associates and subconsultants shall not, without the prior written approval of the City Representative, perform work for another person or entity for whom Consultant is not currently performing work that would require Consultant or one of its officers, employees, associates or subconsultants to abstain from a decision under this Agreement pursuant to a conflict of interest statute.

6.16. Responsibility for Errors. Consultant shall be responsible for its work and results under this Agreement. Consultant, when requested, shall furnish clarification and/or explanation as may be required by the City’s representative, regarding any services rendered under this Agreement at no additional cost to City. In the event that an error or omission attributable to Consultant occurs, then Consultant shall, at no cost to City, provide all necessary design drawings, estimates and other Consultant professional services necessary to rectify and correct the matter to the sole satisfaction of City and to participate in any meeting required with regard to the correction.

6.17. Prohibited Employment. Consultant will not employ any regular employee of City while this Agreement is in effect.

6.18. Order of Precedence. In the event of an inconsistency in this Agreement and any 1093

of the attached Exhibits, the terms set forth in this Agreement shall prevail. If, and to the extent this Agreement incorporates by reference any provision of any document, such provision shall be deemed a part of this Agreement. Nevertheless, if there is any conflict among the terms and conditions of this Agreement and those of any such provision or provisions so incorporated by reference, this Agreement shall govern over the document referenced.

6.19. Costs. Each party shall bear its own costs and fees incurred in the preparation and negotiation of this Agreement and in the performance of its obligations hereunder except as expressly provided herein.

6.20. Binding Effect. This Agreement binds and benefits the parties and their respective permitted successors and assigns.

6.21. No Third Party Beneficiary Rights. This Agreement is entered into for the sole benefit of City and Consultant and no other parties are intended to be direct or incidental beneficiaries of this Agreement and no third party shall have any right in, under or to this Agreement.

6.22. Headings. Paragraphs and subparagraph headings contained in this Agreement are included solely for convenience and are not intended to modify, explain or to be a full or accurate description of the content thereof and shall not in any way affect the meaning or interpretation of this Agreement.

6.23. Construction. The parties have participated jointly in the negotiation and drafting of this Agreement and have had an adequate opportunity to review each and every provision of the Agreement and submit the same to counsel or other consultants for review and comment. In the event an ambiguity or question of intent or interpretation arises with respect to this Agreement, this Agreement shall be construed as if drafted jointly by the parties and in accordance with its fair meaning. There shall be no presumption or burden of proof favoring or disfavoring any party by virtue of the authorship of any of the provisions of this Agreement.

6.24. Amendments. Only a writing executed by the parties hereto or their respective successors and assigns may amend this Agreement.

6.25. Waiver. The delay or failure of either party at any time to require performance or compliance by the other of any of its obligations or agreements shall in no way be deemed a waiver of those rights to require such performance or compliance. No waiver of any provision of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the party against whom enforcement of a waiver is sought. The waiver of any right or remedy in respect to any occurrence or event shall not be deemed a waiver of any right or remedy in respect to any other occurrence or event, nor shall any waiver constitute a continuing waiver.

6.26. Severability. If any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable in any circumstance, such determination shall not affect the validity or enforceability of the remaining terms and provisions hereof or of the offending provision in any other circumstance. Notwithstanding the foregoing, if the value of this Agreement, based upon the substantial benefit of the bargain for any party, is materially impaired, which determination made by the presiding court or arbitrator of competent jurisdiction shall be binding, then both parties agree to substitute such provision(s) through good faith negotiations. 1094

6.27. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original. All counterparts shall be construed together and shall constitute one agreement.

6.28. Corporate Authority. The persons executing this Agreement on behalf of the parties hereto warrant that they are duly authorized to execute this Agreement on behalf of said parties and that by doing so the parties hereto are formally bound to the provisions of this Agreement.
