Section1. Purpose
This Exhibit to Resolution No. 24-14 is enacted pursuant to Section 2.04.070(2) of the Cudahy Municipal Code to provide for the compensation of City officers and employees and to conform to the principle of equal pay for equal work. The City Manager will ensure equitable placement within the merit range and annual merit raises based on negotiated agreements and/or administrative policies. Notwithstanding the foregoing, the terms of any individual employment agreement(s) shall control the compensation amounts described in this Salary Plan when determining the salary of individual employees under contract with the City.
Section 2. Basic Compensation Plan
The basic compensation plan for City officers and employees, as of the date of adoption of this Plan is hereby established as set forth in the Addendum, including the following:
1) Hourly Range Table
2) Association Range Table
3) Management/Confidential Range Table
4) Salary Schedule
The Salary Plan shall be referred to as the Salary Schedule which incorporates the allocation of ranges (defined in the range tables) to classifications, which is attached hereto and incorporated herein by reference.
Range tables for the Cudahy Municipal Employees’ Association include five (5) steps with approximately 5% between steps.
Range tables for Management/Confidential/Department Directors include five (5) steps with approximately 5% between steps.
Range tables for Hourly employees consist of one (1) to three (3) steps with approximately 5% between steps.
Range tables for City Council Member and City Manager have one step (flat rate).
Section 3. Pay Philosophy
The City Council establishes a pay philosophy that the base pay of all positions shall be ideally set at the median pay provided by comparable cities of similar size, budget, staff, and 34 4
geographic area, based on the City’s financial ability to pay. Merit increases provide for annual pay increases annually for demonstrated positive work performance as documented on annual performance evaluations. Annual merit increases should generally follow one step increase per year until the final step. Any increases beyond one must be approved by the City Manager.
Section 4. Plan Maintenance
Increases to the Range tables and applied to the Salary Schedule are adopted and approved by the City Council via Resolution to amend the Salary Plan.
Such recommended increases are negotiated between the City and the Cudahy Miscellaneous Employees’ Association. The City Council may further take appropriate action to extend such increases to unrepresented Management/Confidential Employees, Appointed Officials including the City Clerk, City Treasurer, and City Manager, and positions appointed by the City Manager.
These actions help preserve appropriate compensation and prevent salary compression.
In addition to negotiated increases, the City may take steps to maintain the Salary Plan by conducting regularly scheduled salary reviews and/or intermittent salary reviews as determined by changes in the labor market, and the need to compete for talent and/or retain current employees.
Section 5. Additional Approved Increasesin Compensation and Changesto the Salary and Classification Plans
Miscellaneous Employees – (Cudahy Miscellaneous Employee’s Association)23 All members shall receive:
• A 3% increase to their base rate effective July 1, 2022; and • A 2.5% increase to their base rate effective July 1, 2023; and • A 2.5% increase to their base rate effective July 1, 2024.

Further, Arauz and Iglesias shall not, during the term of this Agreement, individually, as partners, joint venture, officers or shareholders, invest or participate in any business venture conducting business in the City of Cudahy (except for stock ownership in any company whose capital stock is publicly held and regularly traded) without prior approval of the City Council.
3.3 For and during the Term of this Agreement, Arauz and Iglesias further agree, except for a personal residence or residential property acquired or held for future use as Arauz and Iglesias’ personal residence, not to invest in any other real estate property improvements within the City without the prior consent of the City Council.
3.4 Arauz and Iglesias shall also comply with the conflict of interest provisions of the California Government Code and any conflict of interest code applicable to Arauz and Iglesias’ City employment. Such compliance includes submitting to the City Clerk a Form 700 Statement of Economic Interest at the time of appointment, annually thereafter, and at the time of separation from the position.
3.5 In the case that Arauz and Iglesias become permanently disabled or is otherwise unable to perform their duties without reasonable accommodations because of sickness, accident, injury, mental incapacity, or health for a period of two consecutive weeks, the City Council shall have the option to terminate this Agreement and no severance shall be entitled to Arauz and Iglesias.
3.6 Arauz and Iglesias agree to comply with all applicable ethical standards having the force of state law.
IV.
COMPENSATION AND EXPENSES
4.1 The City shall provide the Co-Interim City Managers with the compensation and benefits as specified in Section 5 (Salary and Benefits) of this Agreement. 4 4.2 General Expenses. City recognizes that Arauz and Iglesias may incur certain expenses of a non-personal and job-related nature. Accordingly, the City shall pay for or provide Arauz and Iglesias reimbursement for all actual and necessary business expenses, as approved by the City Council. Arauz and Iglesias shall submit request for reimbursement to the City Council prior to the expense being incurred. Failure to submit expenses prior to incurring them shall result in an immediate denial of the reimbursement. Such expenses shall be incurred, submitted, and reimbursed in compliance with any applicable limitations or restrictions under California state law, as well as any City-approved travel and reimbursement policies as the same may be amended from time to time by the City Council. All expenses must be supported by documentation meeting City's normal requirements and must be submitted within any time limits established by City.
V.

5.1 RATE OF PAY. For all services performed by Arauz and Iglesias as Co-Interim City Manager under this Agreement, City shall pay Arauz and Iglesias a total of FIVE THOUSAND DOLLARS ($5,000) (“Salary”). Arauz and Iglesias' compensation is for all hours worked and for all services under this Agreement, including those as Executive Directors or involving any other position, office or appointment associated with the City. Arauz and Iglesias shall be exempt from the overtime pay provisions of California law (if any) and federal law.

VII.
AT-WILL EMPLOYMENT RELATIONSHIP
7.1 Consistent with California Government Code Section 36506, Arauz and Iglesias are "at-will" employees and serve at the pleasure of the City Council. Nothing in this Agreement shall prevent, limit, or otherwise interfere with the right of City to terminate this Agreement and the employment of Arauz and Iglesias and/or remove Arauz and Iglesias as Co-Interim City Manager for convenience and without cause, upon written notice. Upon termination, the employment relationship shall end, and City shall pay Arauz and Iglesias for all services through the effective date of termination. Arauz and Iglesias acknowledge and agree that Arauz and Iglesias shall have no right to any additional compensation or payment, except as provided in Section 11, Severance, below.
7.2 The foregoing notwithstanding, nothing in this subsection shall be construed to prevent the City Council, under such circumstance, from immediately terminating this Agreement and Arauz and Iglesias’ employment with the City at any time for cause as provided under Section 8 (Termination) of this Agreement, below.
7.3 Nothing in this Agreement shall prevent, limit, or otherwise interfere with the right of Arauz and Iglesias to resign from Arauz and Iglesias’ employment with City, subject only to Arauz and Iglesias providing ten (10) calendar days prior written notice to the City Council, unless the Parties mutually agree to waive or alter the time required for such notice. If either Arauz or Iglesias voluntarily resign their position as Co-Interim City Manager, they shall not be entitled to any severance payment.
VIII.

However, this Agreement may be terminated immediately if necessitated by changes to CalPERS statutory or regulatory requirements.
8.2 BY ARAUZ OR IGLESIAS. This Agreement may be terminated by Arauz or Iglesias for any reason twenty (20) days after providing written notice to City of 6 such termination.
