SECONDAMENDMENT TO EMPLOYMENT AGREEMENTFORCITY ATTORNEY This SecondAmendmentto EmploymentAgreement (the “Agreement”) is madeandentered into this20thdayof July, 2022, by andbetweentheCITY OFCUPERTINO, STATE OFCALIFORNIA, A Municipal Corporation, by andthroughits City Council (“EMPLOYER”), andChristopherD. Jensen EMPLOYEE” and, togetherwith EMPLOYER, the “PARTIES”).
RECITALS:
A. EMPLOYERis aMunicipal Corporationof theStateof California.
B. TheCity Councilof theCity of Cupertino, in accordancewith theprovisionsof its Municipal Code, desiresto employtheservicesof EMPLOYEEasCity Attorney.
C. EMPLOYEEdesiresto acceptemploymentasCupertinoCity Attorney.
D. It is thedesireof bothEMPLOYERandEMPLOYEEto setforth thetermsand conditionsof saidemployment.
E. ThePARTIESnowwish to amendtheAgreementwith this SecondAmendmentto Agreement.
NOW THEREFORE, in considerationof themutualcovenantshereincontained, theparties agreeasfollows:
ARTICLE III: COMPENSATION
Section3.01. Compensation:
1. EMPLOYER agreesto pay to EMPLOYEE for servicesrenderedby him pursuantto this Contractan annualbasesalaryof $280,000, payablein installmentsat the time as otheremployeesof EMPLOYERarepaid.
2. All othertermsandconditionsof theAgreementandanyamendmentsshallbeunchangedand remainin full forceandeffect.
IN WITNESSWHEREOF, EMPLOYERhascausedthisAgreementto besignedandexecutedin its behalfby its Mayor, andduly attestedby its City Clerk, andEMPLOYEEhassignedandexecutedthis Contract, bothin duplicate, to beeffectivethedayandyearfirst abovewritten.
