EXECUTIVE SUMMARY
The City/District commenced an open recruitment to permanently fill the City/District Manager position.
The City/District will need to conduct a second recruitment process to permanently fill the City/District Manager position, which continues to be vacant. During this recruitment period, the City/District has an immediate need for an Interim City/District Manager who can provide the specialized skills and experience, which is critically necessary to the on-going duties and functions of the City/EMID District. The recruitment for this position is 453

While this recruitment for a permanent City/District Manager is being conducted, it is requested that the City Council/Board consider appointing the current Finance Director, Edmund Suen to serve as Interim City/District Manager.
BACKGROUND/ANALYSIS
Mr. Suen is the current Finance Director/City Treasurer for the City of Foster City, having been with the organization since 2014, and having served as a Certified Public Accountant in municipal government for over 15 years. During Mr. Suen’s tenure, he has upheld the City/District’s track record for fiscal prudence and responsibility, as demonstrated by the Certificate of Achievement for Excellence in Financial Reporting being awarded for the 28th consecutive year from the Government Finance Officers Association (GFOA). Mr. Suen has identified and implemented strategic solutions for revenue shortfalls, made process improvements to reduce cycle time and operating costs, developed short- and long-term fiscal analysis and cost- benefit analysis, evaluated policies and procedures, and supported professional development and cross-training of staff. Mr. Suen is recognized for this commitment to building a fiscally sustainable organization, driven by effective leadership based on trust derived from professionalism, empowerment, ownership, and accountability.
By approval of the attached resolutions, Edmund Suen would be appointed Interim City/District Manager and would commence those duties on April 18, 2022, to serve in that capacity until a new City/District Manager is hired or unless otherwise terminated as provided in the Employment Agreement.
CONCLUSION
By approval of the attached resolution, Edmund Suen would be appointed Interim City/District Manager; serving in that capacity until a new City/District Manager is appointed by the City Council/District Board.

The Employment Agreement provides that Mr. Suen would be entitled to total 454
amount of $20,367 per month while he serves as Interim City/District Manager. Mr. Suen would also be entitled to his regular benefits that he is entitled to as a Finance Director pursuant to the Compensation and Benefits Plan for Foster City/EMID Management Employees dated July 1, 2021. The Employment Agreement also provides that Mr. Suen would be entitled to any cost of living adjustments provided to all existing Executive Management positions, including the City Manager position on or after July 1st that are implemented during the term of this Agreement while Suen is performing duties as Interim City/District Manager.

7.14 Acknowledgment. Suen acknowledges that he has had the opportunity to consult legal counsel in regard to this Agreement, that he has read and understands this Agreement, that he is fully aware of its legal effect, and that he has entered into it freely and voluntarily and based on his own judgment and not on any representations or promises other than those contained in this Agreement.
7.15 AB 1344. Assembly Bill 1344, which was subsequently enacted as Government Code Sections 53243 - 53244, sought to provide greater transparency in local government and institute certain limitations on compensation paid to local government executives. These statutes, generally require that certain contracts between local agencies and its employees include 467
provisions requiring an employee who is convicted of a crime involving an abuse of his office or position to provide reimbursement to the local agency for the certain forms of payment, including but not limited to the following: (i) criminal defense costs; (ii) cash settlement payments; and (iii) any non-contractual settlement payments. Accordingly, the Parties agree that it is their mutual intent to fully comply with these Government Code sections and all other applicable law as it exists as of the date of execution of this Agreement and as such laws may be amended from time to time thereafter. Specifically, the following Government Code sections are called out and hereby incorporated by this Agreement:
§ 53243.1. Reimbursement of legal criminal defense upon conviction of crime involving office or position.
§ 53243.2. Reimbursement of cash settlement upon conviction of crime involving office or position.
§ 53243.3. Reimbursement of non-contractual payments upon conviction or crime involving office or position.
§ 53243.4. “Abuse of office or position” defined.
7.16 Effect of Conviction on Termination. If Suen is convicted of a crime involving an abuse of his office or position, as defined in Government Code section 53243.4, the following restrictions will apply: (i) any paid leave given to Suen pending an investigation shall be fully reimbursed to City/District, (ii) any funds expended by City/District for the legal criminal defense of Suen shall be fully reimbursed to City/District, (iii) any cash settlement paid to Suen shall be fully reimbursed. Upon conviction of a covered felony under Government Code sections 7522.72 or 7522.74, Suen may forfeit the benefits in accordance with those sections.
7.17 Execution of Agreement. This Agreement may be signed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Agreement may be signed electronically in accordance with the City’s/District’s policy regarding electronic signatures.
