Section 16. Representations, Warranties, and Covenants of Developer. Developer makes the following representations, warranties and covenants for the benefit of City as of the date hereof:
(a) Organization. Developer represents and warrants that Developer is a California limited partnership duly organized and validly existing under the laws of the State of California, is in good standing under the laws of the State, and has the power and authority to own its properties and assets and to carry on its business as now being conducted and as now contemplated.
(b) Authority. Developer represents and warrants that Developer has the power and authority to enter into this Agreement and that once this Agreement has been executed and delivered to City that this Agreement has been duly and validly executed and delivered on behalf of Developer.
(c) Binding Obligation. Developer represents and warrants that this Agreement is a valid and binding obligation of Developer and is enforceable against Developer in accordance with its terms, subject to bankruptcy, insolvency, reorganization or other similar laws affecting the enforcement of creditors' rights in general and by general equity principles. (d) Completion of Improvements. Developer covenants that it will use commercially reasonable efforts to cause the Improvements to be completed in accordance with this Agreement.
(e) Compliance with Laws. Developer covenants that, while the Improvements are owned by Developer or required pursuant to this Agreement to be maintained by Developer, it will not commit, suffer or permit any of its agents, employees or contractors to commit any act to be done in, upon or to the Improvements in violation in any material respect of any law, ordinance, rule, regulation or order of any governmental authority or any covenant, condition or restriction now or hereafter affecting the Property or the Improvements.

by reason of, arising out of or in consequence of (a) the construction or installation of the Improvements; (b) the untruth or inaccuracy of any representation or warranty made by Developer in this Agreement or in any certifications delivered by Developer hereunder; (c) Developer's failure to perform the construction of the Improvements or to convey the Improvements to the City in accordance with the requirements of this Agreement; or (d) any act or omission of Developer or any of its contractors or subcontractors or their respective officers, employees or agents, in connection with the Improvements. If Developer fails to do so, City shall have the right, but not the obligation, to defend the same and charge all of the direct and incidental costs of such defense, including any attorneys' fees or court costs, to and recover the same from Developer. Such indemnity shall not extend to any loss resulting from the City’s breach of this Agreement or from the City’s negligence or willful misconduct. The indemnity in this section shall not supersede or replace any other indemnity obligation by Developer to City.
Section 18. Developer as a Private Developer. In performing under this Agreement, it is mutually understood that Developer is acting as a private developer and not as an agent of City. City shall have no responsibility for payment to any contractor, subcontractor or supplier of Developer. Accordingly, this Agreement does not constitute a debt or liability of City. City shall not be obligated to advance or otherwise expend any of its own funds or pay any costs incurred in connection with the Project. Moreover, no official, employee or agent of City shall be personally liable to Developer, or any successor in interest, in the event of any default or breach by City or for any amount which may become due to Developer or its successors or on any obligations under the terms of this Agreement.
Section 19. Right-of-Way.
(a) Should any right-of-way be necessary for the construction and maintenance of the Improvements across real property owned by Developer, or its successors or assigns, Developer shall dedicate such right-of-way to the City, or its designee, at no cost to the City on a form reasonably acceptable to City. If for purposes of construction of any of the Improvements, an interest in, including without limitation, a right-of-way or easement, is required across real property not owned by Developer (“Required ROW”), Developer’s only responsibility to bond for and construct such Components of the Improvements shall be as set forth in this Section. Developer shall use commercially reasonable efforts to acquire the Required ROW from the then-current owners at a reasonable cost. If Developer is unable to acquire all or any portion of the Required ROW, Developer shall notify the City in writing (“ROW Notice”) that it is unable to acquire such property or entry rights. As to any Required ROW, the City shall have a six (6) month period from its receipt of the ROW Notice in which to determine, in its sole discretion, whether to acquire the Required ROW through exercise of its powers of eminent domain.
Evidence of its determination to exercise such powers shall be in the form of a resolution of necessity adopted by the City Council (“Resolution of Necessity”). (b) Nothing in this Agreement shall impose any requirement upon the City to acquire the Required ROW; however, if the City Council fails to approve a Resolution of Necessity to acquire the Required ROW within six (6) months of receipt of the ROW Notice, then in accordance with the provisions of Government Code Section 66462.5(b), the obligation of Developer to construct Improvements otherwise required to be constructed by this Agreement thereon shall be waived, and City shall promptly release the Security Instruments to the extent Item #11. securing Improvements otherwise required to be performed upon the Required ROW. If the City does consider and adopt a Resolution of Necessity and diligently pursues acquisition of any Required ROW, Developer shall be required to fund all costs incurred by the City in connection with the acquisition of the Required ROW and, if the Required ROW is obtained, Developer will fulfill its obligation to construct the Improvements upon the Required ROW and the Security Instruments with respect to such Components of the Improvements to be constructed thereon shall remain in effect for a period of three years from the date of the Resolution of Necessity in the amount of the Estimated Cost to complete such Improvements upon the Required ROW. (c) If at the expiration of the three (3) year period (a) the City has not acquired the Required ROW and the City is not then involved in litigation to acquire the Required ROW or (b) the City has determined not to pursue or has ceased to diligently pursue the action authorized by the Resolution of Necessity, then in accordance with the provisions of Government Code Section 66462.5, the obligation of Developer to construct Improvements otherwise required to be constructed by this Agreement thereon shall be waived, and City shall promptly release the Security Instruments to the extent securing Components of the Improvements otherwise required to be performed upon such Required ROW.

(b) Phasing Requirements for the Improvements. City reserves the right to control and regulate the phasing of completion of specific portions of the Improvements as required to comply with applicable City ordinances, regulations, and rules relating to the timely provision of public services and facilities.
Section 22. Default.

(c) City Right to Perform Work. In addition to whatever other rights or remedies it may have for Developer's default hereunder, in the event Developer shall fail to timely perform any work required to be performed under this Agreement and such failure shall continue for the period of time specified in Section 22(b), City shall have the right to enter into the Property and perform any of the uncompleted work by force account or contract or both and thereupon recover from Developer or any Security Instrument, or both, the full reasonable cost and expense thereby incurred by City.
(d) Attorney's Fees and Costs. In the event that Developer fails to perform any obligation under this Agreement, Developer agrees to pay all reasonable costs and expenses incurred by City in securing performance of such obligations, including reasonable costs of suit and reasonable attorney's fees. In the event of any dispute arising out of Developer's performance of its obligations under this Agreement or under any of the Security Instruments referenced herein, the prevailing Party in such action, in addition to any other relief which may be granted, shall be entitled to recover its reasonable attorney's fees and costs. Such attorney's fees and cost shall include fees and costs on any appeal, and in addition a Party entitled to attorney's fees and costs shall be entitled to all other reasonable costs incurred in investigating such action, taking depositions and discovery, retaining expert witnesses, and all other necessary and related reasonable costs with respect to the litigation. All such fees and costs shall be deemed to have accrued on commencement of the action and shall be enforceable whether or not the action is prosecuted to judgment.

STAFF REPORT
TO: MAYOR AND COUNCIL MEMBERS DATE: JULY 12, 2022
FROM: COMMUNITY DEVELOPMENT DISTRICT(S): CITYWIDE
SUBJECT: A REPORT TO THE CITY COUNCIL ON PUBLIC ART (THOMPSON AND ALLAWOS)
RECOMMENDATION
That the City Council:
1. Receive report on public art and provide direction to staff.
EXECUTIVE SUMMARY
On May 25, 2022, the City Council requested a report on Glendora’s policies and practices regarding public art. Councilmember Thompson made the request, seconded by Councilmember Allawos.
Public art includes visual art displayed on private and public property. Types of public art include murals, statues, and other artistic displays. Artistic representations may be located on building exteriors, public plazas, and the public right-of-way. Examples of public art in Glendora are located on public and private property.
LEGISLATIVE HISTORY / PREVIOUS ACTIONS
Staff finds several references to art and public art in the Glendora Municipal Code. Public art is mentioned in the Route 66 Specific Plan, the Arrow Highway Specific Plan, and the Civic Center Area Plan (CCAP).
The CCAP covers the Glendora Village. Public art in Glendora is found at several commercial and residential project sites. Additionally, private parties have created murals and other art at various locations in the community.
DISCUSSION
Public art relates to expressions of community identity, culture, history, and ideas. It expresses human activity, creativity, talent, and imagination. Public art creates points of interest in public spaces, adds meaning, and expresses the unique qualities of the community. Public art is supported and encouraged by organizations including the California Arts Council, Americans for the Arts, and Public Art in Public Places.
These organizations promote the arts as important part of creating vibrant and creative communities.
In many cities, prominent public art is synonymous with its location. There are famous examples of public art including the Statue of Liberty in New York City, Cloud Gate in Chicago, and the LOVE statue in Philadelphia. Glendora has several examples of art in public places that reflect the community’s culture and character. These include the “field of valor” flag display, public art planned at the future Gold (“L”) Line Station, and tile paintings and murals at various locations in the community.
Public art in Glendora usually reflects the City’s heritage, natural hillsides, or “Pride of the Foothills” motto.
There are murals in the Village, tile art reflecting Glendora’s history as a major citrus producer and natural hillsides. There are also signs and markers incorporating artistic qualities at several locations.

Staff Report Page 2 of 4
The Glendora Municipal Code (GMC) contains only a few references to public art. The references support the inclusion of public art with new development. Both the Route 66 and Arrow Highway Specific Plans include language that encourages public art. Below are two examples of references to public art. Route 66 Specific Plan – Design Guidelines (GMC 21.10.230.B.3.d) “Blank building façades along side property lines are strongly discouraged as they diminish the visual quality of contiguous properties as well as the Route 66 Corridor specific plan area. To optimize the quality of side property line facing building façades, including firewalls and parapet walls for zero lot-line construction, project applicants are strongly encouraged to include one or more of the following elements in architectural design plans:
(A) Public art (e.g., murals, wall mounted sculptures, etc.); (B) Architectural details;
(C) Architectural lighting;
(D) Landscaping (e.g., vines).”
Arrow Highway Specific Plan - Commercial Core Mixed-Use (MU-CC) (2-24) “The Commercial Core Mixed-Use zone will create a vibrant commercial focus for the “commercial node” with a nearby residential community to support it. The MU-CC zone allows for an intensification of commercial uses within both a mixed-use and stand-alone setting. High density residential is allowed in a mixed-use setting and as a stand-alone use. Development within the zone shall include public amenities such as outdoor seating areas, plazas, and/or public art. The MU-CC zone applies to properties both east and west of the Bonnie Cove Avenue/Arrow Highway intersection.”
Note that the examples above reflect policy direction encouraging the incorporation of public art into commercial and residential development. Both the Route 66 and Arrow Highway Specific Plans provide policy direction to follow and encourage when considering new development applications. The development of large commercial shopping centers and residential projects are, however, rare occurrences in Glendora as most development involves smaller infill projects. New commercial development typically involves additions to an existing center and new residential development is often less than ten units. Consequently, opportunities for public art are infrequent.
Guidance on the form and content of public art is limited to a few code references. In cases where staff evaluates and provides recommendations form and content default to two themes: 1) the citrus industry and 2) the City’s “pride of the foothills” motto. Images of the citrus industry recall Glendora’s agricultural period before 1950. Images of orange crate labels have been used in commercial and residential development for ornamentation. Most recently, an orange crate label was added to the design of a cellular communications tower. Because public art is often affixed to a building, it is designed so that the art is most visible from parking lots and streets where the art may be seen from a vehicle.
Compared with policies covering other areas of the City, guidance and regulation for the Village is more specific. Public art may be viewed while walking or driving through the Village. There are murals and other artistic expressions at several locations. Below is an excerpt from the GMC, which describes standards and a process for the City to review and approve murals in the Village.
Item #12. Page 2

Staff Report Page 3 of 4
19.24.075 CCAP zone sign standards.
“(k) Murals.
(1) Murals are permitted in designated subdistricts with a two-step approval process by the historic preservation committee and planning commission. (2) Murals shall only be permitted on side walls of buildings. No murals shall be allowed on building frontage along Glendora Avenue.
(3) Murals shall not exceed eighty percent of the length or height of a wall and shall not extend to the edges of the wall or architectural features on the wall. Murals shall not be counted toward the number of allowable signs per business tenant or as part of the maximum allowable sign area. (4) Murals shall have a Glendora historic or community theme (e.g., hillside scene, notable buildings or locations) or express the city’s “Pride of the Foothills” motto. Murals shall not include any signage, language or imagery pertaining to a specific business, commercial product or service.”
The section covering art in the Village provides the only specific process for regulating public art in the municipal code. Other references in the municipal code encourage art as a matter of policy, but not in the form of a regulatory process. City oversight of public art typically occurs as part of new development application.
Based on policy and community sentiment, staff encourages the use of public art and content that reflects the community’s history, “Pride of the Foothills” motto, and the expression of natural features such as the foothills and surroundings. Other topics for art include the built environment such as illustrating notable buildings in the City, expressions of community character, or other themes that may be explored in the application of public art.
Compared with Glendora’s policy and practices on public art, other communities have adopted comprehensive programs to encourage art in their communities. For example, the cities of Claremont and Monrovia have public art programs that require the inclusion of art in new development, and support art exhibitions and cultural pursuits in their communities. The City of Claremont has a Public Art Committee established in 2015 to oversee a “public art master plan.” If the City Council desires to take a more active approach to promote public art, options to explore may include:
1. Make public art a requirement of new development throughout the community.
2. Create a public art master plan to support broad goals including standards for public art, art exhibitions, and cultural pursuits in public spaces.
3. Explore the feasibility of creating a public art fund.
Each of the options listed above is intended to include community engagement and consultation with the city commissions and boards.
FISCAL IMPACT
There is no fiscal impact, other than staff time, related to the preparation of this report.

STAFF REPORT
TO: MAYOR AND COUNCIL MEMBERS DATE: JULY 12, 2022
FROM: WATER DIVISION DISTRICTS: CITYWIDE
SUBJECT: AWARD A CONTRACT AGREEMENT TO SEDARU, INC. TO PROVIDE
PROFESSIONAL SERVICES FOR A WATER SYSTEM MANAGEMENT
SOFTWARE AND IMPLEMENTATION IN THE AMOUNT OF $142,569.90 (STRATEGIC PLAN ITEM 47‐IMCIF)
RECOMMENDATION:
That the City Council:
1. Award a contract agreement to Sedaru, Inc. to provide professional services for a water system management software and implementation in the amount of $129,609 with a 10% contingency in the amount of $12,960.9 for a total amount of $142,569.90; and
2. Authorize the City Manager or his designee to execute the agreement with Sedaru, Inc. and extensions including minimal and/or non-substantive changes.
EXECUTIVE SUMMARY
The City of Glendora’s water utility maintenance and operations are overseen by the Public Works Department’s Water Division. Staff are tasked with maintaining and operating the water distribution system to ensure high quality water services are adequately provided to the City’s residents and businesses. Additionally, staff must comply with the necessary state and regional compliance and reporting requirements.
The current means of managing these maintenance and operations tasks is inadequate and leaves the City at risk of costly equipment failure and enforcement penalties from regulatory authorities. Staff currently utilizes manual means of scheduling, tracking and completing maintenance and operational tasks. The nature of these manual processes consumes vast amounts of labor hours to complete simple tasks. The manual processes also invite natural human error, which poses risks to missed maintenance activities and subsequent capital expenditures.
Staff began exploring available software technologies and assessing software services that has been or is currently being used by other similarly sized municipalities. Potential vendors were evaluated on qualifications, past performance of similar work, the ability to provide services, and proposed costs. Based on Sedaru’s software performance history of providing high level software capability and support services to other utility agencies, they were deemed qualified to perform the work under this contract. Additionally, staff performed a survey of similarly sized municipalities that are currently utilizing Sedaru’s water system management software services, including the Cites of Whittier, Redlands and the Town of Apple Valley. The results of the survey provided a great review with an average overall rating of 9 out of 10 with 10 being outstanding. Glendora’s Water Division requires software that can adequately manage utility assets and work orders.
Item #13. Page 1
Meeting Date: 7/12/2022 / Packet Page #: 312
LEGISLATIVE HISTORY / PREVIOUS ACTIONS
Per Glendora Municipal Code (GMC) Section 2.40.050(4), “Purchases made at contract prices awarded by federal or state governments or by any political subdivision thereof or pursuant to cooperative purchasing agreement are exempt” from the City’s informal purchasing procedures (GMC Section 2.40.070) and formal contract procedures (Section 2.40.080). This exemption allows the City to reduce administrative costs, work more efficiently, and be more responsive to City department needs while adhering to public bidding process provisions set forth in the GMC.
DISCUSSION
A utility system management software widely known as Geographic Information Systems (GIS) provides data management tools that utilize geographic data to create meaningful information from which creative solutions can be derived, making the best use of limited staff and financial resources. From those proposed solutions, City departments can make confident, data-driven decisions and recommendations. With the use of GIS, the Water Division can attain a certain level of precision of the location of their infrastructure in repairs and construction. This initiative will bring the City one step closer to building a foundation for a centralized GIS system that will allow members of every City department to access GIS data and tools. An interconnected GIS will allow departments to share data sets, reduce repetition and assist department staff in managing resources, assets, and service to citizens effectively and efficiently. Additionally, GIS can foster better communication and understanding of the City’s resources to City personnel, other government agencies, and to the public.
Glendora’s Water Division requires software that can adequately manage utility assets and work orders. Sedaru has been providing utility agencies with system management software since 2003. With 175 customers in California and over 1,000 customers worldwide, including the United States Geological Survey (USGS). Sedaru is a proven provider of best-in-class software designed to manage various aspects of water utility operations.
Sedaru has worked with City staff over the course of the past year to develop an extensive understanding of the City’s business needs for water utility asset maintenance and operations.
Sedaru ’s proven experience with hundreds of local municipalities and the company’s positive track record position Sedaru as a beneficial software partner to the City.
The Glendora Municipal Code 2.40.050 allows the City to waive formal contract procedures on another governmental agency’s competitively bid award (cooperative agreement) when purchases are made at the same bid price or better. Sedaru has expressed a willingness to extend the subscription pricing for their Sedaru OMNI software from two separate publicly bid and awarded contracts with the City of Glendora for cooperative procurement purposes. Such a cooperative agreement will allow the City to receive about the same or better competitive price by using City of Redlands competitive bid process that was completed in June, 2021.
After analyzing the pricing of both City of Redland and Town of Apple Valley Utilities (Table 1), staff recommends entering into an agreement with Sedaru based upon the City of Redlands competitively bid contract. To determine this, staff analyzed the scope of the projects to ensure comparability and calculated the recurring annual fee for each named user. Staff found that the per user pricing for the City of Redlands is more cost effective than that of the Town of Apple Valley’s pricing.

The City of Redlands issued a Request for Proposal (RFP) for Water Distribution/Production Asset Management System and Service in February 2021(Attachment A). Sedaru was determined to be the most qualified bidder and submitted a competitively priced proposal. The City of Redlands thus voted to award the bid to Sedaru at their June 21, 2021 City Council Meeting. An agreement was then entered into by Sedaru and the City of Redlands.
FISCAL IMPACT
Sufficient funding in the amount of $181,500 for this project was included in the Fiscal Year 2021- 22 Mid-Cycle Budget in the Water CIP (Fund 530) and will be carried-forward into Fiscal Year 2022-23.

STAFF REPORT
TO: MAYOR AND COUNCIL MEMBERS DATE: JULY 12, 2022
FROM: PUBLIC WORKS DISTRICT(S): CITYWIDE
SUBJECT: APPROVE AN EXPENDITURE IN THE AMOUNT OF $ 213,000 WITH LOS ANGELES
COUNTY PUBLIC WORKS FOR THE COUNTY TO MAINTAIN CITY OWNED TRAFFIC SIGNALS MAINTENANCE (STRATEGIC PLAN NO. 49-IMCIF)
RECOMMENDATION
That the City Council:
1. Approve an expenditure in the amount of $213,000 with Los Angeles County Public Works to maintain all City-owned traffic signals under the County’s Operational Services Division Traffic Signal Maintenance Services Program.
EXECUTIVE SUMMARY
The City of Glendora is responsible for maintaining 53 traffic signals citywide. There are 9 shared traffic signals on the City boundaries which are currently being maintained by LA County Public Works, under the County’s Operational Services Division Traffic Signal Maintenances Services Program (LACPW-OSD). In addition, there are five traffic signals at freeway on and off ramps that are maintained by Caltrans.
Bear Electrical Services is the City’s current contractor for the traffic signal maintenance. Their agreement expired on June 30, 2022, after serving the City for six years. Public Works conducted research and determined that contracting the services of LACPW-OSD will provide the most comprehensive and efficient services for the City.
LEGISLATIVE HISTORY / PREVIOUS ACTIONS
The contract for the citywide traffic signal maintenance was awarded to Bear Electrical Services by the City Council on August 09, 2016, for a maximum six-year term.
LACPW-OSD maintains nine shared traffic signals along Arrow Highway and Barranca Avenue under an agreement for traffic signal maintenance (Attachment A).
DISCUSSION
There are 67 signalized intersections within the City of Glendora. The City of Glendora is responsible for maintenance of 52 of these signalized intersections. There are nine shared traffic signals on the City boundaries along Arrow Highway and Barranca Avenue, which are currently maintained by LA County Public Works under LACPW-OSD. The City shares one signal with the City of San Dimas, which is maintained by City of San Dimas, with Glendora paying 50% of the maintenance costs. The remaining five traffic signals are located at freeway ramps and are maintained by Caltrans, at no cost to the City.
With Foothill Gold Line (FGL) railroad extension through the City, FGL is installing three traffic signals to mitigate traffic congestion and improve traffic circulation. Two of the traffic signals, one on Glendora Avenue at the railroad crossing, and the other at the Vermont Avenue and Ada Avenue intersection, will become operational following the completion of Foothill Gold Line (FGL). An additional traffic signal at the Elwood Avenue and Foothill Boulevard intersection is in the design phase. Once the FGL traffic signals Item #14. Page 1

are operational, the City will take over the ownership and will be maintained under LACPW-OSD.
Traffic Signal Locations
LACPW-OSD traffic signal maintenance is comprised of two components: routine maintenance and extraordinary maintenance. Routine maintenance is performed to eliminate or reduce the incidences of malfunctions, reduce operational complaints, and extend the useful life of traffic signal systems and equipment.
Extraordinary maintenance involves the replacement of equipment damaged by acts of nature, civil disorder, vehicle collisions or vandalism. Such replacements may also stem from obsolescence or other unusual factors.
Generally, extraordinary maintenance includes all labor and materials necessary to ensure the safety and efficient operation of the traffic signals and highway lighting systems.
Bear Electrical Services has been providing traffic signal maintenance for the last six years. Their contract agreement expired on June 30, 2022.
Glendora has been participating in the LACPW-OSD for decades. Engineering staff is satisfied with the services provided by LACPW-OSD, which is at a high professional level. At the City’s request, LACPWOSD presented a proposal in June 2021 (Attachment B). In the proposal, LACPW-OSD provided the list of the cities served by them. The City contacted representatives from neighboring cities of Duarte, Industry and Walnut, who all are satisfied with the LACPW-OSD services.
Following the proposal, LACPW-OSD required that they perform a citywide traffic signal assessment of the condition of our traffic signal infrastructure, and what initial repairs and replacements are needed before LACPW-OSD will start providing services. The City had LACPW-OSD conduct the citywide traffic signal assessment in October 2021 in the amount of $12,083. Based on the assessment study, LACPWOSD submitted a list of deficiencies and repair recommendations for the 53 traffic signal locations (Attachment C). The estimated cost for repairs is $49,600. Staff requested appropriation of $60,000 during Item #14. Page 2

Staff Report Page 3 of 4
mid-year FY 2022 budget adjustment. The requested amount includes 20% contingency for unforeseen circumstances.
LACPW-OSD is well equipped to perform the traffic signal maintenance for the City of Glendora. They have a large labor force that is available for service 24 hours, 7 days a week, including holidays, without overtime fees. They have experienced technicians that maintain County-owned traffic signals across the county and perform citywide maintenance for 16 cities, including City of Duarte, City of Industry, City of Walnut and Temple City. They will keep the City updated on maintenance performed during their periodic maintenance inspections. City employees will have less oversight of trouble shooting traffic signals. The rates are competitive in today’s market.
Per GMC Section 2.40.050(4), “Purchases made at contract prices awarded by federal or state governments or by any political subdivision thereof or pursuant to a cooperative purchasing agreement” are exempt from the City’s informal purchasing procedures (GMC Sections 2.40.070) and formal contract procedures (Section 2.40.080). This exemption allows the City to reduce administrative costs, work more efficiently, and be more responsive to City needs while adhering to public bidding process provisions as set forth in the GMC and the California Public Contract Code.
Table 1 shows Bear Electrical Maintenance cost for the last five years. Over five years, average yearly maintenance cost was $121,000. The extraordinary costs include all the unforeseen traffic signal malfunctions and damages resulting from traffic collisions. The City is able to recover some costs if the driver and/or insurance is obtained.

FISCAL IMPACT
Staff is requesting an expenditure to LA County Public Works, under the LACPW-OSD program for onetime traffic signal repairs in the amount of $60,000 to address the immediate traffic signal deficiencies needed for LA County Public Works to begin LACPW-OSD program. This was approved during mid-year FY 2022 budget adjustments and will be carried forward to Fiscal Year 2022-23.
Fiscal Year 2022-23 adopted budget has an allocation of $153,000 under Traffic Signal Repair and Maintenance Funds Account 2056562.56400 which is sufficient to cover the yearly maintenance contract amount with LACPW-OSD.
The total cost of work between the immediate traffic signal deficiencies ($60,000) and the estimated yearly maintenance costs ($153,000) is $213,000. It is also important to restate that the estimated cost in yearly maintenance of $15,000 will allow for streamlined repairs, increased hours of availability, and quicker response for the community.

OSD Services Provided
Traffic Signal Maintenance Agreement
OSD provides Traffic Signal Maintenance services that consist of quarterly routine maintenance and extra-ordinary maintenance (EOM) as needed. The level of County response for the City will be identical to that provided at any other County maintained traffic signal, regardless of whether the traffic signal is in unincorporated County area or within a city that contracts for these services. Each visit, EOM or routine, is documented and logged into our Maintenance Management System (MMS) database and is available for the city’s review if requested.
Routine Maintenance is performed in a 2-Tier structure. Tier-1 maintenance is performed by a Traffic Signal Electrician (TSE) once a year and Tier-2 maintenance is done by an Electrical Helper (EH) three times a year. Routine Maintenance is charged with a flat rate of $76.00 per traffic signal per month and $38 per flasher or similar device per month.
These fees are the average monthly costs of routinely maintaining the signals.
EOM is charged on a time and material basis. The services performed under EOM mainly entail responding to call outs generated by PW personnel, other government agencies, or the general public. Also under EOM, as part of our maintenance responsibilities, we provide Underground Service Alert (Dig Alert) responses and marking of traffic signal electric facilities as they are received. When a traffic signal is damaged as a result of a traffic collision incident, a unique job number is generated and all time and material is charged to that number. For notifications received for planned and unplanned power outages, a TSE is dispatched to set up temporary traffic control signs as depicted on the All Black Intersection Policy attached. This is also billed under EOM. The goal for the County response time for any call out is within three hours of receiving the call.
City Service Request
The County also provides special services for pavement markings, striping, sign posting, soffit lighting, and underground street lighting services. These services can be requested by the City under City Service Requests.

ection 21800 (d) (1) of the California Vehicle Code states 'The driver of any vehicle approaching an intersection
which has official traffic control signals that are
i noperative shall stop at the intersection, and may proceed with caution when it is safe to do so.
The intent of this policy is to provide an additional
measure of safety by increasing driver awareness when
intersections which have official traffic control signals become inoperative (all-black).
When an official traffic control signal at an intersection maintained by the Los Angeles County Department of Public Works has become inoperative (all-black)1 the following procedure should be followed:
The traffic signal electrician, upon reaching the
intersection, shall determine the approximate cause and the time needed to correct the traffic signal malfunction.
If the intersection is not under the control of
authorized low enforcement officials (California Highway Patrol, Los Angeles County Sheriff s Department. or City Police Department) and the signal cannot be restored to normal operation within a reasonable time, depending on traffic conditions, the electrician shall:
1. Place the traffic signal operation into a mode
whereby, when the malfunction is repaired. all
vehicular indications will be in the flashing mode and
the pedestrian indications where applicable, will be
black (use the inside flash control for flash
operation).
2. Place stop signs for those legs of the intersection
that. under the flashing mode. will be controlled by a
flashing red indication. The signs should be placed as
follows:
-Stop signs should be placed at the right-hand-side of
the roadway. behind the curb. Where available, the
signs preferably should be mounted on the traffic
signal standard or other pole at a height of
approximately seven feet to the bottom of the sign.
If this is not feasible based on existing field
conditions.the stop sign may be placed on barricades or pedestal mounted stands.
-Additional stop signs. mounted on pedestal or
barricade, should be used to supplement the roadside
signs. They should be located on the barrier line where a left turn pocket exists and on the centerline where
there is no left turn pocket. The signs should be
located as near to the normal stopping position of the
vehicles as possible (i.e. the limit line or back-ofcrosswalk). -For additional information. see Traffic and Lighting
GS 1340R-2 (copy attached).
3. When repairs are completed and the traffic signals
are operable. remove the above mentioned stop signs
prior to changing the signal from flashing to normal
operation.
4. Indicate on the traffic signal trouble report the
locations time and date that the stop signs were
installed and removed.

FAQ’s
1. How soon can services begin?
The City can continue using the CSR website until a Maintenance Agreement is set up between both parties.
2. What is the price for labor after hours?
The costs listed on the Rate Schedule are the prices for labor at any time of the day.
We have staggered crews on duty at all times so there will never be an overtime rate.
3. Does the City need to use County parts?
The City can order their own parts from any provider and have them shipped directly to the County for the County to use to make repairs, which avoids the warehouse fee the County charges.
4. What is the billing period?
Invoices are generated at the end of the 2nd week of every month, except for July and August which are combined on one invoice due to the end of the fiscal year. For example, the May invoice will cover charges from 3/16 – 4/30.
5. Who has access to the controller cabinet?
The County will change the locks on the cabinet once the location is accepted for maintenance. For liability reasons only the County will have access, but the City can call at any time of the day to request access.
6. What if the City has a special project involving the controller cabinet? The County can add a contractor core to the cabinet for the length of the project. Once the project is complete the County will change lock back to a County only lock.
7. What are the steps required to assume maintenance of a traffic signal? The County does a survey of each individual signal noting any deficiencies. The City can hire their own contractor to correct deficiencies at their own cost, or the City can request the County. If the County does the repairs minor corrections can be added to the routine schedule. Major repairs are billed separately from routine or EOM invoices.
8. How long is the contract?
The contract length is open ended. To terminate the County’s services the City needs to notify the County at least 30 days in advance of requested end date.
