RESOLUTION NO. 8492
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HAWTHORNE, CALIFORNIA, PROCLAIMING SEPTEMBER 15, 2024 THROUGH OCTOBER 15, 2024 AS HISPANIC HERITAGE
MONTH IN THE CITY OF HAWTHORNE, CALIFORNIA
RECOMMENDED MOTION:
Staff Recommends that the City Council adopt Resolution No. 8492 DISCUSSION:
National Hispanic Heritage Month (September 15 to October 15) recognizes the contributions made and the important presence of Hispanic and Latino Americans to the United States and celebrates their heritage and culture. September 15 is the starting point for the celebration because it is the anniversary of independence of five Latin American countries: Costa Rica, El Salvador, Guatemala, Honduras and Nicaragua. In addition, Mexico and Chile celebrate their independence days on September 16 and September 18, respectively. In September 1968, Congress authorized President Lyndon B. Johnson to proclaim National Hispanic Heritage Week, observed during the week that included September 15 and September 16. Congress expanded the observance in 1989 to a month long celebration (September 15 through October 15) of the culture and traditions of those who trace their roots to Spain, Mexico and the Spanish-speaking nations of Central America, South America and the Caribbean.
Hispanics have had a profound and positive influence on our country through their strong commitment to family, faith, hard work and service. Hispanics have enhanced and shaped our national character with centuries-old traditions that reflect the multiethnic and multicultural customs of their community. The Hispanic population of the United States currently constitutes
nearly one fifth of the nation's total population making people of Hispanic origin the nation's largest ethnic or racial minority.

AGENDA BILL

City Manager: __________

SUBJECT:
Fire Services Agreement with the Consolidation Fire Protection District of Los Angeles RECOMMENDED MOTION:
Staff Recommends that the City Council receive and file DISCUSSION:
The City Manager will expend up to $20,000 as Hawthorne's pro rata share of a consultant study to determine the feasibility of forming a South Bay Fire Services District. This will be done in collaboration with other prospective cities from the South Bay Region.
The City of Hawthorne, like many cities in the region, has seen a steady increase in the cost of fire protection services provided through its contract with the Los Angeles County Fire Department. The growing financial burden has prompted discussions about the possibility of alternative solutions, including the formation of a regional fire services district. A regional district could potentially provide greater control over costs, improved service delivery, and long-term sustainability for fire services.
In the absence of an agreement between the City of Hawthorne and Los Angeles County Fire regarding controlling costs, it is proposed that the City explore the feasibility of establishing a South Bay Fire Services District. This effort will be done in conjunction with other South Bay cities that share similar concerns regarding the escalating costs of fire services. The collaborative study will assess the legal, financial, and operational aspects of forming a joint district and determine whether this option could provide significant benefits in terms of cost savings and service delivery.
ECONOMIC DEVELOPMENT STRATEGIC PLAN:
1.1 Make ED part of every City decision. Will include alignment of Capital Improvement Plan (CIP) to ED goals and identify goals and objectives of this plan on CC agenda items.
FISCAL IMPACT:
The proposed expenditure of $20,000 represents the City of Hawthorne's pro rata share of the total cost for the consultant study. The funds would come from the General Fund and would be used to cover the city’s portion of the overall cost, alongside contributions from other participating South Bay cities.

RECOMMENDED MOTION:

The City of Hawthorne has experienced a growing need for effective homelessness services, including outreach, case management, and coordination with regional services. St. Margaret Center, a leading local nonprofit with a history of providing critical social services to vulnerable populations, has been identified as a key partner in addressing homelessness. The City of Hawthorne seeks to enter into an agreement with St. Margaret Center to create a dedicated Homeless Services Supervisor position to enhance coordination and expand services for individuals experiencing homelessness.

Sincerely
Thank you for your continued participation in the Housing Choice Voucher (HCV) Program and for ensuring decent, safe and affordable housing for families most in need in your jurisdiction HUD recognizes that PHAs located in a designated SAFMR area may incur additional, implementation-related administrative costs. On October 26, 2023, HUD published “Notice PIH 2023-07, Revision 1” that added a new category of special administrative fees for PHAs operating in newly designated SAFMR areas. Under these special fees, PHAs operating in the new SAFMR areas will receive $10,000 to offset the administrative costs of transitioning to SAFMRs.
Should you have questions concerning this determination, please contact Yasandra Deyá at [email protected] or Rachel Kennedy at [email protected].
SUBJECT: Housing Choice Voucher Programs – Special Fees for PHAs operating in newly designated mandatory SAFMRs Under the CY 2023 Administrative Fee Set-Aside On October 25, 2023, HUD published the SAFMR notice designating 41 new metropolitan areas where PHAs will be required to utilize SAFMRs in the HCV program. The notice included an implementation date of October 1, 2024, and PHAs operating in the newly designated metropolitan areas will then have until January 1, 2025, in accordance with 24 CFR 982.503(b)(1)(i) to implement SAFMR-based payment standards. PHAs in designated SAFMR areas are required to use SAFMRs for their tenant-based HCV vouchers and may choose to apply SAFMRs to their Project-based Voucher (PBV) program, if applicable.
Your PHAs is identified as operating in one of the newly designated SAFMR areas. The amount of funding your agency has been awarded is $10,000. Please see Notice PIH 2023-07, Revision 1 for more information, including eligible activities that can be paid for with the special fees. www.hud.gov espanol.hud.gov

Agreement with the City of Inglewood for Supplemental Law Enforcement Services for Special Events in the City of Inglewood.
RECOMMENDED MOTION:
Approve the proposed Agreement with the City of Inglewood for supplemental law enforcement support for special events in the City of Inglewood, and authorize the City Manager or the Chief of Police to execute all documents related thereto.
DISCUSSION:
In July of 2021, the City of Hawthorne entered into an agreement with the City of Inglewood providing supplemental law enforcement officers for some of the large events occurring at venues in Inglewood. Pursuant to the agreement, Hawthorne police officers, along with Sheriffs deputies, provided additional security at SoFi Stadium and other venues. All costs associated with the service were reimbursed by Inglewood. In April of 2022, both Cities agreed to a First Amendment reflecting the increase in hourly pay for Hawthorne police officers. In September of 2023, both Cities agreed to a Second Amendment with corresponding increase in hourly pay for Hawthorne police officers.
The original agreement entered into by both Cities in July of 2021, has been extended for the allowable two 12 month extensions (the First Amendment and the Second Amendment), so a new agreement is necessary.

Section 1 Introduction
1.1 Background
Pursuant to California Health and Safety Code (“HSC”) Section 34328, housing authorities must file an annual report of the activities for the preceding year (“Annual Report”) with the clerk of the respective city or county and the Department of Housing and Community Development (“HCD”).
This Annual Report for the Hawthorne Housing Authority (“Housing Authority”) covers all the activities for Fiscal Year (“FY”) 2023-24, including housing unit compliance with affordability requirements, activities concerning existing debt obligations, and land transactions and development.
1.2 Legal Authority
Housing authorities are independent, legal entities that derive their powers from State statute and operate as local entities responsible for providing housing for very low- and low-income households.
HSC Section 34200, et seq. (“Housing Authorities Law”) details the requirements for municipalities to create and operate a housing authority. To establish a housing authority, a local jurisdiction must adopt a resolution including findings that either of the following is true:
1. Unsanitary or unsafe housing exists in the city; or
2. There is a shortage of safe or sanitary housing available to persons of low-income.
1.3 Benefits
Once established, a housing authority can assume functions that only legally created housing authorities can take on, including:
1. The opportunity to participate in one or more of the Public Housing Programs offered by the U.S. Department of Housing and Urban Development (“HUD”), including Section 8;
2. Alleviating the need to find owners and operators for unit development, as housing authorities can own and operate housing developments;
3. Exercising eminent domain to assemble land for housing projects without the need to document blight, as allowed by State law; and
4. Establishing an area of operation that includes the entire city and the area within five (5) miles of its territorial boundaries.
FY 2023-24 Housing Authority Annual Report 4 October 2024 Hawthorne Housing Authority
1.4 Hawthorne Housing Authority
The Housing Authority was activated by the Hawthorne City Council in 1979. It is responsible for administering the Section 8 Housing Choice Voucher Program under HUD’s federal program and assists over 1,000 households who are low-income and do not earn enough to keep pace with rising rental housing costs.
Currently, the Housing Authority does not own or manage any assets. Any future assets will be documented in future Annual Reports.
1.5 Annual Report Contents
This Annual Report includes:
• A report of financial activities during FY 2023-24, including any bond issuances, loans or finance agreements that the Housing Authority has entered into; • A report of development activities during FY 2023-24, including the development, rehabilitation, or financing of housing projects by the Housing Authority; • A report of compliance with HSC Section 34312.3 requirements, such as the minimum amount of housing units affordable to lower-income households in projects assisted by the Housing Authority and documentation of established base rents and/or maximum rental payments for lower-income households; and
• Documentation of any domestic violence tenancy terminations or Section 8 voucher terminations, as required by HSC Section 34328.1.
FY 2023-24 Housing Authority Annual Report 5 October 2024 Hawthorne Housing Authority
Section 2 Housing Authority Financial Activities
HSC Section 34312.3 states that housing authorities must provide a complete report of financial activities during the prior fiscal year, including bonds, loans, and financing agreements for multifamily rental housing projects.
2.1 Bonds, Loans, and Financing Agreements
The Housing Authority has not issued any bonds or entered into any loans or financing agreements related to multifamily rental housing projects.
Any future funding for the rehabilitation, development, acquisition, or construction of multifamily housing through the issuance of loans, bonds, and/or financing agreements will be documented in future Annual Reports.

FY 2023-24 Housing Authority Annual Report 7 October 2024 Hawthorne Housing Authority
Section 4 Housing Unit Compliance
HSC Sections 34328 and 34328.1 state that housing authorities are required to:
• Show compliance with requirements of HSC Section 34312.3, such as the minimum amount of housing units affordable to lower income in projects assisted by the Housing Authority, and document established base rents and/or maximum rental payments for lower income households; and
• Document any domestic violence tenancy or Section 8 voucher termination as required by HSC Section 34328.1.
4.1 Housing Affordability Requirements
HSC Section 34312.3 states that not less than 20% of all units assisted by the Housing Authority, or 15% in targeted areas, as defined by Section 103(b) (12) (A) of Title 26 of the United States Code, must be affordable to low-income households. If bonds issued by the Housing Authority fund housing projects, at least half of the units must be available to persons of very low-income.
Additionally, the local governing body and the local school district must approve development projects financed with bonds prior to construction or ownership.
The Housing Authority does not own or manage any residential assets and did not assist any affordable housing units in FY 2023-24. As such, the Housing Authority is not subject to the housing affordability requirements imposed by HSC Section 34312.3 and will ensure that income levels in any future housing units meet the requirements.
4.2 Base and Maximum Rents
HSC Section 34312 states that a housing authority may prepare, carry out, acquire, lease, and operate housing projects for persons of low-income. Re: Proposal to Provide Environmental Consulting Services for the Three Regional Shopping Center Signs Project, City of Hawthorne, California
Dear Mr. McClain:
Kimley-Horn (“Kimley-Horn” or “Consultant”) is pleased to submit this Proposal to the City of Hawthorne (“City” or “Client”) to provide Environmental Consulting Services for the Three Regional Shopping Center Signs Project (the “Project”).
PROJECT UNDERSTANDING
The City has received an application to allow construction and operation of three digital LED signs for existing adjacent regional shopping centers. The proposed locations of each of the signs are described in Table 1: Locations of Proposed Signs. Each sign would be 41 feet by 73 feet and would be equipped with automatic dimming capability that allows the signs to automatically adjust as ambient light levels change.
Caltrans regulates the placement of outdoor advertising (ODA) displays visible from California highways (California Outdoor Advertising Act). However, ODAs within 1,000 feet of the entrance to the site at which the business is conducted, services are rendered, or goods are produced or sold are exempt from these regulations (Outdoor Advertising Act Section 5272(a)(4)). Because the proposed signs would only advertise for businesses conducted, services rendered, and goods produced/sold in the adjacent regional shopping centers, and would be located within 1,000 feet of the centers’ entrances, the signs would not be subject to California Outdoor Advertising Act requirements.
Moreover, the Project is anticipated to be exempt from the California Environmental Quality Act (CEQA) given its approval is deemed to be ministerial (State CEQA Guidelines Section 15268).
Notwithstanding, the City seeks a consultant to prepare an Environmental Effects Memorandum that explains why the electric signs would not have a significant effect on the environment.

kimley-horn.com 1100 W Town and Country Road, Orange, CA 92868 714.786.6116 TASK 1.0 LIGHT AND GLARE STUDY
Kimley-Horn will perform a lighting analysis of three digital LED signs, as described above.
Task 1.1: Field Review/Analysis
Kimley-Horn will perform a nighttime field visit to review the existing site conditions and collect illumination values using a light meter. If necessary, luminance values will be collected using a luminance meter. Values will be collected at up to four (4) receptor sites with available access adjacent to the proposed sign locations. If additional sites are required as part of the analysis, additional budget will be required.
In addition to light measurements, Kimley-Horn will perform a visual evaluation of the existing surrounding light sources near the sign sites, reviewing glare, lighting uses, color temperature, and other relevant lighting characteristics. Kimley-Horn will take photos of the existing site conditions to be used as a visual reference during the analysis and to be included in the Study.
Task 1.2: Proposed Sign Lighting Analysis
Kimley-Horn will prepare photometric analysis and exhibits for the existing lighting and the proposed LED signs. The photometric analysis will be calculated using AGi32 lighting software. We will create the AGi32 model using the lighting measurements taken in the field as a basis. To perform the proposed sign lighting analysis, Kimley-Horn will utilize manufacturer-provided lighting studies for each of the three signs.
Kimley-Horn will analyze the lighting impact of the proposed LED signs on the surrounding receptor sites using AGi32. We will evaluate illuminance, luminance, glare, and other commonly reviewed lighting metrics. We will review the impacts to the four receptor sites and review the impact to drivers on adjacent roadways, considering standards in the California Vehicle Code and American National Standards Institute (ANSI)/IES RP-8-22 – Recommended Practice: Lighting Roadway and Parking Facilities. Kimley-Horn will prepare photometric exhibits displaying the effects of the proposed signs to be included in the Study.
Task 1.3: Technical Report
Kimley-Horn will prepare a technical report summarizing the results of the site visit, analysis, findings, and conclusions. The report will express standards, review methodology, existing conditions, field data collection, proposed lighting analysis, and conclusions and recommendations. The lighting analysis will evaluate glare and contrast on adjacent roadways and light trespass onto adjacent sites.
Standards to be reviewed and described may include City, Title 24, California Vehicle Code, and IESNA standards.
Mr. Gregg McClain, August 29, 2024, Page 4
kimley-horn.com 1100 W Town and Country Road, Orange, CA 92868 714.786.6116 TASK 2.0: ENVIRONMENTAL EFFECTS MEMORANDUM
Kimley-Horn will prepare an Environmental Effects Memorandum documenting why the Project would not have a significant effect on the environment.
The Memorandum will not review all State CEQA Guidelines Appendix G thresholds. Instead, the Memorandum will focus the review on the Project’s potential effects concerning key resource areas (i.e., aesthetics, air quality, energy, greenhouse gas emissions, noise/vibration, and land use). The effects analysis concerning aesthetics (i.e., light and glare) will be based on the Light and Glare Study; see Task 1.0. The effects analysis concerning air quality, energy, greenhouse gas emissions, and noise/vibration will be qualitative (modeling is excluded).
TASK 3.0: PROJECT MANAGEMENT AND MEETINGS
Task 3.1: Project Management
Kimley-Horn will be responsible for Project Management, including overall Project Team coordination and supervision, and ongoing consultation with Client. The Project Manager will coordinate with technical and support staff toward completion of the deliverables outlined above.
This task assumes a three-month Project schedule.
Task 3.2: Meetings
The Project Manager and one additional Kimley-Horn Staff will attend virtual meetings and represent the Project Team, as appropriate. This Task assumes up to 10 hours meeting attendance, including preparation, attendance, and follow-up, as appropriate. Should the City determine that additional time beyond the assumed is required, services will be provided on a time and materials (T&M) basis.
INFORMATION PROVIDED BY CLIENT
Kimley-Horn shall be entitled to rely on the completeness and accuracy of all information provided by the Client or the Client’s consultants or representatives. The Client shall provide all information requested by Kimley-Horn, including but not limited to the following:
• Other relevant studies, if any,
• Physical improvements (if any), and

(b) Provide all information and criteria as to the Client's requirements, objectives, and expectations for the project and all standards of development, design, or construction. (c) Provide the Consultant all available studies, plans, or other documents pertaining to the project, such as surveys, engineering data, environmental information, etc., all of which the Consultant may rely upon. (d) Arrange for access to the site and other property as required for the Consultant to provide its services. (e) Review all documents or reports presented by the Consultant and communicate decisions pertaining thereto within a reasonable time so as not to delay the Consultant. (f) Furnish approvals and permits from governmental authorities having jurisdiction over the project and approvals and consents from other parties as may be necessary.
(g) Obtain any independent accounting, legal, insurance, cost estimating and feasibility services required by Client. (h) Give prompt written notice to the Consultant whenever the Client becomes aware of any development that affects the Consultant's services or any defect or noncompliance in any aspect of the project. (3) Period of Services. Unless otherwise stated herein, the Consultant will begin work after receipt of a properly executed copy of this Agreement. This Agreement assumes conditions permitting continuous and orderly progress through completion of the services. Times for performance shall be extended as necessary for delays or suspensions due to circumstances that the Consultant does not control. If such delay or suspension extends for more than six months, Consultant’s compensation shall be renegotiated. (4) Method of Payment. Client shall pay Consultant as follows:
(a) Invoices will be submitted periodically for services performed and expenses incurred. Invoices are due and payable upon presentation. Client shall pay Consultant a time price differential of one and one-half percent (1.5%) of the outstanding amount of each invoice that is overdue for more than 30 days. The Client shall also pay any applicable sales tax. All retainers will be held by the Consultant and applied against the final invoice. If the Client fails to make any payment due under this or any other agreement within 30 days after presentation, the Consultant may, after giving notice to the Client, suspend services and withhold deliverables until all amounts due are paid, and may commence legal proceedings including filing liens to secure payment. (b) If the Client relies on payment or proceeds from a third party to pay Consultant and Client does not pay Consultant’s invoice within 60 days of receipt, Consultant may communicate directly with such third party to secure payment.
(c) If the Client objects to an invoice, it must advise the Consultant in writing giving its reasons within 14 days of receipt of the invoice or the Client’s objections will be waived, and the invoice shall conclusively be deemed due and owing. If the Client objects to only a portion of the invoice, payment for all other portions remains due. (d) If the Consultant initiates legal proceedings to collect payment, it may recover, in addition to all amounts due, its reasonable attorneys' fees, reasonable experts' fees, and other expenses related to the proceedings. Such expenses shall include the cost, at the Consultant's normal hourly billing rates, of the time devoted to such proceedings by its employees.
(e) The Client agrees that the payment to the Consultant is not subject to any contingency or condition. The Consultant may negotiate payment of any check tendered by the Client, even if the words “in full satisfaction” or words intended to have similar effect appear on the check without such negotiation being an accord and satisfaction of any disputed debt and without prejudicing any right of the Consultant to collect additional amounts from the Client.
(5) Use of Documents. All documents and data prepared by the Consultant are related exclusively to the services described in this Agreement, and may be used only if the Client has satisfied all of its obligations under this Rev 01/18
10 Agreement. They are not intended or represented to be suitable for use or reuse by the Client or others on extensions of this project or on any other project. Any modifications by the Client to any of the Consultant’s documents, or any reuse of the documents without written authorization by the Consultant will be at the Client's sole risk and without liability to the Consultant, and the Client shall indemnify, defend and hold the Consultant harmless from all claims, damages, losses and expenses, including but not limited to attorneys' fees, resulting therefrom. The Consultant’s electronic files and source code remain the property of the Consultant and shall be provided to the Client only if expressly provided for in this Agreement. Any electronic files not containing an electronic seal are provided only for the convenience of the Client, and use of them is at the Client’s sole risk. In the case of any defects in the electronic files or any discrepancies between them and the hardcopy of the documents prepared by the Consultant, the hardcopy shall govern. (6) Opinions of Cost. Because the Consultant does not control the cost of labor, materials, equipment or services furnished by others, methods of determining prices, or competitive bidding or market conditions, any opinions rendered as to costs, including but not limited to the costs of construction and materials, are made solely based on its judgment as a professional familiar with the industry. The Consultant cannot and does not guarantee that proposals, bids or actual costs will not vary from its opinions of cost. If the Client wishes greater assurance as to the amount of any cost, it shall employ an independent cost estimator. Consultant's services required to bring costs within any limitation established by the Client will be paid for as Additional Services. (7) Termination. The obligation to provide further services under this Agreement may be terminated by either party upon seven days' written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof, or upon thirty days’ written notice for the convenience of the terminating party. The Consultant shall be paid for all services rendered and expenses incurred to the effective date of termination, and other reasonable expenses incurred by the Consultant as a result of such termination. (8) Standard of Care. The standard of care applicable to Consultant’s services will be the degree of care and skill ordinarily exercised by consultants performing the same or similar services in the same locality at the time the services are provided. No warranty, express or implied, is made or intended by the Consultant's performance of services, and it is agreed that the Consultant is not a fiduciary with respect to the Client. (9) LIMITATION OF LIABILITY. In recognition of the relative risks and benefits of the Project to the Client and the Consultant, the risks are allocated such that, to the fullest extent allowed by law, and notwithstanding any other provisions of this Agreement or the existence of applicable insurance coverage, that the total liability, in the aggregate, of the Consultant and the Consultant's officers, directors, employees, agents, and subconsultants to the Client or to anyone claiming by, through or under the Client, for any and all claims, losses, costs or damages whatsoever arising out of or in any way related to the services under this Agreement from any causes, including but not limited to, the negligence, professional errors or omissions, strict liability or breach of contract or any warranty, express or implied, of the Consultant or the Consultant's officers, directors, employees, agents, and subconsultants, shall not exceed twice the total compensation received by the Consultant under this Agreement or $50,000, whichever is greater. Higher limits of liability may be negotiated for additional fee. This Section 9 is intended solely to limit the remedies available to the Client or those claiming by or through the Client, and nothing in this Section 9 shall require the Client to indemnify the Consultant. (10) Mutual Waiver of Consequential Damages. In no event shall either party be liable to the other for any consequential, incidental, punitive, or indirect damages including but not limited to loss of income or loss of profits. (11) Construction Costs. Under no circumstances shall the Consultant be liable for extra costs or other consequences due to unknown conditions, or related to the failure of contractors to perform work in accordance with the plans and specifications. Consultant shall have no liability whatsoever for any costs arising out of the Client’s decision to obtain bids or proceed with construction before the Consultant has issued final, fully-approved plans and specifications. The Client acknowledges that all preliminary plans are subject to substantial revision until plans are fully approved and all permits obtained.
(12) Certifications. All requests for the Consultant to execute certificates, lender consents, or other third-party reliance letters must be submitted to the Consultant at least 14 days prior to the requested date of execution. The Consultant shall not be required to execute certificates, consents, or third-party reliance letters that are inaccurate, that relate to facts of which the Consultant does not have actual knowledge, or that would cause the Consultant to violate applicable rules of professional responsibility.
Rev 01/18
11 (13) Dispute Resolution. All claims by the Client arising out of this Agreement or its breach shall be submitted first to mediation in accordance with the American Arbitration Association as a condition precedent to litigation.
Any mediation or civil action by Client must be commenced within one year of the accrual of the cause of action asserted but in no event later than allowed by applicable statutes. (14) Hazardous Substances and Conditions. Consultant shall not be a custodian, transporter, handler, arranger, contractor, or remediator with respect to hazardous substances and conditions. Consultant's services will be limited to analysis, recommendations, and reporting, including, when agreed to, plans and specifications for isolation, removal, or remediation. The Consultant will notify the Client of unanticipated hazardous substances or conditions of which the Consultant actually becomes aware. The Consultant may stop affected portions of its services until the hazardous substance or condition is eliminated.
(15) Construction Phase Services.
(a) If the Consultant prepares construction documents and the Consultant is not retained to make periodic site visits, the Client assumes all responsibility for interpretation of the documents and for construction observation, and the Client waives any claims against the Consultant in any way connected thereto. (b) The Consultant shall have no responsibility for any contractor's means, methods, techniques, equipment choice and usage, sequence, schedule, safety programs, or safety practices, nor shall Consultant have any authority or responsibility to stop or direct the work of any contractor. The Consultant's visits will be for the purpose of endeavoring to provide the Client a greater degree of confidence that the completed work of its contractors will generally conform to the construction documents prepared by the Consultant. Consultant neither guarantees the performance of contractors, nor assumes responsibility for any contractor’s failure to perform its work in accordance with the contract documents.
(c) The Consultant is not responsible for any duties assigned to it in the construction contract that are not expressly provided for in this Agreement. The Client agrees that each contract with any contractor shall state that the contractor shall be solely responsible for job site safety and its means and methods; that the contractor shall indemnify the Client and the Consultant for all claims and liability arising out of job site accidents; and that the Client and the Consultant shall be made additional insureds under the contractor’s general liability insurance policy. (16) No Third-Party Beneficiaries; Assignment and Subcontracting. This Agreement gives no rights or benefits to anyone other than the Client and the Consultant, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole benefit of the Client and the Consultant. The Client shall not assign or transfer any rights under or interest in this Agreement, or any claim arising out of the performance of services by Consultant, without the written consent of the Consultant. The Consultant reserves the right to augment its staff with subconsultants as it deems appropriate due to project logistics, schedules, or market conditions. If the Consultant exercises this right, the Consultant will maintain the agreed-upon billing rates for services identified in the contract, regardless of whether the services are provided by in-house employees, contract employees, or independent subconsultants.
(17) Confidentiality. The Client consents to the use and dissemination by the Consultant of photographs of the project and to the use by the Consultant of facts, data and information obtained by the Consultant in the performance of its services. If, however, any facts, data or information are specifically identified in writing by the Client as confidential, the Consultant shall use reasonable care to maintain the confidentiality of that material. (18) Miscellaneous Provisions. This Agreement is to be governed by the law of California. This Agreement contains the entire and fully integrated agreement between the parties and supersedes all prior and contemporaneous negotiations, representations, agreements or understandings, whether written or oral. Except as provided in Section 1, this Agreement can be supplemented or amended only by a written document executed by both parties. Any conflicting or additional terms on any purchase order issued by the Client shall be void and are hereby expressly rejected by the Consultant. Any provision in this Agreement that is unenforceable shall be ineffective to the extent of such unenforceability without invalidating the remaining provisions. The nonenforcement of any provision by either party shall not constitute a waiver of that provision nor shall it affect the enforceability of that provision or of the remainder of this Agreement. kimley-horn.com 1100 W Town and Country Road, Orange, CA 92868 714.786.6116 August 29, 2024

SCOPE OF SERVICES
Kimley-Horn will provide the Scope of Services specifically set forth below. The Scope assumes:
• Baseline conditions, Project [sign] description, and approach will not change once Client issues the Notice to Proceed (NTP).
• The electronic signs are exempt from Outdoor Advertising Act requirements (Outdoor Advertising Act Section 5272(a)(4)), thus, no permitting or coordination with CalTrans is required.
• No permitting or coordination with agencies other than the City is required. • City will provide two reconciled set of comments for each deliverable, and comments will not raise new substantive issues requiring re-analysis. Additional review cycles are excluded. • No design plans will be prepared.
• One Light and Glare Study will be prepared to address all three signs. • One Environmental Effects Memorandum will be prepared to address all three signs.

kimley-horn.com 1100 W Town and Country Road, Orange, CA 92868 714.786.6116 TASK 1.0 LIGHT AND GLARE STUDY
Standards to be reviewed and described may include City, Title 24, California Vehicle Code, and IESNA standards.

kimley-horn.com 1100 W Town and Country Road, Orange, CA 92868 714.786.6116 TASK 2.0: ENVIRONMENTAL EFFECTS MEMORANDUM
• Other relevant studies, if any,
• Physical improvements (if any), and
• Required City permits.
