4. The limits of insurance required herein may be satisfied by a combination of primary and umbrella or excess insurance. City of Hemet, CA – Bank Reconciliation Services
II. General Terms and Conditions
Comments: We have suggested some modifications to the terms and conditions, but we are happy to talk about concerns and finalize language that works for both parties. Additionally, there are some terms that are not included that we consider important to us and standard in our line of work, such as limitation of liability and dispute resolution that we will want to address. We will also expect the City to sign our Statement of Work. We would like to discuss any prosed modifications and come to agreement on commercially reasonable terms.
Insurance Requirements
The City requires a certificate of insurance prior to commencement of any work. An underwriter’s endorsement is also required with additional insured language and the surety/insurer must be an admitted surety/ insurer authorized, or otherwise legally allowed, to do business in the State of California. Complete insurance requirements are stated in Exhibit C of the Professional Services Agreement.
Comments: Clarification to distinguish between surety and other insurers. Additionally, the firm’s insurance is written on a surplus lines basis.

Additionally, there are some terms that are not included that we consider important to us and standard in our line of work, such as limitation of liability and dispute resolution that we will want to address. We will also expect the City to sign our Statement of Work.

PSA, Section 8. INTELLECTUAL PROPERTY RIGHTS ASSIGNMENT … Consultant shall promptly execute and deliver and shall cause its employees, agents, and sub consultants to promptly execute and deliver, upon request by the City or any of its successors or assigns at any time and without further compensation of any kind, any power of attorney, assignment, application for copyright, patent, trademark or other intellectual property right protection, or other papers or instruments which may be necessary or desirable to fully secure, perfect or otherwise protect to or for the City, its successors, and assigns, all right, title and interest in and to the content of the deliverable materials ..
Comments: “Power of attorney” may conflict with the firm’s independence obligations.
PSA, Section 9. CONSULTANT’S BOOKS AND RECORDS
(c) Where City has reason to believe that any of the documents or records required to be maintained pursuant to this section during the applicable retention period described in subsection (a) may be lost or discarded due to dissolution or termination of Consultant’s business, City may, by written request, require that custody of such documents or records be given to the City. Access to such documents and records shall be granted to City, as well as to its successors in interest and authorized representatives.
Comments: Limiting language added to align with the retention period in Section 9(a).
PSA, Section 16. CONFIDENTIAL INFORMATION; RELEASE OF INFORMATION (a) If disclosure is required by law Consultant shall, if lawful, provide City with prompt written notice of such requirement prior to disclosure to allow City the opportunity to seek a protective order or other appropriate remedy.1
16.E.
City of Hemet, CA eidebailly.com | 5
(c) If Consultant, or any officer, employee, agent, or sub consultant of Consultant, provides any information or work product in violation of this Agreement, then City shall have the right to seek reimbursement and indemnity from Consultant for any damages, costs, and fees, including attorney’s fees, caused by or incurred as a result of Consultant’s conduct.2
(d) If lawful, Consultant shall promptly notify City should Consultant, its officers, employees, agents, or sub consultants be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder.3 City retains the right but has no obligation, to represent Consultant or be present at any deposition, hearing, or similar proceeding.
Consultant agrees to reasonably cooperate fully with City and to provide City with the opportunity to review any response to discovery requests provided by Consultant. However, this right to review any such response does not imply or mean the right of City to control, direct, or rewrite said response, and such cooperation shall not extend to matters where the parties’ interests are adverse.4
Comments: 1 Some subpoenas or regulatory inquiries may not be disclosed. 2 This language would provide automatic, broad contractual indemnity for garden‑variety breach, conflicting with AICPA standards and professional services contract principles. 3 Some subpoenas or regulatory inquiries may not be disclosed. 4 Language aligned with AICPA and professional services standards, ensuring that cooperation is reasonable and does not continue once the parties’ interests become adverse.
PSA, Section 17. INDEMNIFICATION
(a) To the fullest extent permitted by law, Consultant shall indemnify, protect, defend (with legal counsel reasonably selected by the City) and hold harmless City and any and all of its elected and appointed officials, officers, employees, representatives and agents (“Indemnified Parties”)1 from and against any and all claims, actions and proceedings (whether at law or equity, administrative or judicial), demands, orders, judgments, losses, injuries (including, without limitation, injury to or death of an employee of Consultant or sub consultants), liabilities of every kind (including, without limitation, incidental and consequential damages, court costs, and litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and cost of investigation), damages, costs and expenses, including attorney’s fees and costs, (collectively "Claims") to the extent arising from the negligent acts, errors, or omissions in that arise out of, pertain to, or relate to, directly or indirectly, in whole or in part, performance of Services by Consultant, its officers, agents, employees, representatives, sub consultants, anyone directly or indirectly employed by any of them, or anyone that they control. Consultant shall have no duty to defend the City or any Indemnified Party. Consultant’s duty to indemnify, protect, defend, and hold harmless Indemnified Parties, shall not include any Claims arising from the sole negligence or willful misconduct of the Indemnified Parties.2
(b) Consultant agrees to obtain executed indemnity agreements with provisions substantially similar to those set forth in this section from each and every subconsultant, subcontractor, or any other person or entity involved by, for, with, or on behalf of Consultant in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. Consultant shall provide City with copies of such indemnity agreements upon request.3 In the event Consultant fails to obtain such indemnity obligations from others as required here, Consultant agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set forth herein is binding on the successors, assigns, or heirs of Consultant and shall survive the termination of this Agreement and this section.4
Comments: 1 The firm cannot assume the duty to defend a client for claims arising from the firm’s actual or alleged errors and omissions in the performance of professional services. The firm’s professional liability policies are indemnity policies only. They do not provide a defense to the firm or its clients. Assuming a duty
16.E.
City of Hemet, CA eidebailly.com | 6
to defend places professional liability coverage at risk (problematic for both the firm and the client) and puts firm in position where any defense obligation is borne solely by firm and its partners. 2 This language suggests that the firm is required to indemnify where indemnitees are partially responsible for the loss.
Additionally, language added to align with California law. 3 We can warrant inclusion of such indemnity agreements, but subcontractor agreements include confidential business terms that are not disclosed outside the firm. 4 The firm cannot assume the duty to defend a client for claims arising from the firm’s actual or alleged errors and omissions in the performance of professional services. The firm’s professional liability policies are indemnity policies only. They do not provide a defense to the firm or its clients. Assuming a duty to defend places professional liability coverage at risk (problematic for both the firm and the client) and puts firm in position where any defense obligation is borne solely by firm and its partners.
PSA, Section 18. INSURANCE
Consultant agrees to obtain and maintain in full force and effect during the Term of this Agreement the insurance policies set forth in Exhibit “C” “Insurance” and made a part of this Agreement. All insurance policies shall be subject to approval by City as to form and content. These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Consultant agrees to provide City with copies of required policies upon request.
Comments: We can provide certificates of insurance along with any required endorsements. However, the terms and conditions of the firm’s insurance policies are the firm’s confidential business information that, as a matter of longstanding firm policy, are not disclosed outside the firm. In lieu of disclosure, the firm would be glad to provide a letter from its insurers stating (in effect) that the policy terms are reasonable and within the market range.
PSA, Section 20. CONTINUITY OF PERSONNEL
Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services. Consultant shall provide City with written notice of any changes in Consultant’s key personnel and subcontractors/subconsultants, assigned to perform the Services at least five (5) business days prior to such change, or immediately upon learning of an unexpected change. City reserves the right to approve or reject any proposed replacement personnel or subconsultants if such personnel are identified as key to the Services in Exhibit “A,.” which approval shall not be unreasonably withheld or delayed.
Comments: The firm must retain at least some control over the personnel appropriate for the engagement.
PSA, Section 21. TERMINATION OF AGREEMENT
(e) Upon written notice, City may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided in accordance with the terms of this contract and applicable professional standards up to the date of suspension…
Comments: “Satisfactorily” and words of similar import are a subjective measure of contract performance.
The firm should be held to an objective measure of contract performance, such as the objective terms of an agreement and/or applicable professional standards.
Exhibit C, General Liability Insurance
Consultant shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount not less than $2,000,000 per occurrence, $4,000,000 general aggregate, for bodily injury, personal injury, and property damage. The policy must include contractual liability that has not been amended. Any endorsement restricting standard ISO “insured contract” language will not be accepted.

Prior to beginning the engagement, we will discuss with the City’s management our proposed approach and processes, desired timelines for deliverables, and any additional considerations that may affect scope, schedules, and/or information to be provided by your personnel. We will then craft timelines for tasks and deliverables that meet your needs and make the most effective use of your valuable time.
Project Approach
Bank Reconciliation Standard Operating Procedure (SOP) Development Eide Bailly will develop a comprehensive, written SOP for performing monthly bank reconciliations within the Tyler Enterprise ERP system. The SOP will be designed to be practical, easy to follow, and suitable for staff training, continuity, and audit support.
The SOP will address the elements requested in the City’s scope of services and will build upon existing procedures and practices already in place at the City, employing best practices common in other California local government agencies and tools and templates employed by Eide Bailly, as appropriate. Eide Bailly will coordinate with City staff during development of the SOP to ensure Eide Bailly’s proposed approach is in alignment with the City’s goals and objectives for this engagement.
Historical Reconciliation Catch-Up
Eide Bailly will complete bank reconciliations for all applicable City bank accounts for the period from July 2025 through the most recent month ending prior to the initiation of our contract with the City using the Tyler system. This work will include the following elements:
• Reconciling monthly bank statements to the general ledger within the Tyler system • Clearing paid items within the system, including checks, wires, and ACH transactions • Identifying, researching, and documenting reconciling items • Coordinating with City staff to obtain missing information or resolve discrepancies • Preparing and retaining supporting schedules and documentation for each reconciliation • Maintaining organized reconciliation files suitable for audit review and future reference
This work will be performed in a structured, repeatable manner consistent with the SOP being developed, allowing City staff to assume responsibility for ongoing reconciliations after the engagement.
Ongoing Reconciliation Maintenance
Eide Bailly will ensure that bank reconciliations remain current through June 30, 2026, with all reconciliation work completed no later than July 31, 2026. We will also be available to continue providing these services in the future upon the City’s request.
Knowledge Transfer and Implementation Support
Eide Bailly will share in writing our observations and recommendations to support consistent application, periodic review, and future updates to the City’s bank reconciliation SOP as well as related recommendations for improvements to Finance Department policies, procedures, and practices. We will also provide templates to facilitate future work being performed by City staff.

Timelines
Eide Bailly will work closely with your team through the planning stages to clearly define expectations and the items required from your team in order to facilitate an efficient engagement to enable us to meet your timing.
The following table identifies the proposed structure of our engagement and the preliminary anticipated timing.
Initiation of the engagement is dependent on the speed at which the City selects a vendor and negotiates and executes a contract, but our team is then available to begin work quickly. The schedule below assumes that these steps are completed in Late February or early March.
Major Task Timing
Engagement Kick-Off and Planning April
Development of Standard Operating Procedures May – June Completion of Outstanding Bank Reconciliations May – July Delivery of Written Summary of Observations and Recommendations June
By engaging in thorough planning and communications with management, we begin each engagement with a strong understanding of the various deadlines and the steps involved along the way to meet these deadlines. A project plan will be developed between our team and the City and then followed closely, and we will work with the City’s management team to customize our services and specific timelines to your needs. We believe in clear, up-front, and open communication with no surprises.

Executive Summary
AKP Financial Services, L.L.C. (“AKP’) is pleased to present this comprehensive proposal to the City of Hemet (“the City”) for Bank Reconciliation Services. The City requires three bank accounts across all funds to be fully reconciled for the period July 2025 through June 2026, with the backlog completed by July 31, 2026. AKP is prepared to meet this deadline through a structured catch-up plan, accelerated onboarding, and a proven reconciliation workflow designed specifically for municipal environments.
We recognize that the City is navigating a significant operational transition following the implementation of the Tyler Enterprise ERP (EERP) system while simultaneously experiencing staffing changes and a backlog of unreconciled periods. These conditions create a unique need for a highly structured, disciplined, and well-managed reconciliation engagement that not only completes historical reconciliations but also strengthens the City’s ongoing monthly processes. Our firm has more than two decades of public-sector, federal, and nonprofit accounting experience, with a focus on fund accounting, audit readiness, and operational process design.
AKP will complete full reconciliations for all bank accounts across all funds for the period July 2025 through June 2026, including:
Clearing paid items
Matching deposits
Researching variances
Preparing correcting journal entries
Completing monthly reconciliation packets
Ensuring audit-ready documentation for each month
All backlog work will be completed by July 31, 2026. We fully understand that the City requires reconciliations across three major bank accounts—the General Checking, Payroll, and Money Market accounts—each averaging approximately seven hundred transactions monthly across all funds. This volume, combined with the City’s recent system transition, demands a workflow centered on standardization and transparent documentation. Our methodology is designed to meet these requirements while ensuring consistency and timeliness.

sector administration, financial oversight, and compliance-driven program management. She has worked extensively with municipalities and public agencies to implement financial systems, strengthen internal controls, and ensure audit readiness. In this role, she will provide executive oversight, coordinate with City staff, ensure alignment with project objectives, and oversee all deliverables to confirm compliance with applicable standards and best practices.
Adam Watson, Project Manager, will be responsible for the day-to-day execution of the project. Mr. Watson brings strong experience in financial documentation, quality assurance, and process implementation. He will lead reconciliation activities, maintain tracking logs, coordinate data collection, and ensure timely completion of all assigned tasks. Mr. Watson will also oversee the preparation and organization of supporting documentation and conduct internal quality reviews prior to submission to ensure accuracy and completeness.
Together, Ms. Amith and Mr. Watson provide a streamlined and efficient project team structure, combining senior-level oversight with hands-on execution. This approach ensures clear communication, accountability, and the ability to scale resources if necessary to meet project timelines and deliverables.
Key Strength
Outsource Execs provides senior-level oversight across all deliverables to ensure accuracy, consistency, and alignment with the City’s expectations. Each work product undergoes a structured quality assurance review prior to submission, reinforcing our commitment to delivering audit-ready and error-free results. In addition, our staffing model is scalable, allowing us to efficiently allocate additional resources as needed to address backlog conditions or accelerate project timelines without compromising quality.
SECTION III – DETAILED APPROACH & METHODOLOGY
Approach Summary
Outsource Execs’ methodology is grounded in three core principles: accuracy, transparency, and sustainability. These principles guide every phase of our work, ensuring that all reconciliation activities are completed correctly, clearly documented, and structured in a way that supports long-term operational success.
Our approach begins with a comprehensive assessment phase during the first two weeks of the engagement. During this stage, our team reviews the City’s Tyler Enterprise ERP configuration, evaluates current reconciliation practices, and identifies any backlog or discrepancies. This initial assessment allows us to establish a clear reconciliation framework tailored to the City’s systems and operational needs.
Building on this foundation, we develop a customized Standard Operating Procedure (SOP) designed to standardize and strengthen reconciliation processes. The SOP will include detailed, step-by-step procedures for completing reconciliations, clearly defined internal control checkpoints, roles and approval responsibilities, and documentation standards. In addition, it will
16.E.
pg. 4
incorporate audit support protocols to ensure that all processes are aligned with best practices and are fully defensible under review.
Following SOP development, our team will execute the historical reconciliation catch-up phase, covering the period from July 2025 through June 2026. This work includes performing full reconciliations for all applicable accounts, identifying and researching discrepancies, maintaining a resolution tracking log, and compiling complete supporting documentation suitable for audit purposes.
Once accounts are brought current, we transition into ongoing reconciliation maintenance.
During this phase, we complete monthly reconciliations as statements become available, provide regular status reporting, and track any outstanding issues to ensure continued accuracy and timeliness.
The engagement concludes with a final closeout phase, during which we provide a comprehensive summary report outlining completed work, any remaining issues, and recommended improvements. These recommendations are designed to enhance the City’s financial processes and ensure the sustainability of reconciliation practices moving forward.
Outsource Execs utilizes a structured set of tools and systems designed to ensure accuracy, consistency, and audit readiness throughout the engagement. Our team implements reconciliation tracking logs to monitor progress and maintain visibility across all accounts, alongside comprehensive audit documentation checklists to ensure that every reconciliation is fully supported and compliant. Standard Operating Procedure (SOP) templates are used to establish consistent processes, while ERP-integrated workflows are aligned with the Tyler Enterprise system to promote efficiency and data integrity.
To further ensure successful project delivery, our approach incorporates a proactive risk mitigation framework. This includes regular weekly status reporting to keep City staff informed of progress, as well as a defined issue escalation protocol to quickly address any challenges that may arise. All work products undergo a quality assurance (QA) review process prior to submission, and documentation is carefully verified to ensure completeness, accuracy, and audit defensibility.
Outsource Execs is committed to meeting all project deadlines and confirms that all services, including SOP development, reconciliation completion, and final reporting, will be fully completed by July 31, 2026, in accordance with the requirements of the RFP.

SECTION IV – FEE SCHEDULE
PROPOSED PRICING STRUCTURE
LUMP SUM OPTION
Service Cost
SOP Development $7,000
Historical Reconciliation $39,000
Ongoing Maintenance/Yr 2 $32,000
Final Reporting Included
HOURLY RATES (IF REQUIRED)
Role Rate
Principal Consultant $175/hr
Project Manager $135/hr
Systems Specialist $150/hr
Admin Support $85/hr
The proposed pricing structure is designed to provide strong overall value to the City and score highly under the cost evaluation criteria. It is competitive when compared to traditional CPA firms, while offering a broader scope of services that extends beyond standard reconciliation work. Rather than delivering services in isolated phases, Outsource Execs provides a comprehensive, full lifecycle approach that includes SOP development, reconciliation execution, and ongoing maintenance.
This integrated model not only ensures efficiency during the engagement but also delivers long-term cost savings. By establishing strong internal controls and audit-ready documentation from the outset, the City can reduce future audit-related expenses and minimize the risk of findings or corrective actions. Additionally, the structured and quality- controlled approach eliminates the need for rework, ensuring that reconciliations are completed accurately the first time. Collectively, these factors contribute to a cost proposal that is both competitive and highly advantageous to the City.

City Council Meeting
STAFF REPORT
Meeting: City Council Meeting - May 12 2026
Department: Administration
Submitted by: Noah Rau, Interim City Manager
Kristian Ticas, Community Solutions Coordinator;
☐ Receive and File ☒ Consent Calendar ☐ Business Item ☐ Public Hearing
TITLE:
A Resolution of the City Council of the City of Hemet, California, Authorizing the City Manager to Apply for the FY2026/2027 CalRecycle Local Government Waste Tire Cleanup Grant in the Amount of $70,000 and Authorizing the Administrative Services Director to Increase Estimated Revenues by $70,000 to Appropriate Funds for Illegal Tire Dump Cleanup
RECOMMENDED ACTION:
It is respectfully recommended that the City Council:
Adopt a Resolution of the City Council of the City of Hemet, California, Authorizing the Interim City Manager to Apply for the FY2026/2027 CalRecycle Local Government Waste Tire Cleanup Grant in the Amount of $70,000 and Authorizing the Administrative Services Director to Increase Estimated Revenues by $70,000 to Appropriate Funds for Illegal Tire Dump Cleanup.
BACKGROUND:
The California Department of Resources Recycling and Recovery (CalRecycle) administers the Local Government Waste Tire Cleanup Grant Program pursuant to Section 42889(b)(5) of the California Public Resources Code. The purpose of the grant program is to provide funding for the cleanup, abatement, and remediation of illegally dumped waste tires throughout California communities.
On April 23, 2024, the City Council of Hemet adopted a resolution authorizing the City Manager to apply for the FY 2024–2025 CalRecycle Local Government Waste Tire Cleanup Grant in the amount of $69,000 to assist with illegal tire dumping cleanup efforts throughout the City. The grant application was subsequently approved, and funding was awarded to the City. The current grant term is scheduled to expire on October 29, 2026.
ANALYSIS:
Over the last several years, the City of Hemet has experienced a significant increase in both the frequency and scale of illegal dumping activities. The City has identified twenty remote and
16.F.
problematic locations that are particularly vulnerable to recurring dumping and tire disposal, including the following parcels: APN 451-150-011, 451-150-020, 454-060-034, 454-270-032, 464-250-003, 464-250-001, 464-020-009, 454-270-034, 454-050-022, 454-040-038, 454-040-037, 454-040-029, 454-040-035, 454-020-040, 465-140-046, 454-030-075, 454-020-048, 454-020-046, 454-060-010, and 451-150-034. These parcels have experienced persistent illegal dumping activity, including the unlawful disposal of tires and other solid waste materials.
The affected areas consist primarily of vacant residential and undeveloped parcels located adjacent to Diamond Valley Lake, one of California’s largest drinking water reservoirs. The sites are generally located north of Domenigoni Parkway, between South State Street and South Warren Road, along the flood control channel corridor. Due to their remote nature and limited visibility, these locations have become frequent targets for illegal dumping activity.
Property owners in these areas have repeatedly become victims of unauthorized dumping on their undeveloped land. Rising disposal and cleanup costs have made it increasingly difficult for residents and property owners to afford the proper legal disposal of waste and tires, contributing to continued dumping throughout the area.
DISCUSSION:
The City’s Code Enforcement Division continues to receive and respond to complaints related to illegal dumping throughout these areas and actively investigates and prosecutes violators whenever possible. The increasing cost associated with the lawful disposal of used tires has contributed significantly to the problem. Used tires are only accepted at certified landfills and facilities authorized to handle this type of waste, resulting in higher disposal fees and stricter handling requirements.
Due to these disposal restrictions and associated costs, illegal tire haulers and cleanup contractors have increasingly chosen to abandon unwanted tires on isolated vacant parcels that are less visible to the public. These illegal dumping activities create environmental concerns, public nuisances, and potential risks to nearby natural resources, including Diamond Valley Lake.
With grant funding assistance, the City of Hemet will continue partnering with local waste collection provider CR&R Environmental Services and the Local Conservation Corps to conduct cleanup operations, transport illegally dumped tires and debris, and ensure proper disposal at certified landfill facilities.
PREVIOUS COUNCIL ACTION:
On April 23, 2024, the City Council adopted a resolution authorizing the City Manager to apply for the FY 2024–2025 CalRecycle Local Government Waste Tire Cleanup Grant in the amount of $69,000.

City Council Meeting
STAFF REPORT
Meeting: City Council Meeting - May 12 2026
Department: City Attorney
Submitted by: Noah Rau, Interim City Manager
Steven Graham, City Attorney;
☐ Receive and File ☐ Consent Calendar ☒ Business Item ☐ Public Hearing
TITLE:
Declaration of City-Owned Real Property Located at 3777 Industrial Avenue (APN 456-050-020) as Surplus Land Pursuant to the California Surplus Land Act
RECOMMENDED ACTION:
It is respectfully recommended that the City Council:
1. Adopt a Resolution of the City Council of the City of Hemet, California, declaring the City- owned real property located at 3777 Industrial Avenue, Hemet, California 92545, Assessor’s Parcel Number 456-050-020, to be surplus land within the meaning of Government Code section 54221, based on the Council’s finding that the property is no longer necessary for the City’s use; and
2. Authorize and direct City staff to take all actions necessary to comply with the California Surplus Land Act, including but not limited to providing notices required by Government Code section 54222, coordinating with the California Department of Housing and Community Development (“HCD”), and returning to the City Council with any future actions relating to disposition of the property.
BACKGROUND:
The subject property is City-owned real property commonly known as 3777 Industrial Avenue, Hemet, California 92545, identified as APN 456-050-020, consisting of approximately 435,600 square feet (10.00 acres). The purpose of this action is to formally determine, by resolution at a regular public meeting, whether the property is “surplus land” under the California Surplus Land Act (“SLA”).
Government Code section 54221 requires that, before a local agency takes action to dispose of land, the governing body must declare the land either surplus land or exempt surplus land, supported by written findings.
The SLA is intended to make local public land that is no longer needed for governmental purposes available, with priority for affordable housing and certain other public uses. Once land is declared surplus, and before the City may dispose of the property or negotiate disposition with a prospective transferee, the City must follow the statutory notice and negotiation process, including sending a

Notice of Availability to specified public agencies and housing sponsors and ultimately submitting disposition materials to HCD for review before any sale is finalized.
ANALYSIS:
The proposed resolution is intended to allow the City to explore disposition strategies for the subject property in conjunction with adjacent City-owned land located at the northwest corner of Stetson Avenue and Sanderson Avenue, which has already been declared surplus and for which the City has been exploring disposition options to facilitate eventual development of a commercial shopping center. In the course of those efforts, multiple potential purchasers have indicated that a viable transaction may require inclusion of either the eastern third of the City Yard, which staff has determined is not currently utilized for any municipal purpose, or potentially the entire City Yard, if the selected purchaser is responsible for replacing the municipal asset. Based on these circumstances, the City desires to preserve flexibility to evaluate assemblage, access, site planning, marketability, replacement-asset structuring, and related disposition alternatives.
Government Code section 54221 defines “surplus land” as land owned in fee simple by a local agency that the governing body, at a regular public meeting, declares to be surplus and not necessary for the agency’s use. Adoption of the proposed resolution would satisfy that threshold statutory step and would permit staff to move forward with the Surplus Land Act process so the City can explore the range of potential disposition structures identified by the market. Adoption of the resolution would not itself approve a sale, lease, transfer, exclusive negotiating agreement, or any other final disposition of the property. Rather, any future transaction would return to the City Council for separate consideration after completion of the applicable statutory process.
If the property is declared surplus, the City must then comply with the standard Surplus Land Act procedures before entering into a final disposition. Those procedures include sending a Notice of Availability to HCD and the other entities identified by Government Code section 54222, allowing the required 60-day response period, conducting good-faith negotiations for at least 90 days if a qualifying notice of interest is received, and submitting the required disposition documentation to HCD for review prior to final disposition. Accordingly, the proposed action is appropriately limited to a declaration that enables the City to evaluate whether the eastern third of the site, or the entire yard with purchaser-provided asset replacement, should be included in a future transaction that may complement development of the adjacent already-surplus City property.
