during construction of the new Women’s Health Pavilion (“WHP”) building. Once the new WHP building is complete the MCBC would relocate to their new suite on the first floor of the new building.
Consistency with the Urban Village Specific Plan (UVSP) In 2002, the City adopted the UVSP, which encompasses the 240-acre planning area (“Plan Area”) that is bounded by Paseo de Valencia on the north and west, Los Alisos Boulevard on the south, and I-5 on the east, (Figure 1, Project Location). The UVSP promotes a variety of public, regional commercial, office, recreational, and high-density residential uses that work in concert to create an urban village and provide safe pedestrian pathways that conveniently provide direct access to the transit center, civic center, and regional trails. The overarching theme of the UVSP is to better integrate the variety of activity nodes that already exist in the Plan Area and transform it into an “Urban Village where residents, employees, and visitors to Laguna Hills can meet, socialize, shop, and conduct business” (UVSP, Page 9). The UVSP regulates development within the Plan Area, including the Project Site, through the land use plan, design guidelines, and land use and development standards contained in the UVSP.
Some of the main goals of the UVSP (UVSP, Page 49) are to:
• Encourage and facilitate new uses in the area.
• Facilitate private investments in the development of desirable and planned activity nodes.
• Take full commercial and market advantage of the Urban Village’s central location in the Saddleback Valley.
• Increase the employment opportunities, tax revenues, and ensure the long-term viability of the Urban Village.
• Provide the framework for a public/private partnership to implement the goals of the Specific Plan.
The UVSP includes design guidelines that address the intent and character of the Plan Area. It also includes guidelines for design of street furniture, lighting, and signage. The Project Site is within the development area covered by the UVSP and development onsite is subject to the development standards and design guidelines of the UVSP. The Project has been designed to meet the applicable objective development standards and design guidelines of the UVSP, including those related, but not limited, to building

height and setbacks, landscaping and lot coverage, signs, parking, mechanical equipment screening, and architecture.
For example, the proposed building height is within the established height limit of the UVSP—maximum building height allowed is 75 feet and the maximum building height provided is 57 feet, 4 inches (Attachment B, Sheet AS100). Additionally, the proposed landscaping along the Project Site’s eastern and northern boundaries, which are formed by Calle de la Louisa and Health Center Drive, respectively, are consistent with the landscape design guidelines. For example, Figure 31, Landscape/Street Tree Plan, and Figure 35, Village Street Tree, of the UVSP call for trees that have an evergreen character with bold forms to help differentiate from the character of the Main Street. As shown in the landscape plan and renderings (Attachment B, Sheets L1.1 and A252), including the tree legend, the trees proposed along both of these street frontages are evergreen with bold forms. Further, as shown in the project plans (Attachment B, Sheets AS700, A201, and A252), the proposed rooftop mechanical equipment is shielded from public view with equipment screening (Attachment B, Sheets L1.1 and A252).
Finally, the proposed building signage (Attachment B, Sheets A202, A250, and A251) is consistent with the applicable design guidelines outlined in the signage section, including placement, design and purpose.
Consistency with the General Plan
The City’s General Plan land use designation of the Project Site is Village Commercial, which also applies to the entire Plan Area. As stated in the General Plan Land Use Element, the Village Commercial designation is envisioned as a master planned area containing specific design standards and policies that enhance pedestrian and vehicle circulation within the Plan Area. The intent of this designation is to establish a community core where commercial, civic, and residential uses would be appropriate. It also calls for enhanced pedestrian areas that conveniently link commercial, residential, and civic activity areas.
As proposed, the Project is consistent with and would provide for the medical office use permitted and called for in the General Plan Land Use Element and UVSP. The proposed medical office use is a replacement of the existing medical office use. Also, under the Project, the existing publicly accessible sidewalks along Health Center Drive and Calle De La Louisa, combined with the new internal walkway system of the Project Site, would continue to provide safe pedestrian pathways that conveniently provide direct access to not only the Project Site, but also to the nearby Laguna Hills Transportation

Center and Civic Center, regional trails, and a mix of commercial, retail and office (medical and general) uses surrounding the Project Site. The Project would provide a new and improved medical office building and associated site features and improvements, and therefore carry out the City’s goals, policies, and the intent for the Project Site as contemplated by the General Plan and UVSP.
For example, the Project would be consistent with and help implement the following goals of the General Plan Land Use Element:
• Goal LU-3. Encourage infill development that involves the revitalization of property in an economically and environmentally sustainable manner. • Goal LU-4. Place a high priority on design, architecture, and landscaping that reflect the community’s identity and gracious lifestyle.
CONCLUSION:
Staff recommends approval of the Project as it includes redevelopment of a portion of the Project Site that would allow existing medical uses (including the MCBC) at the Project Site to operate out of a new state-of-the-art medical office building. The Project would also include enhanced pedestrian and vehicular circulation elements consistent with the UVSP. As demonstrated in this staff report and accompanying resolution, the Project, as conditioned, is consistent with the goals and objectives of the Laguna Hills General Plan and UVSP, as well as with the development standards and design guidelines of the UVSP. Therefore, Staff recommends approval of the Project.

SECTION 2. The Planning Agency hereby determines that the required findings by the City for approval of Site Development Permit No.
USE-0072-2021 have been met and made as follows:
Site Development Permit
1. The site design complies with standards of the Development Code.
The Project is part of a larger site that comprises a professional medical office center located at 24401–24431 Calle De La Louisa (“Property”). The Property was approved as a ‘commercial/office/retail’ development by the Orange County Planning Commission in November 1981 (UP 81-42P/SP 81-41P). The portion of the Property that would be redeveloped under the Project, which includes the building at 24401 Calle De La Louisa and associated site improvements (“Project Site”), encompasses approximately 1.4 acres of the overall Property. The Project Site is within the development area covered by the Urban Village Specific Plan (UVSP) and development onsite is subject to the development standards and design guidelines of the UVSP.
The Project has been designed to meet the applicable development standards and design guidelines of the UVSP, including those related but not limited to building height and setbacks, lot and landscaping coverage, signs, parking, mechanical equipment screening, and architecture. For example, the proposed building height is within the established height limit of the UVSP—maximum building height allowed is 75 feet and the maximum building height provided is 57 feet, 4 inches. Also, the proposed rooftop mechanical equipment would be shielded from public view with equipment screening. Further, the proposed parking supply of 238 spaces would be adequate to serve the parking needs of the new three-story medical office building uses and the uses of the three existing two-story buildings to remain on the subject property. Architecturally, the Project continues the high-quality design and architecture envisioned for the UVSP and is an aesthetic improvement to the Project Site and its surrounding.
2. The site is suitable for the proposed development.
The Project includes replacement of the existing three-story 42,309 square-foot medical office building with a new three-story 41,805 square-foot medical office building. Similar to the existing building, the new building is designed for and would function as a medical clinic/office building. Therefore, the Project is suitable as it involves the replacement of an existing medical office building with a new medical office building that would house the same medical uses of the existing building to be demolished. Also, the Project Site is surrounded by a mix of commercial, retail, financial, office, health care and residential uses. The proposed medical office building replacement under the Project would be
5.5.1.a

compatible with and not detrimental to the existing remaining uses onsite and with the surrounding mix of uses.
Further, the site design aspects of the Project will be compatible with, and not detrimental to, surrounding development and with the overall design quality of the Project Site and its surroundings. These aspects include building setbacks, vehicular and pedestrian access, landscaping/lighting, signage, and other architectural site design elements (i.e., height, scale, mass, and appearance).
For example, the proposed building height and massing is similar to that of the existing building onsite to be demolished and of the medical, financial and office buildings surrounding the Project Site. The new medical office building also reflects a contemporary architectural theme incorporating visual interest and building articulation. Finally, the new medical office building is a permitted use in the UVSP. Conditions of approval have been included to ensure that the Project will be compatible with the surrounding area with respect to noise, parking, and public safety.
3. The project is consistent with the General Plan and applicable design guidelines.
The General Plan designation for the project site is Village Commercial, which is “envisioned as a master planned area containing specific design standards and policies that enhance pedestrian and vehicular circulation within the currently developed area.” This vision is implemented by the UVSP and City’s Development Code, which contain development standards and design guidelines that are applicable to development within the UVSP, including the Project Site.
As demonstrated above, the Project is consistent with the development standards and design guidelines of the UVSP. Additionally, the Project is consistent with and would provide for the medical office use permitted and called for in the General Plan Land Use Element and UVSP. The proposed medical office use is a replacement of the existing medical office use. The Project would provide a new and improved medical office building and associated site features and improvements, and therefore carry out the City’s goals, policies, and the intent for the Project Site as contemplated by the General Plan and UVSP.
4. The site design and structural components are appropriate for the site and function of the proposed uses.
The Project will be of high-quality design with an appropriately scaled framework of architectural and landscaping elements. As demonstrated above, the new medical office building will be designed to meet all development standards and design guidelines of the UVSP. High-quality development features will be provided for the Project through site design (e.g., building and outdoor orientation, walls, and rooftop equipment screening), architecture (e.g., mass, scale and form, style, material and color) and landscaping (e.g., parking lot trees and shade). Development of the Project, as conditioned, will be compatible with,

and not detrimental to, surrounding development, and with the overall design quality prevalent in the City.
NOW, THEREFORE, based upon the above findings, the Planning Agency of the City of Laguna Hills does hereby approve Site Development Permit No.

Subject: Revised Parking Demand, Trip Generation, and VMT Assessment for Saddleback Medical Center (SMC) Women’s Health Pavilion Laguna Hills, California
Dear Mr. Chartier:
As requested, Linscott, Law, & Greenspan, Engineers (LLG) is pleased to submit this Parking Demand and Trip Generation Assessment for the proposed Saddleback Medical Center (SMC) Women’s Health Pavilion (“Project”) in the City of Laguna Hills. The Project site is a medical office/retail center comprised of four buildings located at 24401 – 24431 Calle de la Louisa, of which the existing three-story building will be replaced by the Project, a new three-story medical office building with 41,805 SF of gross floor area (parking-based floor area totals 39,722 SF).
Pursuant to the City of Laguna Hills’ requirements, a parking study is required to estimate the parking needs for the Project and existing medical office and retail uses in the three two-story buildings based on anticipated tenancy and re-occupancy of currently vacant space. The on-site parking supply totals 238 spaces, comprised of 189 spaces in the structure and 49 spaces in the lot.
This report evaluates parking needs based on the application of the May 1996 Variance No. 96-005 for the site, the Laguna Hills Urban Village Specific Plan (UVSP) parking ratios and time-of-day profiles (per the UVSP’s Table 9), as well as empirical ratios derived from parking demand counts that were conducted at the Project site on December 15, 16, and 17, 2020, LLG’s prior studies (Taj Mahal and SVOP within the UVSP area, and OCMC Medical Office Building in Fountain Valley), and ITE’s Parking Generation Manual (5th Edition).
Our method of analysis, findings, and recommendations are detailed in the following sections of this report. Briefly, we conclude that the total future supply of 238 marked spaces on site would be adequate in serving the parking needs of the new medical

PROJECT DESCRIPTION
Figure 1 presents the vicinity map. Figure 2 illustrates the site plan, which is comprised of the proposed three-story medical office building for the Project (will replace the existing three-story building on site at 24401 Calle de la Louisa) and existing three two-story buildings at 24411, 24421, and 24431 Calle de la Louisa.
Table 1 presents the development tabulation for all four buildings.
The Memorial Care Breast Center (MCBC) and Women’s Health Center (WHC) development for SMC will continue to provide medical services to the community.
Along with maintaining the location of the current MCBC, the facility will focus on Women’s Health services throughout. The development of the Project will be constructed in phases to allow the existing services to remain open and operational during construction, and include surface parking, hardscape, and landscape improvements. ADA upgrades to all accessible paths of travel will also be completed.
The existing three-story office building with 40,600 SF of medical office uses (of which 10,302 SF is currently vacant space) will be replaced with a smaller, new three-story medical office building with 39,722 SF of parking-based floor area (of which 2,619 SF will be for general office).
The on-site parking supply totals 238 spaces, comprised of a 189-space parking structure and a 49-space parking lot.
For the purposes of parking calculations, the City of Laguna Hills exempts areas for vertical shafts, restrooms, utility shafts and excess common area/open patios where no service or seating occurs, from the GFA calculation of the building. This calculation essentially uses GFA as the starting point, and after reducing for these components, results in the building’s GFA that becomes the basis of the parking calculation. This study presumed that the square footage provided to LLG and reported in the development tabulation on Table 1 represents “parking” GFA, as required by the City’s parking methodology.

N:\4300\2204352 - SMC Women's Health Pavilion, Laguna Hills\4352 Parking Study revised 1-19-22.docx CITY PARKING REQUIREMENTS PER VARIANCE NO. 96-005
The lower portion of Table 1 presents the application of the May 1996 Variance No. 96-005 parking ratios for general office and medical office (UVSP parking ratio for retail was applied) to each component (including vacant suites in blue text on Table 1), under existing conditions without the Project, and future conditions with the Project.
The parking calculations for existing conditions without the Project indicate a total City requirement of 220 spaces. Comparing this 220-space City requirement to the supply of 238 on-site spaces results in a surplus of 18 spaces under existing conditions without the Project.
Under future conditions with the Project, the total City requirement is 198 spaces (22 spaces less than the 220-space demand under existing conditions because the new building for the Project will be smaller than the existing one it will replace), which results in a surplus of 40 spaces when compared against the 238-space supply, and a parking contingency of 17% (far exceeds a typical contingency of 10% applied to similar projects).
PARKING DEMAND SURVEYS
Consistent with study parameters specified in the City Code, as well as the scope of work approved by the City for this parking demand assessment, field studies of actual parking demand at the Project site were undertaken to evaluate current parking conditions, and to develop insights as to actual (and framed to be conservative) parking demand ratios for medical offices uses.
Hourly counts were conducted of the number of vehicles parked in each of the parking zones (as illustrated on Figure 3) over a three-day period. Parking demand surveys were conducted every hour between 7:00 AM and 7:00 PM at the site on December 15 (Tuesday), 16 (Wednesday), and 17 (Thursday), 2020.
Tables 2, 3, and 4 present results of the parking demand counts on a typical weekday (Tuesday, Wednesday, and Thursday, respectively). The parking demand observed at the 24401 Building (to be replaced by the Project) and at the three other existing buildings (24411, 24421, 24431 Buildings), parking occupancy and corresponding surplus (by comparing total demand against supply), are reported on each of Tables 2 through 4.

N:\4300\2204352 - SMC Women's Health Pavilion, Laguna Hills\4352 Parking Study revised 1-19-22.docx On the bottom portion of Tables 2 through 4 is a summary of the peak observed demand, adjusted demand presuming 10%, 25%, and 45% contingencies, empirical ratios derived from each demand scenario, the medical office ratio established in Variance No. 96-005, ITE parking ratios (average and 85th percentile demand ratios), and empirical ratios from LLG’s prior studies of comparable medical office uses (i.e., Taj Mahal and SVOP within the UVSP area, and OCMC Medical Office Building in Fountain Valley).
As presented in Table 2, the observed peak parking demand was 115 spaces (compared to the other survey periods and dates), which occurred on Tuesday at 11:00 AM and 2:00 PM. Compared against the 238-space supply, the 115-space peak demand corresponds to a surplus of 123 spaces. Surpluses were greater during all other hours on that Tuesday, and during the Wednesday and Thursday parking count dates.
MEDICAL OFFICE PARKING RATIOS
Notwithstanding the requirements of City Code (UVSP), the actual parking requirements for medical offices have been found to be significantly less than the City’s own Code requirement. This aspect is illustrated by the medical office ratio of 4.26 spaces per 1,000 SF (or 1 space per 235 SF) established in Variance No. 96-005, and actual parking demand compilations from other sources, and detailed study of the actual parking demands of similar sites.
The UVSP’s equivalent value for medical office of 6.67 spaces/1,000 SF is among the most conservative requirements in Southern California. The County of Orange has had for many years the same required ratio, and that ratio came into play for development in a number of areas that have since incorporated (this value could be characterized as a common “industry standard” thirty to forty years ago). Further, an ITE Journal article on medical office buildings1
concluded that 4.5 parking spaces/1,000 SF should be
provided for medical office buildings. It is noted that the City’s own code value of
6.67 spaces/1,000 SF significantly exceeds this recommendation.
Focusing to Table 2 (with the greatest observed demand of 115 spaces compared to those presented on Tables 3 and 4), the empirical ratios derived from adjusted demand values with a 10%, 25%, and 45% contingency correspond to 3.41 spaces/1,000 SF,
3.87 spaces/1,000 SF, and 4.48 spaces/1,000 SF, respectively. The medical office ratio of 4.26 spaces per 1,000 SF (or 1 space per 235 SF) was established in Variance No. 96-005. ITE’s Parking Generation Manual (5th Edition) reports an average demand 1 “Parking Requirements for Medical Office Buildings”, John W. Dorsett and Mark J. Lukasik, ITE Journal, August 2007

Other sources for medical office parking ratios come from actual experience at equivalent sites, or in the case of medical office uses, overall medical center sites where the medical office parking needs were isolated from the total medical center parking demand by detailed field study and analysis. Empirically-derived parking ratios include 3.79 spaces/1,000 SF for Taj Mahal and 2.43 spaces/1,000 SF for SVOP (both developments are located in the UVSP area), and 4.34 for OCMC Medical Office Building in Fountain Valley.
Based on the above considerations, and as a conservative measure, using the greatest empirical ratio of 4.48 spaces/1,000 SF (stemming from the 100th percentile/peak demand from all the parking surveys, plus a 45% contingency) from Table 2, and rounding it to a ratio of 4.5 spaces/1,000 SF, results in the recommended parking ratio for application to estimating the parking needs of the medical office Project.
PROJECT PARKING DEMAND VS. SUPPLY
Table 5 presents the shared parking summary for existing occupied medical office, vacant medical office, and vacant retail suites at the site (without the Project) during weekday conditions based on the application of UVSP parking ratios and time-of-day profiles, but with the application of the recommended ratio of 4.5 spaces/1,000 SF for medical office. As highlighted in yellow, the calculated shared peak demand is 229 spaces at 11:00 AM on a weekday, which corresponds to a calculated surplus of 9 spaces when compared against the 238-space supply.
The far-right columns of Table 5 (in blue) indicate LLG’s observed parking demand on December 15, 2020 (the peak of all survey dates) adjusted to include the calculated demand for vacant medical office and retail suites, and the actual surplus based on comparing demand against the 238-space supply. During the peak at 11:00 AM, the 229-space calculated demand is 53 spaces greater than the 176-space actual demand, corresponding to a 22% parking contingency in supply.
Table 6 presents the shared parking summary for the Project (new medical office building) during weekday conditions based on the application of the general office ratio of 2.11 spaces per 1,000 SF (or 1 space per 475 SF) based on Variance No. 96-005, the recommended ratio of 4.5 spaces/1,000 SF for medical office, and UVSP time-of-day profiles. As highlighted in yellow, the calculated shared peak demand is 208 spaces at

The 30-space surplus under this “with Project” scenario is greater than the 9-space surplus under “without Project” scenario summarized in Table 5 because the proposed new medical building will be smaller than the existing one it will replace.
The far-right columns of Table 6 (in blue) indicate that during the peak at 11:00 AM, the 208-space calculated demand is 32 spaces greater than the 176-space actual demand, corresponding to a 13% parking contingency in supply.
TRIP GENERATION AND VMT SCREENING
Table 7 presents the trip generation assessment for the project. Based on the application of ITE trip generation rates for medical office, retail, and general office uses, trip generation estimates were calculated. It should be noted that trip generation is calculated based on GFA, not “parking-based” GFA. As indicated in Table 7, the net new trips resulting from development of the Project would not exceed the traffic study threshold of 50 net additional peak hour trips2
during the AM or PM peak hour.
Also attached at the end of this letter report is the City’s VMT Screening Form, which indicates that the Project is screened out from further VMT analysis and LOS evaluation based on its location in a low VMT area, and its net reduction in daily trips.
CONCLUSION
Based on the above, we conclude that the total supply of 238 marked spaces on site would be adequate in serving the parking needs of the new medical office building for the Project and existing three buildings (presuming 84% medical office and 16% general office uses, which are within the land use breakdown specified in the May 1996 Variance No. 96-005 for the site of 84.5% medical office and 15.5% general office).
Also, the Project is screened out from further VMT analysis and LOS evaluation based on its location in a low VMT area, and its net reduction in daily trips. 2 Per the City’s criteria, the preparation of a traffic impact study for future developments that would generate 50 or more peak hour trips in the Laguna Hills Urban Village area is typically required. This study is intended for determining the potential, significant impacts of a Project, and the corresponding mitigation measures or physical improvements to streets and intersections in the vicinity of the Project.

ISSUE: Proposal for City to Retain Specified Local Business Attraction and Retention Services from the Laguna Hills Chamber of Commerce for Fiscal Year 2022-2023
RECOMMENDATION: That the City Council review and approve proposed "deal points" that will then be used to prepare a proposed "Business Attraction and Retention Services Agreement" between the City of Laguna Hills and the Laguna Hills Chamber of Commerce for Fiscal Year 2022-2023.
SUMMARY:
At its February 8, 2022, meeting, the City Council discussed options for supporting the Laguna Hills Chamber of Commerce, including monetary support and/or equivalent services. At that meeting, the City Council voted to table the item until the anticipated July 2022 Budget amendment discussion, and directed Staff to work with the Chamber of Commerce to prepare deal points for City Council consideration, consistent with parameters set forth in the PowerPoint presented at that meeting by Councilmember Pezold. At the following February 22, 2022, City Council meeting, Mayor Pro Tempore Heft requested an agenda item be scheduled at the next meeting in order to offer a motion for reconsideration of the timing of the City’s support of the Laguna Hills Chamber of Commerce. At its March 8, 2022, City Council meeting, the Council approved a motion for reconsideration and also passed a motion directing Staff to work with the Chamber of Commerce to develop funding agreement deal points for City Council consideration at its April 12, 2022, meeting.

Staff, on March 24, 2022, the Chamber of Commerce submitted to the City a proposed deal points outline, provided as Attachment 1. The proposed deal points include a scope of services to be performed by the Chamber of Commerce in return for the compensation to be provided by City. Compensation, as proposed by the Chamber of Commerce, includes a payment of $10,000 in direct compensation, meeting and event space at the City’s Community Center, and potential office space at the City’s Civic Center. The use of City space at the Community Center and at the Civic Center are proposed to be provided for no fee. The City Council is requested to provide final direction on these deal points to allow for the preparation of a Business Attraction and Retention Services Agreement between the Chamber of Commerce and the City for Fiscal Year 2022-2023.
BACKGROUND:
At its February 8, 2022, City Council meeting, Councilmember Pezold presented her report regarding City support for the Laguna Hills Chamber of Commerce. City Council discussed various options for supporting the Laguna Hills Chamber of Commerce, including monetary support and/or equivalent services. The City Council voted to table the item until the anticipated July 2022 Budget amendment discussion, and directed Staff, in the meantime, to work cooperatively with the Chamber of Commerce to prepare a deal points outline for City Council consideration in July 2022, consistent with the parameters set forth in the February 8 PowerPoint presented by Councilmember Pezold.
At the following City Council meeting, on February 22, 2022, during the City Council Comments portion of the meeting, Mayor Pro Tempore Heft indicated a desire to discuss a motion to reconsider the timing of the City’s consideration of support of the Laguna Hills Chamber of Commerce, with a second by Councilmember Pezold, to place the item on the March 8, 2022, City Council meeting agenda. At the March 8 meeting, the City Council approved a motion for reconsideration and also passed a motion directing Staff to work with the Chamber of Commerce to develop funding agreement deal points and return this matter to the City Council at its April 12, 2022, meeting. The March 8, 2022, Staff report and attachments are included as Attachment 2 to this report.
DISCUSSION:
On March 24, 2022, City Staff met with two representatives of the Laguna Hills Chamber

of Commerce, Board of Director members Sheri Feinberg and Jeffrey Halloran, to cooperatively discuss deal points for a potential funding agreement for Fiscal Year 2022- 2023, including a scope of services to be performed by the Chamber of Commerce, and specific events during which these services would be provided. Also discussed at the meeting was potential compensation the City may provide to the Chamber of Commerce for the various services provided. Subsequent to the March 24, 2022, meeting, the Chamber of Commerce submitted to the City a proposed deal points outline, provided as Attachment 1.
Scope of Services
The services to be provided to the City of Laguna Hills by the Laguna Hills Chamber of Commerce are proposed as part of a business attraction and retention program to support the City’s economic development efforts. Specific work items, as identified, include outreach to prospective and new businesses to Laguna Hills and marketing the City to attract desired businesses so as to enhance the welfare and wellbeing of the City’s residents and existing businesses. Marketing services include use of the City logo in all advertising for City/Chamber events. Chamber of Commerce services would also include maintenance of a business retention relationship with the Laguna Hills business community, with business outreach to assess and address business needs, concerns, and questions, to improve business conditions and relations within the community and to communicate these issues to the City.
The scope of services in the proposed deal points outline (Attachment 1) would be provided at events conducted during Fiscal Year 2022-2023, including but not limited to:
National Night Out; State of the City; 4th of July; Heritage Day (if created) or other City events at which Chamber assistance is requested throughout the year.
Compensation
The Chamber of Commerce deal points outline proposes four categories of compensation to be provided by the City, summarized below, in return for the services performed by the Chamber:
1) Funding. A total one-time payment of $10,000 is proposed for Chamber of Commerce Business Attraction and Retention Services provided at events, all as detailed in the deal points outline.
7.2.1 Packet Pg. 218
Discussion to Retain Local Business Attraction Services from the LH Chamber of Commerce
April 12, 2022
2) Meeting Space. Meeting room facilities at the Laguna Hills Community Center would be made available to the Chamber of Commerce during Fiscal Year 2022- 2023, free of charge, including twice a month in the Tower Room for regular Chamber Board meetings and up to six special events held in the Heritage Room. 3) Office Space. Vacant office space, as it may become available, at the Laguna Hills Civic Center would be provided to the Chamber of Commerce during Fiscal Year 2022-2023, free of charge, for distribution of materials for general Business Attraction and Retention efforts, for the education of the business community and for the improvement of business conditions and relations. The Chamber of Commerce proposal does not currently include parameters for the size of an office to be provided. However, as a comparison, the City Council office is approximately 670 square feet. It is reasonable to establish that a similarly sized space be considered for Chamber of Commerce use. Please see Fiscal Impact for further discussion of available, and potentially available, office spaces in the Civic Center and their financial impact to the City.
4) Kiosk Space. A kiosk space will be made available at the City Hall Reception Desk area for the Chamber to provide Business Attraction and general Chamber of Commerce information.
Proposed Business Attraction and Retention Services Agreement As the City will be purchasing business attraction and retention services from the Chamber of Commerce, as outlined in the Scope of Work, the City Attorney will prepare a Business Attraction and Retention Services Agreement once the City Council provides final direction on the attached Chamber of Commerce Proposal. The proposed Agreement will memorialize the deal points as agreed upon by the City Council and the Chamber of Commerce, as well as incorporate the following standard agreement terms:
1. Term. Services to be provided by Chamber of Commerce are for one year; May 2022 through June 30, 2023; Fiscal Year 2022-2023.
2. Insurance Requirements. Chamber of Commerce to provide and comply with City-standard Insurance requirements for retaining consultant services.
3. Indemnification. Chamber of Commerce to comply with City-standard

Indemnification requirements for retaining consultant services.
4. Miscellaneous. Contract Terms and Provisions. Chamber of Commerce to comply with other applicable City-standard miscellaneous contract terms and provisions for retaining consultant services.
5. IRS 501(C)(6) Tax Exempt Status. The Laguna Hills Chamber of Commerce shall at all times during the Term of this Agreement maintain and be in good standing with their 501(C)(6) tax exempt status; City funds and/or City facilities provided by the City to the Chamber, as set forth in this Agreement, shall not be used to benefit one shareholder or for purposes of lobbying that violates their 501(C)(6) tax exempt status; and a quarterly report shall be provided to the City that includes an accounting for how all City funds authorized by this Agreement were spent.
6. Lease Agreement. To the extent that office space is provided by the City to Chamber of Commerce at the Laguna Hills Civic Center, Chamber of Commerce shall execute a standard Lease Agreement as to terms and conditions of occupancy of the property.
Comparison of Other South Orange County Cities
For the City Council’s information, the following compensation is provided by other cities in South Orange County to their Chambers’ of Commerce:
City Sponsor of Chamber Sponsorship Amount Lease of City Facilities Aliso Viejo Yes $4,800 None
Laguna Beach Yes $35,000 None

*A response form Mission Viejo had not been received by the time of release of this report.
As shown in the table above, two surrounding cities provide their Chambers of Commerce with City-leased office space in addition to their sponsorship amounts:
Laguna Niguel and San Juan Capistrano. The City of Laguna Niguel leases 906 square feet

to their Chamber of Commerce at a lease rate of $1,930 per month. The City of San Juan Capistrano provides City facility space at no charge for the lease rate; however, the Chamber of Commerce does reimburse the City of San Juan Capistrano for landscaping and building maintenance and utility costs totaling $1,018 per month.
It is noted that when the South Orange County Chamber of Commerce occupied the Laguna Hills Civic Center from 2010 to 2012 and they did pay market lease rates.
FISCAL IMPACT:
Proposed compensation of $10,000 for the purchase of business attraction and retention services from the Chamber of Commerce would come from the City’s General Fund reserves. Use of the Community Center meeting facilities would have a cost equivalent to the lost revenue for any events that would otherwise be scheduled for the dates and times used.
The City currently leases the second and third floor of the Laguna Hills Civic Center to various private businesses and governmental entities at market rate creating an “enterprise” operation. Leasing operation profits, to the extent they materialize, are regularly transferred to the City’s General Fund. Provision of office space at the Civic Center to the Chamber of Commerce would result in the loss of lease revenue and Common Area Maintenance (CAM) charges that would otherwise be paid by tenants.
The table below lists the currently available, or soon to be available, office suites in the Civic Center.

Should the City Council decide to join the Chamber, Staff recommends the City join at the Non-Profit Membership level. The current budget does not include membership funding above this level and, as such, a budget amendment would be required for any further economic support of the Chamber.
As an alternate to joining the Chamber as a member and, should the City Council wish to provide financial assistance, it may be more appropriate for the City to provide community assistance funding. At its discretion, the City Council may provide community assistance funding to certain community groups and nonprofit organizations that provide community service, support, and/or programming efforts intended to enhance the quality of life of the City's residents, provided the City Council finds and determines that the expenditure of such community assistance funding fulfills a public purpose and provides a direct public benefit within the City of Laguna Hills. In this instance, the City Council may make the requisite “public purpose findings” for community assistance funding, in a specified amount and for a specific period of time, and approve a formal Resolution of the City Council as a means of providing municipal funding to support the Chamber. Most recently, in FY 2019-2020, the City Council authorized $7,500 of community assistance funding to the Chamber via a Community Assistance Funding Resolution. Community assistance funding has not been included in the current budget and, as such, would also require the approval of a budget amendment if it is further considered.
It should be noted that, irrespective of the funding support mechanism, Staff does not recommend City officials and/or Staff serve on the Laguna Hills Chamber of Commerce Board of Directors, should the opportunity be provided to the City. In its primary function, the City serves in a regulatory capacity, which includes some forms of regulation of businesses. While the City and the Chamber will most often have compatible views on local and State issues affecting businesses, there will be instances where the City, in its regulatory function, is not able to take a position or might even be required to take an opposing position as expressed by the Chamber of Commerce. could very well create a conflict of interest and, as such, should be avoided.
FISCAL IMPACT:
Staff is providing the following information: While not currently budgeted, membership in the Laguna Hills Chamber of Commerce at the Non-Profit Level could be accommodated within the 2021-2023 Biennial Budget. Should the City Council decide to join at a higher membership level or provide financial support by way of community assistance funding, a Budget Amendment would be required. Alternatively, providing valuable services to the Laguna Hills Chamber of Commerce could and should be recognized as equivalent to a financial contribution. These services have and can include providing low-cost or free access to City facilities for meetings and events, advertising Laguna Hills Chamber of Commerce events and/or co-sponsoring an annual State of the City event.
