3.2.6.1 Grounds for Termination for Cause. As used in this Agreement, cause shall mean any of the following:

(3) If a public hearing before the City Council is demanded, no special notice (e.g., newspaper publication) shall be required for the hearing, other than agenda noticing required by the Brown Act. The City Council shall fix a time for the public hearing which shall be held at its regular meeting place before the expiration of the thirty (30) day period referred to in subparagraph (1) above.
(4) The issues to be determined in the hearing shall be whether the specification(s) alleged constitute "cause" pursuant to this Agreement. The City Council’s determination shall be final and without right of further appeal. (5) In the event the City Council concludes in favor of Employee that no cause exists, Employee shall be entitled only to the appropriate amount of severance pay and benefits as he would have received if terminated without cause pursuant to Section 3.2.4 above and upon the conditions set forth in Section 3.2.4. If Employee has elected to purchase the equipment, City shall provide Employee with a Bill of Sale following payment. For the purposes of this Purchase Option, "Fair Market Value" shall be defined as the purchase price that would be obtained in an arm's length transaction between a willing seller and a willing purchaser, neither under the compulsion to buy or sell. In the event City and Employee cannot agree upon the Fair Market Value, then such value shall be determined by an independent appraiser selected by City but satisfactory to Employee. The cost of such appraisal shall be borne equally by City and Employee.

If a Councilmember wishes to influence the actions, decisions, recommendations, workload, work schedule, or staff priorities, that member must prevail upon the Council to do so as a matter of Council policy.

3.8 General Provisions.

3.8.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and is intended as an integrated agreement, superseding all prior negotiations, arrangements, agreements, representations, and understandings, if any, made by or among the Parties with respect to the subject matter hereof. CITY COUNCIL AGENDA REPORT
MEETING DATE: July 22, 2024 ITEM NUMBER: 12C
To: Mayor Jordan B. Nefulda & Members of the City Council Presented By: Windmera Quintanar, City Clerk
Matthew Lightner, Management Analyst
Subject: Placement of a Modernizing Charter Amendment Measure on the November 5, 2024 General Election Ballot for Voter Consideration

SUMMARY
This item will discuss the Los Alamitos proposed Charter Amendment to be placed on the November 5, 2024 ballot, for a vote from the public. Amendments to the City's Charter can only be made by a majority vote of the people. As the Charter is 64 years old and has not had a revision since 1998, there are several aspects that are no longer in line with the best practices, efficiency, and economics.

RECOMMENDATION

1. Declare the attached Resolutions are not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment), and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in a physical change to the environment, directly or indirectly; and,

2. Adopt Resolution No. 2024-29, entitled, “A RESOLUTION OF THE CITY COUNCIL OF

THE CITY OF LOS ALAMITOS, CALIFORNIA, CALLING FOR THE HOLDING OF A GENERAL MUNICIPAL ELECTION ON TUESDAY, NOVEMBER 5, 2024, FOR THE SUBMISSION OF A PROPOSED CHARTER AMENDMENT"; and,

3. Adopt Resolution No. 2024-30 entitled, “A RESOLUTION OF THE CITY COUNCIL OF THE

CITY OF LOS ALAMITOS, CALIFORNIA, SETTING PRIORITIES FOR FILING WRITTEN

ARGUMENTS REGARDING A CITY MEASURE AND DIRECTING THE CITY ATTORNEY TO PREPARE AN IMPARTIAL ANALYSIS"; and,

4. Adopt Resolution No. 2024-31, entitled, “A RESOLUTION OF THE CITY COUNCIL OF

THE CITY OF LOS ALAMITOS, CALIFORNIA, PROVIDING FOR THE FILING OF REBUTTAL ARGUMENTS FOR CITY MEASURES SUBMITTED AT MUNICIPAL ELECTIONS".

BACKGROUND
The City of Los Alamitos is a charter city. The City Charter was adopted in 1966. In 1968, the Charter was amended to update the administrative organization of the City and the distribution of powers to various officers in the City (Resolution No. 362). The Charter was amended in

Page 199 of 223 ends

1980 to add eligibility requirements for Council Members and remove votes for Mayor and Mayor Pro Tem by secret ballot (Resolution No. 954). The Charter was amended in 1988 to align the City with State election laws, which would include the alignment of Election dates (Resolution No. 1223). The last amendment addressed adding term limits for Council Members elected at large in 1998 (Resolution No. 1687).

One of the City Council's goals for 2024 was to update and amend the City Charter to better facilitate city business while creating a more efficient and a more transparent environment in the modern age. The Budget Standing Committee considered including a charter amendment on the November 5, 2024, ballot at its February 12, 2024, Special Meeting and recommended approval by City Council. The City Council authorized the City Manager to enter into a Consulting Services Agreement for Ballot Measure Polling & Outreach Consultant Services to update the purchasing policy for Public Works Contracts, create more transparency in government, to establish district election term limits, and provide limits on lobbying and campaign contributions.

A Request for Proposal was released on March 28, 2024, soliciting bids for Ballot Measure Polling & Outreach Consultant Services. Fairbank, Maslin, Maulin, Metz & Associates (FM3) was the chosen prime contractor and Tripepi-Smith (TS) provided support work for the research. FM3 and TS reviewed the City Charter and conducted outreach to determine if the public desired revisions to the Charter. The outreach determined that the Public Works Contract language needed revisions, that district election term limits were needed, and that lobbying and campaign contribution limits were requested.

DISCUSSION
The proposed measure offers several key changes, including enhancing public works purchasing authority, establishing district term limits for city council members, updating language related to district elections, placing campaign contribution limits on those seeking city council office and requiring public filing and disclosure of lobbyist activities in the City. These revisions will save taxpayer dollars and staff time while also improving the City’s commitment to transparency. The Charter Amendments will include, without limitation, the sections listed below.

Section 501A - Election of Members; Term Limits
Since transitioning to Districts, the Council has appointed two district representatives as they were the only nominees. Prior to the district-based elections, all three Council seats were unopposed by the incumbents in 2014. With the transition to district-based elections, the City may now establish district term limits. The charter amendment would replace old language directed at the City's form at large election system with current by-district election language.

Section 1206 - Contracts on Public Works
As written, contracts for public works projects of over $10,000 must go through a formal bidding process and be awarded by the City Council. With inflation and the general cost of construction materials, this threshold is no longer adequate for today's market. Due to the increased timeline for a formal bidding process, the City has missed lower pricing due to demand. Contractors have declined to work with the City due to the requirements for what is considered a minimal contract amount. Further, State Law provides options for greater

Page 200 of 223 ends

flexibility and efficiency through informal bidding procedures that the City of Los Alamitos cannot take advantage of under the existing Charter. The charter amendment would bring the threshold up to modern figures, allowing the City to nimbly provide services that would not be available under the current purchasing threshold.

Section 504 - Campaign Contribution Limits, and Section 505 Lobbying Restrictions To reduce the influence of money in local politics, this amendment would enact a single source campaign contribution limit of $500 to candidates for City Council. The charter amendment would mandate full disclosure and transparency in accordance with the Political Reform Act and impose a local campaign contribution limit that is more restrictive than the State's $5,500 limit.

The proposed charter amendment would also require lobbyists attempting to influence City decisions to register with the City Clerk, and disclose the nature of their lobbying efforts. These registrations and disclosures would be made available to the public.

Other proposed amendments to Sections 500, 501, 601 and Article IX, are made to reflect the City's transition to by-district elections.

Ballot Measure
Approval of the recommended action would place the modernizing Charter Amendment measure on the November 5, 2024, ballot for voter consideration. The City Clerk will file a certified copy of the resolution with the Board of Supervisors of Orange County and the Registrar of Voters of Orange County on or before August 9, 2024. Passage of the measure would require 50% + 1 approval of the voters in the City of Los Alamitos.

The following is the recommended ballot question:

YES
Los Alamitos City Government Accountability, Transparency, Charter Reform Measure.

Shall the Los Alamitos City Charter (established in 1966) be amended with no tax increase to: reflect the City’s by-district election system; establish term limits for Councilmembers elected-by district; impose limits on campaign contributions; require lobbyists to register with the City and report all lobbying activities, with reports made available to the public; and increase the bidding threshold for public works contracts awarded by the City Council?
NO
There are three resolutions recommended to the City Council for approval:

1. Add Measure to Ballot – If the City Council desires to submit a question to the voters relating to the Modernizing Charter Amendment at the General Election on November 5, 2024, the City Council must adopt Resolution No. 2024-29 – Ordering the Submission to the Qualified Electors of the City of a proposed Charter amendment at the General Municipal Election to be Held on Tuesday, November 5, 2024, as called By Resolution No. 2024-15.

2. Ballot Arguments - Should the City Council choose to submit the measure to a vote, and should the City Council or any member(s) of the City Council wish to file a written argument for

Page 201 of 223 ends

or against the question to be submitted to the voters, the City Council must adopt Resolution No. 2024-30 – Setting Priorities for Filing Written Arguments Regarding a City Measure and Directing the City Attorney to Prepare an Impartial Analysis.

The Elections Code provides that up to five authors may sign the ballot argument. When some or all of the City Council Members submit an argument, that argument has priority over competing arguments, if any. The submission of a ballot argument by the City Council is optional. Resolution No. 2024-30 also directs the City Attorney to prepare an impartial analysis of the measure as required by the Elections Code.

3. Rebuttal Arguments – Should the City Council choose to submit the measure to a vote and should the City Council wish to authorize rebuttal arguments, the City Council must adopt Resolution No. 2024-31 – Providing for the Filing of Rebuttal Arguments for City Measures Submitted at Municipal Elections.

Should the City Council wish to provide for rebuttal arguments, Resolution No. 2024-28 must be adopted at the same meeting as the Resolution ordering the submission of the measure.

Resolution 2024-28 reiterates the Elections Code Section 9285 regarding Rebuttal Arguments.

FISCAL IMPACT
The additional cost to add a measure on the November 5, 2024 ballot is approximately between $14,884 - $16,032. Sufficient funds have been included in the FY 2024-25 budget for expenses.

2. Section 501 of Article V (Elective Officers) of the Charter of the City of Los Alamitos is hereby amended and restated in its entirety to read as follows:
Ҥ 501.Eligibility.

To be eligible to hold the office of Councilmember the person must meet the requirements as set forth in the State law of the State of California, and he/she shall be a resident and an elector of the Council district within the City of Los Alamitos wherein he/she lives for a period of thirty (30) days prior to the date his/her nomination papers are filed. However, no Councilmember shall be deemed to have moved outside of his/her Council district as a result of district boundary changes which may occur during his/her term of office, and such Councilmember shall continue to serve until his/her term is complete or the office otherwise becomes vacant.”

3. Section 501A of Article V (Elective Officers) of the Charter of the City of Los Alamitos is hereby amended and restated in its entirety to read as follows:
Ҥ 501A. Election of Members; Term Limits.

A. No person shall serve more than three (3) consecutive terms of office as a member of the City Council representing any one Council district or a combination of more than one Council district. For the purpose of this section, a "term" shall include service on the Council for any period of seven hundred thirty-one (731) consecutive days or longer.

B. Any person who has served three (3) consecutive terms as a member of the City Council for any one Council district or a combination of more than one Council district shall not be eligible to serve again until the expiration of at least three hundred sixty-five (365) consecutive days after the end of such person's last term of office.

Page 206 of 223 ends

C. Pursuant to California Government Code section 36502(b), this section shall apply prospectively only. This section shall apply to the terms of office commencing with the election in November 2024. Terms that are commenced, and years that are served, as members of the City Council prior to November 2024 shall not be included when calculating the number of terms or years served for purposes of this section.”

4. Section 504 is hereby added to Article V (Elective Officers) of the Charter of the City of Los Alamitos to read as follows:
Ҥ 504. Campaign Contribution Limits.

A. Purpose and intent.

The purpose and intent of this section is to prevent corruption and the appearance of corruption in City Council candidates’ electoral campaigns that can arise where unlimited campaign contribution amounts may be made to candidates by a single source for election to the City Council, and to ensure an environment in the City of Los Alamitos wherein all City Council candidates are placed on an equal plane relative to the amount of campaign contributions received by them from a single source, and further to ensure that the amount contributed by any person does not materially influence the outcome of any election. In furtherance of that goal, a reasonable campaign contribution limitation is hereby enacted that is similar to those enacted by other communities that are similar to Los Alamitos. In those communities, such limitations have not inhibited city council candidates' ability to conduct meaningful and effective campaigns, but they have limited the appearance and incidents of corruption that have been experienced. To achieve this purpose, this section imposes a maximum limitation on the amount of campaign contributions which may be received by candidates from a single source for an elective city office campaign.

B. Relation to the Political Reform Act.

This section is intended to be a supplement to and in no way conflict with the Political Reform Act of 1974. Unless otherwise defined in this section, words and phrases shall have the same meaning herein as that given to them by the Political Reform Act of 1974, as the same may be, from time to time, amended.

C. Definitions.

The following words, terms and phrases, when used in this section, shall have the meanings ascribed to them in this subsection, except where the context clearly indicates a different meaning:

a. For the purpose of influencing or attempting to influence the action of the voters for or against the nomination or election of a City Council candidate; or b. Received by or made at the request of a City Council candidate or their candidate controlled committee.
iii. Payments for communications to members, employees, shareholders, or families of members, employees, or shareholders of an organization for the purpose of supporting or opposing a candidate or a ballot measure are not contributions, provided those payments are not made for general public advertising such as broadcasting, billboards, and newspaper advertisements.
“City Council candidate” means an individual who is listed on the ballot or who has qualified to have write-in votes on their behalf counted by election officials, for nomination for or election to the Los Alamitos City Council, or who receives a contribution or makes an expenditure or gives their consent for any other person to receive a contribution or make an expenditure with a view to bringing about their nomination or election to the Los Alamitos City Council, whether or not they have announced their candidacy or filed a declaration of candidacy at such time. The term "candidate" also includes any City Councilmember who is the subject of a recall election. An individual who becomes a candidate for the Los Alamitos City Council shall retain their status as a candidate until such time as that status is terminated pursuant to Government Code section 84214. “Person” means any individual, proprietorship, firm, partnership, joint venture, syndicate, business trust, company, corporation, limited liability company, association, committee, political action committee, labor union, and any other organization or group of persons acting in concert.

Ҥ 505. Lobbyist Registration and Reporting.

Page 209 of 223 ends

§ 902. Electors Signing Petitions.

The electors signing any petition for the nomination of any person to the office of Councilmember shall be residents of the district from which such person is to be nominated or has been elected. Only the names of electors who are residents of such district shall be counted in determining the sufficiency of any such petition.”

8. Section 1206 of Article XII (Fiscal Administration) of the Charter of the City of Los Alamitos is hereby amended and restated in its entirety to read as follows:
Ҥ 1206. Contracts on Public Works.

The City Council shall adopt policies and procedures governing contracting for public works which are defined to include the construction or improvement of public buildings, works, streets, drains, sewers, utilities, parks or playgrounds. The City Council may, in its sole discretion, adopt selected policies and procedures by reference to state law, but no state law shall govern public works contracting unless it is expressly adopted by the City Council or has been finally determined to be applicable to all charter law cities by an appellate court with jurisdiction over the City of Los Alamitos. Except as otherwise provided in this Charter or by state law made applicable to the City of Los Alamitos, the City Council shall award to the lowest responsible bidder each contract involving an expenditure of more than the bidding threshold amount (as defined in this section) for the construction or improvement of public works or for the purchase of supplies or materials for any such project. Bids shall be solicited via notice by publication in the official newspaper by one (1) or more insertions, the first of which shall be at least ten (10) days before the time for opening bids. Public works are exempted from the requirements of this section where the work will be performed by a City or County of Orange department.

All bids must be accompanied by either a certified or cashier's check, or a bidder's bond executed by a corporate surety authorized to engage in such business in California, made payable to the City. Such security shall be in an amount not less than that specified in the notice inviting bids or in the specifications referred to therein, or if no amount be so specified, then in an amount not less than ten (10) percent of the aggregate amount of the bid. If the successful bidder neglects or refuses to enter into the contract within the time specified in the notice inviting bids or in the specifications referred to herein, the amount of the bidder's security shall be declared forfeited to the City and shall be collected and paid into its general fund and all bonds so forfeited shall be prosecuted and the amount thereof collected and paid into such fund.

The City Council may reject any and all bids presented and may advertise at its discretion.

The City Council, without advertising for bids, after rejecting bids, or if no bids are received, may declare and determine that in its opinion, based on estimates approved by the City Manager, the work in question may be purchased more economically on the open market, and after the adoption of a resolution to this effect by a majority vote of the Council, the Council may proceed to have said work done in the manner stated, without

Page 210 of 223 ends

further observance of the provisions of this section. Such contracts likewise may be let without advertising for bids, if such work shall be deemed by the City Council to be of urgent necessity for the preservation of life, health or property, and shall be authorized by resolution passed by at least three (3) affirmative votes of the Council and containing a declaration of the facts constituting such urgency.

The bidding threshold amount shall be One Hundred Twenty-Five Thousand Dollars ($125,000) initially and shall annually be adjusted by the City Engineer upon confirmation by the City Council. On June 1st of each year, the City Engineer shall compute the percentage difference between the current California Construction Cost Index (CCCI) and the CCCI for the previous June 1st. The City Engineer shall adjust the bidding threshold amount by such percentage, rounding to the nearest dollar. The City Council shall review such adjustment at a public hearing and, upon Council confirmation, the bidding threshold amount shall be the adjusted figure. Should the CCCI be revised or discontinued, the City Engineer shall use the revised index, or a comparable index approved by the City Council.” ****

CITY COUNCIL AGENDA REPORT
MEETING DATE: July 22, 2024 ITEM NUMBER: 12D
To: Mayor Jordan B. Nefulda & Members of the City Council Presented By: Windmera Quintanar, City Clerk
Matthew Lightner, Management Analyst
Subject: Consideration of the Process for City Council Submission of a Ballot Argument in Favor of a Charter Amendment Modernizing the City of Los Alamitos City Charter

SUMMARY
The City is considering placing a Charter Amendment on the ballot at the November 5, 2024 election. If the measure is placed on the ballot, the arguments for and against the measure must be submitted to the City Clerk by August 6, 2024. Accordingly, the City Council must decide whether some or all of the Council Members would like to submit an argument in favor of the ballot measure and, if so, draft and approve the text of a ballot argument. Due to the constraints of the Brown Act, the development or approval of a ballot argument by more than two Council Members must occur at a noticed public meeting. Accordingly, advance consideration of the process for developing and approving arguments will help avoid a lastminute crisis or missed opportunity.

RECOMMENDATION

1. Consider whether to submit a ballot argument signed by all five Council Members, or by two or less Council Members in favor of the proposed Charter Amendment; or,

2. Provide direction to Staff concerning whether to schedule a future agenda item regarding the development and/or approval of the ballot measure argument.

BACKGROUND
The Elections Code: For matters placed on the ballot by the City Council, Elections Code § 9282 authorizes the Council, its members, or “any individual voter who is eligible to vote on the measure, or bona fide association of citizens, or any combination of voters and associations” to file a written ballot argument. Elections Code § 9283 provides that up to five authors may sign a ballot argument, so long as each files the written certification required by Elections Code § 9600. If more than five authors sign the argument, only the first five will be printed. The argument may not exceed 300 words in length.

When some or all of the City Council Members submit an argument that argument has priority under the Elections Code. Specifically, when a legislative body places a measure on the ballot and the body, or one or more of its authorized members, submits a ballot argument, Election Code § 9287 requires the elections official to print that argument, instead of any competing arguments, in the voter materials. The Elections Code ranks the order of preference

for competing ballot arguments by authors and signatories as follows:

1. The legislative body, or member or members of the legislative body authorized by that body.

2. The individual voter, or bona fide association of citizens, or combination of voters and associations, who are the bona fide sponsors or proponents of the measure.

3. Bona fide associations of citizens.

4. Individual voters who are eligible to vote on the measure.

Therefore, the Council has an opportunity to designate its own members as the authors of the argument in favor of the measure. If the Council does not do so, one of the competing arguments (if any) will be selected by the City Clerk using the order of preference listed above and any other local rules implemented by the City Clerk. (Many elections officials print the earliest received argument if required to choose between arguments of the same status in the statutory priority list.)
Authoring the arguments in favor of the measure will give the Council or Council Members it designates control over the argument. However, because there are five Council Members, no names will appear in support of the argument other than those of the designated Council Members.

Per the Elections Code, once ballot arguments are submitted, the City Clerk, as the elections official for the City, is required to maintain confidentiality as to all ballot arguments until the deadline for submitting arguments has passed, at which time the arguments become open to public inspection. However, once a document has been circulated to the Council in connection with a public meeting, it becomes public (unless privileged). Thus, any proposed ballot argument would become public once disseminated to the Council.

The Brown Act: Ballot measures and the subjects they cover are within the jurisdiction of the City Council, the Brown Act requires that any decision or discussion by more than two members of the Council concerning ballot measure arguments take place at a public meeting.

Thus, discussion and action concerning ballot measure arguments should be limited to no more than two Council Members outside of a public meeting. Discussion and action concerning the ballot measure arguments amongst more than two Council Members may only occur at a public meeting.

DISCUSSION
The City Council has the opportunity to author the ballot argument in support of the proposed Charter Amendment. To avail itself of this opportunity, it is recommended that the City Council either:

1. Designate two Council Members to draft and sign a ballot argument (with or without signatures from up to three additional members of the community) and with no further action by the full City Council; or,

2. Designate two Council Members to draft an argument for consideration and signature by all five Council Members and direct that an item be placed on the August 19, 2024 Adjourned

Regular Meeting agenda to consider approval or modification of that argument; or,

3. Direct that an item be placed on the August 19, 2024 Regular Meeting agenda to allow the City Council to draft and approve a ballot argument during the public meeting.
