SUBJECT:

APPROVAL OF SEVENTH AMENDMENT TO THE AGREEMENT WITH
WATERWORKS TECHNOLOGY, INC. FOR WATER AND SEWER

OPERATIONS SUPPORT AND MANAGEMENT SERVICES
Agenda Item # 9.4.

Recommendation:

Staff recommends that the City Council adopt the attached resolution entitled: “A

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD APPROVING A

SEVENTH AMENDMENT TO THE AGREEMENT WITH WATERWORKS TECHNOLOGY, INC. FOR THE INTERIM MANAGEMENT OF THE WATER AND SEWER OPERATIONS

AND CAPITAL IMPROVEMENT PROJECTS, EXTENDING THE TERM ON A MONTH-TO- MONTH BASIS RETROACTIVE TO JANUARY 1, 2026.”
Executive Summary:

The City’s agreement with Waterworks Technology, Inc. expired on December 31, 2025. Staff recommends that the City Council approve a Seventh Amendment to extend the agreement on a month-to-month basis, retroactive to January 1, 2026, with a 30-day notice of termination clause. The amendment will ensure continuity of water and sewer operations support and management services for the Utility Division while staff evaluates long-term service needs and considers competitive bidding options. Funds for this work are included in the FY 2026 and FY 2027 Water & Sewer Budget, with no additional appropriation required. (PW) Background:

City Council City Council Regular Meeting 320
The City of Lynwood’s Utilities Division operates and oversees the City’s water and sewer collection systems, including maintaining the water supply, ensuring water quality, maintaining and upgrading water system and sewer collection system infrastructure, and providing emergency response. These services are essential to the continued and effective operation of the City's utility infrastructure.

The City has maintained a contract with Waterworks Technology, Inc. for the provision of utility support and management services. The most recent contract term expired on December 31, 2025.

Discussion and Analysis:

Waterworks Technology, Inc. has been providing staffing necessary to manage the City’s water and sewer systems and to submit the required reports to the State agencies overseeing drinking water quality and production. The firm has also assisted staff with the on-going capital improvement projects (CIP). Currently, Waterworks Technology, Inc. holds the required certification to manage the City’s water system, classified as a D5 Distribution System, and provides 24/7 standby chief operator and reported as such to the State Water Resources Control Board.

Following the expiration of the contract on December 31, 2025, the services of Waterworks Technology, Inc. remain essential to the ongoing operations of the Utility Division. An interruption in these services would adversely affect the City's ability to manage and maintain its water and sewer systems.

Staff is requesting authorization for a month-to-month contract extension retroactive to January 1, 2026. The Seventh Amendment would include a 30-day notice of termination clause. This extension will allow staff sufficient time to evaluate current project needs, assess service requirements, and, if appropriate, conduct a competitive bid process for the provision of these services on a long-term basis.

The retroactive nature of the extension is necessary to maintain continuity of service and to ensure that work performed since January 1, 2026, is covered under a valid contractual agreement.

The City’s Contracting and Purchasing Policy allows three amendments to the original contract; however, an exception is permitted for emergencies or urgent need to ensure continuation of City operations. A Seventh Amendment on a month-to-month basis is necessary to allow staff to continue delivering vital services while the City’s long-term service needs are evaluated and competitive bidding options are considered.

Background:

Annual Sidewalk Improvement Program
Sidewalk improvements are implemented as part of the City’s Capital Improvement Program (CIP), which represents long-term investments in public infrastructure, including streets, sidewalks, alleys, and public facilities.

Maintaining and improving sidewalk infrastructure is essential to ensuring pedestrian safety, accessibility, and mobility throughout the community. These improvements reduce tripping hazards, enhance accessibility for individuals with disabilities, and support walkability within residential neighborhoods. Well-maintained sidewalks also contribute to the overall appearance and livability of the City.

Sidewalk locations included in this project were selected based on resident outreach, field investigation, and evaluation by City Staff.

Procurement Process
In accordance with Lynwood Municipal Code Section 6-6.6, the Uniform Public Construction Cost Accounting Act, and the City’s Contracting and Purchasing Policy and Procedures, staff is authorized to utilize the informal bidding process for public works projects with an estimated construction cost below $200,000.

On March 18, 2026, staff issued an Informal Request for Proposals (IRFP) for the Annual Sidewalk Improvement Project FY 2025–26 (CIP Project No. 2121|9056.68.171) to three qualified contractors with prior experience working on City projects. Three proposals were received on March 26, 2026.

Project Scope
The scope of work includes sidewalk improvements at various locations throughout the City and generally consists of:

Removal and replacement of damaged sidewalk panels;
Root pruning to address uplift caused by tree roots; and Minor concrete repairs to restore safe walking surfaces.

All work will be performed in accordance with applicable standards to ensure durability, ADA accessibility, and public safety.

Contractor shall reimburse Indemnitees for any and all legal expenses and costs incurred by each of them in connection therewith or in enforcing the indemnity herein provided. The only limitations on this provision shall be those imposed by California Civil Code Sect ion 2782.

This obligation to indemnify and defend Indemnitees as set forth herein shall survive the termination of this Agreement and is in addition to any rights which City may have under the law. This indemnity is effective without reference to the existence or applicability of any insurance coverages which may have been required under this Agreement or any additional insured endorsements which may extend to City.

V. INSURANCE

ADDENDUM

By executing this Addendum, Contractor acknowledges and agrees that the work performed pursuant to the above referenced Agreement is subjected to all applicable provisions.

Payment of Minimum Compensation to Employees. Contractor shall be obligated to pay not less than the General Prevailing Wages Rate as required by applicable law.

A. Prevailing Wage Requirements. California Labor Code requires the payment of not less than the general prevailing rate of per diem wages and rates for holiday and overtime and adherence to all labor standards and regulations. The General Prevailing Wages Rates may be adjusted throughout the term of this Agreement.

Notwithstanding any other provision of this Agreement, Contractor shall not be entitled to any adjustment in compensation rates in the event there are adjustments to the General Prevailing Wages Rates.

B. Reports. Contractor shall not perform on site work on this contract until labor compliance documents are filed. Contractor agrees to cooperate with the City to fulfill its notifications requirement to the DIR, as required by DIR’s PWC-100 form or any other required form, and Contractor agrees to provide to the City the information required by the DIR, as generally set forth in Labor Code Section 1773.3. By signing this form, Contractor, and all of its subcontractors, represents that it has registered with the Department of Industrial Relations pursuant to Labor Code section 1725.5 [with limited exceptions under Labor Code section 1771.1(a)] and paid the annual fee due to the DIR, unless the Contractor meets an exception recognized by the DIR or by the law.

Copies of such records or documents shall be provided to City for audit at City Hall when it is practical to do so. Otherwise, unless an alternative is mutually agreed upon, the records or documents shall be available at CONTRACTOR’s address indicated for receipt of notices in this Contract.

355

E. Enforcement.

1. General. CONTRACTOR acknowledges it has read and understands that, pursuant to the terms and conditions of this Agreement, it is required to comply with the Wage Requirement and to submit certain documentation to the City establishing its compliance with such requirement. (“Documentation Provision.”) CONTRACTOR further acknowledges the City has determined that the Wage Requirement promotes each of the following (collectively “Goals”):
a. It protects public job opportunities and stimulates the City’s economy by reducing the incentive to recruit and pay a substandard wage to labor from distant, cheap-labor areas.
b. It benefits the public through the superior efficiency of well-paid employees.
c. It increases competition by promoting a more level playing field among contractors with regard to the wages paid to workers.

2. CONTRACTOS’s Breach of Prevailing Wage/Living Wage Provisions.

WITHOLDING OF PAYMENT: CONTRACTOR agrees that the
Documentation Provision is critical to the City’s ability to monitor CONTRACTOR’s compliance with the City’s public wage obligations.

CONTRACTORS further agrees its breach of the Documentation Provision or general public wage obligations results in the need for additional enforcement action to verify compliance with this Addendum. In light of the critical importance of the Documentation Provision, the City and CONTRACTOR agree that CONTRACTOR’s compliance with this Addendum is an express condition of City’s obligation to make each payment due to the CONTRACTOR pursuant to this Agreement. THE CITY IS NOT OBLIGATED

TO MAKE ANY PAYMENT DUE THE CONTRACTOR UNTIL

CONTRACTOR HAS PERFORMED ALL OF ITS OBLIGATIONS UNDER
THESE PROVISIONS. THIS PROVISION MEANS THAT CITY CAN

WITHOLD ALL OR PART OF A PAYMENT TO CONTRACTOR UNTIL ALL REQUIRED DOCUMENTATION IS SUBMITTED. Any payment by the City despite CONTRACTOR’s failure to fully perform its obligations under these provisions shall not be deemed to be a waiver of any other term or condition contained in this Agreement or a waiver of the right to withhold payment for any subsequent breach of this Documentation Provision or public wage obligations of the Contractor and the City.

Annual Alley Improvements Program
The City’s Capital Improvement Program (CIP) represents long-term investments in infrastructure, including streets, alleys, water, sewer, parks, and public facilities. Alley improvements are a critical component of maintaining safe, functional, and accessible infrastructure throughout the City.

Rehabilitation of alleyways provides multiple benefits, including improved sightlines to reduce potential hiding areas, enhanced drainage to mitigate flooding and stormwater runoff, improved access for sanitation and emergency vehicles, and safer pathways for pedestrians and cyclists.

Alley segments included in this project were discussed in Ad Hoc Committee meeting back in September 9, 2025 based on resident outreach, field investigation, staff recommendation, and the Pavement Condition Index (PCI) ratings.

473
