City may, but has no obligation to, represent Contractor or be present at any deposition, hearing or similar proceeding. Contractor agrees to cooperate fully with City and to provide City with the opportunity to review any response to discovery requests provided by Contractor. However, City’s right to review any such response does not imply or mean the right by City to control, direct or rewrite the response.

C. During the term of this Agreement, Contractor may perform similar Services for other clients, but Contractor and its officers, employees, associates and Subcontractors shall not, without the City Representative’s prior written approval, perform work for another person or entity for whom Contractor is not currently performing work that would require Contractor or one of its officers, employees, associates or Subcontractors to abstain from a decision under this Agreement pursuant to a conflict of interest statute. Contractor shall incorporate a clause substantially similar to this Section into any subcontract that Contractor executes in connection with the performance of this Agreement.

8. Indemnification, Hold Harmless, and Duty to Defend.

A. Indemnities.
1) To the fullest extent permitted by law, Contractor shall, at its sole cost and expense, defend, hold harmless and indemnify City and its elected officials, officers, attorneys, agents, employees, designated volunteers, successors, assigns and those City agents serving as independent Contractors in the role of City officials (collectively “Indemnitees”), from and against any and all damages, costs, expenses, liabilities, claims, demands, causes of action, proceedings, expenses, judgments, penalties, liens, and losses of any nature whatsoever, including fees of accountants, attorneys, or other professionals and all costs associated therewith and the payment of all consequential damages (collectively “Liabilities”), in law or equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of Contractor, its officers, agents, servants, employees, Subcontractors, materialmen, Contractors or their officers, agents, servants or employees (or any entity or individual that Contractor shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees’ active or passive negligence, except for Liabilities arising from the sole negligence or willful misconduct of the Indemnitees as determined by court decision or by the agreement of the Parties. Contractor shall defend the Indemnitees in any action or actions filed in connection with any Liabilities with counsel of the Indemnitees’ choice, and shall pay all costs and expenses, including all attorneys’ fees and experts’ costs actually incurred in connection with such defense. Contractor shall reimburse the Indemnitees for any and all legal expenses and costs incurred by Indemnitees in connection therewith.
2) Contractor shall pay all required taxes on amounts paid to Contractor under this Agreement, and indemnify and hold City harmless from any and all taxes, assessments, penalties, and interest asserted against City by reason of the independent Contractor relationship created by this Agreement. Contractor shall fully comply with the workers’ compensation law regarding Contractor and Contractor’s employees. Contractor shall indemnify and hold City harmless from any failure of Contractor to comply with applicable workers’ compensation laws. City may offset against the amount of any fees due to Contractor under this Agreement any amount due to City from Contractor as a result of Contractor’s failure to promptly pay to City any reimbursement or indemnification arising under this subparagraph A.2).
3) Contractor shall obtain executed indemnity agreements with provisions identical to those in this Section from each and every Subcontractor or any other person or entity involved by, for, with or on behalf of Contractor in the performance of this Agreement. If Contractor fails to obtain such indemnity obligations, Contractor shall be fully responsible and indemnify, hold harmless and defend the Indemnitees from and against any and all Liabilities at law or in equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of Contractor’s Subcontractor, its officers, agents, servants,

employees, Subcontractors, materialmen, Contractors or their officers, agents, servants or employees (or any entity or individual that Contractor’s Subcontractor shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees’ active or passive negligence, except for Liabilities arising from the sole negligence or willful misconduct of the Indemnitees as determined by court decision or by the agreement of the Parties.

B. Workers’ Compensation Acts not Limiting. Contractor’s indemnifications and obligations under this Section, or any other provision of this Agreement, shall not be limited by the provisions of any workers’ compensation act or similar act. Contractor expressly waives its statutory immunity under such statutes or laws as to City, its officers, agents, employees and volunteers.

C. Insurance Requirements not Limiting. City does not, and shall not, waive any rights that it may possess against Contractor because of the acceptance by City, or the deposit with City, of any insurance policy or certificate required pursuant to this Agreement. The indemnities in this Section shall apply regardless of whether or not any insurance policies are determined to be applicable to the Liabilities, tax, assessment, penalty or interest asserted against City.

D. Survival of Terms. Contractor’s indemnifications and obligations under this Section shall survive the expiration or termination of this Agreement.

9. Insurance.

A. Minimum Scope and Limits of Insurance. Contractor shall procure and at all times during the term of this Agreement carry, maintain, and keep in full force and effect, insurance as follows:
1) Commercial General Liability Insurance with a minimum limit of $1,000,000.00 per occurrence for bodily injury, personal injury and property damage and a general aggregate limit of $1,000,000.00 per project or location. If Contractor is a limited liability company, the commercial general liability coverage shall be amended so that Contractor and its managers, affiliates, employees, agents and other persons necessary or incidental to its operation are insureds.
2) Automobile Liability Insurance for any owned, non-owned or hired vehicle used in connection with the performance of this Agreement with a combined single limit of $1,000,000.00 per accident for bodily injury and property damage. If Contractor does not use any owned, non-owned or hired vehicles in the performance of Services under this Agreement, Contractor shall provide insurance in the amount required by California law.
3) Workers’ Compensation Insurance as required by the State of California and Employer’s Liability Insurance with a minimum limit of $1,000,000.00 per accident for bodily injury or disease. If Contractor has no employees while performing

Ver. 02/2019 12501-0001\2300515v1.doc
Services under this Agreement, workers’ compensation policy is not required, but Contractor shall execute a declaration that it has no employees.

B. Acceptability of Insurers. The insurance policies required under this Section shall be issued by an insurer admitted to write insurance in the State of California with a rating of A:VII or better in the latest edition of the A.M. Best Insurance Rating Guide or such other rating as approved by the City Manager. Self insurance shall not be considered to comply with the insurance requirements under this Section.

C. Additional Insured. The general liability policy shall contain an endorsement naming City and its elected and appointed officials, officers, employees, agents and volunteers as additional insureds. This provision shall also apply to any excess/umbrella liability policies.

D. Primary and Non-Contributing. The insurance policies required under this Section shall apply on a primary non-contributing basis in relation to any other insurance or self-insurance available to City. Any insurance or self-insurance maintained by City, its elected and appointed officials, officers, employees, agents or volunteers, shall be in excess of Contractor’s insurance and shall not contribute with it.

E. Contractor’s Waiver of Subrogation. The insurance policies required under this Section shall not prohibit Contractor and Contractor’s employees, agents or Subcontractors from waiving the right of subrogation prior to a loss. Contractor hereby waives all rights of subrogation against City.

F. Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must be declared to and approved by City. At City’s option, Contractor shall either reduce or eliminate the deductibles or self-insured retentions with respect to City, or Contractor shall procure a bond guaranteeing payment of losses and expenses.

G. Cancellations or Modifications to Coverage. Contractor shall not cancel, reduce or otherwise modify the insurance policies required by this Section during the term of this Agreement. The commercial general and automobile liability policies required under this Agreement shall be endorsed to state that should the issuing insurer cancel the policy before the expiration date, the issuing insurer will endeavor to mail 30 days’ prior written notice to City. If any insurance policy required under this Section is canceled or reduced in coverage or limits, Contractor shall, within two Business Days of notice from the insurer, phone, fax or notify City via certified mail, return receipt requested, of the cancellation of or changes to the policy.

H. City Remedy for Noncompliance. If Contractor does not maintain the policies of insurance required under this Section in full force and effect during the term of this Agreement, or in the event any of Contractor’s policies do not comply with the requirements under this Section, City may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, City may, but has no duty to, take out the necessary insurance and pay, at Contractor’s expense, the premium thereon.

Contractor shall promptly reimburse City for any premium paid by City or City may withhold amounts sufficient to pay the premiums from payments due to Contractor.

I. Evidence of Insurance. Prior to the performance of Services under this Agreement, Contractor shall furnish City’s Risk Manager or such other official designed by the City Manager with a certificate or certificates of insurance and all original endorsements evidencing and effecting the coverages required under this Section. The endorsements are subject to City’s approval. Contractor may provide complete, certified copies of all required insurance policies to City. Contractor shall maintain current endorsements on file with City’s Risk Manager. Contractor shall provide proof to City’s Risk Manager that insurance policies expiring during the term of this Agreement have been renewed or replaced with other policies providing at least the same coverage.

Contractor shall furnish such proof at least two weeks prior to the expiration of the coverages.

J. Indemnity Requirements not Limiting. Procurement of insurance by Contractor shall not be construed as a limitation of Contractor’s liability or as full performance of Contractor’s duty to indemnify City under Section 8 of this Agreement.

K. Subcontractor Insurance Requirements. Contractor shall require each of its Subcontractors that perform Services under this Agreement to maintain insurance coverage that meets all of the requirements of this Section.

10. Mutual Cooperation.

A. City’s Cooperation. City shall provide Contractor with all pertinent Data, documents and other requested information as is reasonably available for Contractor’s proper performance of the Services required under this Agreement.

B. Contractor’s Cooperation. In the event any claim or action is brought against City relating to Contractor’s performance of Services rendered under this Agreement, Contractor shall render any reasonable assistance that City requires.

11. Records and Inspections. Contractor shall maintain complete and accurate records with respect to time, costs, expenses, receipts, correspondence, and other such information required by City that relate to the performance of the Services. All such records shall be maintained in accordance with generally accepted accounting principles and shall be clearly identified and readily accessible. Contractor shall provide free access to City, its designees and representatives at reasonable times, and shall allow City to examine and audit the books and records, to make transcripts therefrom as necessary, and to inspect all work, data, documents, proceedings and activities related to this Agreement. Such records, together with supporting documents, shall be maintained for a period of three years after receipt of final payment.

12. Termination of Agreement.

A. Right to Terminate. City may terminate this Agreement at any time, at will, for any reason or no reason, after giving written notice to Contractor at least ten calendar days before the termination is to be effective. Contractor may terminate this Agreement at any time, at will, for any reason or no reason, after giving written notice to City at least 60 calendar days before the termination is to be effective.

B. Obligations upon Termination. Contractor shall cease all work under this Agreement on or before the effective date of termination specified in the notice of termination. In the event of City’s termination of this Agreement due to no fault or failure of performance by Contractor, City shall pay Contractor based on the percentage of work satisfactorily performed up to the effective date of termination. In no event shall Contractor be entitled to receive more than the amount that would be paid to Contractor for the full performance of the Services required by this Agreement. Contractor shall have no other claim against City by reason of such termination, including any claim for compensation.

13. Force Majeure. Contractor shall not be liable for any failure to perform its obligations under this Agreement if Contractor presents acceptable evidence, in City’s sole judgment, that such failure was due to acts of God, embargoes, inability to obtain labor or materials or reasonable substitutes for labor or materials, governmental restrictions, governmental regulations, governmental controls, judicial orders, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond Contractor’s reasonable control and not due to any act by Contractor.

14. Default.

A. Contractor’s failure to comply with the provisions of this Agreement shall constitute a default. In the event that Contractor is in default for cause under the terms of this Agreement, City shall have no obligation or duty to continue compensating Contractor for any work performed after the date of default.

B. In addition to the right to terminate pursuant to Section 12, if the City Manager determines that Contractor is in default in the performance of any of the terms or conditions of this Agreement, City shall serve Contractor with written notice of the default. Contractor shall have ten calendar days after service upon it of the notice in which to cure the default by rendering a satisfactory performance. In the event that Contractor fails to cure its default within such period of time, City may, notwithstanding any other provision of this Agreement, terminate this Agreement without further notice and without prejudice to any other remedy to which it may be entitled at law, in equity or under this Agreement.

15. Notices. Any notice, consent, request, demand, bill, invoice, report or other communication required or permitted under this Agreement shall be in writing and conclusively deemed effective: (a) on personal delivery, (b) on confirmed delivery by

courier service during Contractor’s and City’s regular business hours, or (c) three Business Days after deposit in the United States mail, by first class mail, postage prepaid, and addressed to the Party to be notified as set forth below:

If to City: If to Contractor:

Attn: City Manager
City of Maywood
4319 East Slauson Avenue
Maywood, California 90270

16. Non-Discrimination and Equal Employment Opportunity. In the performance of this Agreement, Contractor shall not discriminate against any employee, Subcontractor or applicant for employment because of race, color, religious creed, sex, gender, gender identity, gender expression, marital status, national origin, ancestry, age, physical disability, mental disability, medical condition, genetic information, sexual orientation or other basis prohibited by law. Contractor will take affirmative action to ensure that Subcontractors and applicants are employed, and that employees are treated during employment, without regard to their race, color, religious creed, sex, gender, gender identity, gender expression, marital status, national origin, ancestry, age, physical disability, mental disability, medical condition, genetic information or sexual orientation.

17. Prohibition of Assignment and Delegation. Contractor shall not assign any of its rights or delegate any of its duties under this Agreement, either in whole or in part, without City’s prior written consent. City’s consent to an assignment of rights under this Agreement shall not release Contractor from any of its obligations or alter any of its primary obligations to be performed under this Agreement. Any attempted assignment or delegation in violation of this Section shall be void and of no effect and shall entitle City to terminate this Agreement. As used in this Section, “assignment” and “delegation” means any sale, gift, pledge, hypothecation, encumbrance or other transfer of all or any portion of the rights, obligations, or liabilities in or arising from this Agreement to any person or entity, whether by operation of law or otherwise, and regardless of the legal form of the transaction in which the attempted transfer occurs.

18. No Third Party Beneficiaries Intended. This Agreement is made solely for the benefit of the Parties to this Agreement and their respective successors and assigns, and no other person or entity may have or acquire a right by virtue of this Agreement.

19. Waiver. No delay or omission to exercise any right, power or remedy accruing to City under this Agreement shall impair any right, power or remedy of City, nor shall it be construed as a waiver of, or consent to, any breach or default. No waiver of any breach, any failure of a condition, or any right or remedy under this Agreement shall be (1) effective unless it is in writing and signed by the Party making the waiver, (2) deemed to be a waiver of, or consent to, any other breach, failure of a condition, or

right or remedy, or (3) deemed to constitute a continuing waiver unless the writing expressly so states.

20. Final Payment Acceptance Constitutes Release. The acceptance by Contractor of the final payment made under this Agreement shall operate as and be a release of City from all claims and liabilities for compensation to Contractor for anything done, furnished or relating to Contractor’s work or services. Acceptance of payment shall be any negotiation of City’s check or the failure to make a written extra compensation claim within ten calendar days of the receipt of that check. However, approval or payment by City shall not constitute, nor be deemed, a release of the responsibility and liability of Contractor, its employees, Subcontractors and agents for the accuracy and competency of the information provided and/or work performed; nor shall such approval or payment be deemed to be an assumption of such responsibility or liability by City for any defect or error in the work prepared by Contractor, its employees, Subcontractors and agents.

21. Corrections. In addition to the above indemnification obligations, Contractor shall correct, at its expense, all errors in the work which may be disclosed during City’s review of Contractor’s report or plans. Should Contractor fail to make such correction in a reasonably timely manner, such correction may be made by City, and the cost thereof shall be charged to Contractor. In addition to all other available remedies, City may deduct the cost of such correction from any retention amount held by City or may withhold payment otherwise owed Contractor under this Agreement up to the amount of the cost of correction.

22. Non-Appropriation of Funds. Payments to be made to Contractor by City for services performed within the current fiscal year are within the current fiscal budget and within an available, unexhausted fund. In the event that City does not appropriate sufficient funds for payment of Contractor’s services beyond the current fiscal year, this Agreement shall cover payment for Contractor’s services only to the conclusion of the last fiscal year in which City appropriates sufficient funds and shall automatically terminate at the conclusion of such fiscal year.

23. Exhibits. Exhibits A and B constitute a part of this Agreement and are incorporated into this Agreement by this reference. If any inconsistency exists or arises between a provision of this Agreement and a provision of any exhibit, or between a provision of this Agreement and a provision of Contractor’s proposal, the provisions of this Agreement shall control.

24. Entire Agreement and Modification of Agreement. This Agreement and all exhibits referred to in this Agreement constitute the final, complete and exclusive statement of the terms of the agreement between the Parties pertaining to the subject matter of this Agreement and supersede all other prior or contemporaneous oral or written understandings and agreements of the Parties. No Party has been induced to enter into this Agreement by, nor is any Party relying on, any representation or warranty

except those expressly set forth in this Agreement. This Agreement may not be amended, nor any provision or breach hereof waived, except in a writing signed by both Parties.

25. Headings. The headings in this Agreement are included solely for convenience of reference and shall not affect the interpretation of any provision of this Agreement or any of the rights or obligations of the Parties to this Agreement.

26. Word Usage. Unless the context clearly requires otherwise, (a) the words “shall,” “will” and “agrees” are mandatory and “may” is permissive; (b) “or” is not exclusive; and (c) “includes” or “including” are not limiting.

27. Time of the Essence. Time is of the essence in respect to all provisions of this Agreement that specify a time for performance; provided, however, that the foregoing shall not be construed to limit or deprive a Party of the benefits of any grace or use period allowed in this Agreement.

28. Business Days. “Business days” means days Maywood City Hall is open for business.

29. Governing Law and Choice of Forum. This Agreement, and any dispute arising from the relationship between the Parties to this Agreement, shall be governed by and construed in accordance with the laws of the State of California, except that any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not be applied in interpreting this Agreement. Any dispute that arises under or relates to this Agreement (whether contract, tort or both) shall be resolved in a superior court with geographic jurisdiction over the City of Maywood.

AGENDA REPORT

CITY OF MAYWOOD
AGENDA ITEM NO. 11.

DATE: March 25, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JENNIFER VASQUEZ, CITY MANAGER
BY: DAISY GUERRERO, DEPUTY DIRECTOR OF BUILDING AND PLANNING SUBJECT: CONSIDERATION OF APPROVAL FOR ISSUANCE OF A SPECIAL EVENT PERMIT TO ST. ROSE OF LIMA SCHOOL LOCATED AT 4422 E. 60TH STREET FOR AN ANNUAL

FUNDRAISER AND DIRECTION REGARDING CONDITIONS OF APPROVAL AS

RECOMMENDED IN THE STAFF REPORT
RECOMMENDATION:

Staff recommends that the City Council find that the application for the special event permit for the annual fundraising event at St. Rose of Lima School located at 4422 E. 60th Street meets the criteria set forth in the Maywood Municipal Code (MMC) Section 5-15-04(j) and therefore approves the special event permit subject to the conditions of approval set forth in the agenda report.

BACKGROUND:

St. Rose of Lima School will be hosting its annual Spring fundraising event on the south side of the subject site, located east of 60th Street between Pine and Clarkson Avenue. The event will be open to the public and no admission fee will be charged. Proceeds from the event will support various parish groups, school activities, and community programs.

A similar event was held at the same location last year with comparable attractions and rides. In prior years, the City received concerns related to food handling practices. However, event organizers worked to address those issues and implemented preventative measures during last year’s event to mitigate the problem. The City did not receive additional complaints following those improvements. Event organizers are aware that they must obtain all required permits, including appropriate permits from the Los Angeles County Department of Public Health for food service operations.

Section 5-15.02 of the MMC requires City Council approval of a permit for an organized assemblage of 75 or more persons at any public place, property, or facility which to gather for a common purpose under the direction or control of a person. The fundraiser typically has 4,000 attendees during the 3-day event. This year, the event anticipates 4,000 participants per day during the 3-day event.

DISCUSSION:

The school will be hosting a carnival with mechanical rides, stage performances, booth activities, and no onsite parking. St. Rose of Lima will be expecting an increase in participants, which will bring an increase in congestion during the event dates due to no-on-site parking. The event schedule is as follows:

Page 842 of 962 ends

• Event Set Up: April 18 through April 23
• Event: Friday, April 24 from 5 p.m. to 10 p.m.
• Event: Saturday, April 25 from 7 a.m. to 10 p.m.
• Event: Sunday, April 26 from 7 a.m. to 10 p.m.
• Event Teardown: April 27 from 8:00 a.m. to 4:00 p.m.

All events will be held within school grounds. The school will be hosting stalls to sell food and various carnival games. There will be no food preparation on-site, as all food will have been prepared prior to the event. The school will be providing additional sanitation facilities on the event grounds. The event will host up to five (5) carnival rides, while still providing first responder emergency access. Additionally, the school will provide the required general liability insurance and name the City as an additional insured on the policy.

St. Rose of Lima School has not indicated on-site parking or security for the event grounds. Staff has provided recommended conditions of approval as follows:
• Provide a site plan indicating the size and location of all tents, tarps, and stages for possible permitting issuance.
• Must obtain all approvals and permits from Los Angeles County Fire Prevention and City of Maywood Building & Planning.
• The site must be in full compliance with the approved plan(s), including but not limited to the location of generators, booths, and stage.
• The amplified sound system is only to be used until 10 p.m., in accordance with the City of Maywood Municipal Code Noise Control Section: 5-23.07.
• Must obtain written inspection and approval from appropriate agencies. • The sale of alcoholic beverages on the subject property is prohibited at all times. • All Health Department approvals required for the sale and serving of food shall be obtained not less than two days prior to the start of the event.
• The carnival event area should be cordoned off from vehicle traffic. • Approved cable bridges shall be provided for electrical cables where subject to physical damage. • Generators and other internal combustion power sources shall be separated from tents or structures by no less than 20 feet and shall be isolated (e.g. protected by physical barriers such as fencing, enclosure, or other approved means) from contact with the public. • Provide the required liability insurance in the amounts and from approved by the City’s Risk Manager and name the City an additional insured. Submit evidence of coverage prior to the event. • The Deputy Director of Building and Planning is authorized to impose any other conditions either prior or during the event to safeguard the public health, safety and welfare of the participants and/or community. In such case, the Deputy Director shall provide the applicant with the conditions in writing.

LEGAL REVIEW:

The City Attorney has reviewed this report.

FISCAL IMPACT:

The City has received a payment of $194 for the Special Events Application processing fee. An additional processing fee of $70.20 will be collected upon submission of the generator/electrical permit application

AGENDA REPORT

CITY OF MAYWOOD
AGENDA ITEM NO. 12.

DATE: March 25, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JENNIFER VASQUEZ, CITY MANAGER
BY: MIGUEL LEON, DEPUTY CITY CLERK/ASSISTANT TO THE CITY MANAGER SUBJECT: CONSIDERATION OF APPROVAL OF AMENDMENT NO. 1 TO THE PROFESSIONAL

SERVICES AGREEMENT WITH AVANT-GARDE AND APPROPRIATION IN THE AMOUNT OF $26,090
RECOMMENDATION:

Staff recommends that the City Council approve Amendment No. 1 to the Professional Services Agreement with Avant-Garde in an amount not-to-exceed $26,090 and appropriate $26,090 from the General Fund.

BACKGROUND:

The City currently utilizes Avant-Garde to assist with grant administration across multiple projects. These services include preparing reimbursement requests, tracking expenditures, and ensuring compliance with grant requirements.

The existing agreement was approved administratively with a not-to-exceed amount of $17,000. Additional services are required to complete active grants, including reimbursement processing, reporting, and project closeout.

Therefore, an increase to the existing agreement is necessary to ensure continued grant administration services as well as amend the termination date of the Agreement.

DISCUSSION:

The City is currently managing multiple grant-funded projects across State, Federal, and County programs, which require ongoing administrative support to ensure compliance with grant requirements and timely reimbursement of eligible costs. These projects are in various stages of implementation, including closeout, active reimbursement, and/or initial setup.

In these cases, administrative work is required to establish reimbursement processes, coordinate with funding agencies, and ensure compliance with grant requirements.

For projects nearing completion, additional effort is needed to finalize reimbursement requests, complete reporting requirements, and close out the grants. These activities are necessary to ensure the City receives all eligible funding and maintains compliance with applicable grant guidelines.

Continued support from Avant-Garde will assist the City in managing these efforts across multiple projects, including reimbursement processing, reporting, and coordination with funding agencies.

LEGAL REVIEW:

The City Attorney has reviewed this report.

FISCAL IMPACT:

The total fiscal impact of $26,090 will be appropriated from the General Fund to support the contract. Staff will seek to allocate eligible administrative costs to available grant funding sources, where permitted under applicable requirements, to offset General Fund expenditures.

Contractor, its officers, employees, agents, or subContractors shall not without written authorization from the City Manager or unless requested in writing by the City Attorney, voluntarily provide declarations, letters of support, testimony at depositions, response to interrogatories or other information concerning the work performed under this Agreement or relating to any project or property located within the City. Response to a subpoena or court order shall not be considered “voluntary,” provided Contractor gives City notice of such court order or subpoena.

B. Contractor shall promptly notify City should Contractor, its officers, employees, agents or subContractors be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder or with respect to any project or property located within the City.

C. All Data required to be furnished to City in connection with this Agreement shall become City’s property, and City may use all or any portion of the Data submitted by Contractor as City deems appropriate. Upon completion of, or in the event of termination or suspension of this Agreement, all original documents, designs, drawings, maps, models, computer files containing data generated for the Services, surveys, notes, and other documents prepared in the course of providing the Services shall become City’s sole property and may be used, reused or otherwise disposed of by City without Contractor’s permission. Contractor may take and retain copies of the written products as desired, but the written products shall not be the subject of a copyright application by Contractor.

D. Contractor’s covenants under this Section shall survive the expiration or termination of this Agreement.

7. Conflicts of Interest. Contractor and its officers, employees, associates and subContractors, if any, shall comply with all conflict of interest statutes of the State of California applicable to Contractor’s Services under this Agreement, including the Political Reform Act (Gov. Code § 81000, et seq.) and Government Code Section 1090.

If Contractor fails to obtain such indemnity obligations, Contractor shall be fully responsible and indemnify, hold harmless and defend the Indemnitees from and against any and all Liabilities at law or in equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of Contractor’s subContractor, its officers, agents, servants, Docusign Envelope ID: 606FB43B-659B-4BE9-A8F8-A37ADCE40F9C

employees, subContractors, materialmen, Contractors or their officers, agents, servants or employees (or any entity or individual that Contractor’s subContractor shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees’ active or passive negligence, except for Liabilities arising from the sole negligence or willful misconduct of the Indemnitees as determined by court decision or by the agreement of the Parties.

If Contractor has no employees while performing Docusign Envelope ID: 606FB43B-659B-4BE9-A8F8-A37ADCE40F9C

15. Notices. Any notice, consent, request, demand, bill, invoice, report or other communication required or permitted under this Agreement shall be in writing and conclusively deemed effective: (a) on personal delivery, (b) on confirmed delivery by Docusign Envelope ID: 606FB43B-659B-4BE9-A8F8-A37ADCE40F9C

No waiver of any breach, any failure of a condition, or any right or remedy under this Agreement shall be (1) effective unless it is in writing and signed by the Party making the waiver, (2) deemed to be a waiver of, or consent to, any other breach, failure of a condition, or Docusign Envelope ID: 606FB43B-659B-4BE9-A8F8-A37ADCE40F9C

right or remedy, or (3) deemed to constitute a continuing waiver unless the writing expressly so states.

No Party has been induced to enter into this Agreement by, nor is any Party relying on, any representation or warranty Docusign Envelope ID: 606FB43B-659B-4BE9-A8F8-A37ADCE40F9C

30. Attorneys’ Fees. In any litigation or other proceeding by which a Party seeks to enforce its rights under this Agreement (whether in contract, tort or both) or seeks a declaration of any rights or obligations under this Agreement, the prevailing Party shall be entitled to recover all attorneys’ fees, experts’ fees, and other costs actually incurred in connection with such litigation or other proceeding, in addition to all other relief to which that Party may be entitled.

31. Severability. If a court of competent jurisdiction holds any provision of this Agreement to be illegal, invalid or unenforceable for any reason, the validity of and enforceability of the remaining provisions of this Agreement shall not be affected and continue in full force and effect.

32. Counterparts. This Agreement may be executed in multiple counterparts, all of which shall be deemed an original, and all of which will constitute one and the same instrument.

AGENDA REPORT

CITY OF MAYWOOD
AGENDA ITEM NO. 13.

DATE: March 25, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JENNIFER VASQUEZ, CITY MANAGER
BY: DAISY GUERRERO, DEPUTY DIRECTOR OF BUILDING AND PLANNING SUBJECT: 2025 GENERAL PLAN AND HOUSING ELEMENT ANNUAL PROGRESS REPORTS RECOMMENDATION:

Staff recommends that the City Council receive and file the 2025 General Plan and Housing Element Annual Progress Reports (APRs), and direct the Community Development Department to submit both reports to the Governor’s Office of Land Use and Climate Innovation and the California Department of Housing and Community Development by the April 1, 2026, statutory deadline.

BACKGROUND:

California Government Code Section 65400 requires cities and counties prepare and submit annual progress reports on both the General Plan and Housing Element by April 1 of each year, covering the prior calendar year. These reports must be submitted to the Governor’s Office of Land Use and Climate Innovation (LCI) and the California Department of Housing and Community Development (HCD).

State law further requires that the Annual Progress Reports be presented at a public meeting of the City Council to allow for public review and comment. This agenda item fulfills those statutory requirements.

DISCUSSION:

The General Plan serves as the City’s long-range planning document, guiding the orderly growth and development of the community. It establishes the City’s vision and provides a policy framework for land use, infrastructure, public services, and overall community development.

The General Plan Annual Progress Report (Attachment “A”) provides a summary of the City’s progress in implementing the goals and policies of the General Plan across its key elements, including Circulation, Conservation, Economic Development, Environmental Justice, Housing, Land Use, Noise, Open Space, and Safety. The report reflects continued efforts in 2025 to advance the City’s planning priorities and implement adopted policies.

The Housing Element Annual Progress Report (Attachment “B”) provides an overview of residential development activity, the City’s progress toward meeting its Regional Housing Needs Allocation (RHNA), and the status of Housing Element program implementation for the 2025 calendar year. The report is prepared using standardized forms and definitions provided by HCD.

Page 878 of 962 ends

As part of the 6th Cycle RHNA (October 2021 through October 2029), the City of Maywood has been allocated a total of 365 housing units across various income categories. The APRs documents the City’s progress toward meeting this obligation and outlines ongoing efforts to facilitate housing production and compliance with State housing laws.

It is also important to note that the APRs are reporting documents only and do not establish new policies or modify the existing General Plan or Housing Element. Rather, they serve as a transparency and compliance tool to track implementation progress and inform both the City Council and State agencies.

LEGAL REVIEW:

The City Attorney has reviewed this report.

FISCAL IMPACT:

There is no fiscal impact to approving this item.

The City of Maywood’s 2025 General Plan Annual Progress Report is prepared by the Department of Building and Planning with input from various City Departments including Public Works, and Community Services. The report is intended to provide information on the measurable outcomes and actions associated with the implementation of the General Plan Elements.

The City of Maywood General Plan is a long-range policy document and a comprehensive collection of goals and policies related to a multitude of aspects of community life. The individual Elements (Circulation, Conservation, Economic Development, Environmental Justice, Housing, Land Use, Noise, Open Space, and Safety) of this General Plan contain policies and programs that will guide future development in the City.

California Government Code Section 65400 et seq. requires the City to annually review the General Plan. An annual report should be prepared for review and approval by the City Council [DG1] and forwarded to the Governor's Office of Planning and Research and the California Department of Housing and Community Development office. The 2025 General Plan Annual Progress Report will be reviewed by the City Council on March 25, 2026.

INTRODUCTION | EXECUTIVE SUMMARY

BACKGROUND INFORMATION
Maywood is a densely developed, predominately residential community that faces the challenge of preserving the character of its neighborhoods and business districts while accommodating growth in response to regional needs for new housing and jobs. Industrial uses in Maywood are primarily concentrated along the City’s northern and western boundaries with pockets of industrial uses along the eastern border. Commercial uses are concentrated along the City’s two main thoroughfares, Atlantic Boulevard and Slauson Avenue. The City of Maywood is one of California’s smallest and most densely populated cities. The Census Bureau estimates that more than 25,000 people live in Maywood’s 1.18 square miles (as of the 2020 US Census). Anecdotally, Maywood’s population is likely much higher closer to 35,000.

Centrally located in the urbanized area of Los Angeles County, approximately eight miles southeast of Downtown Los Angeles, Maywood is south of an industrial district that includes Los Angeles’s Boyle Heights neighborhood as well as industrial areas located in the cities of Vernon and Commerce. Maywood and other communities to the south, east, and west of Los Angeles have traditionally served as residential communities for those working in the nearby industrial areas. Maywood is surrounded by Vernon to the north, Commerce to the east, Bell to the South, and Huntington Park to the west. Along with its neighbors in Southeast Los Angeles County, Maywood is considered one of the “Gateway Communities.” This moniker is due to their location between Los Angeles and Orange Counties.

Circulation Element
The City of Maywood adopted the Circulation Element in 2023 to guide the development of a safe, efficient, and multimodal transportation system that meets the needs of residents, businesses, and visitors. The Element addresses the City’s circulation network, including streets, sidewalks, bicycle routes, and freeways, and supports various modes of travel such as walking, biking, transit, and driving. As one of the smallest and most densely developed communities in Los Angeles County, Maywood relies heavily on well-planned circulation to support mobility, public safety, and economic activity along key transportation corridors. No amendments to the Circulation Element were made in 2025.

Conservation Element
The Conservation Element of the City of Maywood General Plan establishes policies to protect natural resources and promote environmental sustainability. It focuses on improving air quality, conserving water and energy, supporting urban greening, and reducing environmental impacts while guiding responsible development that protects public health and quality of life.

ANNUAL PROGRESS REPORT: GENERAL
Environmental Sustainability and Community Quality of Life The City of Maywood continued investing in projects that support environmental sustainability and enhance quality of life through park improvements, urban greening, and public space enhancements. Efforts included upgrades to neighborhood parks, tree planting, and landscaping that expand access to green space and support environmental benefits.

The City also advanced community beautification initiatives such as the Pixley Park Community Mural Project, Maywood Park Playground improvements, and fruit and tree giveaways during the City’s Earth Day event. These efforts support the Conservation Element by enhancing public spaces, promoting environmental stewardship, and creating healthier environments for residents.

Regional, State, and Federal Environmental Coordination The City of Maywood continues to coordinate with regional agencies, nonprofit partners, and state and federal programs to advance environmental and sustainability initiatives.

These efforts include securing a U.S. Department of Energy (DOE) grant to support solar panel installation for the upcoming Teen Tech Center, helping align local projects with broader environmental and energy goals for the Southeast Los Angeles region.

Page 885 of 962 ends

Economic Development Element
The Economic Development Element for the City of Maywood General Plan is specifically concerned with the identification of a development strategy which will address development potentials that will broaden and stabilize the city's economic base. The goals and policies contained in this element have been formulated for the city so that it may utilize existing programs whenever possible and provide continuity with implemented policies of the previous general plan. No amendments were made in 2025.

ANNUAL PROGRESS REPORT: GENERAL

EnvironmentalJustice Element
The Environmental Justice (EJ) Element was adopted in 2024. This is the City of Maywood’s first Environmental Justice Element. The purpose of an EJ element is to address public health and other environmental issues for the vulnerable populations in EJ communities. These populations have long borne the brunt of inequitable policies. California Government Code Section 65040.12 works to minimize adverse effects of environmental hazards on populations most at risk of harm and create a healthy environment for all groups, again with a particular focus on improving health outcomes of disadvantaged populations. The purpose of EJ policies is to reduce impacts on populations experiencing adverse environmental affects, ensure equitable access to services and facilities, promote meaningful community engagement from those populations in municipal government and its decision-making process, and improve public health outcomes. No amendments were made in 2025.

IMPLEMENTATION

Page 887 of 962 ends

Housing Element
The Housing Element was adopted in 2022. The Sixth Cycle (2021-2029) Housing Element incorporates the revised Regional Housing Needs Assessment (RHNA) formulated by the Southern California Association of Governments (SCAG) and outlines how the City plans to accommodate future housing demand identified for Maywood’s RHNA. The RHNA developed in 2021 directs an additional 365 units of housing to be accommodated in the Sixth Cycle plan. In addition to identifying the ways that Maywood will accommodate the RHNA, it updates the data and housing needs used to evaluate and create Maywood’s housing policies for the coming years. The Housing Element covers the planning period from January 1, 2021, through October 1, 2029. No amendments were made in 2025.

ANNUAL PROGRESS REPORT: GENERAL
Preserve and Maintain Existing Housing Stock
The City adopted Rent Stabilization Ordinance No. 23-07 (2023) and implemented the Rental Registry Program, which require registration of rental units and provide oversight of rental housing conditions. These programs support the preservation of existing housing, promote tenant stability, and help maintain the quality of the City’s housing stock.

Encourage Development of New Housing Opportunities
The City continues to implement and review local development regulations to maintain consistency with state housing laws, including regulations related to Accessory Dwelling Units (ADUs) and other housing types permitted under state law. These efforts help facilitate additional housing opportunities and support the City’s ability to meet its Regional Housing Needs Allocation (RHNA) requirements.

IMPLEMENTATION

Page 888 of 962 ends

Improve Housing Quality and Neighborhood Conditions

Housing Element Cont’d
Promote Housing Affordability and Accessibility
The City administers housing assistance initiatives such as the Permanent Local Housing Allocation (PLHA) Rental Assistance Program, which provides financial assistance to eligible households experiencing housing instability and supports housing affordability for low-income residents.

ANNUAL PROGRESS REPORT: GENERAL
Address Homelessness and Housing Instability
The City coordinates with regional partners, including the Los Angeles Homeless Services Authority (LAHSA) and the Los Angeles County Homeless Initiative, to support outreach and services for individuals experiencing homelessness. The City also complies with state housing laws that allow supportive housing as a permitted residential use, helping remove regulatory barriers and support opportunities for housing that serve individuals experiencing homelessness.

Encourage Housing Flexibility and Adaptive Reuse
The City continues implementing state ADU regulations and has explored the development of an ADU Amnesty Program intended to legalize previously unpermitted units while ensuring compliance with health and safety standards. These efforts help expand the City’s housing supply while improving housing safety and compliance.

Comprehensive Zoning
Update
Prepare a comprehensive zoning review
and update to modify or remove any
requirements that constrain housing
development, such as current parking
requirements, PUD, design review and site
plan review requirements. Replace parking
and design requirements as needed to
provide parking for new residents
(depending on likely car ownership of new
residents), and design standards
appropriate to the location of the new
housing development (e.g. major
corridor/mixed use design to be different
from an interior residential street). Include
best-practice design standards for
affordable housing in the zoning update. 10/27/2027
6th Cycle Not Yet Started
Streamline requirements for
affordable housing to
facilitate development while
protecting the public interest.

Rental Registry Program
(RRP) and Rent Stabilization
Implementation
Establish and maintain a comprehensive
rental housing registry to monitor rental
units, ensure compliance with the City’s
Rent Stabilization Ordinance, support
tenant protections, and provide accurate
rental housing data for policy
implementation and enforcement.
10/15/2029 6th Cycle In Progress
The City implemented a
Rental Registry Program
requiring all rental property
owners to register rental
units annually through the
City’s online registry
platform. The registry
collects information including
property ownership, number
of rental units, tenancy
status, and rent levels. The
program supports
administration of the City’s
Rent Stabilization Ordinance
(Ord. No. 23-07) by enabling
monitoring of allowable rent
increases, identifying
exempt units, facilitating
tenant outreach, and
supporting enforcement of
tenant protections. The City
continues outreach to
property owners and tenants
through direct mail, online
resources, and bilingual
educational materials.

AGENDA REPORT

CITY OF MAYWOOD
AGENDA ITEM NO. 14.

DATE: March 25, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: ROXANNE DIAZ, CITY ATTORNEY
BY: ROXANNE DIAZ, CITY ATTORNEY
SUBJECT: REQUEST TO ADOPT RESOLUTION NO. 6455 APPROVING THE ASSIGNMENT OF THE

RIGHT-OF-WAY USE AGREEMENT BETWEEN THE CITY AND CROWN CASTLE NG

WEST, LLC, IN CONNECTION WITH ITS SALE TO A THIRD PARTY RECOMMENDATION:

In 2018, the City entered into a ten-year Right-of-Way Agreement with Crown Castle NG West, LLC (“Crown Castle) for the placement of small cell site antennas on the City’s street light poles in the public right of way (“Agreement”).

Crown Castle recently informed the City that it is selling its small cells business to Small Cell Holdco Inc., an affiliate of EQT Active Core Investment Fund (“EQT”). As part of the transaction, EQT is assuming all of Crown Castle’s agreements. In order to assign the City’s Agreement to EQT, the City is required to execute a consent form provided by Crown Castle.

BACKGROUND:

Crown Castle is selling its small cell site antenna business to EQT. Under the current Right-of-Way Agreement with Crown Castle, Section 12 provides for the process for assigning the agreement when there is a sale. Section

12.1(i) provides that the sale of the Agreement requires the City’s consent and such consent is to be expressed by resolution. The City’s consent cannot be unreasonably withheld, conditioned or delayed.

This type of consent is customary with large companies such as Crown Castle. Once their sale goes through, the City’s Agreement is assigned to the new owner (EQT) who will then “step into the shoes” of Crown Castle under the Agreement and perform pursuant to the Agreement terms.

The Resolution provides the City’s consent as required under the Agreement and authorizes the City Manager to execute the consent and any other documents required.

DISCUSSION:

AGENDA REPORT

CITY OF MAYWOOD
AGENDA ITEM NO. 16.

DATE: March 25, 2026
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: JENNIFER VASQUEZ, CITY MANAGER
BY: GABRIEL GRAJEDA, ADMINISTRATIVE ANALYST
SUBJECT: CONSIDERATION OF APPROVING THE ELECTRIC VEHICLE CHARGER CONCEPTUAL

DESIGN AND PARTICIPATION IN SOUTHERN CALIFORNIA EDISON CHARGER READY

PROGRAM
RECOMMENDATION:

Staff recommends that the City Council consider approval of the proposed electric vehicle (EV) charger conceptual design at the City Hall gated parking lot prepared by Southern California Edison (SCE) for the installation of EV charging equipment and participation in SCE’s Charge Ready Program.

BACKGROUND:

In alignment with regional clean transportation initiatives and for the improvement of the City’s current electric vehicle charging infrastructure, the City applied for and was accepted into Southern California Edison’s Charge Ready Program, which provides extensive utility support for EV charging installations. SCE will design, construct, and install the necessary infrastructure on both the utility-side and customer-side of the electric meter.

On February 3, 2026, a site assessment was conducted by SCE to evaluate site requirements for EV charger installation at the gated City Hall parking lot. The discussions included site design, required utility infrastructure, and construction responsibilities for both the City and SCE. The result of the February 3 site assessment is the current conceptual design for the installation of EV chargers.

DISCUSSION:

Infrastructure Requirements: SCE has informed the City that the installation of a new utility pole is necessary to support EV-charging electrical loads. While underground electrical service is generally preferable for aesthetic reasons, this option was determined to be beyond the scope of SCE’s funded work under their Charge Ready program, and would be the financial responsibility of the City should it be pursued separately.

The conceptual design includes the necessary supporting electrical infrastructure, including a transformer, switchboard, step-down transformer, and distribution equipment, as reflected in the attached site plans.

The components represent the City’s share of the infrastructure needed to support the proposed EV charging enhancements at City Hall, which will include the purchasing of:
• Level 2 dual-port chargers;
• One DC fast charger; and

Page 955 of 962 ends

• Contractor expenses associated with City-side installation of these chargers.

Electric-Ratepayer Benefit: Because Charge Ready is a ratepayer-funded program supported by all customers of SCE (approximately 5 million customers), the City is able to take advantage of significant infrastructure investment at no direct cost for the utility-side construction. This substantially reduces the City’s financial burden and accelerates implementation of emission-reducing transportation infrastructure.

This project will be delivered under the "SCE-built" pathway, meaning:
• SCE will cover all costs associated with the service drop, meter, panel, and dedicated EV-charging circuit infrastructure.
• The value of SCE-provided improvements is estimated to exceed $300,000 in utility-side construction and electrical infrastructure improvements.
• SCE installation includes the necessary utility pole required for service.

Approval of the EV charger conceptual design and authorization to proceed with the Charge Ready program will allow the City of Maywood to leverage more than $300,000 in utility-funded infrastructure improvements and expand the City’s EV charging capacity. Approval of the conceptual design does not authorize approval of a binding agreement or to proceed with construction.

A separate Program Participation Agreement will be brought forward to the City Council for consideration and approval at a later date should the City decide to proceed with implementation.

LEGAL REVIEW:

The City Attorney has reviewed this report.

FISCAL IMPACT:

The City has budgeted $130,000 in FY 2025-26 from the Air Quality Management District fund to support this project. In addition, the City will pursue any available rebate options for equipment provided by the Charge Ready program.
