RFP No. 23-2
City of Montebello 27
CONTACTOR shall require each of its sub-Contractors, if any, to maintain insurance coverage that meets all of the requirements of this Agreement.
The policy or policies required by this Agreement shall be issued by an insurer admitted in the State of California, wit h a current rating of at least a : VII in the latest edition of Best's Insurance Guide, and approved by CITY.
Each insurance policy required herein shall state that coverage shall not be canceled, except after providing CITY thirty (30) days’ (or ten [10] calendar days’ for non -payment) prio r written notice.
CONTRACTOR agrees that if it does not keep the aforesaid insurance in full force and effect CITY may either: (i) immediately terminate this Agreement for Cause; or (ii) take out the necessary insurance and pay, at CONTRACTOR’s expense, the premium thereon.
At all times during the Term of this Agreement, CONTRACTOR shall maintain on file with CITY’s Risk Manager a certificate or certificates of insurance showing that the aforesaid policies are in effect in the required amounts and naming CITY, its officers, agents, employees and volunteers as an additional insured. CONTRACTOR shall, prior to commencement of work under this Agreement, file with CITY’s Risk Manager such certificate(s).
CONTRACTOR shall provide proof that policies of insurance required herein expiring during the Term of this Agreement have been renewed or replaced with other policies providing at least the same coverage.
Such proof will be furnished at least two (2) weeks prior to the expiration of the coverages.
The general liability and automobile policies of insurance required by this Agreement shall contain an endorsement naming CITY, its elected and appointed boards, officers, officials, employees, agents and volunteers as a dditional insureds. All of the policies required under this Agreement shall contain an endorsement providing that the policies cannot be canceled or reduced except on thirty (30) days’ prior written notice to CITY. CONTRACTOR agrees to require its insurer to modify the certificates of insurance to delete any exculpatory wording stating that failure of the insurer to mail written notice of cancellation imposes no obligation, and to delete the word “endeavor” with regard to any notice provisions.
Except for professional liability and workers’ compensation policies, the policies herein are primary and non-contributing with any insurance that may be carried by CITY. Any insurance or self -insurance maintained by CITY, its officers, employees, agents or volun teers, shall be in excess of CONTRACTOR’s insurance and shall not contribute with it.
All insurance coverage provided pursuant to this Agreement shall not prohibit CONTRACTOR, and CONTRACTOR’s employees, agents or sub -Contractor, from waiving the right o f subrogation prior to a loss. CONTRACTOR hereby waives all rights of subrogation against CITY. CONTRACTOR agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation, but this provision applies regardless of whether or not CITY has received a waiver if subrogation endorsement from the insurer.
Coverage not affected. Any failure to comply with the reporting provisions of the policies contemplated herein, shall not affect coverage provided to CITY, its elected and appoint ed boards, officers, officials, employees, agents and volunteers.
Coverage applies separately. CONTRACTOR’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer’s liability.

City of Montebello 28
Any deductibles or self -insured retentions must be declared to and approved by CITY. At the option of CITY, CONTRACTOR shall either reduce or eliminate the deductibles or self-insured retentions with respect to CITY, or CONTRACTOR shall procure a bond guaranteeing payment of losses and expenses.
Procurement of insurance by CONTRACTOR shall not be construed as a limitation of CONTRACTOR's liability or as fall performance of CONTRACTOR’s duties to indemnify, hold harmless and defend und er Section 9 of this Agreement.
CITY, its officers and employees shall not be responsible for any claims in law or in equity occasioned by failure of CONTRACTOR to comply with this section.
SECTION 16. SUBCONTRACT, ASSIGNMENT OR DELEGATION.

Any subcontract, delegation or assignment shall be made in the name of CONTRACTOR and shall not bind or purport to bind CITY and shall not release CONTRACTOR from any obligations under this Agreement including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees or sub-Contractors. No such subcontract, delegation or assignment shall result in any increase in the amount of total compensation payable to CONTRACTOR under the Agreement.
SECTION 17. NO WAIVER.
Waiver by any party hereto of any term, condition or covenant of this Agreement shall not constitute the waiver of any other term, condition or covenant hereof.

1) Adopt Resolution No. 22-74 to approve a Transit Asset Management (TAM) plan for submission to the Federal Transit Administration (FTA); and
2) Take such additional, related, action that may be desirable.
FISCAL IMPACT:
The Transit Asset Management (TAM) plan is a business model that considers qualitative asset conditions, costs, performances, and risks over life cycles to prioritize funding to achieve and maintain capital assets in a State of Good Repair (SGR) – the condition in which assets are fit for the intended purposes. While the TAM plan establishes goals, objectives, and asset management policy, it does not commit the City of Montebello to any specific expenditures. All future procurement processes will be included in the City’s Transportation Department’s annual budget plan and identified in each fiscal year.
BACKGROUND:
On July 26, 2016, the Federal Transit Administration (FTA) published the TAM Final Rule
CITY COUNCIL AND PUBLIC FINANCING AUTHORITY AGENDA REPORT - MEETING OF SEPTEMBER 28, 2022
to define the term of SGR and to establish minimum Federal requirements for TAM that will apply to all recipients and sub-recipients of Title 49 United States Code Chapter 53 (49 U.S.C. 53) funds that own, operate, or manage public transportation capital assets.
The TAM Final Rule developed a framework for transit agencies to monitor and manage public transportation assets, improve safety, increase reliability and performance, and establish performance measures to maintain and operate systems effectively and efficiently. To remain eligible for Federal funds, transit agencies are required to develop and implement TAM plans under the TAM Final Rule and 49 U.S.C 53.
TAM plans are required to be updated once every four (4) years. In accordance with the 2016 TAM Final Rule, the first compliant TAM plans were required by October 2018, and subsequent TAM plans are required by October 2022. The TAM plan cycle should coincide, to the extent possible, with the State and metropolitan planning cycle for the development of the State Transportation Improvement Program (STIP) and Transportation Improvement Program (TIP). In addition, transit agencies are required to annually submit an asset inventory, condition assessments, performance targets, and narrative reports to FTA’s National Transit Database (NTD).
ENVIRONMENTAL IMPACT:
N/A
ANALYSIS:
The City operates Montebello Bus Lines (MBL) as a FTA-defined Tier II transit provider and recipient of 49 U.S.C. 53 funds that owns, operates, or manages public transportation capital assets with a fleet of 66 buses. In October 2018, MBL developed a TAM plan to comply with the TAM Final Rule and share with planning partners.
Thereafter, MBL’s updated TAM plan is required to be completed by October 2022. The updated TAM plan provided the opportunity for MBL to review the previous cycle and strategically plan for improvements such as data collection processes and aligning the plan with strategic priorities. In addition, the updated TAM plan enables MBL to remain compliant and incorporate any changes or updates to the existing documents or capital plans that occurred over the past four years.
In December 2018, the California Air Resources Board (CARB) adopted the Innovative Clean Transit (ICT) regulation that requires all public transit agencies to gradually transition to a 100 percent zero-emission bus (ZEB) fleet. The ICT regulation established ZEB purchase requirements that begin in 2023 for large transit agencies. In accordance to the ZEB purchase schedule, MBL intends to purchase two ZEBs in 2023 and adhere to the minimum 25% ratio of ZEB in total new bus purchases. The TAM plan provides strategic models to organize and prioritize MBL’s capital assets and transition to an all ZEB fleet that aligns with the City’s commitment to invest in innovative and sustainable technology.
In order to be in compliance with applicable regulations and remain eligible for federal transportation funds, the City is required to submit a TAM plan by October, 2022.

INTRODUCTION
The City of Montebello (City) has provided transportation services since 1910, and established Montebello Bus Lines (MBL) as the City’s official municipal bus system in 1931. Today, MBL serves 13 cities as the fourth-largest municipal bus system in Los Angeles County and operates as an FTA-defined Tier II provider in compliance with 49 CFR § 625.45 (b)(1). MBL’s fleet consists of 66 buses comprised of compressed natural gas (CNG), battery-electric, and hybrid buses. Tier II providers identify as agencies that own, operate, or manage 100 or fewer revenue vehicles during peak regular service across all non-rail fixed route modes or in any non-fixed route mode; a sub-recipient under the 5311 Rural Area Formula Program; or any American Indian tribe.
Transit Asset Management (TAM) is a business model that considers qualitative asset conditions, costs, performances, and risks over life cycles to prioritize funding to achieve and maintain capital assets in a State of Good R epair (SGR) – the condition in which assets are fit for the intended purposes.
TAM Plan revisions shall be established with annual reporting through the FTA’s National Transit Database (NTD) and approved by the Accountable E xecutive. Performance targets shall be monitored and submitted annually to the Account Executive for approval.
MBL’s TAM Plan shall cover a four-year period from 2022-2026, initiated with the completion of the 2022 TAM Plan.
Accountable Executive (Authority Acceptance)
The account executive has the ultimate responsibility to designate and gu ide human capital and capital resources to develop, implement, and maintain MBL’s Safety Management System (SMS) and TAM Plan, in accordance with 49 U.S.C. §5329(d) and 49 U.S.C. §5326. (49 C.F.R. Parts 625.5, 673.5).

Asset Management Policy
MBL is committed to effectively managing and maintaining its capital assets in SGR to support safe, efficient, and reliable transportation services throughout the agency. MBL’s policy promotes a culture that supports all levels of asset management business practices. The policy applies relevant data and adequate time management to support transparent and cost-effective decisions to ensure best practices for resource allocation, optimal asset performance, and asset preservation.
MBL intends to improve system safety and efficiency, reduce costs, select strategic investment decisions, and provide reliable transportation services through the guidance of the comprehensive TAM Plan. Aging infrastructure, limited funding sources, and evolving service demands challenge MBL to establish an appropriate and progressive asset management plan t hat optimizes new capital p roject investments and maximize s the lifespan of existing assets.

Performance Targets and Measures
MBL practices the target-setting method as a standard for FTA performance measures to maintain consistency throughout the Fleet Management and Facilities Management Plans. The target -setting method is a strategic process t hat establishes target and performance goals to achieve and set target baseline standards.
An extensive asset service life analysis for each asset category redefi ned the methods developed to determine the assets’ Useful Life Benchmark (ULB) – the expected lifecycle
City of Montebello | TAM Plan 2022 4 | P a g e
or acceptable service use period of a capital asset for the agency’s operating environment. ULB criteria are user-defined and account for an agency’s unique operating environment (e.g., service frequency, weather, geography, etc.). MBL reco gnized and considered the assets’ local operating environment, service area, historical maintenance record, manufacturer guidelines, and the FTA ULB guidelines to develop MBL’s ULB.
Vehicle targets indicate the asset percentage that met or exceeded the U LB. Facility targets indicate the asset percentage rated below the ULB condition score. Sequentially, a lower percentage ratio is ideal to maintain the overall inventory assets in good standing.
All relative targets are reflected below in Tables 1 and 2.

CONDITION ASSESSMENT
Revenue vehicles condition ratings are indicated in terms of asset percentage s that are “at” or “past” the ULB based on the FTA Circular 9030.1E, CH.V, paragraph 11 .a. Non- revenue vehicles are identified with a particular useful life based on the vehicle characteristics at the time of purchase.
Facilities and facility equipment conditions are determined with the FTA’s Transit Economic Requirement Model (TERM) . The TERM is based on a condition scale rating from (1.0) Poor to (5.0) Excellent. According to the FTA TAM Final Ruling, assets with a condition rating score of 3.0 and above are in a SGR. Assets with a condition rating score
City of Montebello | TAM Plan 2022 5 | P a g e
of 2.9 and lower are not classified in a SGR and may require prioritization during capital programming to ensure safe, efficient, and reliable transportation service.
Table 3: FTA TERM Condition Assessment Scale
Condition TERM Rating Description
Excellent 4.8 - 5.0 No visible defects; new or near new condition; may still be under warranty if applicable.
Good 4.0 - 4.7 Good condition, but no longer new; may be slightly defective or deteriorated, but is overall functional.
Adequate 3.0 - 3.9 Moderately deteriorated or defective, but has not exceeded useful life.
Marginal 2.0 - 2.9 Defective or deteriorated; in need of replacement; exceeded useful life.
Poor 1.0 - 1.9 Critically damaged or in need of immediate repair; well past useful life.
DECISION SUPPORT TOOL AND INVESTMENT PRIORITIZ ATION
MBL applies analytical processes to determine priority investments to maintain SGR.
Written policy manuals, short- and long-range planning, regular management meetings, continual departmental needs assessment, and City Council approval procedures all serve as a decision support tool for the investment prioritization process.
The following tools are utilized to make investment decisions:

CITY OF MONTEBELLO
CITY COUNCIL AND PUBLIC FINANCING AUTHORITY AGENDA STAFF REPORT
TO:
Honorable Mayor and City Council Members
FROM:
René Bobadilla, P.E., City Manager
BY:
Michael Solorza, Director of Finance
SUBJECT: APPROVE BLANKET PURCHASE ORDERS TO GALLS AND
PROFORCE
DATE: September 28, 2022
RECOMMENDATION(S):
It is recommended that the City Council:
1) Authorize issuing annual Blanket Purchase Orders to Galls, LLC ("Galls") for uniforms and safety equipment through Fiscal Year 2024-25 in the amount of $23,000 per fiscal year ($69,000 over three fiscal years); and
2) Authorize issuing a one-time Blanket Purchase Order to ProForce Marketing, Inc. ("ProForce") for personal protective and less-lethal supplies/equipment purchases during Fiscal Year 2022-23 in the amount of $65,000; and
3) Authorize the City Manager to approve up to an additional $15,000 per vendor, per fiscal year, if necessary; and
4) Take such additional related activities that may be desirable.
FISCAL IMPACT:
If the recommendations are approved, blanket Purchase Orders will be issued to each vendor in the following amounts:
CITY COUNCIL AND PUBLIC FINANCING AUTHORITY AGENDA REPORT - MEETING OF SEPTEMBER 28, 2022
Galls - $23,000 (Per Fiscal Year through FY 2024 - 25)
GL Code Amount
100-80-805-6000.40 $19,000
100-50-530-6016 $4,000
ProForce - $65,000 (For Fiscal Year 2022 – 23)
GL Code Amount
100-80-805-6000.40 $65,000
It is also requested that the City Manager be authorized to approve an additional $15,000 to each vendor during the fiscal year, if needed. All purchase orders will be valid for purchases made during the fiscal year (July 1 through June 30). Purchase orders will be issued annually at the beginning of the fiscal year through the fiscal year ending June 30, 2025.
It should be noted that the City currently has an annual purchase order established with Galls to purchase various safety, uniform and equipment items for the Fire Department.
This request will be in addition to that department-specific purchase order. Also, sufficient funding exists in the accounts above in the adopted FY 2022-23 budget for the intended purchases. The budget was developed to include the purchase during the fiscal year of various officer safety equipment (i.e., flashlights, batons, first aid kits, etc.) as well as one-time purchases of ballistic vests, helmets, and ammunition. All of these are items that can be procured through Galls and/or ProForce.
BACKGROUND:

ENVIRONMENTAL IMPACT:

ANALYSIS:

DISCUSSION:
The City of Montebello has previously utilized Galls and ProForce to purchase uniforms, safety equipment, less-lethal equipment, and other items for public safety personnel. The
CITY COUNCIL AND PUBLIC FINANCING AUTHORITY AGENDA REPORT - MEETING OF SEPTEMBER 28, 2022
City departments that primarily buy items from these vendors are Police, Fire, and Community Development (Code and Parking Enforcement). To ensure these items are readily available on an as-needed basis, it is requested that the City Council authorize issuing annual blanket purchase orders to the vendors mentioned above.
Both Galls and ProForce have valid agreements/purchase orders that were vetted through a competitive process (See Attachments A-C). Under Montebello Municipal Code Chapter 3.20.050, Piggybacking Purchasing Agreements, the City can establish purchase orders with these vendors using the same terms and conditions. This municipal code section states:
Piggyback Purchase - If the Purchasing Officer determines it to be in the best interest of the City, the Purchasing Officer is authorized to "piggyback" onto or join into an existing written purchase contract obtained through a competitive bidding process prepared by and awarded by another local, state or federal government agency.
If approved, annual blanket purchase orders will be issued to Galls through Fiscal Year 2024-25. A one-time blanket purchase order will be issued to ProForce for the current fiscal year in the amount of $65,000. Furthermore, the City Manager will be authorized to increase each purchase order by up to $15,000 depending on the need and availability of funds.
SUMMARY:
Staff requests the City Council consider issuing annual Blanket Purchase Orders to Galls for uniforms and safety equipment through FY 2024-25 in the amount of $23,000 per fiscal year ($69,000 over three fiscal years), a one-time Blanket Purchase Order to ProForce for personal protective and less-lethal supplies/equipment purchases during Fiscal Year 2022-23 in the amount of $65,000, and authorize the City Manager to approve up to an additional $15,000 per vendor, per fiscal year, if necessary. Issuance of the proposed Blanket Purchase Orders will ensure the City receives the best pricing and purchases are made in compliance with the local vetting process and the City’s municipal code.
