To: Honorable Mayor and City Council Members
Prepared By: Amanda Hamilton, Facilities and Maintenance Director
Department: Facilities and Maintenance
SUBJECT:
Acceptance of Bids and Award of Contract for the Moreno Arena Sound System Project; Appropriation of Additional Funds from the Measure R Fund for Project Cost and Contingency
RECOMMENDATION:
1. Award contract to Sunset Electrical Contractors, Inc. for the Design/Build of the Moreno Arena Sound System Project in the amount of $140,802, and authorize the City Manager to approve contract change orders up to 10% of the original contract.
2. Adopt Resolution No. 2022-76 to appropriate additional Measure R Funds in the amount of $24,882 to fund the cost of the project including the 10% contingency.
SUMMARY:
Proposals for the Moreno Arena Sound System Project were received on September 29, 2022, with Sunset Electrical Contractors, Inc. of Upland, California being the lowest responsible bidder. Therefore, it is recommended that a contract be awarded to Sunset Electrical Contractors, Inc. in the amount of $140,802 and authorize the City Manager to approve contract change orders up to 10% of the total bid.
BACKGROUND:
The Moreno Arena Sound System Project will replace the original sound system in Moreno Arena, located at the George Ingalls Equestrian Event Center. The existing sound system is over twenty years old and has met its useful life with many components of the system no longer working. The new sound system will provide sound for a variety of events, connect with the sound system at Clark Arena and allow for public address in the event of an emergency. This new system will also reduce the costs for the City and community event committees by eliminating the need for temporary sound systems during events.
The RFP for the Moreno Arena Sound System Project was advertised on both September 11th and 17th of 2022. A total of one proposal was received for the project in the amount of $140,802. Staff has reviewed the proposal and has determined that Sunset Electrical Contractors, Inc. of Upland, California is the lowest responsible bidder in the amount of $140,802.
The Fiscal Year 2022-2023 Capital Improvement Budget includes an approved budget amount of $130,000 for the Moreno Arena Sound System Project. The total cost for this project including a 10% contingency is $154,882. Therefore, an additional appropriation of $24,882 is needed from the Measure R Fund.
FISCAL IMPACT:
The Moreno Arena Sound System Project was approved as a Capital Improvement Project (CIP) in the Measure R Fund for Fiscal Year 2020-2021. Funds in the amount of $130,000 were carried over to FY 2022-2023. Funds in the amount of $140,802 are not sufficient to fund the lowest bid amount including the 10% contingency. The Measure R Fund has an available estimated fund balance in the amount of $4,076,727 to fund the additional appropriation requested. A resolution was prepared to appropriate additional funding in the amount of $24,882 (project number 54410.2; account number 132.940.43130).
RELATIONSHIP TO STRATEGIC PLAN:
This item is consistent with Strategic Direction No. 5. Infrastructure and Asset Management: Ensure timely preservation, replacement, improvement and acquisition of infrastructure and capital assets.

An endorsement providing completed operations coverage for the additional insured, ISO form CG 20 37 (or equivalent), is also required.
Contractor shall be responsible for payment of any deductibles contained in any insurance policies required hereunder and Contractor shall also be responsible for payment of any self-insured retentions. Any deductibles or self-insured retentions must be declared to, and approved by, the City Manager or his/her designee in his/her sole discretion. At the option of the City Manager or his/her designee, either (i) the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects City, its officers, officials, employees and agents; or (ii) Contractor shall provide a financial guarantee, satisfactory to the City Manager or his/her designee in his/her sole discretion, guaranteeing payment of losses and related investigations, claim administration and

All policies of insurance required hereunder shall be endorsed to provide that the coverage shall not be cancelled, non-renewed, reduced in coverage or in limits except after 30 calendar day written notice has been given to City. Upon issuance by the insurer, broker, or agent of a notice of cancellation, non-renewal, or reduction in coverage or in limits, Contractor shall furnish City with a new certificate and applicable endorsements for such policy(ies). In the event any policy is due to expire during the work to be performed for City, Contractor shall provide a new certificate, and applicable endorsements, evidencing renewal of such policy not less than 15 calendar days prior to the expiration date of the expiring policy.
The General Liability and Automobile Liability insurance policies shall be written on an occurrence form. All such policies of insurance shall be endorsed so Contractor’s insurance shall be primary and no contribution shall be required of City, its officers, officials, employees and agents. The coverage(s) shall contain no special limitations on the scope of protection afforded to City, its officers, officials, employees and agents. Should Contractor maintain insurance with broader coverage and/or limits of liability greater than those shown above, City requires and shall be entitled to the broader coverage and/or the higher limits of liability maintained by Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to City.
Claims-Made Policies - If any coverage required is written on a claims-made coverage form:
I. The retroactive date must be shown, and must be before the effective date of the Contract or the commencement of work by Contractor.
II. Insurance must be maintained and evidence of insurance must be provided for at least 5 years after completion of the work or termination of the Contract, whichever first occurs.
III. If coverage is canceled or non-renewed, and not replaced with another claimsmade policy form with a retroactive date prior to the effective date of the Contract, or work commencement date, Contractor must purchase extended reporting period coverage for a minimum of 5 years after completion of the work or termination of the Contract, whichever first occurs.
IV. A copy of the claims reporting requirements must be submitted to City for review.
V. These requirements shall survive expiration or termination of the Contract.
Contractor shall furnish City with all certificate(s) and applicable endorsements effecting coverage required hereunder. All certificates and applicable
endorsements are to be received and approved by the City’s Risk Manager or his/her designee in his/her sole discretion prior to City’s execution of the Contract and before work commences. Upon request of City, Contractor shall immediately furnish City with a complete copy of any insurance policy required under this Contract, including all endorsements, with said copy certified by the underwriter to be a true and correct copy of the original policy. This requirement shall survive expiration or termination of this Contract.
If at any time during the life of the Contract or any extension, Contractor or any of its subcontractors fail to maintain any required insurance in full force and effect, all work under this Contract shall be discontinued immediately, and all payments due or that become due to Contractor shall be withheld until notice is received by City that the required insurance has been restored to full force and effect and that the premiums therefore have been paid for a period satisfactory to City. Any failure to maintain the required insurance shall be sufficient cause for City to terminate this Contract. No action taken by City hereunder shall in any way relieve Contractor of its responsibilities under this Contract.
The fact that insurance is obtained by Contractor shall not be deemed to release or diminish the liability of Contractor, including, without limitation, liability under the indemnity provisions of this Contract. The duty to indemnify City shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Contractor. Approval or purchase of any insurance contracts or policies shall in no way relieve from liability nor limit the liability of Contractor, its principals, officers, agents, employees, persons under the supervision of Contractor, vendors, suppliers, invitees, consultants, sub-consultants, subcontractors, or anyone employed directly or indirectly by any of them.
In the event of a partial or total destruction by the perils insured against of any or all of the work and/or materials herein provided for at any time prior to the final completion of the Contract and the final acceptance by the City of the work or materials to be performed or supplied thereunder, the Contractor shall promptly reconstruct, repair, replace, or restore all work or materials so destroyed or injured at his/her sole cost and expense. Nothing herein provided for shall in any way excuse the Contractor or his/her insurance company from the obligation of furnishing all the required materials and completing the work in full compliance with the terms of the Contract.
If Contractor should subcontract all or any portion of the services to be performed under this Contract, Contractor shall require each subcontractor to provide insurance protection in favor of City, its officers, officials, employees and agents in accordance with the terms of each of the preceding paragraphs, except that the subcontractors' certificates and endorsements shall be on file with Contractor and City prior to the commencement of any work by the subcontractor.
3.2.10 Safety. Contractor shall execute and maintain its work so as to avoid injury or damage to any person or property. In constructing the Project, the Contractor shall at all times be in compliance with all applicable local, state and federal laws, rules and regulations, and shall exercise all necessary precautions for the safety of employees appropriate to the nature of the work and the conditions under which the work is to be performed. Safety precautions as applicable shall include, but shall not be limited to: (A) adequate life protection and lifesaving equipment and procedures; (B) instructions in accident prevention for all employees and subcontractors, such as safe walkways, scaffolds, fall protection ladders, bridges, gang planks, confined space procedures, trenching and shoring, equipment and other safety devices, equipment and wearing apparel as are necessary or lawfully required to prevent accidents or injuries; and (C) adequate facilities for the proper inspection and maintenance of all safety measures.
3.2.11 Bonds.
3.2.11.1 Performance Bond. Contractor shall execute and provide to City concurrently with this Agreement a Performance Bond in the amount of the total, not-to-exceed compensation indicated in this Agreement, and in a form provided or approved by the City. If such bond is required, no payment will be made to Contractor until it has been received and approved by the City.
3.2.11.2 Payment Bond. Contractor shall execute and provide to City concurrently with this Agreement a Payment Bond in the amount of the total, not-toexceed compensation indicated in this Agreement, and in a form provided or approved by the City. If such bond is required, no payment will be made to Contractor until it has been received and approved by City.
3.2.11.3 Bond Provisions. Should, in City’s sole opinion, any bond become insufficient or any surety be found to be unsatisfactory, Contractor shall renew or replace the affected bond within 10 days of receiving notice from City. In the event the surety or Contractor intends to reduce or cancel any required bond, at least thirty (30) days prior written notice shall be given to the City, and Contractor shall post acceptable replacement bonds at least ten (10) days prior to expiration of the original bonds. No further payments shall be deemed due or will be made under this Agreement until any replacement bonds required by this section are accepted by the City. To the extent, if any, that the total compensation is increased in accordance with the Agreement, the Contractor shall, upon request of the City, cause the amount of the bonds to be increased accordingly and shall promptly deliver satisfactory evidence of such increase to the City.
To the extent available, the bonds shall further provide that no change or alteration of the Agreement (including, without limitation, an increase in the total compensation, as referred to above), extensions of time, or modifications of the time, terms, or conditions of payment to the Contractor, will release the surety. If the Contractor fails to furnish any required bond, the City may terminate this Agreement for cause.
3.2.11.4 Surety Qualifications. Only bonds executed by an admitted surety insurer, as defined in Code of Civil Procedure Section 995.120, shall be
accepted. The surety must be a California admitted surety with a current A.M. Best’s rating no less than A: VIII and satisfactory to the City. If a California admitted surety insurer issuing bonds does not meet these requirements, the insurer will be considered qualified if it is in conformance with Section 995.660 of the California Code of Civil Procedure, and proof of such is provided to the City.

3.3.4 Extra Work. At any time during the term of this Agreement, City may request that Contractor perform Extra Work. As used herein, “Extra Work” means any work which is determined by City to be necessary for the proper completion of the Project, but which the parties did not reasonably anticipate would be necessary at the execution of this Agreement. Contractor shall not perform, nor be compensated for, Extra Work without written authorization from City’s Representative.

Contractor is aware of the requirements of California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations, Title 8, Section 1600, et seq., ("Prevailing Wage Laws"), which require the payment of prevailing wage rates and the performance of other requirements on "public works" and "maintenance" projects. If the Services are being performed as part of an applicable "public works" or "maintenance" project, as defined by the Prevailing Wage Laws, and if the total compensation is $1,000 or more, Contractor agrees to fully comply with such Prevailing Wage Laws. A Resolution reflecting the City Council's action on September 21, 2022 to deny Conditional Use Permit 2022-04 (Norco Old Town Market)
RECOMMENDATION:
Adopt Resolution 2022-77, to reflect the City Council's Denial of Conditional Use Permit 2022-04.
SUMMARY:
This report is being presented as a follow-up to the City Council's determination to uphold the Planning Commission's denial of Conditional Use Permit (CUP) 2022-04. A Resolution is required for the record.
BACKGROUND:
A public hearing was held at the Planning Commission meeting of August 10, 2022, for the request to allow the sale of a full-line of alcohol beverages (distilled spirits) for off-site consumption in conjunction with a 2,558 square-foot convenience store, Norco Old Town Market, at 4410 California Avenue (APN 153-200-020), located in the C-G (Commercial General) Zone. The Commission denied the approval of the Conditional Use Permit 2022- 04 for the noted request. An appeal was filed by the applicant to the City Council, requesting to overturn the Planning Commission denial. At its meeting of September 21, 2022, the City Council heard the appeal of the Planning Commission's denial of CUP 2022-04. The City Council concurred with the Planning Commission's determination and denied the subject application.

Consideration of a Resolution to Retroactively Approve and Adopt Salary Schedules for Management Group effective July 18, 2013 through December 31, 2020, and July 1, 2022 RECOMMENDATION:
Adopt Resolution No. 2022-79, to retroactively approve and adopt Salary Schedules for Management Group effective July 18, 2013 through December 31, 2020, and July 1, 2022
SUMMARY:
California Public Employers System (CalPERS) requires all public agencies to have salaries approved by City Council on a publicly available pay schedule as defined under California Code of Regulations Section 570.5.
BACKGROUND:
On October 6, 2022, CalPERS contacted the City to request all approved salary schedules that list the City Manager effective July 18, 2013 through December 31, 2020 and effective July 1, 2022. In researching this matter, it was discovered that the majority of the City Manager salary adjustments over the last several years were approved with an Employment Agreement and/or an Amendment, but a salary schedule with the City Manager's salary listed was not included at the time of Council approval. CalPERS staff has requested that the appropriate salary schedules be retroactively approved and adopted by City Council for the Management Group, to include the City Manager, that meet the requirements of a "publicly available pay schedule" as defined under California Code of Regulations Section 570.5.
The salary schedules that need to be approved are effective July 18, 2013 through December 31, 2020, and effective July 1, 2022. This time frame will cover the former City Manager's term and resolve the issue with CalPERS. There are two salary schedules (effective January 1, 2021 and effective July 1, 2021) not listed for retroactive approval because for those effective dates, salary schedules were adopted.
It is important to note that these actions do not provide for any retroactive salary adjustments or any additional salary to the previous City Manager. This action is only to memorialize in the salary schedules the compensation paid in those given times. With regard to the current City Manager's compensation, that salary is already listed in a pay schedule that was approved by the City Council on July 20, 2022, so no further action is needed on that matter.

STAFF REPORT
Date: October 19, 2022 Agenda Item:
5.B.
To: Honorable Mayor and City Council Members
Prepared By: Michelle Anglin, Community Services Director Department: Community Services
SUBJECT:
Amendment No. 1 to Memorandum of Understanding Between the City of Norco and Five Keys Schools and Programs
RECOMMENDATION:
Approve Amendment No. 1 of the Memorandum of Understanding with FIVE KEYS Schools and Programs.
SUMMARY:
The Memorandum of Understanding (MOU) with FIVE KEYS Schools and Programs (FIVE KEYS) will provide for the organization's use of city-owned property on Sierra Avenue for field-based farmer training. This supports the FIVE KEYS mission to provide opportunities for agricultural education, and affords farming prospects the ability to be part of the workforce to enhance the community culture and support its rural animal keeping and agriculture lifestyle.
BACKGROUND:
The City of Norco currently has an established mutual partnership with FIVE KEYS through a MOU to support the mutual goals of FIVE KEYS and the City. The organization provides opportunities for agricultural education, and affords farming prospects the ability to be part of the workforce to enhance the community culture and support its rural animal keeping and agriculture lifestyle. The current MOU provides FIVE KEYS with the use of the former City Hall building located on Hamner Avenue for its training program and a weekly farmers' market. The City provides the facility at no cost, and also pays the costs of all utilities.
FIVE KEYS has requested to further enter into a Land Stewardship Collaboration (see Proposal) between FIVE KEYS and the City of Norco at the newly purchased land on Sierra Avenue (4061 and 4095 Sierra Avenue) which is slated for future veterans housing.
For an initial term of one year, and potentially until the development is ready to move forward, this stewardship collaboration would create a field-based learning environment
for EAT! Farmer Training program participants while providing the City of Norco with deliberate and responsible Land Management/Usage of its newly acquired property.
Additional positive impacts of the Stewardship Collaboration would include:
• Support for the City's desire to preserve large lots through community reengagement in agriculture, and therefore showing one of the benefits of large lots
• Deter trespassing, dumping, vandalism and unauthorized occupancy at the properties through the EAT! Program's onsite Framer Training program activities • Landscape maintenance and upkeep of the site
Staff recommends approval of Amendment No. 1 to the MOU as proposed in order to provide continued support for community farming vocational education training in the City of Norco. At the end of the one-year term, this use can be re-evaluated and extended by the City Council at that time.
FISCAL IMPACT:
The costs associated with the requested use of the Sierra properties is estimated at approximately $7,800 annually to include water, sewer, refuse and electricity. FIVE KEYS will pay 50% of actual costs for utilities to the City on a quarterly basis.
RELATIONSHIP TO STRATEGIC PLAN:
The approval of this MOU is consistent with Strategic Direction #1: Public Health, Safety and Wellness - Enhance quality of life by promoting public health, safety and wellness initiatives for all community members.

(a) Indemnification for Professional Liability. When the law establishes a professional standard of care for FIVE KEYS’ services, to the fullest extent permitted by law, FIVE KEYS shall indemnify, protect, defend, and hold harmless CITY and any and all of its officials, employees, and agents (“INDEMNIFIED PARTIES”) from and against any and all losses, liabilities, damages, costs, and expenses, including attorney’s fees and costs to the extent the same are caused in whole or in part by any negligent or wrongful act, error, or omission of FIVE KEYS, its officers, agents, employees, or subconsultants (or any entity or individual that FIVE KEYS shall bear the legal liability thereof) in the performance of professional services discussed in this Amendment No. 1. (b) Indemnification for Other Than Professional Liability. (c) General Indemnification Provisions. FIVE KEYS agrees to obtain executed indemnity agreements with provisions identical to those set forth herein from each subconsultant or any other person or entity involved by, for, with, or on behalf of FIVE KEYS in the performance of the services discussed in this Amendment No. 1 or use of the Property or the Site. In the event FIVE KEYS fails to obtain such indemnity obligations from others as required here, FIVE KEYS agrees to be fully responsible according to the terms of this section. Failure of CITY to monitor compliance with these requirements imposes no additional obligations on CITY and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend CITY as set forth here is binding on the successors, assigns, or heirs of FIVE KEYS and shall survive the termination of this Amendment No. 1. Nothing in this indemnity shall be construed as authorizing any award of attorney’s fees in any action on or to enforce the terms of this
4 Indemnity or Amendment No. 1. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. k. Insurance. Prior to any use by FIVE KEYS of the Property or the Site, FIVE KEYS shall obtain, and thereafter maintain for the duration of this Amendment No. 1, insurance coverages meeting the following specifications:
General liability insurance. FIVE KEYS shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount, not less than $ 1,000,000.00 dollars per occurrence, $ 2,000,000.00 dollars general aggregate, for bodily injury, personal injury, and property damage, including without limitation, blanket contractual liability.
Workers’ compensation insurance. FIVE KEYS shall maintain Workers’ Compensation Insurance (Statutory Limits) and Employer’s Liability Insurance (with limits of at least $ 1,000,000.00 dollars). FIVE KEYS shall submit to CITY, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of CITY, its officers, agents, employees, and volunteers.
Proof of insurance. FIVE KEYS shall provide certificates of insurance to CITY as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for workers’ compensation.
Insurance certificates and endorsement must be approved by CITY prior to commencement of performance. Current certification of insurance shall be kept on file with CITY at all times during the term of this Amendment No 1. CITY reserves the right to require complete, certified copies of all required insurance policies, at any time.
Duration of coverage. FIVE KEYS shall procure and maintain for the duration of the AMENDMENT NO. 1 insurance against claims for injuries to persons or damages to property, which may arise from or in connection with use of the Property, use of the Site, or the performance of this AMENDMENT NO. 1 by FIVE KEYS, his/her/its agents, representatives, employees, or subconsultants. If this AMENDMENT NO. 1 involves construction, FIVE KEYS must maintain general liability and umbrella or excess liability insurance for as long as there is a statutory exposure to completed operations claims. CITY and its officers, officials, employees, and agents shall continue as additional insureds under such policies.
CITY’s rights of enforcement. In the event any policy of insurance required under this AMENDMENT NO. 1 does not comply with these specifications or is canceled and not replaced, CITY has the right but not
5 the duty to obtain the insurance it deems necessary and any premium paid by CITY will be promptly reimbursed by FIVE KEYS or CITY will withhold amounts sufficient to pay premium from FIVE KEYS’s payments.
Acceptable insurers. All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance in the State of California, with an assigned policyholders’ Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best’s Key Rating Guide, unless otherwise approved by CITY.
Notwithstanding the foregoing, XCU insurance shall have a rating of at leastB-VI.
Waiver of subrogation. All insurance coverage maintained or procured pursuant to this AMENDMENT NO. 1 shall be endorsed to waive subrogation against CITY, its elected or appointed officers, agents, officials, employees, and volunteers or shall specifically allow FIVE KEYS or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. FIVE KEYS hereby waives its own right of recovery against CITY, and shall require similar written express waivers and insurance clauses from each of its subconsultants.
Enforcement of contract provisions (non estoppel). FIVE KEYS acknowledges and agrees that any actual or alleged failure on the part of CITY to inform FIVE KEYS of noncompliance with any requirement imposes no additional obligations on the CITY nor does it waive any rights hereunder.
Specifications not limiting. Requirements of specific coverage features or limits contained in this Section are not intended as a limitation on coverage, limits, or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of anytype.
Notice of cancellation. FIVE KEYS agrees to oblige its insurance agent or broker and insurers to provide to CITY with a thirty (30) day notice of cancellation (except for nonpayment for which a ten (10) day notice is required) or nonrenewal of coverage for each required coverage.
Additional insured status. General liability policies shall provide or be endorsed to provide that CITY and its officers, officials, employees, and agents shall be additional insureds under such policies. This provision shall also apply to any excess liability policies. Coverage available to the
6 additional insured shall be primary and non- contributory.
Agency’s right to revise specifications. CITY reserves the right at any time during the term of the AMENDMENT NO. 1 to change the amounts and types of insurance required by giving FIVE KEYS ninety (90) days advance written notice of such change.
Self-insured retentions. Any self-insured retentions must be declared to and approved by CITY. CITY reserves the right to require that self-insured retentions be eliminated, lowered, or replaced by a deductible. Selfinsurance will not be considered to comply with these specifications unless approved byCITY.
Timely notice of claims. FIVE KEYS shall give CITY prompt and timely notice of claims made or suits instituted that arise out of or result from FIVE KEYS’s performance under this AMENDMENT NO. 1, and that involve or may involve coverage under any of the required liability policies.
Additional insurance. FIVE KEYS shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the work.
