This provision is established pursuant to Public Contract Code section 20101(d) which requires every public agency that requires prospective bidders to prequalify pursuant to the law to establish “a process that will allow prospective bidders to dispute their proposed prequalification rating prior to selection of an alternate bidder.” If the City intends to disqualify a bidder based upon the bidder’s safety record, the City will notify the bidder in writing and provide the bidder with any supporting evidence that has been received from others or adduced as a result of an investigation by the City. The notice of intention shall be sent by certified mail with return receipt requested or by overnight mail via a delivery service that provides online tracking which identifies the date of the prospective bidder’s receipt of the notice, and shall include notice that the bidder has the right to, and may request a hearing to rebut any evidence used as a basis for disqualification and to present evidence to the City as to why the prospective bidder should be found qualified. City Council Meeting K. 2.

DATE: 02/20/2024
TO: Honorable Mayor and City Council Members
SUBJECT: Consideration of the Professional Services Agreement and Sole Source Request for Landfill Gas Engineering Inc. for on-call engineering and support services for the wastewater treatment plant with an initial one (1) year term value not-to-exceed $215,000 with options to extend for two (2) additional years for a total amount not-to-exceed $645,000, and determine that this action is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act (Municipal Utilities and Engineering Director Harris) MOTION(S):

If City Council determines the staff recommendation is appropriate, the following motions are provided:

I move that City Council determine approval of a Professional Services Agreement with Landfill Gas Engineering Inc. is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act; and

1. I move that City Council approve a Professional Services Agreement and Sole Source Request with Landfill Gas Engineering Inc. for on-call engineering and support services for the wastewater treatment plant with an initial one (1) year term value not-to-exceed $215,000 with options to extend for two (2) additional years.

2. RECOMMENDATION:

Staff recommends City Council determine that approval of a Professional Services Agreement with Landfill Gas Engineering Inc. is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act and approve a Professional Services Agreement with Landfill Gas Engineering Inc. for on-call engineering and support services for the wastewater treatment plant with an Redlands Regular Meeting of 02-20-24

initial one (1) year term value not-to-exceed $215,000 with options to extend for two (2) additional years for a total not-to-exceed $645,000.

DISCUSSION:

The Wastewater Treatment Plant (WWTP) and City landfill use a combined flare to burn gases generated from both operations. Operation of this flare is permitted and strictly regulated by the South Coast Air Quality Management District (SCAQMD). After many years of providing flare consulting support services for the WWTP, LFG is very familiar with the specific temperatures, flow, pressures, gas composition, and heating values required to operate the flare in accordance with SCAQMD requirements.

Recently, LFG provided emergency support to the WWTP staff when the flare began malfunctioning frequently due to system temperature fluctuations. LFG quickly assessed the issue, determined that the Programmable Logic Controller (PLC) needed to be replaced, and supported the WWTP staff during this replacement. This resolved the issue, and the flare has worked well since.

Improvements to the combined flare will soon be engineered, permitted, and constructed and support from LFG is necessary to ensure the flare continues to function efficiently. Given LFG's unique knowledge, experience, and proven capability in addressing emergency situations, as well as their integral role in the upcoming improvements, a Sole Source procurement request is deemed appropriate. Time constraints underscore the imperative for prompt decision-making in selecting LFG, known for their rapid response time in critical situations driven by regulations.

Approval of the Professional Services Agreement with LFG is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act since the proposed action does not have the potential to cause any significant environmental impact.

ALTERNATIVES:

City Council may deny the staff recommendation and provide alternate direction.

STRATEGIC PLAN:

Strategic Priority B, Strategic Objective 1- Water/Wastewater/Solid Waste; Complete California Landfill flare upgrade project to ensure facility compliance.

SCOPE OF SERVICES

MONTHLY ROUTINE

Monthly Operational Trend Analysis and Reporting
The WWTF's operational status depends on various factors, including weather, pressure, and equipment operations. Recent City improvements, such as a treatment skid, aim to prioritize using raw digester gas for boilers to save on natural gas costs. Monthly data reviews by LFG Eng help establish ideal baselines, identify issues, and fine-tune the system, contributing to cost savings and efficient operations.

AS NEEDED NON-ROUTINE

On-Call Engineering and Field Support
The LFG Eng team is available 24 hours a day, 7 days a week to respond to any call out or support issues. Our team of engineers and field staff will be able to provide on-call engineering and troubleshooting support for all aspects of the WWTF operations. This includes, but is not limited to, the following items:
• Flare troubleshooting (blowers, thermocouple, UV Scanners, flame arrestor, safety shutdown valves)
• Programmable Logic Control (PLC) modifications (update to existing logic or additions of new parameters)

Redlands Regular Meeting of 02-20-24
822 of 923
DISCUSSION:

The City produces and distributes recycled water, drinking water, and non-potable water to more than 22,000 customers within the cities of Redlands and Loma Linda, and unincorporated areas within San Bernardino County.

Water is typically produced from surface water diversions from the Santa Ana River and Mill Creek, and extractions from the Bunker Hill and Yucaipa groundwater basins. This water is either treated and disinfected at a City water treatment facility or at the wellhead site prior to distribution as drinking water, or is directly distributed for non-potable uses such as landscape irrigation.

The City owns shares in several local mutual water companies and well companies with various entitlements that provide access to raw surface and groundwater. One such company is the South Mountain Water Company (SMWC), which extracts water from the Yucaipa groundwater basin, a sub-basin of the Bunker Hill groundwater basin, through two (2) well sites located in the Yucaipa area. SMWC has issued 1,000 stock shares and the City owns 646 SMWC shares.

Until recently, two (2) City non-potable water customers located along Sand Canyon Road were the only individual users of water produced directly from the SMWC system and they received a combined total of approximately 150-175 acre-feet of water annually. The Dangermond Park Foundation (DPF) was one of those customers and now receives non-potable water from the SMWC system as a shareholder. The Yucaipa Sustainable Groundwater Management Agency recently imposed a 518 acre-feet annual extraction cap (based on a rolling 5-year average) on SMWC. In 2022, SMWC significantly exceeded this cap and extracted approximately 900 acre-feet, which reduces the volume of groundwater extraction for the next four (4) years in order to remain within the imposed cap. In 2023, SMWC also exceeded this cap and extracted approximately 550 acre-feet. Additionally, the City's Water Production staff operates and maintains the SMWC system at the direction of SMWC without reimbursement, which includes two (2) groundwater wells, a booster pump station, and approximately 3.5 miles of distribution piping. The City's super-majority share ownership position also obligates Redlands to absorb a significant portion of all direct financial costs associated with operating SMWC in the form of assessments. Due to this financial liability, concerns with SMWC's management of its water resources, and the small amount of water delivered to the City's only remaining non-potable water customer, it is no longer practical for the City to retain its SMWC shares.

In February 2023, the City Council authorized the City Manager or his designee to solicit purchase offers and terms for the sale of all or a portion of the City's SMWC shares. Following City Council's direction, staff first negotiated with the City's two (2) non-potable water customers that were receiving SMWC water.

Crafton Hills Community College (CHCC) was not interested in acquiring any of the City's SMWC shares and is pursuing a connection to the YVWD recycled Redlands Regular Meeting of 02-20-24

the City's SMWC shares and is pursuing a connection to the YVWD recycled water distribution system.

After conducting a thorough due diligence process, the DPF offered to purchase 250 of the City's SMWC shares for $500 per share, for a total purchase price of $125,000. City Council approved the sale on January 16, 2024. Soon after finalizing the DPF Stock Sale Agreement terms, MUED staff received an unsolicited proposal form YVWD to purchase the City's remaining SMWC shares. On January 16, 2024, City Council approved a Stock Sale Agreement to sell fifteen (15) SMWC shares to YVWD for $500 per share, for a total of $7,500, to allow YVWD to attend the 2024 SMWC Annual Stockholders Meeting while they finalize their due diligence effort. YVWD recently completed their due diligence effort and is now prepared to execute a Stock Sale Agreement for the City's remaining 646 SMWC shares for $500 per share, for a total of $323,000.

Staff recommends City Council approval of a Stock Sale Agreement with YVWD that formalizes the transaction terms, which also requires YVWD to continue SMWC non-potable water service to CHCC until their landscape irrigation system is connected to the YVWD recycled water distribution system.

Approval of this Agreement is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act since it can be seen with certainty that doing so has no possibility of causing a significant effect on the environment.

ALTERNATIVES:

City Council may deny the staff recommendation and provide alternate direction.

DISCUSSION:

The Redlands Fire Department oversees operations at four fire stations throughout the city. Fire Station 262, located at 1690 Garden Street, was originally built in 1965, serving as a vital hub in ensuring the safety and well-being of the community.

The scope of the project includes the construction of new spaces and the remodeling of certain areas within the existing 3,683 SF one-story building and new additions consisting of a fitness room and six crew dormitories. Site improvements consist of CMU retaining walls, tube steel fencing, a crew parking area, and landscaping.

PBK Architects prepared plans and specifications and city staff advertised a bid request for the project on November 14, 2023. As a result, on December 7, 2023, the City Clerk’s office received and opened eleven bids. The bids were reviewed by staff to determine if they were responsive to bid requirements.

Based on the attached bid analysis, Elegant Construction, Inc. is the lowest responsive and responsible bidder. Therefore, it is recommended that the City Council award a Public Work Construction Contract to Elegant Construction, Inc. for an amount not-to-exceed $2,160,000.

The following eleven (11) Project bids were received before the submittal deadline:

FAITHFUL PERFORMANCE BOND

Whereas, the City of Redlands (“City”), State of California, and Elegant Construction Inc. (hereinafter designated as "Principal") have entered into an agreement dated February 20th, 2024 (“Agreement”) whereby Principal agrees to install and complete certain public improvements (the “Work”), which said Agreement is identified as Redlands Fire Station No.262 Remodel Project and is hereby referred to and made a part hereof; and

Whereas, said Principal is required under the terms of the Agreement to furnish a bond for the faithful performance of the Work, now, therefore, we, the Principal and , _____________________________, as Surety, are held and firmly bound unto the City in the penal sum of two million one hundred sixty thousand dollars ($2,160,000) lawful money of the United States, for the payment of which sum we bind ourselves, and our heirs, successors, executors and administrators, jointly and severally, firmly by these presents.

The condition of this obligation is such that if the above bounded Principal, his or its heirs, executors, administrators, successors or assigns, shall in all things stand to and abide by, and well and truly keep and perform the covenants, conditions and provi sions in the Agreement and any alteration thereof made as therein provided, on his or its part, to be kept and performed at the time and in the manner therein specified, and in all respects according to their true intent and meaning, and shall faithfully f ulfill the one -year guarantee of all materials and workmanship, and shall defend, indemnify and save harmless the City and its elected officials, officers, agents and employees, as therein stipulated, then this obligation shall become null and void; otherwise it shall be and remain in full force and effect.

As a part of the obligation secured hereby and in addition to the face amount specified therefor, there shall be included costs and reasonable expenses and fees, including reasonable attorneys’ fees, incurred by the City in successfully enforcing such obli gations, all to be taxed as costs and included in the judgment rendered.

As a condition precedent to the satisfactory completion of the Work, the above obligation shall hold good for a period of one (1) year or longer if required by the Agreement after the acceptance of the work by the City, during which time if the Principal shall fail to make full, complete, and satisfactory repair and replacements and totally protect the City from loss or damage made evident during this period from the date of completion of the Work, and resulting from or caused by defective materials or faul ty workmanship, the above obligation in penal sum thereof shall remain in full force and effect. The obligations of Surety hereunder shall continue so long as any obligation of the Principal remains.

Whenever the Principal shall be, and is declared by the City to be, in default under the Agreement, the City having performed the City obligations thereunder, the Surety shall promptly remedy the default, or shall promptly, at the City’s option:

1. Complete the Work in accordance with its terms and conditions; or

2. Obtain a bid or bids for completing the Work in accordance with its terms and Redlands Regular Meeting of 02-20-24

conditions, and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a contract between such bidder and the City, and make available as work progresses sufficient funds to pay the cost of completion of the Work less the balance of the Agreement price, but not exceeding, including other costs and damages for which Surety may be liable hereunder, the amount set forth above. The term “balance of the Agreement price,” as used in this paragraph, shall mean the total amount pa yable to the Principal by the City under the Agreement and any modifications thereto, less the amount previously properly paid by the City to the Principal.

Surety expressly agrees that the City may reject any contractor or subcontractor which may be proposed by Surety in fulfillment of its obligations in the event of default by the Principal.

Surety shall not utilize the Principal in completing the Work nor shall Surety accept a bid from the Principal for completion of the Work if the City, when declaring the Principal in default, notifies Surety of the City’s objection to the Principal’s further participation in the completion of the Work.

No right of action shall accrue on the bond to or for the use of any person or corporation other than the City named herein or the successors or assigns of the City. Any suit under this bond must be instituted within the applicable statute of limitations period.

The said Surety, for value received, hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Agreement or to the work to be performed thereunder or the Specifications accompanying the same shall in any way affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition to the terms of the Agreement or to the work or to the specifications.

No final settlement between the City and the Principal shall abridge the right of any beneficiary hereunder whose claim may be unsatisfied.

The Principal and Surety agree that if the City is required to engage the services of any attorney in connection with the enforcement of this bond, each shall pay the City’s reasonable attorneys’ fees incurred, with or without suit, in addition to the above sum.

In witness whereof, this instrument has been duly executed by the Principal and Surety above named, on , 2024.

LABOR AND MATERIAL BOND

Whereas, the City Council of the City of Redlands, State of California, and Elegant Construction Inc. (hereinafter designated as “Principal”) have entered into an agreement (the “Agreement”) whereby Principal agrees to install and complete certain designated public improvements (the “Work”), which said agreement, dated February 20th, 2024, and identified as Redlands Fire Station No.262 Remodel Project, FCS11072023JN is hereby referred to and made a part hereof; and

Whereas, under the terms of the Agreement, Principal is required before commending the performance of the Work, to file a good and sufficient Labor and Material bond with the City of Redlands to secure the claims to which reference is made in Title 3 (comm encing with Section 9550) of Part 6 of Division 4 of the Civil Code of the State of California.

It is hereby expressly stipulated and agreed that this bond shall insure to the benefit of any and all persons, companies and corporations entitled to file claims under Title 3 (commencing with Section 9550) of Part 6 of Division 4 of the Civil Code, so as to give a right of action to them or their assigns in any suit brought upon this bond.

Should the condition of this bond be fully performed, then this obligation shall become null and void, otherwise it shall be and remain in full force and effect.

The surety hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Agreement or the specifications accompanying the same shall in any manner affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition.

City Council Meeting K. 5.

DATE: 02/20/2024
TO: Honorable Mayor and City Council Members
SUBJECT: Consideration of the Intergovernmental/Piggy-back Cooperative Agreement with West Coast Arborists, Inc. and related
Non-Professional Services for Improvement to Public Buildings and Grounds Agreement to provide tree maintenance and arboricultural services for a total amount not to exceed $3,600,000 (Facilities and Community Services Department Director Crocker)
MOTION(S):

If the City Council determines that staff’s recommendation is appropriate, the following motion is provided:

I move to approve the Intergovernmental/Piggy-back Cooperative Agreement with West Coast Arborists, Inc. and related Non-Professional Services for Improvement to Public Buildings and Grounds Agreement to provide tree maintenance and arboricultural services for a three-year term for an amount not to exceed $3,600,000.

RECOMMENDATION:

Staff recommends that the City Council approve an Intergovernmental Piggy-back Cooperative Agreement purchase order and related Non-Professional Services for Improvement to Public Buildings and Grounds Agreement with West Coast Arborists, Inc., to provide tree maintenance and arboricultural services for an initial three-year term for an amount not to exceed $3,600,000.

Redlands Regular Meeting of 02-20-24
852 of 923
DISCUSSION:

The City's Facilities and Community Services Department is responsible for the maintenance and care of an urban forest that encompasses approximately 43,000 trees. The care and maintenance of the city's urban forest sustains the overall health and vitality of these trees, one of our most valuable assets.

In Fiscal Year 2020-2021, staff prepared a Request for Bid, and on September 29, 2020, the City Clerk received and opened four bids. Staff evaluated the bids and West Coast Arborists, Inc (WCA) met the bidding requirements and was the selected contractor for the annual tree trimming and arboricultural services. The current contract term is ending and prior to preparing a Request for Bid, staff were able to secure comparable contract terms, by way of opting to "piggy-back" off an existing maintenance contract between WCA and the City of Claremont.

The contract was approved by the City of Claremont's City Council on June 13, 2023 with an initial three-year term, with two additional one-year terms for a total of five years. The City of Claremont's contract includes a purchasing provision that states "any other public agency shall have the option to participate in any award made as a result of this solicitation at the same prices." Staff is recommending to award a piggy-back contract with WCA for an amount not to exceed $3,600,000. This is based off $1.2 million per year. Award of this piggy-back contract will mitigate the City from potential inflationary impacts by providing fixed operation pricing and cost certainty through February 2027.

Additionally, the recommended contract terms will enable the City to maintain its current level of tree service and tree trimming scheduling.

Under the proposed extension, WCA will continue to proactively prune 7,000 to 9,000 trees per year, supporting a 5-7 year pruning cycle for street and park trees. In addition to scheduled citywide pruning activities, WCA facilitates reforestation efforts, provides as-needed support for emergencies and/or tree removals, administers field inventory for all city-owned and maintained trees, and provides the organization with a web-based system that tracks work orders, project budgets, and tree maintenance history.

ALTERNATIVES:

City Council may choose to reject the request of the
Intergovernmental/Piggy-back Cooperative Agreement with West Coast Arborists, Inc. and related Non-Professional Services for Improvement to Public Buildings and Grounds Agreement.
