THIRD AMENDMENT TO INDEPENDENT CONTRACTOR AGREEMENT

THIS THIRD AMENDMENT TO INDEPENDENT CONTRACTOR AGREEMENT ("Third Amendment ) 1s entered into ettective May 1, 2022, by and among Dignity Health, a Calitornia nonprotit public benefit corporation, d/b/a St. Bernardine Medical Center; Community Hospital of San Bernardino, a California nonprofit public benefit corporation; and City of San Bernardino, a charter city and municipal corporation, on behalf of the City of San Bernardino Police Department, amending that certain Independent Contractor Agreement entered into among the Parties effective January 1, 2019, as amended (collectively, the "Agreement").
THE PARTIES agree as follows:
1. The Parties amend Section E of the Key Informational Terms of the Agreement to read as follows:
"Term. Notwithstanding the initial Effective Date and Expiration Date, the term of this Agreement shall be extended to May 31, 2022 (the "Expiration Date")."
2. All other terms and conditions of the Agreement remain unchanged, and except as expressly modified by this Third Amendment, the Agreement shall remain in full force and effect. This Third Amendment may be executed by the Parties in any number of separate counterparts and all of said counterparts taken together shall be deemed to constitute one and the same instrument. Capitalized terms not otherwise IN WITNESS WHEREOF, this Third Amendment has been executed by and on behalf of the Parties.
