§ 75.1 Purpose.

This part establishes the requirements to be followed to ensure the objectives of Section 3 of the Housing and Urban Development Act of 1968 (12 U.S.C. 1701u) (Section 3) are met. The purpose of Section 3 is to ensure that economic opportunities, most importantly employment, generated by certain HUD financial assistance shall be directed to low- and very low-income persons, particularly those who are recipients of government assistance for housing or residents of the community in which the Federal assistance is spent. § 75.3 Applicability.
(a) General applicability. Section 3 applies to public housing financial assistance and Section 3 projects, as follows:
(1) Public housing financial assistance. Public housing financial assistance means:
(i) Development assistance provided pursuant to section 5 of the United States Housing Act of 1937 (the 1937 Act);
(ii) Operations and management assistance provided pursuant to section 9(e) of the 1937 Act; (iii) Development, modernization, and management assistance provided pursuant to section 9(d) of the 1937 Act; and
(iv) The entirety of a mixed-finance development project as described in 24 CFR 905.604, regardless of whether the project is fully or partially assisted with public housing financial assistance as defined in paragraphs (a)(1)(i) through(iii) of this section. (2) Section 3 projects.
(i) Section 3 projects means housing rehabilitation, housing construction, and other public construction projects assisted under HUD programs that provide housing and community development financial assistance when the total amount of assistance to the project exceeds a threshold of $200,000. The threshold is $100,000 where the assistance is from the Lead Hazard Control and Healthy Homes programs, as authorized by Sections 501 or 502 of the Housing and Urban Development Act of 1970 (
12 U.S.C. 1701z-1 or1701z-2), the Lead-Based Paint
Poisoning Prevention Act (42 U.S.C 4801 et seq.); and the Residential Lead-Based Paint Hazard Reduction Act of 1992 (42 U.S.C. 4851 et seq.). The project is the site or sites together with any building(s) and improvements located on the site(s) that are under common ownership, management, and financing.
(ii) The Secretary must update the thresholds provided in paragraph (a)(2)(i) of this section not less than once every 5 years based on a national construction cost inflation factor through FEDERAL REGISTER notice not subject to public comment. When the Secretary finds it is warranted to ensure compliance with Section 3, the Secretary may adjust, regardless of the national construction cost factor, such thresholds through FEDERAL REGISTER notice, subject to public comment.
(iii) The requirements in this part apply to an entire Section 3 project, regardless of whether the project is fully or partially assisted under HUD programs that provide housing and community development financial assistance.
(b) Contracts for materials. Section 3 requirements do not apply to material supply contracts. 24 CFR Part 75 (up to date as of 11/04/2024)

(1) Certify that they have followed the prioritization of effort in § 75.9; and (2) Meet or exceed the applicable Section 3 benchmarks as described in paragraph (b) of this section. (b) Establishing benchmarks.
(1) HUD will establish Section 3 benchmarks for Section 3 workers or Targeted Section 3 workers or both through a document published in the FEDERAL REGISTER. HUD may establish a single nationwide benchmark for Section 3 workers and a single nationwide benchmark for Targeted Section 3 workers, or may establish multiple benchmarks based on geography, the type of public housing financial assistance, or other variables. HUD will update the benchmarks through a document published in the FEDERAL REGISTER, subject to public comment, not less frequently than once every 3 years. Such notice shall include aggregate data on labor hours and the proportion of PHAs and other recipients meeting benchmarks, as well as other metrics reported pursuant to § 75.15 as deemed
appropriate by HUD, for the 3 most recent reporting years. (2) In establishing the Section 3 benchmarks, HUD may consider the industry averages for labor hours worked by specific categories of workers or in different localities or regions; averages for labor hours worked by Section 3 workers and Targeted Section 3 workers as reported by recipients pursuant to this section; and any other factors HUD deems important. In establishing the Section 3 benchmarks, HUD will exclude professional services from the total number of labor hours as such hours are excluded from the total number of labor hours to be reported per § 75.15(a)(4).
(3) Section 3 benchmarks will consist of the following two ratios:

paragraph (a)(4) of this section, to report.
(4) PHAs and other recipients reporting under this section, as well as contractors and subcontractors who report to PHAs and recipients, may report labor hours by Section 3 workers, under paragraph (a)(1)(ii) of this section, and labor hours by Targeted Section 3 workers, underparagraph (a)(1)(iii) of this section, from professional services without including labor hours from professional services in the total number of labor hours worked under
paragraph (a)(1)(i) of this section. If a contract covers both professional services and other work and the PHA, other recipient, contractor, or subcontractor chooses not to report labor hours from professional services, the labor hours under the contract that are not from professional services must still be reported. (5) PHAs and other recipients may report on the labor hours of the PHA, the recipient, a contractor, or a subcontractor based on the employer's good faith assessment of the labor hours of a full-time or part-time employee informed by the employer's existing salary or time and attendance based payroll systems, unless the project or activity is otherwise subject to requirements specifying time and attendance reporting.
(b) Additional reporting if Section 3 benchmarks are not met. If the PHA's or other recipient's reporting under paragraph (a) of this section indicates that the PHA or other recipient has not met the Section 3 benchmarks described in
§ 75.13, the PHA or other recipient must report in a form prescribed by HUD on the qualitative nature of its Section 3 compliance activities and those of its contractors and subcontractors. Such qualitative efforts may, for example, include but are not limited to the following:

2 7
The proposed action would authorize the City of San Bernardino to enter into an Exclusive Negotiating Agreement (ENA) with Neighborhood Housing Services of the Inland Empire (NHSIE), a nonprofit affordable housing developer, for the potential development of affordable homeownership housing on three City-owned surplus land sites located along East 49th Street in Ward 4 (Sites 8, 9, and 10), totaling approximately 0.86 acres. The sites were declared surplus pursuant to the Surplus Land Act, and all required notification and good faith negotiation procedures have been completed in coordination with the California Department of Housing and Community Development (HCD). The ENA establishes a structured negotiation period to evaluate project feasibility and negotiate the terms of a future Disposition and Development Agreement (DDA), including site control, affordability, design, financing, and long-term operations.

Background
The City owns properties located on East 49 th Street, identified as Surplus Land Act Sites 8, 9, and 10. These properties have been designated for disposal under the Surplus Land Act, meaning they are considered excess property that the City does not need for public use and may be made available for development or other purposes.

The sites include the following Assessor’s Parcel Numbers (APNs): 0154-125-07 (Site 8), 0154-126-01 and 0154-126-02 (Site 9), and 0154-126-30 (Site 10).

On November 16, 2022, the City Council of the City of San Bernardino adopted Resolution No. 2022-234, which declared the Property surplus, pursuant to Government Code Section 54220 and issued Notices of Availability (“NOA”) on February 27, 2024.

On August 2, 2023, the City selected NHSIE, a nonprofit affordable housing developer, to partner with the City to develop approximately 0.86 acres of the Property for affordable housing (“Project”).

On October 18, 2024, the California Department of Housing and Community Development (HCD) issued a letter to the City determining that the City had met all the requirements under the Surplus Land Act (SLA) for the purposes of disposing of the Property.

Discussion
Neighborhood Housing Services of the Inland Empire (NHSIE) is a community-based, community-driven 501(c)(3) nonprofit organization with more than 40 years of experience advancing housing stability and neighborhood revitalization throughout the Inland Empire. As a U.S. Department of Housing and Urban Development (HUD)- approved housing counseling agency, a certified Community Development Financial Institution (CDFI), and an experienced affordable housing developer, NHSIE integrates financial counseling, development expertise, and long-term asset management to deliver sustainable housing outcomes.

NHSIE’s proposed development approach is informed by demonstrated community

need identified through its direct service programs. Over the past three years, NHSIE has documented demand from more than 100 households within 12 months of mortgage readiness seeking homeownership opportunities, as well as approximately 2,400 residents interested in naturally affordable rental housing. This demand has shaped a comprehensive housing strategy designed to address the full continuum of housing needs, including homeownership, transitional housing, and workforce-oriented rental opportunities.

3 1
2 7
For Surplus Land Act Sites 8, 9, and 10, NHSIE proposes the development of a small- scale homeownership community consisting of approximately 19 townhome units distributed across the three sites (approximately five to eight units per site). The homes are designed to average approximately 1,300 square feet and are intended to serve first-time homebuyers and families seeking stable, long-term housing opportunities.

On NHSIE-owned property, the organization proposes a hybrid model that combines immediate homeownership opportunities with a lease-to-own pathway for households participating in NHSIE’s Self-Sufficiency Program. Under this model, certain units will be offered for purchase upon completion, while a portion will be retained as rental units to support households actively preparing for homeownership. This approach provides a structured transition for families building financial capacity and housing readiness.

NHSIE also proposes utilizing innovative construction methods to reduce development costs, shorten construction timelines, and enhance building durability and climate resilience. These strategies are intended to support long-term affordability by lowering both initial development costs and ongoing operating expenses.

Traditional sustainability measures will include high-performance building envelopes, energy-efficient windows and doors, advanced air sealing, and high-efficiency HVAC systems with smart controls. Projects will incorporate drought-tolerant, native landscaping to reduce water use and maintenance demands and will prioritize locally sourced materials where feasible. Developments will pursue third-party green building certifications, such as LEED, ENERGY STAR, or Green Globes, to verify environmental performance.

Where feasible, NHSIE proposes the use of 3D concrete printing technology, which utilizes computer-controlled equipment to construct structural walls layer by layer using specialized concrete mixes. This method significantly accelerates construction timelines and improves structural resilience. The technology offers enhanced fire resistance, seismic performance, energy efficiency, and durability, while reducing long- term maintenance needs.

NHSIE also proposes the strategic use of factory-built manufactured housing constructed in climate-controlled environments in accordance with federal HUD standards. As a licensed manufactured housing dealer, NHSIE is able to achieve cost savings that are passed directly to residents through reduced purchase prices.

Manufactured housing offers consistent quality control, accelerated construction schedules, and affordability advantages compared to traditional site-built construction.

Through this integrated approach, combining demonstrated community need, innovative construction technologies, and sustainable design, NHSIE is positioned to deliver high-quality housing that advances the City’s affordable housing goals, supports workforce stability, and promotes long-term neighborhood investment and growth.

The following are the key terms of the ENA with NHSIE:
Agreement to Negotiate: The City and the Developer agree to engage in exclusive, good-faith negotiations during the Negotiating Period to finalize a mutually acceptable Disposition and Development Agreement (DDA). Negotiating Period: The parties have a 6-month period (with the potential of (2) extensions for a period of three (3) months each time) to negotiate the Disposition and Development Agreement (DDA). The ENA terminates upon signing of the DDA or if no agreement is reached by the end of the period. Disposition and Development Agreement (DDA): The DDA is the final legal contract that will outline the specific terms of the development project, including property transfer, project design, development schedule, budgeting, operational procedures, maintenance, compliance with CEQA, NEPA, and other relevant details.
Environmental Review: The project must comply with the California Environmental Quality Act (CEQA) and National Environmental Policy Act (NEPA) and undergo an environmental impact assessment to identify potential environmental impacts and implement mitigation measures to reduce or avoid significant impacts.
Financing Proposal: The Developer must provide a detailed financial analysis, including development costs, operating expenses, and funding sources, to demonstrate the project's financial feasibility.
Development Documents: The Developer must prepare detailed plans, drawings, and specifications for the project and obtain necessary permits and approvals from relevant agencies.
Due Diligence: The Developer must conduct thorough investigations, including inspections, tests, and studies, to assess the Property's condition and suitability for development and to identify and mitigate potential risks and liabilities. Community Engagement: The City and Developer must engage with the community through public meetings, surveys, or other methods to seek input and address community concerns.

Upon completion of negotiations, staff will return at a later date to present a Disposition and Development Agreement (DDA) for the City Council’s consideration and approval.

Approval of the ENA establishes a framework to negotiate key project terms and advance project planning but does not obligate the City to convey the properties. This initiative reflects the City’s commitment to addressing housing needs through sustainable partnerships and strategic investments.
2021-2025 Strategic Targets and Goals
Approving the ENA aligns with Key Strategic Target and Goal No. 3: Improved Quality of Life. Partnering with NHSIE to develop affordable housing will reduce the number of blighted city-owned properties while providing essential affordable housing opportunities to the community.

1. Approve the Exclusive Negotiating Agreement (ENA) between the City of San Bernardino and Neighborhood Housing Services of the Inland Empire (NHSIE), a California non-profit public benefit corporation, for the development of approximately 0.86 acres of city-owned surplus land, identified as sites 8, 9 and 10, for affordable housing; and

(4)The Developer shall bear all cost for its performance under this Agreement. (5)The City and the Developer will continue to negotiate toward the execution of a DDA within the Negotiation Period for the disposition, use and development of the Properties.

During the term of this Agreement, the City will negotiate exclusively with Developer, except as to potential users, concerning disposition, use, and development of the Properties. If a DDA is approved by the City Council and fully executed by the Parties, it shall supersede this Agreement. (6)The DDA must be presented to the City Council for review and approval, in its sole and absolute discretion The DDA shall contain terms and conditions for the disposition and use of the Properties, including an affordability covenant, as negotiated between the City and the Developer, which comply with all legal requirements for disposition of the Properties. The City (by and through its staff and consultants) and Developer agree that for the term of the Negotiation Period (whether said period expires or is earlier terminated by the provisions herein), each party shall negotiate diligently and in good faith to carry out its obligations under this Agreement. rights pursuant to this Agreement are subject to and based upon compliance by the Developer with this Agreement, including without limitation the making of all submittals required pursuant to this Agreement, in conformity with this Agreement, and City's review of the submittals under applicable laws. Developer further agrees and acknowledges that the agreement to negotiation is not, and shall not be construed as, an approval of a DDA or other definitive agreement for disposition of the Properties.
(b)Supplemental Progress Reports. In addition to the information required in Section 3.a above, for so long as this Agreement remains in effect Developer agrees to provide monthly written reports, or as often as reasonably requested, to the Agency Director of Community, Housing, and Economic Development advising the City on all matters and all studies being made.

5.No Predetermination of City Discretion. The Parties agree and acknowledge that nothing in this Agreement in any respect does or shall be construed to affect or prejudge the exercise of the discretion of the City. The Developer acknowledges in this regard that the feasibility of the Developer’s proposal has not been finally determined, and further that, at the discretion of the City, an environmental review will be prepared and circulated for comment by the City, in connection with the consideration of the DDA. Further, nothing in this Agreement in any respect does or shall be construed to affect or prejudge the City’s discretion to consider, negotiate, or undertake the acquisition and/or development of any portion of the Properties, or shall affect the City’s compliance with the laws, rules, and regulations governing land uses, environmental review, or disposition of the Properties.

6.Environmental and Other Requirements. Certain state and local environmental requirements (including, but without limitation, the California Environmental Quality Act of 1970, Public Resources Code Section 21000, et seq.) ("CEQA") may be applicable to the Project.

Pursuant to such requirements, certain environmental documents may be required to be prepared and certified for the Project. The City, by this Agreement, undertakes no obligation to pay any costs associated with such environmental documents or to supply data and information both to determine the impact of the development on the environment and to assist in the preparation of any necessary environmental documents, or any such related information for purposes of determining whether any project on the Properties would qualify for an exemption from CEQA.

7.Costs and Expenses. Except as otherwise provided in this Agreement, each party shall be responsible for its own costs and expenses in connection with any activities and negotiations undertaken in connection with the performance of its obligations under this Agreement.

8.Non-Discrimination. Developer shall not discriminate against nor segregate, any person, or group of persons on account of sex, race, color, marital status, religion, creed, national origin or ancestry in the sale, lease, sublease, transfer, use, occupancy, tenure or enjoyment of the Properties, nor shall the Developer establish or permit any such practice or practices of discrimination or segregation in the selection, location, number, use, or occupancy of tenants, lessees, subtenants, sublessees or vendees of the Properties.

10.Default. Failure by either party to perform any of its duties as provided in this Agreement shall constitute an event of default under this Agreement. The non-defaulting party shall give written notice of a default to the defaulting party, specifying the nature of the default and the action required to cure the default.

11.Remedies for Breach of Agreement. In the event of a default that remains uncured for ten (10) business days, the sole remedy of the non-defaulting party shall be to terminate this Agreement. Following such termination, neither party shall have any further rights, remedies or obligations under this Agreement. Neither party shall have any liability to the other for monetary damages or specific performance for the breach of this Agreement, or failure to reach agreement on a DDA, and each party hereby waives and releases any such rights or claims it may otherwise have at law or at equity. Furthermore, the Developer knowingly agrees that it shall have no right to specific performance for conveyance of, nor to claim any right of title or interest in the Properties or any portion thereof.

12.Termination. This Agreement shall: (i) automatically terminate at the time(s) set forth in Section 1 above, and (ii) terminate prior to the time(s) set forth in Section 1 above in the event the Developer shall fail to perform its obligations hereunder to the reasonable satisfaction of the City Manager; provided that prior to termination, the City shall provide the Developer with notice of the failure(s) and provide ten (10) business days in which to cure, if such failures are curable. In addition, the parties agree that if either party shall determine, in their sole and absolute discretion, that it is infeasible to proceed with the disposition and development of the Properties as contemplated hereunder, either party may, upon ten (10) business days’ written notice to the other party, terminate this Agreement. Upon termination of this Agreement, whether upon expiration of the Negotiation Period or otherwise, both Parties knowingly agree that neither Party shall have any

further rights or remedies as to the other and the Developer shall have no rights in respect to the Properties.

13.Time of Essence. Time is of the essence of every portion of this Agreement in which time is a material part. During the Negotiation Period the time periods set forth in this Agreement for the performance obligations hereunder shall apply and commence upon a complete submittal of the applicable information or occurrence of an applicable event. In no event shall an incomplete submittal by the Developer trigger any of the City’s obligations of review, approval and/or performance hereunder; provided, however, that the City shall notify the Developer of an incomplete submittal as soon as is practicable and in no event later than the applicable time set forth for the City’s action on the particular item in question. Further, the time periods set forth herein are outside dates of performance.

14.Real Estate Commissions. The City shall not be liable for any real estate commission or brokerage fees which may arise with respect to this Agreement or the Properties.

15.Developer Not an Agent. The Developer is not an agent of the City.

16.Press Releases. The Developer agrees not to issue any press releases about this Agreement or the Properties without the express written approval of the City Manager or his/her designee.

17.Entire Agreement; Modifications; Waiver. This Agreement constitutes the entire understanding and agreement of the parties, integrates all of the terms and conditions mentioned herein or incidental hereto, and supersedes all negotiations or previous agreements, written or oral, between the parties or their predecessors in interest with respect to all or any part of the subject matter hereof. Any amendment, modification, or waiver of this Agreement or any part hereof shall not be effective unless in writing and signed by both parties and shall be subject to Section 21.

18.Agreement Does Not Constitute Development Approval. The City reserves final discretion and approval as to any DDA and all proceedings and decisions in connection therewith.

This Agreement shall not be construed as a grant of development rights, interest in the Properties, or land use entitlements to construct the Project or any other project. All design, architectural, and building plans for the Project shall be subject to the review and approval of the City. By its execution of this Agreement, the City is not committing itself to or agreeing to undertake the disposition or development of the Properties or other real property to the Developer, or any other acts or activities requiring the subsequent independent exercise of discretion by the City, or any agency or department thereof.

19.Governing Law; Venue. This Agreement shall be construed in accordance with the laws of the State of California, and venue for any action initiated by a party to interpret or enforce this Agreement shall lie exclusively in the state and federal courts in the County of San Bernardino.

20.Attorneys’ Fees. Each party shall be responsible for payment of its own attorneys’ fees and expenses with respect to negotiation and preparation of this Agreement. In the event any action is brought to enforce or interpret any of the provisions of this Agreement, the prevailing party in such action or proceeding, shall be entitled to have and recover its reasonable attorneys’ fees and expenses.

21.Implementation of Agreement. The City shall maintain authority to implement this Agreement through the City Manager. The City Manager shall have the authority to issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of the City so long as such actions do not materially or substantially add to the costs or risks incurred or to be incurred by the City as specified herein, and such interpretations, waivers and/or amendments may include extensions of time to perform, subject to Section 1 herein. All other material and/or substantive interpretations, waivers, or amendments shall require the collective consideration, action and written consent of the governing board of the City.
