Dear Ms. Parra and City Staff:

Kosmont Real Estate Services (“KRES”) doing busin ess as Kosmont Realty (“KR ”) is pleased to submit this proposal to the City of San Bernardino (“City”) in response to the Request for Proposals (“RFP”) / Request for Proposal (“RFP”) for Professional C ommercial Real Estate Ad visory and Transaction Services. KR is a full ‐service real estate brokerage license d by the California Department of Real Estate (license # 02058445). It is our understanding that the City seeks the services of qualified real estate consultants/brokerage firms with experience working with public agencies to provide Commercial Real Estate Advisory an d Transaction Services. KR can as sist the City with dispositions (marketing strategy/materials, outreach, offer evaluation and negotiation support), acquisitions and leasing (site search, negotiations), and supporting ana lyses (market/financial feasibility, broker opinion of value / highest and best use analysis), Surplus Land Act compliance advis ory, and other related advisory services.

KR, a certified Minority Business Enterprise (“MBE”), is a full ‐service brokerage firm that provides real estate, economic, and financial advisory services to government and private entities. KR’s extensive knowledge and experience helps to ensure successful outcomes in the technical and transactional practice of executing real estate transactions between public agencies and private parties.

For 30+ years, KR along with its affiliate Kosmont Companies, have worked on am y r i a do fa s s i g n m e n t s throughout California, including Real Estate Consul ting and Brokerage Servic es such as Broker Opinion of Value (“BOV”), Highest and Best Use Analysis (" HBU"), and market study and valuation services as well as the management of real estate, land use and public finance transactions exceeding $12 billion.

KR also has extensive experience in compliance re quirements of the Surplus Land Act (“SLA”) and has completed multiple Government Code § 52201, 33433, and 53083 reports that are typically required of public agency dispositions and economic development‐based transactions.

Currently, KR is assisting or has recently assisted various cities, counties, and special districts with commercial real estate consulting / advisory / brok erage services and/or Surplus Land Act compliance focused on the sale / acquisition / lease of prop erties for clients such as the cities of Anaheim, Cathedral City, Cypress, Hawaiian Gardens, Norc o, Placentia, as well as Sutter County, Los Angeles County Development Authority, Inyo County, County of Los Angeles, San Diego Community College District, Orange County Mosquito & Vector Control District, North of the River Recreation and Park Section 1. Executive Summary / Cover Letter
District, University of La Verne and Californi a State University, Northridge to name a few.

A primary distinctive benefit of working with our team is that we combine our consulting services, practical perspective, with decades of hands ‐on brokerage experience of KR, whose p r i m a r yf o c u si so nt h ed i s p o s i t i o n of public agency real property assets. KR's extensive knowledge of real estate transactions, particularly between public agencies and private parties can deliver successful outcomes for the City. The KR team includes real estate experts as well as former City Managers, Directors of Redevelopment, Economic Development, Community Development and Planning, and Financial Services.

Further, KR has transaction ‐based relationships with a wide range of experienced and successful developers, investors and funding sources, ranging from “Top Tier” and institutional lenders / developers to those that primarily focus on secondary / tertiary markets / opport u n i t i e s .O v e rt h el a s t3 0y e a r s ,w eh a v ec u l t i v a t e da proprietary database of over 1,200 active and relevant d evelopers/investors/brokers that can be leveraged to promote and identify a preferred pool of prospective buyers/lessees as may be necessary.

KR also is familiar with the local market and is currently re presenting several public se ctor clients in the Iland Empire and across Southern California that are in th e process of acquiring and disposing of public agency properties. KR can also access and may utilize, as approp riate, strategic business resources such as CoStar, LoopNet, MLS, and Crexi – online marketplaces and advanced technology and data platforms which provide more marketing outreach and deal tran sparency to real estate sales which au gments the traditional brokerage model.

We believe that this proposal will support the conclu sion that our KR Team is exc eptionally qualified and uniquely capable of providing the requested real estate professional services to the City. If selected, the KR Team is committed to provide the requested services and are enthusiastic, ready, and immediately available to begin an assignment whenever called upon.

20 SURPLUS LAND ACT (SLA) SERVICES
Assembly Bill 1486, effective January 1, 2020, revised the California Surplus Land Act (first passed in 1968) (Government Code §§ 54220 et seq.) (“SLA”), to require that all public agencies prioritize the development of affordable housing on publicly owned land prior to its’ sale or lease. Assembly Bill 480 and Senate Bill 747, effective on January 1, 2024, further amend the SLA by generally expanding the definition of exempt surplus land (e.g., 15 ‐year lease term, mixed use projects, former military bases), new procedures for declaration of exempt surplus property, and tightening the methodology for assessment of penalties for non‐compliance.

The SLA has a profound impact on a public agencies’ decision ‐making process to sell or lease public ‐private projects.

Public agencies need to act strategically and proactively to get the most out of their property assets. KR has hands on experience navigating and satisfying compliance with t he requirements of the SLA as well as other Government Code § 52201, 33433, and 53083 reports that are typically required of public agency dispositions and economic development‐based transactions.

KR offers public agencies a one ‐stop shop real estate brokerage and tran sactional team with expertise in SLA compliance, property sales, and economic development.

KR has served clients throughout Calif ornia for over 30 years and brings the expertise, specialized services and market knowledge to successfu lly assist the City with property acquisition, disposition, leasing, market analysis, and other related real estate advisory services. With decades of experience supporting public agencies, KR understands the unique considerations and opportunities associated with educational facilities and surplus property management.

Leveraging our proven track record in property analysis, market evaluation, and strategic planning, KR is well ‐ positioned to provide actionable recommendations that ali gn with the City’s objectives. Our approach also considers compliance with regulatory frameworks, such as the Califor nia Surplus Land Act, while delivering strategies that aim to maximize asset value and support the City’s goals. KR has an extensive track record of completing projects and successfully bringing those projects to fru ition, which includes a range of asset classes (commercial, office, industrial, residential, mixed‐use, and hospitality).

Because the RFP describes an on ‐call set of commercial real estate advisory and transaction services rather than a single defined project, KR’s approach below outlines ou r scalable delivery framewo rk that we utilize with public sector clients. At the outset, we recomm end a kickoff meeting with City staff to confirm priorities, review the City’s pipeline/portfolio, align on decision ‐making and authorization procedures, and establish an initial workplan and schedule that can be refined as specific assignments are issued.

Our approach in the utilization / disposition of public agen cy property is to understand each project / site and the unique opportunities / challenges each one presents and then to incorporate our expertise, knowledge, and services – whether it be real estate brokerage and/or consulting as a p p r o p r i a t e–t om a x i m i z ev a lue, promote transparency, and help achieve the City’s strategic and financial object ives. KR can assist the City in assessing its real property inventory and needs, identify ing assets for purchase / lease, / sale, and developing strategies for the management of real property assets.

Our assignments often begin with the pre ‐disposition research / due diligence / analysis (e.g., valuation), as necessary, and initial review of statutor y requirements of the sale (e.g., Surplus Land Act) to effectively evaluate the highest and best use / reuse potential and marketabilit y of properties and identify and execute on a preferred approach / strategy for their marketing and ultima te disposition (sale, lease, auction, other).

KR’s analysis / strategies / services are informed by local and regional market experience and knowledge, coupled with the effective use of data resources ( ESRI Business Analyst, CoStar, Placer. ai, Kosmont’s Retail NOW!® platform), marketing / outreach tools (property website, traditiona l listing services (e.g. CoStar, LoopNet, MLS, Crexi), and leveraging our existing partnerships with other real estate service firms will help expose and promote the property(ies) throughout California and beyond and identify the best possible buyers / investors. Our focus is to find a buyer or developer who will deliver a project that serves as a community amenity and contributes to the local economy.

Our team has deep expertise in navigating the complexities of regulatory compliance, particularly the California S u r p l u sL a n dA c t .W ec a np r o v i d ee n d‐to‐end advisory services to ensure that sta tutory and regulatory requirements are met, including preparing surplus land declarations, managing the Notice of Availability process, and facilitating 34 CITY OF SAN BERNARDINO

negotiations with interested parties. KR’s familiarity wit h state regulations and experience in obtaining formal compliance letters from the California Department of H ousing and Community Development ("HCD") allows us to streamline processes while addres sing the District’s economic and ope rational goals. This compliance ‐oriented approach ensures transpare ncy, minimizes risk, and facilitates succe ssful transactions aligned with both state mandates and community interests.

KR can prepare a marketing package for each asset and respond to inquiries in a timely and effective manner and provide additional information reque sted by qualified buyers/investors. The team can arrange tours and in ‐person meetings (as may be appropriate) and can manage the sales process with regular reporting to the City. With the full and combined resources of KR, the City can be able to identify a short ‐list of buyers who are specifically qualified to purchase the property(ies). Offers w ill be carefully analyzed and presented to the City for consideration at which point a best and final offer can be utilized to assure that th e City receives the maximum value for the property(ies).

Once a selection is made, we can work cl osely with the City to negotiate a fair and reasonable purchase agreement that will be presented to the City for final approval. K R has extensive experience in making effective public presentations as well as managing the dialogue to convey k e yo b s e r v a t i o n sa n dr e s u l t sf o rc o m p l e xr e a le s t a t e market analyses and/or real estate transactions/activities with City Council and elected officials. KR can manage the sales process through escrow, providin g support and additional information that may be required. KR has extensive experience working with elected boards, navigating through the State’s redevelopment dissolution process, Surplus Land Act, and multiple public property disposition trans actions, which can ensure th at the City has the necessary resources and skill sets to accomplish the successful sale and/or development of these parcels.

As it pertains to the City’s purchase of p roperty, our approach is to work close ly with the City to identify a desired property program and profile to successfully target properti es for acquisition, which can include understanding Client acquisition priorities and needs, prefe rred geographic location / area, size of property, and other property specific conditions and details. KR can also assist with developing and implementing a desired strategy and approach for a targeted outreach campaign with direct marketing solicitations and materials to area brokers, property owners, and developers / investors to appropriately screen and identify active and off ‐market listings suitable to the City.

When it comes to brokerage services, K R can leverage its extensive real esta te experience and network to deliver outcomes that align with the City’s strategic objectives. Our team integrates data ‐driven insights with hands ‐on expertise to market properties effectiv ely and target optimal buyers, lessees, or developers. Our proven marketing and outreach strategies promote properties to a wide a udience, while our relations hips with developers and investors across California enable us to identify preferred parties. KR focus es on securing buyers or lessees who not only offer strong financial returns but al so align with the community’s needs and long‐term vision. 35 APPROACH TO SCOPE OF WORK CONTINUED:

2.50% of the gross sales price for transactions equal to or greater than $1,000,000, and less than $5,000,000;
