WITNESSETH: That the parties hereto do mutually agree as follow:
ARTICLE I: For and in consideration of the payments and agreements hereinafter mentioned to be made and performed by said City, said Contractor agrees with said City to perform and complete in a workmanlike manner all work required under the City’s Specifications entitled:
CONTRACT DOCUMENTS AND SPECIFICATIONS
FOR
CITY OF SAN JACINTO SITE IMPROVEMENTS AND CONSTRUCTION OF
POTABLE WATER TREATMENT PLANT
in accordance with the Specifications and Drawings thereof, to furnish at his own expense all labor, materials, equipment, tools, supplies, transportation, utilities, bonds and insurance, permits and services necessary therefore, except such materials, equipment, and services as may be stipulated in said Specifications to be furnished by said City, and to do everything required by this Agreement and the said Specifications and Drawings.
ARTICLE II. For furnishing all said labor, materials, equipment, tools, and services, furnishing and removing all plant, temporary structures, tools, and equipment, and doing everything required by this Agreement and the said Specifications and Drawings; also for all loss and damage arising out of the nature of the work aforesaid, or from the action of the elements, or from any unforeseen difficulties which may arise during the prosecution of the work until its acceptance by said Owner, and for all risks of every description connected with the work; also for all expenses resulting from the suspension or discontinuance of work, except as in the said Specifications are expressly stipulated to be borne by said City; and for completing the work in accordance with the requirements of said Specifications and Drawings as directed by the Engineer, said City will pay and said Contractor shall receive, in full compensation therefore, the price(s) named in the Proposal.
ARTICLE III. The City hereby employs said Contractor to perform the work according to the terms of this Agreement for price(s) named in the Proposal, and agrees to pay the same at the time, in the manner, and upon the condition as stipulated in the said Specifications; and the said parties for themselves, their heirs, executors, administrators, successors, and assigns, do hereby agree to the full performance of the covenants herein contained.

Precedence of Contract Documents. If there is a conflict between Contract Documents, the highest in precedence shall control. The order of precedence shall be as follows:
1. Permits from other agencies as may be required by law.
2. Special Provisions.
3. Notice Inviting Bids, Instructions to Bidders, and General Specifications.
4. Agreement between City and Contractor.
5. Plans.
6. Standard Plans.

Change orders and approved revisions to Plans and Specifications will take precedence over Items 2 through 10 above. Detailed plans shall have precedence over general plans.
ARTICLE V. All time limits stated in the Contract Documents are of the essence of this Agreement. No work, services, materials or equipment shall be performed or furnished under this Agreement unless and until a Notice to Proceed has been given to the Contractor by the owner.
Notwithstanding the foregoing, the City's said right to cancellation must be exercised not later than 90 days following the bid opening date, and before delivery of a Notice to Proceed to Contractor.
ARTICLE VI. Contractor shall indemnify, defend with legal counsel approved by City, and hold harmless City, its officers, officials, employees and volunteers from and against all third party claims, liability, loss, damage, expense, cost (including without limitation reasonable legal counsel fees, expert fees and all other costs and fees of litigation) of every nature arising out of or in connection with Contractor's negligence, recklessness or willful misconduct in the performance of work hereunder or its failure to comply with any of its obligations contained in this Agreement, except such loss or damage which is caused by the sole or active negligence or willful misconduct of the City. Should conflict of interest principles preclude a single legal counsel from representing both City and Contractor, or should City otherwise find Contractor’s legal counsel unacceptable, then Contractor shall reimburse the City its costs of defense, including without limitation reasonable legal counsel’s fees, expert fees and all other costs and fees of litigation. The Contractor shall promptly pay any final judgment rendered against the City (and its officers, officials, employees and volunteers) with respect to claims determined by a trier of fact to have been the result of the Contractor’s negligent, reckless or wrongful performance. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California and will survive termination of this Agreement.
Contractor obligations under this section apply regardless of whether or not such claim, charge, damage, demand, action, proceeding, loss, stop notice, cost, expense, judgment, civil fine or penalty, or liability was caused in part or contributed to by an Indemnitee. However, without affecting the rights of City under any provision of this Agreement, Contractor shall not be required to indemnify and hold harmless City for liability attributable to the active negligence of City, provided such active negligence is determined by agreement between the parties or by the findings

ARTICLE VII. No official, officer or employee of the City, or its members of their direct family shall have any interest, direct or indirect, in the contract or the proceeds thereof during his/her tenure with the City or for a period of one year thereafter. The Contractor agrees to indemnify, defend and hold harmless the City, its officials, officers, attorneys and employees from all claims, liabilities, lawsuits, actions, or damages of any type, including without limitation costs of suit and attorneys fees, arising out of any claims, proceedings, lawsuits or actions for injunctive or declaratory relief related to any alleged breach of this requirement, violation of Government Code Section 1090 et seq. or the Political Reform Act (Government Code Section 87100 et seq.).

The Contractor shall retain any and all rights provided either by contract or by law that pertain to the resolution of disputes and protests between the contracting parties.
For purposes of this provision, prompt notice shall mean notice seven (7) days from the discovery of the unforeseen conditions or prior to the discovered condition being disturbed, whichever is earlier.

Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County Riverside, State of California, or any other appropriate court in such county, and Contractor covenants and agrees to submit to the personal jurisdiction of such court in the event of such action. In the event of litigation in a U.S. District Court, venue shall lie exclusively in the Central District of California, in the County of Riverside, State of California.
ARTICLE XII. Waiver by any party to this Agreement of any term, condition, or covenant of this Agreement shall not constitute a waiver of any other term, condition, or covenant. Waiver by any party of any breach of the provisions of this Agreement shall not constitute a waiver of any other provision or a waiver of any subsequent breach or violation of any provision of this Agreement.
Acceptance by City of any work or services by Contractor shall not constitute a waiver of any of the provisions of this Agreement. No delay or omission in the exercise of any right or remedy by a non-defaulting party on any default shall impair such right or remedy or be construed as a waiver.
Any waiver by either party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement.
ARTICLE XIII. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party.
ARTICLE XIV. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this Agreement. TO: City Council
REQUESTED BY: Julia Espinoza, City Clerk
APPROVED BY: Robert A. Johnson, City Manager
SUBJECT: Mayor's Local Appointments List
RECOMMENDATION:
Staff recommends that the City Council review the Mayor’s Local Appointments List and accept Mayor’s recommendations for appointments for the year 2024.
DISCUSSION:
Typically, following the City Council reorganization, the Mayor appoints members of the City Council as representatives to other agencies and any City Council Committee. The Mayor usually gathers input from the council members concerning committee assignments in which each has an interest. The Mayor has the ultimate decision to appoint council members to the committee that he/she determines serves the City's best interest, which is then ratified by the City Council.
FISCAL IMPACT:
There is no fiscal impact.
