By providing the Images to City, Contractor represents and warrants that the Images and use thereof as permitted under this Agreement will not violate any law or regulation or infringe or otherwise violate any right of any third-party, including, but not limited to, any copyright or other intellectual property right, or the right of any person or entity.

21.2. Written Description. A full written narrative description of the Project.

22. Temporary Nature of Art Installations.

22.1. This Section 22 applies to tangible Projects that are artwork and that are fabricated and temporarily installed or presented on a physical space.

22.2. Alterations and Destruction of the Artwork. Contractor and City agree that the Project is intended to be temporary in its entirety and that City or its designee may cease operations, de-install, remove, and dispose of the artwork upon completion of the installation or presentation period. Prior to deinstallation of the artwork, City shall make reasonably good faith efforts to notify and consult with Contractor to come to a mutually agreeable plan for disposition of the artwork.

22.3. City may destroy, alter, mutilate, deface, relocate or remove the Project in the event that such action is necessary to further the public health, safety, or welfare. In the event of an emergency, as determined by City, City will provide notice to Contractor within a reasonable time period after the emergency ceases.

22.4. The notice requirements set forth in this Section 22 are contingent upon Contractor providing a current address for purposes of notification. In the event of any destruction, alteration, mutilation, defacement, relocation or removal of the Project, Contractor, on behalf of itself and its subcontractors will have the right, upon written notice to the City, to disclaim authorship of the artwork.

22.5. Limitation of Liability. Neither Contractor nor City will be responsible for damage to or destruction of the Project arising from the acts of third parties or caused by the elements, atmosphere, or other acts of nature, or caused by aging.

22.6. Modification of State and Federal Law. Contractor, on behalf of itself and its subcontractors acknowledges the temporary nature of the Project and waives the right to prevent removal of the Project from the project site designated in the Project Services.

Contractor understands and agrees that this Section 22 constitutes a modification of the rights and remedies set forth in the California Art Preservation Act (“CAPA”) and the Visual Artist Rights Act of 1990 (“VARA”). Such modification may bar claims by Contractor and its subcontractors including claims for damages, injunctive relief or attorneys’ fees and costs, in the event of destruction, alteration, mutilation, or defacement of the artwork. CAPA, set forth in California Civil Code Sections 987 and 989, prohibits the intentional commission, or authorizing the commission of, any physical defacement, mutilation, alteration or destruction of a work of fine art. VARA, set forth in 17 USC 106A, grants artists the right to prevent distortion, mutilation, or modification, of their works of art.

23. Reproduction Rights.

23.1. Definition of “Reproduction.” With respect to reproduction of Project Deliverables, such as Images, artwork, slogans, written materials, drawings, photographs, graphic designs, film, music, transcriptions, other materials that are subject to copyright, trademark, patent, or similar protection (collectively the “Licensed Project Deliverables”), the term “reproduction” as used in this Section 23, Reproduction Rights, and in Section 24, License Rights and Commercial Use, below, means using, printing, copying, distributing, publishing, publicly displaying, photographing, videotaping or filming the Licensed Project Deliverables, and/or publicly displaying an unlimited number of copies of any resulting print, copy, photograph, videotape, or film, in any and all formats and media whether now or hereafter known or devised by any and all technologies and means of delivery.

23.2. License Rights to City. Contractor, on behalf of itself and its subcontractors, hereby expressly grants to City a non-exclusive license to reproduce the Licensed Project Deliverables, or any portion thereof, for commercial and non-commercial use, and to publicly display and use the Licensed Project Deliverables and any reproductions thereof for commercial and noncommercial use, in accordance with the provisions set forth in Section 24, License Rights and Commercial Use, below.

23.3. Copyright Ownership and License Rights. Contractor or its subcontractors, retain all copyright interests in the Licensed Project Deliverables and have right to reproduce the Docusign Envelope ID: 4C067B2B-5415-4BBF-9D80-04C711959F06

24. License Rights and Commercial Use.

24.1. Definitions. For purposes of this Section 24, the following terms have the following meanings:

24.2. “Commercial Use.” The term “commercial use” means the approved use or reproduction of the Licensed Project Deliverables, or any part thereof, by City, Contractor, or Contractor’s subcontractors, which results in direct monetary compensation to the party initiating the use or reproduction, including use or reproduction of the Licensed Project Deliverables in advertising, clothing, magazines, books, newspapers, postcards, films, television, greeting cards, commercial photography, posters, lithographs, or other format or media whether now known or hereafter discovered.

24.3. “Non-Commercial Use.” The term “noncommercial use” means any use of the Licensed Project Deliverables, or any part thereof, for informational, historical, or educational purposes, and which does not result in any direct monetary compensation to Contractor, its subcontractors, or City, including: any reproduction of the Licensed Project Deliverables in reviews or articles relating to City, the Licensed Project Deliverables, Contractor or its subcontractors, or other Projects produced by Contractor or its subcontractors; or in brochures or other similar presentations in any format or media now known or hereafter discovered for purposes of publicizing the Licensed Project Deliverables or their display, provided that such non-commercial use is exercised in a reasonable and professional manner.

24.4. “Contractor” and “City.” As used in this Section 24, the terms “Contractor” and “City” include the respective heirs, successors, and assignees of each party.

24.5. Commercial Use by City. Commencing upon City’s acceptance of the Licensed Project Deliverables, Contractor, on behalf of itself and its subcontractors, grants to City or any of its sublicensees a non-exclusive license to reproduce the Licensed Project Deliverables, or any portion thereof, for commercial use. City’s non-exclusive license interest and sublicense rights for commercial use of the Licensed Project Deliverables extends for the duration of any copyright held on the Licensed Project Deliverables by Contractor or its subcontractors, or 100 years, whichever period is longer.

24.6. Commercial Use by Contractor. City has the right to review and approve any commercial use of the Licensed Project Deliverables by Contractor, any of its subcontractors, or any of Contractor’s licensees. City must notify Contractor of its disapproval of any commercial use within 15 calendar days of receipt of written notice from Contractor of the proposed commercial use.

24.7. Share of Proceeds. If Contractor, or any of its subcontractors, reproduce the Licensed Project Deliverables for commercial use, Contractor must ensure that City is credited as commissioning party of the Licensed Project Deliverables, unless such credit is not reasonably feasible, and pay to City fifty percent (50%) of the net proceeds earned by Contractor or any of its subcontractors from each reproduction thereof. If City reproduces the Licensed Project Deliverables, or any form thereof for commercial use, City will pay Contractor fifty percent (50%) of the net proceeds earned by City from any reproduction thereof. If either City or Contractor or any of its subcontractors, reaches an agreement with a third party for payment of monetary compensation in exchange for commercial use of the Licensed Project Deliverables by the third party, Contractor is entitled to receive fifty percent (50%) and City is entitled to receive the other fifty percent (50%) of the negotiated monetary compensation.

24.8. Non-Commercial Use. Commencing upon City’s acceptance of the Licensed Project Deliverables, Contractor, on behalf of itself and its subcontractors agrees to grant to City a non-exclusive license to reproduce the Licensed Project Deliverables, or any portion thereof, for noncommercial use. Nothing contained in this Section 24 will be construed to prevent City from using the Licensed Project Deliverables, or any reproduction thereof, without fee, for noncommercial, promotional, historical, or other City purposes, as defined in Section 24.3. If City receives a fee for any non-commercial uses, Contractor is entitled to receive fifty percent (50%) of net proceeds and City will retain the other fifty percent (50%) of net proceeds. City’s non-exclusive license interest for noncommercial use of the Licensed Project Deliverables, or any part thereof, extends for the duration of any copyright held on the Licensed Project Deliverables by Contractor, or its subcontractors, or 100 years, whichever is longer.

24.9. Adaptations. Contractor, on behalf of itself and its subcontractors, acknowledges and agrees that the rights and license granted to City under this Agreement include City’s rights: (a) to use and reproduce the Licensed Project Deliverables in digital form of display on City’s website on the World Wide Web portion of the Internet for noncommercial use commencing upon Contractor’s delivery of the Licensed Project Deliverables; (b) to modify, edit, excerpt, combine with other materials (including, but not limited to, in combination or conjunction with the name of Contractor, or any of its subcontractors, or any other name, or no name), translate, include in collective works, and create derivative works of the Licensed Project Deliverables in whole or in part (collectively, "Adapt," "Adapted," and "Adaptation" have correlative meanings). City will own and retain all right, title, and interest in and to resulting work product created using any Adaptations of the Licensed Project Deliverables made by City, or by any third party for the benefit of City, subject to Contractor’s rights as specified in this Agreement; provided, however, Contractor or its subcontractors shall maintain all rights, title, and interest in and to the Licensed Project Deliverables. 24.10. Right to Sublicense. The City has the right to grant sublicenses to the rights that Contractor granted City under Sections 23 and 24, in its sole and exclusive discretion, including with respect to: (a) the identity of any sublicensee; (b) the applicable licensee fees, if any; and (c) other terms and conditions of the sublicense provided that all sublicenses will be subject to the terms and conditions of this Agreement. The City shall require all sublicensees to agree in writing to be bound by the applicable terms and conditions of this Agreement.

24.11. Contractor’s Name, Image, Likeness, Biographical and Professional Information.

Contractor, on behalf of itself and its subcontractors, grants to City the right to use the name, image, likeness, and preapproved biographical and professional information, pertaining to Contractor and its subcontractors that is publicly available, or provided by Contractor from time to time, only in connection with services performed under this Agreement, Project Deliverables and any Adaptations, including to advertise and promote the same or any good or service that features or includes the use or reproduction of services, Project Deliverables or Adaptations, in whole or in part, as provided by Contractor, or its subcontractors, unmodified or as Adapted. 24.12. Transfer of All Physical Ownership Rights.

24.12.1. Contractor, on behalf of itself and its subcontractors, hereby expressly transfers and conveys to City, upon payment of the fee in full as set forth in the Project Budget, any rights Contractor or any of its subcontractors, may have to physical ownership in the Project Deliverables delivered to City under this Agreement. Upon execution of this Agreement and receipt of payments as provided in this Agreement, neither Contractor, nor any of its subcontractors, will have any residual interest in the Project Deliverables, copies or photographs of the original production design drawings, the shop drawings, or the construction and fabrication documents. All rights and benefits of ownership of the Project Deliverables, copies and photographs of the original production design drawings, shop drawings, construction and fabrication documents, belong to City, except as specifically provided in this Section 24, License Rights and Commercial Use. However, all original drawings and models created by Contractor or its subcontractors, during the design and presentation of the design of Projects are owned by Contractor, or its subcontractors, and Contractor may retain copies of photographs of the original production design drawings, shop drawings, construction and fabrication documents for resume and publication purposes.

27.1. In the event that City advances any payments to Contractor, Contractor agrees that upon expiration or termination of this Agreement, or termination of Project Services for which the City issued payments, any unexpended funds must be returned to the City within twenty-five (25) days of the date of such expiration or termination. OAKS INITIATIVE NOTICE

NOTICE TO APPLICANTS, BIDDERS, PROPOSERS

AND OTHERS SEEKING DISCRETIONARY PERMITS, CONTRACTS,

OR OTHER BENEFITS FROM THE CITY OF SANTA MONICA
Santa Monica’s voters adopted a City Charter amendment commonly known as the Oaks Initiative. The Oaks Initiative requires the City to provide this notice and information about the Initiative’s requirements. You may obtain a full copy of the Initiative’s text from the City Clerk.

This information is required by City Charter Article XXII—Taxpayer Protection. It prohibits a public official from receiving, and a person or entity from conferring, specified personal benefits or campaign advantages from a person or entity after the official votes, or otherwise takes official action, to award a “public benefit” to that person or entity. The prohibition applies within and outside of the geographical boundaries of Santa Monica.

All persons or entities applying or receiving public benefits from the City of Santa Monica shall provide the names of trustees, directors, partners, and officers, and names of persons with more than a 10% equity, participation or revenue interest. An exception exists for persons serving in those capacities as volunteers, without compensation, for organizations exempt from income taxes under Section 501(c)(3), (4), or (6), of the Internal Revenue Code. However, this exception does not apply if the organization is a political committee or controls political committees. Examples of a “public benefit” include public contracts to provide goods or services worth more than $25,000 or a land use approval worth more than $25,000 over a 12-month period.

In order to facilitate compliance with the requirements of the Oaks Initiative, the City compiles and maintains certain information. That information includes the name of any person or persons who is seeking a “public benefit.” If the “public benefit” is sought by an entity, rather than an individual person, the information includes the name of every person who is: (a) trustee, (b) director, (c) partner, (d) officer, or has (e) more than a ten percent interest in the entity. Therefore, if you are seeking a “public benefit” covered by the Oaks Initiative, you must supply that information on the Oaks Initiative Disclosure Form. This information must be updated and supplied every 12 months.
