Dear Mayor Dohring, Vice-Mayor Hall and City Council Members, I have known Sue Furdek for several years. I have found her to be actively interested and subsequently knowledgeable about matters affecting the City of St. Helena. I have seen her in situations where she was unselflish in her actions to help an elderly neighbor in St.

Helena needing help when evacuation was necessary. So, she is an energetic, knowledgeable applicant who will be a real benefit to our City. Pat Dell Agenda Item #13.1.

Subject: [External] PC Recommendation / Sue Furdek
Dear Mayor and Council,
Of all the locals I’ve known in town for forty years, I can’t personally identify a stronger candidate for the PC than Sue Furdek.

She’s intelligent and most simpatico! We worked together on various community advocacy projects and I was always impressed how she engaged our groups with charm, insight and determination to make things happen.

If you want to get a full objective analysis of an issue, you call Sue. If you want to get a project done effectively, you call Sue. If you want to have planning commissioner who can make the most equitable judgment call between an individual rights vs the community rights, you appoint Sue.

She is a thoughtful community member with relationships that extend to non-profits, business owners and the wine industry. Everyone who knows her, grants her the utmost respect.

Thank you for your consideration,
Oliver Caldwell

Agenda Report to the City Council
Agenda Section: NEW BUSINESS
Department: Public Works
DATE: June 25, 2024
FROM: Eric Janzen, Assistant Public Works Director
SUBJECT: Consideration and adoption of a Resolution of the City Council of the City of St. Helena authorizing payment of $330,000 to Pacific Gas & Electric Company for services rendered related to the realignment of overhead power
lines associated with the Farmstead Development Project and authorize the City Manager to enter into a
supplemental agreement with Long Meadow Ranch for
reimbursement.

RECOMMENDED
ACTION:

Adopt the attached Resolution.

PREVIOUS COUNCIL
ACTION:

October 13, 2020 - City Council adopted a resolution
approving the Initial Study and Mitigated Negative
Declaration (IS/MND) for the Long Meadow Ranch
Lodging project and ordinance accepting the LMR
Development Agreement for same.

STATEMENT OF THE
PURPOSE:

Authorization to issue payment to PG&E in the amount of $330,000 for services rendered in support of the Long
Meadow Ranch Lodging project and for the City Manager
to enter into a supplemental agreement with Long Meadow Ranch (LMR/Farmstead) to reimburse these funds.

FINANCIAL IMPACT: Approval of the resolution will result in the expenditure of $330,000 from the General Fund reserves to compensate
PG&E for engineering design and project management
associated with the Long Meadow Ranch Lodging project
also known as the "Farmstead Project". Staff is
recommending increasing budget appropriations in FY
2024-25 from the General Fund reserves in the amount of $330,000. The City will enter into a supplemental
agreement with LMR/Farmstead to reimburse these funds.

BACKGROUND:

The LMR Development Agreement includes provisions for offsite improvements to Mills Lane. Among these improvements is the realignment of 60kV overhead electrical utility lines owned by PG&E. The City agreed to share the cost of utility realignment and serve as the "applicant" for this phase of the project.

Agenda Item #13.3.

Page 617 of 623 ends

City Staff submitted an application to PG&E to realign the overhead utilities in 2021.

PG&E provided engineering and design work resulting in 100% plans for realigning the overhead 60kV utility and provide project management services. PG&E did not collect funds from either the City or LMR in advance to performing this work.

On March 22, 2024, City staff, Ted Hall and PG&E met to discuss the project and PG&E's expenses. Mr. Hall reported that he was still moving forward with the project, would have funding by June 30th and be able to issue the first payment for the PG&E work by July 31st with an "80% probability". PG&E agreed to issue an invoice for the expenses in anticipation of payment. Since the City is the "applicant" for this first phase of the project, the invoice would be sent to the City.

On May 17, 2024, the City received a preliminary notice that PG&E's expenditures up to this date was $330,000.00 and that PG&E sought payment for work completed.

DISCUSSION:

The City is the "applicant" for the purpose of realigning the 60kV overhead electrical utility lines (the "60kV project") and is responsible for compensating PG&E for engineering and project management work completed up to now. LMR is responsible for part of this cost in accordance with the Development Agreement with the City. The agreement requires LMR to pay all costs as they are incurred and be refunded a percentage of these costs from TOT (transient occupancy tax) revenue after the hotel opens.

Due to delays in the project, LMR has not issued any progress payments to the City.

The City proceeded in good faith to advance the realignment of the "60kV project" which is a critical first step for the remainder of the Farmstead Project.

Design work on the "60kV Project" was completed in 2022 and PG&E was ready to proceed with construction as early as Spring 2023. PG&E submitted a cost estimate for design and construction in December 2022. This estimate was provided to Mr. Hall who, at that time, indicated that he would need additional time to fund this phase of the project. Without payment, PG&E was not able to schedule work to begin.

City staff and PG&E agreed to "pause" on the project up to the end of 2023. On March 22, 2024, Ted Hall had not yet secured funding for this first phase of the project and requested an additional delay to July 31, 2024. PG&E was willing to grant this extension if payment for their work performed was received and agreed to provide an invoice to the City.

ENVIRONMENTAL REVIEW:

On October 13, 2020, the City Council adopted a resolution approving the Initial Study and Mitigated Negative Declaration (IS/MND) for the "Farmstead Project".
