A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ST.
HELENA APPROVING THE FIRST AMENDMENT TO CITY
MANAGER EMPLOYMENT AGREEMENT WITH ANIL COMELO;
AND APPROVAL OF THE PUBLICLY AVAILABLE
UNREPRESENTED EXECUTIVE SALARY SCHEDULE
RECITALS
A. On June 14, 2022, the City Council of the City of St. Helena appointed Anil Comelo as City Manager and entered into a City Manager Employment Agreement with Mr. Comelo.
B. On November 14, 2023, the City Council updated the terms of the City Manager Employment Agreement with Mr. Comelo; and
C. On November 12, 2024, the City Council approved an updated City Manager Employment Agreement with Mr. Comelo (the “Current Employment Agreement”); and
D. The Council desires to amend the Current Employment Agreement to amend the salary structure and total compensation provided to Mr.
Comelo; and
E. The Council therefore desires to enter into a First Amendment to the Current Employment Agreement, which amendment has an effective date of July 20, 2025; and
F. The terms of the updated City Manager Employment Agreement are summarized in the Staff Report that accompanied this Resolution in the agenda materials for the City Council meeting of November 25, 2025.
RESOLUTION
NOW, THEREFORE, the City Council of the City of St. Helena resolves as follows:
1. The City Council approves the First Amendment to City Manager Employment Agreement between the City of St. Helena and Anil Comelo in the form that accompanied this Resolution in the agenda materials for the City Agenda Item #13.4.

Council meeting of November 25, 2025. The Mayor is authorized to execute such City Manager Employment Agreement on behalf of the City.
2. The City of St. Helena Publicly Available Salary Schedule Unrepresented Executive Salary Schedule Effective July 20, 2025 is hereby approved and adopted in accordance with the requirements of California Code of Regulations, Title 2, Section 570.5, and 2.
3. That the City of St. Helena Publicly Available Salary Schedule will be posted on the City’s website and will be made available for public inspection for not less than five years.

*Annual time base payrate is rounded up to the nearest whole dollar, while all other time base payrates are rounded to the nearest cent. (2) Longevity Pay - Longevity pay shall be provided to each permanent employee starting with the employee’s fifth anniversary of continuous employment at the rate of two and one-half percent (2.5%) of rate of pay.
(1) Bilingual Pay - Employees who are certified as fluent in both written and verbal Spanish language will receive a 5% pay differential that is added to the employee's base salary.
Employees who are certified as fluent only in verbal Spanish language will receive a 2.5% pay differential that is added to the employee's base salary.

STATEMENT OF THE
PURPOSE:
Annual review of the City Council regular meeting
calendar.
FINANCIAL IMPACT: N/A
BACKGROUND:
Annually, staff provides the City Council with a proposed meeting calendar for review.
DISCUSSION:
Regular City Council meetings are scheduled on the second and fourth Tuesday of each month. Meetings are not scheduled on legal holidays.
The City Council has traditionally cancelled the first meeting in July and its second meeting in November and December. In planning the 2026 calendar (attached), the following is list of meeting cancellations based on past practice and/or holidays:
July 14, 2026 - Cancellation of first meeting in July November 24, 2026 - Cancellation of second meeting in November December 22, 2026 - Cancellation of the second meeting in December It should be noted that special meetings and workshops may be called if time-sensitive City business occurs around cancelled meetings. The City Council may also amend the regular meeting schedule throughout the year as necessary.
At this meeting or the first meeting in January, the City Council can also make changes to the assignment of members of the city council to regional and local committees, commissions and boards. Also attached is the list of current city council assignments.
