MINIMUM SCOPE AND LIMIT OF INSURANCE
Coverage shall be at least as broad as:
1. Commercial General Liability (CGL): Insurance Services Office (ISO) Form CG 00 01 covering CGL on an “occurrence” basis, including products and completed operations, property damage, bodily injury and personal & advertising injury with limits no less than $2,000,000 per occurrence. If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall be twice the required occurrence limit.
2. Automobile Liability : Insurance Services Office Form CA 0001 covering Code 1 (any auto), with limits no less than $2,000,000 per accident for bodily injury and property damage.
3. Workers’ Compensation insurance as required by the State of California, with Statutory Limits, and Employers’ Liability insurance with a limit of no less than $1,000,000 per accident for bodily injury or disease.

Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City of Stockton.
Self-Insured Retentions
Self-insured r
etentions must be declared to and approved by the City of Stockton. The City of Stockton may require the Contractor to purchase coverage with a lower retention or provide proof of ability to pay losses and related investigations, claim administration, and defense expenses within the retention. The CGL and any policies, including Excess liability policies, may not be subject to a self-insured retention (SIR) or EXHIBIT 3

deductible that exceeds $25,000 unless approved in writing by City of Stockton. Any and all deductibles and SIRs shall be the sole responsibility of Contractor or subcontractor who procured such insurance and shall not apply to the Indemnified Additional Insured Parties. City of Stockton may deduct from any amounts otherwise due Contractor to fund the SIR/deductible. Policies shall NOT contain any self-insured retention (SIR) provision that limits the satisfaction of the SIR to the Named Insured.
The policy must also provide that Defense costs, including the Allocated Loss Adjustment Expenses, will satisfy the SIR or deductible. City of Stockton reserves the right to obtain a copy of any policies and endorsements for verification.
Other Insurance Provisions
The insurance policies are to contain, or be endorsed to contain, the following provisions:
1. The City of Stockton, its officers, officials, employees, and volunteers are to be covered as additional insureds on the CGL policy with respect to liability arising out of work or operations performed by or on behalf of the Contractor including materials, parts, or equipment furnished in connection with such work or operations and automobiles owned, leased, hired, or borrowed by or on behalf of the Contractor.

Additional insured Name of Organization shall read “City of Stockton, its officers, officials, employees, and volunteers.” Policy shall cover City of Stockton, its officers, officials, employees, and volunteers for all locations work is done under this contract.

For any claims related to this project, the Contractor’s insurance coverage shall be primary and non-contributory insurance coverage at least as broad as ISO CG 20 01 04 13 as respects the City of Stockton, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the City of Stockton, its officers, officials, employees, or volunteers shall be excess of the Contractor’s insurance and shall not contribute with it. This requirement shall also apply to any Excess or Umbrella liability policies. The City of Stockton does not accept endorsements limiting the Contractor’s insurance coverage to the sole negligence of the Named Insured.
3. Each insurance policy required by this clause shall provide that coverage shall not be canceled, except with notice to the City of Stockton.
Claims Made Policies (Professional & Pollution only)
If any coverage required is written on a claims-made coverage form:

If coverage is cancelled or non-renewed, and not replaced with another claims- made policy form with a retroactive date prior to the contract effective, or start of work date, the Contractor must purchase extended reporting period coverage for a minimum of five (5) years after completion of contract work.
4. A copy of the claims reporting requirements must be submitted to the City of Stockton for review.
5. If the services involve lead-based paint or asbestos identification/remediation, the Contractors Pollution Liability policy shall not contain lead-based paint or asbestos exclusions. If the services involve mold identification/remediation, the Contractors Pollution Liability policy shall not contain a mold exclusion, and the definition of Pollution shall include microbial matter, including mold.

The Umbrella or Excess policies shall be provided on a true “following form” or broader coverage basis, with coverage at least as broad as provided on the underlying Commercial General Liability insurance. No insurance policies maintained by the Additional Insureds, whether primary or excess, and which also apply to a loss covered hereunder, shall be called upon to contribute to a loss until the Contractor’s primary and excess liability policies are exhausted.
Acceptability of Insurers
Insurance is to be placed with insurers authorized to conduct business in the state with a current A.M. Best rating of no less than A: VII, unless otherwise acceptable to the City of Stockton.
Waiver of Subrogation
Contractor hereby agrees to waive rights of subrogation which any insurer of Contractor may acquire from Contractor by virtue of the payment of any loss.

Summary
Staff recommends the replacement purchase of 31 trucks to be utilized by the Public Works Department, Municipal Utilities Department (MUD), and Police Department. The proposed replacement units have surpassed their stated lifecycles, hours, and have multiple mechanical deficiencies (Attachment A).
Due to the unresponsive bid results, Public Works’ staff recommends using a Leveraged Purchasing Agreement (LPA) through the State of California, Department of General Services, Contract No. 1-22 -23-20B-K, for the purchase of 17 trucks from Downtown Ford and using a Cooperative Purchasing City of Stockton Printed on 12/6/2024Page 1 of 3

Agreement (COOP) through Sourcewell, Contract No. 032824-RTG, for the purchase of 14 trucks from Rush Medium-Duty Truck Centers of California, Inc. dba Rush Truck Center (Rush Truck Center) in the total amount of $2,386,048.78.
It is also recommended that Council adopt a resolution appropriating funds in the amount of $1,275,020.69 from the Fleet Internal Service Fund (ISF) Balance to the Fiscal Year (FY) 2024-25 Fleet ISF, Equipment Acquisition Account, to complete the purchases.
DISCUSSION
Background
The City’s replacement criteria for trucks, based on industry standards for performance and efficiency, is 10 years or 100,000 miles. Adherence to this standard replaces equipment before routine failures and breakdowns are experienced, reducing the demand for extensive mechanical repairs. The replacement standard increases the resources available for preventative maintenance and is critical to the availability and performance of all fleet equipment, which includes all public safety and emergency response vehicles. Fleet staff identified 27 units among various departments that exceed the age and/or mileage criteria, have recurring mechanical or operational problems, and/or are non-operational due to a motor vehicle accident (Attachment A). Replacement of these units is recommended.
Present Situation
The FY 2023-24 truck replacement plan accounted for the purchase of 31 trucks, 27 replacements and 4 new additions.
Staff recommends the acquisition of 17 trucks from Downtown Ford and 14 trucks from Rush Truck Center utilizing contracts through the State of California, Department of General Services and Sourcewell.
The use of LPA contracts streamline the procurement process and takes advantage of volume purchasing. LPA contracts have been competitively bid, reviewed, evaluated, and recommended to the State of California for consideration of award. The use of these contracts is optional and is available to California State and local government agencies.
Sourcewell is a public agency based in Minnesota that serves as a municipal contracting agency to streamline the procurement process for public agencies and takes advantage of volume purchasing.
The use of COOP contracts streamline administrative costs and procedures while maintaining the integrity of the competitive bidding process. The specifications for the trucks with various equipment available through the State and Sourcewell meet the City’s requirements for this type of equipment.
The recommended resolution authorizes the City Manager to execute two Purchasing Agreements, for a total purchase price of $2,386,048.78, through:
· The State of California, Department of General Services, in the amount of $855,350.21, for the purchase of 17 trucks from Downtown Ford of Sacramento, CA.

· Sourcewell, in the amount of $1,530,698.57, for the purchase of 14 trucks from Rush Truck Center of Ceres, CA.
The equipment being replaced will be removed from the fleet and sold at public auction.
Findings
Pursuant to Stockton Municipal Code section 3.68.070, Council may approve findings which support an exception to the competitive bidding process. These findings include:
1. State of California, Department of General Services, and Sourcewell established COOPs with Downtown Ford and Rush Truck Center to provide access to preferential pricing of trucks with various equipment.
2. The Purchasing Agreements with Downtown Ford and Rush Truck Center were established pursuant to formal competitive bidding processes conducted by the State of California, Department of General Services, and Sourcewell on behalf of its governmental members, of which the City is one.
3. Taking advantage of the LPAs negotiated by the State of California and Sourcewell will save the administrative expense of City staff conducting separate procurements.
4. The specifications for the replacement equipment available through the State of California and Sourcewell contracts meet the City’s requirements for their equipment type.
FINANCIAL SUMMARY
With the appropriation of funds in the amount of $1,275,020.69 from the Fleet ISF Balance to the FY 2024-25 Fleet ISF, Equipment Acquisition Account, there will be sufficient funding available in the Fleet ISF Equipment Acquisition Account, Police Department Acquisition Account, and Municipal Utilities Department Capital Outlay Accounts, to purchase 31 trucks, for a total of $2,386,048.78.
There is no impact to the City’s General Fund or any other unrestricted fund as a result of taking the recommended actions.

receiving agency, or from the date a correct invoice is received in the office specified on the Purchase Order, whichever is later.
Payment is deemed to be made for the purpose of earning the discount one (1) working day after the date on the State warrant or check. Typically, acceptance will be accomplished within twenty (20) business hours after a vehicle is delivered.
Payment will be made in accordance with the provisions of the California Prompt Payment Act, Government Code Section 927, et seq. Unless expressly exempted by statute, the Act requires State departments to pay properly submitted, undisputed invoices not more than forty-five (45) days after the date of acceptance of goods, performance of services, or receipt of an undisputed invoice, whichever is later.
B. CAL-Card Use
Use of the CAL-Card for payment of invoices is not allowed under this statewide contract.
C. Payee Data Record
Each State accounting office must have a copy of the Payee Data Record (Std. 204) in order to process payments. State departments should forward a copy of the Std. 204 to their accounting office(s). Without the Std. 204, payment may be unnecessarily delayed. State departments may contact the Contractor for copies of the Payee Data Record.

If payment is via the financial marketplace, the Contractor will invoice the State and the State will approve the invoice and the selected Lender/Lessor for all product listed on the State's procurement document will pay the Contractor on behalf of the State.
CALIFORNIA SELLER’S PERMIT
The California seller permit number for the Contractor is listed below. State departments can verify that permits are currently valid at the following website: www.cdtfa.ca.gov.

RECOMMENDATION
It is recommended that the City Council approve a motion to:
1. Authorize the City Manager to execute Professional Services Contract Amendment No. 7 in the amount of $998,640 with Architectural Nexus, Inc. for the Northeast Stockton Library and Community Center, Project No. CL17024.
2. Authorize the City Manager to execute Professional Services Contract Amendment No. 5 in the amount of $560,000 with Griffin Structures, Inc. for the Northeast Stockton Library and Community Center, Project No. CL17024.
It is also recommended that the City Manager be authorized to take appropriate and necessary actions to carry out the purpose and intent of this motion.
Summary
On August 21, 2018, by Resolution No. 2018-08-21-1401, Council authorized the award of a Professional Services Contract in the amount of $1,323,236 to Architectural Nexus, Inc. of Sacramento, CA, to design the Northeast Stockton Library and Recreation Center project. Six Professional Services Contract Amendments for additional services were approved with Architectural Nexus, Inc. for a total amount of $475,834.50.
On September 29, 2020, by Resolution No. 2020-09-29-1108, Council authorized the award of a Professional Services Contract in the amount of $890,000 to Griffin Structures, Inc. of Irvine, CA, for construction management services on the Northeast Stockton Library and Community Center project.
Four Professional Services Contract Amendments extending Griffin Structures, Inc.’s services have been approved for a total amount of $601,673.
In April 2023, construction was suspended. Subsequently, project concerns and issues were resolved leading the resumption of the project in September 2024. Consequently, additional services are needed from Architectural Nexus, Inc. and Griffin Structures, Inc. for design support and construction management, respectively.
Staff negotiated Professional Services Contract Amendment No. 7 in the amount of $998,640 to extend services for construction completion and project closeout. Staff also negotiated Professional Services Contract Amendment No. 5 in the amount of $560,000 for services needed through construction completion and project closeout. the Northeast Stockton Library and Community Center, Project No. CL17024. The total revised Professional Services Contract amounts, including previously approved amendments, will be $2,797,710.50 for Architectural Nexus, Inc. and $2,051,673 for Griffin Structures, Inc. Both Professional Services Contract Amendments are being extended to expire on March 31, 2026. The project is scheduled to be completed by fall 2025, weather permitting.
Council approval is required, as each of these contract changes, amendments, or renewal of change order authority exceed the administrative authority for change orders or amendments. The recommended actions do not increase project budget.
DISCUSSION
Background
The Northeast Stockton Library and Community Center will provide citizens with critically needed services in the northeastern portion of Stockton. The new Northeast Stockton Library and Community Center will be located at 1461 Morada Lane, a 4.83-acre site located adjacent to the Ronald E.
McNair High School (Attachment A). The library portion of the facility will include a combined circulation and reference desk, meeting rooms, a learning center, a children’s area, a teen area, and group and individual seating areas. The facility will also include a recreation area featuring a large gymnasium that will also serve as meeting or event spaces, locker/shower rooms, play areas, kitchen facilities, and an outdoor basketball court.
On August 21, 2018, by Resolution No. 2018-08-21-1401, Council authorized the award of a Professional Services Contract in the amount of $1,323,236 to Architectural Nexus, Inc. of Sacramento, CA, to provide design services for the Northeast Stockton Library and Recreation Center project. During design, six Professional Services Contract Amendments in the total amount of $475,834.50 were approved to facilitate floor plan design changes, additional coordination with furniture, fixtures, and equipment, photovoltaic systems design, expansion of outdoor basketball court, shade structure design, indoor and outdoor amenities, and providing design support during construction.
On September 29, 2020, by Resolution No. 2020-09-29-1108, Council authorized the award of a Professional Services Contract in the amount of $890,000 to Griffin Structures, Inc. of Irvine, CA, to provide construction management services on the Northeast Stockton Library and Community Center project. Four Professional Services Contract Amendments in the total amount of $601,673 have been approved for additional construction administration and schedule extensions.
On December 15, 2020, by Resolution No. 2020-12-15-1404, Council awarded a Construction Contract in the amount of $14,450,566 to Patriot Contracting, Inc. (Contractor) of Union City, CA, to construct the Northeast Stockton Library and Community Center project. Construction on the project began on March 30, 2021. The project experienced delays due to supply chain issues, weather, unforeseen site conditions, and contractor and subcontractor issues. As a result, construction was suspended on April 19, 2023. After some time, project concerns and issues were resolved leading the resumption of the project on September 18, 2024. On November 12, 2024, by Resolution No. 2024-11-12-1215, Council approved the Resumption Agreement with Patriot Contracting, Inc. The project is scheduled to be completed by fall 2025, weather permitting.

Even,
As di
scussed, we are
providing this
proposal for exte
nded construction administration to c
omplete this project.
2024 Construc
tion Administration Extension
In ord
er to resume construction activities, we will need to resume our construction administration efforts. We have assumed worst c
ase scenario with a continuation of the level of service required before the stop work order. As such we have included add
itional hours to cover the scope over what we would consider standard of care for construction administration. A summary of thes
e additional tasks is:
1. Mul
tiple responses to the same RFI.
2. Addi
tional Submittal reviews due to lack of completion, multiple revise and resubmits, submitted out of sequence items, cha
nge in subcontractors, Changes in previously reviewed products, etc.
3. Addi
tional meeting time with both Owner and Contractor. Lengthier OAC meetings, mul tiple calls with Owner and
/or CM
per d
ay to address issues, research concerns and provide coordination and responses, add itional field time.
4. Coordi
nation on incre
asing qua
ntity of iss
ues in field, multiplying in both complexity and severity.
5. Addi
tional field visits requests: (2) ad
ditional fiel
d observations, outside of the OA
C arch
itectural team will be on site
twice
monthly, once for the OAC and one (1) additional trip a week later, in addition to this (1) p
unch list visit is included
in t
his proposal. (1) eng
ineering discipline is included in each of the (2) fie
ld observations Eng
ineering disciplines will be
sch
eduled during the above field visits as requested but not to exceed once a mon th.
6. The d
elay due to the stop work may lea
d to specified items being
obs
olete, which will require research for replacement
or rev
iew of substitution requests or bo
th. Th
is will mainly be in regards to FF&E items and finishes but could extend to any
system equipment.
7. Much of the
site will have lost compaction and need to be reworked and the weed growth dealt with. The civil engin
eer will have to collaborate with the Owner’s consultant Kleinfelder for this rework.
8. Addi
tional scope from the vandalism and subsequent fire will require review and app roval of remediation work
mate
rials, details, submittals and LEED documentation tha
t the Contractor will prop
ose and perform. We wi
ll review
com
pliance of this work to the contract documents only.
9. The du
ration for which the work stayed exposed as well as a change in subcontractors has resulted in some a
dditional detailing and consulting. These changes may ultimately result in a need for updated drawings
, resubmittals and/or LEED changes with the c
ontractor’s con
sultant.

Griffin St

For these requisite services, Griffin Structures proposes the following Time & Materials Not to Exceed Fee:
Construction Management: $ 444,908
Kleinfelder Deputy Inspection/Geotech Obs. $ 92,000
Submittal Exchange $ 16,200
Insurance $ 5,369
Reimbursables: $ 1,523

All
proposed hourly rates are fully burdened and include overhead, profit, taxes, and benefits. The hours identified for each individual employee and task are estimates only and are not to be construed as not to exceed hours for any individual task, phase, or time-period. We reserve the right to reallocate hours between staff members and tasks to accomplish the overall objectives and requirements of the project.
Services are based on the attached Fee Schedule, Resource Allocation Schedule, which provides detail on the allocation of hours. Any extension of the schedule or services may result in additional fee, in good faith negotiation with the City.
APPRO
ACH TO FEE AND PROJECT SCHEDULE
In April of 2023 the project was put on indefinite hold while the City worked through the dispute media
tion process with Patriot Contracting. After a few months of service supporting the City in this effort, our services were suspended entirely in February of 2024. At that time we had a balance of 238,731.67 remaining in our contract. This total included the following:
1. $105,565 in Construction Management
2. $33,481 in Special Inspections and Testing
Exhibit A
ATTACHMENT C
1343
3. $99,245 in Quality Assurance Inspections
4. $441 in R
eimbursables.
The funds requested for Construction Management reflect the net increase above remaining funds to provide continuous service through December of 2025. The allocation of funds for Quality Assurance was incorporated into Amendment 03 to provide enhanced investigation and inspection services related to the slab curling issue, and to provide for a greater quality assurance presence by BAGG Engineers for the remainder of the project as envisioned at that time. This scope of this ASR proposes leaving the funds for Quality Assurance and Special Inspections and Testing in place to provide capacity for any additional special inspections and/or quality assurance inspections that may be needed once construction resumes.
To further illustrate how we have arrived at this approach, please see attached Burn Rate Analysis and a copy of our most recent invoice indicating current balance remaining.
