City Council Staff Report
October 13, 2026
From: Adrienne Werner, Development Services Director
Prepared by: Teddie Hernandez, Principal Planner
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Resolution: Declaring the Intention to Order Annexation No. 42 for the property located at 985 Park Street, (Stanislaus County Assessor’s Parcel No. 061-002-063), to existing Community Facilities District No. 2 (Services Mitigation)
2. NARRATIVE:
In October 2004, the City completed a Fiscal Impact Analysis of new residential development on General Fund–supported services including police, fire, park maintenance, and planning. The analysis determined that General Fund revenues were insufficient to maintain both existing service levels and those envisioned in the General Plan. In response, the City Council adopted Resolution No. 2004-189, requiring that all new residential development not otherwise entitled under existing zoning be annexed into a Community Facilities District (CFD), commonly referred to as a Mello-Roos District, as a condition of project approval.
On October 26, 2004, the City Council established Turlock Community Facilities District No. 2 (CFD #2) to generate additional General Fund revenue through a special tax levied on residential properties. CFD #2 was phased in over a ten-year period. In 2013, the City Council authorized the retention of Economic Planning Systems, Inc. to evaluate the adequacy of the CFD #2 tax under then-current economic and fiscal conditions. The study concluded that the existing tax rates were sufficient to mitigate the public service impacts associated with new residential development. Concurrently, the City Council adopted an ordinance establishing policies and procedures governing annexation into CFD #2. Under this ordinance, any residential project within the City limits that could result in the development of one or more dwelling units—and that requires approval of a parcel map, subdivision map, General Plan amendment, rezone, planned development, area-wide plan, annexation, or discretionary permit pursuant to applicable provisions of the Turlock Municipal Code—must mitigate increased demand on public services (including police, fire, and park maintenance) by annexing into CFD #2.
Annexation No. 42
Annexation No. 42 proposes to annex one residential parcel into CFD #2. Minor Discretionary Permit 24-10 authorized the construction of 1,140 square foot duplex on a
0.88-acre parcel located at 985 Park Street (Stanislaus County Assessor's Parcel No. 061- 002-063). Annexation to CFD #2 is a required condition of approval for the Minor Discretionary Permit.
The annexation process will be conducted over two City Council meetings. The first meeting initiates the proceedings, and it includes adoption of a Resolution of Intention. The second meeting, currently scheduled for November 17, 2026, includes the public hearing and
Agenda Staff Report

property owner election. Because fewer than 12 registered voters reside within the proposed annexation area, the election may be held immediately following the public hearing. A certificate confirming that 12 or fewer registered voters reside within the annexation area has been filed with the City Clerk, as required by law.
The services funded by CFD #2—police, fire, and park maintenance—remain consistent with those identified at the time of the district’s formation.
3. FISCAL IMPACT / BUDGET AMENDMENT:
Annexation into CFD #2 will generate additional revenue to support General Fund-supported services. The special taxes on dwellings annexed into CFD #2 are not levied until the issuance of a Certificate of Occupancy for the dwelling. Accordingly, revenue generation is directly tied to the timing of development and occupancy. Accordingly, revenue generation is directly tied to the timing of development and occupancy.
For Fiscal Year 2026–2027, the annual special tax is $607 per multifamily unit and $775 per single-family unit. The special tax is subject to an annual 2% escalation, as established in the Rate and Method of Apportionment.
4. ENVIRONMENTAL DETERMINATION:
This action has been reviewed per the authority and criteria contained in the California Environmental Quality Act (CEQA), the State and local CEQA Guidelines, and the City's environmental regulations. The City, acting as the Lead Agency, determined that the ordinance is not subject to CEQA pursuant to Sections 15060(c)(2), 15060(c)(3), and 15061(b)(3) of the State CEQA Guidelines, because it will not result in a direct or reasonably foreseeable indirect physical change to the environment as there is no possibility that the action would result in a significant environmental impact, and because it does not constitute a “project” as defined in Section 15378 of the State CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3.
5. ALTERNATIVES:
1. Decline to adopt the Resolution of Intention to annex the subject property into CFD #2.
City staff does not recommend this option, as it would create a financial impact to the General Fund. CFD #2 provides funding for public safety and park maintenance services that would otherwise need to be supported by the General Fund.
2. Defer the annexation proceedings to a later date. City staff does not recommend this option because annexation into CFD #2 is a condition D of the parcel map approval. Delaying the process increases the risk that the property will not be annexed, as the parcel map must be recorded within a specified timeframe once all requirements are satisfied. After recordation, annexation may become more difficult particularly if multiple property owners are involved.

RESOLUTION NO. 2026-
BEFORE THE CITY COUNCIL OF THE CITY OF TURLOCK
RESOLUTION IN THE MATTER OF DECLARING THE INTENTION TO ORDER ANNEXATION NO. 42 FOR THE PROPERTY LOCATED AT 985 PARK STREET, (STANISLAUS COUNTY ASSESSOR’S PARCEL 061-002-063), TO EXISTING COMMUNITY FACILITIES DISTRICT NO. 2 (SERVICES FOR MITIGATION) WHEREAS, this City Council (this “Council”) proposes to annex certain real properties more accurately known as 985 Park Street, (Stanislaus County Assessor’s Parcel 061-002-063), (the “Subject Property”) to the existing community facilities district known as “City of Turlock Community Facilities District No. 2 (Services Mitigation)” (“CFD No. 2”) as authorized by Article 3.5 of the MelloRoos Community Facilities Act of 1982 (the “Act”); and WHEREAS, the boundaries of CFD No. 2 are set forth on the boundary map for CFD No. 2, recorded on November 10, 2004, in Volume 3 of Maps of Assessment and Community Facilities Districts, page 3, official records of the Stanislaus County Recorder; and WHEREAS, the boundaries of the Subject Property are shown on a map entitled “Proposed Boundaries, Annexation No. 42, Community Facilities District No. 2,” which is on file with the City Clerk (the “Clerk”); and
WHEREAS, Sections 53339.2 and 53339.3 of the Act provides that legal proceedings for the annexation of property to a community facilities district pursuant to the Act shall be instituted by the adoption of a resolution of this Council declaring its intention as provided hereafter in this resolution.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Turlock does hereby:
1. This Council hereby finds and determines that public convenience and necessity require that the Subject Property be annexed to the existing territory of CFD No. 2.
2. The types of services proposed to be provided within the Subject Property are the same as for the existing area of CFD No. 2.
3. The plan for providing authorized services within the existing area and the Subject Property shall be the plan presently in existence, as the same may be revised from time to time by the City of Turlock (the “City”) or any agency of the City through which the City provides the authorized services.
4. Except where funds are otherwise available, a special tax will be annually levied on the Subject Property. Upon recordation of a notice of special tax lien pursuant to Section 3114.5 of the California Streets and Highways Code, a continuing lien to secure each levy of the special tax shall attach to all nonexempt real property included in the Subject Property, and this lien shall continue in force and effect in perpetuity or until the levy and collection of the special tax obligation by the City ceases. The rate and method of apportionment of the special tax shall be as previously established for CFD No. 2.
5. On the basis of the written consent and waiver form submitted to and on file with the Clerk by the Owner, as the landowner of 100% of the Subject Property, this Council hereby sets this same date, as soon as the matter may be heard following adoption of this resolution, in the Council Chambers located at City Hall, 156 South Broadway, Turlock, California, as the time and place for the public hearing on the proposed annexation. At the hearing, testimony of all interested persons and taxpayers for or against the proposed annexation will be heard and protests will be considered from both registered voters, if any, residing within CFD No. 2 and persons owning real property within CFD No. 2. As provided by the Act, written protests by a majority of the registered voters, if any, but

including a minimum of six registered voters, or by the owners of a majority in area of the land within either the existing CFD No. 2 or the proposed annexation area will constitute a “majority protest” and will require the suspension of proceedings for at least one year. Written protests must be filed with the Clerk at or before the time fixed for the hearing.
6. It is anticipated that the special tax will be billed as a separate line item on the regular property tax bill of the County of Stanislaus. However, this Council reserves the right, under Section 53340, to utilize any method of collecting the special tax which it shall, from time to time, determine to be in the best interests of the City, including, but not limited to, direct billing by the City to the property owners and supplemental billing.
7. On the basis of the information set forth in that certain certificate entitled “Certificate re Registered Voters and Landowners,” on file with the Clerk, in the event that an election is held in these proceedings, it is the intention of this Council that the elector will be the Owner, as the sole landowner within the area of the Subject Property in accordance with Section 53339.7 of the Act.
8. This Council hereby authorizes and directs the publication by the Clerk of a notice of hearing, containing the matters specified by Section 53322 of the Act, one time in a newspaper in general circulation in the area of CFD No. 2, said publication to be completed no later than seven days prior to the date of the public hearing.

City Council Staff Report
October 13, 2026
From: Bill Morris, City Engineer
Prepared by: Kimberly Bristow, Staff Services Analyst
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Resolution: Adopting a Resolution of Intention of the City Council of the City of Turlock, California, declaring intention to annex territory to the City of Turlock Community Facilities District No. 3 (Maintenance Services) and adopting a map of the area proposed to be annexed thereto (Annexation No. 5).
2. NARRATIVE:
On August 12, 2025, the City Council adopted Resolution No. 2025-147, establishing Community Facilities District No. 3 (Maintenance Services) ("CFD No. 3") to fund the ongoing maintenance and operations of public improvements associated with new development projects. Any new development project requiring a parcel map, subdivision map, general plan amendment, rezone, planned development, area-wide plan, annexation, or other discretionary permits may be required to annex into CFD No. 3 as a condition of approval. This ensures long-term funding for services such as street lighting, landscaping, storm drain facilities, sidewalks, and streets.
Adoption of a Resolution of Intention formally initiates the annexation process into CFD No.
3. CFD No. 3 ensures that maintenance costs of new developments are not absorbed by the General Fund, protecting existing taxpayers from the added financial burden.
Annexation No. 5 – Atherton Estates
Annexation No. 5 marks the fifth annexation into CFD No. 3. It encompasses Atherton Estates, a subdivision of approximately 11.27 acres into 22-single family residential lots, located at 3130 E Tuolumne Rd., and identified as Stanislaus County Assessor’s Parcels 073-016-013 through 073-016-035. The City of Turlock’s Planning Commission previously approved Vesting Tentative Subdivision Map 2025-01, which includes CFD annexation as a condition of approval.
The Atherton development will require the maintenance and operation of twelve streetlights, approximately 103,000 square feet of street slurry seal and overlay, 4,000 linear feet of street sweeping, storm drain maintenance, as well as maintenance and future replacement of street trees, sidewalk, curb, and gutter. Annexation No. 5 will secure dedicated funding for these services.
The annexation process will be conducted over three City Council meetings. The first meeting initiates the proceedings and it includes:
• Adoption of a Resolution of Intention, including the Rate and Method of Apportionment (RMA) for Annexation No. 5
Agenda Staff Report
10/13/2026
• Approval of the annexation boundary map
• Scheduling of the required public hearing
The public hearing, or the second meeting, is currently scheduled for November 17, 2026, and it will include:
• Confirmation of proof of publication of Notice of Public Hearing, signed Waiver and Consent form, received Ballot, signed Certificate of Clerk Regarding Receipt of Property Owner Waiver and Consent Form and Ballot
• Public Hearing
• Adoption of Resolution Calling for a Special Election • Adoption of Resolution Declaring Results
The third and final meeting is scheduled for December 8, 2026, which is for the second and final reading of the ordinance to levy the special tax.
3. FISCAL IMPACT / BUDGET AMENDMENT:
Annexation No. 5 will generate $64,178.18 annually, or $2,917.19 per lot, as outlined in the Rate and Method of Apportionment (RMA). This amount will be subject to annual Consumer Price Index (CPI) adjustments and deposited into Fund 232, which is exclusively designated for CFD No. 3.
There will be no impact to the General Fund. No budget amendment is required.
A. Council could decline to adopt the resolution which would halt the annexation process.
Staff does not recommend this because choosing this option would conflict with the existing conditions of approval for Vesting Tentative Subdivision Map 2025-01 and could leave the City without a dedicated funding source for the ongoing maintenance of the development's public infrastructure. Council could direct staff to modify the boundaries and terms for Annexation No. 5 prior to adoption. Staff does not recommend this option as it may require additional review or delays for the developer.

2. Then, if additional revenues are needed, the Special Tax shall then be levied Proportionately on each Assessor’s Parcel of Final Mapped Property within CFD No. 3 A5 up to 100% of the Maximum Special Tax to satisfy the Special Tax Requirement.
3. Finally, if additional revenues are needed, the Special Tax shall then be levied Proportionately on each Assessor’s Parcel of Undeveloped Property within CFD No. 3 A5 up to 100% of the Maximum Special Tax to satisfy the Special Tax Requirement.
Notwithstanding any provision of this Section D to the contrary, under no circumstances will the Special Tax levied against any Assessor’s Parcel of Developed Property that is classified as Residential Property be increased by more than ten percent (10%) per Fiscal Year as a consequence of delinquency or default in the payment of the Special Tax by the owner of any other Assessor’s Parcel.
E. PREPAYMENT OF SPECIAL TAX
The Special Tax shall be levied in perpetuity for the purpose of financing ongoing authorized services and therefore may not be prepaid.
F. EXEMPTIONS
The City Council shall classify as Exempt Property: (i) Public Property, (ii) Property Owner Association Property, (iii) Assessor’s Parcels with public or utility easements making impractical their utilization for other than the purposes set forth in the easement, including but not limited to property designated for open space, trails, pathways, parks or park and recreation related facilities, (iv) property reasonably designated by the City or CFD Administrator as affordable housing subject to income and rent restrictions recorded in a regulatory agreement with the City or other public agency, and (v) property reasonably designated by the City or CFD Administrator as Exempt Property due to deed restrictions, conservation easement, or similar factors.
G. APPEALS
Any property owner claiming that the amounts or application of the Special Tax is not correct may file a written notice of appeal with the CFD Administrator not later than twelve months after having paid the first installment of the Special Tax. The CFD Administrator shall promptly review the appeal, and if necessary, meet with the property owner, consider written and oral evidence regarding the amount of the Special Tax, and rule on the appeal. If the decision of the CFD Administrator requires that the Special Tax for an Assessor’s Parcel be modified or changed in favor of the property owner, a cash refund shall not be made but an adjustment shall be made to the Special Tax on that Assessor’s Parcel in the subsequent Fiscal Year(s) to compensate for the overpayment of the Special Tax.

H. MANNER OF COLLECTION
The Special Tax shall be collected in the same manner and at the same time as ordinary ad valorem property taxes, provided, however, that the Special Tax may be billed and collected at a different time or in a different manner if necessary to meet the financial obligations of CFD No. 3.
I. DURATION OF TAX
The Special Tax shall be levied in perpetuity to fund the Special Tax Requirement unless such tax is no longer required as determined by the City Council.

From: Will Richards, Interim Municipal Services Director/ SRWA General Manager
Prepared by: Stephen Fremming, P.E., Principal Civil Engineer Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Motion: Accepting Improvements for City Project No. 26-041 "Animal Control Freezer Evaporator and Condenser Replacement" and authorizing the City Engineer to File a Notice of Completion
2. NARRATIVE:
The City of Turlock Animal Control Facility features a walk-in freezer used to store evidence animals and to hold deceased animals prior to proper disposal. Proper handling of deceased animals is critical for evidence preservation and public health. Without use of the freezer, animal services staff must make frequent deliveries of deceased animals to Turlock Transfer for proper disposal, otherwise decomposition and odors are accelerated, leading to increased health and handling concerns.
The existing freezer stopped working on April 28, 2026. As it was determined that the evaporator and condenser that serve the walk-in freezer couldn't be repaired, and that full replacement was necessary, an emergency declaration was made by the City Manager to allow the project to be awarded to a contractor of the City's choosing without giving notice for bids pursuant to the standard delivery process for public projects.
An on-call design consultant, RED Architects, Inc., provided engineered stamped plans for the work. Upon completion of the plans, City engineering staff prepared an informal private bid solicitation and requested a bid from Champion Industrial Contractors of Modesto, California, who submitted a bid proposal in the amount of $20,880 on June 29, 2026 for the work encompassed in City Project No. 26-041 "Animal Control Freezer Evaporator and Condenser Replacement.” City staff proceeded to execute the Agreement pursuant to the emergency contracting allowances in Public Contract Code Section 22050 and the City's Resolution No. 2010-028 which delegates authority to the City Manager to declare an emergency to invoke emergency contracting procedures. The project was substantially complete on September 2nd.
No contract change orders were necessary to complete the project.
3. FISCAL IMPACT / BUDGET AMENDMENT:
The project account is Fund 119 (American Rescue Plan Act [ARPA]) account number 119- 10-188.51270 "Construction Project."
The total project costs are presented below:
Agenda Staff Report
10/13/2026
Approximately $10,000 of the total project costs were expended in the prior fiscal year. There is adequate budget available in the current Fiscal Year 2026-27 for this project and no additional funding is necessary.
4. ENVIRONMENTAL DETERMINATION:
On August 11, 2026, the City Council approved a resolution finding the project exempt from the provisions of CEQA in accordance with Section 15302 (Replacement or Reconstruction) of the CEQA Guidelines. No further environmental determination is necessary.
5. ALTERNATIVES:
A. Council could choose to deny authorizing the City Engineer to file the Notice of Completion. Staff does not recommend this alternative. The project is complete, and recordation of a Notice of Completion is the appropriate and customary step to formally close out the contract.

City Council Staff Report
October 13, 2026
From: Will Richards, Interim Municipal Services Director/ SRWA General Manager
Prepared by: David Barr, Fleet Services Manager
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Motion: Approving an agreement with Bay Fleet Supply Inc. dba Napa Auto Parts for the purchase of vehicle parts in an amount not to exceed $1,150,000 over a five-year term
2. NARRATIVE:
The City of Turlock maintains a fleet of vehicles and equipment used by various City departments to provide municipal services. Maintaining the City's fleet requires the ongoing purchase of replacement parts and automotive supplies necessary to perform routine maintenance and repairs.
The City currently utilizes a Blanket Purchase Order to purchase from Bay Fleet Supply Inc. dba Napa Auto Parts, but has exceeded the $25,000 spending limit allowable for Blanket Purchase Orders, resulting in the need for a contract.
Staff are seeking City Council approval of an agreement with Bay Fleet Supply Inc. dba Napa Auto Parts for the purchase of vehicle parts. The proposed agreement utilizes Sourcewell Contract No. 100124-GPC, a competitively procured cooperative purchasing agreement for aftermarket vehicle parts and supplies.
Through the Sourcewell contract, the City will receive established discounted pricing for vehicle parts and supplies. Discounts vary by product category and range from 46% to 72% off list price. Utilizing the Sourcewell cooperative purchasing agreement allows the City to take advantage of competitively established pricing while providing staff with a reliable source for parts needed to maintain and repair the City's fleet.
The proposed agreement will begin October 13, 2026, and continue through October 12, 2031. The total amount of purchases made under the agreement will not exceed $1,150,000 during the five-year term. Parts will be purchased on an as-needed basis based on the City's fleet maintenance and repair requirements.
Approval of the agreement will allow staff to continue purchasing the vehicle parts and supplies necessary to maintain the City's fleet while utilizing the pricing established through the Sourcewell cooperative purchasing process.
3. FISCAL IMPACT / BUDGET AMENDMENT:
The Purchasing Division has made the determination that this item does not require a competitive procedure due to TMC 2-7-08 (b) (5) that states, bidding is not required when engaged in joint, cooperative, or leveraged purchasing plans that have been solicited and awarded on a competitive basis.
Agenda Staff Report
10/13/2026
The agreement has a not-to-exceed amount of $1,150,000 over the five-year term. Actual expenditures will be based on the City's vehicle and equipment maintenance needs.
Adequate funding has been and will be budgeted in the Fleet Fund under 505-50-525.46032 "Vehicle and Small Equipment Maintenance Parts." Each part will be appropriately charged on the work order for the vehicle in which the repair was made and charged back to the end user applicable adopted budget appropriations.
4. ENVIRONMENTAL DETERMINATION:
This action is not subject to the provisions of the California Environmental Quality Act (CEQA) in accordance with Section 15378(b)(5) of the CEQA guidelines. This action consists of “organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment” and therefore is not considered a project.
5. ALTERNATIVES:
A. Council could choose not to approve the agreement with Bay Fleet Supply Inc. dba Napa Auto Parts. Staff does not recommend this alternative as it could delay the City's ability to purchase vehicle parts under the proposed agreement.
B. Council could direct staff to solicit bids independently rather than utilize the Sourcewell cooperative purchasing agreement. Staff does not recommend this alternative as it would require additional staff time to conduct a separate competitive procurement process and is unlikely to yield a better price.

1. ACTION RECOMMENDED:
Motion: Accepting improvements for City Project No. 14-44 "Intersection Improvements at W. Main St. and S. Tegner Rd." and authorizing the City Engineer to file a Notice of Completion
2. NARRATIVE:
On December 10, 2024, the City Council approved an agreement with United Pavement Maintenance of Hughson, California, in the amount of $1,802,595.60 and authorized a contingency amount of $180,259 (10.0%) for construction of City Project No. 14-44 "Intersection Improvements at W. Main Street and S. Tegner Road." All work for the project has been completed per the approved plans and specifications.
The area including and surrounding the intersection of W. Main Street and S. Tegner Road experiences a high amount of truck traffic from several industrial businesses that operate within the Turlock Regional Industrial Park (TRIP). Consistent with the Transportation Objectives of the Westside Industrial Specific Plan (WISP), the project scope features signalization of the intersection to allow signal-controlled left turns both onto and from W.
Main Street and Tegner Road. Due to their length and slow acceleration, large trucks must often wait a long time before making a turn from northbound S. Tegner Road onto W. Main Street. This traffic must judge gaps in traffic on W. Main Street, which has a posted speed limit of 55 mph west of the intersection and 45 mph east of the intersection. This project has allowed vehicles to make these turns from a signalized intersection.
The project scope included:
• Installation of traffic signal equipment including foundations, poles, mast arms, signal heads, intersection lighting, signage, and related electrical service and distribution infrastructure.
• Minor road widening on W. Main Street to allow for the addition of dedicated left turn only lanes.
• Modification of existing irrigation facilities such as culverts, pipes, and flow control structures. These facilities are owned by Turlock Irrigation District and were required to be modified to avoid conflict with the construction of the intersection's improvements.
The project was originally intended to be constructed in 2025. However, due to the threat of an early irrigation season due to below average rainfall and snowpack and the TID irrigation improvements on the project's critical path, there was insufficient time available to construct
Agenda Staff Report
10/13/2026
the TID improvements in the Winter 2025 non-irrigation season. Therefore, the project's construction start was delayed until November 2025 to allow the TID irrigation improvements to be installed, followed by other necessary underground utility work, road widening and paving, and traffic signal system installation.
Delays outside the control of the contractor caused the project to take longer than anticipated. The project achieved substantial completion on May 18, 2026. The principal cause of the delayed construction period was due to installation of the proposed 42 inch diameter TID culvert pipe under W. Main Street being in conflict with the City's existing potable water and non-potable water lines and an existing cable line owned by AT&T. While the water lines were relocated without much delay, AT&T needed to first design then contract out the work necessary to relocate their cable line by boring a new cable deeper than the existing cable, splice and connect into the existing cable, then abandon the portion of the cable in conflict with the proposed TID pipe.
Change Orders No. 1, 2, and 4 (Final) were approved by the City Engineer, and Change Order No. 3 was jointly approved by the City Engineer and City Manager, in accordance with the City's change order policy identified in Resolution 2025-007.
Change Order Summary:
Consistent with the City's change order policy in Resolution 2025-007, a summary of work performed by change order is provided below.
• Change Order No. 1 - $0.66
The purpose of this change order was to convert bid item no. 15 for the TID 42 inch diameter reinforced concrete pipe from its per linear foot unit cost for all costs associated with the work, including both materials and labor/installation, into two separate bid items paid by the linear foot for material and labor. This modification allowed for timely payment to the supplier to release the material for fabrication.
• Change Order No. 2 - $17,219.61
On November 12th, 2025, the contractor discovered an approximate 12 inch thick slab of concrete above the TID irrigation pipe within the roadway of W. Main Street. This concrete was not noted on the plans and was an unforeseen condition. This change order cost includes work to remove the concrete prior to repaving the intersection.
Agenda Staff Report
10/13/2026
• Change Order No. 3 - $82,981.75
This Change Order includes installation of under crossings on the City's 12" potable water and 12" recycled water lines that run east-west on W. Main Street under the proposed 42" diameter TID irrigation pipe. The under crossings were necessary due to pothole information obtained during construction confirming that there would be a vertical conflict of these water lines and the new TID irrigation pipe. The work was agreed to be performed at Force Account.
• Change Order No. 4 (Final) - ($42,426.61) CREDIT
This change order includes the following changes to the scope of work:
1) Striping removal and additional roadside sign. Removal of existing striping in conflict with new striping was not called out in the original project scope, yet was required to provide clarity to motorists. The stop sign for southbound Dianne Dr. was removed to improve traffic flow during the road closure and active detour, then replaced with new material after the closure ended.
2) Changes to the traffic signal scope of work related to numerous adjustments necessary for constructibility.
3) Changes to the electric service design as a result of TID's review of the project's electrical needs and current and future disposition of electrical service in the area. This change included elimination of a 2 inch and 6 inch conduit crossing W. Main Street and addition of a 4 inch primary service conduit run with TID transformer pad. 4) Final quantity adjustments to conform actual quantities placed with estimated quantities contemplated at the time of bidding.
3. FISCAL IMPACT / BUDGET AMENDMENT:
The total project costs are shown in the table below:
Agenda Staff Report
10/13/2026
Project expenses are made to account number 215-40-420.51210 "Federal Street Projects." The project is partially funded through a federal Congestion Mitigation and Air Quality (CMAQ) grant. CMAQ reimbursements are deposited in account number 215-40- 420.34100_002 "Federal Street Grants CMAQ." The balance of the project is funded from Fund 305 - Capital Facilities Fees (CFF) - Roadways. The required local match funds have already been transferred into Fund 215 "Federal Grant Projects" from Fund 305 by way of transfers from account number 305-40-440.48001_233 "Transfers Out Tegner & Main Signal P1444" to account number 215-40-420.38001_233 "Transfers In Fr 305Tegner & Main Signal 1444."
Available project funding includes the following sources and amounts:
No additional appropriation of funds is required at this time. Excess local match funding from Fund 305 "Capital Facility Fees" in the amount of approximately $250,000 will be transferred back into the original source fund by Finance staff.
Agenda Staff Report
10/13/2026
4. ENVIRONMENTAL DETERMINATION:
This project is exempt from CEQA per Section 15301 (Existing Facilities) of the CEQA Guidelines as this section exempts projects that involve negligible expansion of use of an existing facility. NEPA clearance was obtained in the form of a categorical exclusion per 23 CFR 771.117(c) activity (c)(8) for "installation of fencing, signs, pavement markings, small passenger shelters, traffic signals, and railroad warning devices where no substantial land acquisition or traffic disruption will occur." No additional environmental determination is necessary.
5. ALTERNATIVES:
A. Council could choose to deny authorizing the City Engineer to file the Notice of Completion. Staff does not recommend this alternative as the project is complete and recordation of a Notice of Completion is the appropriate and customary step to formally close out the contract and establish the statutory claim periods available to any subcontractors or suppliers who provided services under the contract.

City Council Staff Report
October 13, 2026
From: John J. Murphy, DPA, ICMA-CM, City Manager
Prepared by: James Governale, Management Analyst
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Resolution: Approving renewal agreements with CivicPlus, LLC, for CivicClerk agenda and meeting management services and NextRequest public records request management services; authorizing the City Manager to execute the agreements in a combined initial-term amount of $19,441.15 and subsequent annual renewals; acknowledging the deferred pricing adjustments; expensed to Fund 110 (General)
2. NARRATIVE:
The City of Turlock is responsible for complying with California laws governing public meetings and access to public records, including the Ralph M. Brown Act, California Government Code section 54950 et seq., and the California Public Records Act, California Government Code section 7920 et seq. These laws promote transparency by providing opportunities for the public to participate in government meetings and access public records.
The City has used various methods to support compliance with these requirements. In recent years, staff evaluated software systems intended to improve administrative efficiency, internal coordination, and the public’s access to City information. Following product research and demonstrations, the City began using CivicClerk and NextRequest, two software platforms offered by CivicPlus.
CivicClerk
Since October 2023, the City has used CivicClerk to prepare, review, publish, and retain agenda materials for the City Council, Planning Commission, and Parks, Arts and Recreation Commission. The platform also provides public access to agendas, staff reports, and related materials for upcoming and previous public meetings.
Before implementing CivicClerk, staff relied largely on manual processes to prepare and review agenda items. CivicClerk provides a centralized system through which multiple departments can prepare and review materials before publication. The City agendized nearly 400 items in 2025, many of which required legal, financial, and interdepartmental review.
Maintaining a centralized agenda-management system supports process consistency, timely publication, and public access to meeting materials.
NextRequest
Since November 2023, the City has used NextRequest to receive, assign, track, and respond to requests submitted under the California Public Records Act. The platform allows members of the public to submit requests electronically and enables City staff to coordinate responses across departments.
As of September 2026, the City had received more than 700 public records requests through
Agenda Staff Report
10/13/2026
the platform. The time required to fulfill these requests varies considerably depending on their scope and complexity. A centralized tracking system helps the City route requests to the appropriate departments, monitor applicable deadlines, document its responses, and provide requesters with information regarding the status of their requests.
Current Issue
The City has subscribed to CivicClerk and NextRequest since 2023. Although the subscriptions have historically been approved administratively, ongoing cumulative expenditures for the two CivicPlus services are expected to exceed the City Manager’s contracting authority.
Staff is therefore seeking City Council authorization to execute the current agreements and subsequent annual renewals. The recommended authorization would permit annual price increases of no more than 5 percent, subject to sufficient budget appropriations. A proposed renewal exceeding that limit or containing a material change in the services, term, or contractual conditions would require additional City Council approval.
Conclusion
CivicClerk and NextRequest support two distinct City functions: the preparation and publication of public meeting materials and the administration of public records requests.
Both platforms have become integrated into the City’s administrative processes and provide centralized tools for staff coordination, process consistency, and public access to information.
Staff recommends authorizing the City Manager to execute the current agreements and subsequent renewals within the limits described above to avoid an interruption in service.
3. FISCAL IMPACT / BUDGET AMENDMENT:
The Purchasing Division has determined that these services do not require a competitive procurement process pursuant to Turlock Municipal Code section 2-7-08(b)(6), which exempts information technology software from formal bidding requirements.
Both services are paid from Fund 110, General Fund, G/L account number 110-10- 104.44010_001. Expenditures to date and the proposed 2026 costs are as follows:
Service Year Amount
2023 $6,843.00
2024 $6,306.30
2025 $6,621.62
CivicClerk
2026 Proposed $6,952.70
NextRequest 2023 $9,591.00
Agenda Staff Report
10/13/2026
2024 $11,327.40
2025 $11,893.77
2026 Proposed $12,488.45
Total Expenditures, Including Proposed 2026 Costs $72,024.24 The proposed combined cost for 2026 is $19,441.15. In August 2026, CivicPlus notified the City that it was implementing new pricing for both services, which would have increased the City’s costs by approximately 20 percent rather than the 5 percent increase contemplated under the prior agreements. CivicPlus attributed the revised pricing to increased hosting, security, and support costs.
Following discussions with City staff, CivicPlus agreed to discount the initial renewal terms so that the amounts due in 2026 reflect increases of approximately 5 percent over the amounts paid in 2025. The remaining pricing adjustments are deferred until the subsequent renewal terms. At that time, the contractual 5 percent annual increases will be calculated from CivicPlus’s higher, undiscounted recurring prices. Consequently, the anticipated combined cost for the subsequent renewal terms is approximately $23,329.39, representing an increase of approximately 20 percent over the discounted 2026 cost. This pricing structure is reflected in the attached renewal agreements.
Sufficient funding for the current agreements is available in the adopted budget. Any subsequent renewal would be subject to the City Council’s appropriation of sufficient funding through the annual budget process. No budget amendment is requested with this action.
Because ongoing cumulative expenditures for these CivicPlus services are expected to exceed the City Manager’s $75,000 contracting authority under Turlock Municipal Code section 2-7-08(e), staff is requesting City Council authorization to execute the current agreements and continue the services within the specified pricing and renewal limitations.
A. The City Council could authorize the continued use of only one of the two platforms.
This alternative is not recommended because the platforms support separate City functions, and discontinuing either platform would require staff to establish an alternative process for managing public meeting materials or public records requests.
B. The City Council could direct staff to conduct a competitive solicitation or evaluate alternative platforms. This alternative could provide additional information regarding available products and pricing but would require staff time for procurement,

evaluation, data migration, implementation, and training. It could also create operational disruption if the City transitions to different systems. Staff does not recommend this alternative at this time because the existing platforms meet the City’s current operational needs. Staff could periodically evaluate the market or conduct a solicitation if service quality declines or the City’s operational requirements materially change.
C. The City Council could decline to authorize the agreements. This alternative is not recommended because it would require the City to discontinue the platforms and implement replacement processes for agenda management and public records administration

City Council Staff Report
October 13, 2026
From: John J. Murphy, DPA, ICMA-CM, City Manager
Prepared by: Jeffrey Serpa, Deputy Fire Chief, Jessie Dhami, Human Relations Director
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Resolution: Rescinding and Replacing Resolution Number 2015-083 with a new resolution authorizing the Turlock Fire Department to continue voluntary participation in the California Fire and Rescue Mutual Aid System under the authority of the Fire Chief with a net-positive financial impact to the City and inclusion of all sworn fire department classifications, including Fire Division Chief and Fire Marshal, and approving the Side Letter Agreement dated September 30, 2026 between the City of Turlock and Turlock Management AssociationPublic Safety (TMAPS).
2. NARRATIVE:
On April 28, 2015, Council approved Resolution 2015-083 adopting the terms and conditions of the California Fire Assistance Agreement (CFAA) for a reimbursement to Turlock Fire Department when responding to mutual aid emergency outside of Stanislaus County. The Turlock Fire Department response personnel included the following positions: Fire Battalion Chief, Fire Captain, Fire Engineer and Firefighter.
Staff is recommending rescinding Resolution Number 2015-083 and adopting a new resolution authorizing the Turlock Fire Department to continue voluntary participation in the California Fire and Rescue Mutual Aid System under the authority of the Fire Chief, while ensuring eligibility for reimbursement of all costs in accordance with the California Fire Assistance Agreement (CFAA), with a net-positive financial impact to the City and inclusion of all sworn fire department classifications, including Fire Division Chief and Fire Marshal and Council approval of the Side Letter Agreement dated September 30, 2026 between the City of Turlock and Turlock Management Association- Public Safety (TMAPS).
The amendment would ensure that all ranks within the Turlock Fire Department are consistently eligible for portal-to-portal compensation when officially deployed away from the City of Turlock in an emergency incident. The amendment is intended only to expand the classifications covered and would not remove, replace or otherwise modify the eligibility of any classification currently included in Resolution No 2015-083.
The California Fire and Rescue Mutual Aid System is renowned for its unparalleled capacity to coordinate resources across jurisdictions, a testament to the strong partnership among local municipalities. This system relies on a collective commitment, encompassing the provision of personnel, equipment, and expertise from local government agencies. Whether by staffing state-owned Office of Emergency Services (OES) resources, deploying local government assets, or contributing single-resources, municipalities form the backbone of this robust network.
Agenda Staff Report
10/13/2026
The system's ongoing effectiveness is tied directly to the readiness and cohesion of its participants. This involves ensuring personnel are adequately trained, physically prepared, and equipped with proper communication tools. Agencies must also maintain the requisite staffing levels and adhere to established protocols for cost reimbursement. Such meticulous planning ensures that responding personnel are capable and well-equipped, while participating agencies receive fair compensation, fostering a sustainable and effective mutual aid system.
Participation in the California Fire Assistance Agreement (CFAA) reimbursement framework requires that compensation methodologies, specifically portal-to-portal compensation, be formally adopted and clearly identified within an approved governing body resolution. In order for the City of Turlock to remain eligible for full reimbursement of personnel costs, the City Council must explicitly authorize these provisions. This ensures compliance with State and Federal reimbursement standards and protects the City from any unfunded financial exposure associated with mutual aid deployments.
Additionally, the City will continue to seek reimbursement for all qualifying mutual aid responses to ensure that all associated costs, including personnel, apparatus, equipment, and administrative expenses are recovered, resulting in no net-negative financial impact to the City of Turlock. These provisions align with established mutual aid agreements and reinforce the City’s commitment to maintaining a fiscally responsible and operationally ready emergency response system.
3. FISCAL IMPACT / BUDGET AMENDMENT:
Without a resolution in place, the City risks not being reimbursed for all associated costs, including personnel, apparatus, equipment, and administrative expenses. The adoption of this resolution will ensure that all related expenses, including applicable overtime costs for back-fill coverage are fully reimbursed, keeping mutual aid responses net positive.
4. ENVIRONMENTAL DETERMINATION:
This action is not subject to the provisions of the California Environmental Quality Act (CEQA) in accordance with Section 15378(b)(5) of the CEQA guidelines. 5. ALTERNATIVES:
Maintain the existing Resolution No. 2015-083 without modification, continuing participation in the California Fire and Rescue Mutual Aid System under current terms, which may limit reimbursement for mutual aid deployments, creating a potential financial strain on the department's budget.

City Council Staff Report
October 13, 2026
From: Jeffrey Serpa, Deputy Fire Chief
Prepared by: Kain Packwood, Fire Division Chief
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Resolution: Approve, by at least four affirmative votes pursuant to Section 2-7-08(b)(10) of the Turlock Municipal Code, a lease-purchase agreement with Stryker Sales, LLC, through its Flex Financial division, for seven (7) LIFEPAK 35 monitor/defibrillators, seven (7) LUCAS mechanical CPR devices, associated accessories, and maintenance services, for eight annual payments of $105,572.65, expensed to Fund 116 (Special Public Safety), and adopt a resolution determining that the best interests of the City require the acquisition without compliance with the formal bid procedure
2. NARRATIVE:
The Turlock Fire Department is requesting approval of a lease-purchase agreement with Stryker Sales, LLC, through its Flex Financial division, to acquire seven (7) LIFEPAK 35 cardiac monitor/defibrillators, seven (7) LUCAS mechanical CPR devices, associated accessories, and maintenance services. The proposed acquisition would replace aging equipment, address equipment shortages, and establish a planned approach to maintaining essential emergency medical equipment.
The Department currently operates four (4) LIFEPAK 15 monitors and four (4) LUCAS mechanical CPR devices, which equip the three frontline engines and the squad. The crossstaffed truck company does not have a dedicated monitor or LUCAS device, and no additional units are available to support up staffing during surge incidents, special events or OES deployments. The Department also lacks spare equipment and an established replacement plan when a device fails or is removed from service. Acquiring seven (7) units of each device would address existing equipment gaps, support up staffing, and maintain operational continuity when devices are unavailable.
The existing LIFEPAK 15 monitors were purchased as refurbished equipment to provide a fiscally responsible interim solution while anticipating a future transition to newer technology.
These devices have served the City well. However, the current inventory does not meet the Department’s operational needs. The existing LUCAS devices were acquired approximately seven to ten years ago and are beyond their warranty coverage and approaching replacement. The Fire Department previously sought assistance through the Federal Assistance to Firefighters Grant program but was not awarded funding for this purpose.
The LIFEPAK 35 platform would consolidate monitoring and defibrillation functions, including pediatric AED capability, into a single device. Under the Department’s current configuration, personnel must carry a separate AED in addition to the LIFEPAK 15 for pediatric AED capability. Consolidating these functions would reduce equipment duplication, apparatus storage requirements, and the amount of equipment carried into emergency scenes. The proposed monitors also include technology that can analyze cardiac rhythms during ongoing
Agenda Staff Report
10/13/2026
chest compressions, helping reduce interruptions during resuscitation. The acquisition would support current emergency medical operations while providing equipment capable of supporting a future advanced life support program.
The Fire Department currently utilizes LIFEPAK and LUCAS equipment that is compatible with equipment used by regional emergency medical service providers and ambulance partners. Maintaining compatible equipment supports interoperability during emergency response and patient transfers, including compatibility of equipment, accessories, components, and consumable supplies. This reduces the need to change equipment or components during patient transfers and promotes consistency during multi-agency incidents.
Section 2-7-08(b)(10) of the Turlock Municipal Code provides that bidding procedures are not required when the City Council adopts a resolution by at least four affirmative votes determining that the best interests of the City require that the purchase be made without compliance with the formal bid procedure. Based on the Department’s operational needs and the benefits of maintaining compatibility with regional emergency medical providers and ambulance partners, staff recommends that the City Council make this determination for the proposed Stryker acquisition.
The proposed agreement includes ProCare coverage for preventive maintenance, covered repairs, and battery service during the contracted service periods, supporting equipment readiness and predictable maintenance costs.
Funding for the annual payment is allocated in account 116-30-305.44030_000 – Minor Equipment Miscellaneous. Approval would allow the Department to address its equipment needs through a scheduled payment structure, replace aging devices, and maintain service coverage for essential emergency medical equipment.
3. FISCAL IMPACT / BUDGET AMENDMENT:
The Fire Department is requesting a competitive procedure not be used per TMC 2-7-08 (b) (10) that states, bidding is not required when the Council shall have adopted a resolution by at least four (4) affirmative votes determining that the best interests of the City require that the purchase be made without compliance with the formal bid procedure.
The proposed lease-purchase agreement provides for eight annual payments of $105,572.65, plus a $1 purchase option upon completion. These payments cover the equipment, accessories, maintenance services, freight, estimated sales tax, and financing costs identified in the agreement, subject to its stated adjustment provisions.
Funding for the current fiscal-year payment is allocated in account 116-30-305.44030_000 – Minor Equipment Miscellaneous.
No budget amendment is requested. Funding for the current fiscal-year payment is available within the existing appropriation.
4. ENVIRONMENTAL DETERMINATION:
This action is not subject to the provisions of the California Environmental Quality Act (CEQA) in accordance with Section 15378(b)(5) of the CEQA guidelines. This action consists
Agenda Staff Report

of “organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment” and therefore is not considered a project.
5. ALTERNATIVES:
A. Do not approve the lease-purchase agreement and direct staff to continue utilizing the existing equipment. This alternative is not recommended because it would leave the cross-staffed truck company without dedicated devices, limit equipment availability for up staffing, and leave no spare units available during maintenance, repairs, or equipment failures.
B. Direct staff to evaluate an outright purchase of the equipment and return to the City Council with revised costs and funding options. This alternative is not recommended because it would require a budget augmentation to fund the full acquisition cost upfront. The proposed lease-purchase structure distributes the cost across multiple fiscal years, reducing the immediate demand on available City funds while incorporating scheduled payments into the annual budget.
C. Direct staff to conduct a formal competitive procurement. This alternative is not recommended because it could result in equipment that is not compatible with equipment used by the Department, regional emergency medical service providers, and ambulance partners, reducing interoperability during emergency response and patient transfers.

1. Lease: You ("Customer") agree to lease from us ("Owner") the equipment (including software and/or software license fees ("Software"), if any, "Equipment") listed aboveand on any attached schedule in accordance with the terms of this Agreement (this "Agreement"). This Agreement starts on the day the Equipment is delivered to you ("Commencement Date") and continues for the number of months described above (the "Term"). The Lease Payments ("Payments") shall be payable beginning on the Commencement Date or any later date we designate and thereafter until all fully paid. Your obligations under this Agreement ("Obligations") are absolute, unconditional, and are not subject to cancellation, defense, recoupment, reduction, setoff or counterclaim. If a Payment is not made when due, you will pay us a late charge of 5% for each Payment or $10.00, whichever is greater. We may charge you a fee of $55.00 for any check that is returned. You authorize us to adjust the Payments at any time if taxes included in the Payments differ from our estimate. You agree that the Payments were calculated by us based, in part, on an interest rate equivalent as quoted on Bloomberg under the SOFR Swap Rate, that would have a repayment term equivalent to the Term (or an interpolated rate if a like-term is not available) as reasonably determined by us (and if the SOFR Swap Rate is no longer provided by Bloomberg, such rate shall be determined in good faith by us from such sources as we shall determine to be comparable to Bloomberg [or any successor]) and in the event the Term of this Agreement starts more than 30 days after we send this Agreement to you, we may adjust the Payments once to compensate us, in good faith, for any increase in such rate. “SOFR” with respect to any day means the secured overnight financing rate published for such day by the Federal Reserve Bank of New York, as the administrator of the benchmark, (or a successor administrator) on the Federal Reserve Bank of New York’s Website as quoted by Bloomberg. You shall be deemed to have accepted the Equipment for lease hereunder upon the date that is ten (10) days after it is shipped to you by the Supplier and, at our request, you shall confirm for us such acceptance. No acceptance of any item of Equipment may be revoked by you.
2. Title and laws: Unless you have a $1.00 purchase option, we own the Equipment and you have the right to use the Equipment during the Term, provided you comply withthe terms of this Agreement. If you have a $1.00 purchase option or this Agreement is deemed to be a security agreement, you grant us a security interest in the Equipment and all proceeds therefrom, and authorize us to file financing statements on your behalf. You agree not to permit any lien, claim or encumbrance to be placed upon the Equipment. You shall comply with all applicable laws, rules and regulations and manufacturer's specifications and instructions concerning the operation, ownership, use and/or possession of the Equipment.
3. Equipment use, maintenance and warranties: Any assignee (as defined below) is leasing the Equipment to you "AS-IS" AND MAKES NO WARRANTIES,EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. You must, at your cost, keep the Equipment in good working condition. If Payments include maintenance and/or service costs, you agree that (i) no Assignee is responsible to provide the maintenance or service, (ii) you will make all maintenance and service related claims to the persons providing the maintenance, service or warranty, and (iii) any maintenance, warranty or service claims will not impact your Obligations. The Equipment cannot be moved from the location above without our prior written consent.STRYKER SALES, LLC (INCLUDING FLEX FINANCIAL, A DIVISION OF STRYKER SALES, LLC) MAKES NO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY EQUIPMENT. This Agreement will not impair any express warrantees or indemnifications or other obligations of Stryker Corporation or any of its subsidiaries to you regarding the Equipment and we hereby assign all of our rights in any Equipment warrantees to you.
4. Assignment: You agree not to transfer, sell, sublease, assign, pledge or encumber the Equipment or any rights under this Agreement without our prior written consent, which consent shall not be unreasonably withheld, and if you do, even with our consent, you will still be fully responsible for all your Obligations. You shall provide us with at least 45 days' prior written notice of any change to your principal place of business, organization or incorporation. You agree that we may, without notice to you, sell, assign, or transfer ("Transfer") this Agreement to a third party (each, an "Assignee"), and each Assignee will have our Transferred rights, but none of our obligations, and such rights will not be subject to any claims, recoupment, defenses, or setoffs that you may have against us or any supplier even though an Assignee may continue to bill and collect all of your Obligations in the name of "Flex Financial, a division of Stryker Sales, LLC".
5. Risk of loss, insurance and reimbursement: Effective upon delivery to you and continuing until the Equipment is returned to us in accordance with the terms of this Agreement, you shall bear all risk of Equipment loss or damage. If any such loss or damage occurs you still must satisfy all of your Obligations. You will (i) keep the Equipment insured against all risks of loss or damage for an amount equal to its replacement cost, (ii) list us as the insurance sole loss payee and (iii) give us written proof of the insurance. If you do not provide such insurance, we have the right, without obligation, to obtain such insurance and add an insurance fee (which may include a profit) to the amount due from you. You will obtain and maintain comprehensive public liability insurance naming us as an additional insured with coverages and amounts acceptable to us. To the extent not expressly prohibited by applicable law, you will reimburse and defend us, including each Assignee for and against any losses, injuries, damages, liabilities, expenses, claims or legal proceedings asserted against or incurred by us, including any Assignee, relating to the Equipment and which relate to or arise out of your act or omission or the act or omission of your agents or employees or others (excluding us) with access to the Equipment. The terms of this paragraph will continue after the termination, cancellation or expiration of this Agreement.
6. Taxes: You agree to pay when due, either directly or as reimbursement to us, all taxes (i.e., sales, use and personal property) and charges in connection with ownership and use of the Equipment. We may charge you a processing fee for administering property tax filings. To the extent not expressly prohibited by applicable law, you will indemnify us on an after-tax basis, on demand, against the loss or unavailability of any of our anticipated equipment ownership tax benefits caused by your act or omission.

7. Default remedies: You are in default under this Agreement if: a) you fail to pay a Payment or any other amount when due; or b) you breach any other obligation under this Agreement or any other agreement with us; or c) your principal owner or any guarantor of this Agreement dies; d) you or any guarantor dissolves, ceases to do business as a going concern, becomes insolvent, bankrupt, merges, or is sold; or e) You or any guarantor fails to pay any other material obligation owed to us or any of our affiliates. Upon default, we may: a) declare the entire balance of unpaid Payments for the full Term immediately due and payable; b) sue you for and receive the total amount due plus the Equipment's anticipated end-of-Term fair market value ("FMV") or fixed price purchase option (the "Residual") with future Payments and Residual discounted to the date of default at the lesser of (i) a per annum interest rate equivalent to that of a U.S. Treasury constant maturity obligation (as reported by the U.S. Treasury Department) that would have a repayment term equal to the remaining Term, all as reasonably determined by us; or (ii) 3% per annum, but only to the extent permitted by law; c) charge you interest on all monies due at the rate of 18% per year from the date of default until paid; and/or d) require you to immediately return the Equipment to us or we may peaceably repossess it. You remain liable for any deficiency with any excess being retained by us.
8. End of term/Renewal: You will give us at least 90 days but not more than 180 days written notice (to our address above) before the initial Term (or any renewal term) expiration of your intention to purchase or return the Equipment, whereupon you may: a) purchase all, but not less than all, of the Equipment as indicated above or b) return all of the Equipment in good working condition at your cost how, when and where we direct. Any FMV purchase option amount will be determined by us based on the Equipment's in place value. If you don't notify us, or if you don't a) purchase or b) return the Equipment as provided herein, this Agreement will automatically renew at the same Payment amount for consecutive 60-day periods. If any Software license ("License") included hereunder passes title to you, such title shall automatically, and without further action, hereby vest in us, and you hereby agree to relinquish any subsequent Software title, purchase or use right claim. If, in connection with our Software rights, licensor's consent is required, you will assist us in obtaining such consent. If the $1.00 Buyout is selected above, the first three sentences of this section 8 shall be void and upon expiration of the Term, you shall pay all amounts owed by you hereunder but unpaid as of such date plus $1.00 (and any applicable taxes). Any purchase of the Equipment by you pursuant to a purchase option or $1.00 Buyout shall be "AS IS, WHERE IS" without representation or warranty of any kind from us.
9. Miscellaneous: You acknowledge we have given you the Equipment supplier's name. We hereby notify you that you may have rights under the supplier's contract and may contact the supplier for a description of these rights. This Agreement shall be governed and construed in accordance with the laws of Michigan.

You agree not to raise as a defense to the enforcement of this Agreement or any related documents hereto the fact that such documents were executed by electronic means. We may inspect the Equipment during the Term. No failure to act shall be deemed a waiver of any rights hereunder. If you fail to pay (within thirty days of invoice date) any freight, sales tax or other amounts related to the Equipment which are not financed hereunder and are billed directly by us to you, such amounts shall be added to the Payments set forth above (plus interest or additional charges thereon) and you authorize us to adjust such Payments accordingly. If you are required to report the components of your payment obligations hereunder to certain state and/or federal agencies or public health coverage programs such as Medicare, Medicaid, SCHIP or others, and such amounts are not adequately disclosed in any attachment hereto, then Stryker Sales, LLC will, upon your written request, provide you with a detailed outline of the components of your payments which may include equipment, software, service and other related components.
You acknowledge that you have not received any tax or accounting advice from us. You agree that you shall upon request from us, promptly provide to us a copy of your most recent annual financial statements and any of your other financial information (including interim financial statements) that we may request. You authorize us to share such information with our affiliates, subsidiaries and Assignees. This Agreement, any schedules hereto, any attachments to this Agreement or any schedules and any express warrantees made by Stryker Sales, LLC constitute the entire agreement between the parties hereto regarding the Equipment and its use and possession and supersede all prior agreements and discussions regarding the Equipment and any prior course of conduct.
You waive all rights to any indirect, punitive, special or consequential damages in connection with the Equipment or this Agreement. There are no agreements, oral or written, between the parties which are contrary to the terms of this Agreement and such other documents. YOU AGREE THAT THIS IS A NON-CANCELLABLE AGREEMENT AND WAIVE TRIAL BY JURY.

City Council Staff Report
October 13, 2026
From: Adrienne Werner, Development Services Director
Prepared by: Tania Hernandez, Assistant Planner
Agendized by: John J. Murphy, DPA, ICMA-CM, City Manager
1. ACTION RECOMMENDED:
Confirmation: City Clerk confirms: a) Proof of Publication of Notice of Public Hearing; b) Signed Waiver and Consent; c) Completed and signed ballot; and d) Signed Certificate of Clerk Regarding Receipt of Property Owner Waiver and Consent Form and Ballot Declaring Election Results
Resolution: Calling a Special Mailed-Ballot Election respecting proposed Annexation 43 to existing Community Facilities District Number 2 (Services Mitigation) Resolution: Declaring the results of the Mailed-Ballot Election respecting proposed Annexation 43 to existing Community Facilities District Number 2 (Services Mitigation)
43 proposes to annex one residential parcel located at 337 West Avenue South (Stanislaus County Assessor’s Parcel No. 050-003-042) into CFD #2. The Vesting Tentative Subdivision Map (VTSM) 2024-01 authorized the subdivision of the subject 2.7- acre parcel into 30-single family residential lots. The development will actually consist of 24
Agenda Staff Report
10/13/2026
lots with sizes ranging from 2,500 to 4,352 square feet, and the project will be developed in accordance with standards established for the Medium Density Residential (RM) zoning district. Annexation to CFD #2 is a required condition of approval for the subdivision map.
The CFD #2 annexation process is conducted over two City Council meetings. The first meeting was on September 8, 2026, where City Council adopted Resolution No. 2026-111, a resolution of intention. The second and final meeting includes the public hearing and property owner election.
Annexation to CFD #2 will generate additional revenue to support General Fund-supported services. The special taxes on dwellings annexed into CFD #2 are not levied until the issuance of a Certificate of Occupancy for the dwelling. Accordingly, revenue generation is directly tied to the timing of development and occupancy.
For Fiscal Year 2026-2027, the annual special tax is $607 per multifamily unit and $775 per single-family unit.
The City, acting as the Lead Agency, determined that the recommended action is not subject to CEQA pursuant to Sections 15060(c)(2), 15060(c)(3), and 15061(b)(3) of the State CEQA Guidelines, because it will not result in a direct or reasonably foreseeable indirect physical change to the environment as there is no possibility that the action would result in a significant environmental impact, and because it does not constitute a “project” as defined in Section 15378 of the State CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3.
5. ALTERNATIVES:
1. Decline to adopt the Resolution Calling for the Special Mailed-Ballot Election to annex the subject property into CFD #2. City staff does not recommend this option, as CFD #2 provides funding for public safety and park maintenance services that would otherwise need to be supported by the General Fund.
2. Defer the annexation proceedings to a later date. City staff does not recommend this option because annexation into CFD #2 is a condition of the subdivision map approval.
Delaying the process increases the risk that the property will not be annexed, as the subdivision map must be recorded within a specified timeframe once all requirements are satisfied. After recordation, annexation may become more difficult, particularly if multiple property owners are involved.
