Section 12-4.02C(7)(c) includes specifications for closing traffic lanes, with stationary lane closures on multilane highways. The traffic control system for a lane closure must comply with the details shown.

Traffic control system includes signs.

Each vehicle used to place, maintain, and remove components of a traffic control system on a multilane highway must be equipped with a Type II flashing arrow sign that must be in operation whenever the vehicle is being used for placing, maintaining, or removing the components. Vehicles equipped with a Type II flashing arrow sign not involved in placing, maintaining, or removing the components if operated within a stationary-type lane closure must display only the caution display mode. The sign must be controllable by the operator of the vehicle while the vehicle is in motion. If a flashing arrow sign is required for a lane closure, the flashing arrow sign must be operational before the lane closure is in place.

Whenever components of the traffic control system are displaced or cease to operate or function as specified from any cause, immediately repair the components to the original condition or replace the components and restore the components to the original location.

For a stationary lane closure made only for the work period, remove the components of the traffic control system from the traveled way and shoulder, except for portable delineators placed along open trenches or excavation adjacent to the traveled way at the end of each work period. You may store the components at selected central locations designated by the Engineer within the limits of the highway.

Article 1. Work to be Done and Contract Days Allowed.

That the Contractor shall provide all necessary machinery, tools, apparatus and other means of construction; shall furnish all materials, superintendence, overhead, expenses, all labor and expenses of whatever nature necessary for completion of the work in conformity with the Special Provisions and other contract documents hereto attached and according to such instructions as may be given by the Engineer. The Contractor shall complete the work within 240 WORKING days. Contract days shall be counted starting with the 10th day following receipt of notice that the contract has been executed by the City. Contractor, at his or her option, may begin work prior to start of counting contract days, however, in no event shall the Contractor start work without giving notification to the Engineer at least 72 hours prior to the start of work, without obtaining an encroachment permit from the City, or without having submitted certificates of insurance that have been accepted and approved by the Engineer Article II. That the City shall pay the Contractor the prices stated in the proposal submitted by the Contractor, for complete performance of the contract by the Contractor. The Contractor hereby agrees to accept the prices as full compensation for all material and appliances necessary to the work, for all labor and use of tools and other implements necessary to execute the work contemplated in this contract; for all loss or damage arising out of the nature of the work or from the action of the elements, or from any unforeseen obstructions or difficulties which may

be encountered in the prosecution of the work; for all risks of every description connected therewith; for all expenses of the work, as herein specified; for all liability and other insurance, for all overhead and other expenses incident to the work; all according to the Contract Drawings, the Special Provisions, the Details, the instructions and the requirements of the City.

Article III. Labor Discrimination.

Attention is directed to Section 1735 of the Labor Code, which reads as follows:
"No discrimination shall be made in the employment of persons upon public works because of the race, color, national origin or ancestry, or religion of such persons and every contractor for public works violating this section is subject to all the penalties imposed for a violation of this chapter." In connection with the performance of work under this contract, the Contractor agrees as follows:
(a) The Contractor will not willfully discriminate against any employee or an applicant for employment because of race, color, religion, ancestry, or national origin. The Contractor will take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, color, religion, ancestry, or national origin. Such action shall include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the awarding authority setting forth the provisions of this Fair Employment Practice section. (b) The Contractor will send to each labor union or representative of workers with which he or she has a collective bargaining agreement or other contract or understanding, a notice, to be provided by the awarding authority, advising the said labor union or worker's representative of the Contractor's commitments under this section, to employees and applicants for employment. (c) The Contractor will permit access to his or her records of employment, employment advertisements, application forms and other pertinent data and records by the Fair Employment Practices Commission, City of Ukiah or any other appropriate agency of the State of California designated by the awarding authority, for the purposes of investigation to ascertain compliance with the Fair Employment Practices section of this contract.
(d) A finding of willful violation of the Fair Employment Practices section of this Contract or of the Fair Employment Practices Act shall be regarded by the awarding authority as a basis for determining the Contractor to be not a "responsible bidder" as to future contracts for which such Contractor may submit bids, for revoking the Contractor's pre-qualification rating, if any and for refusing to establish, reestablish or renew a pre-qualification rating for the Contractor.

The City of Ukiah shall deem a finding of willful receipt of written notice from the Fair Employment Practices Act to have occurred upon that it has investigated and determined that the Contractor has violated the Fair Employment Practices Act and has issued an order under Labor Code Section 1426 or obtained an injunction under Labor Code Section 1429.

Upon receipt of such written notice from the Fair Employment Practices Commission, the City shall notify the Contractor that unless he or she demonstrates to the satisfaction of the awarding authority within a stated period that the violation has been corrected, his or her pre-qualification rating will be revoked at the expiration of such period.
(e) The Contractor agrees that should the City determine that the Contractor has not complied with the Fair Employment Practices section of this Contract, then pursuant to Labor Code Section 1735 and 1775 the Contractor shall, as a penalty to the City, forfeit for each calendar day or portion thereof, for each person who was denied employment as a result of such non-compliance, the penalties provided

in the Labor Code for violation of prevailing wage rates. Such monies may be recovered from the Contractor. The City may deduct any such damages from any monies due the Contractor. (f) Nothing contained in this Fair Employment Practices section shall be construed in any manner of fashion so as to prevent the City or the State of California from pursuing any other remedies that may be available at law.
(g) Prior to awarding the Contract, the Contractor shall certify to the awarding authority that he or she has or will meet the following standards for affirmative compliance, which shall be evaluated in each case by the awarding authority:
(1) The Contractor shall provide evidence, as required by the City that he or she has notified all supervisors, foremen and other personnel officers in writing of the content of the anti-discrimination clause and their responsibilities under it.
(2) The Contractor shall provide evidence, as required by the City, that he or she has notified all sources of employees’ referrals (including unions, employment agencies, advertisements, Department of Employment) of the content of the anti-discrimination clause. (3) The Contractor shall file a basic compliance report, as required by the City. Willfully false statements made in such reports shall be punishable as provided by law. The compliance report shall also spell out the sources of the work force and who has the responsibility for determining whom to hire, or whether or not to hire.
(4) Personally, or through his or her representatives, the Contractor shall, through negotiations with the unions with whom he or she has agreements, attempt to develop an agreement which will:
a. Spell out responsibilities for nondiscrimination in hiring, referral, upgrading and training. b. Otherwise implement an affirmative anti-discrimination program in terms of the unions' specific areas of skill and geography to the end that qualified minority workers will be available and given and equal opportunity for employment.
(5) The Contractor shall notify the City of opposition to the anti-discrimination clause by individuals, firms or organizations during the period of its pre-qualification. (h) The Contractor will include the provisions of the foregoing paragraphs 1 through 5 in every first tier subcontract so that such provisions will be binding upon each such subcontractor. (i) The "Fair Employment Practices Certification" must be completed and signed prior to the time of submitting the bid.

MEETING DATE/TIME: 10/21/2026

ITEM NO: 2026-1648

AGENDA SUMMARY REPORT
SUBJECT: Approval of Budget Amendment of $386,858.23 for the Remodel of 501 South State Street, Specification No. 25-04.

DEPARTMENT: Finance PREPARED BY:

Mary Horger, Assistant Finance Director, Matt
Keizer, Chief Building Official / Fire Code Official
UVFD
PRESENTER: Matt Keizer, Chief Building Official
ATTACHMENTS:

1. 501 State Street Costs and Funding Summary
Summary: Council will consider approving a budget amendment of $386,858.23 for the Remodel of 501 South State Street, Specification No. 25-04, to fund additional anticipated construction change orders and provide funding for remaining project needs through completion.

Background: In September 2025, the City Council awarded a construction contract to DMR Builders for the Remodel of 501 South State Street, Specification No. 25-04, in the amount of $3,487,850, with an additional 10% construction contingency of $348,785. The project involves remodeling the former Bank of America building at 501 South State Street for use as a centralized location for providing municipal services.

On September 2, 2026, Council approved construction change orders totaling $380,732.29, exceeding the previously authorized contingency by $31,947.29. Council also approved a corresponding budget amendment, increasing the authorized construction contract amount to $3,868,582.29. The revised contract amount established a new 10% change order authority of $386,858.23.

Discussion: Throughout the 501 South State Street Remodel project, Staff has maintained ongoing oversight of construction activities, project expenditures, and available funding. The project and its budget have been regularly reviewed, with adjustments brought forward for consideration and approval as necessary to address evolving construction requirements, unforeseen conditions, and other project needs. This approach has allowed Staff to respond to changing circumstances while maintaining appropriate financial controls and accountability.

Following the budget amendments approved by the City Council in September 2026, the project management team, working collaboratively with the Finance Department, conducted a comprehensive evaluation of the remaining work necessary to complete the project. This review considered not only anticipated construction costs, but also the broader project budget, previously incurred expenditures, outstanding commitments, and available funding resources. The objective was to develop an updated financial plan that accounts for the remaining project requirements and supports completion in the most efficient and cost-effective manner practicable.

As part of this evaluation, the project manager identified additional anticipated construction costs totaling $158,667.80, as detailed in Attachment 1. These items include an access door, exterior painting, additional asphalt, cooling rack installation, front counter millwork, handrails and ramp modifications, data cabling and card readers, electrical outlets in the IT room, storefront improvements, and signage.

Page 178 of 310 ends
Page 2 of 2 ends

Although the City Council approved additional change orders and a corresponding budget amendment in September 2026, that action addressed the construction changes and associated costs identified at that time.

The current request reflects a more comprehensive assessment of the work remaining through project completion, incorporating both identified construction needs and an allowance for potential unforeseen conditions.

In addition to the $158,667.80 in identified work, Staff recommends an allowance of $228,190.43 for remaining construction needs and unforeseen conditions, resulting in a total requested budget amendment of $386,858.23.

The proposed amendment represents a proactive effort to establish a realistic and comprehensive budget for the remaining construction activities, minimize the potential need for additional budget amendments, and provide the flexibility necessary to complete the project efficiently. Importantly, the requested funding represents budgetary authority rather than a commitment to expend the full amount. Actual expenditures and change orders will continue to be evaluated for necessity, cost-effectiveness, and consistency with the project's objectives and will remain subject to the City's established approval requirements and applicable authorization limits.

Staff believes the ongoing coordination between project management and Finance, together with the regular review and adjustment of project budgets, reflects a prudent and responsible approach to managing a complex capital improvement project. The proposed amendment builds upon that process by aligning anticipated remaining expenditures with available funding resources and positioning the City to complete the remodel while maintaining appropriate fiscal oversight.

Staff recommends approval of the requested budget amendment. Funding for the project is provided through the Series 2020A Lease Revenue Bonds and Series 2022 Lease Revenue Bonds.

MEETING DATE/TIME: 10/21/2026

ITEM NO: 2026-1649

AGENDA SUMMARY REPORT
SUBJECT: Approval of New Airport Ground Lease with the California Department of General Services (Cal Fire) and Authorization for the City Manager to Negotiate and Execute the Agreement.

DEPARTMENT: Airport PREPARED BY: Greg Owen, Airport Manager PRESENTER: Greg Owen , Airport Manager
ATTACHMENTS:

1. Cal Fire Draft Lease 2026

2. Cal Fire Final Lease 2018
Summary: Council will consider approving a new Airport ground lease with the California Department of General Services (Cal Fire) and authorize the City Manager to negotiate and execute the agreement.

Background: CAL FIRE has operated its Air Attack base at Ukiah Regional Airport since at least 1975, established by the original ground lease signed with the City on April 1, 1975. The State extended this lease for approximately 43 years, with monthly payments increasing to $660 by 2018. Following several years of negotiations, City staff presented a revised ground lease to the Council on June 20, 2018 (Attachment 2), aimed at aligning the lease terms with fair market value. The Airport Commission supported the proposed rates with a unanimous vote of 3-0. The Council subsequently approved the lease, which encompasses approximately 1.54 acres of fenced airside and landside space located on the northeast side of the airport.

Discussion: CAL FIRE has requested a lease renewal, and City staff, in conjunction with the State, have prepared a new agreement (Attachment 1). The proposed lease retains the same premises, uses, and general terms as the existing lease, featuring a new 10-year term. The current monthly rent of $2,350.49 will be carried forward and adjusted each year for inflation using an annual Consumer Price Index (CPI) escalator. The adjustment will occur every July 1, based on the change in the CPI from April 2026. The State establishes landing fees for state aircraft. Overall, the new agreement is consistent with the 2018 lease and ensures CAL FIRE's ongoing presence at the airport, which supports regional fire protection and generates steady ground rent revenue for the Airport. The Airport Commission voted unanimously (3-0) at its regular meeting to recommend that the City Council approve the proposed lease renewal.

Staff requests Council approve the new Airport ground lease with the California Department of General Services (Cal Fire) and authorize the City Manager to negotiate and execute the agreement.

Recommended Action: Approve a new Airport ground lease with the California Department of General Services (Cal Fire) and authorize the City Manager to negotiate and execute the agreement.

6. Lessor agrees that, prior to July 1, 2026, and at Lessor's sole cost and expense, all required construction, improvements and/or alterations, if any, shall be completed and the leased premises made ready for State's occupancy in full compliance with Exhibit "A", consisting of 1 sheets titled, "Site Plan , Project No. " dated .

7. Lessor shall notify the State in writing by certified mail of the date the leased premises will be completed and ready for occupancy at least thirty (30) days prior thereto. Such notice shall be a condition precedent to the accrual of rental hereunder, except however, that if the State occupies the premises prior to the receipt of such notice or prior to the expiration of the notice period of such notice, rental shall commence to accrue as of the date of occupancy.

Following execution of this lease, and not more than sixty days (60) prior to completion of construction and occupancy under this lease, State or its contractors or other representatives shall have the right to have access to the premises for the purpose of installing certain equipment.

State agrees to indemnify and hold Lessor harmless from and against any claims, damages, or other injury suffered by Lessor as a result of the work to be performed pursuant to this right to access the premises prior to State's acceptance and occupancy of the premises. In the event that one or the other party causes a delay in the other party’s work, such injured party shall be compensated in the following manner:

The parties agree that this shall be the sole remedy for delay, in that the calculation of damages in any other manner is too uncertain and not susceptible of accurate determination.

8. Lessor agrees that if the leased premises are ready for occupancy prior to the completion date specified above in Paragraph 6, State may elect to occupy the premises on the earliest date practical after its receipt of the herein required completion notice. The rent payable for any such early occupancy by the State shall be at the rate of $ per month and shall be prorated on a daily basis for any partial month.

9. No rental shall accrue under this lease, nor shall the State have any obligation to perform the covenants or observe the conditions herein contained until the leased premises have been made ready for occupancy in accordance with the provisions hereof. It is specifically agreed that in the event the leased premises are not completed and ready for occupancy by the State on or before , then and in that event the State may, at its option and in addition to any other remedies it may have, terminate this lease and be relieved of any further obligations hereunder, providing that a fair and reasonable allowance for the following delays shall be added to said time for completion:

A. Acts of the State, its agents or employees, or those claiming under agreement with or grant from the State; or by
B. The acts of God which Lessor could not reasonably have foreseen or guarded against; or by
C. Any strikes, boycotts or like obstructive actions by employees or labor organizations and which are beyond control of Lessor, and which cannot be reasonably overcome; or by D. Restrictive regulations by the Federal Government which are enforced in connection with a National Emergency.

In the event that the State elects to occupy premises before the work on the premises specified in Exhibit “A”, and “B”, the State will provide the Lessor with a punch list of work remaining to be completed (referenced as the State’s “Punch List”). Lessor agrees that Lessor shall complete the remaining work no later than 14 calendar days from the date of receipt of said Punch List. If said Punch List is not completed within the specified 14-day period, Lessor agrees that, beginning on the first day after said 14-day period following occupancy of premises by the State, rent may at the State’s sole option be reduced to $ which is seventy percent (70%) of the base rent specified in paragraph 4 herein (excluding any amortization payments) until such time that the Punch List work is completed in full and that such completion of work is inspected and accepted by the State. The portion of the rent specified for amortization of tenant improvements, if any shall continue to be paid in full without interruption.

It is understood and agreed that the rent reduction specified above does not relieve Lessor of its obligation to complete said work and the State shall maintain all other remedies specified in the Lease.

It is understood by all parties hereto that it shall be the Lessor’s responsibility to remove any prior tenant.

10. Occupancy of the leased premises by the State shall not relieve Lessor in any respect from full compliance at all times with aforesaid Exhibits "A” and “B”. It is further understood and agreed that any installation not in conformity with said Exhibits "A" shall be immediately corrected by the Lessor at Lessor's sole cost and expense. In the event Lessor shall, after notice in writing from the State requiring the Lessor to comply with the requirements of this paragraph in regard to a specified condition, fail, refuse or neglect to remedy such condition, State may terminate this lease without further obligation, or as to such specified condition, at its option and in addition to any other remedy the State may have, withhold rent due and bring the leased premises into conformity with said Exhibits at its own cost including State's Administrative costs, if any, and deduct the amount thereof from the rent that may then be or thereafter become due hereunder.

11. Lessor hereby warrants and guarantees that the premises leased to the State will be operated and maintained free of hazard from Asbestos Containing Materials (ACM) and agrees to the conditions for survey, testing, and abatement of ACM as applicable. Lessor specifically agrees that, in the event the State elects to exercise its rights under the provisions of Paragraph 16 of this lease, any costs related to abatement or hazard from asbestos shall be the Lessor's responsibility.

12. Lessor, at Lessor's sole cost and expense, during the term of this lease shall furnish the following services, utilities, and supplies to the Premises:

A. Electricity and/or gas, as necessary, as needed for State's operations.

In the event of failure by the Lessor to furnish any of the above services or supplies in a satisfactory manner, the State may furnish the same at its own cost; and, in addition to any other remedy the State may have, may deduct the amount thereof, including State's administrative costs, from the rent that may then be, or thereafter become due hereunder.

13. During the lease term, Lessor State shall maintain the leased premises together with appurtenances, rights, privileges, and easements belonging or appertaining thereto, in good repair and tenantable condition, except in case of damage arising from the negligence of State's agents, invitees or employees. STATE shall make no changes and/or alterations to the leased premises without the prior written consent of the Lessor, with the exception of routine repairs to the premises. It is understood maintenance and repair of the entire lease premises is the State’s responsibility.

Lessor agrees that in no event shall STATE be required to perform any maintenance on or make repairs or alterations to the leased Premises of any nature whatsoever. Lessor agrees at Lessor’s sole cost and expense, to repair and to maintain in good operating condition any fencing, watering facilities, water pumps, including waterlines, barns, roads, buildings, equipment, or other improvements existing on the Premises.

14. The State shall have the right during the existence of this lease to make change orders and alterations; attach fixtures; and erect additions, structures, or signs upon the leased premises.

Such fixtures, additions, structures, or signs so placed upon or attached to the premises under this lease or any extension hereof shall be and remain the property of the State and may be removed therefrom by the State prior to the termination or expiration of this lease or any renewal or extension hereof, or within a reasonable time thereafter.

In the event alterations, fixtures, additions, structures, or signs upon the leased premises are desired by State and State elects not to perform the work, any such work, when authorized in writing by the State shall be performed by the Lessor in accordance with plans and specifications provided by State. Lessor agrees to obtain competitive bids from at least three licensed contractors and to contract with the lowest bidder. Lessor further agrees that the overhead and profit for the work shall not exceed fifteen percent (15%) total for Lessor and any general contractor combined. Within forty-five (45) days after receiving Lessor's notice of completion of the requested work and an invoice requesting payment therefor, together with a complete detailed accounting of all costs for each trade, State agrees to reimburse Lessor by a single total payment for the cost of such work.

15. The State shall not assign this lease without prior written consent of the Lessor, which shall not be unreasonably withheld, but shall in any event have the right to sublet the leased premises.

16. The Lessor agrees that the State, while keeping and performing the covenants herein contained, shall at all times during the existence of this lease, peaceably and quietly have, hold, and enjoy the leased premises without suit, trouble, or hindrance from the Lessor or any person claiming under Lessor.

17. The Lessor reserves the right to enter and inspect the leased premises at reasonable times, and to render services and make any necessary repairs to the premises.

18. If the leased premises are totally destroyed by fire or other casualty, this lease shall terminate. If such casualty shall render ten percent (10%) or less of the leased premises unusable for the purpose intended, Lessor shall affect restoration of the premises as quickly as is reasonably possible, but in any event within thirty (30) days.

In the event such casualty shall render more than ten percent (10%) of the leased premises unusable but not constitute total destruction, Lessor shall forthwith give notice to State of the specific number of days required to repair the same. If Lessor under such circumstances shall not give such notice within fifteen (15) calendar days after such destruction, or if such notice shall specify that such repairs will require more than ninety (90) days to complete from date such notice is given, State, in either such event, at its option may terminate this lease or, upon notice to Lessor, may maintain occupancy and elect to undertake the repairs itself, deducting the cost thereof from the rental due or to become due under this lease and any other lease between Lessor and State.

In the event of any such destruction other than total, where the State has not terminated the lease as herein provided, or pursuant to the terms hereof has not elected to make the repairs itself, Lessor shall diligently prosecute the repair of said premises and, in any event, if said repairs are not completed within the period of thirty (30) days for destruction aggregating ten percent (10%) or less of the leased premises, or within the period specified in Lessor's notice in connection with partial destruction aggregating more than ten percent (10%), the State shall have the option to terminate this lease or complete the repairs itself, deducting the cost thereof from the rental due or to become due under this lease and any other lease between Lessor and State.

In the event the State remains in possession of said premises though partially damaged, the rental as herein provided shall be reduced by the same ratio as the net square feet the State is thus precluded from occupying bears to the total net square feet in the leased premises.

It is understood and agreed that the State or its agent has the right to enter its destroyed or partially destroyed leased premises no matter what the condition. At the State's request, the Lessor shall immediately identify an appropriate route through the property to access the State leased premises. If the Lessor cannot identify an appropriate access route, it is agreed that the State may use any and all means of access at its discretion in order to enter its leased premises.

19. To the extent authorized by any fire and extended coverage insurance policy issued to Lessor on the herein leased premises, Lessor hereby waives the subrogation rights of the insurer, and releases the State from liability for any loss or damage covered by said insurance.

20. For those projects defined as "public works" pursuant to Labor Code §1720.2, the following shall apply:

A. Lessor/contractor shall comply with prevailing wage requirements and be subject to restrictions and penalties in accordance with §1770 et seq. of the Labor Code which requires prevailing wages be paid to appropriate work classifications in all bid specifications and subcontracts.

State shall maintain the leased premises.

24. In the event the State remains in possession of the premises after the expiration of the lease term, or any extension or renewal thereof, this lease shall be automatically extended on a month-to-month basis, subject to thirty (30) days termination by either party, and otherwise on the terms and conditions herein specified, so far as applicable. If the last rental amount shown in Paragraph 4 included the amortization of a capital sum expended by Lessor for certain alterations and improvements, as described in a separate paragraph herein, and the capital sum has been fully amortized, the holdover rent shall be reduced by the amount of the monthly amortization. If the State fails to vacate the premises within the notice period and remains for an extended period, additional rent shall be paid and prorated on a thirty (30) day month, based on the actual number of days the State occupies the premises following the effective date of termination.

25. Upon termination or expiration of this lease, the State will peacefully surrender to the Lessor the leased premises in as good order and condition as when received, except for reasonable use and wear thereof and damage by earthquake, fire, public calamity, the elements, acts of God, or circumstances over which State has no control or for which Lessor is responsible pursuant to this lease. The State shall have no duty to remove any improvements or fixtures placed by it on the premises or to restore any portion of the premises altered by it, save and except in the event State elects to remove any such improvements or fixtures and such removal causes damages or injury to the leased premises, and then only to the extent of any such damage or injury.

26. Time is of the essence of this lease, and the terms and provisions of this lease shall extend to and be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and assigns to the respective parties hereto. All of the parties hereto shall be jointly and severally liable hereunder.

27. It is mutually understood and agreed that no alterations or variations of the terms of this lease shall be valid unless made in writing and signed by the parties hereto, and that no oral understanding or agreement not incorporated herein, shall be binding on any of the parties hereto.

28. Pursuant to California Civil Code §1938, the Lessor states that the leased premises:
☒ have not undergone an inspection by a Certified Access Specialist (CASp). A CASp can inspect the subject premises and determine whether the subject premises comply with all of the applicable construction-related accessibility standards under state law. Although state law does not require a CASp inspection of the premises, the Lessor may not prohibit the tenant from obtaining a CASp inspection of the premises for occupancy by the tenant, if requested by the tenant.

The parties shall mutually agree on the arrangements for the time and manner of the CASp inspection, the payment of the fee for the CASp inspection, and the cost of making any repairs necessary to correct violations of construction-related accessibility standards within the premises.

31. Lessor shall have the right to subordinate this lease to any ground lease, deed of trust, or mortgage encumbering the Property, any advances made on the security thereof and any renewals, modifications, consolidations, replacements, or extensions thereof, whenever made or recorded. However, State's right to quiet possession and quiet enjoyment of the Property during the lease term shall not be disturbed if State pays the rent and performs all of State's obligations under this lease and is not otherwise in default. If any ground lessor, beneficiary, or mortgagee elects to have this lease prior to the lien of its ground lease, deed of trust, or mortgage and gives written notice thereof to State, this lease shall be deemed prior to such ground lease, deed of trust, or mortgage whether this lease is dated prior or subsequent to the date of said ground lease, deed of trust, mortgage, or the date of recording thereof.

32. Beginning on July 1, 2026 and each July 1st thereafter during the term of this lease, the State will automatically increase or decrease the monthly rent payable under this lease. 33. State agrees that it will comply with all applicable laws existing during the term of this lease pertaining to the use, storage, transportation, and disposal of any hazardous substance as that term is defined in such applicable law. In the event Lessor or any of its affiliates, successors, principals, employees, or agents should incur any liability, cost, or expense, including attorney's fees and costs, as a result of the State's illegal or alleged illegal use, storage, transportation, or disposal of any hazardous substance, including any petroleum derivative, the State shall indemnify, defend, and hold harmless any of these individuals against such liability, to the extent authorized by Government Code section 14662.5. Where the State is found to be in breach of this provision due to the issuance or a government order directing the State to cease and desist any illegal action in connection with a hazardous substance, or to remediate a contaminated condition caused by the State or any person acting under State's direct control and authority, State shall be responsible for all costs and expenses of complying with such order, including any and all expenses imposed on or incurred by Lessor in connection with or in response to such government order, to the extent authorized by Government Code section 14662.5. 34. On March 4, 2022, Governor Gavin Newsom issued Executive Order N-6-22 (EO) regarding Economic Sanctions against Russia and Russian entities and individuals. “Economic Sanctions” refers to sanctions imposed by the U.S. government in response to Russia’s actions in Ukraine, as well as any sanctions imposed under state law. The EO directs state agencies to terminate contracts with, and to refrain from entering any new contracts with, individuals or entities that are determined to be a target of Economic Sanctions. Accordingly, should the State determine Contractor is a target of Economic Sanctions or is conducting prohibited transactions with sanctioned individuals or entities, that shall be grounds for termination of this agreement.

The State shall provide Contractor advance written notice of such termination, allowing Contractor at least 30 calendar days to provide a written response. Termination shall be at the sole discretion of the State.

Agenda Item No: 8.d.

MEETING DATE/TIME: 10/21/2026

ITEM NO: 2026-1651

AGENDA SUMMARY REPORT
SUBJECT: Notification of Contract Amendment with Community Development Services in the Amount of $45,000 for Underwriting Services for Business Assistance Program Funded by a State Grant from Housing and Community Development.

DEPARTMENT: Community
Development PREPARED BY: Jim Robbins, Housing and Grants Manager PRESENTER: Jim Robbins, Housing and Grants Manager
ATTACHMENTS:

1. Agreement_2324-105_CDS

2. CDS Amendment 3
Summary: Council is requested to receive notification of a contract amendment with Community Development Services (CDS) to increase the existing contract amount by $45,000 to provide underwriting services for the City of Ukiah Business Assistance Program funded by a State grant from Housing and Community Development.

Background: City Council approved the professional services agreement between the City and Community Development Services (CDS), COU No. 2324-105 (Attachment 1), on September 20, 2023, in the amount of up to $5,356 for State Community Development Block Grant (CDBG) Business Assistance program loan underwriting services. Between 2022 and 2024, with the underwriting and consulting assistance from CDS, Staff completed loans assisting six small businesses. All loans were funded by CDBG funds within standard agreement No. 20- CDBG-12041 and CDBG Program Income (PI). Loans provided to these six Ukiah businesses created and/or retained approximately eight full-time jobs. By May 2024, the City had expended all Business Assistance Program grant funds within 20-CDBG-12041.

Discussion: Although the City's Business Assistance program, which has been in existence since 2010, has been successful in delivering financial assistance to start-ups and existing businesses, a critical need expressed by existing businesses has been for a facade improvement program. Since the loss of State Redevelopment funding in 2011, the City has in the past been unable to identify a funding source that would provide adequate grant funding to stand up such a program. It is anticipated that the 2027-2029 version of the Business Assistance Program will be able to meet this need by offering low-interest loans to local businesses for facade improvement as well as other business purposes, including the retention and hiring of staff for business expansion.

The addition of up to $45,000 to the existing contract with CDS through Amendment 3 (see Attachment 2) requires Council notification.

Recommended Action: Receive notification of contract amendment with Community Development Services in the amount of $45,000 for underwriting services for the Business Assistance Program funded by a State grant from Housing and Community Development.

ITEM NO: 2026-1652

AGENDA SUMMARY REPORT
SUBJECT: Notification of a Contract Amendment with JM Integration in the Amount of $76,212.50 as Part of the SCADA Upgrades at the Water Treatment Plant.

DEPARTMENT: Public Works PREPARED BY: Seth Strader, Public Works Management Analyst II PRESENTER: Jared Walker, Water Resources Director

4. Invoice_23605_from_JM_Integration_LLC
Summary: Council will receive notification of a contract amendment with JM Integration in the amount of $76,212.50 as part of the SCADA upgrades at the Water Treatment Plant.

Background: The Supervisory Control and Data Acquisition (SCADA) System at the Water Treatment Plant is the primary software tool for managing the City's drinking water system. The original system was installed in 2005 and has since become obsolete, with manufacturer support ceasing in 2017. In 2021, the City Council awarded a contract to JM Integration for the replacement of the old SCADA system, totaling $259,756. Refer to Attachment 1 for the original contract. A change order and contract amendment were subsequently approved in 2023 and 2025, adjusting the total contract amount to a not-to-exceed sum of $513,019.22.

Please see Attachments 2 and 3 for further details.

Discussion: As JM Integration completed the contracted work, it was identified that one additional panel and controller for the SCADA system required replacement. The existing panel lacked drawings and documentation, which contributed to uncertainty during project scoping regarding its necessity for replacement. JM Integration has supplied a custom control panel assembly and enclosure. Refer to Attachment 4 for further details. There remains $22,205.39 in unspent funds on the contract. An internal transfer of $53,706.11 will be made from other Water Treatment Plant capital improvements to cover this shortfall.

Staff requests Council receive this notification of a contract amendment with JM Integration in the amount of $76,212.50 as part of the SCADA upgrades at the Water Treatment Plant.

The possibility of wage increases is one of the elements to be considered by the Contractor in determining his or her proposal and will not in any circumstances be considered as the basis for a claim against the City.

1.10 Protection of Site and Improvements. The Contractor shall repair or replace, as directed by CITY, any property that it damages, looses or destroys in violation of this paragraph.

1.11 Inspection of Work. The Contractor shall ensure that the Work is available for inspection by CITY or its Inspector at all reasonable times and that no work is covered up or rendered incapable of inspection without prior notice to CITY or its Inspector and a reasonable opportunity for inspection. 1.12 Title. The Contractor warrants that it conveys full and complete title, free of all liens and encumbrances, to all materials, supplies, fixtures and equipment furnished to CITY under this Agreement and agrees to fully defend and indemnify CITY, its officers and employees, and the houses and homebuyers included in the Work, from and against any claim, lien, charge, debt, cost, expense or liability arising from a breach of said warranty.

1.13 Warranties. In addition to any other warranties in this contract, the Contractor warrants that the Work conforms to the contract requirements and is free of any defect in equipment, material or workmanship for a period of one year from the date of final acceptance of the Work by CITY. If CITY accepts any part of the Work before final acceptance of the entire Work, the warranty shall continue for the period of one year from the date of such partial acceptance. The Contractor shall remedy, at the Contractor’s expense, any failure to conform, or any defect.

1.14 Extension of Time. Should any delays occur which the City may consider unavoidable, as herein defined, the Contractor shall, pursuant to his or her application, be allowed an extension of time proportional to said delay or delays, beyond the time herein set forth, in which to complete this contract.

Any claim by Contractor for a time extension based on unavoidable delays shall be based on written notice delivered to the City within 15 days of the occurrence of the event giving rise to the

5 claim. Failure to file said written notice within the time specified shall constitute a waiver of said claim. Notice of the full extent of the claim and all supporting data must be delivered to the City within 45 days of the occurrence unless the City specifies in writing a longer period. All claims for a time extension must be approved by the City and incorporated into a written amendment.

1.15. Unfavorable Weather and Other Conditions. During unfavorable weather and other conditions, the Contractor shall pursue only such portions of the work as shall not be damaged thereby.

No portions of the work whose satisfactory quality or efficiency will be affected by any unfavorable conditions shall be constructed while these conditions remain, unless, by special means or precautions approved by the City, the Contractor shall be able to overcome them.

The Contractor shall be granted a time extension of one day for each unfavorable weather day that prevents him or her from placing concrete forms or placing and finishing concrete or asphalt concrete. Such unfavorable weather day is defined as a rain day where precipitation prevents the contractor from performing the work more than four (4) continuous hours within the authorized work period or a temperature day where the ambient temperature is below that specified for the placement of materials associated with the controlling work item for more than four (4) continuous work hours of the authorized work period.

It is understood, however, that night work may be established as a regular procedure by the Contractor if he or she first obtains the written permission of the City and that such permission may be revoked at any time by the City if the Contractor fails to maintain at night adequate force and equipment for reasonable prosecution and to justify inspection of the work.

1.17. Hours of Labor. Eight (8) hours of labor shall constitute a legal day's work and the Contractor or any subcontractor shall not require or permit more than eight hours of labor in a day from any person employed by him or her in the performance of the work under this contract, unless paying compensation for all hours worked in excess of eight (8) hours per day at not less than 1 ½ times the basic rate of pay. The Contractor shall forfeit to the City, as a penalty, the sum of twentyfive dollars ($25.00) for each workman employed in the execution of the contract by him or her or by any subcontractor, for each calendar day during which such laborer, workman, or mechanic is required or permitted to labor more than eight hours in violation of the provisions of Section 1810 to 1816, inclusive, (Article 3, Chapter 1, Part 7, Division 2) of the Labor Code of the State of California and any acts amendatory thereof.
