We are committed to exceeding our clients’ needs by providing simple effective solutions based on industry standards and best practices that are functional, sustainable and value driven.
JM Integration LLC was established February 6, 2018 as a single member LLC located in Vacaville, California. Jack Miller is both the owner and operator, a bona fide Jack of all trades. Although we are a relatively new company, our personal experience in the Water and Wastewater Industry is not. With over 20 years of experience working specifically but not exclusively on:
• Allen Bradley
• Automation Direct
• GE
• Siemens
• Emerson
• Rockwell Software
• Wonderware
• Schneider Electric
• Inductive Automation
Most of these are considered to be the top manufacturers in automation and control products and we take pride in staying up to date on the latest technology so we can provide our clients’ with the best solutions our industry has to offer.
We believe our wide range of services is what sets us apart from other providers. JM Integration LLC currently has no employees. At first glance, that may seem like a disadvantage but when we arrive on site or answer your call you have electrical, instrumentation and PLC/HMI programming at your full disposal. Most companies must coordinate and schedule different departments within their organizations, and even some may not provide all these services. This can sometimes lead to further delays and additional costs which in turn increases downtime on mission critical processes.
Our mission is to build trust and deliver value. We do this by applying a 3-step process in every project:
1. We listen. Listening is key to all effective communication. Without the ability to listen effectively, messages are easily misunderstood. We realize that no one understands a process or piece of equipment better than the people working on it every day. By taking the first step and listening to our customers ensures understanding, improves accuracy, and places value on your opinions and experience.
2. We plan. Planning facilitates goals and determines success. It reduces risk and increases efficiency. Having a plan keeps everyone on the same page. It is an invaluable tool in the decision-making process during a project. By combining customer input with industry standards, we create a plan that guarantees the best service every time.
3. We exceed. We believe that by giving our customers more than what is expected we are providing valueadded service. It says that we care and have a strong attention to detail. By listening to your needs and creating a plan for success, we are given the opportunity to exceed expectations. We are customer focused and your experience is at the center of every decision we make.
Thank you for your time and consideration,

JM Integration LLC: Proposal for Water Treatment Plant SCADA Upgrade B. Project Understanding and Proposed Approach
Scope of Work
The primary goal of this project is to provide services related to upgrading the existing SCADA system at the City’s Water Treatment Plant. The City would also like to add several additional facilities for monitoring to the proposed new SCADA system. This includes but is not limited to the following locations:
• Well 3
• Well 7
• Well 8
• Ford Lift Station
• El Dorado Lift Station
• Vichy Lift Station
The selected contractor shall provide engineering, installation and wiring for new PLCs, conversion of the general control programs to the new PLCs including documentation, all programming for the SCADA and alarms, testing of system, as-built drawings and copies of all logic programming. It is our understanding that the overall project will be broken down into these 5 general areas:
1) Review the existing SCADA system for the Water Utility 2) Propose recommended update to software and hardware, 3) Complete recommended updates,
4) Provide post-project support, and
5) On-going maintenance for an initial 3-year term after project completion.
To ensure a successful execution of this project and its goals we recommend organizing the project into 3 main components: (1)Network Communications, (2)Process Automation System (PAS), and (3)Supervisory Control and Data Acquisition (SCADA). Similarly to building a house a robust and reliable communication network is the foundation of a well operating Industrial Control System (ICS). Without this, the accuracy and integrity of the data you are monitoring and controlling is considered untrustworthy and will cause operations to doubt the system. The PAS is the link between your process and SCADA. Creating clear and concise control strategies will provide effective and efficient process control. Collaboration with the City staff and JM Integration LLC’s industry experience results in a customized solution based on industry standards and best practices. The final piece of the execution phase is SCADA. By this stage of the project, we will have gained tremendous insight on how the system will be used and can design an interface that is functional, sustainable and value driven. In todays world with the advancement of technology we can do more with less. Because of this, the demands of an operator require remote access and controls that are safe and secure as oppose to a standard stationary console. This can be accomplished by using Cybersecurity standards. An assessment can be performed to determine what specific needs there are without having to sacrifice accessibility and performance. Once the Site Acceptance Test (SAT) is complete we will provide training for the City’s operation and maintenance staff to familiarize themselves with the new SCADA system.
The following tasks shall be completed to fulfill the aforementioned project goals. It is by these deliverables that the success of the project will be determined.
Task 1 – Design Planning Services
1.1 Develop Communications Network Design
The existing local control network is a combination of Category 5 (CAT5) and Fiber-optic cables that communicate via Ethernet, serial cables that communicate via RS-232, and wireless technology using unlicensed radios (900MHz), mobile broadband and Wi-Fi. Furthermore, existing documentation no longer provides an accurate depiction of the network and makes troubleshooting cumbersome. To remedy this, a simple and reliable solution must first be developed. For example, adding high availability features which provide redundancy and fault tolerance ensure this network is always available even in the event of a failure. 2
JM Integration LLC: Proposal for Water Treatment Plant SCADA Upgrade
1.1.1 Collaborate with the City of Ukiah Project Management Team (PMT) to determine hardware and software specifications based on industry standards and best practices.
1.1.2 Collaborate with the selected network equipment vendor to determine hardware and software specifications based on industry standards and best practices.
1.1.3 Design a network system that provides an acceptable level of redundancy and fault tolerance.
1.1.4 Design a network system that provides an acceptable level of security and control access
1.1.5 Provide drawings and specifications for the upgrade or replacement of existing communication network for SCADA and programmable logic controllers (PLCs).
1.2 Develop Cloud SCADA Architecture Design
Cloud based servers are increasingly common, but it is important to educate your organization on the risks associated with them. Cyberspace and its underlying infrastructure are vulnerable to a wide range of risk stemming from both physical and cyber threats and hazards. This design scheme will provide some guidelines that address many potential security issues and offer recommendations on how to better protect your system.
This type of architecture is ideal in smaller organizations since you do not have to worry about maintaining a server. Additionally, there is no on-site IT staff required to monitor the system.
1.2.1 Collaborate with the City of Ukiah PMT to determine hardware and software specifications based on industry standards and best practices.
1.2.2 Collaborate with the selected SCADA software vendor to determine hardware and software specifications based on industry standards and best practices.
1.2.3 Design a SCADA system that provides an acceptable level of redundancy and fault tolerance
1.2.4 Design a SCADA system that provides an acceptable level of security and control access
1.2.5 Provide drawings and specifications for the upgrade or replacement of existing SCADA software architecture.
1.3 Develop Programmable Logic Controller (PLC) Standards To simplify design, improve operations, and increase safety and reliability, standards that define how PLCs are to be programmed and installed will be needed. When standards are in place, there are fewer problems that could lead to costly delays or safety incidents.
1.3.1 Collaborate with the City of Ukiah PMT to determine hardware and software specifications based on industry standards and best practices.
1.3.2 Collaborate with the selected PLC vendor to determine hardware and software specifications based on industry standards and best practices.
1.3.3 Provide documentation that defines the standards to be used for the supply and programming of all new PLCs. This includes hardware, software, and wiring tag designations.
1.4 Develop Human-Machine Interface (HMI) Standards
To simplify design, improve operations, and increase safety and reliability, standards that define how HMIs are to be programmed and installed will be needed. When standards are in place, there are fewer problems that could lead to costly delays or safety incidents.
1.4.1 Collaborate with the City of Ukiah PMT to determine development and software specifications based on industry standards and best practices.
1.4.2 Collaborate with the selected HMI vendor to determine hardware and software specifications based on industry standards and best practices.
1.4.3 Provide documentation that defines the standards to be used for the development and programming of all new HMIs. This includes database definitions, displays, access controls, security, alarms, and templates.
3
JM Integration LLC: Proposal for Water Treatment Plant SCADA Upgrade
1.5 Develop Asset Tag Standards
The need to share data among plant floor and management is becoming more common. As we continue to advance with technology and automation, a common standardized naming system for assets will be developed that will enhance integration capabilities to other types of business software such as Computerized Maintenance Management Software (CMMS) or Systems, Applications and Products (SAP).
1.5.1 Collaborate with the City of Ukiah PMT to determine development and specifications of all new and upgraded asset tags based on industry standards and best practices.
1.5.2 Provide documentation that defines the standards to be used for the development and identification of asset tags throughout the SCADA system.
1.6 Develop Control Strategies
The existing programming will need to be converted to the new programming language and to comply with the standards developed under Task 1.3. Additional monitoring and controls may need to be developed, as determined during detailed design. Therefore, it is recommended that control strategy narratives be developed for all PLCs.
1.6.1 Collaborate with the City of Ukiah PMT to design specifications based on existing operations, industry standards and best practices.
1.6.2 Develop process and instrumentation diagrams (P&IDs) from existing plant drawings and documentation, based on as-built drawings from the 1992 and 2005 projects.
1.6.3 Develop narratives for control strategies based on existing logic programming, and include additional monitoring and controls determined during design.
1.7 Develop PLC Panels Design
The existing PLCs are GE Series 90-30 controllers and have reached the end of their lifecycle on October 1, 2017. Replacement of these controllers is an essential element of the SCADA upgrade process. Some examples of things to consider when selecting and designing are reliability, serviceability, cost, long-term effectiveness, compatibility, and vendor support.
1.7.1 Collaborate with the City of Ukiah PMT to design specifications based on existing operations, complexity of the process developed under Task 1.6, communication protocols developed under Task
1.1, and industry standards and best practices for the replacement of all PLCs.
1.7.2 Provide drawings and specifications that define the guidelines to be used for the manufacturing of all new PLC control panels.
1.8 Develop Execution Documentation
The final step in the design phase is to prepare construction documents for the execution phase of the City of Ukiah SCADA Improvements Project. These documents will combine most of the drawings and specifications developed in the preceding Tasks. The success of this project will be determined by the adherence to the guidelines and standards for the manufacturing, installation, programming, testing and operation of a new SCADA system.
1.8.1 Drawings will be prepared using AutoCAD or similar. 11”x17” will be provided in the submittal
1.8.2 Specifications will be prepared using Microsoft Word. PDF format will be provided in the submittal. 4

Background: In August 2014, Council approved a letter agreement (Attachment 1) with Colantuono, Highsmith & Whatley, PC as outside council to represent the City in a detachment action and in any other matters in which the City Council approved retaining their services as outside Council. The Colantuono firm currently represents the City in Vichy Springs Resort v. City of Ukiah, U.S. District Court, Northern District of California, Case No. 3:24-cv-07106-JSC. In the letter agreement, Michael Colantuono agreed to cap service rates at $325 per hour for legal advisory services and $350 per hour for litigation.
Discussion: In September, Michael Colantuono contacted the City Attorney's office and proposed raising rates to $395 per hour for legal advisory services and $420 per hour for litigation. The City Attorney's office considers these rate increases reasonable considering that the prevailing rate for attorney legal services at the Colantuono firm can reach up to $605 per hour. Over the last 12 years, the City has retained the Colantuono firm as outside counsel in litigation. The City Attorney's office recommends that the City continue to do so. In addition, the only legal work the Colantuono firm is currently performing for the City is in the matter Vichy Springs Resort v. City of Ukiah, U.S. District Court, Northern District of California, Case No. 3:24-cv-07106- JSC. Mathew Slentz of the Colantuono firm represents the City in that matter and has agreed to cap litigation rates at $395 until the matter is concluded.
Staff request Council authorize the City Manager to negotiate and execute a contract amendment with Colantuono, Highsmith & Whatley, PC for legal services.
Recommended Action: Authorize the City Manager to negotiate and execute a contract amendment with Colantuono, Highsmith & Whatley, PC for legal services to the City of Ukiah.

AGENDA SUMMARY REPORT
SUBJECT: Status Report on the Emergency Contract with Diamond D Construction, LLC for Landslide Mitigation Work at the Pressure Zone 1 Water Storage Tank and Request for Authorization to Continue Work Under This Emergency Contract.
DEPARTMENT: Water Resources PREPARED BY: Darcy Vaughn, City Attorney PRESENTER: Jared Walker, Water Resources Director
ATTACHMENTS:

2. SHN-CityofUkiah-Proposal
3. SHN Professional Opinion Letter
Summary: Council will receive a status report on the contract with Diamond D Construction for the emergency repair of the Western Hills mudslide at the City water tank and consider approving continued work.
Background: In the winter of 2025, a landslide occurred on the ascending slope to the west of the Pressure Zone 1 water tank. This slide deposited material across the access road to the tank and against the tank. The material was removed, slope graded, and some measures were installed to prevent further slides. These precautions were only meant to be temporary to get the slope through the winter and to prevent further damage.
On September 16, 2026, City Council approved a Resolution approving the procurement without public bidding of additional construction services to repair the mudslide at the City water tank in the western hills (Attachment 1).
Public Contracts Code § 22050(c)(1) requires that the Council review this emergency action at each regularly scheduled meeting, until the action is terminated, to determine by a four-fifths vote whether the emergency conditions excusing competitive bidding continue.
Discussion: Diamond D was determined to be qualified to do the work. The contract with Diamond D is currently on hold. According to Diamond D, upon contacting its steel soldier pile supplier, the contractor was informed that the material originally quoted for the project had been sold. Replacement material was subsequently quoted with an estimated lead time of four to six weeks and an additional cost of approximately $20,000 due to tariffs, fuel and energy costs. To date, no materials have been ordered for the project.
At the City Manager’s request, Staff contacted the SHN Engineers (SHN) Geotechnical Team that conducted the onsite visit to determine whether SHN could provide a professional opinion regarding the soldier pile wall include scope and potential cost control measures. SHN provided a proposal (Attachment 2) in the amount of $2,500 to prepare a professional opinion document addressing the soldier pile wall. On October 16, 2026, SHN provided a Professional Opinion Letter (Attachment 3) specifically regarding their professional geologic and geotechnical engineering opinions of the slope hazard mitigation proposed by the City to protect the water tank. The Professional Opinion Letter contained the following recommendations:
• Shortening the length of the wall from 120’ to 72’ for cost savings • Eliminating the drain rock from behind the wall for cost savings • Increasing the depth of the pilings from 10’ to 12’
• Spacing the pilings at 8’ on center instead of 5’ on center Once the area has dried after the 2026-2027 rainy season, further assessment and mitigation will be required.
No further work beyond the initial site remediation has been able to be performed.
To fully stabilize, this site will require a geotechnical investigation and development of a plan if found to be necessary.
Staff is requesting the Council's approval to continue using the emergency contract with Diamond D Construction, LLC.
Recommended Action: Review the emergency action for the contract with Diamond D Construction, LLC for landslide mitigation work at the Pressure Zone 1 water storage tank and determine, by a four-fifths vote pursuant to Public Contract Code section 22050(c)(1), that emergency conditions continue to require immediate action without competitive bidding and that there is a need to continue the emergency action.

RESOLUTION NO. 2026-65XX
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UKIAH APPROVING PURSUANT TO PUBLIC CONTRACT CODE SECTION 22050 THE EMERGENCY PROCUREMENT WITHOUT
PUBLIC BIDDING OF CONSTRUCTION SERVICES TO REPAIR THE MUDSLIDE AT THE CITY WATER TANK (PZ1) IN THE WESTERN HILLS
WHEREAS:
1. During a winter storm event on about February 5, 2025, a portion of the hillside in the Western Hills slid out, settling against the City water tank referred to as PZ1, or Pressure Zone 1; and
2. Concerned about possible damage to the City water tank, both from this slide and thepossibility of future slides, City Staff determined that emergency repairs were required; and
3. With damage caused to public property; and
4. These emergency repairs were intended to be temporary measures to stabilize the hillside during the 2025-26 rainy season and to prevent further damage to public and private property; and
5. Further stabilization of the hillside is required to prevent recurrence of the slide and the need for future preventable slide repair work; and
6. Undertaking the competitive bidding process for this work would likely delay commencement of the stabilization work until the onset of the 2026-27 rainy season; and
7. The atmospheric river events predicted for the 2026-27 rainy season would likely require the stabilization work to pause due to the impossibility of working in such weather conditions and, furthermore, would likely result in slope failure and accompanying public health and safety hazards without the completed stabilization work; and
8. Under Public Contract Code Section 22050(a)(1) in the case of an emergency, the City, pursuant to a four-fifths vote of the City Council, may repair or replace a public facility and procure the necessary equipment, services, and supplies for those purposes, without giving notice for bids to let contracts; and
9. Under Public Contract Code Section 22050(a)(2) before the City Council takes such action, it must make a finding, based on substantial evidence set forth in the minutes of its meeting, that the emergency will not permit a delay resulting from a competitive solicitation for bids, and that the action is necessary to respond to the emergency.
NOW, THEREFORE, BE IT RESOLVED that:
1. Based on the foregoing recitals and information, the City Council finds that an emergency condition exists that must be repaired to avoid public health hazards that could result, if the repair work was put out for competitive bids in compliance with the procedures required by the Uniform Construction Cost Accounting Act.
Attachment 1
2. The City Council authorizes the procurement of construction services to repair the mudslide in the Western Hills and damaged public without providing notice inviting bids.
3. The City Council authorizes the City Procurement Officer to contract with Diamond D Construction to repair the mudslide in the Western Hills in the amount of $148,580.
4. Awarding a contract to repair damaged public and private property is categorically exempt from environmental review under the California Environmental Quality Act as a Class 2 categorical exemption, because it involves the replacement or reconstruction of existing utility systems and/or facilities involving negligible or no expansion of capacity. (14 CCR §15302.).
5. The emergency action taken by this resolution shall terminate upon the City Council's approval of a certificate of completion for the mudslide and public property repair work .

Subject: Geotechnical Engineering Consultation, City of Ukiah, Department of Water Resources
Dear Jared Walker:
This letter provides our professional geologic and geotechnical engineering opinions of a slope hazard mitigation proposed by the City of Ukiah (City) to protect a water tank.
Purpose
The City requested SHN observe a slope failure that occurred previously and provide an opinion on the remediation measure they are considering constructing to protect a water tank from future slope instabilities. SHN performed a site visit that was attended by members of the City, including a councilmember, and our state licensed Geotechnical Engineer and Engineering Geologist. During the site visit, the subject tank, surrounding area, and landslide were observed and the proposed mitigation measure was discussed. This letter provides our opinion on the proposed mitigation measure proposed by the City.
Background Information
We understand that a landslide occurred during the winter of 2025 on the hillside upslope and west of the two water tanks located west of Todd Grove Park and the Ukiah Valley Golf Course (coordinates
39.154234, -123.225518). We understand that the landslide resulted in a slope failure and deposition of landslide debris against and at the base of the northernmost tank. The debris has since been removed and we understand that City staff routinely monitors the hillside for signs of instability during significant rainfall events.

T:\Willits\2026\426073-City-of-Ukiah-GeotechConsult\PUBS\rpts\20261016-ConsultLTR.docx Observations
During the site visit we observed a steep cutbank that wraps around the southwest to the northwest side of the water tanks with slope inclinations ranging from 0.75:1 to 1.3:1, Horizontal:Vertical (H:V). The cut bank varied in height and was graded into the native slope toward the west. The native hillside had slope orientations ranging from 1.5:1 to 4:1 H:V, in areas surrounding the landslide scarp. The landslide scarp was located west/southwest of the tanks and was vacant of loose material and vegetation during our visit. Soil was observed at the top of the cutbank and beyond the landslide scarp above the bedrock, oriented at similar steep to moderately inclined slopes. Jute netting was observed extending from the top of the landslide scarp and cutbank partially down to the ground level of the water tank. We understand that smaller volumes of material continue to fall during heavy rain events. Resistant boulders up to 3 feet in diameter were visible amongst sheared claystone, mudstone, and sandstone in the exposed cutbank. Rock weathering was more prominent higher up in the cutbank and densities of the different rock types varied significantly.
During our visit we walked above the cutbank and landslide to observe conditions upslope. We observed a ditch that was dug parallel to the cutbank, and we understand that previously it drained to the southwest to the area above the landslide. We noticed that the ditch had been filled in and cut off from draining that direction and now has been redirected to drain away from the landslide and the cutbank. We understand that lateral tension cracks had been observed above the landslide scarp prior to placement of the jute netting; however, the scarps have subsequently filled in and were not visible during our visit.
Proposed Mitigation Measures
We understand that the City proposes to construct a soldier pile and wood lag retaining wall along the base of the slope to act as a debris catchment wall for material failing from the area of the slide and a portion of the cutbank. The wall is proposed to extend from the southwest side of the cutbank toward the north, which will cover the area of the landslide scarp and a portion of the cutbank on either side of the landslide. The City proposes to construct the wall as a mitigation measure to capture fallen material.
A soldier pile and wood lagging wall was chosen because material can be cleared from behind the wall by removing the wood lagging and replacing the wood lagging following debris removal. The specifications the City is proposing are as follows:
Height of wall 10 feet
Soldier pile embedment 10 feet
Length 120 feet
Size of H-Beams 10 inches – 65 lbs/ft
Spacing of H-beams 5 feet on center
Size of wood lag 4 inches x12 inches
Concrete strength 6 sack ~ 4,000 psi

Geotechnical Engineering Consultation, City of Ukiah, Dept Water Resources October 16, 2026
T:\Willits\2026\426073-City-of-Ukiah-GeotechConsult\PUBS\rpts\20261016-ConsultLTR.docx Conclusion
Based on our observations, it is our opinion that material will continue to fail due to the steepness of the cutbank and landslide scarp, the sheared bedrock material, inability of the soils above the rock to hold steeply oriented slope angles, and the erosion potential of a bare hillside and cutbank exposed to heavy rain events and runoff from upslope.
In our opinion, the proposed soldier pile and wood lagging wall is an appropriate option for capturing future debris that is expected to fall from the landslide and portions of the steep cutbank. The type of wall should allow for efficient clearing behind the wall and should protect the water tank from future shallow slope instabilities.
Erosion control measures (i.e. jute netting) and maintaining the ditch above the cutbank and landslide will assist in managing runoff and lowering the erosion potential.
Based on our experience with similar projects, we suggest a few modifications for the City’s consideration, as summarized in the table below. The wall length could potentially be reduced to approximately 72 feet to correspond with the estimated width of the landslide adjacent to the water tank. However, the final wall length should be sufficient to capture debris from the full extent of the slope area contributing material toward the tank. If falling debris extends beyond the estimated 72-foot width, the wall should be extended accordingly. Because the wall is intended to function as a debris catchment rather than a conventional retaining wall, backfill or gravel is not necessary behind the wall.
Another consideration would be to install a high-tensile steel wire mesh on the rear hillside upslope of the tanks. An example is Geobruggs TECCO G45/2 or Spider Drape S4-130 (see Appendix 1).

AGENDA SUMMARY REPORT
SUBJECT: Status Report on Emergency Contract with Wipf Construction for the Emergency Underground Infrastructure in Oak Manor Subdivision and Request for Authorization to Continue Work Under This Emergency Contract.
DEPARTMENT: Electric Utility PREPARED BY: Cindy Sauers, Electric Utility Director PRESENTER: Cindy Sauers, Electric Utility Director
ATTACHMENTS:
1. CC Reso 2026-69 - Approving Award of Emergency Contract with Wipf Construction Summary: Council will receive a status report on the contract with Wipf Contruction for the installation of underground infrastructure to replace failed conductor and retire transformers, restoring redundancy to circuits that feed Ukiah Valley Medical Center, Oak Manor Subdivision, and customers on Orchard Avenue; and consider approving continued work.
Background: On September 11, 2026, a failure of a direct-buried underground conductor on Pomo Drive caused a three-hour power outage affecting more than 50 customers in the Oak Manor Subdivision. Following the outage, Engineering staff determined that four of the five transformers serving the area should be replaced in accordance with the Utility's practice of retiring live-front equipment due to the safety risks associated with exposed primary bushings, conductors, and connections. Modern dead-front transformers provide enhanced safety and operational flexibility through integrated switching capabilities, improving both system resilience and worker safety. The four transformers identified for replacement were installed between 1972 and 1983.
On October 7, 2026, Council approved Resolution 2026-69 (Attachment 1) authorizing procurement, without public bidding, to install conduit and equipment boxes to return the system to normal operating conditions and redundancy for key areas in Ukiah. A budget amendment was also approved.
Public Contracting Code 22050(c)(1) requires that Council review this emergency action at each regularly scheduled meeting, until the action is terminated, to determine by a four-fifths vote whether the emergency conditions excusing competitive bidding continue.
Discussion: A contract with Wipf Construction was executed and work began on Monday, October 12, 2026.
Material has been ordered, potholing has been completed, and trenching was underway at the time of this report.
This work is critical to maintaining redundancy between the 202 and 304 circuits and ensuring continued service in the event of additional equipment or cable failures. The affected circuits serve Ukiah Valley Medical Center, Oak Manor Subdivision, and customers along Orchard Avenue, making restoration of this redundancy an operational priority. With a particularly wet winter forecast, timely completion of the work is important to minimize the risk of weather-related delays and ensure the system is more resilient before winter conditions make construction and emergency repairs more difficult.
Staff is requesting Council's approval to continue using the emergency contract with Wipf Construction.
Recommended Action: Review the emergency action for the contract with Wipf Construction for trenching, conduit installation, and equipment box installation to repair failed conductor, retire live front transformers, and restore circuit redundancy to key areas of Ukiah and determine, by a four-fifths vote pursuant to Public Contract Code section 22050(c)(1), that emergency conditions continue to require immediate action without competitive bidding and that there is a need to continue the emergency action.

AGENDA SUMMARY REPORT
SUBJECT: Consider Authorizing the City Manager to Negotiate and Execute an Agreement for Purchase and Sale of Easement and Associated Grant of Easement for Property Located at 122 Leslie Street (APN 002-282- 02 and 002-232-05) in the Amount of $132,320.00, Plus Associated Closing Costs.
DEPARTMENT: City Manager /
Admin PREPARED BY: Maya Simerson, Senior Management Analyst PRESENTER: Tim Eriksen, Public Works Director and Maya
Simerson, Senior Management Analyst
ATTACHMENTS:
1. 122 Leslie Street Purchase Agreement
2. 122 Leslie Street Easement draft
Summary: Council will consider authorizing the City Manager to negotiate and execute agreements necessary to acquire a public roadway and utility easement at 122 Leslie Street to support the construction of a new street connection between Clay Street and Peach Street.
Background: The City of Ukiah is planning improvements to the local street network, including the construction of a public roadway connection between Clay Street and Peach Street. The proposed connection requires the acquisition of property rights across privately-owned land located at 122 Leslie Street, identified in the draft Purchase Agreement (Attachment 1) as Mendocino County Assessor's Parcel Numbers 002-282-02 and 002-232-05.
The City has been working with the property owners to establish terms for the acquisition of an easement that would allow the City to construct, operate, maintain, and improve the public roadway and associated utility infrastructure while preserving the owners' ability to use and develop the remaining property.
The proposed acquisition consists of approximately 8,270 square feet and the proposed agreement establishes the framework for the acquisition, construction access, future maintenance, and coordination of improvements affecting the remaining private property.
Discussion: The proposed Agreement for Purchase and Sale of Easement provides for the City's acquisition of a permanent easement for public roadway and utility purposes. The accompanying Grant of Easement (Attachment 2) would authorize the City to construct, reconstruct, operate, inspect, repair, and maintain the roadway and related infrastructure, including sidewalks, drainage facilities, and public utilities.
The easement would also provide reasonable access to adjacent portions of the property as necessary to complete construction and future maintenance activities, while minimizing impacts on the property owners.
In addition to the purchase price, the proposed Agreement addresses several matters intended to accommodate the property owners' continued use and potential future development of the remaining parcels.
These include terms addressing:
• Future Development: Preservation of the property owners' ability to pursue future development of the remaining parcels consistent with applicable City zoning and development requirements. • Access and Frontage Improvements: Coordination of two driveway locations and construction of associated street, curb, gutter, sidewalk, and frontage improvements. • Utility Improvements: Replacement of an existing water service line, installation of an additional water service stub for potential future development, and coordination of utility locations to minimize conflicts with future property improvements.
• Property Restoration: Restoration of areas disturbed during construction to a clean, safe, and marketable condition.
• Boundary Line Adjustment: Provisions allowing the current property owners to request a future boundary line adjustment, with specified responsibilities assigned to the City. • Construction Schedule: A proposed substantial completion deadline of May 31, 2028, for improvements affecting the remaining property, subject to the agreement's provisions addressing circumstances beyond the City's reasonable control.
• The draft Agreement anticipates construction beginning in spring 2027, with major construction activities occurring through December 2027 and overall project completion anticipated in spring 2028.
The proposed easement acquisition has a negotiated purchase price of $132,320, based on approximately 8,270 square feet at $16 per square foot. The City would also be responsible for applicable escrow and title insurance costs and certain obligations related to utility installations, frontage improvements, property restoration, and a potential boundary line adjustment as provided in the Agreement; and therefore, Staff is requesting approval in the amount of $132,320.00, plus associated closing costs to be allocated from the General Fund reserve.
The California Environmental Quality Act (CEQA)
The City's Community Development Director is required to make, and has made, a determination as to the required level of environmental review required by the California Environmental Quality Act (CEQA). The Community Development Director has determined the negotiation and execution of an agreement to acquire a public roadway and utility easement at 122 Leslie Street to not be a "project" as defined under CEQA Guidelines, Article 19, Section 15060(c). However, even though it was determined to be a project under CEQA, for analysis purposes, the project is exempt from the provisions of CEQA for the reasons that follow.
Section 15061(b)(3) - General Rule "Common Sense" Exemption. It can be seen with certainty that the execution of a purchase agreement has no potential to result in a significant effect on the environment.
Negotiation and execution of the purchase agreement will not require any construction activities, change of land use or corresponding discretionary action(s), or lead to any direct or reasonably foreseeable indirect impacts to the environment. Further, execution of the purchase agreement does not commit the City to a particular future project or course(s) of action. Any future activities, once known, will be subject to applicable CEQA review and evaluation prior to approval.
Staff recommends that Council authorize the City Manager to negotiate and execute the Agreement for Purchase and Sale of Easement and associated Grant of Easement for the property located at 122 Leslie Street, subject to City Attorney approval as to form and consistency with the approved project budget.
Recommended Action: Authorize the City Manager to negotiate and execute an Agreement for Purchase and Sale of Easement and associated Grant of Easement with the property owners of 122 Leslie Street for the acquisition of approximately 8,270 square feet of easement area at a purchase price in the amount of $132,320.00, plus associated closing costs.

Agenda Item No: 14.d.
MEETING DATE/TIME: 10/21/2026
ITEM NO: 2026-1632
AGENDA SUMMARY REPORT
SUBJECT: Receive Updates on City Council Committee and Ad Hoc Assignments, and, if Necessary, Consider Modifications to Assignments and/or the Creation/Elimination of Ad Hoc(s).
DEPARTMENT: City Clerk PREPARED BY: Kristine Lawler, City Clerk PRESENTER: Mayor Sher and Various Councilmembers
ATTACHMENTS:
1. 2026 City Council Special Assignments & Ad Hocs
Summary: City Council members will provide reports and updates on their committee and ad hoc assignments. If necessary, the Council may consider modifications.
Background: City Council members are assigned to a number of committees and ad hoc activities. These assignments are included as Attachment 1.
Discussion: Previously, the City Council discussed having more time allocated to reporting on committee and ad hoc activities. Often, the Council Reports section of the regular agenda is rushed due to impending business (i.e., public hearings), and not enough time is afforded for reports beyond community activities.
In an effort to foster regular updates on committee and ad hoc assignments, this item is being placed on the agenda to provide the City Council members an expanded opportunity to report on assignments and modify assignments as necessary.
Recommended Action: Receive report(s). The Council will consider modifications to committee and ad hoc assignments along with the creation/elimination ad hoc(s).

2026 AD HOC COMMITTEES
*Note: Changing the composition of an existing ad-hoc among current councilmembers after work has begun presents potential Brown Act issues. Requests for fully filled ad-hocs are represented on the draft, but staff does not recommend changes except to fill vacated assignments. The current requests on the sheet for fully composed ad-hocs are primarily intended to convey interest in topics covered by these ad-hoc committees for possible future consideration of new assignments.
