(C5923), FOR FRANCHISE AGREEMENT CONSULTING SERVICES, TO EXTEND THE EXPIRATION OF THE AGREEMENT TO DECEMBER 31, 2024 AND TO INCREASE THE AGREEMENT AMOUNT BY $85,000, FOR A TOTAL NOT-TO-EXCEED AMOUNT OF $135,000, AND

AUTHORIZING THE CITY MANAGER TO EXECUTE THE AMENDMENT IN A FORM APPROVED

BY THE CITYATTORNEY
Staff recommends that the City Council provide policy direction to proceed with a competitive procurement, otherwise known as issuance of a Request for Proposals (RFP) for landfill, compost, and recycle collection services commencing July 1, 2025 which is the term expirations of the City’s current Franchise Agreements for Landfill, Compost, and Recycle collection services with Republic Services (Republic) and Tri-City Economic Development Corporation (Tri-CED).

Additionally, staff recommends that the City Counciladopt a resolution approving the First Amendment to the Consulting Services Agreement with R3 Consulting Group, Inc. (C5923) for Franchise Agreement Consulting Services, extending the expiration of said agreement to December 31, 2024 and increasing the agreement amount by $85,000 for a total not-to-exceed amount of $135,000.

STRATEGIC PLAN ALIGNMENT
While not directly mentioned as a strategy, this report is in alignment with the overarching Goal D: Environmental Sustainability and Infrastructure. Annually reviewing the City’s collection service agreements and rates enables the City to meet the State’s requirements and waste reduction targets.

BACKGROUND
The City executed eight (8) and ten (10) year extensions to the Franchise Agreements for Landfill, Compost and Recycle collection services with Republic Services and Tri-City Economic Development Corporation (Tri-CED) in 2017 and 2015, respectively. Both Franchise Agreements provide a term which expires on June 30, 2025. From November 2022 through May 2023 staff participated in discussions with both companies to determine the terms, conditions, and expense to extend the current agreements for an additional ten (10) year term. The current Franchise Agreements include provisions which allow the City to extend these agreements for up to five (5) years.

DISCUSSION
With the pending expiration of the current Franchise Agreements with Republic and Tri-CED on June 30, 2025, the City is at a critical decision point regarding the future of its landfill, compost, and recycle collection services.

In compliance with Short-Lived Climate Pollutants Act of 2016 (SB 1383), on October 12, 2021, the City adopted an Ordinance included with Chapter 7.24 of the Union City Municipal Code, Organics Reduction and Recycling, to opt in to the Alameda County Waste Management Authority Ordinance 2021-01: Organics Reduction and Recycling Ordinance (ORRO). However, the City is currently noncompliant with various aspects of the SB 1383 which requires increased emphasis on compost (organic materials) recovery and recycling. The primary enforcement of SB 1383 by CalRecycle is anticipated to commence in 2024 depending on the status of the City’s compliance. Thus it City Council/RSA Agenda 883 Tuesday, June 13, 2023
primary enforcement of SB 1383 by CalRecycle is anticipated to commence in 2024 depending on the status of the City’s compliance. Thus it would be in the City’s best interest to ensure proper planning has been undertaken to deliver compliance in these deficient areas. The primary areas of non-compliance are related to:

Ensuring allcommercialand residentialcustomers are provided compost collection service.

Use of color-compliant containers citywide – i.e., recycling carts and bins must be blue, but are currently gray (residential carts) and white (commercial bins); landfillcarts and bins must be black, but are currently blue (residentialcarts and commercial bins).

Ensuring the compost materials collected from residential and commercial customers is processed appropriately via long-term contract(s).

These areas of deficiency persist primarily due to the associated capital expense of implanting new compost service to currently undeserved customers which requires purchase and deployment of an additionalcollection vehicle and collection containers, and purchase and deployment of new containers for all residential and commercial customers. Specifically, the relatively short duration of the current Franchise Agreements (i.e., two (2) years left for these agreements) is not conducive to cost-effectively amortizing these additional capital expenses over a long-term such as ten (10) years which is standard practice to mitigate the rate impact on ratepayers.

The City has three (3) primary options regarding the Franchise Agreements, as follows:

Option 1: Extend the current Franchise Agreements for up to five (5) years.

The current Franchise Agreements include provisions which enable the City, at its sole discretion, to extend the term of these agreements in one (1) year increments for a maximum period of five (5) years. Both the Republic Services and Tri-CED Franchise Agreements include these provisions.

Option 2: Negotiate extension or new contracts for more than five (5) years.

The current Franchise Agreements include provisions which are conducive for the City and contractors to negotiate long-term extensions which would result in amending the current agreements to include the new terms, conditions, and costs negotiated. In anticipation of the current decision point faced by the City, specifically the two (2) year mark prior to the expiration of the Franchise Agreements, staff facilitated contract extension discussions with both companies over the last several months. Commencing in November 2022 and concluding in May 2023, these negotiation discussions were conducted with the goal of determining both of the City’s current contractors’ terms, conditions, and expense to extend the current Franchise Agreements for an additional ten (10) year term.

Option 3: Proceed with a competitive procurement orissuance of a request for proposals (RFP).

A competitive procurement RFP process should ideally be concluded with new long-term Franchise Agreement(s) in place within one (1) year of the expiration of the current Franchise Agreements (by July 1, 2024). This will enable the successful proposer to acquire the equipment, facilities, and staff necessary to timely deliver the required services commencing on July 1, 2025. The RFP process itself requires the following tasks and decision points which will take approximately eight (8) to twelve (12) months, as follows:
2-3 months:

Preparation of RFP documents, cost proposal forms, and draft Franchise Agreement City Councilapproval to release the RFP
2-3 months: Mandatory pre-proposal meeting with prospective contractors Contractor review of RFP, preparation, and submittal of proposal(s) 2-3 months:

City review and evaluation of proposals
Contractor selection
City Councilapproval of selected contractor
2-3 months:

Negotiations and development of final Franchise Agreement(s) City Councilapproval of Franchise Agreement(s)
Current Rates and Services
The City’s current combined rate for the landfill, compost, and recycle collection services for single-family residentialcustomers is the second City Council/RSA Agenda 884 Tuesday, June 13, 2023
The City’s current combined rate for the landfill, compost, and recycle collection services for single-family residentialcustomers is the second highest in Alameda County (Attachment 1 - Alameda County Landfill, Compost, & Recycle Rates). The rates noted in this table provide a general snapshot of the differences in rates charged across the County, but may not be directly comparable due to the complexities of the components of the rates and the services provided. For example, the City of Piedmont is the only higher rate, but these residents receive backyard service of their carts, not curbside. A notable disparity, however, is the approximate 25% and 36% lower rates for Fremont and Newark customers, respectively. This is notable because these cities/customers, along with Union City, are also primarily served by Republic Services operating out of Fremont.

Analysis
The following factors are the primary considerations by staff in recommending that the City proceed with a competitive procurement or issuance of a RFP for future Landfill, Compost, and Recycle Collection Services in lieu of proceeding with the other alternative options:

Scope and cost of the services included in current Franchise Agreements The current status of the City’s SB 1383 compliance
The need for expanded and/or new services to ensure compliance and the associated expenses The limited duration of the current Franchise Agreements The negotiated cost basis for long-term extensions of the current Franchise Agreements with both Republic Services and Tri-CED The rates charged to other customers in Alameda County for similar services The City having not pursued a competitive procurement RFP process in 19 years (July 2004) All of the above factors combined result in staff’s recommendation to proceed with a competitive procurement RFP commencing in early FY 2023-2024 in order to ensure that new long-term Franchise Agreement(s) are in place one (1) year in advance of the expiration of the current Franchise Agreement(s). By proceeding with a RFP, it is staff’s goal to ensure that the future contracts provide the variety of needed services with pricing that offers value to ratepayers that cannot be achieved by pursuing the alternative options.

Should City Council provide direction to staff to proceed with a competitive procurement or issuance of a RFP, staff would further seek City Council’s adoption of a resolution approving the First Amendment to the Consulting Services Agreement with R3 Consulting Group, Inc. (C5923), extending the expiration of said agreement to December 31, 2024 and increasing the agreement amount by $85,000 for a total not-toexceed amount of $135,000. The amendment would be for the purpose of developing the RFP documents (RFP, cost proposal forms, draft franchise agreement), providing process compliance and technical assistance with submitted proposals, and assisting the City with facilitating allaspects of the competitive procurement RFP process.

If City Council instead chooses to not provide direction to staff to proceed with a competitive procurement or issuance of a RFP, the other alternative actions for City Council to consider include:

1. Provide staff direction to commence planning efforts to proceed with one (1) or more one (1) year extensions to the current Franchise Agreements with Republic Services and Tri-CED; or

2. Provide staff direction to continue negotiations on ten (10) year extensions to the current Franchise Agreements with Republic Services and Tri-CED and return to City Council with contract amendments for consideration and approval.

FISCAL IMPACT
The City Manager’s Office Recycling Program has funds included in the FY 2022-2023 Budget under Professional/Consulting (Account No. 2030-1201-20021-54110) for the consultant’s work. There is no impact to the General Fund.

RECOMMENDATION
Staff recommends that the City Council:

1. Provide direction to staff to proceed with a competitive procurement or issuance of a Request for Proposals (RFP) for future Landfill, Compost, and Recycle Collection Services commencing July 1, 2025.

2. Adopt the attached resolution approving the First Amendment to the Consulting Services Agreement with R3 Consulting Group, Inc. (C5923), for Franchise Agreement Consulting Services, to extend the expiration of the Agreement to December 31, 2024 and to increase the Agreement amount by $85,000, for a total not-to-exceed amount of $135,000, and authorizing the City Manager to execute the Agreement in a form approved by the City Attorney.

SUBJECT: Solid Waste Procurement Proposal (Amendment 1) Dear Mr. Feldman,
R3 Consulting Group, Inc. (R3) is pleased to submit this proposal to the City of Union City (City) to assist the City with the procurement of new garbage, recyclables and organics collection and processing services.

R3 proposes to conduct the following activities for the City:
》 Development of a new solid waste franchise agreement. 》 Development of a complete Request for Proposals Package. 》 Conduct an evaluation of proposals.
》 Assist in negotiations of a new agreement with the selected firms(s). 》 Provide support to City staff by preparing memos, summary reports, and PowerPoint presentations and supporting City staff in meetings with executive management and the City Council.

Work via this engagement will commence in June 2023 and conclude by December 31, 2024. R3 proposes to complete this work for $85,000. Our project budget includes labor and project expenses for the work shown in the following pages. We would be happy to discuss changes to our scope or budget as may be needed to align with the City’s needs.

Project Team
Scott Hanin will serve as Project Lead and primary point of contact. He will be directly supported by Rose Radford, Garth Schultz, and Jordan Muratsuchi. They may be assisted by less senior staff in order to be more cost effective. Scott, Rose and/or Garth will attend all key meetings and perform a significant portion of the work. Rose recently assisted the City of Newark in the development of their new solid waste agreement.

Thank you for this opportunity to serve the City - should you have any questions regarding this proposal or need any additional information, please don’t hesitate to reach out directly.

Sincerely,

1. SCOPE OF WORK
City of Union City | Solid Waste Procurement Proposal 1 Task 1 Project Management and Presentations
Upon City authorization to proceed, R3 will facilitate a project kick-off meeting with City staff. The meeting will provide an opportunity to review the project objectives, project approach, schedule, and data availability. The kick-off meeting will serve to set the expectations, project responsibilities, milestones and timeline for the Scope of Work and establish the best means for ongoing communication and collaboration between R3 and the City for the duration of this engagement.

At this meeting or sooner, R3 will develop an information request from the City or its current hauler to ensure as much accurate and current information is shared with prospective proposers.

Note: To provide the most cost-effective services, we have budgeted for some meetings to be virtual.

Task 2 Develop a New Solid Waste Franchise Agreement
Using our experience bringing California municipalities into compliance with CalRecycle requirements, and with our understanding of recent state legislation, we will advise the City on the latest solid waste trends as it pertains to both franchised services and the Agreement development. This information will be discussed during our kick-off meeting, as well as in follow-up correspondence with the City. Because we are currently developing similar agreements for several clients, we can include the current industry standards and best practices for items such as performance bonds, indemnification, insurance, liquidated damages and reporting and record keeping requirements. The new Agreement will also include detailed performance requirements that establish minimum service standards for inclusion in the Agreement that are both quantifiable and easily measured to verify compliance.

Task 3 Prepare Request for Proposal (RFP) Package
Task 3.1 Develop RFP Package
R3 will develop an RFP package – this includes a draft RFP, the draft Solid Waste Agreement and cost forms for proposers to complete and the evaluation criteria and methodology. The draft RFP will specify minimum requirements and qualifications and will require proposers to submit work plans that specify how they will transition to new services, achieve diversion requirements, implement customer service programs, and promote public education activities. The RFP package will include waste data (tonnage and current account data) previously collected.

Separate sections of the RFP may include, for example:
• Section A: Introduction to the RFP, Instructions, Schedule, and Procurement Goals and Objectives.
• Section B: Available background information, demographic, service account data (tonnage, number of accounts, historical operating information, and current services. • Section C: Overview of requested service requirements. • Section D: Response format and submittal process, qualification requirements, required work plans, and proposed compensation and rates including:
o Transition Plan: detailing the plans and schedule of events leading up to the provision of new services. (procurement of collection and support vehicles, equipment and rolling stock, procurement and deployment of containers, employee training, customer relationship management and billing data, routing and route auditing, etc.) o Operations Plan: presenting specific collection and processing programs to be implemented in the City including vehicles, containers, route operations, facilities, safety, staffing, training, and reporting.
o Customer Service Plan: detailing specifically customer service operations.

City Council/RSA Agenda 891 Tuesday, June 13, 2023
City of Union City | Solid Waste Procurement Proposal 2 o Diversion Plan: describing the diversion and sustainability programs associated with providing the requested services.
o Education and Outreach Plan: specifying methods and public education materials that will be used at program start-up and throughout the agreement term and any extensions. o Financial Services Plan and Litigation Disclosure: access to capital, current financial statements, balance sheet, profit and loss statement and debt. Description of past and current litigation.
o Proposal Cost and Service Forms: excel worksheets for proposers to provide their proposed customer rates and supporting cost data.
• Section E: Evaluation Selection Criteria and Evaluation Process. • Section F: RFP Conditions, Communication Protocol for Contractors and the City, and Proposal Cost and Service Forms.
• Attachment 1: Draft Solid Waste Agreement.

Task 3.2 Finalize and Issue RFP and Agreement
Following the City staff review of the RFP package, R3 will be available to meet with City staff and the City Attorney to address comments. Based on City direction, R3 will finalize the RFP package for approval and publication.

Task 3.3 Conduct Mandatory Pre-Proposal Meeting and Prepare RFP R3 will assist the City with conducting a mandatory pre-proposal meeting with prospective proposers. The pre-proposal meeting will provide the opportunity for the City to review the RFP with prospective proposers and answer questions as appropriate. We will prepare written responses to questions raised before and during the pre-proposal meeting for submittal to all parties. In addition, R3 will prepare addenda to the RFP as necessary.

Task 4 Evaluate Proposals
R3 will assist with the evaluation of proposals received in response to the RFP. The evaluation will include, but not be limited to, conducting an initial “pass-fail” checklist against RFP minimum requirements, and evaluating the proposers’ qualifications, references, processing and disposal facilities, approach to meeting diversion requirements, customer rates (prices), collection methods, customer service programs, financial statements, management expertise, transition experience and work plans.

After the initial evaluation is completed, we will prepare any written requests for clarification to the proposers, as necessary. In the event a proposal does not meet the minimum requirements of the RFP, we will recommend that the proposal be disqualified as non-compliant with the RFP requirements.

R3’s role in the evaluation process will also include facilitating the evaluation meetings and the proposer interviews and coordinating facility site visits. This will include preparing City staff in advance with questions to be asked to evaluate the information provided during interviews and site visits.

Separate sections of the evaluation analysis may include, for example:
• Executive Summary: Introducing and summarizing the evaluation analysis and the recommendation.
• Summary of RFP Responses
• Reference Checks
• Financial Capability
City Council/RSA Agenda 892 Tuesday, June 13, 2023
City of Union City | Solid Waste Procurement Proposal 3 • Technical Proposal: Work plans including Transition Plan and route design, operations and performance requirements, public safety plan, customer service plan, diversion and sustainability programs, education and outreach plan, and recordkeeping and data management plan. • Customer Rate and Cost Proposals: Consistent with the proposed activities, proposed equipment, requested services, and work plans.
• Enhanced Proposal Terms or exceptions.

Following drafting the evaluation analysis, R3 will facilitate meetings with City staff, as directed by the City. Meetings will include (1) a summary of the proposals received, including any proposed enhancements; and (2) the results of the evaluation process.

Additional aspects of the evaluation process will include:
• Site visit questions for review and approval by City staff if needed. • Prepare detailed evaluation report of recommended proposers. • Meeting with City staff to discuss evaluation criteria and select proposers to be selected for interviews;
• Coordinate interviews with proposers, including scheduling and development of questions in consultation with City staff.
• Meetings to provide (1) a summary of the proposals received, including any proposed enhancements; and (2) the results of the evaluation process.

Task 5 Negotiate with Top Ranked Proposer(s) and Present Results
Task 5.1 Agreement Negotiations
Based on direction from the City, R3 will confirm and clarify deal points, and lead Agreement negotiations with the top ranked proposer(s). Negotiations will focus on clarifying the proposer’s services and cost proposal and incorporating any optional services as may be selected by City staff. This Task will include meetings with the City beforehand to confirm our approach for the negotiations. Our proposal assumes up to four (4) negotiation meetings with top ranked proposers, including pre- and post-discussions with City staff to confirm approach and recap as necessary.

Task 5.2 Finalize New Agreement and Present Recommendations to City R3 will present the results of the evaluation process to the City, including recommendations made by the evaluation team. This will include a summary of the proposal process, proposals received, the evaluation process, and the results and recommendations for award of the Agreement.

Based on direction from City Council, we will incorporate any program changes or options selected by City Council and finalize the Agreement for finalist proposer to sign. This will include incorporating changes to the draft agreement through the issuance of addenda by the City, any final program options selected during the selection process, proposed rates, final work plans, exhibits, etc.

My name is Annette Iwamoto, I was a teacher in New Haven for 36 years. Over the years I had the opportunity to work with Tri-Ced in a variety of ways. Richard Valle was a true friend of our schools and our city. His commitment to protecting the environment was evident in his support of waste reduction and recycling programs throughout our schools and city. The impact of education is enduring, especially when students make connections between what they are learning at school, and practices they then put in place at home. If we are serious about improving this world for future generations, there is a sensible choice that can be made here in Union City. If Tri-Ced is the recycling provider for both the city and the school district, there will be a coordinated effort. Students will be learning correct protocols at school, then putting the skills into practice at home. Our schools and city will be a model “Green City.” Richard Valle was a giver. He made sure our schools had the resources needed for success. He opened up Tri-Ced to visits from school groups. He founded and organized “Science in the Park” to allow families in the community to experience science fun. He offered employment for people who just needed to be given a chance. Tri-Ced continues to be a model company here in Union City. The best way to honor this positive force is by contracting Tri-Ced for all Union City recycling needs.

Thank You.

Agenda # 7A
Tri-CED Community Recycling has been a pivotal entity in Union City since 1980. Unlike many other recycling companies, Tri-CED focuses on not just being environmental stewards to the Earth, but also offers opportunities to underserved youth. How many large waste management companies can say the same? These opportunities are given to youth and even adults struggling to get back on their feet after difficult situations. At times they need more than once chance and an extra guiding hand. Can a large solid waste company do the same? Recent college graduates also find an opportunity to learn many aspects of the recycling industry at Tri-CED due to the family oriented work culture and values. Not every graduate can say they have work experience in their specific field after graduating. Many have to keep their jobs that pays their tuition and bills and have to overlook unpaid internships in order to survive, but at Tri-CED Recycling ,these opportunities are easily presented and those who have gone through those doors are eternally grateful for the guidance in their career path. In addition, many community neighbors have come to rely on Tri-CED for all the community events, recycling center and e-waste drop off. Taking something that the community has grown to love and trust will not benefit anyone but the large waste management companies.

Tri-CED needs a chance to prove they can increase their diversion rates if their focus is geared to qualitative community-based outreach. Hitting a large amount of accounts, without the caring guiding hand that many businesses and residents need, is not going to move the needle. The same approach has been mandated on TriCED for years without much success and it is now time to let Tri-CED Recycling do what it does best: taking care of their community with heart, not just numbers, just like Richard Valle intended. --

Good evening,
Thank you for taking my comment. I am Dr. Arlando Smith. I am former superintendent of New Haven Unified School District. Post-retirement I was asked by the late TriCed CEO and Alameda County Supervisor Richard Valle to assist with developing a transition plan for TriCed. To his credit Richard did not divulge to me his illness. Thus, I was under the assumption that the plan was being created for his retirement. In development of the Transition Plan I interviewed members of the Tri Ced board, Tri Ced’s Management Team, employees, and  drivers. I also held a focus group and researched other companies similar to Tri-Ced. In the waste management and recycling space Tri-Ced is unique for several reasons. I am currently out of the area and cannot access all of the findings. Here are a few.

Tri-Ced may cost slightly more to operate, the cost differentials and savings are minimal, almost negligible. Those costs are recuperated in the devotion, loyalty, and work ethic of its  employees.

Employees of Tri-Ced are committed to maintaining the family culture developed over several years.

There is a deep sense of safety and security, not only for the employee but a sense that their families will be taken care.

Few companies in this space provide second chances for employees deemed “hard to hire.” There was, and I imagine remains, near unanimous agreement to retain this element of the organization. In my research no other company can provide this.

A segment of t.he community relies on Tri-Ced. Tri Ced gives them a sense of comfort. This is not an exact quote but one employee commented on their feeling of love that emanates from Tri Ced and their willingness to walk a far distance for the intangibles, adding there have been other opportunities presented they didn’t accept due to this.

Left me conclude by adding I ask you to look beyond dollars and cents. There is the human factor at play that will not be replicated elsewhere. This is not to cast aspersions on any other company, only to highlight the unique spirit of Tri Ced. I urge you not to chase dollars, yet to keep your eyes on the donut rather than the whole. Yes, trash and waste will continue to be picked up. What will be lost if Tri Ced goes away be be a great intrinsic, emotional loss to this community.

Thank you again for your time.

Honorable Council Members,
I am providing written Public Comment to request that the City of Union City continue to work with Tri-CED Corporation for the City’s recycling services beyond the current agreement.

Tri-CED has a strong history of successfully engaging with and supporting the Union City community. As the former Executive Director of the Union City Family Center, we frequently partnered with Tri-CED on community benefit projects, youth educational activities, and employment placement for parents needing work, to name a few.

It is my belief that contracting with an organization that has a track record of investing in the community should be a high priority, and this is one of the many attributes that sets both Union City and Tri-CED apart. Tri-CED is not just a contractor, they are a partner willing to invest in making Union City a better place for its citizens.

Regards,
Nancy George

Dear Mayor Carol Dutra-Vernaci and Union City City
Council Members,
I'm sending this email to you in support of Tri-Ced
remaining our Solid Waste and Recycling Provider. TriCed has grown from a small company to California's largest non-profit community recycling. Tri-Ced has not only provided excellent solid waste collection and
recycling services, but also of great importance is the hiring of young people who were struggling to find an
employer who would hire them because they had a
record of incarceration. Richard Valle found value in
these young people, found they were worth saving, and
worth giving them a future. Many of these young people
have gone on to find high paying construction jobs and
many have gone on to finish high school and continue
their education in college.

I have been privileged to have seen the change in
several of these young people, to witness their
transformation from a formerly incarcerated young man
to now working towards a Masters Degree. Again,
Richard Valle and Tri-Ced saw the value in investing in these young people, but also gave them an opportunity
to learn a trade.

City Council/RSA Agenda 908 Tuesday, June 13, 2023
We, as a community, need to continue giving our young
people a way to transform their lives, to see themselves as someone who matters, someone who can have a
bright future. We need to continue supporting the work
started by our late friend Richard Valle. We also need to continue supporting the many other programs he started
in Union City.
