Catherine Nubla, Economic Development Administrative Analyst SUBJECT: ADOPT A RESOLUTION APPROVING A DESIGN PROFESSIONAL SERVICES AGREEMENT WITH GARAVAGLIA ARCHITECTURE, INC. FOR ARCHITECTURAL DESIGN SERVICES IN THE AMOUNT OF $219,360 FOR THE ADMIRAL'S MANSION / QUARTERS "A" IMPROVEMENT PROJECT, PROJECT NO. MINPS, AND
AUTHORIZING THE CITY MANAGER TO EXECUTE THE SAME
RECOMMENDATION
Adopt a resolution approving a Design Professional Services Agreement with Garavaglia Architecture, Inc. for architectural design services in the amount of $219,360 for the Admiral’s Mansion / Quarters "A" Improvement Project, Project No. MINPS, and authorizing the City Manager to execute the same.
REASONS FOR RECOMMENDATION
Staff advertised a Request for Proposals (RFP) to provide architectural design services for improvements to the Quarters "A" (Admiral’s Mansion) on Mare Island. Based on the criteria used to review the qualifications of the four proposals received, Garavaglia Architecture, Inc. is deemed the highest qualified firm to perform the required scope of work. Thus, staff recommend approving a Design Professional Services Agreement with Garavaglia Architecture, Inc.
BACKGROUND AND DISCUSSION
Site History
Quarters A, which is also known as the Admiral’s Mansion, is located at 1065 Walnut Avenue on Mare Island and was built along with several officers’ quarters as part of Officers’ Row soon after the Mare Island Naval Shipyard was established in 1854. A major earthquake in 1898 badly damaged the building which was subsequently rebuilt in 1900. The current facility is a three-story wood light frame structure that rests on the original unreinforced brick masonry and stone foundation.
Following the closure of the Mare Island Museum (Building 46), due to extensive anticipated structural and rehabilitation costs ($20M+), the City of Vallejo (City) has been working with the Mare Island Historic Parks Foundation (MIHPF) on creating a Visitor’s Center at the Quarters A site, one of the properties MIHPF leases from the City. Both parties sought grant funding for improvements to this site.
City NPS Grant Funds
Due to the above-referenced foundation concerns, the City requested from ZFA Structural Engineering, to provide a Building Performance and Retrofit Report to help assess preliminary conditions of the building. The City received the report on September 2021 for Quarters A. Based on the assessment, ZFA determined that the property needed extensive structural upgrades and improvements and identified repairs needed to ensure the structure meets the provisions and Life-Safety intent of the California Historic Building Code (CHBC). To fund these improvements, the City submitted a grant application to the National Park Service (NPS) in December 2022 and was selected by NPS in July 2023 for a $750,000 grant that requires a local match of 50% to be provided by the City, which the City agreed to. This grant term is from October 1,2023 through

Mare Island Historic Park Foundation (MIHPF) Housing and Urban Development (HUD) Grant Funds MIHPF submitted and was then awarded in March 2023 a $1.2M federal grant for restoration work on the Mare Island Chapel and the Quarters A site as part of the Economic Development Initiative Community Project Funding grant program authorized by the US Department of Housing and Urban Development (HUD) Subcommittee. This HUD project is focused on creating American Disabilities Act (ADA) access and compliance at the Quarters A and Chapel sites. To facilitate this restoration work, MIHPF designated the City as the subrecipient of the grant and executed a Subrecipient Agreement between City and MIHPF that was approved by Council on October 24, 2023. Under the terms of this agreement the City is carrying out the project including managing the architect, conducting the environmental review and overseeing the construction of the project. Through a separate RFP process the City selected Garavaglia Architecture Inc. on this HUD project and awarded a contract to Garavaglia Architecture, Inc. in the amount of $252,745 on November 13, 2023.
NPS Grant Project
Funding for the improvements of Quarters “A” is provided by a matching grant between the National Parks Service (NPS) and the City of Vallejo. The total project budget including hard and soft costs is $1,500,000. The Save America’s Treasures Grant program and the Historic Preservation Fund provides preservation and conservation assistance to nationally significant historic properties and collections like Quarters “A”. The grant program is administered by the National Park Service (NPS) in partnership with the National Endowment for the Arts (NEA), the National Endowment for the Humanities (NEH), and the Institute of Museum and Library Services (IMLS).
Project Architect RFP
On December 18, 2024, a Request for Proposals (RFP) was advertised for architectural design & engineering services to provide preliminary plans, construction documents, cost estimates, and a schedule for improvements to the Quarters A Mansion on Mare Island.
The proposed scope of work generally includes, but is not limited to:
1. Determining the type of existing foundation and the improvements necessary to ensure safety in use of the building for public assembly or commercial occupancy.
2. Leveling of building from areas of settlement to allow for structural interventions and repairs to finishes.
3. Removal of existing deteriorated plaster and wood finishes to be replaced by new structural sheathing covered with new matching finishes.
4. Installation of strapping and blocking within floor diaphragms to accommodate revised shear wall layout and allow access to floor framing.
5. Exploratory selective demolition to determine appropriate diaphragm nailing and sheathing.
6. Installation of new hold downs from shear walls to transfer load to brick basement walls and floor framing.
7. Selective removal and replacement of existing girders with new framing to support new shear walls, and installation of new framing to be added to support girders.
8. Recommendations by the selected consultant on amending or adding to the above list.
9. Deliverables shall include 30%, 60%, 90%, and final PS&E.

On January 23, 2025, a Mandatory Site Visit was held at the Quarters A Mansion. Interested firms were able to take a tour of the mansion and asked questions relating to the structure and the proposed scope of work.
The due date for submitting RFP responses was March 4, 2025. Four (4) firms submitted proposals, and all four (4) firms were interviewed on April 22, 2025. The firms included Garavaglia Architecture, Inc., Page & Turnbull, Tef Design and John Howland Architect/ZFA Structural Engineers.
Below is the list of responding firms and the rating final scores. The criteria used to review the proposals consisted of quality of the submitted written proposal, interviews, budget, references, subconsultants, and evaluation of prior experience with similar projects. The process used is consistent with the federal procurement guidelines found in the Historic Preservation Fund Grants Manual (Chapter 17 – Procurement Standards).

Based on the scoring of the various criteria used to numerically score the proposers Tef Design had the highest score (185) with Garavaglia Architecture, Inc. ranking a close second, (181). The scoring difference was marginal and based on staff’s deliberation it was ultimately determined that Garavaglia Architecture, Inc. would be the most advantageous to perform the scope of work for the project. The federal procurement guidelines allow for an award to be made to the responsible offeror whose proposal will be most advantageous to the procuring party, price and other factors considered. Thus, the federal guidelines allow staff to use discretion on criteria through the evaluation of the firm’s qualification for the selection of the highest ranking and considered most advantageous for the procuring party, provided the decision is justified.
Garavaglia has successfully prepared preliminary plans, cost estimates and support for the HUD project and is therefore familiar with Quarters A, the site of the NPS Grant project. For this reason, the City’s RFP evaluation team identified Garavaglia Architecture, Inc. as the top-ranked architectural firm that was the most qualified firm to provide services for this project. Additionally, NPS requires approving the qualifications of the selected firm, prior to award of the contract. Staff sent the required documents to NPS for review of the procurement and of Garavaglia Architecture, Inc.’s qualification. NPS determined that the procurement requirements were

followed and that Garavaglia Architecture, Inc. is qualified to be awarded a contract for this project. Staff feel that based on the success of Garavaglia Architecture, Inc.’s current work on the Chapel and Quarters A HUD funded project, that it is the firm that would be the most advantageous for the NPS Quarters A project.
Staff recommends approval of a Design Professional Services Agreement with Garavaglia Architecture, Inc of San Francisco, California, in the amount of $219,360. Design is scheduled to start following the execution of the agreement.

Funding for the improvements to Quarters "A" is provided by a matching grant in the amount of $750,000 between the National Parks Service (NPS) and the City of Vallejo. The total project budget, including hard and soft costs, is $1,500,000. The City is required to provide a dollar-for-dollar match of $750,000 or 50% of the costs with funds from the General Fund. This budget was approved by City Council during the FY 2023-24 Mid-Year Budget process on February 27, 2024.
ENVIRONMENTAL REVIEW
The project qualifies for an exemption under the California Environmental Quality Act ("CEQA") Guidelines Section 15331: Class 31—Historical resource restoration/rehabilitation. Class 31 consists of projects limited to maintenance, repair, stabilization, rehabilitation, restoration, preservation, conservation, or reconstruction of historical resources in a manner consistent with the Secretary of the Interior’s Standards for the Treatment of Historic Properties with Guidelines for Preserving, Rehabilitation, Restoring, and Reconstructing Historic Buildings. The project also qualifies as a categorically excluded activity under the National Environmental Policy Act ("NEPA") pursuant to 24 CFR 58.35(a) because it entails removing architectural barriers that restrict the mobility and accessibility to the elderly and handicapped persons and does not expand the size or capacity of the structures by more than 20 percent.

2. Payment. City shall pay Design Professional for services rendered pursuant to this Agreement at the times and in the manner set forth in Exhibit B, entitled “Compensation.” The payments specified in Exhibit B shall be the only payments to be made to Design Professional for services rendered pursuant to this Agreement.
3. Facilities and Equipment. Design Professional shall, at its sole cost and expense, furnish all facilities and equipment which may be required for furnishing services pursuant to this Agreement.
4. Indemnification. To the fullest extent permitted by law, Design Professional shall hold harmless, defend (with independent counsel approved by City) and indemnify City and its officers, employees and volunteers from and against all claims, damages, losses, penalties, fines and judgments and expenses and defense costs, including but not limited to attorney fees, court costs, associated investigation and administrative expenses, regardless of the nature or type arising out of, or pertaining to, or relating to the negligence, recklessness, or willful misconduct of the Design Professional, or the acts or omissions of an employee, agent or subcontractor of the Design Professional, except where caused by the active negligence, sole negligence, or willful misconduct of City. In no event shall the cost to defend charged to the design professional exceed the design professional’s proportionate percentage of fault. However, notwithstanding the previous sentence, in the event one or more defendants is unable to pay its share of defense costs due to bankruptcy or dissolution of the business, the design professional shall meet and confer with other parties regarding unpaid defense costs. The provisions of this section pertaining to the duty and cost to defend shall not apply to either of the following: 1) Any contract for design professional services, or amendments thereto, where a project-specific general liability policy insures all project participants for general liability exposures on a primary basis and also covers all design professionals for their legal liability arising out of their professional services on a primary basis, 2) A design professional who is a party

The provisions of this Section are not limited by the insurance provisions of this Agreement.
The provisions of this section shall survive the completion of the services, expiration or termination of this Agreement.
5. Insurance Requirements. Design Professional agrees to comply with all of the Insurance Requirements set forth in Exhibit C, entitled “Insurance Requirements for Design Professional.” Failure to maintain required insurance at all times shall constitute a default and material breach.

Design Professional shall comply with the City of Vallejo Conflict of Interest Code and not enter into any contract or agreement during the performance of this Agreement which will create a conflict of interest with its duties to City under this Agreement. In the event of a change in Design Professional’s family, business, real property, or financial interests occurs during the term of this Agreement that creates an actual or potential conflict of interest, then Design Professional shall disclose such conflict in writing to City. Every individual who performs services on behalf of Design Professional pursuant to this Agreement must file a full Statement of Economic Interests (also known as Form 700) with the City Clerk if the work of the individual involves making a governmental decision whether to issue, deny, suspend, or revoke any permit, license, application, certificate, approval, order, or similar authorization or

Design Professional’s responsibilities under this section shall not be delegated.
Design Professional shall be responsible to City for acts, errors, or omissions of Design Professional’s subcontractors.
Design Professional shall prepare plans, specifications, reports, and/or other work products in such a way that amendments or change orders to the agreement between City and its construction contractor will not be necessary, except for unforeseeable circumstances. As used herein, “unforeseeable circumstances” shall mean facts or inferences from those facts that could not be ascertained by a combination of reasonable site inspection during the preparation of the plans and specifications by Design Professional and the reasonable application to such inspection of expertise consistent with the level of care and skill ordinarily exercised under similar conditions by members of Design Professional‘s profession currently practicing in California.
Whenever the scope of work requires or permits review, approval, conditional approval or disapproval by City, it is understood that such review, approval, conditional approval or disapproval is solely for the purposes of administering this Agreement and determining whether the Design Professional is entitled to payment for such work, and not be construed as a waiver of any breach or acceptance by the City of any responsibility, professional or otherwise, for the work, and shall not relieve the Design Professional of responsibility for complying with the standard of performance or laws, regulations, industry standards, or from liability for damages caused by negligent acts, errors, omissions, noncompliance with industry standards, or the willful misconduct of Design Professional.
12. Force Majeure. Neither party shall be considered in default of this Agreement to the extent performances are prevented or delayed by any cause, or circumstances beyond either party’s reasonable control, such as war, riots, strikes, lockouts, work slowdown or stoppage, acts of God, such as floods or earthquakes, and electrical blackouts or brownouts.

Nor shall Design Professional allow any of its subcontractors, agents, or other representatives to employ CalPERS members or annuitants for the purpose of performing work under this Agreement. Failure to comply with the provisions of this section shall constitute a material breach of Design Professional’s obligations under this Agreement and shall be grounds for termination.
The City Manager and the Human Resources Director may together approve an exception which they determine either: (i) meets the requirements of CalPERS relating to Independent Contractors; or (ii) where such Assigned Individual who is an Annuitant, has not, and will not, exceed 960 total hours in a fiscal year (July 1 to June 30) for all CalPERS employers combined, and satisfies all other CalPERS annuitant requirements. No Assigned Individual, regardless of CalPERS membership at the time the labor is provided, may exceed 1,000 hours in a fiscal year (July 1 to June 30).

18. Termination or Abandonment by City. Upon receipt of a notice of termination, Design Professional shall perform no further work except as specified in the notice. Before the date of termination, Design Professional shall deliver to City all City records and documents, all work products, whether completed or not, as of the date of termination and not otherwise previously delivered.
The City shall pay Design Professional for services performed in accordance with this Agreement before the date of termination. If subcontracting of work is permitted, Design Professional shall pay its subcontractor within ten (10) days of receipt of payment by City for work performed by a subcontractor and billed by the Design Professional. SCOPE OF WORK
Task 1: Community Consultation
Conduct public outreach for the project by sending consultation letters to local historical societies and other interested parties to request any special knowledge or interest they may have in the historic properties within the Area of Potential Effects (APE). A copy of correspondence will be appended to the Finding of Effects Report.
Task 2: Native American Consultation
Contact the Native American Heritage Commission to request a Sacred Lands File (SLF) Search for the project. If requested to do so by the City of Vallejo, acquire the Assembly Bill (AB) 52 lists of potentially interested tribes. Draft AB52 consultation letters on the behalf of the City of Vallejo to initiate consultation, as required and forward these letters to the City of Vallejo. If requested to participate, consultant will be available to discuss any tribal concerns during one conference call. The results of the SLF and all correspondence will be appended to the report.
Please note, if the City of Vallejo opts to complete Native American Consultation, Task 2 will not be performed or billed.
Task 3: Archival Research
Conduct research to determine the land use history of the subject property and its constituent historic-era buildings as well as researching the identities and significance of its architect and its builder. Research will be performed through the City of Vallejo, the NRHP nomination of the subject property, and other archives and repositories including online resources as necessary. The purpose of this task is to collect information about the property, neighborhood, City, and any other relevant historic themes. Information collected during research will inform our production of both a narrative history of the subject property and any historic contexts required to serve as frameworks for historical evaluation.

Complete a records search for cultural resources (archaeological and historical) at the Northwest Information Center (NWIC) in Rohnert Park, California. The results will be summarized to characterize the status and extent of previous cultural resource studies completed in the project area (including a one-mile radius), and to help predict the types of resources expected within the boundaries of the project site.
Task 4: Report with Assessment of Effects/Impacts
Produce a report with summary of findings, project description, methodology, historic context, description of historic properties, assessment of effects, and bibliography, with previously produced DPR 523 or 10-900 forms and relevant mapping attached in appendices. Historic context will be summarized based on information provided in previous studies. Description of historic properties will rely on previous evaluations for character-defining features and will also note current conditions. An assessment of effects will evaluate the proposed projects’ potential effects on the subject historic properties, utilizing existing Secretary of the Interior’s Standards for the Treatment of Historic Properties (SOI Standards) analysis. The report will also discuss impacts to historical resources under CEQA.
Task 5: SHPO Consultation Letter
Produce content for a cover letter that the City of Vallejo can submit to California OHP in compliance with Section 106 consultation requirements.
Task 6: Response to Comments
Respond to up to one (1) round of comment from the City of Vallejo and up to two (2) rounds of comment from California SHPO, including up to three (3) phone meetings if required. Additional rounds of comment and in-person meetings are outside this scope of work and will require a budget adjustment.
Key Understandings
• The City of Vallejo is the lead agency.
• The subject historic property has been previously evaluated and will not require field photography or recordation on DPR 523 series forms. If the initial phase of the study reveals built environment resources that require evaluation, a budget adjustment will be necessary.
• For the purpose of providing a cost proposal, it is understood that the plan will provide existing analysis of conformance of the proposed projects to the SOI Standards. If a SOI Standards analysis needs to be performed, a budget adjustment will be necessary.
Deliverables
• Draft technical report in Microsoft Word format with the following sections:
o Summary of Findings
o Project Description
o Regulatory Context
o Methodology
Design Professional Services Agreement (Revised 05.2025) Exhibit A
Garavaglia Architecture, Inc.
o Historic Context
o Description of Historic Properties,
o Assessment of Effects/impacts, and
o Bibliography
o Appendices: APE maps, preparers’ qualifications, 10-900 forms, Native American consultation results, correct and community consultation results
Assumptions
• The APE will consist of the subject parcel as well as staging and access areas; a change in the APE will necessitate a budget adjustment. • It is assumed that recent photographs of the subject property will be provided by the client or the City of Vallejo and that no field visit will be conducted; if field photography is required a budget adjustment will be necessary
• For the purpose of this proposal, it is assumed that a Finding of No Adverse Effect will be produced; if the study reveals potential adverse effects to historic properties/negative impacts to historical resources and mitigation measures must be developed, a budget adjustment will be necessary.
• No in-person meetings are included in this scope of work. • Costs for these Additional Services are transferable between tasks. • Deliverables will be submitted in electronic format. Production and transmission of physical copies is outside the scope of work and will require a budget adjustment.

SUBJECT: ADOPT A RESOLUTION APPROVING THE CONSULTANT AND PROFESSIONAL
SERVICES AGREEMENT WITH FELTON INSTITUTE FOR THE IHART PROGRAM FOR AN AMOUNT NOT TO EXCEED $1,598,675 THROUGH JUNE 30, 2026 AND
AUTHORIZING THE CITY MANAGER TO EXECUTE SAME
RECOMMENDATION
Adopt a Resolution authorizing the Consultant and Professional Services Agreement with Felton Institute for the IHART Program for an amount not to exceed $1,598,675 through June 30, 2026 and authorizing the City Manager to execute same.
REASONS FOR RECOMMENDATION
In January 2024, City Council authorized execution of a one-year Consultant and Professional Services Agreement (“Agreement”) with Felton Institute (“Felton”) to provide IHART (Integrated Health and Resource Team) Program services for 12 hours every day for a total not-to-exceed budget of $912,463. The Agreement was funded by two federal grants: (1) Fiscal Year 2022 Byrne Discretionary Community Project grant ($900,000 total grant award, with $626,607 available for Felton’s scope of work), and (2) Fiscal Year 2022 Crisis Intervention Teams (“CIT”) Community Policing grant ($301,800 total grant award, with $247,965 available for Felton’s scope of work).
The IHART Program produces results and is well-received in the community. On December 31, 2024, the City exercised its option to extend the Agreement for one year, resulting in a term extension to January 31, 2026 (“First Amendment”). The City then pieced together multiple funding sources to ensure IHART services were continued through June 30, 2025.
On May 28, 2005, the Measure P Oversight Committee recommended use of Measure P funds not-to-exceed $1,501,862 for a new agreement with Felton Institute for Fiscal Year 2025-2026 (July 1, 2025 to June 30, 2026). In adopting the City’s Fiscal Year 2025-2026 budget, City Council authorized said use of Measure P funds. Luckily, Vallejo Police Department’s (“VPD”) existing Fiscal Year 2024 Connect and Protect: Law Enforcement Behavioral Health Response Program Grant (“Connect and Protect Grant”) allocates $326,833 to the same scope of work, which means only $1,175,029 Measure P funds will need to be used for this scope of work. (See Resolutions 25-009, 25-025, and the Connect and Protect Grant award documents.)
The Connect and Protect Grant also authorized $96,813 for community organization, TabiMoms, to provide additional case management and navigation services under the IHART Program. TabiMoms recently informed VPD that it is no longer interested in proceeding with said arrangement. Felton has agreed to perform these additional services for the amount of the authorized grant funds ($96,813).
Accordingly, the total recommended amount of the new Consultant and Professional Services Agreement (this “Agreement”) is $1,598,675, which the sum of $1,501,862 (Felton’s original scope of work) and $96,813 (additional case management and navigation services). This Agreement will allow the IHART Program to

BACKGROUND AND DISCUSSION
In 2022, CRISIS Consulting conducted an official needs assessment for Vallejo. The assessment revealed that the demand for field based programs and mental health services (where law enforcement may not be the appropriate first response) has outpaced the resources available through Solano County. VPD, in partnership with community members, local non-profits, and many other stakeholders, worked to develop a new mobile community crisis intervention team to address specific and urgent mental and behavioral health needs in Vallejo via trauma-informed responses and linkages for mental and behavioral health and social services. This team was designed to reduce – and has reduced – the need for police presence at certain non- violent calls for service.
Felton was selected as the IHART provider after a competitive bidding process and community outreach. Felton’s response to City’s May 2023 Request for Proposals was ranked highest (of three proposals) by VPD staff and stakeholders based on a number of factors, including background and capacity, scope of services, and budget. VPD also hosted a community town hall in November 2023 to receive community feedback about the vendors to inform the selection process.
FISCAL IMPACT
Funding for this Agreement includes $1,175,029 of Measure P funds designated for the IHART Program in the City’s Fiscal Year 2025-2026 budget and $423,646 of Connect and Protect Grant funds carried over from Fiscal Year 2024-2025.
ENVIRONMENTAL REVIEW
This action is exempt from the California Environmental Quality Act (CEQA) because it is not a project that has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment, pursuant to CEQA Guideline section 15378.

12. Force Majeure. Neither party shall be considered in default of this Agreement to the extent performances are prevented or delayed by causes or circumstances beyond either party’s reasonable control, such as war, riots, strikes, lockouts, work slowdown or stoppage, acts of God, such as floods or earthquakes, and electrical blackouts or brownouts.

Consultant shall provide City with complete, legible copies of each employee’s credentials and licenses required by this Agreement.
Payment made to Consultant pursuant to this Agreement shall be the full and complete compensation to which Consultant and Consultant’s officers, employees, agents, and subcontractors are entitled for performance of any work under this Agreement. Nor shall Consultant allow any of its subcontractors, agents, or other representatives to employ CalPERS members or annuitants for the purpose of performing work under this Agreement.
Failure to comply with the provisions of this section shall constitute a material breach of Consultant’s obligations under this Agreement and shall be grounds for termination.

Consultant shall have no authority, express or implied, under this Agreement, to bind City to any obligation whatsoever.
17. Term. The term of this Agreement shall commence on July 1, 2025 and shall continue in full force and effect until June 30, 2026.
City shall, at its discretion, have the right to extend the term of this Agreement, in intervals of one year or less by written notice to Consultant. The total duration of this Agreement, including the exercise of any options under this section, shall not exceed three years.
If the term of this Agreement extends into fiscal years subsequent to that in which it is approved, such continuation of the Agreement is contingent on the appropriation of funds for such purpose by the City Council of the City of Vallejo.
If funds to effect such continued payment are not appropriated, Consultant agrees to terminate any services supplied to City of Vallejo under this Agreement, and relieve City of any further obligation therefore.

In addition, the City will reimburse Consultant for authorized expenses incurred and not previously reimbursed. SUBJECT: PROVIDE NOTICE OF INTENT TO AMEND THE FISCAL YEAR 2025-2026 BUDGET IN THE AMOUNT OF $642,860.94 OF OPIOID LITIGATION FUND REVENUE TO SUPPORT
THE BROADWAY PROJECT
RECOMMENDATION
Provide notice of intent to amend the fiscal year 2025-2026 budget in the amount of $642,860.94 of Opioid Litigation Fund Revenue to support the Broadway Project (step 1 of 2).
REASONS FOR RECOMMENDATION
In May 2022, the City of Vallejo was awarded the Homekey grant with co-applicants Firm Foundation Community Housing (developer and owner) and Shelter, Inc, (operator) for the development of a Permanent Supportive Housing (PSH) Project commonly referred to as the Broadway Project. The project is nearing completion, and the City has entered into a lease and property management agreement with Shelter and Firm for the Broadway Project.
The Vallejo Housing Authority Board has adopted a resolution awarding Project-Based Vouchers to the project, which will cover the operations of the project. There will be up to a 90-day operational funding gap from when the project is ready to open and move individuals in and when the project-based vouchers are assigned to the units. Staff are requesting Opioid Litigation Funding to cover the 90-day operational gap, funding for equipment and furniture and funding to cover the remaining construction costs for the project.
BACKGROUND AND DISCUSSION
On May 10, 2022, the City of Vallejo (City), Firm Foundation Community Housing (Firm), and Shelter, Inc. (Shelter) were awarded a California Department of Housing and Community Development (HCD) Homekey Program (“Homekey”) Round 2 Grant of $11,621,866. Grant funds were approved to be used by Firm Foundation to develop and build a permanent supportive housing project to house chronically homeless individuals in Vallejo. On June 10, 2022, the Council accepted the grant and amended the City’s budget to receive the grant. On June 14, 2022, the Council approved a resolution to appropriate Homekey Round 2 grant funding for the Broadway Project.
The Homekey Grant Program allowed eligible applicants such as the City to act as co-applicants with the project developer (Firm) and operator (Shelter).
The Project
The Broadway Project ("Project") is a permanent supportive modular housing project designed to house the chronically homeless. The estimated total cost of construction of the Project is $27M. Construction began on September 19, 2022, and is anticipated to be completed in June 2025. The property is anticipated to be fully leased and fully occupied within 90 days of construction completion. Firm Foundation currently owns the property and manages the Project construction in compliance with Homekey deliverables and timeline regulations. The Project will include 47 permanent supportive housing units (studios), affordable to extremely

low to very low-income households, an on-site manager unit, a community room and courtyard. On-site wrap- around services will be provided by Shelter, Inc., to facilitate connections to services, benefits, and community resources.
Project Funding
On May 10, 2022, the City of Vallejo, Firm Foundation Community Housing and Shelter Inc. were awarded a California Department of Housing and Community Development (HCD) Homekey Program (“Homekey”) Round 2 Grant of $11,621,866 to develop and build a permanent supportive housing project to house chronically homeless individuals. On June 10, 2022, the Council accepted the grant and amended the City’s Budget to receive the grant. On June 14, 2022, the Council approved a resolution to appropriate Homekey Round 2 grant funding for the Broadway Project.
The existing State, County, City and Housing Authority funding amounts for the Broadway Project are summarized below:
Funding Source Amount
State of CA Homekey $11,621,866
City of Vallejo American Rescue Plan Act (ARPA) $192,740 Solano County American Rescue Plan Act (ARPA) $3,000,000 City of Vallejo American Rescue Plan ACT (ARPA) $200,000 Infill Infrastructure Grant Program $2,559,656
Wells Fargo Grant* $90,000
LMIHAF Loan $3,300,000

Project-Based Vouchers
The operations of the Navigation Center, including property management and wrap-around services, will be covered through the payment of the Project-Based Vouchers.
Project-based vouchers (PBVs) are a component of a public housing agency’s (PHA’s) Housing Choice Voucher (HCV) Program. Project-based vouchers provide long-term affordable housing contracts for households with very low or extremely low incomes. These vouchers are part of the HCV Program, and are attached to specific units, unlike most housing choice vouchers, which are tenant-based. The PBV Program aims to encourage new housing development, increase the use of vouchers, and assist senior, family, and workforce housing. PBVs can be used for new construction, rehabilitation, or units in existing buildings. The property owner agrees to rehabilitate or construct the units or set aside a portion of the units in an existing development. Rehabilitation or existing units for PBV projects must enter into a Housing Assistance Payment (HAP) contract with the local public housing authority for a contract term of one year up to 20 years, including the option for extensions of up to an additional 20 years. On December 3, 2024, the 2024 PBV Request for Proposals (RFP) for new construction, existing housing, and rehabilitated units was published. On January 22, 2025, through an application review panel, the proposal for the Broadway Village Project for existing housing units was ranked, scored, and selected according to the application requirements and scoring criteria.
On May 20, 2025, the Housing and Community Development Commission adopted a resolution recommending that the Housing Authority of the City of Vallejo Board of Directors award 47 project-based

vouchers and approve the execution of the Project-Based Voucher Agreement Housing Assistance Payment (HAP) contract with Firm Foundation Community Housing for the property located at 2441 Broadway Street, Vallejo, CA 94589, commonly known as the Broadway Village Project.
On May 27, 2025, the Vallejo Housing Authority (VHA) Board adopted a Resolution approving the award and ratifying forty-seven (47) project-based vouchers (PBV) to Firm Foundation Community Housing and approving a PBV HAP contract for a term of up to 20 years, with extensions. The contract, including any approved extensions, would not exceed 40 years.
Funding Gaps
At the May 27, 2025 Council Meeting, the City Council requested that staff bring forward all known funding gaps to have a full understanding of all funding needed in order to complete the Project and open its doors.
The complete funding gap for construction, beginning operations, and furniture and equipment is $891,080.
90-Day Operational Funding Gap – The VHA Board awarded PBVs to the project, which are intended to cover the operating needs of the project. However, there may be a delay of up to 90 days until the PBV payments are initiated and begin funding the operations. The 90-day operating budget is $219,213 (at $73,071 per month).
Furniture, Equipment and Miscellaneous – In order to open the project once construction is complete, the facility needs to be furnished and additional equipment installed. The funding request in the amount of $417,867 will cover furniture and equipment for the participants, technology needs, and other projected miscellaneous needs (attachment “Operational Transitional Budget”).
Construction Gap – As of May 25, 2025, there is a construction budget deficit of $558,287 for the project, which includes a $200,000 contingency for hard costs. (attachment “Broadway Capital cost funding gap projection”)
Opioid Funding Request
The State of California joined national lawsuits against manufacturers, distributors, and other entities responsible for aiding the opioid epidemic and anticipates receiving funds from several opioid judgments.
Monies from settlements and bankruptcies are provided to states, cities, and counties pursuant to the relevant National Opiod Settlement Agreements, National Mallinckrodt Bankruptcy Plan, and Endo Public Opioid Trust Agreement. California elected to distribute the majority of Mallinckrodt and Endo funds to participating cities and counties for opioid remediation activities at the local level.
The use of those opioid litigation funds is highly restricted, and funds must be used for opioid remediation purposes (attached). Additionally, the State of California requires that at least 50% of Opioid funding be used toward "High Impact Abatement Activities (HIAA)":
High Impact Abatement Activities (HIAA)
No. Activity
1 Provision of matching funds of operating costs of substance use disorder (SUD) facilities within the Behavioral Heal Continuum Infrastructure Program (BHCIP) 2 Creating new or expanded SUD treatment infrastructure 3 Addressing the needs of communities of color and vulnerable populations (including sheltered and unsheltered homeless populations) that are disproportionately impacted by SUD

4 Diversion of people with SUD from the justice system into treatment, including by providing training and resources to first and early responders (sworn and non-sworn) and implementing best practices for outreach, diversion and deflection, employability, restorative justice, and harm reduction 5 Interventions to prevent drug addiction in vulnerable youth 6 The purchase of naloxone for local entities, including for distribution efforts to expand access to naloxone for opioid overdose reversals
The City of Vallejo has received $1,293,818.94 through the opioid fund accounts. The City receives annual allocations of funding based on the specific settlement agreements with the drug manufacturing companies and distributing companies. It is currently anticipated that these annual allocations over the next several years will be roughly $200,000 per year. Funding is distributed to the state, counties and cities as the lawsuits settle.
It is anticipated that the City of Vallejo will receive future funding, but the total amount is not yet known.
Council has allocated $650,958 of the funding towards other projects, leaving $642,860.94 available.
The Broadway Project will provide individual case management, connecting people to social and medical services, including substance-use disorder programs. Participants will have access to job training and assistance as they become permanently housed. With the population being served and the services being provided, staff believe that the project fulfills HIAA items #3 and #4 and that the funding for the Broadway Project operations and start-up costs are valid uses of these funds.
According to the 2024 Point in Time (PIT) Count, there are 1,725 unhoused individuals in Solano County, with 682 residing in Vallejo. The report further details that of the 1,725 County-wide unhoused population, 39.3% of the individuals self-reported substance use. With nearly 40% of the population reporting substance use, there is a high likelihood that many of the individuals being supported by the Broadway will have substance-use disorders and would benefit from the services provided.
A request to amend FY 2024-2025 came before Council on June 3, 2025 related to this funding source and amount. With the fiscal year being closed, staff are requesting to provide notice for the same funding source and amount in the current fiscal year's budget.
FISCAL IMPACT
Staff is providing notice of intent to amend the fiscal year 2025-2026 budget in the amount of $642,890.94 from the Opioid Litigation Funds to support the opening of the Broadway Project. Staff will be back at a future meeting to complete the second step of this two-step process.
ENVIRONMENTAL REVIEW
The City filed a Notice of Exemption with the Clerk of the Board of Supervisors of the County of Solano and with the Office of Planning and Research for the Broadway Project on July 6, 2022.

RECOMMENDATION
Adopt a Resolution of the City Council of the City of Vallejo Approving an Honorary Street Sign Designation in Honor of Carsten Charles (CC) Sabathia for the Portion of Gateway Drive Between Sage and Fairgrounds to Read “CC Sabathia Way – Honorary” and Approving the Issuance of a Key to the City
REASONS FOR RECOMMENDATION
Vallejo native C.C. Sabathia has had an outstanding lifetime achievement in Major League Baseball, his continued Philanthropy, and Arts & Culture and is well known locally and nationally for these accolades. He and his foundation, the PitCCh In Foundation, have made significant contributions to the youth of Vallejo.
Gateway Drive holds significance to Mr. Sabathia as this street runs through the neighborhood where he grew up and spent his formative years. The recommendation is made in accordance with City of Vallejo policy for granting an honorary street sign designation and granting a Key to the City.
BACKGROUND AND DISCUSSION
On July 11, 2023, the Vallejo City Council approved City Council Policy – Honorary Street Sign Designation, Key to the City and Ceremonial Documents. The policy provides criteria for how to process requests for Honorary Street Signs and Key to the City. The designation is reserved for exemplary Vallejoan(s) that have made an impact of great renown to the City of Vallejo. The individual must have resided in Vallejo during their lifetime and must have made significant long-term contributions through cultural, humanitarian, historic, military or professional achievement.
The Key to the City is the City’s most prestigious award and is to be used to bestow honor upon distinguished persons and honored guests of the City of Vallejo and to recognize exceptional contributions and/or achievements. As this is a high honor, the granting of a Key should be rare.
Carsten Charles (CC) Sabathia was born to parents Carsten Charles Sr. and Margie Sabathia in Vallejo, California in 1979. CC grew up in the Country Club Crest neighborhood and attended Loma Vista Elementary School, Solano Middle School and Vallejo High School.
CC Sabathia has outstanding achievements in sports. He excelled at baseball in North Vallejo Little League where he was a dominating pitcher. CC was a three-sport athlete at Vallejo High School, where he excelled in football, basketball and baseball. He received scholarship offers to play college football and baseball. He

graduated from Vallejo High School in 1998 and went directly from Vallejo High to Minor League Baseball.
CC debuted in the major leagues at 20-years-old and quickly evolved into an Major League Baseball (MLB) All-Star and Cy Young Award winner before becoming the ace of a World Series winner in 2009. He is noted as one of the most durable and effective left-handed starters in the MLB. CC Sabathia, who wore #52, was elected to the National Baseball Hall of Fame as a part of the Class of 2025 and was elected on the first ballot receiving 86.8% of the vote.
Sabathia went 17-5 for Cleveland in 2001, leading the American League (AL) with a mark of 7.4 hits per nine innings and finishing second in the AL Rookie of the Year voting. He was named to his first All-Star Game in 2003 then won the American League Cy Young Award after going 19-7 with 209 strikeouts in an MLB-best 241 innings.
In 2008, Sabathia was traded to the Milwaukee Brewers where he had an 11-2 record with a 1.65 ERA in 17 starts while leading the National League in complete games (seven) and shutouts (three). He then signed a nine-year deal with the New York Yankees and posted an impressive season, going 19-8 with a 3.37 ERA.
Sabathia started Game 1 of each of the Yankees’ three postseason series, winning American League Championship Series Most Valuable Player honors and leading the Yankees to the World Series title.
Sabathia followed his World Series campaign with three straight All-Star seasons, leading MLB with 21 wins in 2010. He had 13 straight seasons with at least 180 innings pitched, including eight years with at least 200 innings. He retired after the 2019 campaign with a 251-161 record, a 3.74 ERA and six All-Star Game selections as well as 11 Opening Day assignments.
Sabathia’s 3,093 strikeouts ranked 16th on the all-time list at the time of his retirement, and he was just the third left-hander to join the 3,000-strikeout club. He retired as one of only five pitchers with at least 250 wins, 3,000 strikeouts and a .600 winning percentage. In 26 postseason games, Sabathia was 10-7 with 121 strikeouts in 130 innings.
CC has never forgotten Vallejo and is proud to call it his hometown. Throughout his very successful professional baseball career, CC and his family have looked for opportunities to give back and to support the youth and families of Vallejo. CC, his wife Amber, and his mother Margie established the PitCCh-In Foundation. The foundation’s focus is meeting the needs of children and families in the inner cities of New York City and Vallejo through philanthropic means along with contributions of time and presence.
The Foundation sponsors free baseball camps in Vallejo with each camper receiving balls, bats, hats, and shoes along with in-person instruction. The Vallejo High School baseball team and other professional and college athletes assist CC himself in teaching baseball skills and rules on the fields that he grew-up playing on.
The PitCCh-In Foundation sponsors many other activities which benefit the families and youth of Vallejo. The Foundation:

CC Sabathia, Vallejo’s Favorite Son
Carsten Charles (CC) Sabathia was born to parents Carsten Charles Sr. and Margie Sabathia in Vallejo, California in 1979. CC grew up in his beloved Country Club Crest neighborhood and attended Loma Vista Elementary School, Solano Middle School and Vallejo High School. CC is very proud of all of the schools in the Vallejo City Unified District School. He was introduced to and excelled at baseball at an early age at North Vallejo Little League where he was a dominating pitcher. CC was a three sport athlete at Vallejo High School, where he excelled in football, basketball and baseball. CC’s wife, Amber was his high school sweetheart. They have four children. CC thanks his wife Amber and his mom Margie for their love, support and continued dedicated focus on never forgetting to share and give back to the children and communities of Vallejo and New York City.
Wikipedia notes “He was the top high school prospect in Northern California according to Baseball America. In football, he was an all-conference tight end. He received scholarship offers to play college football, including one from the University of California, Los Angeles; he signed a letter of intent to attend the University of Hawaii at Mānoa and to play baseball and football for the Hawaiʻi Rainbow Warriors. Sabathia graduated from Vallejo High School in 1998 and went directly from high school to minor league baseball.” See the Wikipedia article regarding CC’s professional Baseball career playing with Cleveland, Milwaukee and retiring with the New York Yankees.
CC has never forgotten his hometown of Vallejo. Throughout his very successful professional baseball career, CC and his family have looked for ways and opportunities to give back and to support the children and families of Vallejo. CC, Amber and Margie established the PitCCh-In Foundation. The foundation’s focus is meeting the needs of children and families in the inner cities of New York City and Vallejo. The Foundation has supported kids throughout the community of Vallejo with free baseball camps. At the baseball camps, the Vallejo High School baseball team assists CC and other professional and college athletes in teaching baseball skills and rules. Each camper receives balls, bats, hats, shoes, etc.
The PitCCh-In Foundation also is the largest annual donor to the Vallejo Teacher Store. The Teacher Store is a store where ALL teachers in the Vallejo City Unified School District can come and shop for FREE. The store is located on the campus of Vallejo High School. The supplies are so important to the teachers who are now able to support their students with FREE paper, pencils, pens, markers, crayons, spiral notebooks, binders, and more from the
Teacher Store. This helps to bridge the economic gap to ensure that there is school supply equity in the classroom.
The PitCCh-In Foundation also is an annual donor of FREE new backpacks with new school supplies inside of each new backpack. This donation is significant because it may be given to an entire school and/or each K-3 grades at EVERY elementary school in the Vallejo City Unified School District. Also, in some years elementary, middle and high school backpacks with school supplies have been provided. These very generous donations promote school supply equity and enhance learning in the classroom.
The PitCCh-In Foundation has provided FREE tickets to Vallejo High School students to attend college and professional athletic events. The school district has partnered with the Foundation to provide a bus to transport the VHS students to the event. This gives many students an opportunity to visit a college campus and/or a professional athletic venue for the first time.
The PitCCh-In Foundation has donated thousands of dollars in scholarships to deserving high school students throughout the Vallejo community which enables them to pursue and reach their educational dreams.
The PitCCh-In Foundation has donated new cheer and athletic uniforms and equipment to Vallejo High School and North Vallejo Little League. The donations have allowed many male and female athletes the opportunity to compete in cheer and athletic competitions and to feel good about how they look, all of which inspires them to do their best and to go for the win!
The PitCCh-In Foundation has donated COVID supplies for the schools including masks, hand sanitizers, and boxes of Kleenex and gloves to the Teacher Store. This donation supports the health and safety of the teachers, students, staff, families and the entire community.
The PitCCh-In Foundation has donated Free Thanksgiving Turkeys through the Contra Costa – Solano County Food Bank. This event has been held in North Vallejo and is open to the entire Vallejo Community. The event was held in front of Solano Middle School.
The PitCCh-In Foundation has donated labor and funds to update Vallejo High School Baseball Field, turned the field around, and installed a new surface sprinkler system, new fencing, seating and a scoreboard. Similar updates were also made at North Vallejo Little League which serves the youth of the Country Club Crest neighborhood. The donation supports the safety of the teams, coaches, officials, fans, spectators, and others.
CC retired from Major League Baseball in 2019. He is an author and has written a book “Till the End.” CC first became eligible to be inducted into the MLB Hall of Fame in 2025. The City of Vallejo is extremely proud that their Native Son CC was voted in and will be inducted
into the Hall of Fame on Sunday, July 29, in Cooperstown, New York. Many citizens from Vallejo will be in attendance with tears of joy and feelings of extreme happiness that a young man from North Vallejo Little League and Vallejo High School soared to such heights.
The City of Vallejo needs to remember how many places and lives CC has touched through his generosity and love. CC HAS NEVER FORGOTTEN THE CITIZENS AND CHILDEN OF VALLEJO. THE CITIZENS OF VALLEJO CANNOT EVER FORGET ALL OF HIS GIFTS TO OUR COMMUNITY! VALLEJO MUST NOW REWARD HIM WITH THE STREET NAMING AND A KEY TO THE CITY!
The PitCCh-In Foundation through Team 52 Vallejo is led by Margie Sabathia (CC’s Mom) and Coach Mike and Hazel Wilson and supported by many family, friends and other community members who strongly support the proposed addition of new street signs on the requested six blocks on Gateway Drive between Fairgrounds Drive and Sage Streets.

Adoption of a Resolution Approving an Honorary Street Sign Designation in Honor of the R&B Funk Group ConFunkShun for a Portion of Florida Street From Mare Island Way to Solano Avenue to be Read "ConFunkShun Street-Honorary", and Approving a Proclamation and Issuance of Key(s) to the City
REASONS FOR RECOMMENDATION
ConFunkShun is an iconic American R&B and funk band that got its start in Vallejo, CA. Michael Cooper, the founding member, grew-up on Florida Street and attended Vallejo High School. His fellow bandmates Louis McCall, Karl Fuller, Cedric Martin, Danny Thomas, Paul “Zebulun” Harrell, and Felton Pilate also grew-up and attended Vallejo schools. Initially known as Project Soul, Vallejo native Michael Cooper founded the group over 50 years ago in Vallejo. The original members bonded over their shared interest in Vallejo High School’s marching band. After graduating, they continued to develop their musical talent, inspired by artists such as James Brown and Sly Stone. Florida Street holds significance to ConFunkShun, as it is the neighborhood where the founder, Michael Cooper, lived and grew the group’s musical talents and life-long friendships and connections.
Vallejo’s “hometown” band ConFunkShun has had an outstanding lifetime achievement in Arts & Culture. This recommendation is made in accordance with City of Vallejo’s policy for granting a Key to the City and a Proclamation.
BACKGROUND AND DISCUSSION
In July 2023, the Vallejo City Council approved the City Council Policy - Honorary Street Sign Designation (attached). The policy provides criteria for how to process requests for Honorary Street Sign Designations. The designation is reserved for Vallejoan(s) that have provided exemplary service to the City of Vallejo and/or for individuals or groups that have city wide impact or great renown. The individual must have resided in Vallejo during their lifetime and must have made significant long-term contributions through cultural, humanitarian, historic, military or professional achievement.
The iconic American R&B and funk band, ConFunkShun, contacted the City of Vallejo and submitted an application (attached) requesting a Honorary Street Sign Designation, Proclamation, and Key(s) to the City to honor the group.

ConFunkShun, originally formed in Vallejo, CA, emerged as one of the most influential R&B and funk groups in American music history, entertaining fans around the world for more than 50 years.
The group began as Project Soul, founded by Vallejo native Michael Cooper, and his high school classmates Louis McCall, Karl Fuller, Cedric Martin, Danny Thomas and Paul “Zebulun” Harrell, and later joined by Felton Pilate. After relocating to Memphis in the mid-1970’s, the group gained national attention which led to a record deal with Mercury records and a name change to ConFunkShun.
ConFunkShun has released 11 albums, earning eight Billboard Top 10 R&B hits including “Ffun,” “Chase Me,” and “Baby I’m Hooked” which solidified their place in funk and soul music history. The group’s song, “Love’s Train,” recently achieved new recognition with Bruno Mars performing the fan favorite and introducing ConFunkShun’s music to a new generation. ConFunkShun has provided significant cultural and professional achievements, including performances on American Band Stand with Dick Clark and Soul Train and earning the Presidential Lifetime Achievement Award.
A video of ConFunkShun performing on American Band Stand can be found here: https://www.youtube.com/watch?v=itzAa0i_TCc
Although the band moved to Memphis to pursue professional success they still have ties to Vallejo and Solano County. Founding member, Michael Cooper, has served in law enforcement in Solano County for more than 20 years, displaying a commitment to both public service and the arts in the Vallejo community which shaped the group’s beginnings. ConFunkShun will be performing at Mare Island Dock of Bay Festival on September 6, 2025 along other notable musical Vallejoans E40 and LaRussell.
ConFunkShun is requesting that the entirety of Florida Street, which runs between Mare Island Way and Solano Avenue, be designated as “ConFunkShun St. – Honorary.” This area is of significant connection to ConFunkShun as this is where the founder, Michael Cooper, grew up and enjoyed Vallejo’s downtown. In his youth Michael enjoyed fishing in the waterway near Mare Island and says he continues to enjoy to this day.
Staff have reviewed the City Council Policy for Honorary Street Sign Designation and believe that the R&B and funk group, ConFunkShun, meets the criteria established in the Policy.
In addition to the Honorary Street Sign Designation there is a request for Granting Key(s) to the City for the group and a Proclamation that will formally honor the iconic Vallejo musical legacy of ConFunkShun. The band members are cultural ambassadors, public servants, and proud Vallejo sons that have made a significant impact on the music industry and represent the diversity and culture of Vallejo.
The City of Vallejo has the City Council Policy – Policy and Procedure for Issuance of Ceremonial Documents.
The purpose of this policy is to establish that the Mayor’s Office issues ceremonial documents to recognize exceptional events and people within the City of Vallejo. The Mayor’s Office may issue Proclamations, Letters of Welcome or Greetings, Letters of Congratulations, Letters of Condolence, Certificates of Achievement, Certificates of Recognition or Certificates of Appreciation on behalf of the City Council. This purpose of this policy is to provide guidance on these communications. This guidance includes that proclamations are issued to recognize the importance of a community event, significant achievements by community members, or to signal the City’s role in significant national events. Proclamations not being presented at a City Council meeting may appear on the Consent Calendar. Proclamations reflect the speech of the City of Vallejo and not the speech of the requestor. Proclamations may be issues for public awareness, charitable fundraising campaigns, non-profit organizations, and special honors.

ACTION ITEM 8.G.
DATE: August 5, 2025
TO: Mayor and Members of the City Council
FROM: Rekha Nayar, Finance Director
SUBJECT: CONSIDER REQUEST AND PROVIDE DIRECTION TO STAFF RELATING TO THE
CREATION OF A BUDGET AND FINANCE SUBCOMMITTEE, INCLUDING TYPE OF
SUBCOMMITTEE, NUMBER OF MEMBERS AND CHARGE AND DUTIES OF THE
SUBCOMMITTEE
RECOMMENDATION
Provide direction to staff relating to the creation of a Budget & Finance Subcommittee, including type of subcommittee, number of members, charge and duties of the subcommittee, and proposed duration (if ad-hoc subcommittee)
REASONS FOR RECOMMENDATION
At its meeting on June 24, 2025, the City Council discussed the importance of enhanced oversight and focused deliberation on the City's financial matters, including budget development, fiscal policies, and long- range financial planning. Following this discussion, the Council provided direction to staff to prepare a report outlining the establishment of a standing Budget and Finance Committee, including proposed meeting times and the process for appointing Council Members to serve.
The creation of such a committee is a best practice among many municipalities, providing a dedicated forum for in-depth review of financial documents, fostering greater transparency, and allowing for more detailed discussions on fiscal strategies before bringing recommendations to the full Council.
BACKGROUND AND DISCUSSION
During the City Council meeting at which the Budget was approved, Mayor Sorce requested City staff return with an item for the full Council to consider and provide direction to staff on the establishment of a City Council Budget and Finance Subcommittee. The purpose of the item before you tonight is for the full Council to consider whether it wishes to proceed with the creation of such a subcommittee and to provide direction to staff on the type of subcommittee (Ad-Hoc or Standing), the number of members and the charge and duties of the subcommittee.
Type of Subcommittee
A subcommittee serves as an advisory body to the full City Council, and is composed of less than a quorum (3 or fewer members) of the City Council. A Standing SubCommittee is of ongoing duration, is subject to the Brown Act and holds noticed public meetings. The members of a Standing SubCommittee generally changes over time. A Standing SubCommittee may hold regularly scheduled or special meetings. The public may attend all such meetings and can provide public comment on matters before the SubCommittee. An Ad-Hoc SubCommittee is of limited duration specifically which limited duration must be identified in the resolution creating it, and can not continue to be re-established year over year. An Ad-Hoc Subcommittee is charged with very specific tasks, and must be composed of 3 or fewer Council Members. Unlike a Standing SubCommittee, an Ad-Hoc SubCommittee is not required to comply with the Brown Act, give notice of its meetings or permit public attendance or comment on matters before the SubCommittee.
Date: August 5, 2025
Subject: CONSIDER REQUEST AND PROVIDE DIRECTION TO STAFF RELATING TO THE
CREATION OF A BUDGET AND FINANCE SUBCOMMITTEE, INCLUDING TYPE OF
SUBCOMMITTEE, NUMBER OF MEMBERS AND CHARGE AND DUTIES OF THE
SUBCOMMITTEE
Both types of SubCommittees require staff assistance, however generally more staff assistance is necessary for a Standing SubCommittee due to the Brown Act requirements.
Staff is looking for direction from the Council on the form of SubCommittee.
Composition for the SubCommittee
The SubCommittee should be comprised of 2-3 members of the City Council. Staff is looking for direction on whether Council desires two or three members.
Duties of the SubCommittee
The Council will need to determine the charge and duties of the SubCommittee. If Ad Hoc, those duties must be very specific and all work is limited to the enumerated duties. If a Standing SubCommittee is chosen the tasks may be a bit broader and would generally be expected to undertake duties for each years budget cycle.
Duties could include reviewing financial reports, proposed budgets, investment policies, and audit findings, for a StandingSubCommittee other fiscal matters could be added. The SubCommittee would conduct thorough analyses and provide well-informed recommendations to the full Council, thereby streamlining the Council's decision-making process on complex financial issues. The committee's scope could also include such items as:
• Procedures and timing of city budget process
• Review and provide suggestions to revamp City's finance and budget organizational structure • Recommendations and timeline for Measure P and Participatory Budget commission / committee • Reviewing the annual budget and capital improvement budget • Monitoring the City's financial performance throughout the fiscal year. • Discussing long-range financial forecasts and strategies
Staff is looking for direction as to the specific charge and duties to be incorporated into a future resolution.
Proposed Duration for Ad-Hoc Subcommittee
If an ad-hoc SubCommittee is chosen it Council would need to establish the limited duration. Generally one year is somewhat typical. Staff suggests one year.
Once Council provides direction to staff, if the directions to proceed, staff will return with a resolution consistent with the Council direction and action to appoint members.
FISCAL IMPACT
The establishment of a standing committee will have a minimal fiscal impact related to staff time for meeting preparation, attendance, and follow-up. These activities are generally within the scope of existing departmental budgets for administrative and financial management functions. No additional budget appropriation is anticipated at this time.
