It is recommended that the City Council provide direction relative to advertising bus shelters.
BACKGROUND:
In 1998, the City of West Covina entered into a five-year agreement with Eller Media Company to install and maintain fifty (50) contractor-owned bus shelters within the City. These 50 bus shelters were designed to include additional panels to allow for advertising on the panels. The terms of the agreement allowed the contractor to install and maintain the 50 advertised bus shelters within the City.
Compensation to the City was the greater of $95 per shelter per month or 18% of net revenue.
Additionally, the City was compensated $14,220 per year for five (5) years in lieu of cleaning and maintaining the City's non-advertising bus shelters, which numbered 79 at the time.
Clear Channel Outdoor, Inc. (CCO) purchased Eller Media in 2001. The City Council approved the first addendum to the agreement in April 2004. This addendum adjusted the compensation to 20% of net advertising revenue earned by these shelters and removed the payment in lieu of maintaining City-owned shelters. It also extended the term through June 30, 2009. The second addendum to the agreement was approved in June 2009. It extended the agreement for an additional five (5) years through June 30, 2014. The second addendum also allowed the City to grant up to five (5) one (1) year extensions upon CCO's written request. The City and CCO exercised each of the extension options, extending the agreement through June 30, 2019. A copy of the original agreement and subsequent addendums are attached (Attachment No. 1).
Although the agreement was not extended beyond June 30, 2019, Clear Channel has continued to maintain its shelters and make quarterly payments according to the terms.
The graph below displays the advertising revenue received by the City from Clear Channel by Fiscal Year.
The current number of advertising shelters is forty-five (45). A listing is included as Attachment No. 2.
Forty-four (44) of the 45 shelters are located along Foothill Transit routes, serving nine (9) routes, along with the Silver Streak.
Foothill Transit provided ridership data for the period of July 1, 2025 and June 30, 2026. Boardings, Average Weekday Boardings, and Alights at these stops are displayed on Attachment No. 3 by stop and by month.
Over this period, Foothill reports:
631,147 Boardings,
2,001 Average Weekday Boardings, and
566,507 Alights.
DISCUSSION:
At the direction of the City Council, staff met with CCO representatives several times to explore the prospects of improving the condition of bus shelters. The following were proposed to CCO:
Contribute toward a project for the replacement of bus shelters City-wide Increase the percentage of net revenue shared with the City Replace existing CCO-owned advertising shelters with new ones CCO advised that it would not be able to make the financial commitment associated with any of these options due to its tight operating margins. Instead, they provided a proposal (Attachment No. 3) that includes the following:
Refurbishment of all shelters, including those that are City-owned Refurbishment would take place over a 3-year period
CCO would continue to maintain its shelters
The proposal is conditioned by:
10-year extension of the agreement
Pause the revenue sharing for the first two years of the extended agreement The proposal is also contingent on CCO's corporate approval.
Alternatively, the City may notify CCO that the agreement has expired and that CCO has sixty (60) days to remove the shelters. Pursuant to the agreement, if the City gives certified written notice that CCO must remove the shelters within 60 days and CCO fails to remove the shelters within such period, the shelters would automatically become the property of the City. In discussions, CCO made it clear that it would remove its shelters upon receiving such notice, though they requested a ninety (90) day window for removal.
Staff is seeking direction as to how to proceed.
LEGAL REVIEW:
The City Attorney's Office reviewed this staff report.
OPTIONS:
The City Council has the following options:
Direct staff to notify CCO that the agreement is expired and that CCO has 90 days to remove the shelters;
1. Direct staff to work with CCO to finalize their proposal and bring back an agreement for consideration; or
2. 3. Provide alternative direction.
Prepared by: Kelly McDonald, Assistant to the City Manager Fiscal Impact
FISCAL IMPACT:
As presented in this report, the City has received between $20,632 and $39,764 per year in advertising revenue from CCO over the last nine (9) years.
