This diversion rate is audited by a third-party verification organization (RCI).
GreenWaste is interested in offering these proven diversion services to the City of West Sacramento for C&D debris processing and compost/mulch procurement and we would appreciate the opportunity to discuss this potential option should the City desire. In addition to C&D diversion opportunities at Florin Perkins, we enjoy providing stakeholders with safe and fun facility tours to showcase how we are able to achieve such great diversion, demonstrate the high-quality recovered materials, and provide visitors with samples of the many materials available at our landscape yard, featuring the items recovered from the C&D debris. Our facility tours teach stakeholders about the importance of recycling and demonstrating the closed-loop nature of our operations.
School Recycling Competitions: GreenWaste would like to sponsor friendly K-12 school recycling competitions with an annual recognition award presented to the highest diverting school in West Sacramento. We are also interested in providing school scholarships with the City’s schools to promote environmental sustainability and resource management education.
Exemplary Customer Award: One Commercial or Multi-Family customer will be recognized as an “Exemplary Customer” once per quarter for their diversion and waste reduction efforts. This will be based on waste audits or site visits, or a customer who was already doing their best to divert materials from the waste stream. With their permission these customers will be acknowledged through our media platforms and additionally awarded with a $500 one-time credit to their bill or 50% off one month of their service, whichever is less. This would be done in conjunction with the City and is a fun way to promote participation in separating waste while reducing contamination.
Environmental Internship Opportunities: GreenWaste would be happy to consider having members of the community join our outreach, customer service, or operations team as interns to provide on-the-job training in the recycling industry based on their skills and interests. We are actively looking for our next generation of recycling leaders and look forward to growing with the local West Sacramento community.

4.I. Contract Assignment of Subcontract
GreenWaste understands that the resulting contract shall not be assigned, transferred, or sublet, in whole or in part, without the prior written approval of the City.
GreenWaste has selected Wastequip/ContainerPros to assist with container deployment for the transition of services and HHW collection services. Our process for selection of any Subcontractor includes an evaluation of their qualifications and notable experience in the specific area of work, in addition to assessing proposed cost against other Subcontractor options and/or market rates. GreenWaste also ensures that all Subcontractors carry required insurance coverages appropriate to their scopes of work. As part of our corporate governance, GreenWaste collects available information related to sustainability and diversity programs if available. For more information about the Subcontractors we have selected for this Agreement please refer to Section 2.A.4.

4.J. Exception to this Request for Proposals
GreenWaste prides itself on being a strong and trustworthy partner with each of the jurisdictions we hold exclusive and non-exclusive franchise agreements. We hope to extend this partnership to the City of West Sacramento and have reviewed the Draft Agreement through this lens. GreenWaste finds the Draft Agreement substantially acceptable with very few instances where the intent of the contract could be clarified. GreenWaste has highlighted some areas of the Agreement we would like to further discuss with the City to better clarify.
Agreement Section: Article 5
Section Number: Section 5.12, Page 33-39
Exception or “Request for Further Discussion": Request for Further Discussion Agreement Terms: Contamination & Overage
Notes for City Consideration: The current contamination and overage procedures in the draft agreement have direct impacts and limitations on the Contractor’s ability to fulfill the Diversion Guarantee set forth in Article 20. Specifically, the annualized restart of tracking and enforcement of corrective actions with the service recipient does not foster long-term behavior change and proper source separation of materials. GreenWaste wishes to discuss innovative approaches to fulfilling the intent of 5.12 and ensuring direct alignment with the intended outcomes of the Diversion Guarantee described in Article 20.
Potential Resolution / Clarification: Discussion of further limiting the annual restart to service recipient’s subjectivity to enforcement measures. Establish a “grace period,” focused purely on education and outreach measures where no enforcement efforts are applicable. Following the conclusion of such grace period, enforcement actions commence that are focused on long-term service recipient behavior change. Customer site visit/technical assistance measures and proactive outreach efforts for repeat offenders to better aid in long-term behavior change and impact on the Diversion Guarantee as defined in Article 20. Each of these alternative solutions/approaches may be coupled with additional reporting requirements of the Contractor.
Agreement Section: Article 5; Article 17
Section Number: Section 5.5, Pages 27-28 & Section 17.5, Page 74 Exception or “Request for Further Discussion": Exception & Request for Further Discussion Agreement Terms: Administrative Charges and Penalties
Notes for City Consideration: Review penalties under Exhibit 5 and add cure periods and written notices. For discussion: consider capped damages on specific penalties.
Potential Resolution / Clarification: Add in Sections 5.5.1 through 5.5.3 line 944, line 950, line 956: “subject to written notice and cure periods as set forth in the Agreement”. Add in Section 17.5, line 2688: “upon written notice to Contractor specifying breach and cure.” 732
1. Cover Letter 2. General Qualifications 3. Financials 4. Technical Proposal 5. Forms 6. Alternative Services 7. Appendices GreenWaste • West Sacramento Proposal • Page 165
Agreement Section: Article 20
Section Number: Section 20.2, Page 83-84
Exception or “Request for Further Discussion": Request for Further Discussion Agreement Terms: Diversion Guarantee
Notes for City Consideration: Discuss potential for using Contractor’s owned/operated or designated alternative post collection facilities for improved cost efficiency and clarifications to diversion guarantee terms in the event such City-selected facilities are unable to achieve intended diversion rates.
Discuss the impacts of non-exclusive franchise materials. Should the Contractor fulfill its diversion obligations, but the non-exclusive materials are preventing the fulfillment of the Diversion Guarantee, Contractor wishes to be held harmless of those applicable penalties. Discuss the collective obstacles of the annual restart of the contamination and overage procedures in Article 5 in fulfilling the Diversion Guarantee. Discuss potential for adding an annual meet & confer process between the City and Contractor to discuss limitations and impacts to the Diversion Guarantee targets if the event the diversion requirement is increasingly difficult to fulfill.
Potential Resolution / Clarification: Add potential for use of Company-owned or designated facilities for diversion improvements to assist in fulfilling diversion guarantee objectives.
Agreement Section: Article 27
Section Number: Section 27.2.1, Pages 120 & Section 27.5, Page 121 Exception or “Request for Further Discussion": Exception & Request for Further Discussion Agreement Terms: Third-Party Claims; Hazardous Waste
Notes for City Consideration: GreenWaste requests the City to consider adding limitations to indemnity for actions and misconduct caused by third parties and proportional liability for responsible party causing damages.
Potential Resolution / Clarification: Under 27.2.1, after “caused in part or contributed to by an Indemnitee” in line 4300, add: “unless done by negligence, misconduct, or actions of Indemnitee.”
Under 27.5, after Disposed of by Contractor in Line 4335, add: “unless any City Indemnitees or third parties caused the Hazardous Waste damages or liabilities.”

Agreement Section: Article 30
Section Number: Sections 30.1.4, 30.1.5, 30.1.6, & 30.1.7 Page 127, Exception or “Request for Further Discussion": Request for Further Discussion Agreement Terms: Defaults and “immediate termination”
Notes for City Consideration: Request clarification regarding breaches, including that penalties assessed should be undisputed and add cure periods for any termination. Clarify termination rights and clarify immediate termination.
Potential Resolution / Clarification: Extend cure periods in Section 30.1.4 through Section 30.1.7 for “60 days” upon “written notice by City.” Agreement Section: Exhibit 5
Section Number: Section 4, Page 149, Reporting and Noticing. Administrative Charge, 6f Exception or “Request for Further Discussion": Exception & Request for Further Discussion Agreement Terms: Diversion Guarantee. Failure to achieve the annual Diversion Guarantee set forth in Section 20.2.
Notes for City Consideration: In the event the City and Contractor are unable to reach agreement in modifications to the diversion-related items requested for further discussion above (Article 5 & Article 20), GreenWaste would need to take exception to this specific per ton administrative charge and penalty.
Potential Resolution / Clarification: Please see proposed modifications to Article 5 and Article 20 within this table related to the Contractor’s ability to fulfill the Diversion Guarantee.

6. Alternative Services & Exceptions
GreenWaste is proposing one price-focused alternative related to the compensation elements of the Agreement outlined in Section 6.3 Adjustments to Maximum Service Rates Using the Refuse Rate Index (RRI) and Exhibit 2: Refuse rate Index (RRI). By adjusting the currently drafted RRI Indices (Labor, Fuel, Vehicle Replacement, Vehicle Maintenance, and All Other) and consolidating these cost components to adjust by the Consumer Price Index for All Urban Consumers:
Water Sewer and Trash Collection Services in U.S. City Average ((CUSR0000SEHG), GreenWaste can better internalize any associated risk of future cost increases by industry-specific trends. Our proposal would be to retain the per-ton tip fees charged at the Approved Facility rates (Disposal Fee and Organic Materials Processing Fee), but to consolidate Labor, Fuel, Vehicle Replacement, Vehicle Maintenance and All Other, under one compensation element, adjusted by the Water Sewer and Trash CPI. GreenWaste has included an alternate cost proposal in our Cost Forms for Consideration.
In both our base proposal, compliant with the terms and conditions of the draft franchise agreement, and our alternative pricing proposal (as described immediately above), GreenWaste welcomes the opportunity to collaborate with the City on our proposed allocation of the total revenue requirement. As such, should the City desire changes to particular aspects of the Residential and/or Commercial rate structure, GreenWaste welcomes these discussions.

Add in Section 17.5, line 2688: “upon written notice to Contractor specifying breach and cure.” 786

> This is regarding the city council meeƟng ITEM 5 on 9-9-2016. >
> My husband and I have been residents of West Sacramento since 2012. We have used Waste management since the day we moved in.
>
> We vote NO on green waste and WE Vote yes on keeping Waste management . >
> Our son has gone out to watch Waste management garbage men since he was a baby. Then he started walking and he would run to the door and jump and wave and they returned his enthusiasm with honks , smiles , waves and more honks. They have been an excellent and perfect company in responding in picking up garbage , recycle and grass no maƩer what the weather condiƟons. They inform us ahead of Ɵme if anything will be changed for the week due to holidays .
>
> Every member and employee we have been in contact with have been so kind, generous with their Ɵme and the most hardworking employees we have ever witnessed. Every employee that has come by has giŌed our son with a WM shirt, a pencil, a hat and or small garbage can.
>
> Fast forward to Covid. We started making them snacks so we had some sort of contact to tell them thank you for their service. We then had to take screen breaks and started driving and watching their routes in all parts of West Sacramento just to get out of the house . We watched the employees help kids walk out of the street so thy didn’t get hit, help kids who fell off their bike , help mulƟple elderly put their cans up AND down, the list goes on. We witnessed mulƟple drivers just get out of their trucks and help people during Covid because people were too afraid to go outside. >
> Our son is now 14 years old. His plan is sƟll to become a garbage man. WHY? Because kindness and love wins EVERY DAY. Because we witnessed hard work, endurance , good values and ethics , and kindness towards every human being .
I’m not kidding when I explain to you that this is an amazing company with great employees . This is the kind of training every company needs. No one is perfect . Complaints will come in. But let waste management fix what they can and improve. This company is doing a lot of things right and and doing an amazing job on who and how they do their hiring.
Please acknowledge we feel that Waste management should remain a mainstay here in west Sacramento . Don’t fix what’s not broken. Thank you for your Ɵme.

Dear council members,
I would like to request that the agenda item 15 for the new waste management contract is voted no and instead, the city extends the current contract for trash services for another year or two to allow our city Ɵme to negoƟate a reasonable contract that does not impose such significant financial burdens on the West Sac residents and businesses for years to come. Please vote no on this item on behalf of your consƟtuents and refuse to pass a hasty decision that will affect your city residents for many years to come. The decision for a new waste management contract should be made with thorough consideraƟon and appropriate Ɵmeframes to allow negoƟaƟons to be made among various bidders and secure beneficial service rates and features for residents and businesses who use these services. A failure of such due diligence would undermine the trust installed in the elected city officials to make thoughƞul decisions on behalf of their voters with their best interests in mind.
Sincerely,
Sally Talaga
Long-Ɵme West Sac resident

i am a disabled, reƟred senior ciƟzen and reside at ., west sacramento, california. i oppose the increase of garbage/waste management costs. The current contract i understand will be replaced with an indefinite Ɵme contract with green management?
Because this has become a very sensiƟve topic, i am hereby documenƟng that i do not agree with the higher costs homeowners may incur especially seniors on fixed incomes. i’m already like many others in the community that pay supplemental tax bills known as Mello Roos Taxes. The projected fees that will almost double my uƟlity bills in Ɵme is not fair at all.
It has also been said that the city has already basically made an informal handshake deal with this vendor/contractor. i’m curious if this was done legally and if there are policies and procedures to define if this was not legal? Thank you for your Ɵme and aƩenƟon paid to this email.
sincerely
