PROFESSIONAL SERVICES AGREEMENT

BETWEEN

THE CITY OF BELLFLOWER AND

ONWARD ENGINEERING

FOR ON-CALL CONSTRUCTION MANAGEMENT AND CONSTRUCTION

INSPECTION SERVICES
THIS AGREEMENT is entered into this 14th day of October 2024, by and between the CITY OF BELLFLOWER, a municipal corporation and general law city (“CITY”) and ONWARD ENGINEERING, a California corporation (“CONSULTANT”).

1. CONSIDERATION.

A.As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below;
B.As additional consideration, CONSULTANT and CITY agree to abide by the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed sum(s) as set forth in duly executed Task Order(s) for CONSULTANT’s services. CITY will pay this sum(s) on the basis of the hourly rates and cost reimbursement rates as specified in the attached Exhibit “B,” which is incorporated herein.

2. SCOPE OF SERVICES.

A.CONSULTANT will perform construction management and construction inspection services listed in the attached Exhibit “A” which is incorporated by reference.

B.The specific services required of CONSULTANT under this Agreement will consist of the tasks and obligations defined in a Task Order approved by CITY and CONSULTANT, in response to specific project scopes of work and services requested by CITY. Any duly executed and approved Task Order will become a part of this Agreement. The standard form for the Task Order is set forth in Exhibit C.

C. Consulting services required by CITY will be provided on an as-needed basis with CITY determining and advising CONSULTANT as to when specific services are required to be performed or completed by CONSULTANT.

D. CONSULTANT will, in a professional manner, furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculation, and all other means whatsoever, except as herein otherwise expressly specified to be furnished by CITY, necessary or proper to perform and complete the work and provide the professional services required of CONSULTANT by this Agreement.

E.CONSULTANT’s duties and services under this agreement may not include preparing or assisting CITY with any portion of CITY’s preparation of a request for proposals, request for qualifications, or any other solicitation regarding a subsequent or additional contract with CITY. CITY retains responsibility for public contracting, including with respect to any subsequent phase of a project. CONSULTANT's participation in the planning, discussions, or drawing of project plans or specifications are limited to conceptual, preliminary, or initial plans or specifications.

CONSULTANT must cooperate with CITY to ensure that all bidders for a subsequent contract on any subsequent phase of this project have access to the same information, including all conceptual, preliminary, or initial plans or specifications prepared by contractor pursuant to this agreement.

3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use the appropriate generally accepted professional standards of practice existing at the time of performance utilized by persons engaged in providing similar services. CITY will continuously monitor CONSULTANT’s services. CITY will notify CONSULTANT of any deficiencies and CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to CITY’s satisfaction. Costs associated with curing the deficiencies will be borne by CONSULTANT.

4. PREVAILING WAGES.

A.Pursuant to Labor Code § 1720, and as specified in 8 California Code of Regulations § 16000, CONSULTANT must pay its workers prevailing wages. It is CONSULTANT’s responsibility to interpret and implement any prevailing wage requirements and CONSULTANT agrees to pay any penalty or civil damages resulting from a violation of the prevailing wage laws.

B.In accordance with Labor Code § 1773.2, copies of the prevailing rate of per diem wages are available upon request from CITY’s Engineering Division or the website for State of California Prevailing wage determination at http://www.dir.ca.gov/DLSR/PWD . CONSULTANT must post a copy of the prevailing rate of per diem wages at the job site.

C. CITY directs CONSULTANT’s attention to Labor Code §§ 1777.5, 1777.6 and 3098 concerning the employment of apprentices by CONSULTANT or any subcontractor.

D. Labor Code § 1777.5 requires CONSULTANT or subcontractor employing tradesmen in any apprenticeship occupation to apply to the joint apprenticeship committee nearest the site of the public works project and which administers the apprenticeship program in that trade for a certificate of approval. The certificate must also fix the ratio of apprentices to journeymen that will be used in the performance of the contract. The ratio of apprentices to journeymen in such cases will not be less than one to five except:
i.When employment in the area of coverage by the joint
apprenticeship committee has exceeded an average of 15 percent in the 90 days before the request for certificate, or
ii.When the number of apprentices in training in the area exceeds a ratio of one to five, or
iii.When the trade can show that it is replacing at least 1/30 of its membership through apprenticeship training on an annual basis state wide or locally, or
iv. When CONSULTANT provides evidence that CONSULTANT
employs registered apprentices on all of his contracts on an annual average of not less than one apprentice to eight journeymen. v.CONSULTANT is required to make contributions to funds established for the administration of apprenticeship programs if CONSULTANT employs registered apprentices or journeymen in any apprenticeable trade on such contracts and if other contractors on the public works site are making such contributions. vi. CONSULTANT and any subcontractor must comply with Labor Code §§ 1777.5 and 1777.6 in the employment of apprentices.
vii. Information relative to apprenticeship standards, wage schedules and other requirements may be obtained from the Director of Industrial Relations, ex officio the Administrator of Apprenticeship, San Francisco, California, or from the Division of Apprenticeship Standards and its branch offices.

payroll records showing the name, occupation, and the actual per diem wages paid to each worker employed in connection with this Agreement.

The record will be kept open at all reasonable hours to the inspection of the body awarding the contract and to the Division of Labor Law Enforcement.

If requested by CITY, CONSULTANT must provide copies of the records at its cost.

5. PAYMENTS.

A.For CITY to pay CONSULTANT as specified by this Agreement and as set forth in each approved Task Order, CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit “B”), the tasks performed, the percentage of the task completed during the billing period, and the cumulative percentage completed for each task.

B.For services involving the preparation of plans and specifications, payment to CONSULTANT, as provided herein, will not exceed ninety percent (90%) of the total amount for the specific Task Order before completing the plans and specifications. The final 10% will be paid within 45 days after CITY accepts the plans and specifications, as determined by the City Manager.

C. Except as otherwise authorized by CITY’s City Council, the maximum not- to-exceed amount for any individual Task Order will be limited to $250,000.

D. CITY’s City Manager may make payments up to $25,000 for special items of work not included in the project scope of work and services as set forth in the Task Order. Payments for special work will only be made after CITY issues a written notice to proceed for the specific special tasks. A written scope of work, an agreed upon additional fee, a schedule for starting and completing the special tasks, and an agreed upon extension of the time for performance, if needed to complete the special work, will be required before CITY issues a notice to proceed for special work. All special work will be subject to all other terms and provisions of this Agreement.

E.CITY will not reimburse CONSULTANT for the following: staff time or overtime for performing secretarial, clerical, or word processing functions; charges for time spent to provide necessary information for CITY audits, billing or budget inquiries; and computer on line charges.

F.CITY will reimburse CONSULTANT for actual and necessary ordinary out-of-pocket expenses reasonably incurred by CONSULTANT in performance of the service provided by CONSULTANT. Such reimbursement will be at cost, i.e., without mark-up. Examples are as -108-

follows: deposition fees; postage; messenger/process service; and document reproduction.

6. NON-APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for current services are within the current budget and within an available, unexhausted and unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will cover only those costs incurred up to the conclusion of the current fiscal year.

7. ADDITIONAL WORK.

A.CITY’s Director of Public Works (“Director”) may determine, at the Director’s sole discretion, that CONSULTANT must perform additional work (“Additional Work”) to complete the Scope of Work. If Additional Work is needed, the Director will give written authorization to CONSULTANT to perform such Additional Work.

B.If CONSULTANT believes Additional Work is needed to complete the Scope of Work, CONSULTANT will provide the Director with written notification that contains a specific description of the proposed Additional Work, reasons for such Additional Work, and a detailed proposal regarding cost.

C. Payments over $25,000 for Additional Work above the $250,000 individual task order not-to-exceed amount must be approved by CITY’s city council.

All Additional Work will be subject to all other terms and provisions of this Agreement.

8. FAMILIARITY WITH WORK.

A.By executing this Agreement, CONSULTANT agrees that it has:
i.Carefully investigated and considered the scope of services to be performed;
ii.Carefully considered how the services should be performed; and iii.Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement.

B.If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown -109-

conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT’s own risk until written instructions are received from CITY.

9. TERM. The term of this Agreement will be from October 14, 2024 to October 13, 2027. The Director, at CITY’s option, may extend the term twice for not more than a total of five years. Unless otherwise determined by written amendment between the parties, this Agreement will terminate at the end of the Term or as set forth in Section 17, except that the term will be extended to the completion date of any Task Order in effect at the end of the term of this Agreement.

10. TIME FOR PERFORMANCE.

A.CONSULTANT will not perform any work under this Agreement until:
i.CONSULTANT furnishes proof of insurance as required under Section 24 of this Agreement; and
ii.CITY gives CONSULTANT a written notice to proceed.

B.Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT’s own risk.

11. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT’s control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the Director within forty- eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement’s schedule. The Director will extend the completion time, when appropriate, for the completion of the contracted services.

12. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order in which the Exhibits appear below:

13. CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties.

14. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number.

15. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement.

16. WAIVER. CITY’s review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT’s performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character.

17. TERMINATION.

A.Except as otherwise provided, CITY may terminate this Agreement at any time with or without cause.

B.CONSULTANT may terminate this Agreement at any time with CITY’s mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date.

C. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work performed by CONSULTANT after receiving a termination notice will be performed at CONSULTANT'’ own cost; CITY will not be obligated to compensate CONSULTANT for such work.

D. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY’s option, become CITY’s property, and -111-

CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C).

E.Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated.

F.By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY’s termination under this Section.

18. OWNERSHIP OF DOCUMENTS; EXCEPTIONS; WARRANTY. Except as otherwise provided below, all documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT (collectively, “Documents”) under this Agreement are CITY’s property. CONSULTANT may retain copies of such Documents as desired but will deliver all original materials to CITY upon CITY’s written notice. CITY agrees that use of CONSULTANT’s completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY’s own risk. CONSULTANT warrants that all Documents it drafts and completes pursuant to this Agreement constitutes original work. Specifically, CONSULTANT understands and agrees that use of artificial intelligence (AI) tools including, without limitation, ChatGPT, Microsoft’s Bing Chat, Google’s Bard, and Meta’s LLaMA (Large Language Model Meta AI), in the performance of this Agreement does not constitute an original work, i.e., submitting Documents generated by such AI tools to CITY and representing it as CONSULTANT’s original work constitutes a material breach of this Agreement, constitutes a false claim, and may also violate applicable intellectual property right laws including, without limitation, United States Copyright Law. Accordingly, and notwithstanding any other provision of this Agreement as to ownership, CITY specifically rejects ownership of such Documents. CONSULTANT is required to indemnify and defend CITY to the fullest extent allowed by applicable law should it violate this Section.

19. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY’s prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties.

20. INDEMNIFICATION.

A.CONSULTANT must save harmless, indemnify and defend CITY and all its officers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, -112-

any injuries or damages sustained by any person or property arising from, pertaining to, or relating to the negligence, recklessness, or willful misconduct of CONSULTANT or any of CONSULTANT’s officers, agents, employees, or representatives.

B.For purposes of this section “CITY” includes CITY’s officers, officials, employees, agents, representatives, and certified volunteers.

C. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California and will survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 24, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification.

21. ASSIGNABILITY. This Agreement is for CONSULTANT’s professional services.

CONSULTANT’s attempts to assign the benefits or burdens of this Agreement without CITY’s written approval are prohibited and will be null and void.

22. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY.

CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees.

Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only.

23. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement.

24. INSURANCE.

A.Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below:

B.Commercial general liability insurance will meet or exceed the requirements of the most recent ISO-CGL Forms. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as “additional insureds” under said insurance coverage and to state that such insurance will be deemed “primary” such that any other insurance that may be carried by CITY will be excess thereto. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY.

C. Professional liability coverage will be on an “occurrence basis” if such coverage is available, or on a “claims made” basis if not available. When coverage is provided on a “claims made basis,” CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect.

D. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto).

E.CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as -114-

may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of “A:VII.”
F.Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT’s expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to Section 17.

G. Self-Insured Retention/Deductibles. All policies required by this Agreement must allow CITY, as additional insured, to satisfy the self-insured retention (“SIR”) and deductible of the policy in lieu of CONSULTANT (as the named insured) should CONSULTANT fail to pay the SIR or deductible requirements. The amount of the SIR or deductible is subject to the approval of the Assistant City Attorney and the Finance Director. CONSULTANT understands and agrees that satisfaction of this requirement is an express condition precedent to the effectiveness of this Agreement. Failure by CONSULTANT as primary insured to pay its SIR or deductible constitutes a material breach of this Agreement. Should CITY pay the SIR or deductible on CITY’s behalf upon the CONSULTANT’S failure or refusal to do so in order to secure defense and indemnification as an additional insured under the policy, CITY may include such amounts as damages in any action against CONSULTANT for breach of this Agreement in addition to any other damages incurred by CITY due to the breach.

25. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY’s prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation.

26. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update.

27. NOTICES. All communications to either party by the other party will be deemed made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by the addressee upon deposit thereof in the United States Mail, postage prepaid and properly addressed as noted above. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph.

28. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY’s conflict of interest regulations.

29. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT’s bona fide employee, to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT’s bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability.

30. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT’s or CITY’s obligations under this Agreement.

31. INTERPRETATION. This Agreement was drafted in and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in the Los Angeles County.

32. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement.

33. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. There are four Attachments to this Agreement. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns.

34. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party.

35. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect.

36. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. CITY’s Manager, or designee, may execute any such amendment on behalf of CITY.

37. ELECTRONIC SIGNATURES. This Agreement may be executed by the Parties on any number of separate counterparts, and all such counterparts so executed constitute one Agreement binding on all the Parties notwithstanding that all the Parties are not signatories to the same counterpart. In accordance with Government Code §16.5, the Parties agree that this Agreement, Agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by electronic transmission. 38. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement.

39. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement.

40. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties’ reasonable control, then the Agreement will immediately terminate without obligation of either party to the other.

41. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. -117-

EXHIBIT A – SCOPE OF SERVICES

1. Consultant shall provide construction management and inspection services during the construction of federal/state/local funded public works projects. Scope of the inspection and construction management needs shall be on a project by project basis. The actual cost of the inspection services and construction management (CI/CM) will depend upon hourly rate and number of hours of inspection and CM provided. Consultant shall provide daily detailed inspection services to verify that the contract is sufficiently administered and monitored during construction. The on- call agreement may also be utilized for inspections for permitted work in the public right-of-way.

2. Consultant shall prepare and submit daily inspection reports to the City’s Project Manager and City Inspector for signature at the end of each work day. Consultant shall provide to the City a photo log of the project construction prior to and at the end of the construction period.

3. Consultant shall maintain all construction related project files in accordance with Caltrans’ Local Assistance Procedures Manual Chapter 16.

4. Consultant shall coordinate and direct a pre-construction meeting and prepare minutes thereof for each project in which selected to perform CM/CI.

5. Consultant shall interpret the drawings and specifications, including the preparation of elementary sketches, to clarify design details for the proposed resurface project and resolve field conflicts after consultation with City staff.

6. Consultant shall review applicable shop drawings, working drawings, requests for information, manufacturer’s certificates of compliance, mix designs, samples and all other data required to be submitted by the contractor for conformity with the contract plans and specifications. Ensure compliance with City’s Quality Assurance Plan. Document and submit responses to the contractor and to the City after consultation with City staff.

7. Consultant shall evaluate and determine the acceptability of substitute materials and equipment proposed by the contractor and provide recommendations to the City.

8. The Consultant's Construction Manager/Inspector shall report in writing to the Contractor, City’s Project Manager and Resident Engineer once each week to provide an update on progress of the work.

9. Consultant shall evaluate change order requests with regard to both time and payment, and Requests for Information (RFI) as stated in the City's Contract -119-

Documents, coordinate review with Resident Engineer and design professional of record, advise whether the original design intent is thereby altered, and provide recommendations to the City.

10. Consultant shall monitor contract schedule and construction time, conduct all required employee interviews and review of all certified payrolls.

11. Consultant shall review contractor's monthly Progress Payment Requests and make recommendation for approval to the City and prepare and process progress payment requests on the City's forms for approval. Consultant shall ensure written concurrence of contractor on quantities for each Progress Payment or identify any potential claim.

12. In accordance with the City’s Quality Assurance Program, consultant shall coordinate, observe, and approve all tests and other requirements. Consultant shall coordinate both materials testing and independent assurance testing.

13. Consultant shall schedule and coordinate weekly project status meetings.

14. Consultant in coordination with City staff shall prepare a punch list, identify all construction deficiencies, mediate the resolution of such with the contractor prior to final inspection, and provide a written recommendation of final acceptance for the project to the City.

15. Consultant shall coordinate revision of the final design drawings (AutoCAD and PDF) to reflect "As-Built" conditions by contractor in conjunction with the design professional of record based on furnished information, field sketches, and records kept during construction. Contractor shall provide one set of "As-Built" plans on Mylar to the City along with electronic files.

16. At the end of the project, consultant shall assure the contractor provides the City with three (3) copies of any applicable Operation and Maintenance (O&M) Manual, shop drawings, equipment catalog cuts, maintenance manuals supplied by the manufacturers of the equipment, warranties and guarantees associated with installed equipment, and any spare parts that are supplied by the manufacturers.

On-call construction and inspection services are anticipated to include: grinding, crack filling, localized dig outs, ARHM/TRMAC/Conventional A/C, leveling course, base material placement, concrete removal and replacement (alley approaches, curb ramps, drive aprons, sidewalk, curb and gutter), loop detector placement, tree removal, utility adjustments, landscaping, traffic signal placement, park construction, concrete, demolition, landscaping and other miscellaneous scopes of work. -120-

We have had the honor and pleasure of coordinating projects with many nearby City Clients, including the Cities of Montebello, Norwalk, Santa Fe Springs, Cerritos, Downey, Lynwood, South Gate, and Pico Rivera, among others.

From familiarity and experience in Caltrans and Federal Highway Administration (FHWA) documentation, to understanding the guidelines for processing and obtaining grants and funding, to detailed inspection monitoring adhering to project scheduling, staffing, safety regulations and delivering regular and detailed project-related reports to the City, to advancing solutions when faced with change orders and protocal adjustments, our Team has the experience, knowledge and the tools in place to fit the City’s needs. We train our staff in maintaining open and responsive lines of communication with our Clients. We are advocates on behalf of the City. If the City ever has any concern or issue, we will be here to listen, adapt, and adjust to satisfy the City’s needs and to help meet the City’s goals on every assignment. We value our relationship with the City of Bellflower, and will always protect that relationship by being honest and transparent.

When providing consulting services on public works projects, maintaining a positive public perception is paramount to success. We apply multiple mediums for community coordination. OE’s real-time project maps web page, enhanced public notices, and a customized telephone hotline allows stakeholders to understand the project, check on its status, and communicate any concerns. Additionally, organization and safety are a chief concern. This starts with preparing detailed reports and photo diaries in real-time for the City to review, alleviating any headaches by applying these services. OE has provided local agencies with our expertise on hundreds of Capital Improvement Projects (CIP) involving full- service construction management and inspection services to public agencies including projects which required Federal and State grants and documentation. OE was able to navigate these agencies and successfully obtain and manage funds through many local, State, and Federal Funding sources. Our experience is primarily on street and roadway improvements, including grind and overlay, reconstruction, maintenance (slurry and crack sealing), widening, beautification, traffic improvements, and pedestrian accessibility improvements. Our experience also extends to water, sewer, storm drain, and park improvement projects for which we’ve earned 3 awards: Bellflower-Riverview Park, Lynwood-Ricardo Lara Linear Park, and Lake Forest-Cherry Park.

We utilize Box Enterprise for project document control, allowing the City to have access to the project files in real- time and from any device. This is coupled with our proprietary construction tool Orange Vest, which allows us to document work in realtime, and have those quantities, materials, labor, and equipment automatically update quantity sheets, earned value charts, cost over time charts, quantity over time charts, and percent complete over time charts.

Organization and safety are some of our chief priorities when handling Construction Management and Inspection projects. These two issues entail a human element which is not easily read by looking at the plans. OE understands that behind every project are the people involved, and few firms prioritize this philosophy as much as OE does.

Additionally, maintaining a positive public perception is another priority that is paramount to the success of any project.

In regards to organization and public perception, we have applied multiple mediums which we use to distribute project information and we leverage them in providing communication, transparency and organization. This allows stakeholders to understand the project, check on the status of construction and enjoy continual updates, and to communicate relevant information or concerns. Fy 2023-24 Pavement management Program ImPlementation Project, glenDale Majdi served as the QA/QC Manager to the City of Glendale on the Fiscal Year 2023 to 2024 Pavement Management Program Implementation Project. The purpose of this project was to rehabilitate approximately 48,650 linear feet (9.2 miles) of street, a total of 60 streets in all. OE was tasked with providing designs for pavement resurfacing and reconstruction; curb, gutter and sidewalk repairs at 9 separate locations; a total of 124 ADA curb ramps and driveways construction; catch basin enhancements; bus stop improvements and relocations; sewer point repairs; tree well installation and tree planting; utility appurtenance adjustments and relocations; signing and striping; and surveying well monument installations and replacements. Additional work included sewer video inspection to identify sewer defects and preparing sanitary sewer plans for repairs that included point repairs, and sectional and full-length slip lining, along with Traffic Control plans. OE also acquired no-fee permits for ground distrubance work within the City’s right-of-way. DATE: 2024
Fy 2022-23 annual Pavement rehabIlItatIon Project, Phases 1-4, whIttIer Majdi provided QA/QC Management services to the City of Whittier through 4 phases of their Annual Pavement Rehabilitation Project. The project purpose was to rehabilitate approximately 49,000 linear feet (9.3 miles) of 46 streets with a variety of slurry and cape seal, and grind and overlay in order to achieve an extended pavement service life while minimizing future maintenance needs, improve safety and enhance aesthetics. The required work involved pavement, curb, gutter and sidewalk repair and rehabilitation, reconstructing 62 ADA curb ramps (52 with missing truncated domes), replacing 9 cross gutters, utility appurtenance adjusting and relocating, and signing and striping.

The project also required Caltrans Encroachment Permits for streets around Whittier Boulevard, and permits for the Union Pacific Railroad (UPRR) due to street proximity to the right-of-way on the southwest end. OE’s in-house Laser Scanner was utilized to capture visible indications of surface utilities, trees, utility poles, luminaries, fencing, walls, sidewalks, hardscape, signs, and edge of pavement lying within the ramp locations, as well as lip of gutter, flow-line, top of curb, and back of walk elevations were documented. The survey also extended beyond the ramp’s BCRs/ECRs to ensure proper tie-in to the existing infrastructure. DATE : 2022 SECTION : Resumes

Muhammad received his BS in Political Science and Masters in Public Administration from California State University, Long Beach. As the Operations Manager for Onward Engineering, Muhammad is responsible for improving the operational systems, processes, and policies in support of the OE mission, managing and increasing the effectiveness and efficiency of the OE staff, and overseeing and training the OE administrative staff. Additionally, as the head of OE’s Business Development team, Muhammad directs the efforts of the OE proposal writing team and develops marketing programs and campaigns. neighborhooD resiDential streets ImProvement Project - Phases I & II, anaheim Muhammad provided Public Outreach services for the City of Anaheim on this project which encompassed street improvements on a number of residential neighborhoods. The goal of this project was to restore surface integrity, improve the ride quality and safety of the residential streets, and mitigate any potential trip and fall hazards. These large-scale residential neighborhood rehabilitation projects involved parkway improvements by resurfacing the pavement, removal and replacement of ADA access ramps, sidewalk, curb, cross gutters and concrete aprons, pavement markings, signage and driveway approaches. The project limits for phase I were split into thirteen neighborhood areas: 1 The Athena-Omega Neighborhood, with a population of 1,977 residents, is bordered by Ball Road to the north, Sunkist Street to the east, Winston Road to the south, and State College Boulevard to the west.

The scope involved 191,416 sf of asphalt reconstruction and 63,422 sf of slurry seal; 2 The Biscanye Neighborhood, with a population of 578 residents, is bound by Crestwood Lane to the north, Brookhurst Street to the east, Katella Avenue to the south, and Gilbert Street to the west. The scope included 109,760 sf of asphalt reconstruction and 110,483 sf of slurry seal; 3 The Devonshire Neighborhood, with a residential population of 1,551, is bound by by Buckingham Street and the Riverside I-91 Freeway to the north, Gilbert Street to the east, and the Santa Ana I-5 Freeway to the south. The scope included 245,498 sf of asphalt reconstruction; 4 The Jerillee Lane neighborhood, with a population of 1,365 residents, is bordered by the I-91 freeway to the north, Imperial Highway to the east, Santa Ana Canyon Road to the south, and Lakeview Avenue to the west. The scope of work included 312,892 sf of asphalt reconstruction and 63,422 sf of slurry seal; 5 The Key Lane/Westchester Neighborhood, with a population of 7,332 residents, is bound by Orange Avenue to the north, Western Avenue to the east, Ball Road to the south, and Knott Avenue to the west. The scope included 263,302 sf of asphalt reconstruction, 201,012 sf of slurry seal, 4,256 sf of sidewalk, 30 new trees and 6 removed; 12 The Gaymont/ Elm Lawn Neighborhood is bound by Orange Avenue, Stonybrook Drive, and Ball Road to the north; Dale Avenue, Magnolia Avenue, and Gilbert Street to the east; the Anaheim City Limit to the south; and Beach Boulevard to the west. The scope included 397,521 sf of asphalt reconstruction, 201,012 sf of slurry seal; 12,842 sf of sidewalk, 3,187 lf of curb and gutter, and 71 new trees along with 15 removals; 13 The Greenleaf-Hampton Neighborhood is bound by La Palma Avenue to the north, Gilbert Street to the east, Crescent Avenue to the south, and the Anaheim City Limit to the west. The scope included 1,073,430 sf. of reconstruction, 494 tree trimmings, 15 removals and 75 new trees.

The project limits for phase II were split into three neighborhood areas: 1 The Kings Court Neighborhood is bound by Ball Road to the north, Euclid Street to the east, Katella Avenue to the south, and Brookhurst Street to the west. The scope included 1.1 million sf of grind and cap and 1.1 million sf of slurry seal; 2 The Velare Neighborhood is bound by Orange Avenue to the north, Gilbert Street to the east, Ball Road to the south, and Magnolia Avenue to the west. The scope included 260,677 sf of grind and cap and 327,499 sf of slurry seal; 3 The Sabina Neighborhood is bound by La Palma Avenue to the north, Harbor Boulevard to the east, Sycamore to the south, and the Anaheim Boulevard to the west. The scope included 152,605 sf of grind and cap, 185,494 sf of slurry seal. Coordinating with the local residents was essential on these projects. DATE: 2016-2018
street & slurry seal rehabilitation Project - Phases I, II & III, laguna beach Muhammad provided Public Outreach services for the City of Laguna Beach on Phases I, II, and III of this project. The project limits for Phase I (2017) were split into three areas: Area A (Skyline) included 934,523 sf, Area B (Lower Bluebird Canyon) included 158,057 sf, and Area C (Summit Drive) included 185,961 sf. The project limits for Phase II (2018) covered three different regions: Area A: Canyon Acres Drive/Arroyo Drive/Woodland Drive/Laguna Canyon Frontage Road, Area B: Residential streets in downtown (Loma Terrace, Y Place), and Area C: streets between Thalia Street and Cress Street. The project limits for Phase III (2019) included two areas, Area A: Coast Royal, and Area B: South Laguna Village. These areas are in South Laguna Beach, from the neighborhoods between West Street and 10th Avenue/ Sunset Avenue. The work included variable grind and overlay in some areas, and Type I Slurry Seal in other areas.

There was 2,562 square feet of French Drain that was installed in Area A. A 4-inch drain line was connected to a catch basin in Area A as well. The specifications also called for new traffic signal poles at the Skyline Drive, Crestview Drive, and Fern Street Intersections. Lastly, the project encompassed parkway and curb and gutter improvements, signage and striping. Due to the residential element involved, OE provided Web Maps and a Project Hotline for affected residents, keeping them updated and informed through out the life of the project. Muhammad provided the City of El Monte with Public Outreach services for the Santa Anita Active Transportation Program (ATP) Project, CIP No. 890. This project was funded by LACMTA Net Toll Revenue Reinvestment Grant Fund and Measure M funding, totaling $2,200,000. This project entailed cold-milling and ARHM overlay (nearly 200,000 tons). Additionally, the project included video detection and traffic signal updates, and wayfinding sign and bike rack installation at various intersections. The purpose of this project was to improve safety for all roadway users, improve conditions for non-motorized modes of travel thereby promoting pedestrian, cycle and transit use, improve neighborhood connectivity and livability, and to improve the comfort of non-motorized user traveling to and from the El Monte Transit Center and Downtown El Monte. Work was split into three segments, Class II Bike Lane Installation on Santa Anita Avenue from Tyler Avenue to Lower Azusa Road (0.53 miles), Pavement, Curb and Ramp Upgrades on Tyler Avenue from Ramona Blvd. to Santa Anita Avenue (0.97 miles), and Pavement, Curb and Ramp Upgrades on Ramona Blvd. from Santa Anita Avenue to Tyler Avenue (0.36 miles). Delfino “Chino” Consunji is an experienced professional engineer specializing in the design, construction, project management and inspection of buildings, private development and public works projects. Chino’s experience includes working for engineering consultants, contractors, developers, construction management firms and municipal agencies. He has served as City Engineer for the Cities of La Habra, Norwalk, Brea, West Covina and Downey and as Public Works Director for West Covina and Downey. He has managed the design and construction of over 500 projects with a total contract amount of more than $500 million throughout his over 37-year career. These projects included arterial highways and residential streets rehabilitation; intersection widening improvements; traffic signal upgrades, synchronization and safety enhancements; water, sewer, storm drain and NPDES improvements; building and facility improvements; bridge reconstruction and seismic upgrades; and park improvement projects.

local streets rehabilitation, Phase II (asPhalt ImProvements) in zone 3, norwalk Chino was the Construction Manager in the City of Norwalk. The limits were bound by the Union Pacific Railroad to the Northwest, the I-5 Freeway to the Northeast, Imperial Highway to the South, and Firestone Boulevard to Southwest.

The project involved cold mill and ARHM overlay, application of slurry seal to the streets, full depth removal including removal and replacement of base material. The project also included installation of continental crosswalks, traffic signage and detector loop replacement. Incidental work involved replacement of traffic related items such as striping and pavement markings. Work was involved at 1 railroad crossing which required some added coordination. DATE:

resiDential streets rehabilitation Program, Downey
As Public Works Director/City Engineer on this Residential Streets Rehabilitation Program in service to the City of Downey, Chino oversaw the implementation of the City’s Pavement Management Program (PMP) and 10-year residential streets rehabilitation program. To develop a comprehensive and cost-effective 10-year street improvement program, the City was divided into 10 areas or residential neighborhoods with each year corresponding to rehabilitating a particular area or neighborhood. As directed by the City Council, in order to expedite implementation of the 10-year rehabilitation program and significantly increase the City’s overall network pavement condition index or PCI, Chino worked with the City Manager, Finance Director, financial and municipal bond consultants, and Los Angeles Metropolitan Transportation Authority (Metro) for the issuance and sale of $30 million in Measure M and Measure R Sales Tax Revenue Bonds that were used to fund these street improvements. The $30 million in bond proceeds were required to be expended with three years of bond issuance. Rash possesses over 35 years of solid experience in the public works sector. Rash has a wide range of experience on a variety of projects requiring inspection. As an Associate Engineer, he provided public agencies with tasks including design engineering, plan preparation, specification preparation, plan-checking services, inspection services, Construction Management and support, peer review, stakeholder coordination, public outreach, and staff support. Rash has successfully taken multiple projects from the initial Federal funding application, to the Preliminary Environmental Study, to E-76 approval, and all the way through construction of audited Federally Funded construction projects. Through his long- term experience, he has become proactive in identifying potential obstacles before they occur. exPerIence
The following projects were completed by Rash when he was assigned as Inspector in the City of Cerritos between 6/1989 and 1/2011.

Flora vista Dog Park, bellFlower
Rash provided inspection services on the Flora Vista Dog Park for the City of Bellflower. The park is located along the Bellflower bike trail and pedestrian path at the cul-de-sac on Flora Vista Street. The dog park offers an off-leash play area for large and small dogs and both areas are stationed with dog waste dispenser receptacles. The roaming area is bedded with decomposed granite which is a safe and sanitary option used commonly in community parks.

The park entails special features which include: a custom drinking fountain for owners and dogs, drought tolerant landscaping and a dog bone shaped planter which doubles as seating. The scope of work involved installing fencing excavation, removal and replacement of PCC driveways, ramps, curb and gutter, and the construction of DG footpath and a sidewalk with decorative paw prints. Furthermore, the project entailed landscaping. annual street rehabilitation Projects - sltPP FunDeD, cerritos Rash was the inspector on the City’s annual roadway rehabilitation project for six years totaling $3.4 million in maintenance. The work included AC overlay of several Citywide Arterial Streets, and Type I, Type II Slurry Seal, and ARAM application of residential and collector streets. The projects were funded by SLTPP funds and required Caltrans compliance. The work required heavy coordination with residents and businesses, utility work and relocations, and careful management of funds.
artesia boulevarD reconstruction-Phases I & II, cerrItos Rash served as inspector on phases I and II on the Artesia Boulevard Reconstruction Project. The project limits for Phase I were from Carmenita Road to Valley View Avenue. The scope of the work included removing and replacing damaged asphalt pavement, removing and replacing the damaged curb and gutter, and grind and overlay of the existing street. The project also required traffic striping and traffic control. This was federally funded project with an approximate construction cost of $530,000. Rash managed meetings with Caltrans, meeting the federal and DBA requirements, securing federal funds, certified payrolls, and having the project audited. The project limits for Phase II were located from Clarkdale Avenue to Norwalk Boulevard. This project was a multi-agency project with the City

Ludy has over 39 years of civil engineering experience with focus on Project Management and Construction Management. He also has experience in the design of civil engineering projects such as street, sewer, water, and storm drain projects. Ludy has management level experience working in public works departments in cities throughout Southern California. His experience includes public agency budgeting, project implementation, project design, PS&E development, contract bidding, award administration, construction management and project closure reporting. He has selected, directed and managed consultants, architects and engineers as required in order to meet public works department goals and objectives. He has supervised and trained city staff junior engineers. His many responsibilities included providing project management for federally funded projects, and state funded projects. exPerIence
merceD avenue lInear Park Project (cIP 003), el monte
Ludy provided Construction Management services to the City of El Monte on the Merced Avenue Linear Park Project, CIP 003, located on Merced Avenue between Garvey Avenue and Towneway Drive. The improvements consisted of constructing a 1.1-acre linear park within the existing roadway to provide traffic calming through lane reduction, tree planting, seating, picnic areas, play and fitness equipment, sidewalk, planting areas, protective fencing, solar lighting, trash receptacles, bike racks, stormwater retention areas, and all other work as indicated in the construction documents. Replacement of existing 6” and 8” water mainline along the east side of Merced Avenue was also included as part of this project. Additionally, OE provided public outreach support on the project. The Project was funded through the Clean California Grant Funds and Local Funds. DATE: 01/2023-11/2024 neIghborhooD Park renovatIons - cherry Park Project, lake Forest Ludy provided Construction Management and inspection services to the City of Lake Forest on this neighborhood park located on Cherry Avenue, bound by Jeronimo Road to the west, Trabuco Road to the east, Los Alisos Boulevard to the south, and El Toro Road to the north. The work entails grading, landscaping, irrigation, site furnishings, a redesigned play area with resilient surfacing, new playground equipment, and a shade structure. Ludy supplied Construction Management services to the City of Montebello on the Arroyo Drive Improvement Project.

The project limits are on Arroyo Drive from Astra Drive to Glen Avenue. This project includes pavement rehabilitation, ADA ramp, curb and gutter, and driveway repairs, storm drain improvements, and associated improvements. The budget for this project is $1,239,085 made up of STPL Funds ($1,063,000) Measure R ($146,045) and Prop C ($30,040) funds, and full compliance with all applicable requirements was essential.
