Staff Report

City Council

Item No. 6.D

Meeting Date: August 9, 2023
From: Ryan Hunt, Communications and Events Manager
Title: Concessionaire Agreement Renewal (City of Cathedral City & Kick Back Cinemas)

City Council

RECOMMENDATION:

To approve a Concessionaire Agreement with Kick Back Cinemas Cathedral City, LLC to operate the Cathedral City Community Amphitheater's concession stand.

BACKGROUND:

This is a proposed renewal of the Concessionaire Agreement between the City of Cathedral City and Kick Back Cinemas Cathedral City LLC, at the Community Amphitheater. Kick Back Cinemas has been managing the concession stand at this venue since a pilot program was established in October 2021.

The amphitheater is designed to serve as a multi -use venue f or concerts, food truck events, art shows, festivals, outdoor theater, private functions, and as a park for residents and visitors. It has a building located in the southwest corner of the park that contains space for a concession stand.

DISCUSSION:

The management team of the Mary Pickford Theatre (MPT), known as Kick Back Cinemas Cathedral City LLC, approached staff about a few enhancements that could make managing the concession stand a success for both the City and MPT:

• The City will provide an electrical outlet for a kettle corn popper that MPT can use outside the building on the West side or north corner near the front window. • Net Receipts shall be defined as Gross Sales Receipts of Kick Back Cinemas from all sources at the City Event minus the sum of sales tax, cost of goods, and a monthly internet connection for the Concession Stand not to exceed $450 per month, prorated per City Event per Month. An accounting of sales from each event, along with documented expenses and payment in U.S. dollars, s hall be made within 30 days of the end of each event.

6.D
Packet Pg. 441

Cathedral City Page 2 of 2 Printed on 8/3/2023

The MPT is located just down the street from the concession stand. Like the MPT, the operators of the concession stand would sell concessions items such as Popcorn, Hot Dogs, Candy, Fountain or Bottled Soda, Bottled Drinks, Bottled Water, Chips, Cookies, Kettle Corn, Cheese Corn, Coffee, or any other item currently being sold at the MPT that can also be served at the concession stand with its cooking limitations. It would have an exclusive for all conce ssion type items (popcorn, hot dogs, etc.) except for fountain or bottled soda, bottled drinks, bottled water, or cookies and chips that are sold as a meal package at the amphitheater space.

The operators would have the right to not open the concession st and for any event that does not expect to draw at least 100 guests per hour of the event. It would also have the right to directly negotiate the price of products with the lessee of the venue sold during private third-party events.

Having MPT down the str eet is ideal as the operators have the flexibility to send staff from the movie theater to the concession stand when needed. Throughout the years, the managers of the MPT have been partners in a variety of city -financed venues. They have a track record of being honest brokers for record keeping and good property managers.

FISCAL IMPACT:

In lieu of rent, the operators have offered a very generous payment formula allow ing the City to generate revenue to help offset costs of operating, maintaining, and generating a facility reserve fund for improving or replacing wear and tear on equipment.

The operators have offered the following financial formula if they are chosen, once again, to operate the concession stand as a pilot program for the first year:

The operators shall pay the City a license fee (“License Fee”) in the amount of 40% of the Net Revenue Sales for each event which they operate the concession stand for public and private third -party events. Net Sales shall be defined as Gross Sales of Products minus the sum of Sales Tax, Cost of Goods, and a monthly internet connection for the Concession Stand that said connection cost does not exceed $450 per month. An accounting of sales from each event, along with documented expenses and payment in U.S. dollars, shall be made within 30 days of the end of each event.

FIVE-YEAR STRATEGIC PLAN:

Action F-6: Promote additional community events and celebrations.

City Council

Item No. 6.E

Meeting Date: August 9, 2023
From: John Corella, Director of Engineering/Public Works Title: NAI Task Orders for State, Federal and City Project Engineering Support and Project Coordination

City Council

RECOMMENDATION:

To authorize Task Orders 01 through 10 to NAI Consulting, Inc. (NAI) to assist in the Project Management of the Da Vall Drive Interchange, the Ofelia Bringas Memorial Bridge closing out documents, CVAG/ATP Cycle 5, HSIP Cycle 9A , HSIP Cycle 9B, HSIP Cycle 10, and HSIP 11 Projects 1 through 4, in the not to exceed budget amounts of $15,000, $10,000, $15,000, $25,000, $25,000, $10,000, $25,000, $25,000, $25,000, and $25,000, respectively, as part of NAI's On -Call Engineering Support Services Contract for State and Federally Funded Projects; and authorize the City Engineer to execute all the above cited Task Orders.

BACKGROUND:

The City of Cathedral City new biennial budget was approved in May and continues to reflect significant Capital Impro vement work focused on roadways, traffic signals and active transportation via Federal and State funding sources . As a result, the design and the construction of these infrastructure projects continue.

To accomplish the City’s Capital Improvement Program (CIP) goals, the City has found it both efficient and cost effective to biennially bid out for “on call” and/or “as needed services” that provide a specialized service, rather than having full time personnel on Staff that are specialized in that skill set. Regularly called upon to assist the City's Public Works Department (Engineering and Public Works Maintenance Divisions) are civil engineering professionals.

The current State and Federally funded projects that City Staff are working on include:
the Da Va ll Drive/I-10 Interchange, the Ofelia Bringas Memorial Bridge (aka Cathedral Canyon Bridge), CVAG/ATP Cycle 5 Cathedral City Downtown Connectors, HSIP Cycle 9A Traffic Signals Improvements, HSIP Cycle 9B Roadway Safety Improvements on Date Palm Drive/Varne r Road, HSIP Cycle 10 Pedestrian Hybrid Beacon Crossing at Ramon Road and Candlewood Drive, HSIP Cycle 11 -1 Citywide Pedestrian Crosswalk Upgrades (18 intersections), HSIP Cycle 11 -2 Pedestrian Signals for 30 th

Avenue/Avenida La Paz and Cathedral Canyon Dr ive/Ortega Drive, HSIP Cycle 11 -3 Citywide Traffic Signal Hardware Upgrades (49 intersections), and HSIP Cycle 11 -4 Pedestrian School Crossing at 30 th Avenue and San Eljay Avenue. By grouping these projects under the State and Federally funded category, m any or most of the costs expended for these services may be eligible for state and federal reimbursement.

On May 24, 2023, the City Council awarded a 2 -year On-Call Engineering Support and Grant Administration Services for State and Federally Funded Proj ects Contract to NAI Consulting Inc and Interwest Consulting Group. As part of these awards, it was noted that City Council approval will be obtained prior to issuance of the task orders under this contract.

DISCUSSION:

The ten projects listed above are at a time-consuming juncture in the plan preparation, reviewing, processing, and/or bidding processes which leaves limited time for City staff to monitor or manage the activities, especially related to the significant paperwork that these State and Federal projects require for funding reimbursement.

Staff has selected NAI to perform the engineering assistance in making sure that all the State and Federal paperwork and nuances related to such are completed under each projects’ respective program guidelin es. NAI is qualified under Cal trans requirements, to meet their guidelines and eligibility requirements for reimbursements.

Additionally, NAI’s support also provides training for the less experienced staff to understand the State and Federal processes and paperwork required to complete a project.

Some of the overall tasks that NAI will be charged with under these task orders are:

• Coordination with CVAG, RCTC, and Caltrans
• Prepare and submit CVAG and Caltrans project invoices • General project management
• Review consultant invoices
• Review submittals
• General consultant management
• Assist in preparing RFPs for design services
• Assist in preparing bid packages for construction services

All costs will be charged at the On -Call Services approved rates. Accord ing to Section 4 of the NAI Contract (per Caltrans provisions), the City is required to provide each task order with a n approved budget before the consultant can officially start reimbursable work.

Staff is requesting that the City Engineer be authorized to execute task orders to NAI Consulting, Inc. (NAI) in the not-to-exceed amounts shown below as part of NAI's 2-year
