ARTICLE III - Contractor hereby agrees to indemnify and hold City and its officers, agents, employees and assigns, harmless from any liability imposed for injury (as defined by Government code 810.8), whether arising before or after completion of work hereunder, or in any manner directly or indirectly caused, occasioned or contributed to, or claimed to be caused, occasioned or contributed to, in whole or in part, by reason of any act or omission, including strict liability or negligence of Contractor, or of anyone acting under Contractor's direction or control or on its behalf, in connection with or incident to or arising out of the performance of this contract.

With respect to the performance of work under this agreement, the Contractor shall maintain and shall require all of its subcontractors to maintain insurance as described below.

Commercial General Liability insurance with a combined single limit of not less than $2,000,000 per occurrence. Such insurance shall include products/completed operations liability, owner's and Contractor's protective, blanket contractual liability, personal injury liability, broad form property damage coverage and explosion, collapse and underground hazard coverage. Such insurance shall (a) name City, its appointed and elected officials, officers, employees and agents as insureds; and (b) be primary with respect to any insurance or self-insurance programs maintained by the City; and (c) contain Standard cross liability provisions. Such additional insured endorsement maintained by Contractor and its subcontractors shall not be required to provide coverage for City for the active negligence of City.
Commercial Automobile Liability insurance with a combined single limit of not less than $2,000,000 per occurrence. Such insurance shall include coverage for owned, hired and nonowned automobiles and shall be provided by a business automobile policy.

City, at its sole option, may terminate this agreement and/or obtain damages from the Contractor resulting from said breach. Alternatively, City may purchase such required insurance coverage, and without further notice to Contractor, City may deduct from sums due to Contractor any premium costs advanced by City for such insurance.
This insuring provision, insofar as it may be adjudged to be against public policy or in violation of Insurance Code Section 11580.04, shall be void and unenforceable only to the minimum extent necessary so that the remaining terms of the insuring provisions herein may be within public policy and enforceable.

RECLAMITE PROJECT
Pursuant to Section 20104 et. seq. of the California Public Contract Code the Contractor is advised as follows:
(a) (1) This article applies to all public works claims of three hundred seventy-five thousand dollars ($375,000) or less which arise between a contractor and a local agency.
(2) This article shall not apply to any claims resulting from a contract between a contractor and a public agency when the public agency has elected to resolve any disputes pursuant to Article 7.1 (commencing with Section 10240) of Chapter 1 of Part 2. (b) (1) "Public work" has the same meaning as in Sections 3100 and 3106 of the Civil Code, except that "public work" does not include any work or improvement contracted for by the state or the Regents of the University of California.
(2) "Claim" means a separate demand by the contractor for (A) a time extension, (B) payment of money or damages arising from work done by or on behalf of the contractor pursuant to the contract for the public work and payment of which is not otherwise expressly provided for or the claimant is not otherwise entitled to, or (C) an amount the payment of which is disputed by the local agency. (c) This article applies only to contracts entered into or after January 1, 1991.
For any claim subject to this article, the following requirements apply:
(a) The claim shall be in writing and include the documents necessary to substantiate the claim. Claims must be filed on or before the date of final payment. Nothing in this subdivision is intended to extend the time limit or supersede notice requirements otherwise provided by contract for the filing of claims.
(b) (1) For claims of less than fifty thousand dollars ($50,000), the local agency shall respond in writing to any written claim within 45 days of receipt of the claim, or may request, in writing, within 30 days or receipt of the claim, any additional documentation supporting the claim or relating to defenses to the claim the local agency may have against the claimant.
(2) If additional information is thereafter required, it shall be requested and provided pursuant to this subdivision, upon mutual agreement of the local agency and the claimant.

(3) The local agency's written response to the claim, as further documented, shall be submitted to the claimant within 15 days after receipt of the further documentation or within a period of time no greater than that taken by the claimant in producing the additional information, whichever is greater.
(c) (1) For claims of over fifty thousand dollars ($50,000) and less than or equal to three hundred seventy-five thousand dollars ($375,000), the local agency shall respond in writing to all written claims within 60 days of receipt of the claim, or may request, in writing, within 30 days of receipt of the claim, any additional
documentation supporting the claim or relating to defenses to the claim the local agency may have against the claimant.
(2) If additional information is thereafter required, it shall be requested and provided pursuant to this subdivision, upon mutual agreement of the local agency and the claimant.
(3) The local agency's written response to the claim, as further documented, shall be submitted to the claimant within 30 days after receipt of the further documentation, or within a period of time no greater than that taken by the claimant in producing the additional information or requested documentation, whichever is greater.
(d) If the claimant disputes the local agency's written response, or the local agency fails to respond within the time prescribed, the claimant may so notify the local agency, in writing, either within 15 days of receipt of the local agency's response or within 15 days of the local agency's failure to respond within the time prescribed, respectively, and demand an informal conference to meet and confer for settlement of the issues in dispute.
Upon a demand, the local agency shall schedule a meet and confer conference within 30 days for settlement of the dispute. (e) Following the meet and confer conference, if the claim or any portion remains in dispute, the claimant may file a claim as provided in Chapter 1 (commencing with Section 900) and Chapter 2 (commencing with Section 910) of Part 3 of Division 3.6 of Title 1 of Government Code. For purposes of those provisions, the running of the period of time within which a claim must be filed shall be tolled from the time the claimant submits his or her written claim pursuant to subdivision (a) until the time that the claim is denied as a result of the meet and confer process, including any period of time utilized by the meet and confer process. (f) This article does not apply to tort claims and nothing in this article is intended nor shall be constructed to change the time periods for filing tort claims or actions specified by Chapter 1 (commencing with Section 900) December 9, 2025 Regular Meeting of the Exeter City Council

and Chapter 2 (commencing with Section 910) of Part 3 of Division 3.6 of Title 1 of the Government Code.
20104.4
The following procedures are established for all civil actions filed to resolve claims subject to this article:
(a) Within 60 days, but no earlier than 30 days, following the filing of responsive pleadings, the court shall submit the matter to nonbinding mediation unless waived by mutual stipulation of both parties. The mediation process shall provide for the selection within 15 days by both parties of a disinterested third person as mediator, shall be commenced within 30 days of the submittal, and shall be concluded within 15 days from the commencement of the mediation unless a time requirement is extended upon a good cause showing to the court or by stipulation of both parties. If the parties fail to select a mediator within the 15-day period, any party may petition the court to appoint the mediator. (b) (1) If the matter remains in dispute, the case shall be submitted to judicial arbitration pursuant to Chapter 2.5 (commencing with Section 1141.10) of Title 3 of Part 3 of the Code of Civil Procedure, notwithstanding Section 1141.11 of that code. The Civil Discovery Act of 1986 (Article 3 (commencing with Section 2016) of Chapter 3 of Title 3 of Part 4 of the Code of Civil Procedure) shall apply to any proceeding brought under this subdivision consistent with the rules pertaining to judicial arbitration.
(2) Notwithstanding other provision of law, upon stipulation of the parties, arbitrators appointed for purposes of this article shall be experienced in construction law, and, upon stipulation of the parties, mediators and arbitrators shall be paid necessary and reasonable hourly rates of pay not to exceed their customary rate, and such fees and expenses shall be paid equally by the parties, except in the case of arbitration where the arbitrator, for good cause, determines a different division. In no event shall these fees or expenses be paid by state or county funds.
(3) In addition to Chapter 2.5 (commencing with Section 1141.10) of Title 3 of Part 3 of the Code of Civil Procedure, any party who after receiving an arbitration award requests a trial do novo but does not obtain a more favorable judgment shall, in addition to payment of costs and fees under that chapter, pay the attorney's fees of the other party arising out of trial de novo.

(b) In any suit filed under Section 20104.4, the local agency shall pay interest at the legal rate on any arbitration award or judgment. Staff recommend that the City Council authorize the purchase and installation of two (2) Siemens flow meters for the Wastewater Treatment Plant in the amount of $34,553 with a total project cost of $38,008.30 including project management. The installation of these flow meters is necessary to maintain operational efficiency and ensure continued compliance with the State of California wastewater monitoring requirements.
The City of Exeter Wastewater Treatment Plant relies on accurate flow measurement to monitor wastewater volumes, ensure compliance with state and federal discharge permits, and maintain efficient plant operations. The existing flow meters have exceeded their service life and are no longer functioning reliably, creating the potential for operational and regulatory risks and fines. Replacement of this unit is necessary to ensure continued compliance and safe operation of the treatment facility.
Accurate flow measurement is critical to the effective and compliant operation of the City of Exeter Wastewater Treatment Plant. They provide critical data used to manage every stage of the treatment process, from raw sewage intake to treated water discharge. Staff reviewed available equipment options and determined that the flow meter must be fully compatible with the existing treatment plant instrumentation and SCADA systems. Based on this evaluation, Telstar Instruments is the only vendor capable of supplying the required equipment and services.

Re: Sole Source Memorandum for Telstar Instruments flow meters Telstar Instruments has provided a quote, included with the staff report, to supply and install flow meters per City Staff requested specifications. It is the opinion of Staff, that for the reasons below, we sole source this project.
Sole Source Justification
Telstar Instruments is the only qualified and authorized vendor capable of furnishing the required flow meter equipment and services for the following reasons:
1. Proprietary System Integration
The existing flow meter system is designed around Telstar’s proprietary programming, firmware, and communication protocols. Replacement with non-Telstar equipment would require full system redesign, reprogramming of the plant’s SCADA system, and revalidation of regulatory reporting functions, resulting in substantial cost and operational risk.
2. Certified Calibration and Regulatory Compliance
Telstar provides manufacturer-certified calibration and verification services that are required to maintain accuracy standards for state and federal regulatory reporting. Alternative vendors are not certified to calibrate or validate these specific instruments within the City’s existing configuration.
3. Exclusive Access to Parts and Technical Support
Telstar maintains exclusive access to original parts, firmware updates, and specialized diagnostic tools required to maintain and troubleshoot the installed equipment. Other vendors do not have access to these proprietary components.
4. Operational Continuity and Risk Management
The flow meters are critical to uninterrupted plant operations. Transitioning to a different vendor would require extended system downtime, additional staff training, and potential violations of discharge permit conditions due to loss of accurate flow data.
5. Cost and Time to Convert
While alternative vendors may offer similar equipment, conversion would require:
o Replacement of existing control hardware,
o SCADA system reprogramming,
o Electrical and instrumentation redesign,
o Additional engineering and inspection,
o Re-certification for regulatory reporting.

Wastewater Treatment Plant to Restore Operational Reliability and Regulatory Compliance, at a Total Project Cost of

Submitting Department:
Public Works
Contact Name:
Zachary Boudreaux, Public Works Director
Staff recommend that the City Council authorize the expenditure of $29,704.29 for the repair of the clarifier gearbox at the Wastewater Treatment Plant. These repairs are essential to support operational efficiency, maintain the integrity of the treatment plant, and ensure compliance with State of California regulatory requirements.
The City of Exeter Wastewater Treatment Plant relies on the Clarifiers, typically the first major treatment step after preliminary screening, focusing on removing most settleable and floating solids from raw wastewater. Clarifiers are located after the biological treatment stage. Their main purpose is to separate the biological mass (activated sludge) generated by the microorganisms from the treated water, a portion of which is often returned to the biological process to maintain the microbial population.
Condition assessments and recent maintenance inspections have documented advanced mechanical degradation of the gearbox, including abnormal vibration, elevated operating temperatures, audible gear noise, oil seal failures, and metal particulate contamination in the lubricant. These conditions indicate loss of gear tooth integrity and bearing wear, consistent with end-of-service-life failure. Continued operation in this condition presents a high risk of catastrophic gearbox failure, which would result in loss of sludge collection capability, excessive For action by:

solids carryover, and hydraulic short-circuiting of the clarifier. This would directly compromise effluent quality, potentially leading to permit violations, regulatory enforcement actions, and increased operational and maintenance costs.
Immediate repair or replacement of the clarifier gearbox is required to restore reliable mechanical performance, maintain treatment process integrity, and ensure continued compliance with Regional Water Quality Control Board and State Water Resources Control Board discharge permit requirements. Proactive repair will also reduce the risk of unplanned outages, emergency procurement, and secondary damage to clarifier mechanisms.
Clarifiers are essential in wastewater treatment plants for process control, ensuring regulatory compliance, and optimizing operational efficiency. The clarifiers are a critical drive component that provides rotational power to the sludge collector and scum skimmer mechanisms. This equipment operates continuously under high load and in a highly corrosive wastewater environment, and is essential to maintaining proper solids settling, sludge transport, and overall process stability.
Based on this evaluation, and recent inspections and condition assessments have confirmed that the clarifier gearbox has deteriorated to a point that warrants immediate repair. Warren & Berg are the only vendors capable of supplying the required equipment and services. The quote for the repair from Warren & Berg is $24,549.00, staff is also requesting a 10% for contingency of unforeseen conditions and a 10% for project management for a total project cost of $29,704.29.

Re: Sole Source Memorandum for Warren & Baerg repair of the Clarifier Warren & Baerg has provided a quote, included with the staff report, will perform all repairs needed per City Staff requested specifications. It is the opinion of Staff, that for the reasons below, we sole source this project.
Sole Source Justification
Warren & Baerg the only qualified and authorized vendor capable of in repairing the Clarifier and any necessary parts and equipment that may be needed for the following reasons:
2. Exclusive access to original parts and specifications Warren & Baerg maintains access to original specifications, materials, and replacement parts required to correctly repair and rehabilitate the clarifier. Alternative vendors are not certified to calibrate or validate these specific instruments within the City’s existing configuration.
3. System integrity and performance assurance
Repairs performed by other vendors could compromise the structural integrity, alignment, and all-around performance of the clarifier that will cause safety hazards and a mechanical breakdown.
4. Operational Continuity and regulatory compliance
The clarifier is a vital part of the treatment plants process and when its down, it has a signific impact on this process that can result on us being in non-compliance with the state
5. Cost and time to replace or convert
While alternative vendors may offer similar equipment, conversion would require:
o Reverse engineering of proprietary components,
o Fabrication of non-standard parts,
o Electrical and instrumentation redesign,
o Additional engineering and inspection,
o Re-certification for regulatory reporting.
These costs and operational risks significantly exceed the cost of procuring replacement equipment directly from Warren & Baerg.

Subject: Proposal for Citywide Classification and Compensation Survey – RFP No. 2025-01 Dear Ms. Quintana,
Synergized HR, LLC is pleased to submit this proposal to conduct a comprehensive Citywide Classification and Compensation Survey for the City of Exeter. As a veteran- and woman-owned HR consulting firm, we specialize in classification and compensation studies, workforce analysis, and HR modernization for public agencies throughout Colorado and across the United States.
Our firm brings direct, hands-on experience leading similar initiatives for municipal governments, water and sanitation districts, and quasi-public organizations, ensuring that compensation systems remain equitable, competitive, and compliant. I personally led Centennial Water & Sanitation District’s first comprehensive compensation review—an effort that balanced internal equity, budget stewardship, and stakeholder transparency—experience directly relevant to the City’s goals.
We understand that Exeter’s objective is to validate and align all full-time positions under a clear, datadriven structure that supports retention, equity, and fiscal accountability. Having spent considerable time supporting operations and workforce initiatives in Kings County while with Leprino Foods Company, I’m familiar with the region’s labor market dynamics, competitive pressures, and community-centered work culture. Our proposed methodology mirrors that purpose: structured data collection, rigorous market benchmarking, internal equity review, and actionable recommendations delivered in a transparent final report and presentation to Council.
Most recently, our firm was awarded a comparable Classification and Compensation Study for a Colorado public entity, demonstrating the strength of our methodology, client trust, and proven results.
