B. Lessee desires to exercise its option to terminate the Lease. The City has requested that Lessee extend the Lease through June, 2022, in order to allow City to conduct an orderly search for a replacement tenant that meets its qualifications, and to provide a continuity of management of the facility and its events in the interim. Lessee and the City have agreed to an extension on the terms and conditions as hereinafter set forth.

AMENDMENT:

NOW, THEREFORE, in consideration of the mutual covenants and conditions herein set forth, and for other good and valuable consideration, the receipt of which is hereby acknowledged by both parties, City and Lessee hereby agree that the Lease is amended as follows. In the event of a conflict between the terms of the Lease and those of this Amendment, the terms of this Amendment shall prevail.

1. Section 2.02, entitled, “Term,” is hereby modified to provide thatthe lease shall terminate as of midnight, June 30, 2022 (the “Lease Termination Date”).

2. Lessee’s obligation to maintain and contribute to the Capital Improvement Account established in Section 2.09 is hereby terminated effective June 30, 2021 (the “Capital Improvement Account Termination Date”). City and Lessee hereby confirm that:
(d) Lessee has no other obligation for contribution to the Capital Improvement Account, and the Lessee has made no equipment purchases for or improvements to the Premises for which there would be an obligation for payment by City to Lessee, as of the Capital Improvement Account Termination Date; and

3. Section 2.11, entitled, “Rent,” is hereby modified, effective as of January 1, 2022 (the “Management Fee Commencement Date”), such that Lessee shall not be obligated to pay rent thereafter. However, commencing January 1, 2022, and continuing thereafter until the expiration of this Lease on June 30, 2022:

A. City shall pay Lessee a “Management Fee” in the amount of $8,333.33 per month, payable on the first of each month commencing January 1, 2022; and B. As of the Management Fee Commencement Date, Lessee shall establish an operating account (the “Operating Account”) forthe Premises into which Lessee shall deposit all income generated by operations at the Premises and from which shall be paid all expenses incurred in such operations. Within 45 days after the Lease Termination Date, Lessee shall pay City all net income received from operations at the Villa for the period commencing as of the Management Fee Commencement Date and through the Lease Termination Date (the “Management Fee Period”). Net income comprises all income minus expenses, including all normal expenses for the Villa and its operations, all costs and expenses required to be paid by Lessee under the Lease, such as (without limitation) costs of Caretaker under Section 2.05, repairs and maintenance under Section 2.06, operating costs under Section 2.08, B, garbage and utilities under Section 2.08, C, and any taxes paid by Lessee under Section 3.22.

Lessee shall provide to City, on a monthly basis throughout the Management Fee Period, a statement for the Operating Account, which indicates all deposits to and expenditures from the Operating Account.

If the Lessee incurs any extraordinary expenses during the Management Fee Period, such as the replacement of a major item of equipment at the Premises, the cost for which may exceed the total net income for the Management Fee Period, Lessee will notify and may seek reimbursement from the City. Except in the case of emergency, Lessee shall obtain City’s approval of any extraordinary expenses before they are incurred.

4. Lessee agrees to provide reasonable cooperation to City in its efforts to find a replacement tenant that meets the City’s qualifications, and to provide a continuity of management of the facility and its events, including providing such information as to the Premises and its operation as may reasonably be requested, and meeting with potential replacement lessees/operators for the Premises, provided that Lessee shall not be required to incur any cost or to dedicate such time or effort as would interfere with its operations at the Premises or its other business ventures.

Packet Pg. 955 Attachment: Request for Proposals (3592 : Villa Chanticleer Update) Preliminary response to City of Healdsburg RFP regarding Villa Chanticleer operations and business focus
Section 1: Introductory statement, interest in project, and overview of firm, organization or individual Milestone Events Group is interested in helping the City of Healdsburg maximize the community resource of Villa Chanticleer as it relates to the current constituents using the site as well as other groups that may have an interest including those willing to pay a market rate for use of the property.

We are an events marketing and management firm www.milestoneventsgroup.com with an 8-year record of helping properties generate event related income while maintaining positive relations with the various constituents that typically interact or are affected by such sites and such use. This balance includes accommodating the tasting room business, wine club business, equestrian related activities, nonprofit commitments, and high income producing social and corporate related events associated with the sites we work with. We do this by balancing the needs of each group and without alienating neighbors. Additionally, the sites we work with are provided with clear standard operating procedures we develop in conjunction with them to enable maximum event production efficiently still enabling the customization and the consistency that individual clients appreciate.

Milestone is a California LLC and the current personnel associated with the company can be found by clicking About Milestone - Milestone Events Group
Section 2: Proposer’s team, qualifications, roles and responsibilities, and experience with similar facilities or similar types of work.

The current team is depicted in the link above including their roles and responsibilities. Also, by clicking www.milestoneeventsgroup.com, you will see the wedding and corporate sites we currently work with.

Nonprofit events we support do not have a separate page but currently fold in. Given the volume at the Villa, and our experience in working with community groups / nonprofits, we would suggest and if approved, prepare an editable PDF and calendar that these groups can utilize to request dates, provide specifics regarding their events and enable clear communication to occur. A sample is attached.

Section 3: Venue management - How would you operate the Villa? - What unique or different operational aspects would you bring to the operation? - What opportunities and challenges do you foresee in managing the venue? - What improvements would you anticipate needing to be made as part of your operation? - How do you propose to maintain and support the Villa's role as a treasured community asset?
We can pursue the current model and adjust it for current costs and revenue opportunities. That may be a viable option but one that is not as optimal as might be possible. The reason for some concern in this area relates to the volume of activities at the site combined with the deferred maintenance that presents both operational, ADA and true income producing issues. Our reach vision is that we partner with an organization such a Corazon Healdsburg whereby we do some or all the following:

8.A.b
Packet Pg. 956 Attachment: Milestone Proposal (3592 : Villa Chanticleer Update) A. We review the current community commitments and work to relocate those entities to other locations within Healdsburg. These relocations may be permanent or temporary (for a few years) and may be done largely all at once or phased in over a year period. The start date of this plan will be dependent on “C” below.

B. We contact the current wedding clients and clients that are paying more near market rate and successfully produce their events for the 2022 calendar year. We have successfully done many such transitions such as this at other sites we have worked with. We want these clients to not feel anxiety associated with the management transition.

C. We begin work immediately prior to full transition to produce an initial site improvement plan in conjunction with any applicable constituents (City, Corazon Healdsburg, other?). This is something we always do at every site we work with, and it is always a multiyear plan. We then begin to market the site around the site improvements that are approved. This often proves to be a chicken and the egg scenario and unless an open period can be found each season, sites never get better and the overall business results never reach the levels desired. We sell into each next season showing the impending improvements (we do the renderings). Some of them are simple and cosmetic and others are more than that, but this process lets a site budget for the improvements based on our past years success giving them increased confidence in the return on their investment. With a key nonprofit partner in the mix, we can also explore a nonprofit plan and event(s) to help raise dollars for site improvements associated with the site.

D. As the site is brought to a competitive level, we work with the City and the nonprofit partner and re rationalize which entities begin their return to the Villa.

Section 4: Financial plan - What is your general financial plan for operating the Villa? - Do you have creative financing tools or mechanisms in mind that would help support the operation and achieve the goals laid out in this RFP? - Do you anticipate needing financial assistance from the City for the operations to be successful?
We are a for profit organization and possess the capabilities to increase both awareness of and income associated with this site. We also have the proven skills now to ensure the site is operated in an efficient manner (lower costs for all, as safe as can be for all, as neighbor friendly as possible) using tools, and procedures that currently exist. Our ability to share in this income (as we do with all sites) is largely dependent on our costs and the costs of working at a site. To the extent we have increased financial friction, we therefore have increased financial costs and that ultimately costs the City of Healdsburg. Therefore, we are suggesting we get the site more competitive as quickly as possible and find a substantial nonprofit partner to help us interface with the overall community to everyone’s benefit. Depending on what the nonprofit(s) are willing to do to help (personnel, dollars & when) we can work to enable them to earn their contribution for the use of this site for the benefit of their constituents.

We have financial models that can readily be utilized to help all parties determine the opportunity this site presents but until we determine if Corazon is that partner, and what the City is open to relative to the needed site upgrades, we are unable to present a finance plan.

Section 5: Any additional supporting information deemed beneficial for the City’s review.

CITY OF HEALDSBURG

CITY COUNCIL AGENDA STAFF REPORT
MEETING DATE: May 16, 2022
SUBJECT: Annual Water Supply update as required by the Urban Water Management Plan
PREPARED BY: Terry Crowley, Utilities Director
STRATEGIC INITIATIVE(S):

Provide Effective Governance
RECOMMENDED ACTION(S):

Receive a report regarding the status of the City's water supply and forecasted water demands through June 2024.

COMMUNITY ENGAGEMENT/OUTREACH:

No community engagement was sought for this item.

BACKGROUND:

With the 2020 Urban Water Management Plans (UWMP) the Department of Water Resources (DWR) required all water suppliers to provide annual water supply and demand updates.

Included in the annual updates is current year’s forecasted water supply and demand along with an assumption that the following year will meet the single dry conditions as described in the UWMP. This information can help communities prepare for water shortages and plan to implement portions of their water supply contingency plans.

Healdsburg’s water supply and demand vary with seasonal changes. During the winter months water usage is low and water supplies tend to be high. During the summer months, Healdsburg’s water usage more than doubles while water supplies are at the most restricted levels. This pattern of high summer demand and restricted summer water supplies creates seasonal constraints and a need for increased efficiency in Healdsburg’s landscape irrigation.

DISCUSSION/ANALYSIS:

With several or extreme drought conditions covering the state, the Russian River Watershed is experiencing its third consecutive dry year. While rains and storage levels have improved, there remains a need for conservation during the coming summer months. The State Water Control Board (Board) is planning to mandate a 20% conservation level statewide along with other bans

9.A
Packet Pg. 961
on certain types of use of potable water. The statewide 20% conservation target is aligned with likely conservation targets within the Russian River Watershed and the City’s current Stage-2 (20%) water conservation mandates.

The chart below shows Healdsburg’s average water demands and forecasted demands for the calendar year 2022. The average water demands are based upon metered usage during calendar years 2017, 2018, and 2019. Of note is that Healdsburg’s average water demand significantly increases during the summer months, in some months more than doubling use during winter months. This seasonal increase in water demands is largely due to outdoor irrigation. The uppermost line on the graph indicates the City’s water supplies under normal conditions. While under normal conditions the City water supply is adequate for current needs and future growth, during years of below average rainfall or prolonged drought there is a need for conservation. 2022 Chart – Average water usage based upon 2017 through 2019 against forecasted demands for the summer and fall of 2022.

Also shown on the 2022 chart is the Board’s forecasted 20% statewide conservation need.

Within Healdsburg, this summer’s conservation need is expected to be 20%. Spring rains and predicted flows through the Potter Valley Project have helped improve water supplies over last summer and therefore conservation needs have been significantly reduced from last summer.

Should conservation not reach the 20% target or water supply conditions change, there may be a need to increase conservation levels to 30% in the later summer months. As most summer water demands are driven by irrigation needs, reducing irrigation demands will be critical in achieving conservation targets.

For calendar year 2023 and the first half of 2024, the Board requires water suppliers to predict water supplies and demands under a single dry-year condition. For Healdsburg, a single-dry condition is expected to be similar to recent droughts in years 2014, 2015, and 2021. For a

9.A
Packet Pg. 962
conservative approach, City staff assumes 2021 conditions represents the worst-case scenario for a single dry year. During 2021, the City lost the use of all permitted water rights. This left Healdsburg with only a Human Health and Safety (HH&S) exemption to divert water from the Russian River and Dry Creek. Under a petition filed with the Board, Healdsburg requested a total HH&S water limit of 112 gallons per capita day (GPCD). This limit represents the combined needs of both residents, businesses, and institutional needs throughout Healdsburg.

This number also represents a roughly 50% decrease in water usage during the summer months and is the basis of supply restrictions for single dry years. 2023/24 Chart – Average water usage based upon 2017 through 2019 against 2023 through June of 2024 forecasted demands under dry-year conditions (Human Health & Safety needs).

To achieve a 50% reduction in water usage the City would need to implement Stage 5 of the current water shortage contingency plan. Stage-5 significantly restricts outdoor water usage, initiates water budgets for residential customers, and delays new water connections. The 2023 chart shows water supplies and demands starting calendar year 2023 and through June of 2024.

The demand reduction shown is very similar to summer of 2021 water conservation efforts.

Again, the dry-year forecast is a planning exercise and not what is expected for calendar year 2023.

City staff continue to develop alternate water supplies that are not immediately impacted by lowrain years. These projects include aquifer storage and recovery wells (ASR) and a municipal recycled water pipeline. While the City has received partial funding for the recycled water pipeline, no funding is yet avaible for the ASR project. In addition to the pursuit of long-term water supply projects, the City will need a continued effort in effecting efficient landscape irrigation.

9.A
Packet Pg. 963
There is no recommended action with this staff report. Staff is providing this information to meet a regulatory requirement and the current stage of water conservation (Stage 2) is anticipated to accommodate forecasted reduction in water supplies. Over the summer, staff will continue to update the Council and Community regarding water supply and Healdsburg’s conservation target.

ENVIRONMENTAL STEWARDSHIP:

The annual water supply and demand update increases the Council and Community’s awareness of a finite natural resource. A better understating in this area ultimately will lead to improved management of Healdsburg’s water supply.

ALTERNATIVES:

There are no actions requested or alternatives provided with this staff report.

FISCAL IMPACT:

There is no fiscal impact directly associated with this staff report. Continued conservation and development of new water supplies will create a fiscal impact on Healdsburg’s Water Department. Conservation will lower fiscal year revenues and additional projects will increase capital costs as well as ongoing operational costs. Conservation efforts will help to lessen the need for new water supplies and help reduce total fiscal impacts.

ENVIRONMENTAL ANALYSIS:

Pursuant to California Environmental Quality Act (“CEQA”) and Title 14, the California Code of Regulations Section 15378(b)(2), continued administrative actions do not qualify as a “Project”. Therefore, no further CEQA or environmental review is required.

CITY OF HEALDSBURG

CITY COUNCIL AGENDA STAFF REPORT
MEETING DATE: May 16, 2022
SUBJECT: Process and Options for Filling the Vacancy on the Healdsburg City Council
PREPARED BY: Raina Allan, City Clerk
STRATEGIC INITIATIVE(S):

Provide Effective Governance
RECOMMENDED ACTION(S):

Staff recommends that City Council discuss and provide direction regarding one or more of the following options, to be brought back to the City Council at an upcoming meeting:

1. Determine that the vacated seat be left empty until filled by the November 8, 2022, Election, at which time the person elected on November 8, 2022 will serve a 2-year term; or

2. Identify a member of the public who resides in the City of Healdsburg and is a registered voter to fill the vacant Council seat until such time the General Municipal Election occurs on November 8, 2022, and a person is elected to a 2-year term.

COMMUNITY ENGAGEMENT/OUTREACH:

Discussing this action on May 16, 2022 and returning to the City Council at a later meeting with a more formal action allows the public additional time to consider options regarding the vacant council seat.

BACKGROUND:

Council Member Skylaer Palacios was elected to the Healdsburg City Council in November 2020 to a four-year term ending in December 2024. At the end of the City Council meeting on May 2, 2022, Council Member Palacios resigned her seat on the City Council.

DISCUSSION/ANALYSIS:

Pursuant to the City’s Municipal Code and State law, the City Council will have 60 days from the effective date of the vacancy to fill the vacancy by appointment or call for a special election.

9.B
Packet Pg. 965
As Councilmember Palacios’ seat became vacant on May 2, 2022, sixty (60) days from that date is Friday, July 1, 2022.

Government Code Section 36512(b)(2)(A) states: “If the vacancy occurs in the first half of a term of office and at least 130 days prior to the next general municipal election, the person appointed to fill the vacancy shall hold office until the next general municipal election that is scheduled 130 or more days after the date the council is notified of the vacancy, and thereafter until the person who is elected at that election to fill the vacancy has been qualified. The person elected to fill the vacancy shall hold office for the unexpired balance of the term of office.” Councilmember Palacios resigned 190 days before the next general municipal election.

Healdsburg Municipal Code Section 2.4.010 states that the general municipal election of the City is held on the same day as the statewide general election. The next statewide general election is November 8, 2022. Council must thus call a special election to fill the vacancy. The special election should be consolidated with the November 8, 2022, General Election. The last day for the Council to call the special election is July 6, 2022.

This situation is different than the previous vacancy on the Healdsburg City Council that occurred in 2020. In that instance, the seat became vacant less than 130 days prior to the next general municipal election, meaning that the City Council had the option to make an appointment for the remainder of the unexpired term. In that case, GC Section 36512(b)(2)(B) governed: “if the vacancy occurs in the first half of a term of office, but less than 130 days prior to the next general municipal election, or if the vacancy occurs in the second half of a term of office, the person appointed to fill the vacancy shall hold office for the unexpired term of the former incumbent.”
In this instance, the Council has these options:

1. Call for a special election on November 8, 2022, but do not fill the Council seat with an appointment. If the Council chooses this path, it must call for the special election not later than July 6, 2022, so that the election may be consolidated with the already scheduled November 8 election.

Provided that a Special Election is called by July 6, 2022, the City Council may leave the seat vacant until the November election.

2. Fill the vacancy by appointment until the November 8, 2022, general municipal election.

If the Council does this:
a. It must make the appointment by Friday, July 1, 2022 (60 days after Ms. Palacios resigned).
b. The appointee must legally reside within the City limits of Healdsburg and be registered to vote.
c. It must call for the special election not later than July 6, 2022. Doing so consolidates the special election with the November 8, 2022 election.

9.B
Packet Pg. 966
d. The person appointed to fill the vacancy will hold office until the next general municipal election and thereafter until the person who is elected at that election to fill the vacancy has been qualified. Gov’t Code §36512(b)(2)(A).

The person elected in November will serve for the remainder of Council Member Palacios’s term, which expires in December 2024.

In summary, the deadlines are:

Options Deadline
Leave seat vacant, call for an election • Call for an election by July 6, 2022 (election will be November 8)
Appoint someone to serve until the election • Appoint a member of the public by July 1, 2022
• Call for an election by July 6, 2022
(election will be November 8)
Considerations should the Council pursue to appoint a Council Member to serve until the election. As noted, the appointment must be made no later than sixty (60) days from the date Ms.

Palacios’ seat became vacant. A common practice includes having the Council establish a process to consider applicants and determine whom to appoint. The process could include asking for letters of interest or developing a formal application (similar to the way Council handled the vacancy in 2020) to be submitted to the City Clerk. Any letter of interest or applications received would be public information.

Interest letters may include questions like:
• Why the applicant is interested in the appointment;
• What the applicant believes are the most pressing issues that need to be addressed over the coming months or years within the city, along with how the applicant can assist in addressing those issues; and
• What the applicant values about living in the city of Healdsburg.

In a prior Council vacancy, Council opted to fill the vacancy by appointment with an application process. Staff has attached the prior application to this report.

As the City Council considers options, staff notes that the process to on-board a new councilmember is complex and time consuming. It is also dependent upon the knowledge and experience of the appointee. Given the relatively short amount of time between a possible appointment and the November election, as well as the planned City Council recess in July, an appointed councilmember would likely only attend about 6 City Council meetings. Although it is ideal to have a full City Council to, among other things, reduce the chance of votes ending in a tie, that value may not be offset by the commitment required to appropriately support a temporary councilmember. Therefore, staff recommends that the City Council only pursue a

9.B
Packet Pg. 967
short-term appointment if the Council believes that candidates with significant experience with City operations are likely to be available and interested.

Frequently Asked Questions (FAQs)
1 – Does the Council have to appoint someone to the vacated seat? No. The seat could remain vacant until the November 8, 2022 election.
2 – Why was the Council able to appoint a Council Member for the full term to fill the Council vacancy in 2020, but this time they can only appoint until the November election? In both cases, the City was and is required to comply with the Government and Elections Code. In 2020 the vacancy occurred 123 days before the next election, less than the 130-day cut off in the Government Code. Government Code Section 36512(2)(B) states: “If the vacancy occurs in the first half of a term of office, but less than 130 days prior to the next general municipal election…the person appointed to fill the vacancy shall hold office for the unexpired term of the former incumbent.” Here, the vacancy occurred 190 days, more than the 130-day cutoff.

Section 36512(2)(A) states that, if the vacancy occurs at least 130 days prior to the next general municipal election, the person appointed shall hold office until the next general municipal election.
3 – If a special election is called, how will the ballot be set up? Registered voters in Healdsburg would be asked to vote in two separate races on the November 2022 ballot. One race will be the expected multiple candidates running for two (2) seats that have a four-year term for each of the two top vote-getters. The second race will include those persons running for a single two-year term. The top vote getter in the second race would serve the two-year term. The ballot might look roughly like this:

CITY OF HEALDSBURG
City Council – Four-Year Term
Vote for Two (2)
Knope, Leslie
Swanson, Ron
Meagle, Donna
Treager, Chris
Dwyer, Andrew
Wyatt, Ben
Ludgate, April
City Council – Two-Year Term
Vote for One (1)
Perkins, Ann

9.B
Packet Pg. 968
Saperstein, Jean-Ralphio
Haverford, Tom
Gergich, Jerry/Terry/Gary
4 – Can the same person run in both races – the race for the three four-year terms and the race for the single two-year term? No. California Elections Code section 10220.5 states:
“notwithstanding any other provision of law, a candidate shall not file nomination papers for more than one municipal office or term of office for the same municipality in the same election.”
5 – Does the third highest vote getter in the race for the two four-year term seats automatically win the 2-year term? No. The 3rd highest vote getter in the race for the two four-year term seats is not seated in either race.

ENVIRONMENTAL STEWARDSHIP
Not applicable.

ALTERNATIVES:

Alternatives have been addressed above.

FISCAL IMPACT:

The estimated cost for the General Municipal Election to be held in November 2022 for three Council seats is $2.50 - $7.00 per voter or $21,008 to $58,821. The cost for two ballot measures is $3.00 - $5.00 per voter or $25,210 - $42,016.

ENVIRONMENTAL ANALYSIS:

Pursuant to Title 14, the California Code of Regulations, Section 15378(b)(5) of the California Environmental Quality Act (“CEQA”) guidelines, the proposed action is an administrative activity of the City that will not result in direct or indirect physical changes to the environment.

1 COMPLETED AND SIGNED APPLICATION MUST BE FILED WITH THE HEALDSBURG CITY CLERK BY: FRIDAY, JULY 3, 2020, AT 12:00 P.M. NOON. We apologize for the fast turnaround time – this is due to a July 12, 2020 deadline associated with calling for a special election associated with this seat.

APPLICATION FOR APPOINTMENT TO THE HEALDSBURG CITY COUNCIL This application is to fill a vacancy on the Healdsburg City Council. The Healdsburg City Council will review applications in a public setting and may set up a public interview process for each candidate.

The Council may decide to make no appointment at all and to call a November 3, 2020 Special Election to fill the seat, to make an appointment until the same Special Election is called (therefore the term on Council would be for roughly 4-5 months), or to not call a Special Election and to make an appointment for the remainder of former Mayor Leah Gold’s term of office (which ends in December 2022).

This application is a public document. It will be compiled with other applications and considered by the Healdsburg City Council as a part of a noticed public meeting.

Only Healdsburg residents who are registered voters in Healdsburg will be eligible for appointment.
