To the fullest extent permitted by law, Consultant shall indemnify, protect, defend (with legal counsel reasonably acceptable to Authority) and hold harmless Authority and any and all of its elected and appointed officials, officers, employees, representatives, volunteers and agents (“Indemnified Parties”) from and against any and all losses, liabilities, demands, cost and expenses, including attorney’s fees and costs, caused in whole or in part by the negligent or wrongful act, error or omission of Consultant, its officers, agents, employees or subconsultants (or any agency or individual that Consultant shall bear the legal liability thereof) in the performance of services under this Agreement. Consultant’s duty to indemnify and hold harmless Authority shall not extend to the Authority’s sole or active negligence or willful misconduct.
DUTY TO DEFEND. Payment by Authority is not a condition precent to enforcement of this provision.
In the event of any dispute between Consultant and Authority, as to whether liability arises from the sole or active negligence or willful misconduct of Authority or its officers, employee, or agents, Consultant will be obligated to pay for Authority’s defense until such time as a final judgment has been entered adjudicating the Indemnified Parties as solely or actively negligent or to have acted with willful misconduct. Consultant shall not be entitled in the absence of such a determination to any reimbursement of defense costs including but not limited to attorney’s fees, expert fees, and costs of litigation.

Consultant’s duty to defend shall consist of reimbursement of defense costs incurred by Agency in direct proportion to the Consultant’s proportionate percentage of fault.
Consultant’s percentage of fault, for both indemnity and defense, shall be determined, as applicable, by a court of law, jury or arbitrator. In the event any loss, liability or damage is incurred by way of settlement or resolution without a court, jury or arbitrator having made a determination of the Consultant’s percentage of fault, and the parties cannot mutually agree on Consultant’s percentage of fault, the parties agree to mediation with a neutral third-party to determine the Consultant’s proportionate percentage of fault for purposes of determining the amount of indemnify and defense cost reimbursement owed to the Authority.

PROMPT PAYMENT OF JUDGEMENT. Consultant shall promptly pay any judgment rendered against Authority or any Authority Personnel for any such claims or liabilities incurred due to Consultant’s.
CLAIMS. Any claim by Consultant against Authority hereunder shall be subject to Government Code §§ 800 et seq. All insurance policies shall be subject to approval by Authority as to form and content. These requirements are subject to amendment or waiver if so approved in writing by the Executive Director. Consultant agrees to provide Authority with copies of required policies upon request.
INSURANCE DOES NOT EXCUSE INDEMNIFICATION OBLIGATION. Consultant’s obligation to indemnify shall not be restricted to insurance proceeds, if any, received by Consultant or Indemnitees. This indemnification obligation shall survive this Agreement and shall not be limited by any term of any insurance policy required under this Agreement.
NONWAIVER OF RIGHTS. Indemnitees do not and shall not waive any rights that they may possess against Consultant on the basis of acceptance by Authority, or the deposit with Authority, of any insurance policy or certificate required pursuant to this Agreement.

SECTION 18. ASSIGNMENT. The expertise and experience of Consultant are material considerations for this Agreement. Authority has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Consultant under this Agreement. In recognition of that interest, Consultant shall not assign or transfer this Agreement or any portion of this Agreement, the performance of any of Consultant’s duties or obligations under this Agreement nor any monies due under this Agreement, without the prior written consent of the Authority, which may be given in the sole and absolute discretion of the Executive Director. Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling Authority to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.”
Authority acknowledges, however, that Consultant, in the performance of its duties pursuant to this Agreement, may utilize subconsultants. Consultant may use assistants, under its direct supervision, to perform some of the services under this Agreement. Consultant shall provide Authority at least fourteen (14) days’ notice prior to the departure of such assistant from this employe.
Should such assistant leave Consultant’s employ, the Authority shall have the option to immediately terminate this Agreement. Upon such termination, Consultant’s sole compensation shall be payment for actual services performed up to, and including the date of termination or as otherwise agreed to in writing with the Authority.
SECTION 19. RESERVED

Authority will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. Authority may rescind the suspension prior to or at six (6) months by providing Consultant with written notice of the rescission, at which time Consultant would be required to resume performance in compliance with the terms and provisions of this Agreement.
Consultant will be entitled to an extension of time to complete performance under this Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.
SECTION 21. DEFAULT. In the event that Consultant is in default under the terms of this Agreement, the Authority shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the Authority may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default. This timeframe is thirty (30) days, which may be extended or reduced, if circumstances warrant. During the period of time that Consultant is in default, the Authority shall hold all invoices and shall, when the default is cured, proceed with payment on approved invoices. In the alternative, the Authority may, in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Consultant does not cure the default, the Authority may take necessary steps to terminate this Agreement under Section 20 “Termination of Agreement.” Any failure on the part of the Authority to give notice of the Consultant’s default shall not be deemed to result in a waiver of the Authority’s legal rights or any rights arising out of any provision of this Agreement.

DESCRIPTION
Mission Springs Water District (MSWD) has retained TKE to complete the design, construction management, and inspection of various improvements to the Horton Wastewater Treatment Plant (WWTP) through separate contract over the last 10-years. Said improvements include: construction of a belt filter press and loadout conveyor to improve sludge management, demolition of an aging activated sludge treatment tank and piping to eliminate on-going maintenance and create space for future expansion; construction of a new vapor phase odor control system to reduce odor emissions to neighboring residential developments; design of a 2.0 MGD tertiary treatment system and pump station to help alleviate secondary effluent disposal deficiencies and begin the phased implementation of recycled water treatment; expansion of the infiltration basins to provide additional effluent disposal capacity; and upgrades to the influent pump station to eliminate pump fouling and reduce daily maintenance. Most recently, TKE completed the design and is nearing completion on construction management and inspection oversight of a new diversion structure.
The Horton Diversion Structure includes the construction of a new 84” manhole with a partition wall and motor actuated weir gate to control flows between the Horton WWTP and Nancy Wright Regional Water Reclamation Facility (RWRF). The diversion structure can divert up to 1.0 MGD to the Nancy Wright RWRF, providing relief to the Horton WWTP for critical and on-going maintenance activities. The project includes full electrical and SCADA integration into the existing plant, with remote operation capabilities. DESCRIPTION
The District initially planned to replace the existing welded steel tank with a new concrete reservoir. However, after bidding the project and facing material availability challenges—specifically securing the required volume of concrete—the District reevaluated its approach and explored alternative solutions. TKE supported the District by preparing revised plans and specifications for the removal of the existing 0.3 MG welded steel reservoir and the construction of a new 0.5 MG welded steel reservoir at the Spyglass Reservoir Site. The new reservoir was designed in compliance with AWWA D100-21 standards, Cal/OSHA safety regulations, and California Division of Drinking Water (DDW) requirements. The design also incorporated previously installed piping intended for a concrete tank and included phasing measures to maintain continuous operation of the pump station throughout the reservoir replacement.
Due to system demands, construction activities were scheduled to occur during the District’s off-peak irrigation season to minimize operational disruptions.

ROWCO BOOSTER PUMP STATION AND RESERVOIR
Running Springs Water District, City of Running Springs, CA Client Contact: Chris Jones
Phone Number: (909) 403-5387
Email: [email protected]
Project Cost: $590,000
Completion Date: Est. 2026
DESCRIPTION
TKE was contracted to prepare the design (i.e., plans, specifications, and engineer’s estimate) for relocating the existing ROWCO booter pump station, demolish two 60,000 gallon reservoirs, and construct one 300,000 gallon reservoir. The existing station had reached its useful service life and required a replacement and relocation to accommodate future reservoir expansion at the site. The proposed booster station was required to meet a peak 300 gpm and 230 feet of head requirement, using variable frequency drives, to provide water supply to the higher-pressure zone. In addition, the larger reservoir would provide critical pipe flow storage, The design included hydraulic analysis to ensure demand would be met and avoid ancillary impacts (e.g., surging). Additionally, due to the mountain terrain, the new booster building was built into the side of the hill adjacent to the roadway. The project included coordination with the Southern California Edison and vendors. Following design, TKE was retained to provide construction oversight.
SERVICES
Services include records research, coordination with agencies, vendors, and consultants, hydraulic analysis, design, cost estimating, technical and benefit cost analysis, SCADA design and integration, permitting, construction management, and inspection.

P R O J E C T A P P R O A C H
Successful project delivery is our goal. Our definition of successful project delivery is:
• Project Completion that Meets All Project
Requirements and Specifications
• Project Completion within Budget
• Project Completion on Schedule
Our goal is not limited to civil engineering services only, but includes the incorporation of value engineering and
community feedback. Through the examination of specific design alternatives, we will identify the most cost-effective project alternative that meets funding and design
requirements and will provide for the greatest opportunity for expedited construction, which allows us to consistently deliver projects that use public resources in a very wise and responsible manner. We have developed this project
approach in order to maintain an expertise in our core
business of projects with tight budgetary constraints.
Our approach to any assigned project, recognizing that
both schedule and budget are of primary concern, dictates that design decisions must be made quickly but carefully.
When this is coupled with the various constraints present with CIP projects, it is critical that IWA choose a consultant with a proven track record of delivering. With a team of senior level design, TKE is the right choice for IWA.
With services and projects of this nature, our experience tells us that there must be a proactive approach to
completing the work in order to meet scheduling and
community requirements. This approach includes early
identification of critical design elements, experience with common challenges, and accurate cost estimating
throughout the entire process.

Environmental permitting for projects within the CIP may be complex and involve coordination with multiple
jurisdictional agencies, in addition to the normal CEQA analysis and determination. Our preliminary review of the CIP indicates that many projects projected will qualify for a categorical exemption. Other projects may require some
additional environmental permit requirements including
Clean Water Act (CWA) Section 404 permits from the
United States Army Corps of Engineers, CWA Section 401
permits from the Regional Water Quality Control Board,
Section 1602 Permits from the California Department of
Fish and Game and potential US ESA Section 7 permitting from the United States Fish and Wildlife Service. TKE has experience in the acquisition of each of these different permit types and will provide the required project data, exhibits, and documents to assist IWA in obtaining the
CEQA/NEPA approvals.

TKE has extensive experience in monitoring budgets and
evaluating project schedules to ensure delivery of projects that are within budget and on-schedule. The evaluation of the budget and schedule will consist of comparing
historical design/construction phase costs and time
frames, best practices, agency and manufacturer
recommendations, budget and scheduling requirements
against the approved contracts. The review of this will take into considerations input from Subject Matter Experts
(SME), stakeholders, project plans, specifications, the risk register, and the approved budget and schedule.
The main reason for the evaluation of the budgets and
schedule is to ensure that resources, equipment, materials, and staff (personnel, contractors, and inspectors) are
available when needed and projects delivery meets the
IWA’s requirements. The availability of personnel,
alternate priorities, multiple levels of approval,
unfamiliarity with the project, internal/ external politics, and numerous other factors can impact both the project
budget and schedule. TKE has the experience to oversee
the project budget scheduling with consultants and
stakeholders to identify potential cost or time overruns and apply corrective action to mitigate any potential
impacts.

Our approach to this critical issue will be to immediately initiate field review, perform very thorough records
research, and document all the critical design elements so they can be presented to IWA. This will provide a head start on instructing our survey team about what detailed
information to collect. These elements include key ground elevation information at locations necessary to ensure
appropriate depth, the location of any areas that will
require special construction methods or additional
permitting requirements, and potholing critical
underground utilities in order to ensure proper clearance and minimize relocations during construction of utility improvements.

For pipeline projects, construction contract change orders are attributable to inaccurate plotting of utility
interferences or due to unknown utilities. Comprehensive utility research together with design potholing of critical utility interferences and potholing of all interferences prior to construction by the project contractor will ensure that contract change orders will be significantly reduced or even eliminated. It is anticipated that numerous
underground utilities will be encountered at street
intersections that are located throughout the project. For larger existing facilities and project connections, TKE will identify those as critical and request that they be
excavated to verify both horizontal and vertical
alignments. In addition, we will request that existing
pipeline materials and condition be noted at connections to properly design each connection. To avoid potential
change orders, detailed connection design is always
included by our project team.

It is critical to maintain proper hydraulic performance in all booster station and utility improvement projects. In
particular, potential issues such as pressure surges in the suction and discharge piping must be carefully evaluated during design. TKE has partnered with MCS to assist with these analyses. Special attention will be given to accurately analyzing and modeling the upstream and downstream
piping hydraulics. These factors can significantly affect system performance and, if not properly addressed, may
result in detrimental impacts to the overall operation. TKE and MCS will take special care to minimize long-term
operational and maintenance challenges through
thoughtful hydraulic design.

Because the pipelines will operate over a wide range of pressures, TKE will carefully examine every reach of
pipeline to verify that adequate pipe class will be specified.
Areas well production facilities and booster stations are anticipated to be at higher operating pressures. TKE will specify appropriate pipe classes for system operations as well as thrust protection.
Thrust protection will also be specified for other system components including tees, bends, and fittings. Any
pipeline failure experienced during construction is almost always attributed to insufficient thrust protection. It can be achieved by either restrained joints or concrete thrust blocks. Thrust is created by both pressure and the
movement of water within the pipeline combined with
changes in direction. TKE will design the pipeline system to ensure adequate protection is provided. In particular, thrust protection is critical at connection locations because of the uncertainty of protection on the existing pipeline system to remain. In addition, thrust protection must be provided on vertical alignment changes should grade
changes be large enough to create potential failures.
F U T U R E S Y S T E M I N T E G R A T I O N
One of the critical issues with designing a waterline,
reservoir or booster station to meet current and future demands. A booster station may need additional pumps in the future to aid in moving water between pressure zones; or a particular reservoir site may need additional storage capacity to meet the needs of future growth. Our
experience in water system design allows us to avoid the common challenges which may occur; such as undersized
piping, lack of adequate site planning, and lack of adequate floor space for future expansions to the boosters,
mechanical piping, and electrical system. TKE will prepare a design that will be efficient to operate and maintain and cost effective now for future expansion needs. Overlooking these seemingly simple design issue can cause extensive changes and costs in the future. We know these issues and have proven methods to avoid them.

pipelines together with appurtenances and services will be constructed. In addition, the construction sequencing will include testing and disinfection procedures and the initial system connection. The existing pipelines that will
ultimately be abandoned must remain in service until the proposed pipelines are tested, disinfected, connected to the existing system in at least one location, and all service connections have been transferred to the new pipelines.
Typically, for larger pipelines it is desired that a connection be completed after pipeline testing and prior to
disinfection. Direct connections provide flow volumes
needed to adequately flush debris from the new system.
After disinfection and laboratory testing verification, the new system will then be placed into service and service connections will be completed. After all service
connections are connected to the new pipeline, the
existing system can be abandoned. The abandonment of
the existing pipelines will occur thereafter concurrently with subsequent pipeline connection construction.

Typically, proposed pipelines will primarily be located within existing street right-of-way. For most pipelines sufficient width is typically available; however, many
streets which are narrow and congested with other
underground facilities may require alternative measures.
TKE will make every attempt to select alignments that will avoid the need for additional right-of-way acquisition, ensure the existing facilities remain in service throughout construction, ensure private improvements such as fences and landscaping will not be impacted, and provide
sufficient space for construction equipment access for
trenching, soil stockpiling, pipe installation, and backfill and compaction. Should additional right-of-way be
required, TKE will identify it early in project design.

Appurtenances include system control valves, fire
hydrants, air valves, blow-offs, and services. Many federal funding sources require that all materials used on project must be 100% made in America. Our experience indicates
that this requirement will delay construction if materials manufacturers of appurtenance materials are not all made in America. TKE will develop project materials purchase alternatives to ensure the buy America clause if required is met and construction will proceed without delay.
During design, it will be important to identify appropriate locations for all appurtenances, in particular, above ground appurtenances. Considering areas where limited right-ofway is available, appurtenances should be carefully located to prevent post construction conflicts. TKE will also field verify all appurtenance locations, in particular air valves and fire hydrants, to ensure: adequate public right-of-way exists, they will not conflict with other improvements, and locations will be selected to protect them from vehicular traffic.
In addition to field locations, appropriate sizing must be completed during design. For example, air valves must be sized to ensure adequate air release during filling and emptying of pipelines. Failure to properly size such
facilities may cause damage to the water system.
When placing appurtenances, TKE staff routinely provides consideration of other utilities to avoid conflicts with lateral piping of the appurtenances.
T R A F F I C C O N T R O L
Traffic impacts created by construction of the pipelines must be mitigated to the maximum extent practicable.
When considering pipeline alignments, construction traffic control needs to be considered. Once the alignments are selected, traffic control design needs to be prepared to ensure safe and convenient vehicular and pedestrian
mobility during construction operations. We have
extensive experience in construction traffic control plan preparation and we are intimately familiar with the
WATCH, Caltrans, and MUTCD requirements.

TKE understands the limits on IWA funding. Because of the limited budget for projects, it is vital to keep costs
controlled. Our approach to controlling costs is to provide frequent and accurate cost estimates by using TKE’s
detailed cost estimating database. In addition to using this database, TKE utilizes our considerable experience with construction management to assist in providing
constructability reviews and cost estimating based on
current information from our on-going projects. Finally, with the current economic climate, construction costs are widely varying. We will also discuss the project’s elements with local contractors to assure that we have the most
current construction information available so that IWA can get the most “bang for their buck”.
TKE also understands the limits on the IWA’s budget,

Project management will be an essential element in all
types of project delivery. Effective communications will lead to effective management. Management will include
weekly reviews of project budget and schedules and
regular meetings with all project shareholders.
For all projects, the most important aspect of management will be to ensure that IWA’s interests are protected to the maximum extent possible. TKE will ensure that public funds and impact fees are used for the benefit of the community.
Any deviation from standards and requirements will be
referred to the public works director and TKE will
implement direction given by IWA staff.
Project requirements, project schedule compliance and
budget tracking will be important. Project requirements will be assessed by TKE staff and presented to IWA’s
management staff (i.e. General Manager, Assistant
General Manager, Water Operations Manager, etc.). TKE
staff will be responsible to verify that proper review is completed in compliance with those project requirements.
TKE’s effective project management techniques will ensure that compliance will occur.
Maintaining the project schedule will be one of the most important tasks. Further, maintaining excellent
communications will prevent any project processing
misunderstandings and will avoid project delays. TKE
management techniques will result in efficient project
delivery.
Managing other consultants is another area that TKE
excels. Due to our extensive variety of project experience, TKE has a vast amount of knowledge with all public works improvement projects. With this understanding, TKE is

He has worked on a variety of public works engineering projects including water and sewer improvements, reclaimed water system improvements, street improvements, park improvements, bike trail improvements, and drainage improvements projects. Mr. Thornton is responsible for managing including funding administration, planning, evaluating, and designing these projects and has provided construction engineering and surveying services for many of these same projects.
DETAILED PROJECT EXPERIENCE
• Interstate 15 (I-15) Freeway Sewer and Water Improvement Project, City of Hesperia – Mr. Thornton was the Principal-In-Charge for the Interstate 15 freeway sewer and water improvement project, located between the Ranchero Road Interchange and the Union Pacific Railroad crossing. Through a phased approach, TKE first developed a sewer and water feasibility study to serve the area; followed by preparing the design and contract documents for sewer conveyance, and water distribution and transmission systems. The project includes an underground crossing of the I-15 freeway, a lift station, and a force main that will be converted to a local bridge that extends over the Union Pacific Railroad. The I-15 water system includes pipeline and construction of a hydropneumatics pump station, piping, valves, electrical, prefabricated building, emergency generator (600 kW), and associated site improvements.
• Recycled Water Pipeline Project, City of Hesperia – Mr. Thornton was the PrincipalIn-Charge for this project which consists of construction of 8 miles of recycled water pipelines ranging for 16” to 8” in diameter including, plan and profiles, specifications, cost estimates, and DWR funding management. In addition, TKE provided construction assistance services, grant funding management and inspection for pipeline construction.
• Fontana City Wide Water/Wastewater Engineering, City of Fontana – Mr. Thornton provided the City of Fontana with water and wastewater consulting engineering services to improve water supply reliability and increase wastewater service area for the residents of the City of Fontana. The components include, water rate review, recycle water direct reuse and recharge, enhanced storm water capture and recharge, imported water development, exchange water agreements and sewer analysis. SECTION 13. RESERVED
SECTION 14. CONFLICTS OF INTEREST.
(a) Consultant covenants that neither it, nor any officer or principal of its firm, has or shall acquire any interest, directly or indirectly, which would conflict in any manner with the interests of Authority or which would in any way hinder Consultant’s performance of the Services. arrangement or financial inducement. No officer to employee of the Authority has or will receive compensation, directly or indirectly, from Consultant, or from any officer, employee or agent of Consultant, in connection with the award of this Agreement or any work to be conducted as a result of this Agreement. Violation of this provision shall be a material breach of this Agreement entitling the Authority to any and all remedies at law or in equity. (g)During the time of their tenure with the Authority and for one thereafter, no member, officer or employee of Authority, or their designees or agents, and no public official who exercises authority over or responsibilities with respect to the services under this Agreement shall have any interest, direct or indirect, in any agreement or sub-agreement, or the proceeds thereof, for work to be performed in connect with the services performed under this Agreement.
SECTION 15. CONFIDENTIAL INFORMATION; RELEASE OF INFORMATION. (a) All information gained or work product produced by Consultant in performance of this Agreement shall be considered confidential, unless such information is in the public domain or already known to Consultant. Authority retains the right, but has no obligation, to represent Consultant or be present at any deposition, hearing or similar proceeding. Unless Consultant is adverse to Authority, Consultant agrees to cooperate fully with Authority and to provide Authority with the opportunity to review any response to discovery requests provided by Consultant. However, this right to review any such response does not imply or mean the right by Authority to control, direct, or rewrite said response.
(d) If Consultant, or any officer, employee, agent or subconsultant of Consultant, provides any information or work product in violation of this Agreement, then

Authority shall have the right to reimbursement and indemnity from Consultant for any damages, costs and fees, including attorney’s fees, caused by or incurred as a result of Consultant’s conduct.
SECTION 16A. INDEMNIFICATION. (NON-DESIGN PROFESSIONALS) INDEMNIFICATION BY CONSULTANT.
In the event the Indemnified Parties, individually or collectively, are made a party to any action, lawsuit, or other adversarial proceeding arising from the performance of the services encompassed by this Agreement, and upon demand by Authority, Consultant shall defend the Indemnified Parties at Consultant’s cost or at Authority’s option, to reimburse Authority for its costs of defense, including reasonable attorney’s fees and costs incurred in the defense of such matters to the extent the matters arise from, relate to or are caused by Consultant’s negligent acts, errors or omissions.
SECTION 16B. INDEMNIFICATION. (DESIGN PROFESSIONALS)
IF THIS CONSULTANT IS A DESIGN PROFESSIONAL AS DEFINED IN CAL. CIV.
CODE § 2782.8, this Section shall supersede and replace all other indemnity provisions contained in the Authority's specifications, which shall have no force and effect.
DESIGN PROFESSIONAL INDEMNITY OBLIGATIONS. To the maximum extent permitted by law, Consultant shall defend, hold harmless and indemnify Authority, and any and all of its elected and appointed officials, officers, employees, agents, and designated volunteers (collectively, “Indemnitees”), from and against any and all claims, losses,

liabilities, damages, costs and expenses, including attorneys’ fees and costs, to the extent they arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of Consultant
APPLICABLE TO ALL CONSULTANTS:
PROMPT PAYMENT OF JUDGEMENT. Consultant shall promptly pay any judgment rendered against Authority or any Authority Personnel for any such claims or liabilities incurred due to Consultant’s.
CLAIMS. Any claim by Consultant against Authority hereunder shall be subject to Government Code §§ 800 et seq. The claims presentation provisions of said Act are hereby modified such that the presentation of all claims hereunder to the Authority shall be waived if not made within six (6) months after accrual of the cause of action.
SECTION 17. INSURANCE. Consultant agrees to obtain and maintain in full force and effect during the Term of this Agreement the insurance policies set forth in Addendum “1” “Insurance” and made a part of this Agreement.
WAIVER OF RIGHT OF SUBROGATION. Consultant, on behalf of itself and all parties claiming under or through it, hereby waives all rights of subrogation and contribution against the Indemnitees.

SECTION 18.
Before retaining or contracting with any subconsultant for any services under this Agreement, Consultant shall provide Authority with the identity of the proposed Subconsultant, a copy of the proposed written contract between Consultant and such subconsultant which shall include an indemnity provision identical to the one provided herein identifying Authority as an indemnified party, or an incorporation of the indemnity provision provided therein, and proof that such proposed subconsultant carries insurance at least equal to that required by this Agreement or obtain a written waiver from the Authority for such insurance.
SECTION 19. RESERVED
SECTION 20. TERMINATION OF AGREEMENT. (a)Authority may terminate this Agreement, with or without cause, at any time by giving prior written notice of termination to Consultant. In the event such notice is given, Consultant shall cease immediately all work in progress. (b)Consultant may terminate this Agreement for cause at any time upon thirty (30) days written notice of termination to Authority.

(c) If either Consultant or Authority fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Consultant, or Authority may terminate this Agreement immediately upon written notice. (d)Upon termination of this Agreement by either Consultant or Authority, all property belonging exclusively to Authority which is in Consultant’s possession shall be returned to Authority. Consultant shall furnish to Authority a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement.
(e)Upon written notice, Authority may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months.
SECTION 22. EXCUSABLE DELAYS. Consultant shall not be liable for damages, including liquidated damages, if any, caused by delay in performance or failure to perform due to causes beyond the

control of either Party. Such causes include, but are not limited to, acts of God, acts of the public enemy, acts of federal, state or local governments, court orders, fires, floods, epidemics, strikes, embargoes, and unusually severe weather.
